INDUSTRY TREND

Theglobaleconomyfacedachallengingtimein2015.Despiteaprolonged7-yearperiodofeconomicstimuli,themajorworldeconomiescontinuedtostruggletotake-off.Thefallinpricesofoilandcommoditiesindicatedsluggishdemandsglobally.

InMalaysia,consumerspendingwasaffectedbytheimplementationofGSTinApril2015.Highhouseholddebt,risingcostsoflivingandaweakeremploymentmarketplacedtheeconomyunderseverestress.Coupledwithlowglobalpricesforoilandliquefiednaturalgas(“LNG”),one(1)ofMalaysia’skeyexports,thecountry’sfiscalandcurrentaccountbalanceswerebadlyhit.TheweakeconomicperformanceandnumerousfiscalchallengeshavealsoputpressureontheMalaysianRinggitwhichdepreciatedtolevelsnotseensincetheAsianfinancialcrisisofthelate1990s.GDPfor2015fellto5.0(2014:6.0)whilsttheconsumerpriceindex(“CPI”)stoodat2.1(2014:3.1).

CCK GROUP PERFORMANCE

Forthefinancialyearended31December2015,theGrouprecordedarevenueofRM494millionascomparedtoRM451millioninthefinancialyearended31December2014,anincreaseof9.5%.Profitbeforetaxfor2015wasrecordedatRM16million(2014:RM12.9million),anincreaseof24%.Despitethedifficulteconomicconditions,weareindeedpleasedtohavebeenabletocontinueourgradualrecoveryandreapthebenefitsofourinvestmentsduringthepastfewyears.

On behalf of the Board of Directors (“Board”), it gives me great pleasure to present the Annual Report and Audited Financial Statements of CCK Consolidated Holdings Berhad and of its Group of Companies (“CCK Group”) for the financial year ended 31 December 2015.

DuringthetablingofBudget2016,thePrimeMinister,DatukSeriNajibRazakannouncedthattheminimumwageforemployeesinPeninsularMalaysiawillberaisedbyRM100toRM1,000permonthandbyRM120fromRM800toRM920foremployees inEastMalaysia,effective1July2016. Assuch,weanticipatethat this increment inwageswillaffectourcosts.

DIVIDEND

In linewithourcontinuedfocusonshareholderreturns,theBoardhasrecommendedafirstandfinalsingle-tierdividendof3.0senpershareforthefinancialyearended31December2015.Thisfinaldividendissubjecttotheshareholders’approvalattheforthcomingannualgeneralmeetingofCCK.

Employeeengagementremainsahighpriorityaswebelievethatourpeopleareourbestassets.Recognisingthatweareinthefoodbusiness,maintainingahighlevelofcleanlinessandhealthamongouremployeesiscrucial.Assuch,weconstantlystrivetoadheretothestandardsoftheDepartmentofSafetyandHealth(“DOSH”)andtheMinistryofHealth(“MOH”).Toensureouremployeesarefullyawareofthis,therearealwaysnewtrainingcoursesandnewequipmentintroducedtoensureouremployeesareworkinginasafeandsecureenvironment.

PROSPECTS

TheyearaheadwillbeachallengingonefortheMalaysianeconomyaslowoilandcommoditypricespersistonthebackofaweakercurrency.Headlineinflationisexpectedtoriseto2.7%in2016,from2.1%in2015,onaccountofhigherimportedinflationfromcurrencydepreciation,highertollchargesandhighercostofgoodsandservicesfromtheremovalofmoresubsidies.

Withtoughtimesexpected,weatCCKremainpositiveabout2016andbeyond.Theinvestmentsmadeinthepastfewyearsarenowgraduallybearingfruitandwebelievethatourperformancesinthefuturewillreflectthestrengthofourposition.

APPRECIATION

TheconsistencyofCCK’sgrowthreliesonthequalityofourpeoplewhohaveworkedtirelesslytocontributetotheGroup’ssuccess.Here,Iwouldliketosayabigthankyoutomyfellowdirectors,themanagementteamsandthevariousheadsofdepartmentstogetherwithallourstafffortheirdedicationandhardwork.Ibelievethattogether,wecancontinuetoscalegreaterheights.

On behalf of the PTA and school, I wish to extend my thanks and gratitude to CCK for supporting us in making our program "Feed the poor" a success.

For this program to become successful, we need generous supporters and donors like CCK to make things happen for now and the months to come till the end of the school calendar year. I wish personally to thank you all at CCK for the prompt action to make this a success for us. You create many happy moments in the lives of students receiving the food. You put smiles on the faces of the students and their smiles could melt your heart! That is what we see in those smiles! I thank you all for putting such smiles in the students. Thank you so much.

DATUK TIONG SU KOUK Non-Independent Non-Executive Chairman

DatukTiongSuKouk,aMalaysianaged74, is the founderofCCKConsolidated Holdings Berhad (“CCK”) and its subsidiaries (“CCKGroup” or “the Group”). He was appointed as Executive Chairmanto the Board of CCK on 15 July 1997 and re-designated as Non-IndependentNon-ExecutiveChairmanon20March2002.Heisalsoa member of the Audit Committee and Nomination Committee of CCKandtheChairmanoftheRemunerationCommitteeofCCK.HealsoactsasChairmanoftheothercompanieswithintheCCKGroup.Underhisstewardship,theCCKGrouphasprogressedfromasmallfamily-runbusinesstooneoftheSarawak’slargestintegratedpoultryproducersandproducersoffrozenseafood.

DatukTiongbeganhiscareerasaseafoodtraderattheageof14.Healso involved inpoultry industries for thepast31years.Additionally,DatukTiongalsositsonvariousschoolboardsandisactivelyinvolvedintheFoochowandZhangAssociationsinMalaysia.HeistheHonoraryLifePresidentoftheSibuChineseChamberofCommerceandIndustryand the Honorary President of The Association Chinese Chambersof Commerce and Industry of Sarawak. He was appointed as theHonoraryLifePresidentofWorldFederationofFoochowAssociationin2004andthePermanentHonoraryLifeChairmanandInauguratoroftheWorldZhangClanAssociationin2011.

DatukTiongwasappointedasExecutiveChairmanandChiefExecutiveOfficer (“CEO”) of NamCheong Limited (“NCL”), a public companylistedontheSingaporeExchangesinceApril2011.HehasrelinquishedhispositionastheCEOofNCLon21May2013butremainedastheExecutive Chairman of NCL. The NCLGroup is one of the leadingbuildersandsuppliersofOffshoreSupportVesselsinMalaysia.HealsositsontheboardsofotherprivatelimitedcompaniesinMalaysia.

Datuk Tiongwas conferred the Panglima JasaNegara (PJN)whichcarries the title “Datuk” by Seri Paduka Baginda Yang Di-PertuanAgongon theoccasionofHisExcellency’s75thBirthdayon2June2001.Hewasalsoawardedthe“PingatBintangSarawak”(PBS)and“JohanSetiaMahkota” (JSM) in1987and2000 respectivelyby theSarawakStateGovernmentandSeriPadukaBagindaYangDi-PertuanAgongrespectivelyforhiscontributionstothecommunity.

CHONG SHAW FUI Executive Vice Chairman

Mr.ChongShawFui,aMalaysianaged71,wasappointedasExecutiveViceChairmantotheBoardofCCKon15July1997.HeisalsoamemberoftheRiskManagementCommitteeofCCK. Hehasmorethan44yearsofexperienceinthefieldofpoultryindustry.HeisresponsibleforthemanagementofthepoultrybusinessunitofCCK,whichrangesfrombreeding,hatchery,eggstotheproductionlineaccordingly.

Mr. Chong commenced his poultry breeding experience in Singaporein1972. Hewas the founderofSarawakBreeding farm,specialising inthehatchingandbreedingofcommercialbroilerday-oldchicks.Hethendeveloped thisbusiness intoZhangAgricultureDevelopmentSdn.Bhd.,whichisnowawholly-ownedsubsidiaryofCCK.

In1983,heincorporatedPoultryIndustry(S)Sdn.Bhd.(“PoultryIndustry”)and started contract farming. Poultry Industry supplies day-old chicksand feed to their Contract Farms and buy back the broilers which arethensupplied toCCK’sabattoir.Poultry Industry isnowawholly-ownedsubsidiaryofCCK.

Duringthefinancialyearended31December2015,Mr.Chongattendedallthefive(5)Boardmeetingsheld.HisshareholdingsinCCKasat1April2016aredisclosedonpage131ofthisannualreport.

TIONG CHIONG HIIUNGGroup Managing Director

Mr.TiongChiongHiiung,aMalaysianaged49,wasappointedtotheBoardofCCKon15July1997.HeistheGroupManagingDirectorofCCKandalso amember of the RemunerationCommittee andRiskManagementCommittee.

He graduatedwith aBachelor of Economics fromMonashUniversity inAustralia in1989.He joined theGroupafterhisgraduation. In1994,hewasappointedasManagingDirectorofCentralColdstorageKuchingSdn.Bhd., and was responsible for the overall management and operationsof theCCKGroup.Hehasbeenactively involved ineveryaspectof theGroup’soperations,includingbreeding,broilerfarming,andprocessingofseafood.

Hewas appointed asNon-ExecutiveDirector and alsomembers of theAuditCommittee,NominationCommitteeandRemunerationCommitteeofNamCheongLimited(“NCL”),apubliccompanylistedontheSingaporeExchange, on 28 April 2011. He was subsequently re-designated toExecutiveDirectorandwasappointedastheExecutiveViceChairmanofNCLon1July2014.HethenresignedasmembersoftheAuditCommitteeandRemunerationCommitteeofNCLon1July2014and1October2014respectively.

Mr.TiongisaLicensedCompanySecretarybytheCompaniesCommissionofMalaysia.Healsositsontheboardsofvariousprivatelimitedcompanies.

TIONG CHIONG SOON Executive Director

Mr.TiongChiongSoon,aMalaysianaged46,wasappointedasExecutiveDirectorofCCKon15July1997.HeisalsoamemberoftheRiskManagementCommitteeofCCK.

He graduated with a Bachelor of Business from University ofOklahomainUSAin1994.HejoinedtheGroupafterhisgraduation,and isprincipally responsible for thepurchasing functionand theretaildivisionoftheGroup.HemaintainsanexcellentrapportwiththesuppliersthusensuringtimelydeliveryofproductsofthehighestqualityfortheGroup.

He isaGroupGeneralManagerofNamCheongLimited (“NCL”)Group since 2009, responsible for NCL Group’s shipbuildingoperation including vessel chartering. NCL is a public companylistedon theSingaporeExchange. He isalsoaDirectorofNamCheongDockyardSdn.Bhd.(“NCD”)since30June2010.NCDisawholly-ownedsubsidiaryofNCL.Inaddition,healsositsontheboardsofvariousprivatelimitedcompanies.

During the financial year ended 31 December 2015, Mr. Tiongattended four (4) out of five (5) Board meetings held. HisshareholdingsinCCKasat1April2016aredisclosedonpage131ofthisannualreport.

KUEH CHUNG PENG Executive Director

Mr. KuehChungPeng, aMalaysian aged 62,was appointed asExecutiveDirectorofCCKon15July1997.HeisalsoamemberoftheRiskManagementCommitteeofCCK.

Hehasover34years’experienceinaquacultureandcoldstorageproductsindustry,andheplaysanadvisoryroleforCCKinthefieldofcoldstorage,aquaculturefarmingandpoultryprocessing.

He joined Kin Eastern Frozen Food Sdn. Bhd. in 1982 as theManagingDirectorand is responsible for theaquaculture farmingdivisionoftheCCKGroup.HewasappointedtotheBoardofCCKFreshMart Sdn. Bhd. in 1993. He was then appointed as theManagingDirectorofCentralColdstorageKuchingSdn.Bhd.on27August2014tooverseethebusinessesofcoldstorage,poultryprocessingandretailing.

LAU LIONG KII Executive Director

Mr.LauLiongKii,aMalaysianaged65,wasappointedtotheBoard on 15 July 1997 as Executive Director. Currently, heis also a member of the Remuneration Committee and RiskManagementCommitteeofCCK.

HejoinedtheCCKGroupin1982astheManagingDirectorofAblewaySdn.Bhd., principally responsible for the operationsofAblewaySdn.Bhd. He also oversees theproduction andmarketing functionsofCCK’sprawndivision. Since then, hegained vast experience in domestic and international foodmarkets,andbroughttotheGroupanin-depthunderstandingofspecialisttrendsofthefoodindustry.

During the financial year ended 31 December 2015,Mr. Lauattendedallthefive(5)Boardmeetingsheld.HisshareholdingsinCCKasat1April 2016aredisclosedonpage131of thisannualreport.

LING TING LEONG @ LING CHONG SENGNon-Independent Non-Executive Director

Mr.LingTingLeong@LingChongSeng,aMalaysianaged64,isabusinessmanwithawealthofexperience.Healsositsontheboardsofotherprivatelimitedcompanies.

Currently,he isaNon-IndependentNon-ExecutiveDirectorofCCK.HejoinedtheCCKGroupin1983andwasresponsibleforthefinanceandcorporatesecretarialmattersoftheCCKGroup.HewasappointedasExecutiveDirectortotheBoardofCCKon15July1997,andwasre-designatedasNon-IndependentNon-ExecutiveDirectoron1July2013.

Mr.LingobtainedhisCertificateinHigherAccountingin1971.From 1971 to 1982, he gained his experience in accountingand auditing. He is a CertifiedCompany Secretary and is amemberoftheMalaysianAssociationofCompanySecretaries(“MACS”)since2001. HewasappointedasSarawakLiaisonCo-ChairmanofMACSsince11October2011.

During the financial year ended31December 2015,Mr. Lingattended four (4) out of five (5) Board meetings held. HisshareholdingsinCCKasat1April2016aredisclosedonpage131ofthisannualreport.

Datuk Pemanca Janggu anak Banyang, a Malaysian aged 69, was appointed to the Board of CCK as an Independent Director on 15July1997.HeistheChairmanoftheAuditCommitteeandNominationCommitteeofCCKandalsoamemberofCCK’sRemunerationCommittee.

Aftercompletinghisformaleducation,heworkedforvariouscompaniesandsubsequentlyhelddirectorship in thesecompanies,whichareprincipallyinvolved in the activities of supply of rations, property development andtimbercontractor.HeisalsoinvolvesinAgro-baseNursery.

DatukPemancaJangguwasconferredthePanglimaJasaNegara (PJN)whichcarries the title “Datuk”bySeriPadukaBagindaYangDi-PertuanAgongontheoccasionofhisExcellency’sBirthdayon6June2015.

DatuHaji Putit binMatzen, aMalaysian aged71,was appointed as anIndependentDirectortotheBoardofCCKon20March2002.Heisalsoa member of the Nomination Committee and Remuneration Committee of CCK.

HeholdsaBachelorofSciencedegreeandobtainedaprofessionalpost-graduateDiploma in Teaching. He started his careerwith theSarawakEducation Service in 1972 and held various senior positions includingthe Director in the State Education Department and Principal AssistantDirectorattheMinistryofEducationinKualaLumpur.Whileinservice,hepursuedotherprofessionalcourses,notably ineducationalmanagementandadministration,development,innovation,testingandexaminationsandalsocrisismanagement.

Currently,heisaDeputy-ChairmanoftheSarawakBranchoftheMalaysianRedCrescent Society, the President of theMalaysianHistorical Society(SarawakBranch),DeputyChairman of theDarul FalahCharitable TrustandDeputyChairmanoftheWelfareCharitableTrustofSadongJaya.
