ThisAmendment,agreedtobybothparties,appliestothefollowinggovernmentalagency/department

("Agency","User",or"You"):U.S.GENERALSERVICESADMINISTRATION.

You,asaUnitedStatesGovernmententity,arerequired,whenenteringintoagreementswithother

parties,tofollowapplicablefederallawsandregulations,includingthoserelatedtoethics,limitations

onindemnification,fiscallawconstraints,advertisingandendorsements,freedomofinformation,

governinglawanddisputeresolutionforum.Vimeo,LLC("VIMEO"or"We")andYou(together,the

"Parties")agreethatmodificationstothevimeo.comstandardTermsofService,availableat

www.vimeo.com/terms(the"TOS")areappropriatetoaccommodateYourlegalstatus,Yourpublic(in

contrasttoprivate)mission,andotherspecialcircumstances.Accordingly,theTOSarehereby

modifiedbythisAmendmentastheypertaintoAgency'suseofthevimeo.comservices.

A.

Governmententity:"You"withintheTOSshallmeantheAgencyitselfandshallnotapplyto,orbind(i)theindividual(s)whoutilizetheVIMEOSiteorServicesonAgency'sbehalf,or(ii)any

individualuserswhohappentobeemployedby,orotherwiseassociatedwith,theAgency.

B. Publicpurpose:Anyrequirement(s)setforthwithintheTOSthatuseoftheVIMEOSiteandServicesbeforprivate,personaland/ornoncommercialpurposesisherebywaived.

C. Agencycontentservingthepublic:VIMEOherebyapprovesAgency'sdistributionorotherpublicationviatheServicesofmaterialswhichmaycontainorconstitutepromotions,

advertisementsorsolicitationsforgoodsorservicesrelatedtotheAgency'smission.

D. Advertisements:VIMEOherebyagreesnottoserveordisplayanycommercialadvertisementsorsolicitationsonanypagescomprisinganychannelwithintheVIMEOSitecreatedbythe

Agency.Thisexclusionshallnotextendtohouseads,whichVIMEOmaycontinuetoserveon

suchpages.

E. Indemnification:AllindemnificationanddamagesprovisionsoftheTOSareherebywaived.

F. Governinglaw:Thechoiceoflaw/jurisdictionprovisionoftheTOSisherebydeleted.

G. Ownershipofnames:ProvisionsintheTOSrelatedtoVIMEO'sownershipofandrighttochangeYourselectedusername,channelnames,andgroupnames,aremodifiedtoaccommodateAgency'sproprietaryand/orpracticaloperationalinterestinitsownpublicly

recognizednameandthenamesofAgencyprograms.

H. ModificationsofUserContent:VIMEOagreesthattherightreservedintheTOSto"modify"Yourcontentislimitedtotechnicalactionsnecessarytoindex,formatanddisplaythatcontent.

Therighttomodifydoesnotincludetherighttoeditorotherwisealterthemeaningofthe

content.Notwithstandingtheforegoing,nothinginthisAmendmentshallresultinan

expansionofYourrightsasaUnitedStatesGovernmententityundertheCopyrightActof1976

(17U.S.C.101etsec.),specificallyincludingSection105ofsaidAct.

I. LimitationofLiability:ThePartiesagreethatnothingintheLimitationofLiabilityclauseorelsewhereintheTOSinanywaygrantsVIMEOawaiverfrom,releaseof,orlimitationof

liabilitypertainingto,anypast,currentorfutureviolationoffederallaw.

J. Uploading,Deleting:ThePartiesunderstandandagreethatYouarenotobligatedtoplaceanyUserContentontheVIMEOSite,andYoureservetherighttoremoveanyandallUserContent

atYoursolediscretion.

K. Noendorsement:VIMEOagreesthatYourtrademarks,logos,servicemarks,tradenames,orthefactthatYouhaveapresenceontheVIMEOSiteanduseitsServices,shallnotbeusedby

VIMEOtoimplyanendorsement,sponsorshiporrecommendationofVIMEOoritsservicesby

YouortheFederalGovernment.

L. Nobusinessrelationshipcreated:ThePartiesareindependententitiesandnothinginthisAmendmentorTOScreatesandagency,partnershiporjointventure.

M.Nocostagreement:NothinginthisAmendmentorTOSobligatesyoutoexpendappropriationsorincurfinancialobligations.ThePartiesacknowledgeandagreethatnoneoftheobligations

arisingfromthisAmendmentorTOSarecontingentuponthepaymentoffeesbyonepartyto

theother.

N. Futurefeebasedarrangements:YouunderstandthatWeofferVIMEOPlusserviceforafee.BeforedecidingtoenterintoaVIMEOPlussubscription,oranyotherfeebasedserviceVIMEO

mayofferinthefuture,YouagreetodetermineyourAgencyhasaneedforthoseadditionalservices,toconsiderthesubscription'svalueincomparisonwithcomparableservicesavailable

elsewhere,todeterminethatAgencyfundsareavailableforpayment,toproperlyusethe

GovernmentPurchaseCardifthatCardisusedasthepaymentmethod,toreviewthis

AmendmentandthethenapplicableTOSforconformancetofederalprocurementlaw,andin

allotherrespectstofollowapplicableacquisitionlaws,regulations,andagencyguidelineswhen

initiatingthatseparateaction.

O. Assignment:NeitherpartymayassignitsobligationsunderthisAmendmentorTOStoanythirdpartywithoutpriorwrittenconsentoftheother.

P. Precedence;FurtherAmendment;Termination:Ifthereisanyconflictbetweenthis

AmendmentandtheTOS,orbetweenthisAmendmentandotherrulesorpoliciesonthe

VIMEOSiteorServices,thisAmendmentshallprevail.ThisAmendmentmaybefurther

amendedonlyuponwrittenagreementexecutedbybothParties.Eitherpartymayterminate

Agency'saccountandendtheVIMEOserviceagreementon30dayswrittennotice.

Q. PostingofthisAmendment:TheprovisionoftheTOSrequiringmodificationstotheTOStobepostedonVIMEOisinapplicablesincethisAmendmentisoflimitednotgeneralapplication,

andisotherwisewaivedforthisspecialcircumstance.
