Tender No. CE/KLNZ/TECH/T - 7 / 2007-2008
Sealed tenders in prescribed form duly superscribed, are invited for Repairing of H.V. Power Transformer having capacity 1 MVA, 2 MVA, 3.15 MVA ,5 MVA & Voltage level 33/11 kV, 33/22 kV.
Estimated amount Rs.30 Lakhs. ( Rs. Thirty Lakhs).
The tender form consisting of schedules of rates with terms & conditions will be sold at the cost of Rs.3000/- only. Sale of tender will start from 5.10.2007 to 20.10.2007 excluding holidays) Interested supplier may purchase such tender forms & submit them on or before 22.10.2007 13.00 hrs. Tender will be opened on 22.10.1007 at 15.00 hrs. However, if this date is declared as Holiday, then tender shall be opened on the next working day. Right to reject / accept any or all the tenders without assigning any reasons thereof, is reserved by the undersigned.
The tender documents can be made available from the Office of the Chief Engineer, (KLNZ) Maharashtra State Electricity Distribution Co. Ltd., “Tejashri” 1st floor, Jahangir Maidan, Karnik Road, Kalyan (West) 421 301. From 11.00 hrs to 13.00 hrs and 14.00 hrs to 16.00 hrs. on payment of non refundable fee by cash. E.M.D. of Rs.30,000/- (Rs. Thirty thousand only) shall be paid by cash / D.D. payable on any schedule Bank in Kalyan to M.S.E.D.C.L. and the receipt or D.D. shall be attached with the tender to be submitted. The Tender documents can be downloaded from Company’s website www. mahadiscom.in, In this case the tender fee should paid by D.D. in favour of M.S.E.D.C.Ltd. on schedule bank payable at Kalyan on or before 20.10.07.

INSTRUCTIONS TO TENDERERS & GENERAL CONDITIONS.
1 ) The annual item rate tenders complete with all Annexures duly filled in
where necessary are invited in sealed covers for attending to repairs of power
transformers in VASAI CIRCLE area as per the items specified in Annexure “A”
attached hereto. The tender should be submitted so as to reach the office of
the Chief Engineer, Kalyan Zone Office, M.S.E.D.C.L. Kalyan not later than 15.00
Hrs. on 20/10/2007.

The tender should be filled in ink or typewritten. While quoting, the rates
shall be given both in figures and words. There should not be any over
writing and erasures. In case, any changes are to be made, those should be
done by crossing the original writing and signed by the tenderer. In case of
difference between rates in figures and words, the rate most favourable to the
Company shall considered to have been quoted.
2 ) The tenderer should submit unconditional acceptance in two separate sealed
envelopes as indicated below. These two envelopes super scribing on individual cover
as “ Cover “A” & “Cover “B“ shall be put in one combined cover which is to be
properly sealed and super scribed as below :

3. 4.1 The minimum average annual turnover of the bidder for the last three financial years should not be less than 30% of the quoted price of the bid The figures of average annual turnover for each joint venture / consortium partners shall be added together to determine the bidder's compliance with the minimum average annual turnover requirement for the package. However, the lead partner must meet at least 40% and each of other partners must meet at least 25% of the

minimum average annual turnover criteria given at para c) above.
Notwithstanding anything stated above, MSEDCL reserves the right to assess the capacity and capability of the bidder to execute the work, should the circumstance warrant such assessment in the overall interest of MSEDCL.
4.2. The above stated requirements are a minimum and MSEDCL reserves the right to request for any additional requirement and also reserves the right to reject the proposal of any bidder, if in the opinion of MSEDCL, the qualification data is incomplete or the bidder is found not qualified to satisfactorily perform the works.
5 EXPERIENCE):
5.1 The bidder shall provide necessary evidences in support of meeting above qualifying requirement like copies of purchase order, performance certificate from the concerned utilities etc.5.2 The bidder should possess adequate trained manpower, machines and the requisite stationary.
A. Annexure “ A “ giving the particulars of tenderer which includes
previous experience in Public and private sector. The minimum turnover for last
three financial year consider for similar nature works together, should be equal
upto Rs.30,00,000/-. Copies of orders shall be attached by you.
B. Income Tax return filed and submitted. ( along with PAN No. and TAN No.)
C. Solvency certificate of Rs.3,00,000/- from any nationalized bank or scheduled
bank.
D. Details of machinery and Testing equipments.
E. Xerox copy of EMD paid to the Company, against this tender.
F. Attested copies of Provident Fund registration, ESIC registration, Service Tax,
VAT registration, W.C.T. registration/SSI registration/registration of the firm
from registrar of companies should be enclosed.
We understand that MSEDCL reserves the right to invite detailed proposals from any private entrepreneur-company; irrespective of the fact whether the company or entrepreneur has been pre-qualified. We also understand that the MSEDCL reserves the right to reject any or all of the bids without assigning any reason thereof. We agree to abide by all the conditions governing the bids and decisions of the MSEDCL. The validity of the bid is 120 days from date of opening of Part-A bid or 90 days from the date of opening of Part-B bid whichever is later. It is certified that we have quoted for all circles prescribed in this specification; we understand that in case any circle is not quoted in financial offer, our offer will be rejected irrespective that we are qualified and even the lowest one.Thanking you,

The following data may be furnished in detail.

furnished such as number of winding machines, size of vaccum of hot air
oven, testing equipments, lifting equipments, and covered/opened area in your
workshop.

repairs.
4. Particulars of registration of the workshop to be given. If it is registered under
small scale industries, the Small Scale Industries certificate should be enclosed.

3 ( B ) Further, after opening of cover “A” and scrutinizing of the same, the cover “B”
only such tenderers will be opened who are found to be satisfying prequalifying
conditions. The second envelop ( i.e. cover “B”) shall contain following documents.
The acceptance of schedule of rates as indicated in “Schedule “A” in Part “B”
The tenderer is also required to submit tender copy after duly putting his full signature
on each page viz. these instructions sheets, special conditions duly signed/initialed on
every page, etc. the tenderer will be deemed to be fully aware of the Distrbution Co.s
general conditions of contract for supply of plant, equipments and material particularly,
in respect of security deposit, terms of payment, penalty for late delivery, etc. And any
ignorance of these conditions will not exempt him from his liability to abide by the
same. It will also be presume that , he has fully readed and understood all the terms
and conditions of the tender documents submitted.
4 ) INTERPRETATION :- If the tenderer has any doubt about the meaning of any portion of this
tender, he should at once seek clarification from the Chief Engineer, M.S.E.
Dist.Co.Ltd., Kalyan Zone, Kalyan in writing in any case at least five days
before the due date . Additions and alternations in the tender form / conditions,
etc. by the tenderer without the consent of the Chief Engineer ( KLNZ ), M.S.E.
Dist.Co.Ltd., Kalyan Zone, Kalyan are not permissible. Tenderer should either
quote his rates for the works described in the Annexure “A” or write this word
“ RATE NOT QUOTED “ against concerned items.
5 ) ACCEPTANCE OF TENDER :-The Chief Engineer ( KLNZ ), KALYAN, on behalf of the Maharashtra
State Electricity Dist.Co.Ltd., reserves the right to reject any or all the tenders
without assigning any reason thereof and also reserves the right to place
orders for any of the items of work for any number of power transformers of
any capacity and for ratio 33 kV. on primary and 22KV/11KV level on secondary
from Vasai circle under this Zone. The tender is floated for repairing of 1 MVA TO
5 MVA Power Transformers. The number of failed transformers will be as
available from time to time. There is no binding on the Company to accept the
lowest or any other tender. There is also no binding on the Company to
disclose any analysis or report or notes on the tenders. The tenderer on his
part binds himself to repair any transformer or transformers at the rate quoted

by him for different items or repair works. The Co. reserves the right to reject
any tender which does not confirm to any of the conditions. An open item rate
order indicating number of transformers of various capacities and ratios to be
repaired will be issued by the Chief Engineer, Maharashtra State Electricity
Dist.Co.Ltd.,Kalyan Zone, Kalyan to successful tenderers. The decision regarding
acceptance of the tender shall be intimated by the Co. to
the eligible Tenderer within a period of 90 days from the date of opening the
tender and the offer given by the tenderer should be valid for 90 days. The
tenderer shall be bound to repair the transformers when the acceptance is
intimated at tenderer’s address.
6 ) PERIOD OF THE CONTRACT :-The contract period for this tender is 12 months from the date of
placements of order with you and may be extended after taking consents from
tenderers if required by the company.
7 ) ITEM RATE SEHEDULE :-The item rate schedule prepared by the Co. is enclosed herewith.;which
is inclusive of all taxes. The tenderer is requested to go through every item
and quote in part “B”
8 ) WORK ORDER :-The failed transformers will be transported by repairer to the place of
repairer’s workshop and is to be opened by the repairer in the presence of a
Co.’s representatives i.e. Executive Engineer, Testing and concerned Executive
Engineer, find out the item for which repairs are required to be carried out.
The cost of repairs of each transformer will be worked out separately at the
rates quoted for the items or work required to be attended to and the
inspection report shall be signed by both parties. A work order will then be
issued by the Superintending Engineer, M.S.E. D.C.L. concerned for each
transformer separately as per joint inspection report.
9 ) PAYMENT :-The payment of repaired power transformer will be made after
satisfactory repairs as per following procedure :-

i ) 70 % payment of repairing charges after satisfactory testing of
repaired unit at works.
ii ) 20 % payment will be released on successful commissioning of the
transformer.
iii ) Balance 10 % payment will be paid after submission of B.G.from
scheduled/nationalized Bank having branch in Maharashtra State of
equal amount by tenderer. The B.G. will be retained by the Co. till expiry
of the Guarantee period as performance security.
10 ) EARNEST MONEY DEPOSIT :-A sum of Rs. 30000 /- should be deposited by the tenderer as Earnest
Money Deposit in cash or by Demand Draft or in the form of Bank Guarantee
on any National / Scheduled bank in Kalyan/ Mumbai in favour of Maharashtra
State Electricity Distibution Co. Ltd., along with the tender. A reference to the
tender number should invariably be given in case E.M.D. is paid in cash OR
D.D. before the due date of tender and relevant receipt number should be
mentioned in the tender and on the sealed cover. No interest will be allowed on
E.M.D. in case of unsuccessful tenderers Earnest Money Deposit will not
normally be retained by the Company for more than 6 months from the date
of finalizing of the tender. Earnest Money Deposited by successful tenderers will
be refunded as soon as possible after finalization of contract and within six
months or will be adjusted in security deposit. The tenderer shall submit an
advance stamped receipt for the amount of E.M.D. discharged in favour of the
Co. for obtaining refund of E.M.D.
E.M.D. is liable for forfeiture (a) if the tender which it covers is
withdrawn by the tenderer before finalization of the tender i.e. within 90 days
from the opening of the tender. (b) if the tenderer fails to pay security deposit
as stipulated. (c) if the successful tenderer refused to sign/ complete the
contract documents and agreement to execute the contracted work.
In case of payment of E.M.D. in cash , the same should be
remitted in the office of the Superintending Engineer , Kalyan Circle Office,
Kalyan and an official stamp receipt obtained immediately. If E.M.D. is not
paid , tender will not be considered.

11 ) SECURITY DEPOSIT :-The agency has to pay security deposit to the tune of 10% of the value of
the tender in cash / B.G. scheduled/nationalized Bank having branch in Maharashtra
State of before lifting the the power T/F. allotted to him for repairs from the site ,
in the office of the Superintending Engineer , Vasai. The amount of S.D. will be
returned after 100% successful completion and commissioning of Power Transformer
and certified by authority not below the rank of Executive Enginer.
12 ) TAXES :- The tenderer should quote the rates inclusive of all taxes such as VAT
tax , Excise , Octroi , Service tax & other taxes if any applicable from time to
time. No liability for any type taxes prevailing/applicable upto period of completion of
tender works, rest with MSEDCL which may be noted.
It may be noted that we can issue required form if necessary and
applicable for concession in tax wherever required.
It should be noted that no consideration will be given by this office on
account of payment work tax and Service Tax to Govt. by the contractor and
it will be entire responsibility of contractor to pay work tax to Government.
13 ) REPAIR CAPACITY / JOINT INSPECTION :-(A) The company has anticipated repair period of 90 days as under ( item a to f ) :
a ) After receipt of allotment letter the tenderer should lift the power
transformer as per Co.’s item rate schedule within 8 days after
completing all the formalities.
( b ) After lifting the transformer from Co.’s site , the intimation shall be
given by the repairer within 8 days to the concerned
Superintending Engineer for deputing the officer ( not below the
rank of Ex. Engr. ) for joint inspection. The concerned
Superintending Engineer will depute the officer for joint inspection
within 8 days.
( c ) After joint inspection the detailed work order will be placed by the
concerned Superintending Engineer within 15 days.

( d ) After receipt of detailed order , the transformer should be repaired
at agency’s works within 31 days.
( e ) After carrying out repairs , an intimation for stage inspection to be
given to Co.’s representative within the stipulated period of 10
days for repairs.
( f ) After above calls stage inspection should be carried out within 10 days.
( g ) After stage inspection a call should be given for testing within 10
days from the date of receipt of oil.
( h ) The repairer will have to transport the transformer from works to
Co.’s site as per item rate schedule and will have to carry out
assembly of the transformer at Co.’s site for attending pre-
commissioning work and commissioning of the transformer and the
testing of the transformer as per I.S.2026 with latest amendments.
This is to be carried out within 15 days.
( B ) REPAIR CAPACITY :- Time being essence of contract the output should be strictly adhered to.
Capacity as to how many transformers repairer can repair simultaneously
should be clearly mentioned. The power T/Fs. should be repaired within the
period of 3 months from the date of handing over of the transformer , otherwise
penalty as per clause No. 19 hereto will be charged on the firm.
14 ) DAMAGED HV/LV COILS :- Tenderer will have to return all damaged HV/LV coils to the Co’s Store,
for which the receipt giving details of quantity and weight etc. as necessary
will be given accordingly. The weight of copper will be measured after
removing all the insulation material in the joint inspection. The copy of credit
note of damaged HV/LV coils to store center should be attached with bill.
Payment of bills will not be processed if credit note is not attached.
15 ) GUARANTEE PERIOD :-Each repaired transformer as a whole shall be guaranteed for trouble –
free service for the period of 12 months from the date of commissioning or 16
18 months from the date of dispatch whichever is earlier. If the transformer
fails within guaranteed period during service then the total period of 12
months will be counted as subsequent period of service after repairs. Any
failure and further repairs required during the guarantee period thereafter for one
year shall be attended by the repairer free of charge including transport.
16 ) DUE DATE OF TENDER : -All the tenders received upto the due date and time will be opened as far as
possible on the specified date and time in the presence of the tenderers or
their authorized representatives who choose to remain present at that time
under normal circumstances.
17) STAGE INSPECTION :
Every stage of repairs is to be intimated to the divn. office for deputing the
representative for stage inspection.
18 ) INCOME TAX RETURNS : -No tender will be considered unless it is accompanied by Income Tax returns
certificate and solvency certificate to the tune of Rs.3 lac.
19 ) DEDUCTIONS :-Any amount or amounts becoming due on account of damages or
compensation for default breach of contract by the repairer , in addition to the
deduction from security deposit, the said amount/s may be retained from any
payments due to the repairer and the Company shall have the right to retain
amount/amounts from any payment due to the repairer under particular contract
which may be deducted by the Company from amount / amounts due or being
due by him to the repairer under the same or any other contract. All disputes
or differences arising under, out of or in connection with the contract, so
concluded shall be subject to the exclusive jurisdiction of Kalyan Courts.
Once a receipt for taking over the transformer in custody is signed by
the repairer, the failed power transformer would be in his custody till the repaired
transformer is handed over to the Co.’s representative after due repairs and tests and
receipt thereof is signed in token of acceptance by Co.’s representative.

Any loss or damage due to handling , theft or any other reason during
this period would be to the repairer’s account . Accordingly , the repairer will
have to pay within a time specified in the order a security deposit in cash.
After lifting the transformer from Co’s site , any losses or damages due to
handling or theft or any other reasons during the period would be on your
account. The amount of damages if any will be recovered from your bill. For
this purpose , you will have to execute an indemnity bond on stamp paper of
Rs.100 /- and agreement of Rs. 100/- at your cost. The blank specification of
indemnity bond and agreement are enclosed for your reference.
20 ) FAILURE TO EXECUTE ORDER :- In case of failure on the part of the repairer to cope up with the work
within the specified period, the same will be got executed through some other
agency at your risk and cost even at higher rates and the difference in
amount if any, will be recovered from the repairer in addition to 15%
supervision charges.
Further in case of failure to repair the transformer as agreed by repairer
in the offer, the Company reserves the right to curtail the quantity. If the
performance is poor then cancellation of order in part or whole will be
considered. The Chief Engineer, M.S.E.Dist.Co.Ltd., Kalyan Zone ,Kalyan,
reserves the right for cancellation of order partly or fully without assigning any
reason.
21 ) PENALTY FOR LATE DELIVERY :-In case the transformer is not delivered within the specified time , the
contractor shall be liable to pay penalty @ 1% per week subject to maximum
of 10 % of the value of order.
22 ) MISCELLANEOUS :-( i ) No modification of any kind such as rebates, etc. in the tender value will
be accepted after due date and time of receipt of tender. No deviation
from specifications will be allowed. The Chief Engineer (KLNZ) Kalyan
will, However, be free to negotiate any particular item with any tenderer.
( ii ) The tenderer should furnish full details about himself and amount of the
work of receipt of power transformers carried out by him for this

Company and in other Govt. or Semi-Govt. organization on the page
provided for this purpose and submit true copies of certificates in proof
thereof ( which will not be returned. )
( iii ) Right to place work orders item wise for any of the items is reserved.
( iv ) The contract or any part of thereof shall not be sublet without written
permission of the Chief Engineer (KLNZ) , M.S.E.D.C.L. Kalyan Zone ,
Kalyan.
( v ) The tenderer will be presumed to be aware of the Co’s general
conditions of contract ( Part II ) and general conditions of work contract
which are also binding so far as they are applicable in respect of this
contract except the terms and conditions mentioned in this tender.
( vi ) The decision of the Chief Engineer (KLNZ) , M.S.E.D.C.L. , Kalyan Zone ,
Kalyan about the interpretation of any items and conditions of this tender
specification including Annexures and booklets of general terms and
conditions and order placed under this tender shall be final and binding
on the tenderers / repairers.
( vii ) This complete tender documents shall be deemed to form the part of
the item rate contract and work orders if and when placed subsequently
on the basis of this shall be binding on the tenderer / repairer.
( viii) The tenderer should have annual turnover of Rs.6.00 Lakhs for repairing
of Power Transformers of ratio of either 33/22 KV, 33/11 KV or together.

SPECIAL CONDITIONS OF CONTRACT FOR REPAIRSOF POWER TRANSFORMERS.
1 ) The tenderer should quote the item rates in accordance with items,
remarks and notes in PART “B” hereto.
2 ) The transformers shall be repaired at the repairer’s workshop only. The
repairers should give the detailed address of their factory / workshop where the
transformers will be repaired. The failed transformers will be transported to the
repairer’s factory / workshop and transported back after repairs from the factory
by the repairer and repairer will have to arrange loading, unloading of
transformer also. Further repairer will have to make Insurance of the
transformer during transportation at his own cost.
3 ) Efforts have been made to make the list of items of repairs (Annexure
“A” ) as exhaustive as possible. The decision of the Chief Engineer ( KLNZ ) ,
M.S.E.D.C.L. Kalyan about the interpretation of any item and actual scope
work covered by any item shall be final. If any special or extra item of repair
not covered by the item rate order is required to be carried out , the repairer
shall get the item rate for the same approved from the Chief engineer ,
Kalyan Zone ,M.S.E.D.C.L. Kalyan before carrying out the special or extra item
of work.
In case of damage to the yoke or limb no repairs to be carried out without permission from this office. Also in case of installation of New OLTC.
4 ) The repair work, generally involves replacement / re insulation of H.V./L.V.
coils, gaskets, breathers, bushings, terminal bolts and other work-out parts
wherever necessary and reassembly, filtering, etc. The replacement parts should
be of original, genuine or reputed standard makes of best quality &
workmanship and confirmed to relevant I.S.S. subject to the approval of the
Company’s officer deputed for this work.
It is presumed that tenderer has got qualified & experienced staff to
carry out the repair work. The repair work shall be in conformity with relevant
Indian Standard Specification and clear certificate to that effect should be furnished
on completion of the repair work.

Unless credit rate is approved for particular item, all old damaged /
replaced parts will be returned to the Company’s representative, for which a
receipt giving detailed of quantity and weight etc. as necessary shall be
obtained and attached to the test certificate.
5 ) The repaired transformers shall be subjected to routine tests as per IS-
2026/1977 for repaired transformers and the testing arrangements will have to be
made by the repairer and the repairer should have all testing equipments / facilities.
All the tests shall be carried out in the presence of the Company’s representative,
nominated by the Chief Engineer , M.S.E.D.C.L. Kalyan Zone, Kalyan. A certificate
of all tests carried out on the repaired transformers jointly signed by the
repairer and Co’s representative shall be submitted to Superintending Engineer ,
M.S.E.D.C.L., Vasai Circle office with a copy to the Chief Engineer, M.S.E.D.C.L.,
Kalyan Zone, Kalyan. The repaired transformers will be dispatched only after Co’s
representative certifies the tests to the satisfaction on the test certificates. The
repairer shall give an advance intimation of seven days to Co’s representative
before the repaired transformers are ready for inspection and testing, failing
which the repairer shall be responsible for delay in delivery.
6) While attending repairs of the transformers, the repairer shall ensure that
the guaranteed technical particulars & performance as the original maintained
for repaired transformers except where voltage ratio order is to be changed.
Under no circumstances the values of percentages impedance, losses and
efficiency should be altered from original values except when voltage ratio is
changed.
7) if any extra items of repairs are required to be carried such works shall be carried by
you only after separate work order is placed on you by this office after getting
quotation from you.
8) The transformer oil will normally be supplied by the Co. and same
should be used for filling in the tank of repaired transformer. In case if
required , the firm will have to supply the transformer oil of EHV grade and the
cost of the same will be refunded to you at rate prevailing at our Central
Purchase Agency at Mumbai.

9) On completion of repairs and tests, before delivery the repairer shall
affix, free of cost, just below the manufacturer’s name plate on the transformer,
a suitable metallic name plate with following details punched on it :

10 ) After satisfactory completion of repairs and test, the repairer shall submit
his bill in triplicate to the Superintending Engineer ,Vasai circle alongwith test
certificate etc. for making arrangements of payment.
11 ) Before lifting the transformer, tenderer will have to arrange for insurance
of the power transformer for all risks such as the fire , theft, damage or riots,
etc. The insurance charges are to be borned by the repairer covering the cost
of the transformer. The insurance should be in the name of Maharashtra State
Electricity Distribution Co.Ltd.

THE MATTERS TO BE DETERMINED BY THE CHIEF ENGINEER :-All disputes and differences of any kind whatsoever arising out of or in
connection with the contract, whether during the progress of the work or after
its completion and whether before or after the determination of the contract ,
shall be referred by the contractor to the C.E. and the C.E. shall ( within 120
days ) after receipt of the contractor’s representation make and notify decisions
of all matters referred to by the contractor in writing.
(i) Demand for Arbitration :- In the event of any dispute or difference between the parties here to as
to the construction or operation of this contract, or the respective rights
and liabilities of the parties on any matter in question , the dispute or
difference on any account or as to the withholding by M.S.E.B. of any
certificate to which the contractor may claim to be entitled to, or if the
C.E. fails to make a decision ( within 120 days ) then and any such case,
the contractor ( after 120 days ) but within ( 180 days ) of his presenting his
final claim on disputed matters shall demand in writing that the dispute
or difference to be referred to arbitration.
(ii) The demand for arbitration shall specified the matters which are in
question , or subject of the dispute or difference as also the amount of
claim itemwise. Only such dispute(s) or difference(s) in respect of which
the demand has been made, together with counter claims or set off,
shall be referred to arbitration and other matters shall not be included
in the reference.
(a) The arbitration proceedings shall be assumed to have commenced
from day , a written and valid demand for arbitration is received
by the Company.
(b) The claimant shall submit his claim stating the facts supporting the
claims along with all relevant documents and the relief or remedy
sought against each claim within a period of 30 days from the
date of appointment of the Arbitral Tribunal.
(c) The Company shall submit its defense statement and counter
claim(s) , if any , within a period of 60 days of receipt of copy of
claims from the Tribunal thereafter unless otherwise extension has
been granted by the Tribunal.

(iii) No new claim shall be added during the proceedings by either party.
However, a party may amend or supplement the original claim or
defense thereof during the course of arbitration proceedings subject to
acceptance by Tribunal having due regard to the delay in making it.
(iv) If the contractor (s) does /do not prefer his /their specific and final claims
in writing ,within a period of 90 days of receiving the intimation from
the Company , that the final bill is ready for payment , he/they will
deemed to have waived his/their claims(s) and the Companys shall be
discharged and released of all liabilities under the contract in respect of
these claims
OBLIGATION DURING PENDENCY OF ARBITRATION :-Work under the contract shall , unless otherwise directed by the Engineer
continue during the arbitration proceedings , and no payment due or payable
by the Company shall be with held on account of such proceedings ,
provided , however ,it shall be open for Arbitral Tribunal to consider and
decided whether or not such work should be continued during arbitration
proceedings .
(i) In cases where the total value of all claims in questions added together
does not exceed Rs. 1,00,00,000 /- (Rupees One Crore) the Arbitral
Tribunal shall consist of a Sole Arbitrator who shall be either the C.E.
of the Company or serving or retired officer of the Company
/Government not below the grade of C.E. or equivalent nominated by the
M.D. of the Company in that behalf. The Sole Arbitrator shall be
appointed within 60 days from the day when a written and valid demand
for arbitration is received by Company.
(ii) In cases the value of the claim exceeds Rs. 1,00,00,000 /- (Rupees One
Crore) as above, the Arbitral tribunal shall consist of panel of three
serving or retired officers of M.S.E.D.C.L../ Government not below the
grade of C.E. / C.A.O. as the Arbitrators. For this purpose the Company
will send a panel of more than three names of Arbitrators of one or
more departments of the Company / Government to the contractor who
will be asked to suggest to the M.D. at least 2 names for appointment

as contractor’s nominee . The M.D. shall appoint at least one of them as
the contractor’s nominee and will also appoint the balance number of
Arbitrators either from the panel or from outside the panel , duly
indicating the presiding Arbitrator from amongst the three(3) Arbitrators so
appointed. While nominating Arbitrators, it will be necessary to insure
that one of them is or has worked in Accounts department.
(iii) If one or more Arbitrators appointed as above refuses to act as
Arbitrator, withdraws from his office as Arbitrator or vacates his /their
office/offices or is /are unable to unwilling to perform his function as
Arbitrator for any reason whatsoever or dies or in the opinion of the
M.D. fails to act without undue delay, the M.D. shall appoint new
Arbitrator/s to act in his /their place in the same manner in which the
earlier Arbitrator/s had been appointed such reconstituted Tribunal , may ,
as its discretion proceed with the reference from the stage at which it
was left by the previous Arbitrator (s).
(iv) The Tribunal shall have powers to call such evidence by way of
affidavits or otherwise as the Arbitral Tribunal shall think proper , and it
shall be the duty of the parties hereto to do or cause to be done all
such things as may be necessary to enable the Arbitral Tribunal to
make the award without any delay.
(v) While appointing Arbitrator (s) as above , due care shall be taken that
he / they is/are not the one /those who had an opportunity to deal with
the matters to which the correct relates or who in the course of
his/their as Company’s servant (s) expressed view on all or any of the
Arbitral Tribunal or the award made by such Tribunal will , however, not
be invalid merely for the reason that one or more Arbitrator had , in the
course of his service , opportunity to deal with the matters to which the
correct relates or who in the course of his/their duties expressed views
on all or any of the matters under dispute.
(vi) Arbitral award shall straight item wise , the sum and reasons upon
which it is based.
(vii) A party may apply for corrections of any computational errors , any
typographical or clerical errors or any other errors of similar nature

occurring in the award to Tribunal within 30 days of receipt of the
award.
(viii) A party may apply to Tribunal within 30 days of receipt of award to
make an additional award as to claims presented in the Arbitral
proceedings , but omitted form the Arbitral award.
(ix) In case of the Tribunal , comprising of three members any ruling or
award shall be made by a majority of Members of Tribunal in the
absence of such a majority , the views of the Presiding Arbitrator (s) shall
prevail.
(x) Where the Arbitral award is for payment of money , no interest shall
be payable on whole or any part of the money for any period till the
date on which the award is made.
(xi) The cost of the Arbitration shall be borne equally by the respective
parties. The cost shall inter-alia include fees of the Arbitrators as per the
rates fixed by the Company from time to time. Provided that the fees
payable per Arbitrator for claims up to Rs. One Crore , shall not exceed
Rs.2000/- per sitting subject to a maximum of Rs. 25,000 /-
and the fees payable per Arbitrator for claims over Rs. One Crore ,
shall not exceed Rs. 2000/- per sitting subject to a maximum of Rs.
50,000/- provided further that the Arbitrators who are in service of
Government / M.S.E.D.C.L.. shall draw fees at half of the rates mentioned
above .
(xii) Company shall maintain a list of Arbitrators the M.D. shall have full
powers to delete or add the name of the Arbitrators in the list to make
amendments to the said list as per his discretion.
(xiii) The Arbitral proceedings should be completed and the award be finalized
within one year from the date of appointment of the Arbitrators.
(xiv) Subject to the provisions as aforesaid , Arbitration an conciliation
act ,1996 and the rules there under , and any statutory notification
thereof shall apply to the Arbitration proceedings under this clause.
In case the contractor(s) falls within the ambit of Small Scale and
Ancillary Industrial Undertakings Act , 1993 , following clause regarding payment
shall be incorporated.

1. We shall make good any loss ,shortage, damage to or destructions of the

the date of report by the designated consignce and further agree and authorize
the Company in case of our default so to make good the amount of loss to
recover the loss of the cost of such spares without any further notice to us
from our pending bills with the Company or from any other payments due to
us including the security deposits placed with the Company under the terms of
the said contract.
3. we shall indemnify and save the Company harmless at all the times from any
all loss, costs and consequences in respect of the transformers entrusted to us
for handling and repairs and agree that any case of any default or failure on
our part to discharge the above mentioned obligations, the Company shall in
addition to above and without prejudice to its right of recovery provided herein
or in our contract with the Company entitled not only to terminate that contract
at our cost but also be held us liable and may take legal action against us.

Legal :-
1) Agency will indemnify M.S.E.D.C.L. against any liability or damages by
way of compensation arising from any accident to person or property of
persona in the Agency’s employment.
2) Agency shall indemnify M.S.E.D.C.L. against any liability or damages by
way of compensation arising from any accident to any other person
related or unrelated to Agency or M.S.E.D.C.L.
3) Agency shall bear the entire responsibility, liability and risk relating to
coverage of work force under different statutory regulations including but
not limited to workmen compensation Act, ESI, Factory Act, Contract
labor Act 1970 etc. and any relevant regulations, as the case may be.
4) Agency shall be fully responsible for payments for benefit including but
not limited to Provident Fund, Bonus, Retrenchment Compensation,
Leave Encashment, E.S.I. etc. as per statuary provisions.
5) Necessary payments and liability shall be
responsibility of Agency irrespective of payments received from
M.S.E.D.C.L. or oetherwise.
6) All taxes and dues payable to government and or local authorities in
respect of these works shall be the responsibility of the Agency and on
Agency will have to indemnify M.S.E.D.C.L. against liabilities on account
of such levies or taxes.
7) In the event Agency is not in a position to complete the contract or any
part of contract for any reason whatsoever, M.S.E.D.C.L. will make
alternate arrangement to complete the work at the cost, this can
responsibility of Agency.
