s an expert in corporate securities law, public offerings, regulatory compliance, corporate governance and federal and state securities law, John J. DiRocco Jr. is well-suited for his positions with SunCoke Energy Inc. He joined the building materials company three years ago, and is currently serving as its vice president, assistant general counsel and corporate secretary. Mr. DiRocco’s job entails navigating the complexities of the Securities and Exchange Commission (SEC), reporting requirements, corporate governance guidelines, general disclosure and other related materials, and serving as the leading internal corporate and securities law counsel and corporate secretary for the NYSE-listed corporation and sponsored master limited partnership subsidiary. He has also contributed to corporate objectives on financing transactions, acquisitions and divestments, regulatory compliance, executive compliance, corporate governance, and board and committee matters. Additionally, Mr. DiRocco reviews transactions, including capital-raising, securities offerings, mergers and acquisitions, credit facilities and other loans, and handles venture capital financing, litigation, contract negotiation, investor relations and shareholder arrangements. Mr. DiRocco became involved in the industry after starting out as an assistant general counsel and assistant corporate secretary for Sunoco. Now, 25 years later, he attributes his success to his ability to get along with colleagues and to communicate important aspects of compliance with executives and board members. To prepare for his career, Mr. DiRocco earned a JD from Temple University in 1991, a Bachelor of Science in Nursing from the University of Pennsylvania, where he graduated magna cum laude in 1985, and a Bachelor of Arts in biology from Brown University in 1979. He also completed coursework at The William Penn Charter School. Mr. DiRocco is a member of the American Bar Association, the Illinois Bar Association, the Association of Corporate Counsel, the Society of Corporate Secretaries and Governance Professionals, and the National Association of Stock Plan Professionals.
