A Corporation Not-for-Profit MINUTES OF THE BOARD OF DIRECTORS MEETING January 25, 2016 A REGULAR MEETING of the Board of Directors was scheduled to be held at 9:00am at the Venetia Clubhouse, located at 4401 Corso Venetia Blvd., Venice, Florida. The meeting was called to order at 9:01A.M. by the President, Ronnie Hotz. Notice of the meeting was delivered to each Board Member and posted on the property prior to the meeting, in accordance with the requirements of the Association Documents and Florida Statutes. (See attached marked as Handout #1) The following directors were in attendance: Ronnie Hotz Art Apicello Cathie Bakula Bill Cummings Jim Cannata George Sperry Wayne Hart A quorum was declared to be present. Under the heading of Approval of Meeting Minutes, the minutes of the Board of Directors meeting of December 7, 2015 meeting, were approved as presented. Under the heading of Reports of Officers: President’s Report by Ronnie Hotz. Oak trimming by Deans Tree Service Fallen Tree Woodmere street signs Traffic Counter Woodmere Entrance Installation of new Pool signs Next phase of the sidewalk repairs Entrance gate issues Annual Meeting Treasurer’s Report, Cathie Bakula reviewed the December 2015 financials in detail, see attached marked as Handout # 2. Manager’s Report, Dennis C. Smith, CAM reported, see attached marked as Handout #3. Under the heading of Reports of Sub Associations: Reports were given for: Venetia Neighborhood #1 by Norman Hotz, The neighborhood is quiet. The construction of the new house is going slower than expected. The annual elections were held, the same Board as last year. Casa Di Amici by Bill Cummings, Winter residents are returning.

MINUTES OF THE BOARD OF DIRECTORS MEETING

January 25, 2016 A REGULAR MEETING of the Board of Directors was scheduled to be held at 9:00am at the Venetia Clubhouse, located at 4401 Corso Venetia Blvd., Venice, Florida. The meeting was called to order at 9:01A.M. by the President, Ronnie Hotz. Notice of the meeting was delivered to each Board Member and posted on the property prior to the meeting, in accordance with the requirements of the Association Documents and Florida Statutes. George Sperry Wayne Hart A quorum was declared to be present. Under the heading of Approval of Meeting Minutes, the minutes of the Board of Directors meeting of December 7, 2015 meeting, were approved as presented. Under the heading of Reports of Officers: President’s Report by Ronnie Hotz.

Bud Braun reported for Villa Paradiso,

• The new Board for 2016 has been elected. Don Maselli reported for Villa Vivaci:

• A new board has been elected. Under the Heading of Reports of Committees: Don Oakley reported for the Tennis Committee, the committee has been looking into the resurface and repair of the tennis courts. The proposals were reviewed by the committee and recommended Stewart Tennis Courts & Fencing to do the repairs. Upon a motion by Mr. Cannata, seconded by Ms. Bakula, it was unanimously,

VOTED 15-43: to accept the proposal from Stewart Tennis Courts & Fencing to resurface and repair the tennis courts at a cost of $16,900.00 to be paid from the Tennis Court Reserve GL # 5450.

Motion Passed Art Apicello reported for the Infrastructure Committee,

• The spot lights at the flag poles were replaced under warranty. • A pot hole on Corso Venetia was repaired. • The gate arms have been adjusted.

Cathie Bakula reported for the Citizens Patrol,

• The patrol is still in need of volunteers. Mary Lou Holler reported for the Environmental Committee,

• Ponds are full. • No recent complaints.

Ronnie Hotz reported for the Landscape Committee,

• Vines are still in the Jasmine. • The flowering plants along the Jacaranda Berm still need replacing.

Wayne Hart reported for the Clubhouse Committee.

• The Rules and Regulation booklets are ready to be given out. • Barbara Williams has joined the committee. • There is still a need for Volunteers on the committee.

Social Club report by Mary Eve:

• Thank you to the Christmas decorators. • There were 40 players at the last bingo night.

Golf Club

• Golf is scheduled for each Friday. UNDER THE HEADING OF OLD BUSINESS: Matters relating to Wild pigs/boars: There was a proposal to hunt and capture the wild pigs that have been wandering the property; the hunters submitted a release to the community. The release was sent to the Association Attorney for review. The Attorney did not think that it reduced the Associations liability enough; the Board has asked the Association Attorney to revise the release so that it meets his criteria.

Matters relating to VCA/Lighthouse Contract: After some discussion, the proposed contract was referred to the Association Attorney for review. Matters relating to Bocce: After some discussion, upon a motion by Mr. Sperry, seconded by Mr. Cannata, it was unanimously,

VOTED 15-44: to prepare a mailing package and voting proxy to be mailed to the membership for a vote to add the amenity to the property, with a meeting to be held on February 22, 2016.

Motion Passed UNDER THE HEADING OF NEW BUSINESS: Matters relating to Next phase sidewalk repair: After some discussion, upon a motion by Mr. Cummings, seconded by Mr. Sperry, it was, VOTED 15-45: to defer the next phase of the sidewalk repairs. For: Mr. Cummings Against: Ms. Hotz, Mr. Apicello, Ms. Bakula, Mr. Cannata, Mr. Sperry and Mr. Hart. Motion Failed After further discussion, upon a motion Ms. Bakula, second by Mr. Sperry, it was,

VOTED 15-46: to accept the contract from MP Projects to repair the next phase of sidewalks at a cost of $80,597.00.

For: Ms. Hotz, Mr. Apicello, Ms. Bakula, Mr. Cannata, Mr. Sperry and Mr. Hart. Against: Mr. Cummings Matters relating to Landscaping: MRT landscaping has recommended that the palms at the Jacaranda entrance that were infected with Ganoderma, be replaced with Royal Palms which seem to be resistant to the Ganoderma. The next regular meeting of the Board is Monday, February 22, 2016 at 9:00AM at the Venetia Community Clubhouse at 4401 Corso Venetia Blvd., Venice, FL 34293. With no further business before the Board, upon a motion made and seconded, the meeting was adjourned at 12:03 A.M. _____________________________ Dennis C.
