Online e-bids are invited for the Civil Consultancy for Installation of new Sugar Mill Plant of 5000

TCD capacity along with Cogeneration Plant of 27 MW at Pipraich (Gorakhpur) and Munderwa

(Basti) Sugar Mill of UPSSCL. from firm/contractor.

1. Bidders are advised to study the tender Document carefully. Submission of e-Bid

against this tender shall be deemed to have been done after careful study and

understanding of its implications.

4. The bidders need to submit the proof/cost of e-Bid document/processing as stated in the above table in Cash in the Corporation office or through Demand Draft in favour of U.P. State Sugar Corporation (herein after referred as UPSSCL) payable at Lucknow. The scanned copy of the Cash Deposit Receipt or Demand Draft or Banker’s Cheque must be enclosed along with the e-Bids but the original Demand Draft or Banker’s Cheque should reach the office of UPSSCL at Lucknow before opening of technical e-Bid.

5. All e-Bid must be accompanied by e-Bid Earnest Money Deposit (EMD) and Bid

Security in the form of Demand Draft, drawn in favour of U.P.State Sugar Corporation Ltd. Payable at Lucknow. The scanned copy of the e-Bid EMD must be submitted along with the e-Bid and the original should reach the UPSSCL office at Lucknow before opening of technical e-Bids. No Interest would be payable on e-Bid (Earnest Money) and Bid Security deposited with the UPSSCL. All EMD deposited against tender invited on 29-01-2018 will be also considered agaisnt this tender on consent of bidders.

6. The e-Bids will be electronically opened in the presence of bidder’s

representatives, who choose to attend at the venue, date and time mentioned in the above table. An authority letter of bidder’s representative will be required to be produced.

7. The UPSSCL reserves the right to cancel any or all the e-Bids/annul the e-Bid

process without assigning any reason thereof. The decision of UPSSCL will be final and binding.

8. In the event of date specified for e-Bids opening being declared a holiday for

UPSSCL office then the due date for opening of e-Bids shall be the following working day at the appointed time and place.

9. All the required documents including Price Schedule/BOQ should be uploaded by

the e-Bidder electronically in the PDF/XLS format. The required electronic documents for each document label of Technical (Fee details, Qualification details, e-Bid Form and Technical Specification details) schedules/packets can be clubbed together to make single different files for each label.

10. The companies/firms who are registered at e-Procurement portal for e-tendering

with UP Electronics Corporation Ltd, 10 Ashok Marg, Lucknow-226002, would only be eligible for participating in this e-tender as well as in e-tendering system of U.P. Govt. departments. All companies/firms who have not registered themselves with UPLC Ltd ,Lucknow for e-tendering till date can get their registration done by depositing a filled in form issued by UPLC Ltd, Lucknow along with registration fee of Rs. 6000.00 (Rupees Six thousand only) for participating in this e-tender and other e-tenders of U.P. SECTION I : INSTRUCTIONS TO BIDDERS (ITB)

THE BID DOCUMENT 1. Purpose Uttar Pradesh State Sugar Corporation Limited (UPSSCL), intend to Installation of New Sugar Mill Plant of 5000 TCD capacity along with Cogeneration Plant of 27 MW on EPC basis at Pipraich (Gorakhpur) and Munderwa (Basti) Sugar Mill of UPSSCL. Bids are invited from registered Firm/Contractor/Consultants for Civil Consultancy work for the said project. Scope of Work and Deliverables

The Civil, Consultant is required to provide civil consultancy for following works: A. Civil Consultancy on Civil Works to be executed by the Plant & Machinery

Supplier a. Vetting of all civil detail drawings and design calculation etc. provided by the

Supplier of Plant & machinery who will provide detailed civil drawings, structural drawings, design calculations along with load data, coordinates & general and engineering layout within time schedule as per Annexure -1. Which will also include following but not limited to;

I. Foundations of machinery & equipments to be supplied.

II. Foundations of retained machinery which are proposed to be shifted.

III. Checking of RCC chimney design and drawings.

IV. Vetting of drawings including structural drawings of mills house, power house and other sheds as well as residential structure to be newly constructed.

V. Vetting of drawings of foundations of Molasses tank.

VI. Vetting of drawings of Sugar, Gunny Bag, Sulphur & Lime Godowns.

VII. Vetting of drawings of drains, trenches, roads and other site

development.

b. Vetting of structural steel design and drawings for all superstructure.

c. Preparation of preliminary general layout and Engineering layout of the sugar mill complex showing existing machinery and proposed machinery to be installed. The drawings will incorporate cane yard, cane handling and preparation areas, mill house, power, house, cooling towers, boilers and bagasse handling, DM Plant, Boiling and Dryer House, Spray Pond, Sugar godowns, other godowns, Administrative Office, Cane / Sugar sales office, Time and security office, ETP, Molasses tank, Boundary wall with main gate, R.O. plant, approach road, internal roads, factory drain, workshop, security barricade, Guest House, Canteen, General store, Technical block, Switch yard and areas earmarked for future projects.

d. Coordination of work at site by visiting site at regular intervals, whenever required, as per UPSSCL request. Civil Consultant will make minimum 10 visits which will be inclusive in the fees quoted by him. In case the visits exceeds 10 in number, as stated above, UPSSCL shall pay Civil Consultant Rs. 5000/- (Rupees Five thousand) only per visit including all expenses whatsoever.

e. Preparation of required drawings for obtaining various statutory clearances.

f. Consultant shall supply all electrical layout and line diagram outside the factory building & housing colony.

g. To provide all necessary civil and structural consultancy for the successful completion of the project.

h. The major structural drawings and designs should be checked and vetted by the Professor of any reputed Engineering Institute like Indian Institute of Technology.

i. Civil consultant will submit his report on vetting of various drawings etc. to UPSSCL/Sugar Mill and may also give comments/suggestion on the drawings if any changes are required within the time period given in Annexure-1.

B. Civil Consultancy on Civil Works to be executed by the Sugar Mill

a. To prepare the detail civil drawings, design calculations, estimates based on district PWD rate schedule, bill of quantity, fabrication drawings, bar bending schedule etc. for the required civil works. Civil consultant will revise and reissue drawings already issued, if the need arises as per suggestions/comments of UPSSCL and its Inspection Agency.

b. To prepare preliminary architectural drawings, layouts and after consultations with UPSSCL, prepare final layouts and floor plans.

c. To prepare detail architectural, foundation, structural and services and

drawings, ‘good for construction’.

d. To prepare complete RCC foundation and drawings and designs for machinery and equipment foundations.

e. Providing drawings and vetting of building columns. Portals, trusses, purlines,

rafter etc. regarding stability & structure of existing sheds of plants & machinery to be retained.

f. All designing work shall be carried out by the consultant by adopting various Indian Standard Codes. The major structural drawings and designs should be checked and vetted by the Professor of any reputed Engineering Institute like Indian Institute of Technology.

3. Deliverables

The consultant shall provide free of cost, the following documents; 1. Consultant will provide his comments/suggestions on the drawings vetted by him.

2. Soft copies of drawings and documents as and when required by UPSSCL to make additional copies for said project. (Soft copies will be both in AutoCAD and PDF format)

3. Consultant will also provide 3 hard copies of drawings

4. Eligibility Criteria Firms/Consultants/Contractors bidding for the purpose of appointment as Civil Consultant should fulfill the following eligibility criteria and enclose the certified copies of the proofs to prove their eligibility:

i. The party should be a Government Approved Civil Architectural & Structural

consultant/Engineer. (Approval can be from any Central Government/State Government Agency)

ii. The party should have a minimum experience of at least 15 years in the area of Civil Consultancy.

iii. The party should have, carried out civil consultancy in at least 02 sugar mills having minimum capacity of 5000 TCD and Co-generation plant of minimum capacity of 27 MW in last 15 years

iv. The party should have, in the last 05 years, carried out civil consultancy of at least 02 manufacturing units (other than sugar industry).

v. The party should have at least 05 professionals (i.e. Structural Engineers/Civil Engineers/ Electrical Engineers).

vi. The Party should have minimum turnover of INR 50 lakhs as per the last audited annual report not before 31st March, 2017.

5. Proposed schedule for completing the assignment – As per Annexure-I

6. Bid Document Cost

TOR/Bid document containing details of scope of work, eligibility criteria and other terms & conditions may be downloaded from websites mentioned above. The bidders shall have to pay Tender document fee of Rs 5000.00 (Rupees Five Thousand) only plus GST in cash or through Demand Draft or Banker’s Cheque payable in favour of U.P. State Sugar Corporation Ltd. payable at Lucknow. The photo scanned copy of the Cash Deposit Receipt or Demand Draft or Banker’s Cheque must be enclosed along with the e- Bid.

7. Last date for submission of bid

The interested bidders may upload their e-bids positively upto 1855 hrs on 8th March, 2018 on http://etender.up.nic.in

8. Bid Security

Apart from EMD of Rs. 50000/- the Financial Bids should also be accompanied with a Bid Security of Rs. 10,000 (Rupees Ten) only in the form of demand draft issued by a scheduled commercial Bank in favour of “U P State Sugar Corporation Limited”, payable at Lucknow. The Bid Security shall be converted into a Performance Security for the successful bidder which shall be refunded along with the final payment of fee on satisfactory completion of work. The Bid Security of the remaining bidders shall be refunded within 15 days from the selection of Civil Consultant. EMD of L3 and above bidders will be refunded after declaration of L1 & L2. EMD of L1 & L2 will be refunded after agreement with L1.

9. Opening of Bids & Bid Evaluation

The opening of bids shall take place at Uttar Pradesh State Sugar Corporation Limited, Vipin Khand, Gomti Nagar, Lucknow – 226 010 (Uttar Pradesh) at 12.30 hours IST in the presence of bidder(s) on 9th March , 2018 in the presence of representatives of bidders who opt to be present. Firstly Technical bid will be opened and evaluated. Bidders who will satisfy eligibility criteria will be declared successful bidders. The financial bids of the bidders, who do not satisfy the Eligibility Criteria or have not submitted the requisite documents including Bid Security, shall not be opened.

The work would be awarded to the bidder who would satisfy the Eligibility Criteria and quotes the lowest consolidated fee chargeable including out of pocket expenses, Travelling expenses etc.), provided it is as per this TOR.

10. Letter of Appointment

The selected Civil Consultant shall be issued a Letter of Appointment after completion of the bid evaluation and selection process within one week of the date of bid opening.

11. Payment of fee to the appointed Civil Consultant

A. In case of Civil Consultancy on Civil Works to be executed by the Plant & Machinery Supplier Within 15 days of vetting/providing of drawings by Civil Consultant as per clause 3 and approval of UPSSCL. Civil Consultant will submit running bills to Sugar Mill who will pay the fees after deducting TDS and 10% of bill amount within 15 days. The fee shall be payable on the basis of actual cost of civil works given by the Supplier/Seller in price break up of Civil works which will be provided by the Civil Contractor and approved by UPSSCL.

B. In case of Civil Consultancy on Civil Works to be executed by the Sugar Mill Within 15 days of providing of drawings and other deliverables by Civil Consultant as per clause 3 and approval of UPSSCL. Civil Consultant will submit running bills to Sugar Mill who will pay the fees after deducting TDS and 10% of bill amount within 15 days.

The fee shall be payable on the basis of actual cost of civil works to be done by the Sugar Mill. The Sugar Mill shall pay to the Consultant from time to time running bills and final bill in connection with the work carried out by the Consultant within 15 days from the date of receipt of bills, after completion of the consultancy as per scope of work. The payment, shall however, be made on completion of part work to the satisfaction of Sugar Mill. Sugar Mill shall retain ten percent of the amount from the Consultants running bills for the purpose of levying penalties etc. In case any situation demands. Such security amount shall be refunded to the Consultant after one year of the completion of civil works or 1st crushing season whichever is later.

12. Other terms and conditions

� The consultant shall undertake 10 (ten) visits till completion of the work to the site and/or to the office of UPSSCL, Lucknow as and when required by UPSSCL with a view to guide UPSSCL and/or their Engineer etc. for attending meetings,

interpretation of the drawings and specifications etc. for the works being executed, free of cost after signing of agreement.

� In case the visits exceeds 10 in number, as stated above, UPSSCL shall pay Civil Consultant Rs. 5000/- (Rupees Five thousand) only per visit including all expenses whatsoever.

� Bidders are advised to study the tender Document carefully. Submission of Bid against this tender shall be deemed to have been done after careful study and examination of the procedures, terms and conditions of the tender Document with full understanding of its implications.

� UPSSCL reserves the right to reject any or all Bids without assigning any reason thereof. The decision of UPSSCL will be final and binding.

� UPSSCL reserves the right to add/delete/modify any one or more of the terms and conditions and Bid Document before the date of submission of Bid.

� UPSSCL reserves the right to discontinue the services of the appointed Civil Consultant for any reason at any point of time, without assigning any reason. In that event, the sum deposited towards performance security shall be forfeited and the Civil Consultant shall be further liable to pay actual amount of loss and damages as provided in Indian Contract Act to UPSSCL to the extent the same exceeds the performance security money.

� UPSSCL reserves the right to discontinue the services of the appointed Civil Consultant at any point of time on account of force-majeure or non-satisfactory performance by the Valuer. In that event, the sum deposited towards performance security shall be forfeited and the Civil Consultant shall be further liable to pay actual amount of loss and damages as provided in Indian Contract Act to UPSSCL to the extent the same exceeds the performance security money.

� The proposal should be unconditional.

� Incomplete Bid or those without EMD shall be summarily rejected. Bid of bidders who have not deposited tender document fees will also be rejected.

� The bidder shall bear all costs associated with the preparation and submission of its Bid and UPSSCL, will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the Bid process.

� Arbitration – Any dispute arising out of the Civil Consultancy contract shall be referred to Managing Director of UPSSCL, Lucknow who may enter upon the reference himself or depute his nominee to act as Arbitrator who shall act as Sole Arbitrator, under the Arbitration and Conciliation Act 1996 as now or thereafter in force and his award shall be final and binding between the parties.

� Liquidated damages – In case the Civil Consultant fails to vet the drawings or provide deliverables a per clause 3 within the stipulated time limit, as agreed above, then a penalty of Rs. 300/- (Rupees Three hundred) only per day per drawing shall be chargeable and debited to his account by the UPSSCL, subject to maximum of 10% of the total fees payable to the Consultant.

� If the Consultant abandons the works or become incapacitated from acting as consultants as aforesaid the Sugar Mill/UPSSCL may make full use of all or any drawings and designs with all bill of quantities etc. prepared by the Contractor and the Sugar Mill/UPSSCL shall not be liable to pay anything more than what is due to the Consultant for services already rendered.

� If Consultant abandons the contract for any reason except for irregular payment by the Sugar Mill he shall be liable to pay such damage to the Sugar Mill/UPSSCL as may be assessed by Sugar Mill up to a maximum of ten percent of the contract.

� The Sugar Mill and its machinery suppliers shall furnish the Contractor all necessary information and dates of important foundations required for preparation of drawings and designs within one year from the date of signing the agreement as per Annexure 1

� The total liability of the Consultants under various clauses of the contract is limited to maximum of 10% of Consultant fees.

� As the work is important and requires proper infrastructure and expertise, therefore, persons having adequate experience in such type of consultancy works should only participate in tender. The bidders except those already providing consultancy to the satisfaction of the UPSSCL should attach the details of the Sugar Industry projects handled by them along with the certificates of the concerning clients for having provided the aforesaid consultancy services satisfactorily, failing which the offers shall not be considered.

ANNEXURE – 1

SCHEDULE OF SUBMISSION OF DRAWINGS, MANUALS & OTHER DOCUMENTS OF PLANT AND MACHINERY

1. SUBMISSION OF DRAWINGS

1.1 Finalisation of tentative layout (within 07 days from the date of signing of the agreement) showing the provision for future equipment required of ultimate capacity, in consultation with Purchaser & Inspection Agency. The Purchaser & Inspection agency will suggestions/comments within 07 days.

1.2 Within 21 days from the date of signing of the agreement, 2 copies of the general layout of the factory building showing the positions of the plant and machinery as per Annexure I. for the approval of the Purchaser& Inspection Agency. In the general layout, the Sellers shall also show the span, center to center distance of column, height of the trusses of the main factory building, span of the mills and power house cranes together with their maximum wheel load etc. The Purchaser & Inspection Agency shall unless they have any objection approve the same in writing or indicate the corrections within 07 days (required to be incorporated by sellers) subject to which the drawings can be deemed as approved so that the purchaser can go ahead further to save time. The sellers shall however incorporate the required correction and submit 6 copies of general layout for final approval and records within 07 days of the receipt of the latter's comments.

1.3 Within 15 days from the date of receipt of approval of general layout of the factory building as in 1.1 above, 2 copies of the engineering layout of the plant and machinery for the approval of the Purchaser & Inspection Agency. The Purchaser & Inspection Agency shall unless they have any objection, approve this layout in writing and despatch it with their approval/comments (by which the drawings can be deemed as approved – for saving time for execution) to the sellers within 07 days of its receipt. Sellers shall incorporate the required correction (if any) and submit 6 copies of engineering layout for final approval and records within 07 days of the receipt of the latter's comments.

1.4 Within 10 days from the date of approval of engineering layout as above, 2 copies of the detailed material flow diagram for juice, water, steam, syrup, massecuite, milk of lime, air, Sulphur di-oxide, vapours, molasses magma etc for approval by the Purchaser & Inspection Agency. The Purchaser & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 07 days of its receipt. If corrections are sought by Purchaser & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of detailed juice flow diagram for the final approval and implementation within 07 days of the receipt of the latter's comments.

1.5 Within 30 days of the signing of the agreement the Seller will provide the equipment wise price break-up for major items of the Machinery and Equipment along with the monthly billing schedule and monthly fund requirement statement for approval by the

Purchaser & Inspection Agency. The Purchaser & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 07 days of its receipt. If corrections are sought by Purchaser & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of detailed juice flow diagram for the final approval and implementation within 07 days of the receipt of the latter's comments.

1.6 Within 30 days from the date of signing of this Agreement, a delivery time schedule relating to major equipment and erection work by the erection contractor for approval by the Purchaser & Inspection Agency. The Purchaser & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 07 days of its receipt. If corrections are sought by Purchaser & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of detailed juice flow diagram for the final approval and implementation within 07 days of the receipt of the latter's comments.

1.7 Within 30 days of signing of agreement, 6 copies of detailed civil drawings, structural drawings, design calculations along with load data and coordinate drawings of main machinery (Mills with drives and reduction gearing arrangements, boilers, power turbines, centrifugals, staging for boiling and clarification house equipments and clarifier) required for construction of foundation of the machinery after considering the actual layout of the building and space available for the same shall be furnished by the Sellers.

The drawings shall show the location of the foundations and loads thereon, sizes of base plates and details of foundation bolt holes. The Purchaser, Civil Consultant & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 15 days of its receipt. If corrections are sought by Purchaser, Civil Consultant & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of detailed juice flow diagram for the final approval and implementation within 07 days of the receipt of the latter's comments.

1.8 Within 45 days of signing of agreement, 6 copies of detailed civil drawings, structural drawings, design calculations along with load data and coordinate drawings of the balance machinery and equipments required for the construction of foundations of the machinery (after considering the actual layout of the building and space available for the same) shall be furnished by the Sellers. The drawings will show the location of the foundations and load thereon, sizes of the base plate and details of foundation bolt holes. The Purchaser, Civil Consultant & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 15 days of its receipt. If corrections are sought by Purchaser, Civil Consultant & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of detailed juice flow diagram for the final approval and implementation within 07 days of the receipt of the latter's comments.

1.9 Within 07 days of finalisation of engineering layout the Sellers shall, in consultation with Purchaser, Inspection Agency, Civil Consultant of Purchaser, indicate the dates in the proforma given below so as to commission the plant and machinery as per Annexure I by the stipulated date i.e. ……………

a) Layout of the pipelines, including live and exhaust steam lines, vapour pipelines, juice, syrup and massecuite pipelines, cold and hot water lines and single line diagram for electric power installation showing all the details etc.

b) Drawings of the staging for the plant and machinery along with a stability certificate from a Chartered Structural Engineer.

c) Drawings showing all dimensions of juice heaters, evaporators, juice and syrup sulphitors, hoppers, cane bagasse carriers etc.

d) Detailed calculations in duplicate regarding the heating surfaces of

i) boilers

ii) evaporators

iii) pans and

iv) juice-heaters.

In case there is any comments by the Purchasers the matter shall be taken up by them with the appropriate authorities including the Boiler Inspectorate.

1.11 Progressively within 6 months from the date of signing of the Agreement, 6 copies of all general arrangement drawings and instruction manuals as may be required for running and maintenance of the plant and machinery, pipelines, electrical installation etc. except that in case of imported machines all drawings and instruction manuals in respect thereof, shall wherever necessary for running and maintenance of the plant and machinery be submitted at the time of delivery.

1.12 Single line diagram for electrical power installations including power evacuation for export of powershowing complete details shall be supplied by the Sellers to the Purchasers also within 15 months from the date of receipt of approved Engineering layout of plant and machinery. The Purchaser & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 10 days of its receipt. If corrections are sought by Purchaser & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of detailed juice flow diagram for the final approval and implementation within 10 days of the receipt of the latter's comments.

1.13 Within 02 months from the date of signing of agreement, 6 copies of the drawings of machinery and equipment listed in Schedule- ___ and annexures thereof showing assemblies, main design features of various equipment manufactured by the Sellers, their sub-contractors or subs-supplier shall be supplied by seller and the Purchaser & Inspection agency shall communicate their comments, if any, within 15 days of their receipt. If corrections are sought by Purchaser & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of detailed juice flow diagram for the final approval and implementation within 10 days of the receipt of the latter's comments.

1.14 Within 02 months from the date of signing of agreement, 6 copies of erection drawings of various equipments listed in Schedule-____ and Annexure thereof, shall be supplied by seller (based on these drawings erection contractor will execute erection works). The Purchaser & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 10 days of its receipt. If corrections are sought by Purchaser & Inspection Agency the Sellers shall incorporate the same and submit 6 copies of

detailed juice flow diagram for the final approval and implementation within 10 days of the receipt of the latter's comments.

1.15 The Seller will provide list of plant & machinery with detailed specifications to be retained with suggestions if any for approval of Purchaser within 45 days of signing of this Agreement. The Purchaser & Inspection Agency shall unless they have objection approve the same in writing and despatch their approval/comments to the Sellers within 07 days of its receipt. If corrections are sought by Purchaser & Inspection Agency the Sellers shall incorporate the same and submit 6 copies for the final approval and implementation within 07 days of the receipt of the latter's comments.

1.15 Purchaser& Inspection Agency shall have the right to suggest minor modifications to be made in the drawings, diagrams or layout as in their opinion may appear necessary for more efficient functioning of the plant and machinery and as may be mutually agreed upon by the Sellers and Purchasers.

2.0 MISTAKES IN DRAWINGS

The Sellers shall be responsible for and shall pay for any alternations of the plant and machinery due to any discrepancies of errors or omissions in the drawings or other particulars supplied by them whether such drawings or particulars have been approved by the Purchasers or not.

3. MANUALS AND OTHER DOCUMENTS

The sellers shall submit the following information, progressively within 4 months of signing the agreement. (this information shall also be filled in the proforma mentioned under 1.5 above)

i) 6 (six) sets of civil scope design data and necessary information in respect of all civil and structural engineering work including cable trenches, drains etc., to be carried out by the Purchaser. Design data should contain enough information on static load and other design data required for detailed calculations and designs for all plant buildings, structures, misc. works etc.

ii) 6 (six) sets of plans for equipment layout drawings showing all the details of the relevant location and space requirement of each item of plant and equipment.

iii) 6 (six) copies of flow sheets, showing the details of the flows pertaining to raw-materials, utilities and other inputs, items of machinery and equipments etc.

iv) 6 (six) copies of the plant operation and maintenance manuals containing specifications and detailed working guidance for each item of equipment, maintenance procedures, specifications of lubricants (of at least 4 prominent National lubricant oil manufacturers) recommended for all machinery and equipment to enable the Purchaser to arrange for the procurement of the same.

v) 6 (six) copies of the manuals of instructions for care and safe custody of plant and equipment at site and for their erection prior to the despatch of the plant and equipment.

vi) Such other information, explanation and advises as may be requested from time to time by the Purchasers/NFCSF with regard to the installation, erection start-up and operation of the plant for and upto a period of 2 (two) years after commissioning.

vii) 3 months before commissioning of the plant & machinery the seller shall furnish to the Purchasers the following:

i) 3 sets of list of all Ball/Roller bearings fitted in the Sugar Plant indicating bearing numbers, make and place of use etc.

ii) 3 sets of list of all electric motors installed in the sugar plant (equipment wise stating motor type, HP & rpm etc.)

iii) 3 sets of list of all reduction gear boxes installed in the plant indicating the place of use, gear box type, ratio, hp rating and service factor etc.

iv) 3 sets of list of all VFD’s installed in plant indicating the place of use.

v) DCS philosophy and point of controls.

vi) 3 sets of list of all pumps installed in the plant indicating the type of pump, duty, discharge & total head etc.

vii) 3 sets of list of all coupling bushes, oil seals etc. fitted in the plant indicating the place of use, type & sizes etc.

DRAFT AGREEMENT FOR CIVIL CONSULTANCY

This agreement made on the day ………… at ……………….. between The

General Manager, UP State Sugar Corporation Ltd., ……………….., Uttar Pradesh, a

Company registered under the Comapnies Act, 1956 having its registered office at

……………….. (hereinafter called the "MILLS"), which expression shall, unless

repugnant to the subject or context, include their successors and assignees represented

by ……………General Manager (Sugar Mill) of the Supply Contractor of the ONE PART,

and the …………………..a company within the meaning of companies act, 1956, having

its registered office at …………….hereinafter called the Civil Contractor which

expression shall, unless repugnant to the subject or context, include their legal

representatives, administrators, successors or permitted assignees represented by

WHERAS the Mill are going for Installation of 5000 TCD capacity Sugar Mill

along with Cogeneration of 27 MW …………….under the agreement between the mills

Consultant undertaking to vetting of Civil drawings for foundations and buildings and

contract price shall stand reduced as hereinafter provided.

NOW THEREFORE, the parties hereto have agreed on the following terms and

condition for Civil Consultancy of vetting of drawings of foundations and buildings and

their matters connected therewith referred to herein

13. Scope of Work and Deliverables

The Civil, Consultant is required to provide civil consultancy for following works: C. Civil Consultancy on Civil Works to be executed by the Plant & Machinery

Supplier c. Vetting of all civil detail drawings and design calculation etc. provided by the

Supplier of Plant & machinery who will provide detailed civil drawings, structural drawings, design calculations along with load data, coordinates & general and engineering layout within time schedule as per Annexure -1. which will also include following but not limited to;

VIII. Foundations of machinery & equipments to be supplied.

IX. Foundations of retained machinery which are proposed to be shifted.

X. Checking of RCC chimney design and drawings.

XI. Vetting of drawings including structural drawings of mills house, power house and other sheds as well as residential structure to be newly constructed.

XII. Vetting of drawings of foundations of Molasses tank.

XIII. Vetting of drawings of Sugar, Gunny Bag, Sulphur & Lime Godowns.

XIV. Vetting of drawings of drains, trenches, roads and other site development.

d. Vetting of structural steel design and drawings for all superstructure.

e. Preparation of preliminary general layout and Engineering layout of the sugar mill complex showing existing machinery and proposed machinery to be installed. The drawings will incorporate cane yard, cane handling and preparation areas, mill house, power, house, cooling towers, boilers and bagasse handling, DM Plant, Boiling and Dryer House, Spray Pond, Sugar godowns, other godowns, Administrative Office, Cane / Sugar sales office, Time and security office, ETP, Molasses tank, Boundary wall with main gate, R.O. plant, approach road, internal roads, factory drain, workshop, security barricade, Guest House, Canteen, General store, Technical block, Switch yard and areas earmarked for future projects.

f. Coordination of work at site by visiting site at regular intervals, whenever required, as per UPSSCL request. Civil Consultant will make minimum 10 visits which will be inclusive in the fees quoted by him. In case the visits exceeds 10 in number, as stated above, UPSSCL shall pay Civil Consultant Rs. 5000/- (Rupees Five thousand) only per visit including all expenses whatsoever.

j. Preparation of required drawings for obtaining various statutory clearances.

k. Consultant shall supply all electrical layout and line diagram outside the factory building & housing colony.

l. To provide all necessary civil and structural consultancy for the successful completion of the project.

m. Civil consultant will submit his report on vetting of various drawings etc. to UPSSCL/Sugar Mill and may also give comments/suggestion on the drawings if any changes are required within the time period given in Annexure-1.

D. Civil Consultancy on Civil Works to be executed by the Sugar Mill

g. To prepare the detail civil drawings, design calculations, estimates based on district PWD rate schedule, bill of quantity, bar bending schedule etc. for the required civil works. Civil consultant will revise and reissue drawings already issued, if the need arises as per suggestions/comments of UPSSCL and its Inspection Agency.

h. To prepare preliminary architectural drawings, layouts and after consultations with UPSSCL, prepare final layouts and floor plans.

i. To prepare detail architectural, foundation, structural and services and drawings, ‘good for construction’.

j. To prepare complete RCC foundation and drawings and designs for machinery and equipment foundations.

k. Providing drawings and vetting of building columns. Portals, trusses, purlines,

rafter etc. regarding stability & structure of existing sheds of plants & machinery to be retained.

l. All designing work shall be carried out by the consultant by adopting various Indian Standard Codes. The major structural drawings and designs should be checked and vetted by the Professor of any reputed Engineering Institute like Indian Institute of Technology.

14. Deliverables

The consultant shall provide free of cost, the following documents;

1. Consultant will provide his comments/suggestions on the drawings vetted by him.

2. Soft copies of drawings and documents as and when required by UPSSCL to make additional copies for said project. (Soft copies will be both in AutoCAD and PDF format)

3. Consultant will also provide 3 hard copies of drawings

15. Bid Security

The Bid Security of Rs. 10,000 (Rupees Ten thousand) shall be converted into a Performance Security for the successful bidder which shall be refunded along with the final payment of fee on satisfactory completion of work. Performance Security along with 10% of amount deducted from running bill shall be refunded to the Consultant after one year of the completion of civil works or completion of 1st crushing season whichever is later.

16. Payment of fee to the appointed Civil Consultant

C. In case of Civil Consultancy on Civil Works to be executed by the Plant & Machinery Supplier Within 15 days of vetting/providing of drawings by Civil Consultant as per clause 2 and approval of UPSSCL the Civil Consultant will submit running bills to Sugar Mill who will pay the fees after deducting TDS and 10% of bill amount within 15 days. The fee shall be payable on the basis of actual cost of civil works given by the Supplier/Seller in price break up of Civil works which will be provided by the Civil Contractor and approved by UPSSCL.

D. In case of Civil Consultancy on Civil Works to be executed by the Sugar Mill Within 15 days of providing of drawings and other deliverables by Civil Consultant as per clause 2 and approval of UPSSCL the Civil Consultant will submit running bills to Sugar Mill who will pay the fees after deducting TDS and 10% of bill amount within 15 days.

The fee shall be payable on the basis of actual cost of civil works to be done by the Sugar Mill. The Sugar Mill shall pay to the Consultant from time to time running bills and final bill in connection with the work carried out by the Consultant within 15 days from the date of receipt of bills, after completion of the consultancy as per scope of work. The payment, shall however, be made on completion of part work to the satisfaction of Sugar Mill.

Sugar Mill shall retain ten percent of the amount from the Consultants running bills for the purpose of levying penalties etc. 10% of amount deducted from running bill shall be refunded to the Consultant after one year of the completion of civil works or completion of 1st crushing season whichever is later.

17. Other terms and conditions

� The consultant shall undertake 10 (Ten) visits till completion of the work to the site and/or to the office of UPSSCL, Lucknow as and when required by UPSSCL with a view to guide UPSSCL and/or their Engineer etc. for attending meetings, interpretation of the drawings and specifications etc. for the works being executed, free of cost after signing of agreement.

� In case the visits exceeds 10 in number, as stated above, UPSSCL shall pay Civil Consultant Rs. 5000/- (Rupees Five thousand) only per visit including all expenses whatsoever.

� UPSSCL reserves the right to discontinue the services of the appointed Civil Consultant for any reason at any point of time, without assigning any reason. In that event, the sum deposited towards performance security shall be forfeited and the Civil Consultant shall be further liable to pay actual amount of loss and damages as provided in Indian Contract Act to UPSSCL to the extent the same exceeds the performance security money.

� UPSSCL reserves the right to discontinue the services of the appointed Civil Consultant at any point of time on account of force-majeure or non-satisfactory performance by the Valuer. In that event, the sum deposited towards performance security shall be forfeited and the Civil Consultant shall be further liable to pay actual amount of loss and damages as provided in Indian Contract Act to UPSSCL to the extent the same exceeds the performance security money.

� Arbitration – Any dispute arising out of the Civil Consultancy contract shall be referred to Managing Director of UPSSCL, Lucknow who may enter upon the reference himself or depute his nominee to act as Arbitrator who shall act as Sole Arbitrator, under the Arbitration and Conciliation Act 1996 as now or thereafter in force and his award shall be final and binding between the parties.

� Liquidated damages – In case the Civil Consultant fails to vet the drawings or provide deliverables a per clause 3 within the stipulated time limit, as agreed above, then a penalty of Rs. 300/- (Rupees Three hundred) only per day per drawing shall be chargeable and debited to his account by the UPSSCL, subject to maximum of 10% of the total fees payable to the Consultant.

� If the Consultant abandons the works or become incapacitated from acting as consultants as aforesaid the Sugar Mill/UPSSCL may make full use of all or any drawings and designs with all bill of quantities etc. prepared by the Contractor

and the Sugar Mill/UPSSCL shall not be liable to pay anything more than what is due to the Consultant for services already rendered.

� If Consultant abandons the contract for any reason except for irregular payment by the Sugar Mill he shall be liable to pay such damage to the Sugar Mill/UPSSCL as may be assessed by Sugar Mill up to a maximum of ten percent of the contract.

� The Sugar Mill and its machinery suppliers shall furnish the Contractor all necessary information and dates of important foundations required for preparation of drawings and designs within one year from the date of signing the agreement as per Annexure 1

� The total liability of the Consultants under various clauses of the contract is limited to maximum of 10% of Consultant fees.

� As the work is important and requires proper infrastructure and expertise, therefore, persons having adequate experience in such type of consultancy works should only participate in tender. The bidders except those already providing consultancy to the satisfaction of the UPSSCL should attach the details of the Sugar Industry projects handled by them along with the certificates of the concerning clients for having provided the aforesaid consultancy services satisfactorily, failing which the offers shall not be considered.
