USA Water Polo, Inc. is a non-profit corpora-tion organized for the purpose to serve as the national governing body for the sport of water polo in the United States under the auspices of the United States Olympic Committee (USOC).

Mission Statement: The Mission of USA Water Polo shall be to grow the sport of water polo throughout the United States and win medals in Olym-pic, World Championship, and Pan Ameri-can Games.

With no World Championships or Olympic Games on the calendar in 2010, we kept focused on three key development projects right here at home: Splashball, Olympic Development (ODP), and Masters.

We are now in a financial position to invest in growth, because of increased donations and more sponsors, and we have focused our re-sources on three programs for our youngest, our teens and our most experienced players.

We saw another year of good growth in overall membership and participation. We attracted more players to the sport earlier through Splashball, and we kept players engaged through an enhanced Masters calendar with new events.

We continued to improve the quality of the membership experience by introducing manda-tory background checks for coaches, which is a measure designed to help ensure that our mem-bers are always in a safe training environment. We invested in referee education by launching a new Referee Association at year’s end that will provide greater efficiencies, evaluation and oversight in the coming year. We are also lever-aging the knowledge of many of our top officials and sharing that knowledge with all of our referee members.

We continued to strengthen the Board. This year we added Richard Esterkin, an active masters player and partner in the Morgan Lewis law firm. Richard and his firm have been a tireless resource helping us improve our internal governance.

While the economy has improved since the depths of early 2009, this year was still a chal-lenging one for many, and we hope that all of our members have a healthy and more prosperous 2011.

Your sport is in the best financial condition it has ever achieved because of your support, and we look forward to continuing to invest new resourc-es to improve your experience and attract new players to our game.

Because of your generosity, and the support of the USOC, we will be able to fully fund our national teams’ training as they prepare for the world championships in Shanghai this July, the Pan American Championships in Guadalajara, Mexico in October and then on to London next summer for the Olympic Games.

The Year in Review: 2010The Big Picture

USA Water Polo is growing financially stronger. Annual revenue has nearly doubled in six years. Charitable donations are a key engine for revenue growth. Since 2006, contributions have risen almost sevenfold. The number of contributors to the annual fund has also risen from less than 100 in 2006 to nearly 2000 in 2010. We achieved a modest operational surplus.

USA Water Polo Annual RevenueMembership also rose 26% during the five year period, from less than 27,000 members in 2006, to nearly 34,000 at year’s end. Guided by a collaborative growth plan prepared with McKin-sey & Company on a pro bono basis and valued at more than $1 million, we plan to expand our investment in membership programs and sport development in 2011.

Along with membership and revenue, our Men’s and Women’s Senior and Junior National Teams have collectively captured more FINA and Olym-

pic medals since 2006 than any other nation. In 2010, our women won a gold medal in the FINA World League followed by our first gold medal at the FINA Cup in 36 years.

Finance and administrative costs remain at or below other comparable youth sport organizations. In 2010, USAWP spent roughly 12.6 cents on the dollar toward finance and administration. This “over-head,” as some might call it, compares favorably with the US Olympic Committee (15 cents), USA Swimming (12.5 cents), USA Volleyball (16.5 cents) and AYSO (20 cents).

Growing our Sport Junior OlympicsThis year’s S&R Sport Junior Olympics was the largest in our history. Nearly 375 teams met in Los Angeles for eight days of competition. Holding the championship in the urban setting of LA was an extraordinary operational undertaking. The tournament overall was a success, but we used the chal-lenges as the impetus to open in-depth discussions with clubs, coaches and members around the country about all aspects of the tournament.

The result of this review will mean a number of improvements to the 2011 JO’s, which will be held in Orange County, California. These improvements will include longer quarters, FINA regula-tion courses for older age groups, a return of the double elimina-tion “back door” bracket feature, and a new approach to evaluat-ing and assigning referees. We are expanding the tournament to include the “JO Challenge” brackets – Silver and Bronze. Finally, a new age group—21U—will be included for the first time, which we hope will encourage more participation from our college age members and teams.

SplashballIn less than a year’s time, nearly 100 clubs ad-opted Splashball programs. We are also offering Splashball to YMCA’s, YWCA’s, Boys & Girls Clubs, and Parks and Recreation Departments toward a longer term goal of “Polo in Every Pool.” We plan to benchmark the best elements of Splashball experiences around the nation and develop a con-sistent set of coaching guidelines, player recogni-tion, and rules of play that can be shared among our member clubs.

MastersThe USA Water Polo Masters National Cham-pionship presented by S & R Sport was held in San Diego CA June 11-13. Seventy nine teams representing 11 age groups enjoyed a weekend of great water polo as well as a social for participat-ing athletes on Friday night, June 11. Other Mas-ters Events in 2010 included the Annual Masters Festival in Las Vegas/Henderson February 19 – 21. This three day event was open to both beginner and intermediate players featuring instruction from a host of national team experienced players. There was also a clinic for beginning referees and coaches.

Ethical CultureUSA Water Polo increased its commitment to the Positive Coaching Alliance this year. Special water polo-centric materials were developed for parents and coaches, which are straightforward to use and located on our website. We strongly encourage all of our coaches and clubs to make use of this incredibly valuable and simple-to-use resource. Kim Everist, ODP Girls National Technical Director, was honored as a Double-Goal Coach by PCA

as well. She received her award early spring in a ceremony held at Stanford University.Our judicial grievance procedures were refined somewhat in conjunction with our new program of background checks, which involved additions to our codes of conduct and revisions of our bylaws. Some policies were clarified, such as allowing judicial committees the discretion to refund filing fees when grievances are upheld.

Background ChecksThis year we launched a background screening program for USA Water Polo coaches. As noted in our Statement of Ethics, public trust is critical to the success of our organization and we feel strongly that a formalized background screening process for the coaches who supervise our athlete members will substantially further that goal. All coaches are now required to undergo background screening. In ad-dition, all National Team, ODP, and National Office staff also completed Background Screenings and we are expanding the program to include all referee members in 2011.

Zone Leadership In December, our board, zone chairs and staff gathered in Berkeley, California to examine the state of our sport. A prelude to the USAWP Assembly in January, a great many issues were discussed, includ-ing how best to grow our sport in a variety of different market circumstances.

National Teams, International Events and Olympic Develop-ment ProgramSenior National TeamsAfter success at the Beijing Olympic Games and 2009 FINA World Championships in Rome, our national teams have been preparing for the 2011 World Championships in Shanghai, the 2011 Pan American Games in Guadalajara, and the Olympic Games in London.

Coach Adam Krikorian led our Women’s National Team to four consecutive gold medal performances in the last two years, including a FINA World Championship, a FINA Cup, and two FINA World League titles. This is an extraordinary streak in the history of international water polo.

After a heartbreaking penalty shoot out loss to Montenegro in the World League Super Final preliminary round, the Men’s National Team rebounded with a win over Spain for a fifth place result. Led by Coach Terry Schroeder, the USA men placed fourth at the FINA Cup in Romania, narrowly missing another trip to the podium when Spain returned the World League favor by defeating Team USA in the bronze medal game. It was the first time the Men’s Team had been in three consecutive medal rounds (2008 Olympic Games, 2009 World Championships and 2010 FINA Cup) since the 1990 World Championships, 1991 FINA Cup and 1992 Olympic Games. Both competitions provided an opportunity for rising US players to gain international experience; an investment we hope will pay dividends in 2011 and 2012.

National Team and Related Pipeline Events and ResultsWe expanded our Junior National Teams this year to an A and B Team. The 2010 A Team was for the top athletes born in 1991 and under. The B Team was for the top athletes born in 1993 and under. The Youth National Team selected the top athletes born in 1994 and under. These moves aligned us with new FINA age group competition changes.

This year we hosted and sent teams to a number of events around the world to provide greater depth to our pipeline and opportunity for our athletes and coaches. Among the events:

International Appointments and NewsBrenda Villa was honored as the FINA Women’s Water Polo Athlete of the Decade. Richard Foster contin-ued in his role as Vice Chairman of the FINA Technical Water Polo Committee. William Smith, secretary of the USA Water Polo Board, was named Vice President of United States Aquatic Sports. Our top-ranked FINA referee, Stephen Rotsart, was appointed to the FINA Referee Executive Council.

This year the Olympic Development Program enrolled nearly one thou-sand players for ODP Phase Two. Selected athletes trained under our common national team system across the nation. Under the leadership of Kim Everist, James Lathrop, Jim Cullingham and Anne Laurence, ODP participants came together in six different locations for the first ever series of ODP Regional Championships. National team coaches indentified the 70+ top rated players from each age and gender,

who were then invited to National Training and Selection Camps in June, from which the youth and junior national teams were selected.

More than 1,300 athletes enrolled in the fall for ODP Phase Three, which continued through June, 2011. ODP is now operating in all eleven zones of USA Water Polo. The different “Phases” represent incremental improvements in the program that result from participant feedback and club input, in addition to our own coaches’ observations about ways to make the program better.

The Olympic Development Program is strengthening our national team pipeline dramatically by tying our na-tion together through a progressive national team system. Just as important, ODP is investing in coaches and officials around the country, which we believe helps us to grow our sport. We think of ODP as a “break even” program, but in reality we invest more in ODP than we collect in fees. We have undertaken this massive project for a few reasons:

To ensure promising players understand the fundamentals and terminology of our national team system from an early age

To make certain that fairness and oversight is in place for pipeline programs and athlete selection

To invest in promising coaches by compensating them for their ODP work and in turn encourage greater professional development

ODP is a long-term project that builds our core competence. It is not for everyone, but provides important training and recognition for those who “accept the challenge.” ODP results cannot be judged on a single year’s outcome but should be viewed as a long term investment in our sport, our athletes, our coaches and our referees.

Holiday CampThis year’s Holiday Camp was our largest ever. By dividing the 2010 Holiday Camp into girls and boys divisions, the camp was able to accommodate 225 athletes and 28 coaches along with referees at the US Olympic Committee facilities in Colorado Springs.

Hall of Fame

In June we held our first Hall of Fame induction since 2004. Former San Jose State water polo star, USOC Chairman and Major League Baseball Commissioner Peter Ueberroth headlined a class that included Ueberroth’s coach at San Jose State and Olympic Club great Edward Rudloff, along with Olympic silver medalists Heather Moody and Kathy “Gubba” Sheehy, longtime National Team and UC-Davis coach Jamey Wright and veteran Referee Bret Bernard. The event also raised more than $40,000 for USA Water Polo programs.

Marketing, Sponsorship and Fundraising SponsorshipWater Polo is a special community and we added many new sponsors to our family in 2010. Among our new partners are 24 Hour Fitness, AquaHydrate, Big Fish Payroll Services, Jostens, Kaenon Polarized, Ospraie Manage-ment, REUSE Jeans, Stemilt - World Famous Fruit, the US Navy SEALs, and Vistaprint. These sponsors join Colorado Time Systems, KT Tape, Mikasa, Sea Air Federal Credit Union and United Airlines. As a community, we all benefit by sup-porting the companies that support water polo, and we are grateful that many of our members choose to purchase sponsor goods and services.

This was the year that we concluded our agree-ments with Speedo and S&R Sport. Both firms had supported our organization through their sponsorships for many years. We are grateful to them.

Branding and WebsiteWe have made a concerted effort to develop the USA Water Polo brand. At the S&R Sport Junior Olympics, the FINA World League Super Final and other events, you may have noticed a new level of production value in the signage and collateral marketing elements. This year we also committed to televising our men’s exhibition game against Montenegro on Versus and webcasting the FINA World League Super Final.

USA Water Polo Annual Fund ContributionsFund raising has been an important element in growing our resource base. This year we launched the Victory 2012 Campaign with an audacious goal of raising $750,000 over three years to support the training of our Men’s and Women’s Olympic Teams. In 2010, we hit our mark, and we have raised more than $600,000 for our annual fund (which includes V2012), with additional funds contributed by the Annual Golf Tourna-ment and various Fit-a-thons and Shoot-a-thons.

Annual Golf Tournament

The 2010 edition of the USAWP Golf Tournament was the most successful in the eight year history of the event. The tournament raised more than $95,000 for the National Teams with 160 golfers battling the cold and rain. Even the weather could not deter us from having a great day at the course. The 2011 Golf Tournament is scheduled for Friday, December 16th, when we hope to return to the sunny weath-er that usually graces this event.

New ArrivalsThis year we welcomed back Heather Moody as assistant coach to the Women’s National Team. Heather is a two-time Olympian and an Olympic coach and her experience is a great asset. We also brought James Callahan aboard as our new Director of Finance. A 14-year veteran of Money Mailer and a CPA, Jim brings a wealth of financial and human resource experience to USA Water Polo. Beginning in 2011, we will also welcome Claudia Dodson to a newly created position, Associate Director of Competition in the Sport Devel-opment division, and Christy Medigovich to the role of Membership Manager. Both Christy and Claudia are experienced players, coaches and Masters participants. Claudia is also a water polo parent.

Our 2011 budget is projected to grow to roughly $7.94 million. The US Olympic Committee provides only about 12 percent of our 2011 budgeted revenue. In order to truly supply the needs of our member and national team programs, we will have to become an organization with a budget closer to $10 million, and we are working toward that long-term goal.

As we marshal greater resources for our mission, we plan to spend the

lion’s share of additional dollars on membership programs that further develop and expand our sport. In 2011 we will launch coach and referee associations to provide a stronger voice for these two key groups, as well as implement an entirely new system for rating and providing feedback to referees.

Those familiar with Jim Collins’ book “Good to Great” will recall the principle of the flywheel. Collins de-scribes the “flywheel effect,” in which momentum is created when an organization begins to demonstrate success in its core competencies. Further success accelerates energy, so that in time the organization becomes capable of attaining ever higher goals at an increasingly rapid pace.

I would like to thank our Board of Directors for pushing on the USA Water Polo flywheel with perseverance, humor and impatience. This year our all volunteer Board gave countless hours, a host of critical skills, and more than $100,000 in charitable donations to USA Water Polo. Under the leadership of Chairman Mike Graff, we are accelerating our ability to build on our rich past to achieve current goals and aspire to greater ones. I would also like to single out Dwight and Julie Anderson and their colleagues at Ospraie Manage-ment for their exceptional support—they have truly been a game-changer for us this year.

We have audited the accompanying statement of financial position of USA Water Polo, Inc., (a non-profit corporation) as of December 31, 2010, and the related statements of activities and changes in net assets, and cash flows for the year then ended. These financial statements are the responsibility of the Corporation’s management. Our responsibility is to express an opinion on these financial statements based on our audit. The prior-year summarized comparative information has been derived from the Corporation’s December 31, 2009 financial state-ments and, in our report dated February 26, 2010 we expressed an unqualified opinion on those financial statements.

We conducted our audit in accordance with auditing standards generally accepted in the United States of America. Those standards require that we plan

A. SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

OrganizationUSA Water Polo, Inc. (the Corporation), is the national governing body for water polo, making it respon-sible for the conduct and administration of the sport in the United States.

Income TaxesThe Corporation is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code of 1986. The Corporation qualifies for charitable contribution deductions and is not a private foundation. Income from certain activities not directly related to the Corporation’s tax-exempt purpose is subject to taxation as unrelated business income.

The Financial Accounting Standards Board (FASB) issued FASB ASC 740, “Income Taxes,” which clari-fies the accounting and recognition for income tax positions taken or expected to be taken in the Corporation’s income tax returns.

The Corporation’s income tax filings are subject to audit by various taxing authorities. The Corpora-tion’s open audit periods are 2007 – 2010. The Corporation believes that its operations have been conducted in accordance with its tax-exempt status.

Cash and Cash EquivalentsCash and cash equivalents consist of the Corporation’s checking accounts and money market ac-counts.

The Corporation maintains its cash and cash equivalents at a commercial bank. In the event of a bank failure, the Corporation could suffer a loss to the extent its deposits exceeded the respective bank insurance limits.

Accounts ReceivableAccounts receivable past due 30-45 days are considered delinquent. Delinquent receivables are deter-mined to be uncollectible on a case by case basis and are written off to bad debt expense at such point of determination. The Corporation considers its accounts receivable at December 31, 2010 to be fully collectible; accordingly, no allowance for doubtful accounts is required.

InventoryInventory is stated at the lower of cost or market. Cost is determined by the first-in, first-out method.

Property and EquipmentProperty and equipment consists of a weight training building, training equipment, and office equip-ment used in the operations of the Corporation. Property and equipment are recorded at cost or, if donated, at the estimated fair market value at the date of donation.

Depreciation is recorded using the straight-line method over an estimated life of thirty years for the weight training building and five years for training and office equipment. Depreciation expense for the years ended December 31, 2010 and 2009 was $37,262 and $34,176, respectively.

In-kind RevenueCorporate sponsorship income in the form of in-kind goods, such as clothing and balls, are reported as revenue and expense in the fiscal year they are received. For the years ended December 31, 2010 and 2009, in-kind goods received amounted to $94,258 and $112,897, which is included in corporate sponsorship in the accompanying statement of activities.

ContributionsGifts of cash and other assets are reported as restricted support if they are received with donor stipu-lations that limit the use of donated assets. When a restriction expires, that is, when a stipulated time restriction ends or a purpose restriction is accomplished, temporarily restricted net assets are reclassi-fied to unrestricted net assets and reported in the statement of activities as net assets released from restrictions.

Functional Allocation of ExpensesCertain costs and expenses are allocated among the various programs and supporting service ex-penses based on salary and related expenses. For the years ended December 31, 2010 and 2009, the Corporation’s supporting service expenses amounted to 12.63% and 12.94%, respectively, of total support and revenue.

Use of Estimates in Preparation of Financial StatementsThe preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities, the disclosure of contingent liabilities, and the reported amounts of revenues and expenses. Actual results could differ from those estimates.

Prior-Year ComparisonsThe financial statements include certain prior-year summarized comparative information in total but not by net asset or functional expense class. Such information does not include sufficient detail to consti-tute a presentation in conformity with accounting principles generally accepted in the United States of America. Accordingly, such information should be read in conjunction with the Corporation’s financial statements for the year ended December 31, 2009, from which the summarized information was derived.

Supplemental Cash Flow DisclosuresDuring the year ended December 31, 2010, the Corporation paid interest of $7,423.

Date of Management’s ReviewIn preparing the financial statements, the Corporation has evaluated events and transactions for po-tential recognition or disclosure through March 10, 2011, the date that the financial statements were available to be issued.

B. UNITED STATES OLYMPIC COMMITTEE

The United States Olympic Committee (USOC) provides grants to the Corporation for sports de-velopment, international competition, and team preparation. Support provided during the years ended December 31, 2010 and 2009 consisted of the following program categories:

In May 2007 the Corporation entered into a content license agreement with USOC. The term of the agreement is July 1, 2007 through December 31, 2012. The Corporation received $75,000 for each of the years ended December 31, 2010 and 2009.

During the years ended December 31, 2010 and 2009, the Corporation received $51,355 and $38,615, respectively, in VIK funding from the USOC.

The Corporation is economically dependent on the grants from the USOC in order to maintain its national team programs at current levels.

C. UNITED STATES WATER POLO FOUNDATION

The United States Water Polo Foundation (USWPF) is a separate exempt entity whose purpose is to extend financial and other aid and assistance for the benefit of, and to carry out the pur-poses of the Corporation.

During the years ended December 31, 2010 and 2009, the Foundation provided grants to the Corporation of $43,000 and $70,000, respectively.

As discussed in Note K, the Corporation has borrowed $68,695 from USWPF. The Corporation does not control the Foundation and therefore does not present consolidated financial state-ments.

D. CONTRIBUTIONS

USA Water Polo, Inc. established two restricted funds to support international competition. The funds are listed below with the amounts contributed to each and the amounts spent consistent with donor restrictions during the year ended December 31, 2010.

During the year ended December 31, 2008, the Corporation discontinued its three-year memberships.

F. LEASES

During 2005, the Corporation signed a sixty-nine month operating lease on a postage machine that expires September 21, 2011. The lease requires monthly payments of $206.

During 2008, the Corporation renewed an operating lease for office space. The renewed lease for the Huntington Beach office space is effective September 1, 2008 through October 31, 2013 at a monthly base rate starting at $5,284 and increasing annually.

The Corporation also leases a storage unit on a month-to-month basis.

Minimum future payments on these leases for each of the years ended December 31 are as follows:

Total rent expense amounted to $70,607 and $67,999 for the years ended December 31, 2010 and 2009, respectively.

G. LOS ALAMITOS POOL

On January 11, 1996, the Corporation entered into a sublicense agreement for a twenty-year period with the Military Department of the State of California for the use of the Los Alamitos Armed Forces Swimming Facilities as a training center. Since the Corporation incurred all of the refurbishing costs and is responsible for the ongoing maintenance and upkeep on the pool, there are no rental payments.

This sublicense agreement can be canceled by mutual agreement of the parties with ninety days written notice.

During the years ended December 31, 2010 and 2009, payments totaling $26,048 and $19,778 were made to the City of Los Alamitos to offset maintenance expenses.

During the year ended December 31, 2004, the Corporation constructed a building for weight training and coaches’ offices at the Los Alamitos facility. Total construction costs of the building were $99,932. Be-cause the building was constructed on military property, the Corporation does not own the building, but intends to use the building in subsequent years. Accordingly, management has adopted a 15-year life over which the cost of the weight training facility will be amortized. Amortization expense for each of the years ended December 31, 2010 and 2009 amounted to $6,662.

H. RETIREMENT PLAN

During the year ended December 31, 2009, the Corporation established a SIMPLE retirement plan for its employees. Employees are eligible to make contributions to the plan if they expect to receive at least $5,000 in compensation during the year. The Corporation matches 100% of the voluntary contributions of its employees up to 3% of the employee’s compensation for the calendar year. Pension expense amount-ed to $32,262 and $27,639 for the years ended December 31, 2010 and 2009, respectively.

I. LINE OF CREDIT AGREEMENT

The Corporation has a $50,000 line of credit agreement with a commercial bank. The line of credit bears interest at 2.0% over prime. At December 31, 2010, there were no outstanding borrowings under the line of credit agreement.

K. NOTE RECEIVABLE/NOTE PAYABLE

During 2005, USA Water Polo agreed to loan an employee $100,000. This note receivable bears inter-est at a fixed rate of 5.25% and was due in full on July 28, 2010. This due date was extended during the year to July 31, 2011. During the year ended December 31, 2010 and 2009, the employee elected to make principal payments in the amount of $27,105 and $4,200, respectively. Accordingly, the bal-ance remaining outstanding at December 31, 2010 is $68,695.

In order to fund this loan, USA Water Polo entered into a borrowing agreement with The United States Water Polo Foundation (USWPF) for the same amount. The note payable to USWPF bears interest at a fixed rate of 5.25%. Interest only payments are due annually on July 28, with the principal due in full on July 28, 2010. This due date was extended during the year to July 31, 2011. During the year ended December 31, 2010 and 2009, USA Water Polo elected to make principal payments of $30,105 and $1,200, respectively. Accordingly, the balance remaining outstanding at December 31, 2010 is $68,695.

N. PERMANENTLY RESTRICTED NET ASSETS

Permanently restricted net assets at December 31, 2010 and 2009, respectively, consist of the Corpo-ration’s endowment fund in the amount of $1,250. Earnings on these net assets are subject to donor restrictions that stipulate that the original principal of the gift is to be held and invested by the Corpora-tion indefinitely.

The Corporation has adopted investment and spending policies based on the California Uniform Prudent Management of Institutional Funds Act (UPMIFA). As a result of the Corporation’s, interpreta-tion of UPMIFA, and in accordance with donor restrictions, contributions to this fund are classified as permanently restricted net assets. The historic dollar value of those contributions must be maintained intact. Income from the fund is classified with unrestricted net assets.

These funds are invested in cash and cash equivalents, pursuant to the Corporation’s spending objec-tives of subjecting the fund to low investment risk. The Corporation expends this fund’s investment earnings for the restricted purpose in the year of receipt.

O. ZONES

The Corporation has eleven separate zones that function as regional administrative authorities for USA Water Polo, Inc. across the United States of America. During the year ended December 31, 2009, the Corporation revised its financial accounting policy to reflect individual holdings of each of these zones as divisions of USA Water Polo, Inc. An adjustment of $31,102 and $247,162 was made during the years ended December 31, 2010 and 2009, respectively, to increase beginning net assets and cash in order to reflect the holdings of two and seven zones, which had fully completed the administrative and accounting review by the close of December 31, 2010 and 2009.

The Corporation’s assets managed by all eleven zones are Board designated for expenditures in their regions and are reflected in Note L.
