Sharp Electronics Corporation and its division, Sharp Business Systems (collectively,

oo&ru,") files this Limited Opposition to Notice of Proposed Assumption, Assignment and Cure

Amounts with Respect to Certain Executory Contracts and Unexpired Leases of the Debtors

("Cure Notice"), by and through undersigned counsel, and in support thereof, respectfully states:

1. On March 11,2021, CMC II, LLC and its affiliates, as debtors and debtors-in-

possession (collectively, "De!!q!,") each filed a voluntary petition for relief pursuant to the

United States Bankruptcy Code (11 U.S.C. $$ 101, et seq.) in the United States Bankruptcy for

the District of Delaware.

2. On March 11,2021, the Debtors filed a motion seeking, among other relief, the

establishment of procedures for the assumption or assumption and assignment of executory

contracts.

3. By Orders dated May 3,2021

4. On September 1, 2027, the Debtors filed a motion seeking approval of a global

settlement between the Debtors and, among others, the United States, the Official Committee of

Unsecured Creditors, Angela Ruckh and CPSTN Operations LLC ("CPSTN") to approve an

updated sale transaction.

5. Pursuant to the updated sale transaction, the Debtors propose to, inter alia,

assume and assign certain executory contracts and unexpired leases and assign them to CPSTN

or a designee of CPSTN.

6. On September 2,2021, the Debtors mailed the Cure Notice to Sharp. By virtue of

the Cure Notice, Debtor CMC, II, LLC proposes to asslrme the following leases and contract

(collectively, "$BS Aqreements") with Sharp Business Systems, to and assign them to its

designee, Pourlessoins, LLC:

7. Sharp does not object to the assumption by Debtor CMC II, LLC of the SBS

Agreements, but obiects to the proposed cure arnount. The Debtors propose to cure all financial

defaults under all of the SBS Agreements with a single payment of $8,820. That sum will not

satisfy the total amount due under the SBS Agreements.

8. As set forth in the schedule attached hereto as Exhibit A, the sum of $12,376.11

remains due and owing for pre-petition charges due with respect to the SBS Agreements.

9. As set forth in the schedule attached hereto as Exhibit B, the sum of $88,678.58

remains due and owing for post-petition charges due with respect to the SBS Agreements.

I 0. In sum, the payment of $ 101 ,054.69 is necessary to cure the financial defaults of

CMC II, LLC on the SBS Agreements. Upon request, Sharp will provide the Debtors with

copies of the invoices summarized on Exhibits A and B hereto.

1 l. Sharp does not object to the assumption of the Non-Disclosure Agreement

identified as L331 on Exhibit A to the Cure Notice and its assignment to Pourlessoins, LLC and

further does not object to the stated cure amount of $0.00

WHEREFORE, Sharp objects to the assumption of the SBS Agreements unless the

Debtors or Pourlessoins, LLC pays the full cure amount of $101 ,054.69.
