UNICITY COMPENSATION PLAN

Distributor A person who has completed the officialUnicity Distributor Agreement and has beenaccepted by Unicity.

Personal Volume (PV)The total point value of your productpurchases in a calendar month. This includesthe products you purchase for your personalconsumption and those you purchase to sellto your customers.

Group Volume (GV)The total of your PV and the PV of all thepeople you have sponsored and the peoplethey have sponsored down to, but notincluding, the first Active Manager in eachleg. Your GV also includes the first 100 PV ofeach personally sponsored Active Manageror above and start up orders of new peopleyou sponsor.

ManagerYou reach the rank of Manager the first timeyou do 1000 GV and 100 PV in one calendarmonth. Once the level is achieved, you only need 100 PV to maintain your rank.

Active ManagerA Manager with 100 PV and less than 1000

GV in a calendar month.

Senior ManagerA Manager with at least 1000 GV and 100 PVin a calendar month.

Leg Each Distributor you personally sponsor isconsidered the start of a new leg. Everyonethis person sponsors is part of this leg. Thiscontinues indefinitely. There is no limit to thenumber of people who can be in one leg.

COMPENSATION PLAN TERMS

Leg OVThe total volume generated by one leg.

Organization Volume (OV)The total volume generated by you and yourentire team. This includes all the volume inall your legs.

Calendar MonthThe period of time used to calculate rank andcommissions. All commissions for a calendarmonth are paid on the 20th of the followingmonth.

SponsorYour Sponsor is the person immediatelyabove you in your organization. You areconsidered the sponsor of each person youpersonally enroll as a Unicity Distributor.

As a Distributor you can purchase the Unicity products at wholesale and sell them for a retail profit.

Personal RebatesEarn up to 30%.

The more Bios Life you sell, the moreyou earn with each box sold. Yourrebate percentage is based on yourPersonal Volume (PV) in a calendarmonth.

Each box of Bios Life Slim is 50 Personal Volume (PV) and each box of Bios Life D is 35 PV. Multiply the numberof boxes of Bios Life you purchase by the PV of each box to get your total PV for the month. No rebates are paidon first-month purchases of 1000 PV or less. If your PV exceeds 1000 in your first month, you will earn a 30%rebate on all PV in excess of 1000.

Fast Start BonusesEarn up to 30%.

Start making money quickly with FastStart Bonuses. These bonuses are paid onthe first-month purchases of each newDistributor who joins your team withinsix levels. The Fast Start percentage youearn is based on your rank.

Qualified Distributors, Associates, Junior Managers and Managers, only need 100 PV in a calendar month to earnFast Start Bonuses. The qualifications of Sr. Manager and above are displayed in Profit Center #6. You are onlypaid Fast Start Bonuses on a new Distributor’s first-months PV up to 1000 PV.

Group Bonuses Earn up to 20%.

Group Bonuses are paid on the PV of all the people yousponsor and the people they sponsor down to the firstActive Manager in each leg. When they become ActiveManagers, you earn Distributor Royalties (Profit Center #6).Group bonuses are calculated by using your PersonalVolume (PV) listed across the top and the PV of each of yourpersonally sponsored Distributors listed in the left column.

Group Bonuses are not paid in addition to Fast Start Bonuses. The chart above shows the percentages you wouldearn on the PV of each person you personally sponsor and are based on the assumption that you are at least anActive Manager with 100 PV. The percentages you would earn on those below your personally sponsoredDistributors are determined by your PV, their PV and the PV of those between you and them. Bottom Line - Ifyou are an Active Manager or above, you will be paid a minimum of 5% on the PV of everyone in each leg downto the first Active Manager or above.

Team Builder BonusesEarn up to 9 Lakhs.

The powerful combination of Fast Start Bonuses and TeamBuilder Bonuses allows you to start earning large bonuses quickly.

Your Organizational Volume (OV) is the total volume generated by you and your entire team. Each bonus levelis paid only once. There is no time limit to achieving Team Builder Bonuses.

Requirements to earn Team Builder Bonuses:

• Maintain 100 Personal Volume (PV) monthly.• Have three or more legs with a minimum of 250 Organizational Volume (OV).• A Team Builder Bonus level must be maintained for two consecutive months.• At least 40% of the required OV must come from outside your largest leg.

Distributor Royalties Start earning a residual income of 5% on the salesgenerated by your team.

Leg OV is the total volume downline of someone you have sponsored. At least 40% of the required OV mustcome from outside your largest leg. Commissions on first-month purchases are paid as Fast Start Bonuses only.

Presidential RoyaltiesWhen you reach the rank of Sapphire, Ruby or Diamondfor three consecutive months, you become a member ofthe prestigious President's Club and can earn additionalroyalties on your 4th, 5th, and 6th generations.

After you become a Sapphire, you can earn an extra 3 percent on your 4th generation for 12 months.

After you become a Ruby, you can earn an extra 3 percent on your 4th generation and 4 percent on your 5th generation for 12 months.

When you finally become a Diamond, you can earn an extra 3 percent on your 4th generation, 4 percent on your5th generation and 5 percent on your 6th generation for 24 months.

To continue earning Presidential Royalties, simply advance to the next rank before your time period expires.

Presidential Bonuses Earn up to 72.90 Lakhs.

Build your business quickly and earn BIG cash bonuses.

At least 40% of the required OV must come from outside your largest leg. You can earn more than one level ofthe Presidential Bonuses at the same time.

Earn 12.15 Lakhs in Sapphire Bonuses. When you reach the rank of Sapphire and maintain it for 3 consecutivemonths, within your first 9 months, you can earn 12.15 Lakhs in cash bonuses. (You earn 1.35 Lakhs each monththat you maintain your status as Sapphire up to 9 months. 9 x 1.35 Lakhs = 12.15 Lakhs)

Earn 24.30 Lakhs in Ruby Bonuses. When you reach the rank of Ruby and maintain it for 3 consecutive months,within your first 15 months, you can earn 24.30 Lakhs in cash bonuses. (You earn 2.7 Lakhs each month that youmaintain your status as Ruby up to 9 months. 9 x 2.7 Lakhs = 24.30 Lakhs)

Earn 36.45 Lakhs in Diamond Bonuses. When you reach the rank of Diamond and maintain it for 3 consecutive months,within your first 21 months, you can earn 36.45 Lakhs in cash bonuses. (You earn 4.05 Lakhs each month that youmaintain your status as Diamond up to 9 months. 9 x 4.05 Lakhs = 36.45 Lakhs)

The Presidential Bonuses are set annually. Anyone that joins in 2011 will fall under the 2011 program.

Additional Distributor Positions (ADP)

When you achieve therank of PresidentialDiamond, you will be eligible to start a new leg called anAdditional DistributorPosition (ADP). TheADP is placed on yourfrontline. All new legswill begin downline ofyour ADP allowingyou to earn as muchas double on thoselegs.

When a Diamond has 5,00,000 in OV and an Additional Distributor Position that maintains 1,00,000 OV for 3 consecutive months, the Diamond is then recognized as a Double Diamond and may begin a second ADPDistributorship. This process continues through Crown Diamond.

Chairman's Club BonusesEarn Up to 7.425 Crores.

As you achieve the ranks of Double Diamond, TripleDiamond, and Crown Diamond, you become a memberof the Chairman's Club and can receive amazingChairman's Club Bonuses.

These bonuses are lifestyle bonuses–not cash bonuses–and are tailored to fulfill the individual dreams of therecipient. As such, the exact bonus varies by country and by distributor. This table reflects the maximum valueof each bonus.

RANK ADVANCEMENT OVERVIEW

Active DistributorA Distributor in good standing whoaccumulates a minimum of 100 PersonalVolume (PV) in a calendar month. A personmust be an Active Distributor to be eligiblefor earnings in the Compensation Plan.

FrontlineEach person you personally sponsor isconsidered your frontline.

DownlineThe first Distributor you personally sponsor isthe beginning of your downline. All personssponsored by that Distributor are in yourdownline, and so on.

LevelThe people you personally sponsor are first-level Distributors. All the people they sponsorare called second-level Distributors to you,and so on.

GenerationA grouping of Downline Distributors,organized for the purpose of calculatingDistributor Royalties and PresidentialRoyalties. A Senior Manager (100 PV and1000 GV) defines a generation. A generationmay also be referred to as a royalty share.

Group Volume Roll-OverIf you become a Distributor between the 25thday and the last day of the month, all your PVand GV will be rolled into the next month forrank advancement. The only exception is ifyou (or a member of your team) qualify forTeam Builder Bonuses in your first month.You must have 100 PV in both calendermonths to be paid commissions and qualifyfor rank advancement. All commissions arepaid from the month in which the volumewas produced.

ADDITIONAL COMPENSATION PLAN TERMS

Commissionable Volume (CV)All commissions are calculated using CV. Todetermine the CV of a box of Bios Life Slim,you simply multiply the point value of aproduct by the conversion of 45–which is thecurrent conversion rate between the U.S.Dollar and the Indian Rupee. A box of Bios LifeSlim has a PV of 50, so 50 PV x 45 = 2250 CV.

It's important to understand how CV is usedto calculate commissions. If you were to earna 30% Fast Start Bonus on someone you havesponsored who placed a 1000 PV start-uporder, here is how your commission wouldbe calculated: 1000 PV x 45 (Conversionrate) = 45,000 CV x 30% Fast Start Bonus =

13,500.

Horizontal CompressionHorizontal Compression allows volume insmaller legs to compress together to help youmeet leg volume requirements. As anexample, if you were trying to qualify asDiamond you would need five legs with5,000 OV in each leg. After the four largestlegs are determined, Horizontal Compressioncompresses all other legs into one leg for qualification purposes. HorizontalCompression applies to all rankadvancements where Leg OV is required.
