Section A. INTRODUCTION

1. DEFINITIONS

Definitions for the purposes of this RFP include:

Bid – An offer, proposal, or quote for goods or services submitted in response to this RFP.

Consultant/Vendor – Individual or company (firm, state agency, etc.) submitting a proposal in order to attain a contract with TSD.

Contractor – Individual or company whose proposal has been accepted by TSD and is awarded a fully executed, written contract.

ELA – English Language Arts

NGSS – Next Generation Science Standards

PBL – Project-Based Learning

Proposal – A formal offer submitted in response to this RFP.

Proprietary Information – Information such as patents, technological information or other related information that the Consultant/Proposer does not want released or shared with the public.

Request for Proposals (RFP) – Formal procurement document in which a service or need is identified but no specific method to achieve it has been chosen. The purpose of an RFP is to permit the consultant community to suggest various approaches to meet the need at a given price.

WSLS – Washington State Learning Standards CCSS – Common Core State Standards Blended Learning - An integration of face to face and online components that is individualized to meet the needs of every student.

2. PURPOSE OF REQUEST FOR PROPOSALS Tukwila School District (TSD) is soliciting sealed competitive proposals (hereafter called proposal) for the products/services per the specification stated elsewhere in this solicitation document.

3. BACKGROUND The Tukwila School District (herein after referred to as “TSD” or the “District”) is seeking proposals from contractors qualified and experienced in providing aligned, research based professional development, professional resources, student materials, and electronic resources to support the district wide implementation of the Workshop Model and TSD Literacy Plan. In order to ensure that all students are reading and writing on grade level and to strengthen core instruction, TSD promotes a model of balanced literacy through reading and writing workshop to implement the English language arts curriculum. This model facilitates the achievement of every student representing an unwavering belief in the brilliance and potential of each child. The Literacy Plan includes district-wide literacy strategies that are woven across content areas throughout the day. TSD is one of the most diverse districts in the nation. The goal of Tukwila School District (TSD) is to provide effective ELA curriculum to our diverse population. TSD is seeking to align between core instruction and the tiers of intervention, including extended and summer learning opportunities. TSD defines curriculum as standards, instructional materials, and assessments that inform instructional strengths and needs. This proposal builds the capacity of teachers, principals and parents to become knowledgeable about the vision of balanced literacy and the workshop model. Due to the diversity of our population, it is critical that we are able to integrate content, language, and literacy across the day. In addition, TSD is looking to provide access to rigorous curriculum that has its foundation anchored in common core and English Language Proficiency Standards (ELPS) We partner with world-class universities, innovative businesses and nonprofit organizations and engaged community leaders to prepare our students for college, career and life. Specifically, TSD ELA Curriculum will address:

● WA Standards, materials, teaching practices, formative, and summative assessments that provides equitable access to core for ALL students.

● Teacher lessons should follow the universal design lesson template to ensure scaffolds and strategies are initially in place to provide access to core for all students.

● Support the components of a balanced literacy model (Shared Reading/Writing, Interactive Reading/Writing, Guided Reading/Writing, Independent Reading/Writing)

• Specific tools and strategies to teach the foundational reading skills, comprehension, accuracy, fluency, word study, and language

● Align with the workshop model

● Provide teacher resources/lessons that incorporate 21st century learning practices.

● Professional development and curriculum should be culturally relevant for our student population, address aspects of Social and Emotional Learning, and include technology as appropriate and available to prepare our scholars for the 21st century

● Professional development and curriculum should include research and evidence based best practices for literacy & language instruction appropriate for PK-5 and support teacher instruction as outlined in Charlotte Danielson's Teaching Framework.

● Professional development and curriculum should support daily instructional components of the Literacy Schedules; including Background Building , Oral Language, Vocabulary, Phonological Awareness, Phonics, Vocabulary, Word Study, Reading and Writing Focus Lessons, and Structured Independent Reading and Writing.

● Materials mirror diversity of student population served in TSD

● Professional development opportunities should be multi-tiered and include Trainer of Trainer sessions, in person sessions, e-learning venues, coaching, and implementation review.

● Year 1 focus will be on Small Group Instruction. Ongoing professional development focus will be determined based on data and the needs of our students. Flexibility and responsiveness will be required.

● Include Blended Learning Options as defined: An integration of face to face and online components that is individualized to meet the needs of every student.

4. OBJECTIVE AND SCOPE OF WORK

The essential components of ELA K-5 Curriculum Adoption are outlined in this section. The Contractor shall plan and develop the learning materials, trainings, in coordination with school administrators, teachers and support staff, coordination with parents, community, school board directors, and business partners, evaluation plan, and communicate with TSD staff on a regular and consistent basis.

I. Professional Learning Materials Development

a. All professional learning materials shall be designed and coherent with IMET evaluation tool

b. All materials must be culturally relevant and free of bias.

c. Provide training for teachers on learning materials digital tool/curriculum/supplemental and how to use them effectively for students in their integrated literacy/content lessons..

d. All materials must have universal design lesson plans, formative, and summative assessments in a variety of formats.

e. Materials can be delivered in a blended learning format

II. Professional Learning Opportunities

a. Provide integrated and equitable learning opportunities for teachers to engage in learning about Balanced literacy/Workshop Model. Identify a methodology

for equitable teacher participation across the district.

b. Build principal, assistant principal, and coaches’ skill, knowledge and leadership in effectively integrating cross curricular content areas through the balanced literacy and workshop model

c. Provide ongoing coaching and support to principals, assistant principals in building teachers, coaches, and principals skills in identifying instructional practices in the classroom that help develop excellent teacher practice.

III. Student learning opportunities (Included in II above)

a. Work with schools and administrators to provide field testing opportunities that are accessible to all K-5 students.

b. Identify learning strategies and scaffolds for special education students, English- language learner students, academically at-risk students, high capable and students with special needs.

c. Facilitate and oversee family event(s) s for families to engage in literacy and language exploration to bridge home-school partnerships within our diverse community.

IV. Evaluation (Included in I and II)

a. Measure student and teacher gains through appropriate evaluation methodology.

V. Parent & Community Involvement and Communication Plan

a. Capture parent input and concerns and use this information to adjust or modify materials to ensure they are inclusive of all cultures and languages.

b. Facilitate culturally responsive parent and community ELA envisioning, marketing, and branding.

c. Implement a communications plan that is inclusive of the items I – V and TSD staff.

d. Provide a leadership structure to guide the Tukwila ELA Adoption through regular communication and monitoring of project work/data by the Chief Academic Officer, the Director of English Language Learners, the English Language Development Curriculum & Instruction Specialist and the Family Engagement, Community partnership and Refugee services leader.

5. CONSULTANT QUALIFICATIONS Minimum Qualifications:

● Licensed to do business in the State of Washington. If not licensed, provide a written intent to become licensed in Washington within thirty (30) calendar days of being selected as the Apparent Successful Contractor.

● Proof of no disbarment.

● Evidence of experience working with K-5 students, administrators, teachers, parents, community members, school board directors, and business partners.

● Evidence of demonstrated expertise in designing, writing, and developing integrated learning materials for focused standards based education in K-5 settings.

● Evidence of successful business partnerships resulting in work experiences for students.

● At least three (3) sample lessons that demonstrate the effectiveness of language, literacy and content integration within the structure of the workshop model. If your proposal is not selected, we assure to send back your submitted sample lessons.

● The ability to pilot K-5 curriculum during the pilot window. We assure to send back your submitted pilot curriculum.

● Minimum of five (5) years of progressive work within the K-5 education community.

● Demonstrated evidence of student improvement-based work with schools and districts.

● Demonstrated evidence of work with non-dominant student groups, English Language Learners, special education students, highly-capable, and populations of students at risk.

● At least one (1) project staff member shall have master’s degree (or higher) in education, Literacy, ESL/Bilingual or a closely related field.

Desirable Qualifications: ● Demonstrated evidence of work within the K-5 ELA education community.

● Knowledge and experience of working with TSD’s diverse community. 6. PERIOD OF PERFORMANCE

The period of performance of any contract resulting from this RFP is tentatively scheduled to begin on or about August 2017, and end on or about August 2018. The option to extend any contract resulting from this procurement shall be at the sole discretion of PSESD.

Additional services that are appropriate to the scope of this RFP, as determined by TSD, may be added to the resulting contract by a written amendment mutually agreed to and executed

by both parties. 7. FUNDING -

TSD has budgeted an amount not to exceed two hundred fifty-five thousand dollars ($250,000) for 2017-2018. The adoption will support 3 elementary schools made up of 63 K-5 teachers. Proposals in excess of these amounts will be rejected as non-responsive and will not be evaluated.

Any contract awarded as a result of this procurement is contingent upon the availability of funding. The Consultant shall provide their most favorable and competitive cost estimate to perform the work.

8. AMERICANS WITH DISABILITIES ACT

TSD complies with the Americans with Disabilities Act (ADA). Consultants may contact the RFP Coordinator to receive this Request for Proposals in an alternative format.

3. LETTER OF INTENT Consultants intending on submitting a proposal are requested to notify the RFP Coordinator via Letter of Intent to propose no later than 5:00 PM on Monday, JANUARY 30, 2017. This letter may be provided via email, or postal service.

4. CLARIFICATION, CONCERN, and QUESTION PROCEDURE

The clarification process is available to Consultants interested in this RFP. Vendors who seek information, clarification, or interpretation from the Tukwila School District employees are advised that such material is used at the vendor’s own risk and the District shall not be bound by any such representation. It will be the Consultant’s obligation to inform the District’s representative of any and all conflicts within the RFP. The clarification process allows Consultants to focus on the solicitation requirements and evaluation process and raise issues with these processes early enough in the process to allow an agency to correct a problem before proposals are submitted and time expended on evaluations.

A Consultant may ask for clarification based on any of the following:

● The solicitation unnecessarily restricts competition; ● The solicitation evaluation or scoring process is unfair or flawed; or ● The solicitation requirements are inadequate or insufficient to prepare a response.

Consultants may submit questions up to five (5) business days prior to the proposal due date noted in the Estimated Schedule of Procurement Activities. However, Consultants are encouraged to submit questions as soon as possible so TSD can rectify the issue(s) early in the process. Questions must be submitted to the District Representative. In order to be considered a valid concern, the question must meet the following requirements:

● Must be in writing. ● Should clearly articulate the basis for the concern. ● Should include a proposed remedy.

Concerns not received by the deadline noted in the Estimated Schedule of Procurement Activities will not be reviewed by TSD.

The TSD District representative or an employee delegated by the RFP Coordinator will review valid concerns and respond to the submitted in writing. The response, and any changes to the RFP will be posted to TSD’s website prior to the proposal due date.

5. SUBMISSION OF PROPOSALS

Consultants are required to submit seven (3) copies of their proposal. One (1) copy must have original signatures and 2 copies can have photocopies signatures. Additionally, the

vendor must provide one (1) copy of the proposal electronically, either by email or on an usb drive. The proposal, whether mailed or hand delivered, must be received by TSD no later than 5:00 PM in Tukwila, WA on JANUARY 30, 2017. The proposal is to be mailed or delivered to the RFP Coordinator noted in Section B.1. The envelope should be clearly marked to the attention of the RFP Coordinator, who is TSD’s sole point of contact for this procurement.

Consultants mailing proposals should allow normal mail delivery time to ensure timely receipt of their proposals by the RFP Coordinator. Consultants who hand delivering proposals should allow time for traffic congestion. Consults assume the risk for the method of delivery chosen. TSD assumes no responsibility for delays caused by any delivery service. Late proposals will not be accepted and will be automatically disqualified from further consideration. The proposals must respond to the procurement requirements. Do not respond by referring to material presented elsewhere. The proposal must be complete and must stand on its own merits.

Failure to respond to any portion of the procurement document may result in rejection of the proposal as non-responsive. All proposals and any accompanying documentation become the property of TSD and will not be returned.

6. PROPRIETARY INFORMATION/PUBLIC DISCLOSURE

Proposals submitted in response to this competitive procurement shall become the property of TSD and the proposals shall be deemed public records as defined by RCW 42.56.

Pursuant to RCW 39.26.030, records related to state procurements are public records subject to disclosure to the extent provided in chapter 42.56 RCW. All proposals and evaluations shall remain confidential until TSD announces the Apparent Successful Contractor.

Any information in the proposal that the Consultant desires to claim as proprietary and exempt from disclosure under the provisions of RCW 42.56 must be clearly designated. The page and the particular exception from disclosure upon which the Consultant is making the claim must be identified. Each page claimed to be exempt from disclosure must be clearly identified by the word “Confidential” printed on the lower right hand corner of the page.

TSD will consider a Consultant’s request for exemption from disclosure; however, TSD will make a decision predicated upon RCW 42.56. Marking the entire proposal exempt from disclosure will not be honored. The Consultant must be reasonable in designating information as confidential. If any information is marked as proprietary in the proposal, such information will not be made available until the affected proposer has been given an opportunity to seek a court injunction against the requested disclosure.

A charge will be made for copying and shipping, as outlined in RCW 42.56. No fee shall be charged for inspection of contract files, but twenty-four (24) hours’ notice to the RFP Coordinator is required. All requests for information should be directed to the RFP Coordinator.

7. ADDENDUMS AND AMENDMENTS TO THE RFP

In the event it becomes necessary to revise any part of this RFP, addenda will be published on the TSD website, at http://www.tukwila.wednet.edu/. For this purpose, the published Consultant questions and agency answers, and any other pertinent information, may be considered an addendum to the RFP and if applicable, also placed on TSD’s website. It will be the responsibility of interested Consultants to check the website periodically for RFP addenda and updates.

8. SMALL BUSINESS, WOMEN-/MINORITY- OR VETERAN-OWNED BUSINESS PARTICIPATION

In accordance with the legislative findings and policies set forth in chapter 39.19 RCW, the State of Washington encourages participation in all of its contracts by firms certified by the Office of Minority and Women’s Business Enterprises (OMWBE). Participation may be either on a direct basis in response to this RFP or on a subcontractor basis. 9. ACCEPTANCE PERIOD

Proposals must provide five (5) business days for acceptance by TSD from the due date for receipt of proposals.

10. RESPONSIVENESS

All proposals will be reviewed by the RFP Coordinator to determine compliance with administrative requirements and instructions specified in this RFP. The Consultant is specifically notified that failure to comply with any part of the RFP may result in rejection of the proposal as non-responsive.

TSD also reserves the right, however, at its sole discretion to waive minor administrative irregularities.

11. MOST FAVORABLE TERMS TSD reserves the right to make an award without further discussion of the proposal submitted. Therefore, the proposal should be submitted initially on the most favorable terms which the Consultant can propose. There will be no best and final offer procedure. TSD does reserve the right to contact a Consultant for clarification of its proposal.

The Consultant should be prepared to accept this RFP for incorporation into a contract resulting from this RFP. Contract negotiations may incorporate some or all of the Consultant’s proposal. It is understood that the proposal will become a part of the official procurement file on this matter without obligation to TSD.

12. CONTRACT AND GENERAL TERMS & CONDITIONS The Apparent Successful Contractor will be expected to enter into a contract which is substantially the same as the sample contract and its General Terms and Conditions. In no event is a Consultant to submit its own standard contract terms and conditions in response to this RFP. The Consultant may submit exceptions as allowed in the Certifications and Assurances section. TSD will review requested exceptions and accept or reject the same at its sole discretion.

Should contract negotiations fail to be completed within two (2) weeks after initiation, TSD may immediately cease contract negotiations, declare the Vendor with the second highest score as the new Apparent Successful Contractor, and enter into contract negotiations with that Vendor. This process will continue until the Contracts are signed or no qualified Vendors remain.

13. COSTS TO PROPOSE

TSD will not be liable for any costs incurred by the Consultant in preparation of a proposal submitted in response to this RFP, in conduct of a presentation, or any other activities related to responding to this RFP.

14. NO OBLIGATION TO CONTRACT

This RFP does not obligate TSD or PSESD to contract for services specified herein. TSD also reserves the right to cancel or to reissue the RFP in whole or in part, prior to execution of a contract without penalty.

15. REJECTION OF PROPOSALS

TSD reserves the right at its sole discretion to reject any and all proposals received without penalty and not to issue a contract as a result of this RFP.

16. COMMITMENT OF FUNDS

Only an authorized representative of TSD and/or school board directors may legally commit TSD to the expenditures of funds for a contract resulting from this RFP. No cost chargeable to the proposed contract may be incurred before receipt of a fully executed contract.

18. INSURANCE COVERAGE AND BACKGROUND CHECKS The Apparent Successful Contractor must comply with the insurance requirements identified in the General Terms and Conditions.

The Contractor shall, at its own expense, obtain and keep in force insurance coverage which shall be maintained in full force and effect during the term of the contract. The Contractor shall furnish evidence in the form of a Certificate of Insurance that insurance shall be provided, and a copy shall be forwarded to TSD within fifteen (15) days of the contract effective date. Section C. PROPOSAL CONTENTS

Proposals must be submitted on eight and one-half by eleven (8 ½ x 11) inch paper size with tabs separating the major sections of the proposal. The Letter of Submittal, excluding the signed Certifications and Assurances shall be a maximum of one (1) page. The four (4) major sections of the proposal are to be submitted in the order noted below:

1. Letter of Submittal including signed:

a. Certifications and Assurances; and b. Contractor Intake Form

2. Technical Proposal 3. Management Proposal 4. Cost Proposal

Proposals must provide information in the same order as presented in this document with the same headings. This will not only be helpful to the evaluators of the proposal, but should assist the Consultant in preparing a thorough response.

Items in this section marked “mandatory” must be included as part of the proposal for the proposal to be considered responsive; however, these items are not scored. Items marked “scored” are those that are awarded points as part of the evaluation conducted by the evaluation team.

1. LETTER OF SUBMITTAL (MANDATORY)

The Letter of Submittal, the attached Certifications and Assurances, and the attached Contractor Intake Form must be signed and dated by a person authorized to legally bind the Consultant to a contractual relationship, (e.g., the President or Executive Director if a corporation, the managing partner if a partnership, or the proprietor if a sole proprietorship).

Along with introductory remarks, please attach to the Letter of Submittal the following information about the Consultant and any proposed subcontractors:

A. Name, address, and telephone number of each principal officer (President, Vice President, Treasurer, Chairperson of the Board of Directors, etc.);

B. Location of the facility from which the Consultant would operate; and C. A detailed list of all materials and enclosures included in the Proposal.

2. TECHNICAL PROPOSAL (SCORED)

The Technical Proposal must contain a comprehensive description of services including the

A. Project Approach/Methodology – Include a complete description of the Consultant’s proposed approach and methodology for the project. This section should convey Consultant’s understanding of the proposed project.

B. Work Plan – Include all project requirements and the proposed tasks, services,

activities, etc. necessary to accomplish the objective and scope of work (Integrated NGSS learning materials, professional development, student learning opportunities, evaluation, parent & community involvement and communication plan) defined in this RFP. This section of the Technical Proposal must contain sufficient detail to convey to members of the evaluation team the Consultant’s knowledge of the subjects and skills necessary to successfully complete the project. Include any required involvement of TSD staff. The Consultant may also present any creative approaches that might be appropriate and may provide any pertinent supporting documentation.

C. Project Schedule – Include a project schedule indicating when the elements of the

work will be completed and when deliverables, if any, will be provided.

D. Deliverables – Fully describe deliverables to be submitted under the proposed contract.

E. Outcomes and Performance Measurement – Describe the impacts/outcomes the

consultant proposes to achieve as a result of the delivery of these services including how these outcomes would be monitored, measured and reported to TSD and PSESD.

F. Risks

Define risks you identify as being significant to the success of the project. Include how you would propose to effectively monitor and manage these risks, including reporting of risks to the agency’s contract manager.

A. Project Management (SCORED)

1. Project Team Structure/Internal Controls – Provide a description of the proposed project team structure and internal controls to be used during the course of the project, including any subcontractors. Provide an organizational chart of your firm indicating lines of authority for personnel involved in performance of this potential contract and relationships of this staff to other programs or functions of the firm. This chart must also show lines of authority to the next senior level of management. Include who within the firm will have prime responsibility and final authority for the work.

2. Staff Qualifications/Experience – Identify staff, including subcontractors, who will

be assigned to the potential contract, indicating the responsibilities and qualifications of such personnel, and include the amount of time each will be assigned to the project. Provide résumés for the named staff, which include information on the individual’s particular skills related to this project, education, experience, significant accomplishments and any other pertinent information. The Consultant must commit that staff identified in its proposal will actually perform the assigned work. Any staff substitution must have the prior approval of OSPI.

B. Experience of the Consultant (SCORED)

1. Include other relevant experience that indicates the qualifications of the Consultant, and any subcontractors, for the performance of the potential contract.

2. Include a list of contracts the Consultant has had during the last five (5) years that

relate to the Consultant’s ability to perform the services needed under this RFP. List contract reference numbers, contract period of performance, contact persons, telephone numbers, and fax numbers/e-mail addresses.

C. References (SCORED)

List names, addresses, telephone numbers, and fax numbers/email addresses of three (3) business references for whom work has been accomplished and briefly describe the type of service provided for them. By submitting a proposal in response to this RFP, the vendor and team members grant permission to TSD to contact these references and others, who from OSPI’s perspective, may have pertinent information. TSD may or may not, at TSD’s discretion, contact these references or others. Do not include current TSD staff as references.

Additionally, Consultants shall submit three (3) verifiable letters of reference supporting the Consultant’s proposal which address successful school programs. Letters of reference

shall be submitted no later than the proposal due date listed in the Estimated Schedule of Procurement Activities. It is recommend letters of reference be submitted with the Consultant’s complete proposal. Alternatively, they may be submitted directly to the RFP Coordinator noted in Section B.

D. Past Performance

Provide information regarding past performance by indicating if the Consultant has received notification of contract breach in the past five (5) years. This does not lead to automatic disqualification. However, TSD reserves the right to disqualify Consultant proposals based on the Consultant’s historical performance.

4. COST PROPOSAL

The evaluation process is designed to award this procurement not necessarily to the Consultant of least cost, but rather to the Consultant whose proposal best meets the requirements of this RFP.

Identification of Costs (SCORED) – Identify all costs including expenses to be charged for performing the services necessary to accomplish the objectives of the contract. The Consultant is to submit a fully detailed budget including staff costs, administrative costs, travel costs, and any other expenses necessary to accomplish the tasks and to produce the deliverables under the contract. Consultants are required to collect and pay Washington State sales tax, if applicable.

1. EVALUATION PROCEDURE

Responsive proposals will be evaluated strictly in accordance with the requirements stated in this RFP and any addenda issued. The evaluation of proposals shall be accomplished by an evaluation team, to be designated by TSD, which will determine the ranking of the proposals. IMET Tool will be used to evaluate curriculum.

TSD, at its sole discretion, may elect to select the top-scoring proposers as finalists for an oral presentation.

TSD, at its sole discretion, may elect to select the top scoring finalists from the written evaluation for an oral presentation and final determination of contract award. Should TSD elect to hold oral presentations, it will contact the top-scoring firm(s) to schedule a date, time and location. EXHIBIT C TERMS AND CONDITIONS

1. COMPLIANCE WITH LAWS AND DISTRICT POLICIES AND PROCEDURES: The Contractor shall, at its sole expense, comply with all applicable federal, state and local laws, government rules, regulations, requirements and ordinances which may now or hereafter be in force, relating to its activities under this agreement and shall obtain and pay for all required licenses and permits. All equipment furnished will be required to satisfy any applicable requirements of the Occupational Safety and Health Act and/or the Washington Industrial Safety and Health Act in effect at the time of delivery. By accepting this agreement the Contractor assures the District that its agency/labor union will comply with all state and federal guidelines and regulations. The Contractor is required to comply with all federal, state and local laws relating to hazardous materials. The Contractor will follow all Tukwila School District policies and

procedures, including, but not limited to, the prohibition of tobacco, drugs, alcohol and weapons on school District property and the limitation of animals on school District property. 2. NONDISCRIMINATION: No person shall be denied the benefits of, or be otherwise subject to discrimination under any activity performed pursuant to this agreement, on the grounds of race, creed, color, national origin, marital status, disability, sex or sexual orientation.

3. CRIMES AGAINST CHILDREN: The Contractor shall not utilize any employee at a District site or allow any contact between school children and any employee when an employee has pled guilty to or been convicted of any felony crime against a child under RCW 9.68A, RCW 9A.42, RCW 9A.32, RCW 9A.36, RCW 9A.44, RCW 9A.88, RCW 9A.64.030 or violation of similar laws of another jurisdiction.

4. UNSUPERVISED ACCESS TO STUDENTS: Pursuant to RCW 28A.400.303, any Contractor who will have unsupervised access to children pursuant to this agreement, shall be required to have successful completion of a background record check through the Washington State Patrol Criminal Identification System, under RCW 10.97.030 & .050 and, if applicable, through the Federal Bureau of Investigation prior to contracting with the District and prior to unsupervised access to children.

5. APPLICABLE LAW: The laws of the state of Washington shall govern this Professional Services Agreement and the venue of any action brought here under this agreement shall be in the Superior Court, County of King, State of Washington; or Federal Court, Western District, Northern Division.

6. DEBARMENT AND SUSPENSION: A Debarment and Suspension Certificate is required by the Executive Order 12549 and 48 CFR part 9 regarding all transactions receiving federal dollars. The Contractor certifies, by signing this agreement, that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in this transaction by any Federal department or agency. The Contractor shall provide immediate written notice to the District at any time the Contractor learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances. Should the Contractor enter into a covered transaction with another person or Subcontractor, the Contractor agrees by signing this agreement that it will verify that the person/entity is not barred or suspended.

7. CONTRACTOR RESPONSIBILITY: The Contractor shall provide and furnish all necessary tools, labor, materials, equipment and all transportation services as described and required to perform the services under this agreement. The Contractor shall assume all other expenses incurred in connection with the performance of this contract and the District shall not be responsible for payment of any other expenses unless indicated in the agreement. The Contractor is personally liable for, among other things, taxes, personal health and car insurance, worker’s compensation for its employees and business expenses for maintaining its office. The Contractor shall not assign, transfer, convey, sublet or otherwise dispose of this contract or its right, title or interest therein, or any part thereof, such attached or purported assignments, transfer, conveyance, sublease or other disposition shall be null, void and of no legal effect whatsoever, and contract may, at the option of the District, be terminated, revoked and annulled, and the District shall thereupon be relieved and discharged from any and all liability and obligations growing out of the same to the other Contractor and to its purported assignee or transferee.

8. RELATIONSHIP TO PARTIES: No employer-employee relationship is established by this agreement and no assumption of liability is implied or expressed. Contractor and persons engaged by the Contractor agree that they are not employees of the District in any capacity. Contractor is responsible for all applicable taxes including, but not limited to, Social Security, Federal Withholding and Workers Compensation.

9. CONTRACT CHANGES/TERMINATION: Acceptance of this agreement by the Contractor shall be acceptance of all terms and conditions recited herein and shall supersede any conflicting term in any other contract or document of the Contractor. Any document or contract of the Contractor that adds to or is different from this agreement shall be considered null and void. Any additions, deletions or changes to this agreement shall be mutually agreed upon, be made in writing and signed by all parties. This agreement may be terminated by either party by giving 30 days written notice to the other party; except the District has the right to immediately terminate this agreement if the Contractor fails to comply with any of its terms and conditions. In the event of termination, neither party shall have any rights against the other except to the extent of those accrued prior to the termination date.

10. INSURANCE: Contractor shall, at its sole expense, purchase and maintain commercial general liability insurance, with a

limit of $1,000,000 per occurrence bodily injury, personal injury and property damage combined, including premises, operations, contractual and personal liability, submit a certificate of insurance with the Tukwila School District named as an additional insured with endorsement, prior to starting services. Such insurance shall not be cancelled or reduced until 30 days prior written notice has been given to the District. Contractor and its employees must drive cautiously on school property and peripheral roads, and have automobile and full liability insurance.

11. INDEMNIFICATION: All activities performed by the Contractor are performed at its own risk, and Contractor agrees to indemnify, defend, and hold the Tukwila School District, its board of directors, administrators, employees, students and volunteers harmless from any liability, claim, expense, damage or injuries to persons or property (including reasonable attorneys’ fees) arising out of any of Contractor, its employees, agents or Subcontractors acts or omissions under this agreement, or breach thereof, except for injuries and damages caused by the sole negligence of the District.
