OFFSHORE PROJECT EXPERIENCE

To better serve our customers, we continuously monitor and implement the best technologies available for

decommissioning offshore structures and for well P&A. Our experience and understanding of

engineering, operations, regulations and the industry in general has enabled TSB to execute a number of

landmark projects:

• Removed and re-located the first jacket ever used in an artificial reef in the Gulf of Mexico (GoM).

• Carried out the first removal of a jacket using a “reverse launch” technique.

• Used the largest permitted explosive charge in the GoM, consisting of four 75 lb. shaped charges.

• Relocation and reinstallation of the same facility and its jacket without bringing the jacket to shore,

• The largest deck removal to date without using a derrick barge.

• The first in situ toppling of a large jacket without the use of explosives or a derrick barge.

• The first deep water donation (greater than 400-ft) to the Louisiana Special Artificial Reef (SAR) Program.

• Evaluated the removal methods and costs for all Amoco, Kerr-McGee, Oryx, and Unocal North Sea holdings,

• Developed costs and removal alternatives for all Shell, Unocal, and Chevron platforms offshore California.

• Developed the decommissioning costs for all of the offshore facilities operated by ExxonMobil, Shell, and Unocal in the GoM.

• Developed the decommissioning costs for all offshore facilities operated by BP in the GoM and Trinidad.

• Developed the decommissioning costs for all offshore facilities operated by Unocal/Chevron in the Gulf of Thailand, including regular updates.

• Conducted a complete assessment of deepwater facility decommissioning costs in the GoM and offshore California for the Department of the Interior, Minerals Management Service (now Bureau of Offshore Energy Management, Regulation and Enforcement).

• Developed the decommissioning alternatives and costs for deepwater facilities offshore Mauritania, Nigeria, and Cameroon in West Africa.

• Developed the decommissioning costs for more than 100 facilities in the Southern North Sea in 2011.

ONSHORE PROJECT EXPERIENCE

TSB develops accurate well P&A, decommissioning, removal and remediation (DR&R) cost estimates for

assessing the current financial risk related to up-stream onshore assets. TSB’s assessments of liability

are intended to meet the requirements of the US Financial Accounting Standards Board (FASB) Statement

of Financial Accounting Standards No. 143 “Accounting for Asset Retirement Obligations” (SFAS

143).

Examples of projects involving development of DR&R costs include:

• All of the petroleum and geothermal energy production facilities owned or operated by Unocal

worldwide, including annual updates.

• All of the upstream petroleum facilities operated by BP in the US Lower 48 States and Trinidad. Project has included development of a comprehensive database for cataloging results, generating reports and tracking changes.

• BP’s Badami oil processing facility on Alaska’s North Slope.

• ChevronTexaco’s Gaviota sour oil and gas processing facility in California.

• The Atlantic Liquefied Natural Gas facility in Trinidad for the owners’ consortium.

• Numerous individual fields and facilities operated by independent oil and gas companies,

including: Anadarko, El Paso, Pure Oil, Samson Contour, Sterling Energy, Stone Energy, Swift Energy, and others.

• Completed a five-phase consulting project for Cairn Energy India. The project consisted of

conducting separate complete removal decommissioning liability assessments for both of Cairn’s India east coast and west coast offshore platforms (including the pipeline and wells) and onshore processing facility assets. Also provided a field valuation study developing replacement costs for Cairn’s east coast onshore and offshore assets. The studies included researching India and international decommissioning regulations and recommending decommissioning practices for Cairn as previously recommended for the Oil and Gas Company of India.

• TSB completed a study for Repsol YPF Trinidad & Tobago providing the decommissioning liability

assessment for platforms, pipelines and wells for three fields off the coast of Trinidad and for

onshore facilities on Trinidad. The offshore assessment included complete removal and various reefing options / removal methods. The study included researching Trinidad and international

decommissioning regulations and recommending decommissioning practices for Repsol which

will comply with the highest international standards.

COST ESTIMATION TECHNIQUES

TSB has developed a comprehensive computer-based Platform Abandonment Estimating System (

PAES™) which takes advantage of the company's substantial hands-on experience in this area. This

software was developed by TSB and accesses a resource data base of actual decommissioning project

costs and algorithms to develop the decommissioning cost estimates. The PAES™ system contains

thousands of decommissioning cost estimates for the Gulf of Mexico, North Sea, Gulf of Thailand and

other areas spanning over 20 years. The database provides unique opportunities for trend analysis and

insight into decommissioning projects which is unmatched in the industry.

PAES™ allows the experienced user to evaluate a particular abandonment project and select the

required operations for implementing the work. When the necessary work activities and required equipment are determined, the system calculates the most likely cost. PAES™ extracts the most likely

duration and cost for each activity from the database using interpolation and extrapolation methods which

adjust for the specific conditions of a particular project. In addition to time and resource requirements,

PAES™ contains the most current equipment and labor rates available. The result is a very good estimate of

field abandonment cost. The system applies conventional estimating procedures to achieve a single cost

number, to which a contingency is applied for the purposes of arriving at the final budget figure.

Most decommissioning projects are quite complex due to numerous unknown conditions such as downhole

well problems. In order to accurately assess these risks it is desirable to know the entire range of possible

cost for field abandonment, as well as the confidence limits on the estimate (with or without the

contingency). This can only be done by application of probabilistic methods in the cost estimating process.

TSB uses probabilistic techniques to provide a more complete evaluation of the possible decommissioning

project cost.

DECOMMISSIONING PROJECT MANAGEMENT EXPERTISE

As a major business focus, TSB consults for, supervises, manages, and otherwise supports

decommissioning operations for oil and gas companies worldwide. The total value of offshore projects in

which TSB has played a significant management role during the last twenty-plus years exceeds US$500

million. These projects include the decommissioning of over 600 offshore platforms and the

management of the pugging of approximately 2000 wells. In 2005 TSB managed the regularly scheduled

removal of 32 platforms in the Gulf of Mexico (GoM). In 2006, TSB initiated management of the well

P&A, removal and/or recovery of 17 platforms damaged or destroyed during the 2005 hurricane season

including approximately 35 wells. In 2010 TSB successfully managed the first all-risk turn-key removal

of a downed platform in the GoM, including the P&A of three live wells. In 2011 TSB successfully

completed all of the downed platform projects from the 2005 and 2008 hurricane seasons.

TSB Offshore, Inc. (TSB) has a staff of competent professionals who have extensive experience with oil

companies, engineering and consulting firms, oil field service companies, and construction /

decommissioning contractors. The experience of our team ensures our objective of providing the best

available Consulting and Project Management services to energy related markets worldwide.

Kenneth D. (Ken) Beck - President

Ken Beck has over thirty-five (35) years of experience in the financial, energy and out-sourcing business,

including approximately fifteen (15) years in energy related positions. For the last five (5) years he has

predominately focused on consulting, project management, and liability analysis for offshore and onshore

facilities. His diverse career has allowed him to work on the financial and customer base due diligence for

acquisitions in three (3) different industries. Ken’s most recent position is President of TSB Offshore, Inc.

He has held executive and regional management, positions in construction, finance and out-sourcing. Ken

has developed high competency levels in contract negotiation, business development, customer relations,

and financial analysis.

- International industry knowledge / experience in South America, Africa, and Southeast Asia

- High performance execution teams developed in multiple industries

- Contacts and clients throughout the global enrgy market

Ken holds a B.B.A. in Accounting from the Georgia State University

William (Will) Speck – Director of Operations

Will Speck is a skilled Project Manager with over 12 years managing projects and 18 years of oilfield

experience in field operations and operations management involving all components of well P&A (slickline,

e-line, pumping, flexible pipe, downhole tools). He has succeeded in multiple markets managing remote

field operations to meet HSE, training, operational and financial objectives. He was instrumental in service

delivery during the startup of several key contracts instigating large increases and improvements in

operations, personnel, equipment, and facilities. He is experienced in managing projects and operations in

multiple countries, the planning, project management and execution of decommissioning projects,

decommissioning consulting, and communicating in a diverse multicultural, multinational environment.

William’s experience includes Schlumberger (US and international), GE Oil & Gas (US and international),

and TSB Offshore, Inc.

Will holds a Bachelor of Science degree from Texas Tech University in Mechanical Engineering, is a

registered Professional Engineer (PE) with the Texas Board of Professional Engineers, and is a certified

Project Management Professional (PMP) with the Project Management Institute.

Steven J. (Steve) Spease – Principal

Steve Spease has over forty-six (46) years of experience in the marine and onshore oil and gas business,

including approximately twenty-five (25) years outside the US in various project and regional management

positions, primarily in the Asia Pacific, Middle East, West African and European regions. For the last ten

(10) years he has predominately focused on consulting, project management, planning and execution for

offshore facility decommissioning worldwide, most recently as the President of TSB Offshore, Inc., and

now as Principal / Senior Consultant at the company.

His career emphasis has included executive and regional management, project & construction management,

EPC projects for platforms, FPSOs and onshore facilities, fabrication, offshore marine construction,

decommissioning / management of late life asset liability, support for field operations, project planning,

commercial / contracts, business development, and customer relations. He has additional experience in large project and corporate financial / management procedures, estimating / cost control, material control and

scheduling, including a good knowledge of fabrication practices and marine industry standards, with

specific focus on offshore decommissioning. Key organizational assets include:

- Global industry knowledge, with in-country experience in Asia Pacific, Europe, Africa, the Middle

East and the US,

- Teambuilding and management skills in both corporate and project positions, and

- Worldwide oil & gas industry knowledge and contacts; new capital projects and decommissioning.

Steve holds a B.S. in Civil Engineering from the University of Arizona.

Jerel (Jerry) Gilmore – Director, Major Projects

Jerry Gilmore has over forty-three (43) years of construction and operations experience in the oil & gas

industry. The majority of his experience has been in the fabrication, installation and abandonment of

Gulf of Mexico platforms, facilities and pipelines. He has also managed domestic onshore facilities and

related construction projects. He has worked closely with operations and drilling departments supporting

day-to-day production operations. He has held positions of President of TSB, Vice President of Projects,

Construction Department Manager, Project Manager and Project Engineer at Natural Gas Pipeline

Company of America, Pennzoil Exploration and Production Company (presently Devon Energy), and

was a consultant to El Paso Energy Corporation. He is currently Sr. Director of Projects - Operations for

TSB Offshore, Inc. His departmental management and project management skills have been used for

planning, budgeting, engineering, permitting, fabrication, installation, startup, maintenance and

decommissioning activities. He has been involved in the abandonment and reefing of many Gulf of

Mexico facilities.

Jerry holds a B.S. in Civil Engineering from Texas A&M University at Kingsville and is a Licensed

Professional Engineer in Texas.

Gerald (Jay) Boudoin, Jr – Director of Client Relations

Jay Boudoin has over fifteen (15) years of experience in the Oil and Gas industry and ten (10) years in the

commercial banking business. For the last eleven (11) years, he has been mainly focused as an account

manager for various super major operators and the larger subsea construction companies. In Jay’s diverse

career he has held positions in the commercial banking field as a business credit analyst, branch manager,

business banker and commercial lender. A majority of his portfolio while in banking was servicing the

deposit and lending relationships for businesses in the oil and gas industry of Southeast Louisiana. Most

of Jay’s background in the oil and gas industry has been as a sales/account manager and in operations. Jay

career path has led him to manage aspects of merger and acquisitions in banking and in the oil and gas

industry. He has held management postions in both fields. Jay’s most recent position is Director of Client

Relations at TSB Offshore, Inc. Jay has developed high competency levels in client relationship

management, contract negotiations, financial analysis and strategic business development.

Jay is a veteran of the United States Navy serving in Submarine Squadron 2 stationed mainly at the

Squadron Headquarters and Waterford ARD-5 drydock assigned to Operations and Logistic support. Jay

holds a Commercial Lending Degree from the University of Florida Banking School.

Dr. Robert C. (Bob) Byrd – Senior Consultant

Dr. Bob Byrd has over forty-five (45) years of experience in design, fabrication, installation and

removal of oil and gas facilities. He has held positions with international marine contractor

IMODCO Inc., the engineering firm Brian Watt Associates, Inc., the Norwegian Hydrodynamics

Laboratory, and is a former U.S. Coast Guard officer. His positions have included Project Engineer, Project

Manager, Projects Director, President, Chief Engineer and Chief Operating Officer. Dr. Byrd was one of

the original Principals in TSB Offshore, Inc. and is currently the Senior Consultant for the company. He

has considerable experience with planning for fabrication at remote sites worldwide and for harsh

environments such as the Arctic. He is a specialist in probabilistic project cost and schedule risk

assessment, and has conducted a number of workshops on decommissioning for international operators such

as Petronas in Malaysia, the Gulf of Thailand Operators Group, and China’s CNOOC. He has also been the

principal investigator for a number of offshore facility decommissioning studies carried out for the

Department of the Interior’s BSEE and BOEM divisions, and has served as an expert witness in litigation

on numerous occasions on a number of marine and offshore issues.

Dr. Byrd holds a B.S. in Marine Engineering from the U.S. Coast Guard Academy, an M.S. in Ocean

Engineering from the University of Alaska, and an M.S. in Structural Engineering and Ph.D. in Engineering

from the University of California at Berkeley. He is a Licensed Professional Engineer in Texas.

TSB PROJECT MANAGEMENT HIGHLIGHTS: OFFSHORE PROJECTS

EXPERIENCE OF WELL P&A ASSOCIATED WITH DOWNED PLATFORMS:

Following hurricane Katrina, an Independent Operator in the Gulf of Mexico suffered the loss of 5 platforms

and the corresponding 50 wells. TSB developed the inspection scope of work and gathered all data. A

schedule and plan was developed to cover a seven (7) year period in order to optimize spending and minimize

weather. The wells were to be permanently abandoned, pipelines abandoned, decks recovered and the

jackets reefed in-place. With TSB as project manager and utilizing its in-house expertise, as of 2011

three (3) of the toppled decks have been removed with the jackets reefed in place and twenty-five (25)

wells have been permanently abandoned. The project is on schedule with an expected completion date of

2012.

TSB successfully managed the well P&A of two downed wells at West Delta 137. The 4-pile structure was toppled during Hurricane Katrina. TSB provided all well P&A engineering, including written procedures and preparation of wellbore schematics and regulatory permitting. TSB chartered a DP vessel with saturation system, GPS and observation ROV. TSB supervised all aspects of well intervention, topside and underwater mechanical and abrasive cutting, the flushing and abandonment of the two (2) associated pipelines, wedding cake, hot tapping and installation of well trees and the final well plug and abandonment operations.

DEBRIS REMOVAL AND RECOVERY

TSB planned, prepared the regulatory permits and executed the removal of five (5) decks and four large compressor modules that were underwater utilizing Versabar’s Bottom Feeder. The structures listed in the table below were all toppled as a result of Hurricane Katrina in 2005. The wells were plugged and abandoned (P&A) in 2006 with a separate DPII vessel. All pipelines associated with these structures were abandoned in-place. The platform jackets were accepted into the Special Artificial Reef Site (SARS) program which allowed them to be reefed in-place. The decks and debris were recovered from the seafloor from 2008 through 2010.

RECENT (2010 & 2011) DAMAGED PLATFORM REMOVAL PROJECTS

In 2011 TSB managed the removal of two (2) 8-leg decks that were completely underwater. These two decks were recovered utilizing Versabar’s Bottom Feeder.

As Prime Contractor, TSB completed the decommissioning of the Vermilion 281 a platform in 2010.

Vermilion 281 “A” platform was toppled by Hurricane Ike in 2008. The platform was a tripod in 176-

ft water with four (4) wells to P&A and two (2) pipelines to abandon. The two associated pipelines

were flushed and abandoned in-place in June 2009. The four (4) wells were plugged and abandoned in

November 2009. The deck, equipment and jacket were recovered to surface in March of 2010. Site

Clearance Verification activities were completed in August of 2010.

CONVERSION & REINSTALLATION EI 298 A to SM 133 A:

TSB provided the full range of project and construction management services necessary to bring this field

into production, excluding drilling and well completion. TSB provided an initial evaluation of available

facilities for conversion, developed the execution plan for removing the Eugene Island 298 "A" jacket and

deck and reinstalling them at SM 133 after conversion. TSB assisted the companies with sale/purchase of

the platform, managed the P & A and decommissioning of the facilities, salvaged and refurbished the

facilities, removed and reinstalled the jacket, reinstalled the deck, and managed the hook-up and

commissioning. The jacket was relocated from the old site to the new via derrick barge towing - it was

never taken to shore.

The original facility was designed for 60MM SCFD of gas and the converted facility is for 4000 BOPD and

5MM SCFD of gas. In addition to the production facilities, TSB provided the pipeline engineering and

managed construction and commission of 6" oil and 4" gas pipelines, including route surveys and MMS

permits. TSB provided the Project Manager, Construction Manager, Inspectors, Pipeline Engineer, and

the Project Clerk. The entire project was completed in less than six months from the initial feasibility study

to first oil.

FIRST OFFSHORE USE OF THE VERSATRUSS SYSTEM:

Amoco’s Eugene Island 367 “A” Deck Removal

Twachtman Snyder & Byrd, Inc. (TSB) managed a decommissioning project for Amoco Corporation

utilizing the Versatruss alternative lifting system. This project, the removal of the deck of Eugene Island

367 “A” (an 8-pile structure) took place in 349 feet of water, and the estimated deck lift weight was

approximately 1200 tons. The removal of the deck and its subsequent transportation to an onshore

storage facility took place from August 30 to September 11, 1997.

Versatruss is a lifting process for heavy topsides using two (2) barges equipped with custom-made booms

connected to each side of the deck. The deck is lifted by pulling the two (2) trusses together with hoists

connected to the decks lower level beams, thus increasing the angle of inclination of the booms and

raising the deck. The deck is lifted and it becomes an integrated catamaran system with the Versatruss

barges. The entire assembly can then be towed to the desired disposal location.

GALEOTA POINT OIL & GAS PROCESSING FACILITY

In 2004 TSB carried out a detailed physical survey of Galeota Point oil and gas processing facility and

related Beach Field gas facility. The work was performed for BP Trinidad and Tobago LLC. The objective

of the project was to develop deterministic decommissioning, removal and remediation (DR&R) cost

estimates for the facility for the purposes of liability accounting. The work was completed on time and

within the agreed budget.

Arkoma-Red Oak Compression Facility. Multi-Well Gathering Facility in Oklahoma.

Single-Well Site in Colorado. Whitney Canyon Gas Inlet Facility in Wyoming.

Beginning in 2003, TSB carried out site surveys at most of BP’s up-stream assets in the US lower-48

states. The objective of the project was to determine decommissioning, removal and remediation (DR&R)

cost estimates for all similar BP assets, including well plug and abandonment (P&A) costs. The work was

completed on time and within the agreed budget.
