RTBA has just completed its 115th year advocating on behalf of its members for strong investment in transportation to meet the public and business demand for safe and efficient travel.

Not many organizations can say they have been around that long. The secret to the association’s longevity is found in its constancy of purpose, a very talented Washington, D.C.-based professional staff, and ongoing contributions from extraordinary volunteer leaders representing all sectors of the transportation design and construction industry.

ARTICLE IAuthorityBylaws for governing this organization shall be made by the Board of Directors. These Bylaws were issued by the Board of Directors pursuant to their granted authority.

ARTICLE IINameThe organization shall be known as the American Road & Transportation Builders Association (ARTBA).

ARTICLE IIISealThe official seal shall be circular in form and bear the words “American Road & Transportation Builders Association 1902.”

ARTICLE IVLocation of Offices

Section 1: HeadquartersThe headquarters of the organization shall be located in the City of Washington, District of Columbia.

Section 2. Field OfficesThe Board of Directors may authorize other offices to be maintained at their discretion.

ARTICLE VCore ValuesThe following core values and principles will define—and be reflected in—the American Road & Transportation Builders Association’s governance, management, policies and program of work:

• Integrity and the highest ethical standards

• Visionary leadership that always focuses on the future

• An ‘action-oriented’ approach

• Intelligent risk taking.

ARTICLE VIPurpose of the AssociationThe American Road & Transportation Builders Association (ARTBA) is a federation whose primary goal is to aggressively grow and protect transportation infrastructure investment to meet the public and business demand for safe and efficient travel. In support of this mission, ARTBA also provides programs and services designed to give its members a global competitive edge.

ARTICLE VII

Specific ActivitiesThe association will pursue activities that advance its objectives. They will include the following so identified by the Board of Directors:

1. Working with members of Congress, federal, state and local officials in order to bring about the enactment of sound legislation to provide federal funding and statutory authority for the national transportation development program and to guard against unnecessary rules and regulations. As a part of this activity, ARTBA regularly publishes information relating to current and prospective legislative and regulatory proposals, presents statements to appropriate Congressional committees, other legislative bodies, administrative agencies, and assists ARTBA members in arranging meetings with members of Congress, federal, state and local officials.

2. Working with other national and international organizations in order to explore issues and achieve consensus positions on important transportation-related issues.

3. Maintaining an organizational structure within ARTBA whereby the interests and concerns of professional and occupational groups can be addressed directly and in a manner consistent with the overall objectives of the association.

4. Maintaining committee structures within ARTBA whereby technical, economic and political issues can be examined and the combined expertise of all members can be applied to the solution of transportation-related problems.

5. Holding an annual national convention and other meetings, as appropriate, in order to facilitate the exchange of information and membership views.

6. Publishing newsletters, magazines, technical bulletins, journals and directories as a service to ARTBA members.

ARTICLE VIIIMembership

Section 1: EligibilityIndividuals, partnerships, corporations, public agencies, education and research institutions and associations with a substantial interest in transportation construction and development are eligible for membership in the association. The secretary shall enroll members subject to such procedures as may be prescribed by the Board of Directors and assign new members to the appropriate organized divisions.

Section 2: Voting RightsAll members of the association shall have full voting rights without regard to membership or dues category.

Section 3: Setting of Annual Dues InvestmentAnnual dues for each class of membership will be fixed by the Board of Directors, with the advice of the executive committee of each organized division.

Section 4: Payment of Membership DuesMembership dues are payable upon receipt and are due within 30 days from the date of billing.

Section 5: Membership Cancellation PolicyMembership cancellations shall be effective on the first day of the month following the date on which the Association receives written notice of such cancellation. Members are responsible for their pro-rata share of annual membership dues up to the effective date of membership cancellation.

Section 6: “Honorary” and “Life” Memberships“Honorary” and “Life” members shall be those individuals who have performed extraordinary, distinguished and outstanding service in the cause of transportation development, and are so nominated and elected by the Board of Directors, and thereby granted membership without payment of dues.

ARTICLE IXDescriptions of Membership Divisions

Section 1: Contractors DivisionThe Contractors Division shall be comprised of individuals, firms, partnerships, corporations and joint ventures that construct, reconstruct, rehabilitate or maintain publicly- or privately-financed transportation facilities and their appurtenances.

Section 2: Research and Education DivisionThe Research and Education Division shall be comprised of individuals who are teachers of highway or transportation engineering, business and construction management, or related subjects, or who are administrators, supervisors, teachers, or directors of extension services, or whose major duties are the training of personnel for transportation-related work, and students studying transportation-related subjects in engineering colleges and technical institutions.

Section 3: Equipment Manufacturers DivisionThe Equipment Manufacturers Division shall be comprised of firms involved in the manufacture, sale, rental, or distribution of equipment and related components used in transportation construction and infrastructure maintenance.

Section 4: Materials and Services DivisionThe Materials and Services Division shall be comprised of individuals, firms, partnerships, corporations and joint ventures engaged in the manufacturing, processing, distribution, or sales of materials used in transportation construction. The division shall also includes individuals, firms, partnerships, corporations, associations and institutions that provide legal, accounting, bonding, materials research and other services or products to the transportation construction industry and transportation agencies.

Section 5: Planning and Design DivisionThe Planning and Design Division shall be comprised of individuals, firms, partnerships, corporations and joint ventures in private practice engaged in the professional planning and design of transportation facilities.

Section 6: Public-Private Partnerships in Transportation DivisionThe Public-Private Partnerships in Transportation Division shall be comprised of individuals, firms, agencies and associations concerned with policy issues, financing, siting, planning, design, construction, maintenance and operations of public/private transportation development partnerships.

Section 7: Traffic Safety Industry DivisionThe Traffic Safety Industry Division shall be comprised of individuals, partnerships, corporations and associations engaged in the design, manufacture, fabrication, processing, distribution, erection, installation, servicing, or research relating to the control of traffic or safety on transportation facilities.

Section 8: Transportation Officials DivisionThe Transportation Officials Division shall be comprised of officials and engineers at all levels of government professionally concerned with the planning, design, construction, maintenance and operation of transportation facilities.

ARTICLE X

Geographic Membership RegionsThe membership of the organization shall be divided into five geographic regions as follows:

Northeastern U.S. Region. Includes the states of Maine, New Hampshire, Vermont, Massachusetts, Rhode Island, Connecticut, New York, New Jersey, Pennsylvania, Maryland, and Delaware; the District of Columbia, and the Commonwealth of Puerto Rico.

Southern U.S. Region. Includes the states of Virginia, West Virginia, Kentucky, Tennessee, North Carolina, South Carolina, Georgia, Alabama, Florida, Mississippi, Louisiana, and Arkansas.

Central U.S. Region. Includes the states of Ohio, Indiana, Illinois, Michigan, Wisconsin, Minnesota, Nebraska, Iowa, Missouri, and Kansas.

Western U.S. Region. Includes the states of Alaska, Hawaii, Montana, Idaho, Washington, Oregon, California, Nevada, Utah, Wyoming, Colorado, New Mexico, Arizona, North Dakota, South Dakota, Oklahoma, and Texas.

International Region. Includes all nations outside of the United States.

ARTICLE XI

Board of Directors

Section 1: Role and Responsibilities of the Board of DirectorsThe Board of Directors shall be responsible for directing the general management of the association, act as trustees in conformity with the laws under which the association is organized and as provided by these Bylaws. The Board shall direct the investment and care of the funds of the association, make appropriations for specific purposes and take measures to advance the interests of the association.

Section 2: Composition of the Board of DirectorsThe organization shall be governed by a Board of Directors. It shall consist of: a chairman, a senior vice chairman, a first vice chairman, four U.S. regional vice chairmen, six vice chairmen at-large, a treasurer, a secretary, past chairmen, the chairman of the ARTBA Transportation Development Foundation, the vice chairman of the ARTBA Transportation Development Foundation, the chairman of the ARTBA delegation to the AASHTO-AGC-ARTBA Joint Committee, the chairman of the ARTBA Young Executive Leadership Council, the chairmen of all advisory councils, 84 elected directors, the division presidents, the first vice president of the Contractors Division, and the chairman of the Council of State Executives. The chief elected officer of state chapters with 10 or more members, or their designee, shall serve as directors during their term of office. Twenty-eight directors will also be elected each year for three-year terms. The president/chief executive officer (CEO) of the association shall also serve as a member of the Board of Directors.

The chairman, senior vice chairman, first vice chairman, the four regional vice chairmen, the six vice chairmen at-large and the treasurer shall each be elected to a term of one year and shall serve until their successors are duly elected and installed. The four regional vice chairmen shall be elected for terms of three consecutive years and shall also serve until their successors are duly elected and installed. The president/CEO shall be appointed by the Board of Directors and shall serve under such conditions as shall be determined by the Board of Directors.

Section 3: “Emeritus Directors”The Board of Directors shall also include “Emeritus Directors,” who are existing or past members of the Board, who are no longer active in the industry. Emeritus directors shall be elected once and serve for life, unless expelled. They may attend and participate in Board meetings, but cannot vote and are not counted in determining a quorum.

Section 4: Divisional RepresentationOverall representation of the Board of Directors shall include at least three members from each of the established divisions.

Section 5: Director’s Term of OfficeDirectors shall be elected for a term of three years and shall serve until their successors are duly elected and installed.

Section 6. Board of Directors QuorumA quorum is necessary to conduct votes of the Board of Directors. Thirty percent of all directors shall constitute a quorum at any regular or special meeting of the Board of Directors.

Section 7: Establishment of Membership Divisions and Approval of Affiliation AgreementsThe Board of Directors is empowered to set up membership divisions reflecting sectors of the transportation construction industry and profession. It may also approve charters and affiliation agreements with other organizations.

Section 8: Board Participation RequirementAny director who misses three consecutive Board meetings without cause shall relinquish his/her seat on the Board. The director shall be notified in writing by the secretary of this policy after two unexcused absences.

ARTICLE XII

Officers

Section 1: Officer TitlesThe officers of the organization shall consist of a chairman, a senior vice chairman, a first vice chairman, four vice chairmen, one of whom shall be selected from each U.S. region, six vice chairmen at-large, a treasurer, and the ARTBA president/chief executive officer (CEO) who shall also serve as secretary.

Section 2: Officers’ Term of DutyThe chairman, senior vice chairman, first vice chairman, the four regional vice chairmen, the six vice chairmen at-large, and the treasurer shall each be elected for a term of one year and shall serve until their successors are duly elected and installed. The president/CEO shall be appointed by the Board of Directors, and shall serve under such conditions as shall be determined by the Board of Directors.

Section 3: Role and Responsibilities of the ChairmanThe chairman shall be the presiding officer at all official meetings of the association. He shall be the chairman of the Board of Directors and the Executive Committee. He shall appoint the standing and special committees of the association and, except as the Board of Directors may otherwise direct, shall fix the terms of service on such committees.

Section 4: Role and Responsibility of the Senior Vice ChairmanThe senior vice chairman shall perform such duties as may be assigned by the chairman. He shall preside at official meetings of the association in the absence of the chairman, perform the duties of the chairman in the event of his incapacity and succeed him in the event of his death or resignation.

Section 5: Role and Responsibility of the First Vice Chairman, Regional Vice Chairmen and Vice Chairmen At-LargeThe first vice chairman, four regional vice chairmen and the six vice chairmen at-large shall perform such duties as may be assigned by the chairman. All regional vice chairmen and the six vice chairmen at-large shall serve on the Membership Committee of the association.

Section 6: Role and Responsibility of the Treasurer The treasurer shall hold in safekeeping all monies paid in to the association. He shall provide for the proper accounting of all withdrawals and expenditures and provide for the regular auditing of accounts by a certified public accountant at the end of the fiscal year. He shall submit the findings of the annual audit to the Board of Directors at the next regular meeting of the Board. The treasurer shall certify that he and other officers eligible to expend the monies of the association have filed fidelity bonds in such amounts and in such particulars as may be required by the Board of Directors. Checks and drafts drawn on the association’s accounts shall be signed by any one of the following: the treasurer, the president, senior vice president or the director of finance. Two signatures–one of which must be the president/CEO’s or senior vice president’s–are required for all checks written for $10,000 or more.

Section 7: Role and Responsibilities of the President/CEO and SecretaryThe president/CEO shall have entire charge of management of the association under the direction of the Board of Directors. The president is authorized to appoint such employees as he deems necessary to conduct the business of the organization, subject only to budget limitations. The president/CEO shall make an annual report to the Board of Directors. In his capacity as secretary, he shall keep the records and accounts of the association and keep minutes of the meetings of the Board of Directors and the Executive Committee.

ARTICLE XIII

Selection and Election of Directors and Officers

Section 1: Elected by the MembershipThe directors and officers of the organization, with the exception of the president/CEO, shall be elected by vote of the members of the organization.

Section 2: Composition of the Nominating CommitteeA Nominating Committee shall be comprised of the immediate past ARTBA chairman, who will act as the committee chairman, two recent past chairmen and two at-large members from the Executive Committee, who shall be selected by the ARTBA chairman.

Section 3: The Nomination ProcessThe Nominating Committee, on or before the first day of the month immediately preceding the annual convention, shall report to the secretary candidates for directors and one candidate for each of the offices to be filled in the position of chairman, senior vice chairman, first vice chairman, regional and at-large vice chairmen and treasurer. These nominations shall be designated as “Official Nominations.” Before reporting the official nominations to the secretary, the Nominating Committee shall have secured the consent of the nominees as candidates for office.

Section 4: The Election BallotThe secretary shall prepare a ballot listing the “Official Nomination.” One ballot shall be sent via electronic means, if possible, to each member of the organization at least 30 days before the first day of the annual convention, stating the date, day and hour before the convention at which the poll will close. Any member may insert on the ballot the name of any member, or members, of the organization eligible for the office and or director seat to be filled and vote for him/her or them. Space for such insertion shall be provided on the ballot. The ballot shall be returned to the secretary via electronic transmission.

Section 5: Voting EligibilityOnly members in good standing shall be entitled to vote.

Section 6: Responsibilities of the Tellers CommitteeAt the annual convention, the chairman shall appoint three tellers to canvass the ballots, and they, after determining the valid ballots with the assistance of the secretary, shall count the ballots and report the results to the chairman.

Section 7: Criteria for Election and Start of TermThe candidates having the largest number of the legal votes for the respective offices shall be declared elected. The directors and officers elected at the annual convention shall be installed and take office immediately at the close of the convention.

Section 8: Filling Officer and Director VacanciesThe chairman may fill any vacancies existing among the officers or directors, and such appointees shall serve the remainder of the unexpired term. In the event the office of the chairman becomes vacant, the senior vice chairman will immediately become chairman, and the Board of Directors will appoint a first vice chairman.

ARTICLE XIV

Executive Committee

Section 1: Role and Responsibilities of the Executive CommitteeThe Executive Committee shall have full power to transact the official business of the association in the interim between meetings of the Board of Directors, and shall report its actions to the Board of Directors. The Executive Committee shall have final jurisdiction on all issues pertaining to the rights and privileges of membership. The Executive Committee shall meet at the call of the chairman.

Section 2: Composition of Executive CommitteeThere shall be an Executive Committee consisting of the chairman, the immediate past chairman, the senior vice chairman, the first vice chairman, the treasurer, the secretary (association President/CEO), the four regional vice chairmen, the six vice chairmen at-large, the presidents of the organized divisions, the first vice president of the Contractors Division, the chairman of the ARTBA Council of State Executives, the chairman of the ARTBA Past Chairmen’s Council, the chairman of the ARTBA Transportation Development Foundation, the vice chairman of the ARTBA Transportation Development Foundation, the chairman of the ARTBA delegation to the AASHTO-AGC-ARTBA Joint Committee, and the chairman of the ARTBA Young Executive Leadership Council.

Section 3: Participation of Division Vice PresidentsThe vice presidents of the ARTBA divisions shall be routinely invited to attend all Executive Committee meetings in a nonvoting, or proxy, role, to learn about to ARTBA policy and organizational issues prior to their term as a division president.

Section 4: Executive Committee QuorumA quorum is necessary for Executive Committee votes. Nine members shall constitute a quorum at any regular or special meeting of the Executive Committee.

ARTICLE XV

Advisory Councils and Committees

Section 1: Role of Advisory CouncilsThe Board of Directors shall establish advisory councils to study, coordinate and suggest policy positions for the association on relevant domestic and international transportation issues. The ARTBA chairman shall appoint the advisory council chairmen. Advisory council membership shall be open to all interested ARTBA members.

Section 2: Role of ARTBA Past Chairmen’s CouncilThe Board of Directors shall establish an ARTBA Past Chairmen’s Council comprised of past chairmen to assist and advise the officers, Executive Committee, the Board of Directors and staff of the association.

Section 3: Role of ARTBA Council of State ExecutivesThe Board of Directors shall establish an ARTBA Council of State Executives comprised of the chief executive officers of affiliated state, regional and local chapters to assist and advise the officers, Executive Committee, the ARTBA Board of Directors and staff of the association.

Section 4: Role of ARTBA Young Executive Leadership CouncilThe Board of Directors shall establish an ARTBA Young Executive Leadership Council comprised of younger ARTBA members to assist and advise the officers, Executive Committee and ARTBA Board of Directors and staff of the association.

Section 5: CommitteesThe chairman shall appoint such committees as may be appropriate to assist and advise the officers, Executive Committee, Board of Directors and staff of the association.

Section 6: Executive Committee Review of Policy RecommendationsAll policy recommendations advanced by individual members, advisory councils, divisions, committees, task forces, the ARTBA Past Chairmen’s Council and the ARTBA Council of State Executives shall be reviewed and approved by the ARTBA Executive Committee before they are submitted to the ARTBA Board of Directors for consideration.

ARTICLE XVI

Meetings

Section 1: Requirement for Annual Convention and Business MeetingThe association shall hold an annual convention. The annual business meeting of the organization for the installation of officers, the receipt of

reports of the officers, adoption of resolutions, and the transaction of other business shall be held during the convention.

Section 2: Annual Division Meetings

The individual ARTBA divisions shall hold an annual meeting for committee reports, installation of officers and the transaction of any division business.

Section 3: Requirements for Calling Special Membership MeetingsSpecial meetings of the organization may be called by the Board of Directors. A special meeting must be called by the Board of Directors upon request in writing from 30 members. The request shall state the purpose(s) of the meeting. Notice of such meeting shall be mailed to the members at least 30 days in advance, and no other business may be considered at the meeting than that stated in the notice.

Section 4: Requirement for Board of Director MeetingsRegular meetings of the Board of Directors shall be held semi-annually, one of which shall be held during the annual convention.

Section 5: Requirement for Calling Special Meeting of the Board of DirectorsSpecial meetings of the Board of Directors shall be held at the call of the chairman or upon the written request of seven members of the Board. Written notice of such meetings shall be mailed to members of the Board at least 15 days in advance.

ARTICLE XVII

Fiscal YearThe fiscal year of the association shall be determined by the Board of Directors.

ARTICLE XVIII

ResponsibilityThe American Road & Transportation Builders Association shall not be responsible for, or bound by, any action of an individual member, an ARTBA division, or an affiliated organization unless it has been approved by the Board of Directors.

ARTICLE XIX

Revisions or Amendments to the BylawsThe Board of Directors, by a two-thirds vote of those present at any of its meetings, may amend the Bylaws, provided that written notice of such proposed amendment shall have been given at a previous meeting of the Board, or that a copy of such written notice, signed by three advocates of the amendment, shall have been mailed by the secretary to each member of the Board at least 15 days before the meeting at which action thereon is to be taken.

ARTICLE XX

ConductThe American Road & Transportation Builders Association promotes the valuable public service performed by its members, and in doing so, both supports and encourages the efforts of its members to adhere to those legal and ethical standards relevant to the transportation construction industry.

In recognition thereof and with respect thereto, the Executive Committee shall be empowered to remove or suspend a member from association governance, in addition to other disciplinary action deemed appropriate by the Executive Committee.

Honorary Life Membership is one of the highest honors ARTBA bestows. This honor is given to recognize extraordinary, long-term service to the association. The following are guidelines for nominating an individual for ARTBA Life Membership:

1. Has the individual held ARTBA membership for at least 15 years?

2. Has the individual served at least five years in ARTBA leadership positions? This would include service as an: ARTBA Officer, Division Officer, Member of the ARTBA Board of Directors, Advisory Council Chairman or ARTBA Committee Chairman.

3. Has the individual provided—or helped generate—substantial, extraordinary financial support to the association through individual contributions, fundraising, or membership development?

4. Does the individual want to receive a Life Membership?

In 1960, the association established the “ARTBA Award” to recognize individuals for outstanding contributions that have advanced the broad goals of the association. It is the highest honor the association bestows. Many distinguished members of the transportation construction industry have received the award, including more than a dozen U.S. representatives and U.S. senators, two U.S. secretaries of transportation and two state governors.
