1. INTRODUCTION

1.1 BACKGROUND

Trade mark protection in Malaysia is governed by the Trade Marks Act 1976 (TMA) and the Trade Marks Regulation 1997 (TMR). The TMA came into force on 1st September 1983, while the TMR, which repealed the initial Trade Marks Regulations 1983, was enforced on 1st December 1997. Before 1st September 1983, i.e. prior to the enforcement of the TMA, trade mark protection in Malaysia was governed by three separate Ordinances: the Trade Mark Ordinance 1950, the Trade Mark Ordinance of Sabah and the Trade Mark Ordinance of Sarawak, which have all been repealed by the TMA. The TMA and the TMR are administered by the Intellectual Property Corporation of Malaysia (Corporation). The Corporation, also known as MyIPO, is an agency under the jurisdiction of the Ministry of Domestic Trade, Cooperative and Consumerism which is responsible for the development and management of the intellectual property (IP) system in Malaysia.

1.2 INTERNATIONAL AGREEMENTS, CONVENTIONS AND TREATIES

To comply with international standards on intellectual property, Malaysia has acceded to a number of international agreements, conventions and treaties, amongst which are:-

• The Paris Convention for the Protection of Industrial Property 1883 (Paris Convention) The Paris Convention, which was established in 1983, is one of the major international treaties designed for the protection of industrial property, including trade marks.

• The Trade Related Aspects of Intellectual Property Rights Agreement 1994 (TRIPS Agreement) Administered by the World Trade Organisation (WTO), the TRIPS Agreement basically sets down the minimum standard of protection to be observed by the members of WTO for the various forms of IP.

• The Nice Agreement concerning the International Classification of Goods and Services for the Purposes of the Registration of Marks 1957 (Nice Agreement) The Nice Agreement establishes a harmonised international classification system for goods and services, known as the Nice Classification, for the purpose of trade mark registrations.

• The Vienna Agreement establishing an International Classification of the Figurative Elements of Marks 1973 (Vienna Agreement)

The Vienna Agreement provides for classification of figurative elements of trade marks according to international classifications.

2. OVERVIEW OF TRADE MARK 2.1 DEFINITION What is a trade mark? A trade mark is a sign which distinguishes the goods and services of one trader from

those of another. A trade mark includes words, letters, numbers, names, signatures, devices or any combination of these.

The symbols commonly associated with trade marks are ® and ™. While the symbol

® denotes that the trade mark is registered and protected under trade mark law, the sign ™ merely gives an indication that the trade mark is used by the company.

Some examples of trade marks include:

2.2 FUNCTIONS OF TRADE MARK Amongst the functions of a trade mark are -

• Origin Function A trade mark helps consumers to identify the source and those responsible for

the products and services sold in the market.

• Choice Function A trade mark enables consumers to choose goods and services with ease while

shopping.

• Quality Function Consumers choose a particular trade mark for its known quality based on its

reputation in the market place.

• Marketing Function As trade marks play an important role in advertising, it is common for consumers

to make purchases based on the continuous influence of advertising.

• Economic Function An established trade mark with a good reputation is often regarded as a valuable

asset as it may be assigned, licensed or franchised to a third party. 3. REGISTRABLE AND NON-REGISTRABLE TRADE MARKS

3.1 REQUIREMENTS OF A REGISTRABLE TRADE MARK

A trade mark should have at least one of the following features in order to be registrable:

a) the name of an individual, company or firm represented in a special manner

Example: Name of a company or firm

b) the signature of the applicant for registration

Example:

Trademark: Applicant: JOHN HANCOCK LIFE INSURANCE COMPANY

c) an invented word or words

An invented word can be defined as a word that does not have any meaning within the dictionary.

Examples: Nike, Adidas, Nintendo.

A combination of two non-invented words however is not considered as an invented word.

Example: Coffeemix which is a combination of the words ‘coffee’ and ‘mix’. Further, a foreign word is also not regarded as an invented word unless it is not known in the country of application.

Example: Kiku which means chrysanthemum in Japanese.

d) a word having no direct reference to the character or quality of goods or services

The mark must not refer to any aspect or quality of the goods or services Example: ‘Citizen’ for watches. The word ‘Citizen’ does not refer to the quality of the watches and thus the same is registrable. Example: An application to register the mark ‘Ayam Sedap’ for fried chicken, on the other hand, will be refused because the word ‘Sedap’ which means ‘tasty’ in English refers to the quality of the chicken and it is therefore not registrable.

e) a word that does not refer to a geographical name A geographical name refers to a name of a place, for instance Klang, Pahang and Kuala Lumpur. However, if the geographical name has no geographical significance to local circumstances and conditions, it may be registrable. Example: ‘Manhattan Fish Market’

The term “Manhattan”, even though a geographical name, nevertheless has no local significance since there is no place called Manhattan in Malaysia.

f) any other distinctive mark.

The term distinctive can be defined as unique, different from others and having distinguishing features. A distinctive mark means that the mark is ‘capable of distinguishing’ itself from others within the same class. Examples of distinctive marks:

• Devices (Logo)

• Composite mark (combination of word and device)

• Portrait of a person (Portraits of living persons or of person recently deceased cannot be registered without the consent of such person or their representatives)

3.2 NON-REGISTRABLE TRADE MARKS The following marks shall not qualify for registration:

a) Marks which are confusingly similar with other existing marks; b) Marks which are identical with a well-known mark in Malaysia for the same goods

or services; c) Marks which are generic; d) Marks which are scandalous or offensive; e) Marks which are deceptive or confusing; f) Marks which are based on a geographical name; g) Marks which are prejudicial to the interest or security of the nation; h) Marks with the Royal Imperial Arms or Crests; and i) Marks which contain the following words:

• the word or words ‘Patent’, ‘Patented’, ‘By Royal Letters Patent’, ‘Registered’, ‘Registered Design’ and ‘Copyright’;

• the words ‘To counterfeit this is forgery’, ‘Registered Trade Mark’, ‘Registered Service Mark’ or any words to the like effect in any language;

• The words ‘Bunga Raya’ and the representations of the hibiscus or any colourable imitation thereof;

• representations of or words referring to Seri Paduka Baginda Yang di Pertuan Agong, Ruler of a state or any colourable imitation thereof;

• the representations of any of the royal palaces or any other building owned by the Federal Government or State Government or any other government or any colourable imitation thereof;

• the word ‘ASEAN’ and the representation of the ASEAN logo type or any colourable imitation thereof; and

• the words ‘Red Crescent’ or ‘Geneva Cross’ and representations of the Red Crescent, the Geneva Cross and other crosses in red, or of the Swiss Federal Cross in white or silver on a red ground, or such representations in a similar colour or colours.

4. APPLICATION AND REGISTRATION PROCEDURE 4.1 PRE- FILING SEARCH

Before proceeding to file a trade mark, it is highly advisable for the intended applicant to conduct a trade mark search to avoid conflict with existing marks. The search generally indicates whether the mark intended to be applied is similar or identical with a prior application or registered mark. The comparison of the mark during the search process is based on both visual and aural aspects.

Who May Apply?

The owner of a trade mark may apply for the registration of the mark. The owner may be an individual or a company.

Filing Requirements

An application for a trade mark registration must be filed with the Trade Mark Registration Office of the Corporation at the head office in Kuala Lumpur or at one of the branch offices in Kota Kinabalu, Sabah or Kuching, Sarawak. The Trade Mark Registration Office is responsible for the administration, processing and registration of trade marks in Malaysia. The location and contact details of the offices are provided in Appendix II. The application must include the following:-

• Form TM5 duly completed;

• A Statutory Declaration to verify that the applicant is the bona fide proprietor of the mark; and

• Payment of the prescribed filing fee.

The following information need to be provided in form TM5:-

• the full name and address of the applicant(s);

• the representation of the mark;

• the classification and list of goods or services for which the mark is applied for;

• the details of a priority application (i.e. the filing date, application number and the country of filing ( from which priority is claimed (if applicable));

• the date of first use of the mark in Malaysia (if applicable);

• limitation (used to limit certain matter in the application, e.g. to disclaim the exclusive use of certain words or figures in the mark), if any; and

• the full name, address and agent’s registration number (if applicable);

Other additional documents which may need to be lodged with the Trade Mark Registration Office, if applicable, are as follows:-

• Form TM1 (Appointment of Trade Mark Agent), if a trade mark agent is appointed; and

• A certified translation and transliteration of any non-English or non-Bahasa Malaysia word/words appearing in the mark.

A local applicant has the option of filing an application on his own behalf or appointing a registered trade mark agent to handle the matter. A foreign applicant however needs to appoint a local agent to represent him.

Classification of Goods and Services The Trade Marks Registration Office generally follows the International Classification of Goods and Services under the Nice Agreement (also known as the Nice Classification), which sets out forty-five (45) different classes of goods and services. The listing of goods or services is very important as the use of the trade mark will be limited to such goods or services as listed in the application. The list of classification of goods and services are provided in Appendix III. The list contains a general indication of the types of items that fall in each class. For details of the classification, please refer to the Nice Classification which can be downloaded from the website of World Intellectual Property Organisation (WIPO):- http://www.wipo.int/classifications/nivilo/pdf/eng/nice/engp1.pdf Application fee

An application for a trade mark registration will not be accepted and processed unless the payment of the prescribed fee has been made.

Language A Malaysian application may be submitted either in the English language or the national language, Bahasa Malaysia. Forms and fees A list of forms and fees payable is provided in Appendix IV. Forms are downloadable from the website of the Corporation, http://www.myipo.gov.my. All fees are payable to the Intellectual Property Corporation of Malaysia in the form of cheque, money order, bank draft or postal order. Payment in cash is also accepted at the payment counter at the Trade Mark Registration Office. For further details, please refer to Appendix 1. Application Number An application filed with the Trade Marks Registration Office will be allocated an application number if the requirements have been met. Should the application succeed to registration, the application number is retained and converted to the registration number. Priority Claim The Paris Convention provides for an applicant who has filed his priority application or first application in one member country of the Paris Convention, to claim the benefit of the priority date or first filing date, in his subsequent application in another member country, provided that the subsequent application is filed within the priority term of six (6) months from the priority date or first filing date.

As Malaysia is a signatory to the Paris Convention, an applicant filing a trade mark application in Malaysia may claim the priority date of an earlier corresponding application filed in a Paris Convention country within six (6) months of the filing of the earlier application.

Territorial rights

Trade mark rights are territorial in nature. As such, the rights conferred by a trade mark registered in Malaysia extend only to Malaysia.

4.3 FORMALITY EXAMINATION

After an application for a trade mark has been submitted to the Trade Mark Registration Office and allotted an application number, the application will undergo the first stage of examination which is known as the formality examination. During this stage of examination, the examiner will examine the application for compliance in terms of formal requirements of the application especially the completeness of the documents submitted. If all the documents are complete, the application will proceed to the search and examination stage. However, if the documents are incomplete, a non-compliance notification is sent to the applicant to address the same. The Trade Mark Registration Office will not process the application further unless the required documentation is complete.

4.4 SEARCH AND EXAMINATION

Upon compliance with the formality requirements, the examiner will conduct a search of the Register of Trade Marks (Register) to determine if the trade mark is in conflict with any existing marks, either prior registrations or pending applications. The trade mark will also be examined to ascertain whether it fulfills the requirements of a registrable trade mark as mentioned in section 3.1. The examiner will conduct further examination to determine whether the same falls under the category of non-registrable trade mark as stated in section 3.2. If the trade mark fulfills all the requirements, the examiner will issue an acceptance letter to allow the registration of the mark. Objection On the other hand, if the mark conflicts with an existing mark or is not in compliance with the requirements of a registrable trade mark, the examiner will issue a notice of objection to the applicant. The applicant is given two (2) months from the date of the notice to file a response. The response may be made by way of a written submission and needs to be submitted within the stipulated time. If no response is received by the examiner within that time period, the application will be treated as abandoned.

Grounds of Objection The examiner may object the application of a trade mark based on the following grounds: a) Generic terms

A trade mark which contains a generic term or common word will be objected. For example, if a company intends to register the trade mark 'CHAIR' to sell chairs, the mark would be objected since “chair” is the generic term for the product.

b) Descriptive terms

Descriptive terms mean words that are usually used in trade to describe the product in question. For example, the mark ‘SWEET’ is likely to be objected for marketing chocolates as being descriptive. Similarly, qualitative or laudatory terms such as ‘BEST’, ‘STRONG’, and ‘QUALITY’ are likely to be objected. In such cases, it may be necessary to include a disclaimer clarifying that no exclusivity is sought for that particular part of the mark.

c) Similar or identical with another mark

The general rule is that no trade marks shall be registered where it is confusingly similar or identical with a registered or earlier filed mark in respect of the same goods or services or in respect of goods or services that are closely related to those goods as this would cause confusion among consumers.

Hearing Upon the submission of the response to the examiner, a decision will be made by the examiner either to allow the registration of the mark or to maintain the objection. If the examiner decides to maintain the objection, a notice of such decision will be issued to the applicant. At this stage, the applicant is given two (2) months to request for an ex-parte hearing session to appeal for the registration of the mark. If no response is received by the examiner within the stipulated time period, the application will be treated as abandoned.

4.5 ACCEPTANCE

Where the trade mark has passed the search and examination stage, in other words, it is found to meet all the requirements, an acceptance letter will be issued by the Trade Mark Registration Office to the applicant. The applicant is then required to file a request for advertisement together with the prescribed fee within two (2) months from the date of the acceptance letter.

4.6 ADVERTISEMENT

Upon payment and filing of the request for advertisement at the Trade Mark Registration Office, the trade mark will be advertised in the Government Gazette. A period of two (2) months from the date of advertisement in the Gazette is given for any third party to file an opposition against the registration of the trade mark. In the case of an opposition, the trade mark will only be registered upon the applicant successfully defending the same in the opposition proceedings. If there is no opposition, the application proceeds to registration.

4.7 OPPOSITION

Notice of Opposition Any person may, within two (2) months from the date of the advertisement in the Government Gazette give notice in writing to the Registrar of Trade Marks (Registrar) on Form TM 7 accompanied by the prescribed fee. A copy of the notice must also be sent to the applicant. A notice of opposition shall include a statement of the grounds upon which the opponent objects to the registration of the applicant's mark. If registration is opposed on the ground that the mark resembles another mark already on the Register, or the registration of which is the subject of a current application, the number and class of that other mark and, except in the case of an application not yet advertised, the number of the Gazette in which it has been advertised shall be set out in the notice. Counter-statement Within two (2) months of the receipt of a notice of opposition, the applicant may file with the Registrar a counter-statement on Form TM 8 setting out the grounds to support his application. A copy of the counter-statement must be sent to the opponent. Evidence in Support of Opposition The opponent, within two (2) months of the receipt of the counter-statement, shall file with the Registrar by way of a statutory declaration such evidence as he desires to adduce in support of his opposition, and shall at the same time send a copy of that evidence to the applicant. Evidence in Support of Application Within two (2) months of the receipt of the opponent's evidence, the applicant shall file with the Registrar such evidence by way of a statutory declaration as he desires to adduce in support of his application and shall at the same time send a copy of that evidence to the opponent.

Evidence in Reply Within two (2) months from the receipt by the opponent of the copies of the applicant's evidence filed, the opponent may file evidence in reply by way of a statutory declaration and shall, at the same time, send a copy of that evidence to the applicant. Written Submission Upon completion of the submission of evidence by both parties, the Registrar shall give notice to the parties of a date by which they may send to him any arguments or submissions in writing. The date shall be at least one (1) month after the date of receipt by the parties of the notice given by the Registrar. Examiner’s Decision The Registrar shall consider the evidence and any written submissions or arguments submitted by both the parties and shall within two (2) months communicate to the parties in writing his decision in the matter and the grounds of his decision.

4.8 REGISTRATION

Where a trade mark has not been opposed within the two (2) months period or the decision by the Registrar in the event of an opposition is favourable to the applicant, the trade mark will be registered. After the trade mark is registered, a certificate of registration will be issued to the applicant. The registration date of the trade mark will be the initial date of filing of the application. The duration of the trade mark will be for a period of ten (10) years from the date of filing. It is renewable indefinitely every ten (10) years.

4.9 RENEWAL OF REGISTRATION

At any time not less than three (3) months before the expiration of a registered trade mark, the registered proprietor or his authorised agent may submit Form TM 12 together with the prescribed fee to the Trade Marks Registration Office for the renewal of the mark. If the renewal fee has not been paid within one (1) month from the expiration of a trade mark, the registered proprietor may file in Form TM 13, accompanied by the late renewal fee. The Trade Mark Registration Office shall then renew the registration without removing the mark from the Register. However, if the renewal fees are not paid within the stipulated time period as indicated above, the Trade Mark Registration Office shall remove the mark from the Register.

If, within one (1) year from the expiry of the registration, the proprietor wishes to restore the mark, he may file such a request on Form TM 14 accompanied by the restoration and renewal of registration fees with the Trade Mark Registration Office. In such cases, the Registrar may restore the mark and renew its registration if he is satisfied that it is just to do so, upon such condition as he may think fit. Where a trade mark has been removed from the Register for non-payment of the renewal fee, the Registrar shall enter in the Register a record of such removal and of the cause thereof and shall advertise the fact of the removal in the Government Gazette.

5. NON-USE OF TRADE MARKS 5.1 GENERAL

Upon registration, the proprietor of a registered trade mark should ensure that the mark is used or continue to be used. This is because the mark may be expunged from the Register, upon the application of an aggrieved person as provided by the TMA, if it has not been in use for a period of three (3) years or more from the date of registration.

6. ASSIGNMENT OF TRADE MARKS

6.1. MEANING OF ASSIGNMENT

A trade mark assignment refers to the transfer of ownership of a trade mark from the owner to a third party. An assignment must be in writing and signed by or on behalf of the contracting parties. The transfer can be done through a deed of assignment. Generally, the terms in a deed of assignment will cover the consideration for the assignment of the trade mark; representations and warranties of the assignor which include representations as to ownership of the trade mark and a resolution mechanism to resolve any disputes under the trade mark assignment.

6.2. APPLICATION FOR RECORDAL OF ASSIGNMENT

Assignment of Registered and Unregistered Trade Mark A trade mark must be registered before an assignment can be done. However, for unregistered trade marks, the same can be assigned if they are linked to a registered trade mark, which is to be assigned. In such circumstances, the unregistered trade mark must be in use in the same business as that of the registered mark. Further, all the marks must be assigned at the same time to the same person.

Application Procedure

An application to record the assignment in the Register must be made to the Trade Marks Registration Office on Form TM15 together with the prescribed fee. The original or a certified copy of the deed of assignment signed by or on behalf of the contracting parties must also be submitted together with the application. If all requirements have been complied with, the Registrar will record the assignment in the Register and a notice of recordal of the assignment will be sent to the applicant.

7. REGISTERED USER 7.1 GENERAL

Where the registered proprietor of a trade mark grants a right through a valid contract or agreement to any person to use the trade mark, that person may be entered on the Register as a registered user.

7.2 APPLICATION PROCEDURE

An application for the registration of a person as a registered user of a registered trade mark must be made by the registered proprietor by filling Form TM23 accompanied by the prescribed fee and the following information:

a) the representation of the registered trade mark; b) the names and addresses for service of the parties; c) the goods or services in respect of which the registration is proposed; d) any conditions or restrictions proposed with respect to the characteristics

of the goods or services, to the mode or place of permitted use or to any other matter; and

e) whether the permitted use is to be for a period or without limit of period, and if for a period, the duration of that period.

8. TRADE MARK INFRINGEMENT 8.1 GENERAL

A trade mark infringement may occur when a person who is not the registered proprietor of the trade mark uses a mark which is identical or so nearly resembling the registered mark, such that, it is likely to deceive or cause confusion in the course of trade in relation to the goods or services in respect of which the trade mark is registered. As provided under the TMA, the registered proprietor of the mark has the right to initiate court proceedings against any person who has infringed or is infringing its

mark. In the case of an unregistered trade mark, the redress for the proprietor is by way of common law action of passing off, whereby the proprietor may sue the infringer for passing off its mark as that of the proprietor’s. The exclusive rights of the registered proprietor to the mark take effect from the date of registration, which is essentially the date of filing of the application for registration.

8.2 REMEDIES FOR INFRINGEMENT OF TRADE MARKS AND PASSING OFF

A successful plaintiff in an infringement or passing off action may obtain the following remedies from the court: Injunction An injunction is a judicial remedy issued by the court in order to prohibit a party from doing or continuing to do a certain activity. In the case of an infringement, an injunction is granted by the court to refrain further infringement by the defendant. To obtain an injunction, it is important for the plaintiff to show that the infringing activities are continuous because it may not be possible to obtain an injunction in cases where the infringing act is an isolated act. A declaration of infringement of a trade mark may be obtained by the plaintiff from the court that may give liberty to the plaintiff to apply for an injunction in the case of an infringement.

Anton Piller Order An Anton Piller Order is a mandatory order permitting the plaintiff to enter specific premises to inspect and take into custody documents or articles relevant to the infringing action which may be destroyed or otherwise concealed by the defendant. Its purpose is to preserve documentary evidence essential to the plaintiff’s case. The following criteria must be satisfied before an Anton Piller Order is granted by the court:

a) the plaintiff has an extremely strong prima facie case that the defendant is liable to the plaintiff for some wrongdoing;

b) the defendant has in his possession incriminating documents or other materials;

c) there is a real possibility that such materials may be destroyed before any application inter partes can be made; and

d) the actual or potential damage to the plaintiff is very serious. Damages Damages are awarded for an infringement of a trade mark and passing off under common law. The assessment of damages may be by way of an affidavit or by oral testimony depending on the direction of the court. There are no specific ways for the estimation of damages since the amount of damages will be awarded based on the evidence and facts produced.

8.3 TRADE DESCRIPTION ORDER

Another means of enforcement against an infringer of a trade mark or a person liable for passing off would be to obtain a Trade Description Order (TDO). This is provided by the Trade Description Act 1972 (TDA). A TDO basically declares a particular trade mark or get up as a false trade description. With a TDO, the officers of the Ministry of Domestic Trade, Cooperative and Consumerism can seize goods affixed with the marks or get up declared as such and prosecute the manufacturers and/or the sellers. An application for a TDO may be made to the court by way of an ex-parte application.
