Call to order

Noting the presence of a quorum, Wernick called the meeting to order at 12:10 pm and welcomed members of both boards.

Introductions

Wernick welcomed and introduced Michael Kumer (Boards Made to Order) as meeting facilitator.

History and Review

White provided a brief history and review of the BSA & BSA Foundation relationship and shared a draft of the BSA Foundation’s Strategic Planning Process Map. Shared goals include: (1) collaborate and develop ways to allocate both organizations’ resources as effectively as possible; (2) continue to develop strategies to engage the public in the importance and power of design; (3) continue to drive vibrancy and resiliency throughout the city of Boston and its neighborhoods; (4) work to build a cohesive message advancing a shared civic vision.

Workgroups review of BSA Foundation goals

The boards separated into five groups to discuss ways of working together, maximizing their partnership and how to advance the strategic goals the BSA Foundation. Groups discussed measures of success and delivery tools necessary to implement the strategic plan.

Wrap-up and next steps:

Wickersham thanked attendees (on behalf of the BSA Board) for their work and input. He commended the BSA Foundation Board’s strategic plan and pledged ongoing collaboration. White reminded the BSA Board to cast votes for AIA Proposed Bylaws Amendments, Resolutions and Candidates before the upcoming business meeting at AIA Conference on Architecture 2017.

Minutes of prior meeting

Upon a motion by Burchard, seconded by Fannon, it was VOTED to accept the minutes of the January 20th board meeting as submitted; Unanimous.

New FAIA Members Introduction

14 new architects from AIA New England that have been inducted into the AIA College of Fellows, seven of the honorees are members of the BSA/AIA: Michael Epp FAIA; Jocelyn Lum Frederick FAIA; Mark R. Johnson FAIA; Thomas D. Kearns FAIA; Philip L. Laird FAIA; Timothy D. Love FAIA; Bhagchand D. Nayak FAIA.

Financial Update

Collins reported that 2016 results were better than expected due to ABX and investments. Audit is now underway.

Grassroots Update AIA National Conference - Elections

President Stevenson recapped topics/events at the AIA Grassroots Conference held in Washington DC, March 8-10. A major focus was advocacy and upholding the core values of the AIA and its membership.

There are three open positions this year at the national level: 2018 First Vice President/2019 President-elect—William J. Bates, FAIA (AIA Pittsburgh/AIA Pennsylvania); 2018-2019 Treasurer—Patrick P. Panetta, AIA (AIA Phoenix Metro/AIA Arizona); 2018-2020 At-large Director (one to be elected)—Emily Grandstaff-Rice, FAIA (Boston Society of Architects-AIA/AIA Massachusetts) and Daniel S. Hart, FAIA (AIA West Texas/AIA Texas).

Upon a motion by Carroon, seconded by Collins, it was VOTED to recommend Emily Grandstaff-Rice as 2018-2020 At-large Director; Unanimous.

ABX Update

Executive Director White reported on the 2017 ABX collaboration with Greenbuild and the progress of the negotiations/legal challenge with TMS.

Committee Report

Board discussed ways to better support BSA committees by encouraging them to work together. Jackson presented an outline for better communication with committees in order to learn more about them; trend, track and share ideas with them; receive useful feedback about their missions and statistics; strengthen and/or better serve them.

Strategic Focus President-elect Wickersham said that in an uncertain legislative, economic and political landscape, architects and designers are uniquely positioned to improve their communities while bolstering their businesses. He said it is a matter of ethics and values for the board to become involved in advocacy and civic engagement. The BSA has an opportunity to become a leader in helping inform and educate its membership (and the general public) about advocacy, civic engagement and policy-shaping ideas at the state and national level.

Executive Director’s Goals

President Stevenson noted that the BSA & BSA Foundation board leadership met with Executive Director White to discuss and set goals for the coming year as follows: (1) Collaborate with boards, staff, partners and membership to advance the organization’s strategic framework; (2) Continue to grow membership and increase impact and relevance of the BSA and BSA Foundation; (3) Advance the BSA’s & BSA Foundation’s business capabilities to position both for the next 10 to 15 years; (4) Provide leadership that fosters excellence, creativity and inclusiveness among staff, boards and members; (5) Focus efforts on success and measurements of success.

To: BSA Board of Directors From: Josiah Stevenson FAIA, President and Eric White, Executive Director Re: President’s and Executive Director’s Report Date: May 11, 2017 Administrative We created two shifts for receptionist/facility coordinators to facilitate all of our meeting room needs beginning at 7am and ending at 8:30pm. With the creation of these shifts, we have hired two people to cover these shifts. Additionally, we have re-hired our former senior accountant as our previous staff accountant resigned. Financials The Accounting/Finance Department has been working non-stop in closing the fiscal year 2016 and working with the auditors to finalize the year out. The process of closing the fiscal year 2016 is still in progress. Membership & Committees The VP/Committee Chair Roundtable in March was well-attended and led to various committee collaborations around topics of advocacy, small firm support, and mentoring mid-career professional women. We also welcomed a new committee, Committee for Research and Innovation Design, chaired by Lynn Petermann of Payette and Luke Voiland of Shepley Bulfinch, and have sunsetted two inactive committees: CORE and IR Wizards. Professional Programs, Exhibitions & related programming Professional Programs supported annual and legacy programs including the 34th annual Fellows dinner, celebrating the accomplishments of distinguished members, and the fifth round of Build Yourself+ Workshop, providing a platform for skill development and growth for women in the design profession. Plans continue to develop for programs related to the future of practice, including an upcoming Equity Roundtable program on Perkins+Will’s Diversity + Inclusion + Engagement Council, and the Emerging Professionals Network’s bootcamp series on the process of designing and building large projects in Boston.

Communications The 2017 Homeowner’s Project Handbook has been sent to print and will be distributed to 10,000 Boston Home readers later this month. We continue to expand our abilities to share events with the public through Facebook live, which has now live streamed seven events from children presenting their projects in Family Design Days to the BSA Design Awards Gala. Weekly “Reflections” from past presidents and other BSA leadership, related social media messaging, and planning for sesquicentennial communications throughout the rest of the year continues. A focus on driving interest in the newly mounted exhibition “The New Inflatable Moment” has resulted in heavy early press coverage. The Boston Architecture Diary, which catalogs architecture and design events throughout the city, has launched, and has also been featured in influential media.

Public Programs On the Foundation public programs front, the 25th anniversary of KidsBuild! was celebrated with gusto! A new logo (won via a design competition), a new [annual?] adult-only building evening and a sold out crowd during the event on April 8 & 9th engaged over 900 people with thousands more enjoying the city during the subsequent week. On the Community front, the engagement portion of the Sumner BPS Schoolyard redesign has begun with every student ‘bead voting’ and completing design sheets. Family and a professional workshop commence this month. A reminder that Common Boston is fast approaching on June 3rd and 4th. Please share the information (on the BSA Space website as well as the BSA’s Facebook page) on attending and volunteering with your networks.

Civic Initiatives In partnership with the Chleck Family Foundation, BSLA, LivableStreets, the Emerald Necklace Conservancy, and the Franklin Park Coalition, the BSA Foundation hosted national and international speakers for a series of four conversations about the Emerald Necklace/Columbia Road corridor. Workshops for Sumner elementary school students have occurred throughout April and May, leading up to a professional ideas charrette on May 31, where ideas will inform a BPS RFP process to follow. Syria charrette teams completed their design ideas, and celebrated achieving their fundraising goal of $50,000 at an evening reception in April.

Following the July Board meeting the ABX subcommittee – Tamara Roy AIA, Mike Davis FAIA, David Fannon AIA, Patti Seitz AIA, Stephen Gray Associate AIA, Billy Craig and Eric White – reviewed and evaluated the two options identified by the Board regarding the future of ABX. Below is a review of our analysis and recommendation.

Context

We briefly reviewed all options (see appendix 1) and agreed that the status quo (managing the show internally and contracting sales and other operations to TMS) is not in the best interest of the BSA long-term. The Board discussed this in past presentations and our group did not investigate further. As the Board requested in July, we focused our assessment on two options:

1. continue owning ABX and engaging contractors with expertise in tradeshows (which couldinclude continuing a short-term relationship with current contractor TMS) to manage allaspects of the show; or

2. selling ABX to a third-party owner.

ABX is a significant revenue source that enables the BSA to invest in many programs, activities and services. Both option 1 and 2 mean a reduction in BSA’s operating revenue and will require changes in how we invest time, energy and resources to achieve our goals. These services may include: ArchitectureBoston magazine; committees and BSA Space exhibitions; public engagement; and our civic agenda managed by the BSA Foundation. We also recognize the need to invest in new revenue streams, though it is unreasonable to expect that any single, or even multiple source(s) will equal ABX’s financial returns. We should consider the amount of energy, time and resources currently invested in operating ABX and how these resources might be shifted to other mission fulfilling activities. While we have noted these issues, we advise the Board not to expect to know now what happens to each of these activities in order to make a decision about what we are going to do with ABX.

Both the sale and new partnership options are very good opportunities for the BSA, each with their own strengths and weaknesses. To better understand option 1 we reached out to five potential contractors including both local and national firms with experience in tradeshow management. Only one, Castle Group, responded with the enthusiasm for immediate engagement. Their portfolio is particularly strong in marketing and registration, with less experience in complete show management and no sales experience.

We have also continued conversations regarding a possible sale to Diversified Communications and signed a Letter of Interest to negotiate details. We are sharing ABX information to fulfill due diligence to that end.

Finally, we emphasize the importance that we cannot postpone a decision on ABX. Our agreement with TMS expires at the end of this year and we need to prepare for ABX 2017 and cannot do so without a decision. Our LOI with Diversified expires on September 30 and the details of the operating agreement meet our expectations. If we sell, we understand the basic agreement for the sale and will have one more opportunity to review details of a sale and operating agreement before signing, but short of an unforeseen change, the details are fairly well-known.

Review of the Two Options

1 Owning ABX and hiring contractors to manage the business of ABX (Higher annual operating income; more time, resources, and energy.) The BSA retains ownership of the show with a primary focus on content, relationship building and some marketing, while engaging outside expertise to address our internal shortcomings with sales, show management and operations, and large-scale marketing and customer service. Engaging other contractors could open new markets and growth opportunities. We could continue to offer one BSA Brand, Media Kit and fully cross-sell our services. This option requires an increased investment in resources (reducing our net financial returns) as well as significant staff time.

2 Selling the Show (Big nest egg; lower annual operating income; less time, energy, and resources.) BSA sells ABX to a third party. As noted, we are negotiating with Diversified Communications for a potential sale. There are two major elements to a sale: A Purchase and Sale Agreement and a Cooperation Agreement. The P&S is a complete sale for which Diversified is offering $4.7M. The Cooperation Agreement offer is a five-year renewable advisory agreement to assist with conference content, marketing and a seat on the ABX Advisory Board. In return the BSA receives an annual royalty payment of 10% of gross revenue. Diversified has repeatedly indicated their interest in continuing the relationship beyond five years. This turns the show over to a tradeshow/conference company with the expectation of reducing our risk and potentially long-term growth.

There are costs associated with the sale including legal fees (estimated at $70K if all is straightforward; $200K if the deal becomes complicated). There is also the potential the BSA will be responsible for a two year buyout of our sales contract agreement with our current sales vendor TMS. The high end of the buyout risk is $1M, and the low end risk is $0. The TMS contract is vague and will require legal action.

A sale may also have residual impacts on advertising and sponsorship income for the website, ArchitectureBoston, Homeowners Project Handbook, and Currents. These assets are currently sold by TMS and are regularly tied to ABX vendor deals.

Criteria

To help us make our recommendation we established five major criteria.

Mission – ABX provides education, networking and advocacy opportunities that all fulfill the BSA’s mission. In both scenarios ABX continues and its service to the BSA’s mission. Advantage – neutral.

Member Value – ABX continues to be a member asset in either scenario. If the BSA continues managing the show there is less risk to content management as we retain ownership. By selling we are an advisor to the content, though it is in Diversified’s best interest to keep us engaged in content development. A sale to Diversified potentially improves customer service as managing tradeshows/conventions is their business. Additionally their convention portfolio positions them to better negotiate for services with convention centers. Advantage – sale.

Operating Revenue – As noted earlier, ABX financially supports a significant amount of BSA’s operations and our net revenue will decrease with either scenario. Operating revenue decreases more significantly for the short – to medium-term with a sale. Advantage – Keep the show.

Resources – ABX requires a significant amount of investment in resources and staff. The opportunity cost is extremely high and requires us to work in areas that are not our expertise nor directly related to fulfilling the mission. In addition, a sale includes a significant buyout providing money to invest in new opportunities. Advantage – sale.

Long-term prosperity & Growth – Ownership of Build Boston and ABX has resulted in consistent returns with no real growth. Diversified’s interest in the show is built on an assumption of significant growth. In addition, 2015 was the best financial year, resulting in a strong buyout offer. Advantage – sale.

Our Recommendation

The ABX subcommittee unanimously recommends pursuing the sale of ABX to Diversified Communications, assuming the details of their offer do not change during due diligence and negotiations. We acknowledge this will hit the BSA’s short-term operations and we will need to make difficult decisions about where and how resources are allocated to fulfill the mission.

Next Steps

Should the Board approve the committee’s recommendations we encourage the following steps be considered:

• A committee be created to provide guidelines on the use of the buyout money.• A committee be created to work with staff and the BSA Foundation to define the future of the

BSA including:o Scope of BSA services, programs and activities within the existing resources of the BSA

(in particular examining investments in ArchitectureBoston magazine, committees, andBSA Foundation operations including BSA Space exhibitions, public engagement, andour civic agenda, and how to best allocate resources (including staff) to achieve goals.

o Potential new revenue streams and opportunities in which the BSA should invest withthe understanding of long-term growth.
