Northern Petroleum Nederland B.V. (NPN) is de houder van de
opsporingsvergunningen voor koolwaterstoffen voor Utrecht (verleend
bij beschikking nr. ET/EM/7042790 van 25 april 2007)
NPN en Vermilion Oil & Gas Netherlands B.V. (Vermilion) zijn
voornemens een juridische fusie aan te gaan waarbij Vermilion het
vermogen van NPN onder algemene titel zal verkrijgen en NPN op zal
houden te bestaan.
Met het oog op het bepaalde in artikel 21, vijfde lid, sub b van
de Mijnbouwwet zou NPN bovengenoemde opsporingsvergunningen graag
voor de fusie aan Vermilion overdragen, ln verband hiermee vragen
NPN en Vermilion bij deze uw toestemming voor de overdracht van de
opsporingsvergunningen Utrecht en NPN aan Vermilion.

Procesverloop:– Northern Petroleum Nederland B.V. is houder van
de bij beschikking van de Minister van Econo-
mische Zaken van 25 april 2007 met kenmerk ET/EM/7042790
(Staatscourant 2007, nummer 85), verleende opsporingsvergunning
voor het gebied genaamd Utrecht, laatstelijk gewijzigd op 30 maart
2012 bij beschikking van de Minister van Economische Zaken met
kenmerk ETM/EM/ 12013909 (Staatscourant 2012, nr.7651);
– De opsporingsvergunning Utrecht geldt tot en met 24 november
2013;– bij brieven van 22 oktober 2013 en 1 november 2013 heeft de
vergunninghouder een aanvraag
ingediend om wijziging van de opsporingsvergunning Utrecht;– de
vergunninghouder heeft bij brief van 15 januari 2014, gevraagd om
toestemming, op grond van
artikel 20 eerste lid, van de Mijnbouwwet, tot overdracht van de
opsporingsvergunning voor het gebied genaamd Utrecht aan Vermilion
Oil & Gas Netherlands B.V.
Gelet op de artikelen 18 en 20, eerste en derde lid, van de
Mijnbouwwet.
Besluit:
I: WIJZIGING OPSPORINGSVERGUNNING UTRECHT
Artikel 1
Artikel 3 van het besluit van 25 april 2007 met kenmerk
ET/EM/7042790 wordt als volgt gewijzigd:De vergunninghouder geeft
uitvoering aan het werkprogramma dat onderdeel uitmaakt van de
aanvraag om wijziging van de opsporingsvergunning voor het gebied
genaamd Utrecht, onder de voorwaarden dat:– uiterlijk vóór 24
november 2014 aan de Minister van Economische Zaken schriftelijk
gemotiveerd
wordt aangegeven waar een boring zal worden verricht, onder
vermelding van tijdstip, plaats, geologische structuur en
diepte;
– uiterlijk vóór 24 november 2015 een boring wordt verricht.
Artikel 2
Artikel 4 van het besluit van 25 april 2007 met kenmerk
ET/EM/7042790 wordt als volgt gewijzigd:De opsporingsvergunning
voor het gebied genaamd Utrecht geldt voor het tijdvak dat eindigt
op 24 november 2015.
II: OVERDRACHT OPSPORINGSVERGUNNING UTRECHT
Artikel 1
Aan Northern Petroleum Nederland B.V., wordt toestemming
verleend tot het doen overgaan van de opsporingsvergunning voor het
gebied genaamd Utrecht, zodat Vermilion Oil & Gas Netherlands
B.V. houder wordt van de opsporingsvergunning voor het gebied
genaamd Utrecht.
Artikel 2
De vergunning dient binnen één jaar na bekendmaking van deze
beschikking daadwerkelijk te zijn overgedragen.
Artikel 3
De vergunninghouder doet van de overdracht onverwijld
schriftelijk mededeling aan de Minister van Economische Zaken en
aan EBN B.V., Afdeling Legal, Postbus 19063, 3501 DB Utrecht.Deze
beschikking treedt in werking met ingang van de dag na die waarop
de beschikking is bekendge-maakt.

DEED OF TRANSFER EXPLORATION LICENCE UTRECHT
THIS TRANSFER is made the 7*'' day of March 2014 BY AND
BETWEEN
NORTHERN PETROLEUM NEDERLAND B.V., a company incorporated under
the laws of the Netherlands, having its registered office in The
Hague, The Netherlands, and its principal place of business at
Lange Voorhout 86 unit 2,2514 EJ The Hague, The Netherlands,
registered with the Chamber of Commerce (/Corner van Koophandel)
under number 27272285 (hereinafter referred to as "Northern"),
and
VERMILION OIL & GAS NETHERLANDS B.V. a company incorporated
under the laws of the Netherlands, having its registered office in
Amsterdam, The Netherlands, and its principal place ofbusiness at
Zuidwalweg 2, 8861 NV Harlingen, The Netherlands, registered with
the Chamber of Commerce under number 34201179 (hereinafter referred
to as "Vermilion").
WHEREAS
A. Northern is the sole holder of the exploration licence for
hydrocarbons for Utrecht,granted by decree of the Minister of
Economic Affairs of 25 April 2007, numberET/EM/7042790 (hereinafter
referred to as "Utrecht");
B. Northern intends to enter into a legal merger with Vermilion
whereby Northern shallcease to exist. The effective date of such
merger shall be 1 January 2014.
C With a view to article 21.5 sub b of the Mining Act
(Mijnbouwwet), Northern and Vermilion have agreed to transfer
Utrecht from Northern to Vermilion prior to their legal merger;

D. Pursuant to article 20.1 of the Mining Act, the prior written
consent of the Minister ofEconomic Affairs (hereinafter referred to
as the "MEA") is required for such transfer;
E. By letter dated 15 January 2014 Northern and Vermilion
requested the consent of theMEA for the transfer of Utrecht from
Northern to Vermilion;
F. By decree number DGETM-EM/14023469 dated 14 February 2014 the
MEA consented tosaid transfer;
G. Northern now wishes to transfer Utrecht to Vermilion and
Vermilion wishes to acceptthe transfer of Utrecht.

DEED OF TRANSFER EXPLORATION LICENCE UTRECHT
NOW, THEREFORE, in consideration of the mutual covenants herein
contained, it is hereby agreed as follows:
1. Effective 1 January 2014, Northern hereby transfers Utrecht
including all rights andobligations attached thereto to Vermilion
and Vermilion hereby accepts such transfer.
2. This deed of transfer shall be exclusively governed by and
interpreted in accordance withthe laws of the Netherlands and any
dispute that may arise out of or in connectiontherewith shall be
subject to the exclusive jurisdiction of the Dutch courts.
IN WITNESS WHEREOF, the parties hereto have caused this deed of
transfer to be executed in twofold by their duly authorised
representatives.

Dear Mr. ,
With this letter Vermilion Oil & Gas Netherlands B.V. (VOGN)
would like to convey the progress and further planning with respect
to the work programs in the relevant portfolio of exploration
licenses that VOGN currently holds post the acquisition of Northern
Petroleum Nederland B.V. (NPN) in October 2013. Where applicable
VOGN hereby applies for extension of the license terms in order to
be able arrive at a maturation status that allows for tangible
plans to drill exploration wells on these licenses.
In the Tour d'Horizon held on 4 April 2014 at your offices in
Den Haag an overview was provided on the work in progress on
forward planning for subsurface work for the complete portfolio of
exploration licenses in order to mature the respective
prospectivities prior to the setup of firms plans for drilling
exploration wells. In the meeting it was indicated that during this
second quarter of 2014 VOGN would be able to firm up the forward
overall planning for subsurface activities on the basis of
identified specific sub surface evaluation projects and resourcing
of these projects within VOGN, The results of this work are
presented in the enclosed reports. A summary per exploration
license, including request for extension, where applicable, is
herewith presented for consideration.

Exploration Licenses Utrecht.
With respect to these licenses, following take over from NPN,
VOGN applied for and received extensions of two years to November
2015 under the condition that drilling plans would be submitted by
November 2014 with execution of a drill before November 2015. The
enclosed report that was provided in addition to the requests for
extension in October 2013 and was further presented in the Tour
d'Horizon in April 2014 indicating that VOGN realistically will
require the full two years extension to complete the subsurface
evaluation activities in order to establish the potential for
further tangible drilling plans. Only in the Utrecht license an
exploration well is being scheduled in the prospect for which
permitting is in progress, being the same prospect and target as
previously indicated by NPN. The sequence for obtaining the permit,
constructing the location that requires pre-loading and drilling
the well would bring the timing for the drill to the first half of
2016 as it can be judged at present. On the basis of this
information VOGN request that the extensions provided for these
three licenses are not made conditional to provide tangible
drilling plans by November 2014 (with the exception of the drilling
plan for and executing drills before November 2015. That will allow
VOGN to complete the work programs as presented and formulate the
way forward for activities in these licenses by applying for
further extensions beyond 2015 or relinquishments in case VOGN sees
no further potential.

the resulting requests for extensions at your convenience.

Dear Ms. ,
With this letter Vermilion Energy Netherlands B.V. (VEN) would
like to convey the progress and further planning with respect to
the work programs in the relevant portfolio of exploration licenses
that VEN currently holds. Where applicable VEN hereby applies for
extension of the license terms in order to be able to arrive at a
maturation status that allows for tangible plans to drill
exploration wells on these licenses.
The exploration concessions within VEN's portfolio consist of
"old" concessions that have seen neither drilling nor seismic
acquisition activities since the late 90's, and therefore do
require unlocking technologies to unravel the exploration potential
and opportunities for monetizing the Netherlands subsurface.
Activity planning in the Netherlands is proven now to be a
different process than 5-10 years ago. Any drilling activities in
those concessions will require new drilling sites since all
potential sites have been reclaimed by previous operators at the
time of relinquishment. Therefore, from the identification of a
target to the actual drilling activity, an average of 2-3 years
needs to be considered. Considering the acquisition of new seismic
data, from first shot to target identification, an average of 2
years also needs to be considered to cover acquisition, processing,
evaluation, prospectivity ranking and budgetary approval.

Ö‘i VEN also needs to blend, through proper planning, those
activities with the other activities planned as the result of the
maturation of its existing mining concession portfolio.VEN would
appreciate if the MEA could consider these conditions under which
onshore operators are currently working within, in her evaluation
of the concessions extension requests. With the present letter VEN
wish to convey its interest, through the level of activity
proposed, in keeping those concessions in VEN's portfolio. The
table below summarizes the proposed level

Exploration Licenses Utrecht,
With respect to these licenses, VEN received extensions to
November 2016 under the condition that drills would be announced by
December 2015.
In the Utrecht license VEN had scheduled to drill the prospect,
however the necessary environmental permit that VEN has applied for
in July 2014, has been refused by the municipality in February
2016. VEN has filed an appeal against this decision in March 2016.
The initial planning however can no longer be met.VEN therefore
requests an extension of the Utrecht license with a period of six
years to November 2022 in order to finalize the proceedings
regarding and - assuming the proceedings will be a success -
restart the procedures for the drill, firm up other drillable
prospects in the area and execute the permitting for tangible
drilling activity.

further planning and prospectively in the Utrecht and exploration
licenses. In the following chapters, Vermilion will further
elaborate on the progress to date and planned exploration
activities for the coming years.

Exploration license Utrecht In the Utrecht license, VEN has
intentions to drill the . However, the necessary environmental
permit that VEN submitted in July 2014, was refused by the
municipality
in February 2016, by refusing to give a declaration of no
objections. After this refusal, VEN started a legal procedure in
order to get approvals on the submitted environmental permits. The
Court ruled against VEN in the appeal proceedings, which was later
also confirmed by the ABRvS (Afdeling Bestuursrechtspraak van de
Raad van State). The main consideration of the ABRvS was that the
realization of the mining location impairs the open and
agricultural character of the area and therefore doesn’t harmonize
with the scenic values that provincial and municipal policy pursue.

Vermilion recognizes that another municipal permit refusal could
result in a delay of the presented project timelines of multiple
years. Therefore, Vermilion requests an extension of the Utrecht
exploration license with 8 years, until 24 November 2026.
