Ilrban Unit" or Clienl') invites sealed bids from eligible and experienced income tax & PRA registered

sole propriaor / firms / companies (/rre inafier referred to as ' Bidder") for the sPecified items for its

office located at 503, 56 Roor, Shaheer Complex, Egerton Lahorc as per Annex-A (lwreirufier referredlo as "Services"),

I. Generot:l.l Any offer not received as per terms & conditions of the texlder enquiry is liable to be

ignored. No offer shall be comidered if:

!.3 Bid will remain valid for a period of90 days from the date of opening the tender. Nochange in pricr will be made in case ofPak rupees variation against US$ and any ohercase as may be.

1.5 Bidders shall participate for complete items as per Annex-A. Partial bidding is notallowed.

1.6 Contract Agreement will be signed with the technically responsive lowest evaluated

bidder as p€r detailed at Annex-A by The Urban Unit after the approval of CompetentAuthority i.e. Chief Executive Officer of The Urban Unit.

1.7 The bidder must indicate their National lncome Tax No. and PRA No.1.8 The Urban Unit may increase or decrease the ordered quantities uder Punjab

Procurement Rules, 20 I 4.

Time Periodi2.1 The bidder will have to provide the services right after the singing of agreement. The

response time for any query should never be more dran one working day.

2-Z The contract agreement will initially be signed for a period oftwo year, extandable on

reasonable rate on mutual consent ofboth parties.

E*ension of Delivery periodiIn special circumstances, request for extension of delivery period may be considered by theCompetent Authority on the written request of the firm before the target date, which will be

authorized to either accept or reject the rcquest ofbidder without assigning any reason.

Penally of Delry / Cancellotion i

4.1 The Magazine will be inspected by The Urban Unit through authorized personnel and willbe rejected, ifnot found according to the given specifications as mentioned at Annex - A

and The Urban Unit will not be responsible for any costs or expenses incurred by thebidden.

4.2 During the time period of the contract if it came into the knowledge of Urban Unit that thecirculation of successful vendor is below 500 per issue than the contract will beimmediately cancelled with full recovery ofthe amount givel to the successful vendor.

Paymenl to the Contracrots:5.1 Payment will be made through crossed cheque to the firm/company against invoice within

30 days after the satisfaction of concemed user on printing and dissemination of eachedition. No payment will be made as advance.

52 Payment against partial delivery will not be made.

Bid Securiy:6.1 Bid security @ 5% of estimated cost (i.e. 0re total estimated cost ofRs. 900,000/-) shall

have to be atEched along with bidding document. lt should be in the form ofPay Order /Bank Draft / CDR valid for a period of minimum of six (6) monfts fiom a scheduled bankin favor of Urban Sector Planning & Management Services Unit (Prt.) Limited.

6.2 Bid security of unsuccessful bidden shall be refunded on the finalization of the Tenderwhereas the bid security of successful bidder shall be refunded after complete delivery,inspection and approval ofreceived goods.

6.3 The bid security shall be forfeited if:a. The offer is withdrawn, amended or rcvised after submission time.b. The bidder fails to execute the contract sfictly in accordance with terms and

conditions of tender document.

Deduction oJ TuesiAll applicable taxes will be deducted while making payment as per Govemment Rules /InstuctionV Notffications. Bidder will be rcsponsible for the payment of duties, levies andclearance from customs authorities etc.

Dbpue:In case of any dispute before or after the execution of contrac! matter will be rcsolved as perPPRA Rules 2014 and Arbitration act 1940.

Preparation: with all content provided by the Urban Unit, design all needed materials forprinting

The bidder will provide Proofs: PDF to the Urban UnitFinishing: Hinge score cover, fol4 PUR Perfect Binding; recycled paper.

Design and specifications for the printing ofthe magazine will be decided in consultation withthe Urban Unit. The Design provided will include format/style, layout including typesetting,

styling, color, placement of photos/logo, etc.

The Urban Unit will provide Printer with word document copies of the texts to be published.

The bidder will provide the Urban Unit Communication sector proofs ofthe magazine (Urban

Unit part only) cover and text, color process, for overall reviews and approval prior to printing.

The Magazine will be published in English language.

The magazine will have a total amount of pages between 180 and 200.

Once approved and ready for printing the bidder will supply the Urban Unit with two PDF

documents ofthe Magazine (Unit's part only).

Upon completion ofthe printing, the bidder will be responsible for delivering 200 copies oftheMegazine to the Urban Unit Office (Office no 503, Shaheen Complex Edgerton Road Lahore).

The tentative timeline delivering ofthe magazine is 05 days within printing ofeach issue.

The Urban Unit Communication Team will share 500 addresses with the client for the

dissemination of magazine.

This contract, together with all appendices attached hereto and forming an integral part hereof, enteredinto at Lahore on_ day of the month of_, 2019 (referred as "Contract") by and between:

IWs Urban Unit Planning and Management Services Unit @rivate) Limited having its principalplace ofbusiness at Shaheen Complex, 503 Egerton Road, Lahore, Pakistan (hereinafter called the "TheUrban Unit" or "Client"), which expression shall include its successors, legal representatives andpermiued assigns, as one party;

AND

IWs Name of Bidder having its principal place of business at Pakistan(hereinafter called the *Contractor' or '_"), which expression shall include its successors, legalrepresentatives and permitted assigrrs, as other party.

Client and Contractor shall hereinafter collectively be referred to as 'the Parties' and individually as

'the Party'.

WHEREAS;

The Client advertised a tender notice on Punjab Procurement Regulatory Authority's website on.2019 and received bids to hire supply ofdrinking water bottles on monthly payment basis

as defined in this Contract (hereinafter called the "goods");

The Contractot being the l" lowest bidder, has been selected and is willing to provide the goods on theterms and conditions set forth in this Contract;

NOW TIIEREFORE, the Client, represented by its Chief Executive OIIicer on behalf of its Board of Directorsand the Contractor, represented by its in order to synergize their efforts for achieving theintended results, have decided to enter into this Contract on the terms and conditions agreed below:

l. The Contractor shall provide the services for the currency of the contract i.e. R s._ per Edition.

2. That the Client shall pay to the Contractor through crossed cheque on monthly basis in the name ofon actual printing basis after l0% satisfactory services as per rates mentioned above

3. The Contractor shall be careful for quality ofservices supplied under the contract.

4. The Client will deduct income tax or any other tax, if applicable, as per prescribed rates ofGovemment.

5. The client will deduct income tax and sales tax or any other applicable taxes, as per prescribed

rates ofthe Govemment of Pakistan and submitted deduction certificates.

6. That the contract may be revoked by the Client at any time in case substandard services or anyother reason after issuance ofone week notice and all payments will be withheld by the Clientand moreover, the legal action will be initiated against the firm.

7. That the terms of this contract shall be for a period of two years commencing from the date ofsigring of this contract.

23. Proposed Timeline ofdeliverables for 1't Edition:o 05 July 2019: Urban Unit will submit its matter to be printedo 20 July 2019: Publisher submits proposed lay-out ofthe magazine (Unit part only)o 30 July 2019: Publisher mails copies of the magazine to Urban Unit

24. The Parties shall use their best efforts to settle amicably all disputes arising out ofor in connectionwith this agreement or its interpretation. Any dispute between the parties as to matters arisingunder this agreement which cannot be settled amicably within thirty days after receipt by oneparty ofthe other party's request for settlement, may be submitted by either parry to arbitrationin accordance with the provisions set out below.

25. "The Arbitration proceedings shall be conducted in accordance with the Arbitration Act 1940 orany amendment or reenactment thereofand the rules made there and then. Each dispute submittedby a party to arbitration shall be heard by a sole Arbitrator. Arbitration proceedings shall, unlessotherwise agreed by the parties, be held in Lahore, Pakistan."

25. Neither party to this agreement shall be held liable for failure to comply with any of the terms ofthis agreement when such failure has been caused by fire, acts ofterrorism, labor dispute, strike,war, insurrection, and flood or other natural disasters, Government restrictions, or force majeurebeyond the control ofthe party effected.
