since 2008’s transforma-tive recession, and fur-ther evidence of Bostonbecoming a haven fornew age firms in itsaftermath has come viaSimpliSafe, the national-ly recognized homesecurity startup movingto a Synergy Invest-ments building at 294Washington St. inDowntown Crossing.Their 20,275-sf commit-ment was negotiated byBen Sutton of NAI/Hunneman CommercialCo. advising the tenantwith Lawrence Epsteinand Michael McElaney ofColliers exclusive agentsfor Synergy’s 229,000-sf

building that will accommodate SimpliSafeon the ninth floor later this autumn.

Cambridge “was always in the mix”during his client’s space search, Sutton

recounts to Real Reporter, but escalatingrents there “were a little scary, and thetransportation is not as good there asDowntown Crossing,” at which there is aconvergence of all major MBTA subwaylines, i.e. the Blue, Green, Orange and Redspurs, compared to the latter link beingthe sole one serving Cambridge.

“They have a very diverse employeebase, and they didn’t want to lose anyone(via a relocation),” outlines Sutton. “Herethey have every direction covered.”Sutton points to that aspect and down-town’s rapidly recovering economy forsparking the arrival of like-minded compa-nies carrying an entrepreneurial flair andyouth-oriented employee base, a con-stituency he has been representing.“Downtown Boston is very vibrant today,and this is just the beginning,” Suttonrelays, adding, “We were able to sell(SimpliSafe CEO Chad Laurans) on whatis already there today, but also what iscoming along very shortly, and that wasvery appealing to (consider).”

SOUTH WEYMOUTH — CBRE/NE’s nationally recognizedretail brokerage operation has plenty to talk about thus far in2014, with $565 million processed through midyear involving

2.4 million sf and listings worth another $200 million presently inthe pipeline. One assignment the team is apparently unable to dis-

cuss, however, just concluded in the $34.2 mil-lion purchase of a 130,000-sf shopping plazahere on the South Shore bought by Edens fromFederal Realty Investment Trust.

CBRE/NE principal Christopher Angelonecould not even acknowledge any role in thedeal by the group that includes principalWilliam Moylan and Vice President NathanielHeald. Market sources had previously peggedCBRE/NE as agents for the property that isgrocery anchored by a Whole Foods Marketand also houses such retailers as CVS,Marshall’s and Starbucks.

One industry professional familiar with theasset terms the nearly $265 per sf “a prettyaggressive price,” opining the reportedlysteady stream of interest from other suitors isa result of the community’s solid demograph-ics, plus visibility of the plaza and its lineup ofwell-known retailers. “It was hotly contested,”maintains that observer who adds the interestwas mixed between local investors and nation-al capital sources and operators such as SouthCarolina-based Edens.

Constructed originally in the mid-1970s onan 11.1-acre parcel, the Pleasant Shops arelocated close to South Shore Hospital on a visi-

ble parcel adjacent to Route 18 in an established retail corridor,according to marketing materials detailing the listing. FederalRealty had gained control as part of a larger national portfolio theREIT absorbed. Highlights in one assessment were the Whole

BOSTON — Even as the economy slowly recovers, Boston-area businesses are still in a cost-cutting mode. As compa-nies scrutinize the bottom-line, they typically pay special

attention to commercial real estate, which continues to be theirsecond greatest expense after labor costs. In this environment,

with millions of dollars at stake, many com-panies today aren't satisfied with business asusual. They're looking “outside the box” tosave money, reduce risk, and add value.

When companies need a real estate serviceprovider, conventional wisdom suggests theyseek firms that will put their interests first.And, since the client-broker relationship is allabout trust, conventional wisdom also sug-gests that companies insist on accountability,transparency and full disclosure.

But conventional wisdom doesn’t alwaysprevail.

Conflicting Business ModelsThe question is: Which brokerage firms

are best equipped to service the real estateportfolios of companies today? To answer

that question, it may be helpful to look at the two basic businessmodels from which to choose: traditional or “dual agency” firmsthat represent both tenants and landlords, and firms that exclu-sively represent tenants.

In the case of dual agency firms, brokers have an allegiance—and a fiduciary responsibility—to the landlord, not the tenant,and they are expected to bring tenants to the landlord’s build-ings. But of course, landlords and tenants have different agen-das, as landlords try to secure the highest rates and yield thefewest concessions, while tenants seek the lowest rates and themost concessions. When the goals of landlords (and their bro-kers) are incompatible with the needs of the tenant, conflicts ofinterest may be inevitable.

That approach then manifested itself in aportfolio of three Summer Street buildings inDowntown Crossing that Synergy and erst-while partner GreenOak put on the market.DivcoWest initially agreed to acquire them and then shifted gearsto bring Synergy back into the mix, reportedly securing a minor-ity stake as DivcoWest took on the role of GreenOak, a New Yorkfirm that bought into the portfolio and was aiming to cash out.Based in San Francisco, DivcoWest is led by Stuart Shiff, con-sidered an expert on new-age leasing trends and a vociferoussupporter of the metropolitan Boston and Cambridge markets.

Led by founder David Greaney 10 years ago, Synergy isrumored to be serving as operating partner on those buildings inreflection of the firm’s deep local knowledge and proven ability totake underperforming assets and bring them back to life, as in thecase of the 90,000 sf Summer Street package that is now 100 per-cent leased. Synergy principal Maura Griffith Moffatt wouldnot elaborate on the arrangement in any of the partnerships,including the most recent one that occurred this week when thetwo groups paid $39.5 million for 38 Chauncy St., a Class B officebuilding in the Midtown District that DivcoWest had initially tiedup before inviting Synergy to the show. Then now have similarintentions for 55 Summer St., a Downtown Crossing buildingthe two are expected to purchase later this year after dealing witha structured loan on the asset. That is also owned by Brickman.

“We are off and running as a team again, and looking to contin-ue what we have been able to accomplish in the past,” Moffattrelays. At this juncture, she says the latest holding bought is beingassessed on what its future needs might be, but Moffatt expressesconfidence that the “formula” Greaney standardized into a success-ful business model will be likely applied at 38 Chauncy St. Totaling132,000 sf, that building which dates to 1899 was acquired fromBrickman after that New York firm had held the property for threeyears, initially paying $21.1 million in July 2011. One report indi-cates the seller spent approximately $4 million on upgrades. n

forming Class B proper-ties across Boston andrepurposing them toattract the sort ofupstart startups thatSimpliSafe has emergedas, its notoriety bol-stered to a major degreethis spring whenSequoia shelled out $57million in venture capi-tal funds for the compa-ny whose home securitytechnology is touted asbeing less expensive andconsumer friendly oninstallation and otherelements.

“They are the right landlord for thatbuilding,” Sutton says of Synergy in point-ing to the firm’s incorporation of a sharedconference facility, modern fitness centerand touches such as bike storage space for“getting it” when dealing with the emerg-ing crop of companies in the market as the2010s near the decade’s mid-point. “Theyknew just what that building needed, and

they did not (hesitate) to get it done,”observes Sutton, who had a similar experi-ence in placing another firm at Synergy’s87 Summer St., a nearby office/retail build-ing which is fully occupied. “They do greatwork,” says Sutton. Synergy’s partner inthe building is GreenOak Real Estate, hav-ing paid $58 million earlier this year for theproperty that is also known as 10 Milk St.

Sutton had one other chore for hisclient, charged with helping SimpliSafe find

warehouse space for a portion of theCambridge operation that will not be mov-ing downtown. In a deal brokered by ScottGredler of C&W advising 440 RutherfordAve. in Charlestown, Sutton landed a10,500-sf space for his client, with publictransportation access of import there aswell. Fortunately, the building is also closeto a transit center, that being the SullivanSquare MBTA Orange Line station that con-nects directly to Downtown Crossing. n

million for the pharmacy in Halfmoon NYthat was the highest paid among the nineharvested.

“It is just the way this market is rightnow—our product continues to attract alot of capital from multiple sources,”observes Horvath, pointing to 1031Exchange investors as a consistentsource, as well as private funds and eveninstitutional groups. The latter tend tofavor opportunities from $20 million andabove, but Horvath reports plenty of fer-vor for listings below that level, as evi-denced in the Fall River trade that wassaid to have been under a 4 percent capi-talization rate.

“You don’t see something like that veryoften,” says Horvath, attributing stiff com-petition for the property in being new con-struction plus having the lengthy lease toa marquee tenant, and involving a proper-ty in a busy retail corridor. The purchaseby Pentucket Motor Lodges Inc. equatesto a healthy $555 per sf needed to naildown the coveted asset.

There was also plenty of investor traf-fic for an International House of PancakesRestaurant in Plymouth thatHorvath/Tremblay dispatched for $1.98million. The 6,175-sf unit benefits frombeing a pad site to New EnglandDevelopment’s Shops at 5 just off Route 3at Exit 5, plus in housing a successfulrestaurant as its tenant. “It’s a very stronglocation,” Horvath adds, although theindustry veteran was even more upbeatregarding reaction to the 6,800-sf SouthPortland retail plaza that brought in $4.78million—more than $700 per sf. “That wasa big, big number,” he acknowledges,especially in a fringe market. The funda-mentals are solid, Horvath explains, withthe asset across from South Portland’s

landmark Maine Mall. “It is one of the mostdesirable retail locations in Maine,” heproclaims. “If you are going to be up there,that is the place you want to be.”

Even after such a spurt of successfulconclusions—and coming on the heels of ahectic June where the group’s tally topped$50 million—Horvath reports another 41listings are under agreement and in vari-ous stages of closing prior to Labor Day.“No let up at all,” he says of the pace thatexperts say has been further extended by

the historically low interest rates. Theteam’s recemt activity has extended tosuch communities as Shawnee, KS, andKenova, WV (both Walgreens) with thefourth Walgreens in Latrobe PA. “It reallydoesn’t matter,” Horvath says of geograph-ic vagaries. “A CVS in West Virginia versusa Walgreens in Beverly Massachusetts isgoing to get interest from the same peo-ple,” he says. “That’s just how popular it isright now, and we think it is going to con-tinue to be the case going forward.” n

The largest publically tradedcommercial real estate firms deriveabout three-quarters of their rev-enue from owners and investorsand only one-quarter from tenants.So, traditional brokers typically tryto maximize the terms of eachtransaction and fortify long-termrelationships with landlords, know-ing they may only deal with the ten-ant every five or seven years, orwhen leases expire.

In contrast, tenant rep firms arepositioned to ensure objectivity andaccountability throughout the trans-action and beyond. They can pushthe landlord for better terms and notworry about compromising the land-lord-client relationship. In fact, byfocusing on going beyond the trans-action itself and providing ongoingcorporate services, these firms oftenserve as an extension of the compa-ny’s real estate department.Throughout the relationship, tenant repfirms serve just one master—the tenant.

Common Sense and Common PracticeWhile it may seem like common sense

that it’s not possible to fairly representtwo masters at the same time, the truth isthat the dual agency approach is still com-mon practice. Why? The roots of dualagency run deep:

• Commercial real estate brokeragewas founded in the late 1800s to facilitateproperty owners in the sale and leasing ofbuildings and property management.

• These firms started to market theirservices not only to landlords but also totenants; many relationships formed withlandlords years ago have remained intactwithout critical examination.

• Within the last few decades, tenant-only firms emerged as companies began torecognize the need for exclusive represen-tation. While tenant rep firms continue togain market share, many traditional firmsare well-entrenched.

However, despite the deep roots of tra-ditional firms, the potential for conflicts,whether overt or covert, is still a concern.Examples of conflicts involve deals thatmay not be visible to tenants. For instance:

• Landlords may offer incentives and

rewards to brokers who bring tenants to aparticular building; they may also offer bro-kers additional listings in other buildings.In so doing, a broker may lose objectivity.

• Listing brokers may be compromisedif landlords want to keep tenants in theirbuilding or in another one of their listingseven if the office isn’t in the tenant’s bestinterest.

• Some firms representing landlordshave a separate division that supposedlyrepresents tenants; other firms say theyintegrate tenant representation within thelarger group of landlord brokers. Eitherway, traditional firms still have a vestedinterest in putting landlord listings first.

• Overall, dual agency brokers havealways been beholden to landlords, eitherbecause the landlords are clients of theirfirms or they want to get future listingsfrom these landlords.

Conflict Checklist What can you do to prevent conflicts?Raise the issue of potential conflicts

from the get-go.Ask for an account of all the brokerage

firm's relationships, listings and asset/prop-erty management work with landlords.

Ask for full disclosure from brokers,including the amount of fees or commis-sions landlords are paying them. Expect to

be informed if the broker is offeredbonuses or discounts.

Be sure that your interests areprotected in your lease in such mat-ters as expansion, contraction andtermination rights as well as non-disturbance clauses in the event ofnew ownership.

Carefully consider the bottom-line budget implications of yourprospective firm and determine yourgreatest opportunities for savings.

Companies are advised toresearch the track record and rec-ommendations of prospective com-mercial real estate firms. Theyshould also consider the value ofintegrated services such as transac-tion management and project man-agement.

At the end of the day, it’s clearthat traditional real estate firms andtenant rep firms will continue tocompete against each other on thesame playing field—and competi-tion in the marketplace is alwaysgood. At the same time, both sides

should continue to respect each other andcooperate in a collegial manner.

What is most important is the need forcompanies to ask the right questions,weigh the options and select the firm thatis right for them. And it’s important thatthey perform their due diligence knowingthat we work in a post-Sarbanes-Oxleyworld, where even the appearance ofconflicts is not acceptable.

We are not suggesting that anyoneshould question the integrity of profes-sionals on either side of this debate.Rather, it may be wise to question thebusiness model . . . as well as the wisdomof conducting business as usual. n

popular markets as institutional funds andother stability minded groups push capi-talization rates even further downward,making return prospects more onerous forany yield-oriented capital.

One manifestation of that activitynorth of Route 128 came earlier thismonth when Cross Point in Lowell deliv-ered an even $100.0 million in beingbought by former Tishman executive

week, adding, “I think people see the mar-ket as a little more stable— although ratescould come up some—so they just aren’tas panicky that rates are going to skyrock-et. So a lot of what we’ve done this yearhas been acquisitions.”

Brookline closed approximately $225million in loan transactions through June30th and Fess reports activity remainedstrong through July. Much of that volume

was driven by acquisi-tion financing, includinga $30 million mortgageto a partnership of DLJReal Estate CapitalPartners, Sea-Dar RealEstate and CNW CapitalPartners LLC of Boston,for the acquisition of

three Beacon Hill buildings sold by theUnitarian Universalist Association for$23.6 million. The landmark sale negotiat-ed by Boston Realty Advisors was firstdetailed by Real Reporter in February andinvolves 25 Beacon St. and 6 and 7 MountVernon Pl, holdings across from theBoston Common and near theMassachusetts State House.

The property types Brookline Bankfunded so far in 2014 have run the gamutof industrial, office and multifamily, out-lines Fess, with a number of retail assetsunder $5 million in the mix. “We’ve had agreat year to start out, and one of thethings that helped us was that we haven’thad the level of payoffs we had last year atthis time,” says Fess. “Last year we had alot of multifamily loans that went on toFannie and Freddie, but I think most ofthat seems to have passed and we’re find-ing we’re having a pretty good loangrowth, with the same level of loan origi-nation.”

National loan originations dropped pre-cipitously from the fourth quarter of2013 to Q1 this year (45 percentaccording to the Mortgage BankersAssociation), yet it appears thatdecline was not felt in GreaterBoston. “Deal flow has been good.We really haven’t seen much of afalloff,” relays Ian Brandon, First VPof Commercial Real Estate atCambridge Savings Bank, withacquisitions and “a good amount ofconstruction and repositioning ofassets” in the mix “For instance,obsolescent office being convertedinto biotech is something we’re see-ing more of.” CSB financed a rangeof acquisitions in the first two quar-ters, including a $32.5 million loanused to acquire a promising site at240 Sidney St. in Cambridge, theformer home of VertexPharmaceuticals which is zoned forboth lab space and multifamilydevelopment. CSB was active inrefinancing as well, as evidenced bythe $16 million loan to NewBroadway Realty LLC backed by

five multifamily buildings in Cambridge(399-401 Broadway and 2, 4 and 6Ellsworth Ave).

One counter to the healthy market isincreased competition from outside. “Bothourselves and the other lending institu-tions are slowly seeing the impact of sev-eral new players entering the market,”relays Brandon. “We’re seeing out-of-region institutions, life companies andout-of-market banks because Boston isbeing touted nationwide as one of thegreatest markets out there, so you’re see-ing folks you typically wouldn’t expect tosee.”

While Eastern Bank closed nearly $160million in CRE loans through midyear,Senior VP of Commercial Real Estate

Nicholas K. Moisereports that pricing con-tinues to be under pres-sure. “The mix of busi-ness changed a bit, asthe prior couple of yearswe were looking more atborrowers who werereally trying to take

advantage of low rates and to lock in forfive-, seven- or 10 years when (they) werenervous about rates rising,” Moise con-veys. “That business has slowed down andsome of our borrowers want flexibility andfloating rate debt so they can turn aroundand sell their assets. They want the flexi-bility to be able to improve the asset byimproving cash flow through leasing ordoing improvements or expansion andthen selling it and taking a profit.”

Rockland Trust Co. Senior VP ofCommercial Lending Jim McGoldrick com-municates that his bank is also off to a tor-rid start in 2014, with $297 million in loansapproved through the first two quarters.“Overall I think our first six months werevery strong, especially considering thisvery competitive market that existstoday,” he says. “We closed some loans onsome hospitality properties early in theyear, and commercial retail and multifam-

ily have been consistentthrough the first half.”

The leading propertytype for RT was multi-family at 32 percent ofits volume, with com-mercial retail account-ing for 19 percent.Residential condo

development, office, hotels and hospitalitywere in the mix as well as nursing homesand assisted living facilities. Deals rangedfrom $1 million to $14 million, including$13.8 million in financing for the conver-sion of an office building into18 condo-minium units in the South End (477-481Harrison Ave.); a $9.6 million refinancingof a mixed use property at 172-184 HighSt. in Boston for Synergy Investments; andan $8.97 million mortgage for Ajax UnitedDrive LLC to purchase an industrial prop-erty at 35 United Drive in WestBridgewater.

Webster Bank Senior VP Claudia Piperclosed five deals in the second quartertotaling $102 million. Three were acquisi-tions and two were multifamily construc-tion loans, but “those deals were especial-ly competitive, and the assets tended to bestabilized,” she explains. Deals included$51 million in financing towards the $395million acquisition of One Kendall Squareby DivcoWest; a $28 million constructionloan to build 190 Class A apartments inEverett; and a $15 million mortgage toSound Sea enabling an acquisition andupgrade of the firm’s industrial facility inAgawam. “Overall, activity is down andcompetition is up,” Piper observes. “And

any deal you could win in the first quarterlooks better in comparison to this quar-ter’s deals, due to spread and structurepressure.”

TD Bank enjoyed a robust first half, asoutlined by Regional Director ofCommercial Real Estate PeterBrockelman, with deals acrossthe property spectrum rangingin size from $1 million to $32million. “It has been an activeyear on numerous fronts—REITs, fund lines and termloans, project-based acquisitionfinancing, and clients withexisting loans looking to takeadvantage of rates by pursuinglonger-term extensions ahead ofnear-term maturities that haveshorter term (one-year) exten-sions,” Brockelman explains.“We have also seen an interestin hedging products fromclients that want to lock infixed-rates, an area we are weincreasingly active and compet-itive.”

Among notable deals fromTD’s operation was a $30 millionacquisition loan provided UrbanSpaces to procure 1047Commonwealth Ave. in Allstonnear Boston University onwhich borrower Paul Ognibene

While small- and regional banks playeda key role in keeping debt availablethrough 2014’s opening half, the big banksalso made their presence known.JPMorgan Chase Bank seemed especiallyactive, delivering more than a dozen dealstotaling in excess of $225 million. Dealsfeatured everything from $1.1 million for amultifamily property acquisition in Maldento a $55 million loan for the Bulfinch Cos.to redevelop 100 Discovery Park inCambridge. Santander Bank financed ahandful of smaller (sub-$5 million) proj-ects but also scored a couple of largerdeals, including a $102 million develop-ment loan to New England Developmentfor University Station and a $97 millionconstruction loan (with Citizens Bank) forthe 250 key hotel at 371-401 D St. inBoston’s Seaport District. HSBC provideda $121.7 million mortgage for WatermarkSeaport to Skanska, as well as a $19.7 mil-lion refinancing of 130 Bishop Allen Dr.,and 675 Massachusetts Ave. in Cambridgefor Brighton-based Intercontinental RealEstate Corp..

Bank of America provided a pair of sig-nificant refinancing deals: the $55 millionrefinancing of 99 High St. in Boston forTIAA-CREF and $30 million in a refinanc-ing of the fully leased, 150,000 sf retailproperty in Marlborough owned by RKCenters of Dedham. And Wells Fargo Bankprovided a handful of mortgages, includ-ing a $59.8 million refinancing loan forRevere Hospitality LLC for the HamptonInn at 222 and 230 Lee Burbank Hwy. inEast Boston and a $52.1 million refinanc-ing of an industrial portfolio for ExeterIndustrial REIT II.

Life companies were also active inGreater Boston in the opening half, pro-viding financing for some of the largestfirst half deals. Allianz Life Insurance Co.of North America delivered on a $150 mil-lion refinancing of 610 Main St. inCambridge for MIT; Northwestern MutualLife Insurance Co. supplied a $100 millionrefi to 131 Dartmouth Street LLC, (man-aged by New England Teamsters and

Trucking Industry Pension Fund) for theoffice/retail property at that location;Massachusetts Mutual Life Insurance Co.did a $75 million refinancing of theSeaport Hotel in Boston; AmericanGeneral Life Insurance Co. was the lenderon a $165 million mortgage to WSDevelopment for the newly redeveloped

East BostonSavings Bank had a remarkable start within excess of 30 transactions closed, includ-ing a $28.5 million construction loan tobuild a hotel at 415 McClellan Hwy. in EastBoston; a $20 million redevelopment loanto 121 Portland St. LLC (managed by TinaBrzezenski) to transform the ForecasterBuilding at 121-127 Portland St. inBoston’s North Station into 81 residentialunits; and a $16.9 million constructionloan to build a mixed use property, TheSeville, on Boston Harbor at 248-270Meridian St.

People’s United Bank approved a num-

ber of significant loans among its 17 deals,including the $30 million refinancing of anapartment portfolio in Cambridge forChestnut Hill Realty; and a $19 millionrefinance of 73-79 Essex St. and 4-8Oxford St. in Boston, home to a number ofChinese markets and restaurants for LGHEssex LP, managed by Marc Fantasia.

Belmont Savings Bank was active earlyon, particularly in the refinancing arena,with 20 first half transactions cresting $1million. Belmont provided $18 million inrefinancing to RCG North Andover MillsLLC for their 382,000 sf office property; an$11.8 million refi to Ryan DevelopmentLLC for an office portfolio in Westford;and a $9 million redevelopment loan for49-89 Leonard St. (a former Macy’s loca-tion) in Belmont.

Digital Federal Credit Union also had astrong first half with 17 deals, including a$6.5 million refinancing of Patrick’s MotorMart Inc. in Shrewsbury, the $7.3 millionrefinance of 100 Discovery Way in Actonfor Capital Group Properties; and another$3.17 million in March enabling 22 OldeCanal Drive LLC to purchase and restore aproperty by that address in Lowell lastMarch in a $1.650,000 exchange.
