2. the Complaint-in-Intervention filed by the United States [whichis filed at Case No. 09-01198 (ALG), Dkt. No. 5-2].

e Plan, LTA, and Environmental Settlement Agreement assigned, as pro-vided in the Confirmation Order and the LTA, all of the Debtors’ respectiverights and interests in the Adversary Proceeding (excluding the Complaint-in-Intervention), which includes any claims or causes of action of the Debtorsrelated to the Adversary Proceeding, whether or not asserted in the AdversaryProceeding, to the Litigation Trust for the benefit of the entities listed in Sec-tion 1(d) of the LTA, which include the Tort Claims Trust, the Cimarron En-vironmental Response Trust, the Multistate Environmental Response Trust,the Nevada Environmental Response Trust, the Savannah Environmental Re-sponse Trust (collectively, along with the West Chicago Environmental Re-sponse Trust, the “Environmental and Tort Trusts”), and certain governmentalentities that had asserted Bankruptcy Environmental Claims against theDebtors (collectively, “Litigation Trust Beneficiaries”).

Pursuant to the Plan, LTA, Environmental Settlement Agreement, and En-vironmental and Tort Trust Agreements (other than the West Chicago Envi-ronmental Response Trust Agreement), the Litigation Trust Beneficiaries andbeneficiaries of the Environmental and Tort Trusts (together with the Liti-gation Trust Beneficiaries, the “Beneficiaries”) are entitled to have paid, onaccount of their Bankruptcy Environmental Claims and Bankruptcy TortClaims, specified allocations of a share of the net proceeds of any recoveryfrom the Adversary Proceeding.

On December 12, 2013, the Bankruptcy Court issued its MemorandumOpinion, Aer Trial, finding the Anadarko Trial Defendants liable under theSecond Amended Adversary Complaint for actual and constructive fraudu-lent conveyances, but not liable for breach of fiduciary duty. e Decision isnot a final judgment and the Bankruptcy Court did not enter final judgment.

On April 3, 2014, the Parties entered into the Settlement Agreement thatresolves the Adversary Proceeding and provides for releases, covenants not tosue, and the issuance of an injunction by a U.S. District Court enjoining cer-tain persons from asserting Trust Derivative Claims and any claims that areduplicative of such Trust Derivative Claims (as defined in the SettlementAgreement).

On April 3, 2014, the United States lodged the Settlement Agreement withthe Bankruptcy Court. On approximately April 14, 2014 the United Stateswill publish a notice for public comment thereon in the Federal Register.

On April 9, 2014, the Litigation Trust and Anadarko filed a motion (the“9019 Recommendation Motion”) with the Bankruptcy Court, seeking theReport and Recommendation.

e Settlement Agreement settles, compromises, resolves and closes theAdversary Proceeding and settles, compromises, resolves, and extinguishesthe Trust Derivative Claims, any claims that were asserted or that could havebeen asserted in the Second Amended Adversary Complaint, and the claimsasserted in the Complaint-in-Intervention and the claims that could havebeen asserted in the Complaint-in-Intervention relating to the subject matterof the Adversary Proceeding, together and on a global basis to the extent pro-vided in the Settlement Agreement. Pursuant to the Settlement Agreement,within two Business Days aer the Effective Date, Anadarko shall cause to bepaid to the Litigation Trust $5.15 billion plus Interest. e Litigation Trustshall cause the Settlement Proceeds to be allocated and distributed to the Lit-

igation Trust Beneficiaries consistent with the LTA. e Litigation Trust suc-ceeded to, as of and aer the Plan Effective Date, any and all claims against theAnadarko Released Parties related to the claims, issues and subject matter ofthe Adversary Proceeding which were held, owned and/or controlled by oneor more Debtors before the Plan Effective Date. Since the Plan Effective Date,the Litigation Trust has not sold, assigned, transferred, encumbered, hy-pothecated, abandoned, conveyed or otherwise disposed of any claims re-ceived by the Litigation Trust from Debtors pursuant to the Plan.

projects scheduled to be implemented during the 2014 calendar year. On the recommendation of the Superintendent, Scott Robinson moved,

seconded by A. R. Sims, that the Board adopt the west side projects list aspresented to begin the next phase of construction according to (ScheduleB) of the West Side 2014 Year Projects. ese projects are scheduled to beperformed during the 2014 calendar year and funded through the WestOuachita Sales Tax Account. Superintendent Webber announced that heexpects to come back to the Board at a later date to request approval for ad-ditional west side projects. Motion carried unanimously. Special Projects/Safety Coordinator Kenneth Slusher announced thathe is not planning to put the WMHS and WOHS girls’ - soball battingcover projects out for bid because he feels each cover will be under the$150,000 threshold. Mr. Slusher plans to get three quotes on these coversas he has done recently with similar projects. West Monroe High Schoolhas their facility ready for the installation of the cover and Slusher met withWest Ouachita High School’s principal and coaches yesterday trying to es-tablish a time they want their batting covers installed, either during or aersoball season.

Whereby, A. R. Sims moved, seconded by Scott Robinson, that theBoard grant permission to Special Projects/Safety Coordinator KennethSlusher to obtain three (3) quotes from vendors for the purchase and in-stallation of girls’ soball batting covers at West Monroe High School andWest Ouachita High School. Motion carried unanimously. (Bill Norris &Susan Spence were absent)

Special Projects/Safety Coordinator reported that the recent rain has de-layed construction of the tennis courts at WMHS and caused a drainageproblem. Even so, the project is very close to being on schedule, maybe a lit-tle behind. In conclusion, Slusher stated that he was at WOHS yesterdayand the press box is coming along really well. It possibly will be finished ina couple of weeks and is not interfering with ball season at this time.

On the recommendation of Special Projects/Safety Coordinator Ken-neth Slusher, A. R. Sims moved, seconded by Scott Robinson, that theBoard accept the low base bid from Ouachita Builders of $178,700 for ren-ovations/additions at Central Elementary School, including Add AlternantNo. 1 in the amount of $197,700 for (Elevator Installation) with a budgetof $300,000 [Bid No. 14-14]. Slusher remarked that although the bid isover budget, the elevator expense is necessary due to a safety factor for theschool. Motion carried unanimously. (Bill Norris & Susan Spence wereabsent)

On the recommendation of Business Director Juanita Duke, CareyWalker moved, seconded by John Russell, to grant permission to bid addi-tional woodchips in order to complete the playground surface projects atthose schools yet to be finished with this product that is used for enhanc-ing safety on school playgrounds and is mandated by the state [Bid No. 27-14]. e Superintendent gave recognition to the following for their accom-plishments during the 2013-14 school year: Northeast Regional BasketballCoaches of the Year of small high schools was Kevin Caballero (SHS boys’basketball); large high schools - John Green (WMHS girls’ basketball) andTerry Martin (RHS boys’ basketball). Also, Ouachita Parish had three stu-dents to make regional finalist in the Student of the Year competition in allthree categories for “Elementary” (Shelby Rambo from George Welch);“Middle School”(Kerry Doyle from Calhoun Middle School); and “HighSchool” (Skylar Winters from West Monroe High School). Dr. Webberstated that he could not remember having student winners from our schoolsystem in all three categories. Included in the recognitions was the “Re-gional Spelling Bee” 1st place winner from Good Hope Middle School,Chloe La Fleur. Chloe will represent our district in the National SpellingBee competition in Washington, D.C. this spring.

President Hicks announced that the next Board meeting will be held onTuesday, April 8 at 12:00 noon.
