1.7 The Evaluation Team will comprise the following individuals:

Carla-Maria Lawson, Commissioning Editor, BBC Daytime & Early Peak David Pembrey, Head of Business, BBC Factual & Daytime James Dundas, Commercial, Rights & Business Affairs Manager, BBC Daytime & Early Peak Sandy Smith, Executive Editor, The One Show Michael Armit, Commissioning Editor, The One Show

The Evaluation Team may seek opinion from subject matter experts from across the BBC (e.g. channel management, finance, procurement, etc.) to help inform the decision of the Evaluation Team.

1.8 The BBC is a signatory to, and will abide by the principles of, the APC Code: http://downloads.bbc.co.uk/commissioning/site/apc_code_2009.pdf

1.9 The BBC will keep confidential all commercially sensitive information included in responses to this ITP and will only use this information for the purposes of evaluating the Pitch, provided that the Producer has identified the confidential nature of any such information in their response documents. 1.10 Producers submit responses to this ITP and take part in this process at their own cost. 2.0 SCOPE 2.1 We are seeking to commission up to approximately 400 Inserts of approximately 4’ duration for delivery across 19/20.

2.2 We are looking to commission bundles of Inserts from a number of different Producers. 2.3 The number of Inserts in a bundle will be determined by the BBC. The bundles may consist of commissioned ideas, and where appropriate, TBAs/front-runners.

2.4 Inserts will be required to be tech-reviewed and delivered from mid-March 2019 and Available to Schedule from 1st April 2019 on a rolling basis.

3.0 PITCH PROCESS The pitch process will involve the following stages: 3.1 Stage 1: Eligibility

3.1.1 At this stage, Producers will be required to submit an Eligibility Form (in Appendix 1). 3.1.2 A sub-section of the Evaluation team, consisting only of BBC Commissioning employees, will

assess all eligibility submissions against the published Eligibility Criteria in order to shortlist up to approximately 20 producers to progress to the Secondary Information and Bid Submission Stages.

3.2 Stage 2: Secondary Information

3.2.1 Eligible producers will be issued with further editorial detail and may also be issued with confidential information regarding the Inserts requirements. Please note that Producers may therefore be required to sign NDAs prior to the BBC supplying this confidential information.

3.2.2 Eligible producers will also be invited to a face-to-face briefing with the evaluation panel to discuss these requirements in more detail.

3.3 Stage 3: Bid Submission

3.3.1 Eligible Producers will be invited to submit a Pitch document.

3.3.2 The BBC will evaluate all Pitches in detail against the published Award Criteria in order to make final commissioning decisions.

3.3.3 The BBC will move to contract signature with Successful Producers. 3.4 Stage 4: Full Contract Signed

3.4.1 Unsuccessful Producers may request feedback within two weeks of receiving notification of

being unsuccessful.

4.0 TIMETABLE

4.1 The BBC intends to evaluate Pitches, commission and contract Inserts within the following

indicative timetable:

ITP Published: Thursday 2nd August 2018 Eligibility Closes: Wednesday 15th August Eligibility Outcome Communicated: Thursday 23rd August Secondary Information Issued: Tuesday 28th August Face-to-Face Briefing: Monday 3rd September Pitch Submission Deadline: Friday 2nd November Decisions Made: Monday 26th November Contracts Signed: Monday 7th January 2019 Delivery Begins: from Wednesday 13th March 4.2 The BBC reserves the right to disqualify any Producer who does not submit their response by the deadlines outlined in the table above.

5.0 ELIGIBILITY & PITCH SUBMISSIONS 5.1 Eligibility Forms and Pitches should be submitted using the BBC Bravo system. Instructions for

using this portal can be found here: http://downloads.bbc.co.uk/commissioning/site/bravo-user-guide-

5.2 Documents must be received no later than close of business on the dates set out in the timetable.

5.3 The documents should be submitted in an electronic format, and should either be protected as a “read only” MsWord file or saved as a pdf file or equivalents. The BBC anticipates only needing a document submission for the Pitch. If anything further is required, the BBC will inform Eligible Producers.

5.4 Pitches are submitted entirely at the Producer’s own risk. Producers are strongly advised to submit their final responses in good time to avoid the possibility of difficulties caused by unforeseen network or transmission problems.

5.5 This ITP is not a contract. However, the information contained in this ITP, together with the responses of the Successful Producers will form the basis of the final Contract between the BBC and the Successful Producer.

5.6 All responses must be in English. 5.7 Producers wishing to pitch for Inserts are not permitted to contact BBC Studios staff or current independent suppliers to The One Show seeking information. Any Producer that is found to have breached this position will be excluded from the ITP process. 5.8 The BBC reserves the right to exclude any Producer that is found to provide information which is untrue. 6.0 CONTENT OF PITCHES

6.1 Full details of the format for a Pitch document will be issued at the secondary information stage, though in headline will include;

6.1.1 A high-level summary of the Pitch, including names, responsibilities and official designations of the principal personnel who will be involved in the producing of the Inserts.

6.1.2 A book of ideas for Inserts to sit within The One Show.

6.1.3 Confirmation of acceptance of the BBC Key Contract Terms.

6.1.4 Key risks and the processes or systems that will be put in place to manage the identified

risks.

6.1.5 Evidence of required company policies.

7.0 ELIGIBILITY CRITERIA 7.1 Producers must submit an Eligibility form (Appendix 1) indicating which genre(s) of Inserts they wish to bid for. Please note that there are no limits on the number of genres Producers can seek eligibility for, though based upon the Eligibility Criteria you may be deemed eligible for some genres and not others. 7.2 Eligibility forms will be assessed against the following criteria;

1.2 More detailed information about the editorial requirements for the Inserts will be issued to Eligible Producers as secondary information. 1.3 Producers are requested not to approach on-screen Talent at any stage of the ITP process. 1.4 As with all of our content we would expect production to deliver shows that are in line with the BBC editorial guidelines and to be able to adapt to BBC’s changing editorial and business needs during the Insert(s) production period.

2.0 TECHNICAL & DELIVERY

2.1 Producers should be able to deliver the Inserts for an available-to-schedule date of 1st April 2019 on a rolling basis. 2.2 For each Insert, the Producer must deliver to the BBC the items listed as Delivery Items pertaining specifically to The One Show Inserts. More information will be provided to shortlisted Producers. 2.3 The Delivery Items must adhere to all specifications for BBC transmission as are set out in the BBC Technical Standards for Network Television Programme Delivery (BBC 1, BBC 2, BBC 3, BBC 4, Cbeebies and the CBBC Channel), which are contained on the BBC’s Commissioning website. 2.4 The Producer will be required to complete all necessary diversity and inclusion information for Project Diamond. Project Diamond is a diversity monitoring initiative set up by the Creative Diversity Network to monitor the diversity of individuals participating in productions both on-screen and off-screen in the United Kingdom. 3.0 FINANCIAL

3.1 Tariff: The set tariffs for The One Show insert films range from £8,000 to £13,500 per Insert. Further detail on the tariff ranges will be issued to Eligible Bidders as secondary confidential information. 3.2 Distribution investment: There is no distribution investment in to the Inserts currently. Producers are welcome to secure 3rd party investment but this will not form part of the Award evaluation. 3.3 Proposal cost: The contract is offered as a “fixed price” deal, with the Producer responsible for any overspend and entitled to keep any underspend. Producers are expected to use their own Property, Technology and Post Production solution. 3.3.1 The fixed price shall be inclusive of all deliverables and clearances required by the BBC. 3.3.2 The fixed price shall be inclusive of all insurance requirements for the production. 3.3.3 The fixed price shall be inclusive of Directors’ UK contributions and any other payments that the BBC makes directly on behalf of the Producer; these shall be deducted from the BBC funding agreed with the Successful Producers.

4.0 Insurance 4.1 The BBC has in place a Production Insurance Scheme (“BBC Scheme”) which is available to all BBC commissioned independents. The BBC Scheme will also be made available to the Successful Producers for the Inserts at a cost of 0.5% of the ‘insurable amount’ of a production's costs (defined as the total budget minus production fee, overheads, royalties, insurance premium and contingency). 4.2 By joining the scheme, the Successful Producers will ensure compliance with the BBC insurance requirements (other than Errors & Omissions which is not provided under the BBC Scheme). 4.3 If the Successful Producers elect not to join the BBC Scheme they will need to show evidence of the following covers prior to commencement of any filming and ensure that the BBC is named on the following policies:

4.3.1 Production Insurance (including but not limited to cast, extra expense, negative and videotape, props sets and wardrobe, miscellaneous technical equipment, and UK Terrorism)

4.3.2 Employers Liability 4.3.3 Public Liability 4.3.4 Products Liability (if applicable) 4.3.5 Film Union insurance (if applicable) 4.3.6 Errors & Omissions Insurance - the Successful Producers will need to hold at least

£3m of Errors & Omissions insurance in respect of defamation and Intellectual Property rights infringement risk.

S E C T I O N C - K e y C o n t r a c t T e r m s The Successful Producers will be a Producer of the Inserts (“Producer”). The contract shall be as a long-form commissioning agreement, which shall contain the following key contract terms:

1.0 PRE-CONDITIONS

1.1 The Producer must comply with all relevant Health and Safety legislation for the time being in force and must either have been vetted by the BBC’s Health and Safety department within the previous 36 months, or arrange to be re-vetted and obtain BBC H&S approval prior to contract. 1.2 In making the Inserts the Producer shall comply with the BBC Guidelines (see: http://www.bbc.co.uk/commissioning/tv/production/articles/policies-guidelines) and comply with all applicable law including: child protection legislation, disability discrimination legislation, data protection legislation, anti-bribery legislation, construction design and management regulations and all regulations and orders made under such legislation. 1.3 The Producer and the BBC will need to agree the detailed Editorial Specification in the form published on the BBC’s Commissioning Website: (See http://downloads.bbc.co.uk/commissioning/site/Commissioning_Specification.docx) 1.4 Relevant personnel employed or engaged by the Producer and working on the Inserts may be required to sign non-disclosure agreements with the BBC in connection with access they are granted to any BBC systems or confidential information in the course of producing and delivering the Inserts to the BBC.

2.0 FINANCE

2.1 Financial Terms shall reflect the set tariff model and the final volume of insert films commissioned from the Producer

3.0 RIGHTS & REVENUE

3.1 Inserts are offered on BBC Terms of Trade, with the following amendment in the Programme Production Agreement;

BBC Format: If the format of any Film is replicated or created in whole or in part from a current BBC format or

new BBC idea, this will be confirmed with the Commissioning Editor and recorded in the deliverables as set out in the Programme Production Agreement. All rights and goodwill in the Format (including the Title) shall be owned by the BBC, and the following provisions will apply to such Film (s):

The definition of “Distribution Rights” as set out in General Term 1 is amended to exclude any form

of distribution or exploitation of the Format (such as, for example, the Foreign Version Rights).

General Term 16.1.2(i) is amended to replace “15% of Net Revenue or 20% where the BBC has funded a Pilot” with “50% of Net Revenue”.

General Term 16.1.2.(ii) is amended to replace “25% for Commercial Download Rights” with 50%

of Commercial Download Rights”. General Term 16.1.2(iii) is amended to replace “25% during the Licence Period in relation to

exploitation in the UK” to “50% during the Licence Period in relation to exploitation in the UK”. An additional sub-clause shall be inserted into General Term 16 as follows:

“It is acknowledged and agreed that the Format of the Film belongs to the BBC and the BBC hereby licences such Format to the Producer solely for the purposes of enabling the Producer to fulfil its obligations and grant the relevant rights to the BBC under this Agreement. For the avoidance of doubt, the Producer may not exploit or exercise any other rights in the Format without the prior written consent of the BBC which it may withhold in its absolute discretion.”

In respect of that Film, General Term 22 shall be replaced with the following:

“22.1 The BBC shall have the right to commission the Producer to produce and deliver Further Programme(s) on the same terms as are contained in this Agreement save for any variations to the Licence Fee (pro-rated as appropriate) as may be agreed in good faith in respect of such Further Programme(s).

22.2 The BBC shall notify the Producer of its intention to commission such Further

Programme(s) no later than 9 months from transmission of the Film, or 12 months from acceptance of Full Delivery whichever is earlier (“the Option Period”)

22.3 In the event that:

22.3.1 the BBC does not notify the Producer that it wishes to commission the Producer within

the Option Period, or

22.3.2 having notified the Producer of its intention to commission the Producer within the Option Period, the agreement to commission such Further Programme(s) is not concluded within a timely fashion taking into consideration the transmission needs of the BBC in relation to such Further Programme (both parties acting reasonably and in good faith in conducting such negotiations) the BBC shall be entitled to produce itself or commission from another party such Further Programme(s) without prejudice to the BBC’s rights and the Producer’s obligations in respect of the Film under this Agreement.

4.0 PRODUCTION

4.1 The Producer will have free access to specific BBC Archive systems while contracted to produce and deliver the Inserts for the purposes of producing and delivering that Insert. All use of archive material will abide by the relevant Editorial Guidelines and guidance. 4.2 There are no material assets associated with the films.

4.3 The Producer will have access to BBC Archive footage for the purposes of producing the Inserts on the following basis:

4.3.1 Producer will not be required to pay for Public Service Use of the Inserts; 4.3.2 Producer will be required to clear archive for commercial use of the Inserts

4.4 In the event that any complaints are made in connection with the Inserts, the Producer will be available to prepare and submit evidence in accordance with the relevant BBC Complaints Procedure.

5.0 DELIVERABLES

5.1 The provisions referenced in the Editorial, Technical & Delivery and Financial sections of the Requirement shall be reflected as terms of the Contract.

6.0 TERMINATION AND TAKEOVER

6.1 The BBC shall also be entitled to terminate the Contract (without prejudice to any other rights or remedies that the BBC may have) in the event that the BBC determines (acting reasonably) that one (or more) of the Pre-Conditions set-out above are not being fulfilled. 6.2 The BBC’s standard rights of termination or takeover of production of the Inserts will apply. 7.0 NOMINATED REPRESENTATIVES

7.1 BBC - The BBC’s nominated representative for this pitch is:

7.2 No individual other than the BBC nominated representative (or their delegates as advised by the BBC) is authorised to discuss the contents or the substance of the ITP with Producers. Producers will be advised of any change or addition to the BBC nominated representative. 7.3 Producer - Producers must nominate a single point of contact within their organisation who will be responsible for all communication related to the ITP. The name and contact details of the nominated representative must be included in the Pitch documentation. 7.4 If the Producer wishes to change the nominated representative for any reason, it must inform the BBC’s nominated representative in writing. 8.0 QUERIES

8.1 All queries in connection to this Invitation to Pitch that Producers wish to raise prior to submitting their response should be submitted to Bravo no later than 3 calendar days before the deadlines for submissions outlined above. 8.2 In the interest of fair competition, anonymised questions and responses will be circulated to all Producers, where the BBC considers it is appropriate to do so.

9.0 MODIFICATION AND WITHDRAWAL

9.1 The BBC may modify the ITP (including the timetable) at any time prior to the deadline for receipt of submission. Any such amendment will be notified in writing to all prospective Producers. To allow time for such amendment to be taken into account, the BBC may, at its discretion, extend the deadline for receipt of submissions. 9.2 Producers may modify their submissions prior to the deadline for receipt by giving written notice to the BBC and resubmitted documentation as agreed with the BBC’s Nominated Representative. No Pitch may be modified after the deadline for receipt.

10.0 COMMISSION - CONTRACT AWARD

10.1 The BBC reserves the right to perform appropriate due diligence (including but not limited to financial and health and safety assessments) at any stage of the Pitch process prior to the award of a commission to a Producer. 10.2 The BBC will notify the Successful Producers in writing. The BBC will notify the unsuccessful Producers as soon as reasonably practical and within the timetable set out. 10.3 Any Contract resulting from the ITP will be between the BBC and the Successful Producers and will include the BBC Key Contract Terms. 10.4 By submitting their proposal, Producers confirm acceptance of the Key Contract Terms subject to any specific amendments requested in the Pitch documents and subsequently agreed by the BBC. 10.5 This is an Invitation To Pitch process and therefore it is unlikely that TUPE will apply. However, in the event that any claim is made under TUPE, the BBC will work together with the successful bidder in good faith to address any such claim. 11.0 FREEDOM OF INFORMATION ACT

11.1 As a public authority, the BBC is required to comply with the Freedom of Information Act 2000 (“FOIA”), which came into force on 1st January 2005. FOIA is intended to deliver greater accountability for decisions and spending across the whole of the public sector. It requires public authorities to strike the balance between achieving transparency and protecting genuinely confidential or commercially sensitive information. 11.2 Producers should be aware that, under an FOIA request, the BBC may be required to disclose information contained within the Pitch or future contractual information. Following a request, the BBC may take the views of organisations submitting pitches into account when making a decision on what information will be disclosed.

12.1 ACCEPTANCE AND REJECTION OF PITCHES - The BBC reserves the right to accept or to reject any Pitch and to annul the Pitch process and reject all Producers at any time prior to Award without incurring any liability to the affected Producers. 12.2 VALIDITY - Producers must remain open for acceptance for 120 days from the closing date of the Pitch. The validity period should be confirmed in the Pitch documents. Pitches must be signed by a representative of the organisation who must also have corporate authority to sign any resultant Contract. 12.3 COSTS ASSOCIATED WITH PITCHING - All costs incurred directly or indirectly in responding to, preparing and submitting the ITP or those costs which arise out of any presentations requested by the BBC will be borne wholly by the Producer. 12.4 PUBLICITY - Producers shall not, without the prior consent of the BBC, make any reference to the BBC in any advertising, promotional or published material, nor speak in public about the BBC or its affairs in connection with this Pitch. 12.5 USE OF BBC LOGO - Producers must not use or reproduce any BBC logo or otherwise make reference to the BBC without the prior consent of the BBC, other than to the extent required in order to prepare a response to the ITP. 12.6 INDUCEMENT - The offering of inducement of any kind in relation to obtaining this or any other contract with the BBC will automatically disqualify a Producer and may constitute a criminal offence.
