Dear Shareholders, The Eyak Corporation’s 42 nd Annual Meeting of Shareholders is scheduled for Saturday, May 7, at the Embassy Suites An- chorage. We had a great showing of shareholders and de- scendants at last year’s annual meeting and are hoping for a record turnout this year. There will be door prizes, swag and salmon spread. Please mark your calendars! This year’s annual meeting will reflect on 2015, which we are very pleased to report is another profitable year for your corporation, based on preliminary numbers to date. The meeting will also provide an update on 2016, a year in which we intend to keep moving forward. Although it appears very likely that Alaska is heading into a recession as a result of declining oil prices, we do not anticipate a significant hit to any of our business lines. In fact, we generate the majority of our revenues from government contracts in the lower 48 and abroad. We bring those profits back to Alaska, for the benefit of our shareholders and our communities. We anticipate increasing our revenues and profits in 2016. The official notice of the meeting, proxy materials, and annual report will be mailed to you by mid-April, after the independent auditors review and issue the corporation’s audited financial statements. These materials provide you with detailed information on your corporation. We hope each of you can attend this year’s annual meeting. Whether or not you expect to make it, we urge you to vote by proxy. This helps the corporation reach a quorum to ensure a valid meeting can be held. As added incentive to encourage proxy voting, a few years ago the Board of Directors approved a proxy incentive program. Shareholders who submit proxies to the corporation by May 6 have the option of receiving $25 or donating the $25 proxy incentive payment to The Eyak Foundation. There will also be early bird prizes. Message from the Board of Directors

The Board of Directors held our annual strategic planning session in Seattle on January 22th with an in-person Board meeting on January 23th. What follows is a brief recap from each event. Strategic Planning Session

Dennis McMillian facilitated the Board’s strategic planning session. We reviewed the 2015 priorities identified by the Board and evaluated Management’s actions to address those priorities. We were very pleased with Management’s efforts and accomplishments in 2015. The Board then strategized on priorities for 2016, with extensive discussion on TEC land issues. Based on input from each Board member, the Board identified the following priorities for 2016 (in priority order):

Growing and diversifying TEC’s business; Implementing the 2016 Land Plan; Continuing educational efforts in addressing descendant issues (including descendant enrollment) and

continuing the robust communication with shareholders and descendants; and Developing a Cash Plan to better protect TEC in the event of the predicted recession for Alaska.

We are confident in Management’s ability and dedication to accomplishing the 2016 priorities. Board Meeting During its in-person meeting in Seattle, among other things, the Board:

Analyzed and approved the 2016 budget; Approved revised charters for TEC’s ad hoc committees; Amended TEC’s Bylaws to prohibit a TEC director from serving at the same time as a director or of-

ficer for another Alaska Native Claims Settlement Act (ANCSA) corporation; Directed that a parcel conveyed through ANCSA Section 14(c)(1) be re-surveyed; Approved the 2016 Land Plan; Approved the New Member Enrollment Plan options; Authorized Management to deposit anticipated tax returns into Native American Bank; Received updates from the following committees: Audit; Communications; Descendant Issues; Dona-

tions; Finance/Investment; Governance; Land; and Shareholder Advisory; and Approved several recommendations from the Shareholder Advisory Committee.

The Eyak Corporation’s Anchorage office hosted a shareholder and descendant holiday potluck on Decem-ber 11th, with a record number of attendees. The change from an “open house” to a “potluck” was at the recom-mendation of the Shareholder Advisory Committee and was a hit with shareholders, descendants and TEC employ-ees. Shareholder Advisory Committee Chair Lewis Lange was one of several shareholders who brought mouth-watering food to the event, which included: smoked salmon; salmon spread; pilot bread; halibut; fry bread; noodles; potato salad; and a home-made pound cake. We’re pretty sure no one left hungry. Thanks again to everyone who attended, to those who brought food, and to TEC staff Kate Kalkman for all of the behind-the-scenes effort. See you next year!

Veteran Spotlight - Donald Ladd, by Jerry O’Brien Jr.

Donald Ladd was born in Cordova to Bob and

Jackie Ladd. He enlisted in the Unites States Coast Guard when

he was 24 years old, and is still serving his country. Donald is a

Journeyman Electrician. He was recently promoted to the rank of an E-7 which is a Chief Petty Officer. Donald was excited to

join as his family has a history in the Coast Guard including his

grandpa on his mother’s side.

Donald served in Operation Enduring Freedom. He has participated in several missions including coordinated

efforts with the U.S. Navy, patrolling off the coast of Africa.

During his time of service, Donald has been stationed among a few Cutters as well; the USCGC Healy

(WAGB-20) which is the United States’ newest, and most technologically advanced polar Ice Breaker;

USCGC Midgett (WHEC-726) which is a 378 foot long Endurance Cutter out of Seattle; and the popular Cor-dova vessel the USCGC Sycamore (WLB-29), which is dubbed “Keeper of the Sound.” Donald has also been

stationed in several ports, including Cape May, New Jersey and York Town,

Pennsylvania.

He has received numerous medals and achievements during his enlistment, here

are a few: CG Commendation Medal; CG Achievement Medal; and the achieve-

ment of the “Permanent Cutterman.” The Permanent Cutterman achievement requires that you are assigned duty aboard a Cutter for a period of five years or

more.

One of Donald’s favorite hobbies is officiating basketball. He is married to An-nalee and they have three daughters, Dayna (15), Caitlyn (11), and most recent-

ly Raegan (who just turned 1).

About the Veteran Spotlight This is a continued installment of Veteran Spotlights to express appreciation for our shareholder veterans who bravely served our country. The Board of Directors has au-

thorized Jerry O’Brien Jr., a veteran Marine, to take the lead on spotlighting our veteran

shareholders.

  Candidates Sought for 2016 Board Election

 The Eyak Corporation’s Board of Directors is seeking qualified shareholders who want to serve on TEC’s Board. There are three director seats, each with a term of three years, to be filled by shareholder election at the May 2016 TEC Annual Meeting of Shareholders. To be listed as a candidate in TEC’s proxy materials, the interested shareholder must submit a complete Can-didate Application Form. TEC must receive completed forms no later than 5 p.m. Alaska Time on Thursday, March 10, 2016. Please note this an application receipt deadline and not a postmark deadline. Renewal of CEO Contract, by Nancy Barnes and Martin Parsons We are very pleased to announce that the Board and our CEO Rod Worl have agreed to renew Rod’s em-ployment agreement with TEC, through the end of 2021. Although the current contract does not expire until December 31, 2016, the Board and Rod worked very hard to reach a deal early in 2016, so the Board and Management can focus on business and not contract negotiations. We believe very strongly in our CEO and the entire team we have assembled. We intend to continue the momentum we generated in 2014 and 2015.

Eyak Permanent Fund Settlement Trust Committee Declares Dividend On February 16th, the Eyak Permanent Fund Settlement Trust Committee declared a dividend, subject to com-pletion of the annual audit, of $11.73 per share, to be paid on or about April 8, 2016 to beneficiaries of record as of April 1, 2016. The Settlement Trust’s dividend is a 25.7% increase over last year. Long-term dividend growth and size is based on the growth of assets in the trust due to the stock mar-ket. However; the size of the dividend each year is determined on a proportion of taxable income. Taxable income can be much different than changes in the stock market. This makes it very difficult to predict the divi-dend in subsequent years. The trust is managed for long-term sustainable growth. This means in the long run your dividends should grow. The Eyak Permanent Fund Settlement Trust Committee includes the following members: Alex Slivka (Chair); Nancy Barnes; Kim Jaime; Matt McDaniel; and Rod Worl. Alex Slivka will attend The Eyak Corporation’s Annu-al Meeting of Shareholders on May 7, 2016, and will be available to answer any questions that shareholders may have about the Settlement Trust.

The Eyak Corporation’s annual Seattle Shareholders

Informational Meeting continues to be a highlight for TEC’s Board, Management and, based on feedback

during and after the meeting, for our shareholders and

descendants. After a half-hour “meet and greet period,” TEC 2014

Shareholder of the Year Darcie Pacholl gave a power-ful invocation to start the meeting. CEO Rod Worl

then provided a Management report, and answered great questions from shareholders. Senior Controller Sue

Jolin followed with a financial update. Several Board members then gave brief presentations on matters they oversee. Jim McDaniel, Chair of the Donations Committee, provided a recap of TEC’s donations

in 2015. Jerry O’Brien Jr. recapped the corporation’s past and future efforts to

honor our shareholder and descendant Veterans for their service to our Country.

TEC Board Chairman Martin Parsons, who also chairs the Land Committee, provid-ed an update on TEC land issues. Descendant Issues Committee members Rikki

Addy, Sylvia Lange and Serena Lilleness provided a summary of the committee’s

efforts to date and plans going forward. Brenda Dukart and Jim Ujioka provided a

recap of the Shareholder Advisory Committee’s actions during 2015.

But, for me, the best parts of the meeting were: Darcie Pacholl and her mother Maggie Brizgaloff Fennell’s recap of their trip to AFN’s Annual Convention and First Alaskan In-

stitute’s Elder and Youth Conference; the presentations in Sug’stun by Darcie, Sophia

and TimiAnn; the recap by Cross Tutubalin of his class trip to Germany; and his mother

Roxanne’s discussion of the great work the Seattle Indian Health Board does for on be-half of Alaska Natives and Native Americans in Seattle. It was wonderful to hear how

TEC’s donations to those activities and organizations have provided meaningful benefits

to our shareholders, descendants, and the Alaska Native community.

Silent Auction to Benefit The Eyak Foundation

The Eyak Foundation was formed as a non-profit charitable organization in 1997 to provide educational and charitable benefits to shareholders of The Eyak Corporation and their descendants. The Foundation provides annual scholarships for both college and vocational training programs. It has awarded 202 scholarships since 1997 totaling $347,141.

The Eyak Foundation expresses heartfelt appre-ciation to TEC’s Board of Directors for holding a silent auction at the Seattle Shareholder Infor-mational Meeting, with proceeds going to the foundation. The Foundation also thanks the TEC directors and shareholders who donated items to this event.

The TEC Board of Directors approved a 100% match from the corporation for this event which helped raise over $2,000!

Permanent Fund Settlement Trust? A. Dividends issued by The Eyak Corporation are taxable to shareholders. Dividends issued by the Eyak

Permanent Fund Settlement Trust have not been taxable to shareholders to date. We anticipate future

Settlement Trust dividends will continue to not be taxable to shareholders. Q. Has the corporation mailed 1099-DIV forms to shareholders? A. TEC mailed 1099-DIV forms to shareholders on or about January 22nd for receipt by the end of Janu

Q. Why do Alaska Native Corporations pay taxes? Aren’t they sovereign entities? A. Alaska Native Corporations were authorized through the Alaska Native Claims Settlement Act

(ANCSA). ANCSA required the Alaska Native Corporations to be set up as corporations through the

Alaska Corporations Code. TEC like most (if not all) Alaska Native Corporations is a for-profit entity

and is subject to Federal and State taxes. Q. Can you please include more “business” updates in the shareholder newsletters? A. We would be happy too. Thank you for the great suggestion.
