Each January, the Board of Directors and Management parci- pate in a triathlon-like series of events during two long days in Seale. The first leg is strategic planning, where we review the prior years annual priories and the Board evaluates Manage- ments acons to address those priories. The Board then strategizes on priories for the current year, with input from Management. This year, we idenfied the following priories (in priority order): Connue to grow and diversify TECs business lines; Connue implementaon of TECs Land Plan and educaon of shareholders and community members on TEC land issues; and Connue educaonal efforts in addressing descendant issues (including descendant enroll- ment), connue robust communicaon with shareholders and descendants, and increase strate- gies to engage our youth. Each January, the Board of Directors and Management partici-pate in a triathlon-like series of events during two long days in Seattle. The first leg is strategic planning, where we review the prior year’s annual priorities and the Board evaluates Manage-ment’s actions to address those priorities. The Board then

Message from the Board of Directors

Dear Shareholders, It was great to see so many of you at the Seattle Shareholders Informational Meeting in January. We are amazed that shareholders and families traveled hundreds (and thousands of miles) from Alaska, Arizona, California, Canada, Colorado, and Oregon to attend this year’s meeting. We are thankful to all of the shareholders and descendants who attend meetings and events each year in Anchorage, Cordova, and Seattle. The Eyak Corporation’s 43rd Annual Meeting of Shareholders is scheduled for Saturday, May 13, at the Embassy Suites Anchorage. We hope for a record turnout of shareholders and descendants this year. There will be door prizes, swag, salmon spread, and a silent auction to benefit The Eyak Foundation. Please mark your calendars! This year’s annual meeting will reflect on 2016, which we are very pleased to report is another profitable year for your corporation, based on preliminary numbers to date. The meeting will also provide an up-date on 2017, a year in which we intend to keep moving forward through the growth and diversification of our business lines. Although Alaska’s economy is struggling because of declining oil prices, we have not seen a significant hit to any of our business lines. In fact, we generate the majority of our revenues from government contracts in the lower 48 and abroad. We bring those profits back to Alaska, for the benefit of our shareholders and our communities. We anticipate increasing our revenues and profits in 2017. Three seats on The Eyak Corporation’s Board of Directors are up for election at this year’s annual meeting. Voting is one of your most significant rights as a shareholder and we encourage you to vote your shares. The official notice of the meeting, proxy materials, and annual report will be mailed to you in mid-April, after the independent auditors review and issue the corporation’s audited financial state-ments. We hope each of you can attend this year’s annual meeting. Whether or not you expect to make it, we urge you to vote by proxy. This helps the corporation reach a quorum to ensure a valid meeting can be held. As added incentive to encourage proxy voting, a few years ago the Board of Directors approved a proxy incentive program. Shareholders who submit proxies to the corporation by May 12 have the option of receiving $25 or donating the $25 proxy incentive payment to The Eyak Foundation. There will also be early bird prizes. Submitting a proxy increases your chance of winning a prize. Thank you for the enthusiasm and interest you are showing in your corporation; we look forward to seeing each and every one of you at this year’s annual meeting.

We are very pleased to announce that two sibling members of our “next generation of shareholders” have volun-teered to fill very important volunteer roles with Eyak!

In early January, Rockele Guthrie submitted a letter of interest to serve on The Eyak Foundation’s Board of Trustees. Rockele noted she is a “strong believer that the growth and success of our corporation starts with our youth” and she “would love nothing more than to give back in any way I can.” TEC’s Board appointed Rockele to the Foundation in mid-January. Rockele attended the Foundation’s meeting by tele-conference in February and asked excellent questions. Rockele said she was “a little nervous” before the meeting but, “after it was done, I had to smile because it felt great. Loved listening to everyone interact and chiming in from time to time.”

In early February, Rockele’s younger brother Duke Anderson expressed interest in filling an open seat on the corpo-ration’s Shareholder Advisory Committee. Duke’s parents, Elizabeth Hunt and Roy (Flapping Eagle) Anderson were involved with the corporation when Duke was a child and he felt the committee would be a great avenue to become more involved with TEC. TEC’s Board appointed Duke to the Shareholder Advisory Committee in mid-February and the committee met by teleconference on February 17. Duke was “nervous, happy, and so excited” to participate in the meeting. He would like to see “more youth involvement, with my fellow Shareholders more influenced by our Elders, so our Elders can take a seat on the side and enjoy their days and let the youth do what our Elders have taught us.” Thank you, Rockele and Duke, for stepping up for the benefit of Eyak’s current and future shareholders.

The Eyak Corporation’s Anchorage office hosted a shareholder and descendant holiday potluck on December 9th, 2016. I came on board with The Eyak Corporation December 5th, 2016 and the potluck was a great welcome for me. I had a wonderful time with everyone that was able to make it and I look forward to many more events and working within Shareholder Relations. The potluck was a wonderful turn out! Candidates Sought for 2017 Board Election The Eyak Corporation’s Board of Directors is seeking qualified shareholders who want to serve on TEC’s Board. There are three director seats, each with a term of three years, to be filled by shareholder election at the May 2017 TEC Annual Meeting of Shareholders. The seats are currently held by Sylvia Lange, Jerry O’Brien Jr., and Martin Parsons. To be listed as a candidate in TEC’s proxy materials, the interested shareholder must submit a complete Candidate Application Form. TEC must receive completed forms no later than 5 p.m. Alaska Time on Friday, March 10, 2017. Please note this is an application receipt dead-line and not a postmark deadline. Candidate Application Forms are available at TEC’s Anchorage and Cordova offices; on our website: (http://www.eyakcorporation.com/website/shareholder-services/forms.html); or via email ([email protected]). Eyak Permanent Fund Settlement Trust Committee Declares Dividend On February 24th, the Eyak Permanent Fund Settlement Trust Committee declared a div-idend, subject to completion of the annual audit, of $11.98 per share, to be paid on or about April 14, 2017 to TEC shareholders of record as of April 1, 2017. The Settlement Trust’s dividend is a 2.1% increase over last year’s dividend of $11.73 per share. The Trust distributes 55% of before tax net income annually to beneficiaries. Net in-come for the Trust includes all realized earnings which includes such things as interest, dividends, and capital gains. For 2016 net income before taxes was $710,091; 55% of which is $390,550.05, resulting in a per share dividend of $11.98. The Eyak Permanent Fund Settlement Trust Committee manages the Trust for long-term sustainable growth. The Committee includes the following members: Alex Slivka (Chair); Nancy Barnes; Kim Jaime; Matt McDaniel; and Rod Worl. Alex Slivka will attend The Ey-ak Corporation’s Annual Meeting of Shareholders on May 13, 2017, and will be available to answer any questions that shareholders may have about the Settlement Trust.

Seattle Shareholders Informational Meeting

It is my pleasure to provide this recap of the Seattle Shareholder Informational Meeting in January. We had a great turnout, with about 60 shareholders, descendants, and family members in attendance. Our CEO Rod Worl provided a Management report, and an-swered great questions from shareholders. Vice President, Fi-nance, Sue Jolin followed with a financial update. Several Board members then gave brief presentations on matters they oversee, including lands, donations, efforts to honor our Veterans, de-scendant issues, and the Shareholder Advisory Committee. Shareholders and descendants provided great feedback.

I want to thank everyone who attended the meeting, including my parents Jim and Dale John-son, who drove up from Oregon to attend.

Please Keep Those Comment Cards Coming!

In the ten months since TEC’s Board of Directors approved the Shareholder Advisory Committee’s recom-mendation that comment cards be made available at TEC’s Annual Meeting of Shareholders, shareholders and descendants have submitted approximately 50 comment cards to the corporation. The comment cards have covered a wide range of topics, including:

TEC land issues;

Meeting venues, gift bags, and food;

Meeting agendas, presentations, and handouts; and

Eyak Foundation application forms and scholarship amounts. Comment cards are available in TEC’s Anchorage and Cordova offices, on TEC’s website, and at every TEC informational meeting. TEC’s Board and Management have found the comments from shareholders and descendants to be very helpful. The majority of the “Frequently Asked Questions” in our shareholder news-letters are based on comment cards submitted by shareholders and descendants.

The HUBZone Program, by Rod Worl

Shareholders at our informational and annual meetings the past two years have heard me talk about our efforts to utilize the Historically Underutilized Business Zone (HUBZone) Program to provide job opportu-nities and economic stimulus to our shareholders, descendants, and community of Cordova. The Small Business Administration (SBA) oversees the HUBZone Program, which encourages economic develop-ment in communities with limited opportunities, through federal contracting incentives. The HUBZone Program requires at least 35% of an entity’s employees reside in a HUBZone; Cordova is in a HUBZone-designated location. In 2016, the SBA certified Eyak Development Corporation (EDC), our wholly-owned subsidiary, as a HUB-Zone business entity. EDC is working very hard to win federal contracts. Regardless of where those con-tracts are won and performed, they will provide economic benefits to our corporation, our shareholders and descendants, and the community of Cordova, as a result of the HUBZone Program. Fourth Annual First Fish Art Show Fundraiser (and More)

The Eyak Foundation was formed as a non-profit charitable organization in 1997 to provide educational and charitable benefits to shareholders of The Eyak Corporation and their descendants. The Foundation provides annual scholarships for both college and vocational training programs.

I am very pleased to announce that Snow City Café in Anchorage has selected The Eyak Foundation for a First Friday art show in June 2017. The “Fourth Annual First Fish” art show will open with a recep-tion on Friday, June 2, from 5:30 p.m. – 8:00 p.m., and we will be holding a silent auction as well. Please mark your calendars! The art will be displayed on Snow City’s walls for the month of June and will be available for sale. Net proceeds from the event will go to The Eyak Foundation. To the amazing artists who have previously donated, we’d greatly appreciate another piece (or two) this year. To those artists who have been unable to contribute, we would be grateful if you would do-nate a Prince William Sound “themed” piece for the art show. We cannot promise your art will adorn Snow City’s walls (there will likely be a juried selection process) but we can promise our deepest grati-tude for your efforts. Our deadline for “gallery ready” submissions is May 22nd. In other news, we learned in January that TEC’s wholly-owned subsidiary Eyak Technology, LLC is do-nating $288,000 to the Foundation. An additional $2000 was raised for the Foundation’s benefit dur-ing the silent auction at TEC’s shareholder informational meeting in Seattle. Thanks to everyone who donated to the fundraiser and to TEC’s Board for matching the amount raised. Also in January, TEC’s Board appointed former scholarship recipient Rockele Guthrie to the Founda-tion’s Board of Trustees. We are very excited to have Rockele as a Trustee and are grateful for her willingness to give back to the Foundation. In February, the Foundation’s Trustees met by teleconference and approved a motion to double schol-arship amounts, to: $1,500 per year for vocational programs; $2,000 per year for undergraduate pro-grams; and $3,000 per year for graduate schools. We are in the process of scheduling a strategic plan-ning session to further analyze scholarship amounts and ensure the Foundation keeps moving for-ward. For the past several years, Angela Butler, TEC’s General Manager, Cordova Operations, has done an excellent job of overseeing the Foundation’s day-to-day needs (as an “in-kind” service from TEC). An-gela is in the process of handing over the reins to Heidi Van Gilder, in TEC’s Anchorage office, who will serve as Program Coordinator. Please join me in welcoming Rockele, thanking Angela, and wishing smooth sailing to Heidi!

Q. Has the corporation mailed 1099-DIV forms to shareholders? A. TEC mailed 1099-DIV forms to shareholders in January. If you have not received your 1099, please

Q. Is descendant enrollment on the ballot for this year’s Annual Meeting? A. No, descendant enrollment is not on the ballot for this year’s Annual Meeting. Q. Who ultimately decides whether descendant enrollment occurs? A. TEC’s voting shareholders. Q. Why doesn’t the corporation impose term limits on directors? A. Because the Board of Directors does not want to infringe on the rights of shareholders to vote for the individuals they want to serve on the Board of Directors. TEC does not have a “Board Slate.” In-stead, the Board encourages each shareholder to vote for the nominee or nominees the shareholder believes will do the best job. In addition, and to maximize the voting rights of shareholders, TEC’s elec-tion rules provide for directed voting rather than discretionary voting. Since 2007, at least ten “non-incumbent” shareholders have been elected or appointed to TEC’s Board (some more than once), in-cluding: Brooke Johnson (2016); Todd Lilleness (2016); Rikki Addy (2015); Roxanne Dolfi (2013); Mil-dred Johnson (2012); Jerry O’Brien Jr. (2011); Martin Parsons (2011); Jason Barnes (2010); Roxanne Dolfi (2009); Geraldine O’Brien (2008); Steve Donaldson (2007) and Martin Parsons (2007).
