ExperienceAlthough the firm boasts smaller numbers thanother New York firms, no one disputes thelitigation experience the Sullivan & Cromwellteam has brought to the table. “Sullivan &Cromwell takes on very complex cases, biggertypes of litigation,” one insider says. Besides hiswork for UnitedHealth, Giuffra also representsUBS in a securities class action in the NorthernDistrict of Alabama, in a derivative action in

Alabama state court and in governmentinvestigations arising out of UBS’ role asformer lead investment banker forHealthSouth. DiBlasi is praised for his workwith Goldman Sachs. He successfully reverseda class certification in a dot-com securitieslitigation matter for his client in the US Courtof Appeals for the Second Circuit.

In a matter for Microsoft, the firm recentlyrepresented its client in an antitrust dispute inIowa. Plaintiffs alleged that Microsoftunlawfully monopolized the markets throughanticompetitive conduct in violation of theIowa Competition Act, prompting them torecover damages in excess of $450 million.The case was brought as a class action onbehalf of all Iowa residents who were indirectpurchasers of operating systems and businessproductivity applications and ended in afavorable settlement.

The firm represents BP in the settlement ofDepartment of Justice and CommodityFutures Trading Commission investigationsof alleged commodities manipulation. Adeferred prosecution agreement with the DOJwas entered, as was a consent order with theCFTC. In its representation of The Bank ofNova Scotia in an action brought by 122former shareholders of Grupo FinancieroInverlat, the firm is battling allegations ofbreach of fiduciary duty, fraud, negligentmisrepresentation and a slew of other chargesagainst its client. Damages are currently inexcess of $100 million.

In continued representation of Barclays inthe Enron securities class action, the firm isinvolved in one of the largest and mostcomplex securities class actions in history.The district court ruled that the plaintiffs’claims against Barclays were deficient and theUS Court of Appeals for the Fifth Circuitreversed the class certification order.Recently, the US Supreme Court denied theplaintiffs’ petition for review of the FifthCircuit’s decision.

Other clients of note include Dyson, PhilipsElectronics and Solvay. The firm representsthe latter in response to the EuropeanCommission’s crackdown on alleged price-fixing cartel of producers of hydrogenperoxide and sodium perborate in Europe.Most lawsuits were consolidated as directpurchaser and indirect purchaser classactions, under the Sherman Act and variousstate laws, in US District Court for theEastern District of Pennsylvania.

We represent UBS in both internationalregulatory matters and private litigation relating to UBS’s recently announcedlosses in securities related to US residential sub-prime mortgages, in a putativesecurities class action brought by certain purchasers of UBS common stock onworldwide exchanges and in a number of regulatory inquiries and investigationsrelated to UBS’s subprime losses and disclosures. We also represent Moody’sInvestors Service, Inc in putative class actions brought by Moody’s stockholdersclaiming that Moody’s and several of its executives violated federal securities law byfailing to disclose that the agency’s subprime ratings were allegedly inflated andofficers and directors of JPMorgan Chase named in derivative litigation relating tosubprime assets.

Other notable representationsBP in the settlement of US DOJ and CFTC investigations of alleged commoditiesmanipulation, including entering into a deferred prosecution agreement with theDOJ and a consent order with the CFTC.

CA in an important victory in the Delaware Supreme Court, holding that a CAshareholder bylaw that would require companies to reimburse challengers whosucceed in getting elected to the board was invalid. The court resolved animportant question of Delaware law, holding that bylaws may not mandate how theboard should decide specific substantive business decisions.

Diageo in the successful negotiation of an industry-wide settlement agreement,resolving an industry-wide investigation by the Attorney General of the State ofNew York in spirits and wine pricing, promotion and other sales practices in NewYork State.

Wachovia Bank and The Clearing House Association, in an important US SupremeCourt victory holding that state laws apply to operating subsidiaries of nationalbanks only to the same extent as they apply to parent national banks. This decisionimposes important limitations on state regulation of national banks and theiroperating subsidiaries.

UnitedHealth in obtaining the dismissal of an action on behalf of hedge fundsseeking to accelerate $850 million of UnitedHealth’s notes.

Microsoft in a three-month jury trial in Iowa, resulting in a favorable settlement forMicrosoft.

Swedish mobile phone provider TeliaSonera, on whose behalf S&C achievedsignificant arbitration victories in its efforts to obtain a controlling interest in Turkcell,Turkey’s biggest mobile phone service provider.

British Airways and Solvay SA in global criminal antitrust investigations and relatedlitigation.

JPMorgan Chase & Co, its investment bank J.P. Morgan Securities and current andformer members of the company’s board of directors, for whom S&C successfullynegotiated a settlement of three consolidated securities class actions seeking $7billion in recovery for no money damages.

Philips, achieving successful pre-trial results in patent litigation in which the districtcourt found Philips’ patents to be infringed; on the morning of the trial scheduled todetermine damages, defendants agreed to pay substantial royalties to Philips.

Vince DiBlasi is a member of Sullivan & Cromwell’s litigation group. Afterjoining the firm in 1978, he built a global reputation representing clients inseveral of the largest financial services industry cases of the past twodecades.

Since September 21 2007, Mr Giuffra has served as one of 13 members ofthe New York State Commission on Public Integrity, which interprets,administers and enforces the ethics and lobbying laws governing New YorkState government. From 1998 to 2007, he served as one of the fiveCommissioners of the New York State Ethics Commission, whichinterpreted, administered and enforced the ethics law governing theExecutive Branch of New York State government. Steven Holley is a member of S&C’s litigation group and a co-coordinatorof the firm’s antitrust group. His practice focuses on antitrust but alsoincludes copyright, patent and securities litigation, as well as complexcommercial disputes. Mr Holley has considerable experience advisingclients on competition issues, including reviews of prospective mergersand acquisitions and other investigations conducted by the Federal TradeCommission, the Antitrust Division of the US Department of Justice, theDirectorate-General for Competition of the European Commission andState Attorneys General. He has handled cases in state and federal courtsaround the country and has extensive experience with arbitration and otherforms of alternative dispute resolution.

Mr Holley’s practice has addressed a wide variety of industries, includingoil and gas exploration and production, extraction and refining of primarymetals, distilled spirits, automotive components, microprocessors,pharmaceuticals, electricity generation, medical equipment, newspaperpublishing and computer software. He has represented Microsoft since1992 in a series of antitrust enforcement actions in the US and othercountries, as well as in private antitrust litigation brought by competitorsand consumers of various Microsoft products. He was on the trial team inUnited States v Microsoft and argued portions of the most recent appealsto the DC Circuit Court of Appeals. He is now representing Microsoft in acase brought by Novell in connection with harm allegedly inflicted on theWordPerfect and Quattro Pro business productivity applications.

In recent years, Mr Holley has represented Goldman Sachs in purportedclass actions challenging consortium bids in private equity transactions andalleged price fixing by underwriters in initial public offerings, JC Flowers &Co in litigation surrounding the failed bid for Sallie Mae, UnitedHealthGroup in its acquisitions of Sierra Health and John Deere Health, Diageo inits acquisition of a 50% interest in Ketel One vodka and Rio Tinto inconnection with the unsolicited offer made by BHP Billiton.

Mr Holley joined Sullivan & Cromwell LLP’s litigation group in 1984,following a clerkship with the Honorable José A Cabranes, then a judge ofthe US District Court for the District of Connecticut. Yvonne Quinn is a member of Sullivan & Cromwell’s litigation group andone of two partners in charge of coordinating the firm’s antitrust group. Shespecializes in antitrust litigation, merger analysis and review and counselingwork.

David Tulchin has an active litigation practice, specializing in antitrust,contract, patent, trademark and securities matters.

Mr Tulchin has handled high-stakes business litigation for a varied roster ofclients. John Warden is a partner in Sullivan & Cromwell’s litigation group. He hasan active litigation practice covering the antitrust, banking, contract,corporate and securities areas.
