BUSINESS DESCRIPTION Advanced Waste Services, Inc. is an environmental services firm specializing in non-hazardous and hazardous waste collection, transportation, disposal and on-site cleaning services to commercial and manufacturing clients located in the upper Midwest States of Illinois, Indiana, Wisconsin, Iowa, Ohio and Pennsylvania. The company is headquartered in West Allis, Wisconsin, a western suburb of Milwaukee and operates full-service waste collection and non-hazardous waste processing facilities in Milwaukee, Wisconsin; Rockford, Illinois; Portage, Indiana and New Castle, Pennsylvania. Hazardous wastes are delivered to third party TSDF’s for proper disposal. SHAREHOLDERS The company is owned and operated by Michael Malatesta, Larry Lyons, Charles Kullberg and Jeff Dean. The company is privately owned and structured as an S Corporation. COMPANY HISTORY The company started as a non-hazardous waste transportation company on January 1, 1993. The company finished the year 1993 with gross sales of $673,000, a small net profit and four employees. Since then, the company has grown through a combination of internal sales and marketing efforts, targeted acquisitions and the internal development of processing plants. The company has experienced strong and steady growth, consistently growing sales and cash flow while maintaining a consecutive history of positive net income. In 2009 the company will complete its 16th year in business. Business Description

Advanced Waste Services, Inc. provides non-hazardous and hazardous waste collection, transportation and disposal services as well as on-site cleaning and waste-related maintenance services to commercial and manufacturing clients. The Company operates a fleet of specialized waste collection equipment including vacuum tanker, Hi Vac, SuperSucker, Roll Off, and Van Trucks. In addition, the Company maintains specialized cleaning equipment for on-site services that includes water blasters, pressure washers, confined space entry equipment, roll off boxes, vacuum boxes, drum loaders, etc. The Company employs six Results Advisors, two in Wisconsin, two in Illinois and one in Pennsylvania, who are in the field day-to-day meeting with new and potential clients to promote the Company and create opportunities. The majority of the Company’s sales practices center around face-to-face personal meetings with clients. The Company’s goal with prospective clients is to earn the opportunity to solve a particular problem for the client and then earn additional opportunities over time through performance. Management And Employees

Senior Management Michael T. Malatesta - President A co-founder of the Company, Mr. Malatesta has been involved in all areas of company management. Mr. Malatesta is a graduate of Dickinson College, Carlisle, Pennsylvania, with a Bachelor of Arts Degree in English. Mr. Malatesta began his career at Browning-Ferris Industries gaining exposure to a variety of solid waste operations and gaining experience in routing, residential collection and transfer station operations. In 1989, Mr. Malatesta moved into the company’s “Special Services” division that concentrated on a wide variety of non-solid waste activities that included the collection, transportation and disposal of liquid industrial wastes. In 1990, Mr. Malatesta was one of the youngest employees in BFI history to be promoted to the position of District Manager and Vice President for Midwest Special Services. Larry Lyons - Vice President A co-founder of the Company, Mr. Lyons has been involved in the solid and industrial waste industry for more than thirty years. As an entrepreneur, Mr. Lyons managed and grew his family-owned solid waste collection company before selling the enterprise to Browning-Ferris Industries in 1989. As a BFI employee, Mr. Lyons held the position of District Manager and Vice President for the Rockford, Illionois solid waste collection division. Prior to leaving BFI, Mr. Lyons was offered the position of Senior Vice President for Midwest Solid Waste Operations. In 1994, Mr. Lyons became President of Rock River Disposal, an integrated solid waste collection and landfill disposal company. In the ten-year period from 1994 to 2004, Mr. Lyons grew the Company, now known as William Charles Environmental, from sales of $5 million to $40 million through a combination of internal sales and the acquisition of eight solid waste companies. Charles Kullberg - Vice President A co-founder of the Company, Mr. Kullberg has been involved in the collection and treatment of non-hazardous liquid waste for more than 30 years. As an entrepreneur, Mr. Kullberg started and managed Interstate Pollution Control, Inc., a Rockford, Illinois-based company providing non-hazardous industrial liquid waste treatment services. Mr. Kullberg is a graduate of the University of Wisconsin-Whitewater with a degree in Business Administration. Jeff Dean - Vice President, Treatment Operations Mr. Dean has more than 25 years of experience in the industrial waste services industry. He began his career working in his family-owned industrial waste services firm. Since joining AWS in 1995, Mr. Dean has been integral in the design, construction and operation of the Company’s waste treatment facilities. Mr. Dean oversees treatment operations in all AWS facilities.

Karen Bleach - Chief Financial Officer Ms. Bleach is responsible for managing all of the Company’s financial and accounting functions. Duties include preparing monthly financial statements, working with lenders to secure corporate financing, working with auditors to prepare year-end audited financial statements and corporate tax return and implementing new systems to streamline workflow. She is a Certified Public Accountant and graduated Magna Cum Laude from the University Wisconsin-Oshkosh with a BBA in Accounting. William B. Christel - Vice President, Environmental Health & Safety Mr. Christel joined the Company in August 2005. He is responsible for the oversight of employee and environmental safety protocol at the all AWS facilities. Previously, Mr. Christel held the position of Environmental, Health and Safety Manager and Human Resources Manager for ITT, a global manufacturer of precision products. He graduated from the University of Wisconsin-Whitewater with a Bachelor of Science degree in Education/Occupational Health and Safety. He received his MBA from the University of Wisconsin-Parkside. He is a Value Based Six Sigma change agent -- Green Belt and Black Belt certified. Anthony Cialella – Vice President/Tri-State Regional Manager Mr. Cialella joined the Company in December 2007, as part of the acquisition of Castle Environmental, Inc. Mr. Cialella was the President of Castle Environmental since 2002 and is credited for much of the mid-decade growth and success of the former organization. Mr. Cialella holds an MBA degree and has many years of experience in assorted commercial banking and investment capacities. Thomas Hipp – Vice President, Results Advisor Program Mr. Hipp joined the Company in August 2008. He is responsible for the development of significant new client relationships throughout AWS’ operating region; improving and integrating existing and new hazardous waste opportunities and operations in all locations; and sourcing and identifying potential acquisition and strategic partner candidates. Previously, Mr. Hipp was the National Sales Manager for Pollution Control Industries. He graduated Cum Laude from Concordia College in Moorhead, Minnesota.

OPERATIONS MANAGEMENT

Joe Walsh – Operations Coordinator (Bulk Division) Mr. Walsh began his career with AWS in 1994 as an Independent Contractor operating a vacuum tanker for Advanced Waste Carriers, Inc. In 2004, Mr. Walsh was promoted to Operations Coordinator for the company’s Bulk Liquid Waste Collection Division. Current duties include scheduling of drivers and loads, transportation rate quotes for clients, and the profiling waste streams into our ChemWorks treatment facility. He is a graduate of Marquette University High School and attended Marquette University in Milwaukee, Wisconsin. Tom Wendler - Manager – Industrial Services Solutions

Mr. Wendler has many years of experience in industrial cleaning services. As the Manager of the Company’s Industrial Services Division, he is responsible for all Company industrial cleaning operations in Wisconsin, Illinois, Indiana and Pennsylvania. Mr. Wendler’s duties include recruiting, training and managing employees, managing equipment utilization and purchasing and assigning projects for completion. William Fowler – Waste Treatment Laboratory Manager Mr. Fowler is responsible for managing the laboratory operations at ChemWorks, the Company’s largest managed centralized waste treatment facility. Mr. Fowler’s duties include maintaining the facility’s State of Wisconsin Laboratory Certification, monitoring incoming and treated wastewaters to ensure compliance with permit requirements and preparing required reports for various local state and federal governmental agencies. Mr. Fowler is a graduate of the University of Wisconsin-Stevens Point, with a Bachelor of Science Degree in both Biology and Wildlife Management. Jason Derby – Vice President, Maintenance Operations Mr. Derby is responsible for guiding the continued development of AWS’ truck, trailer and related rolling stock of equipment maintenance programs in all locations. He is responsible for all maintenance-related personnel, decisions, purchases, system development and financial reporting. Mr. Derby brought with him many years of transportation experience, the most recent with Detroit Diesel and JX Enterprises. He is a graduate of UW-Green Bay.

Insurance Coverage Summary

The following is a summary of insurance coverage and limits for Advanced Waste Services, Inc. General Liability: Advanced Waste Services, Inc.’s general liability coverage is provided through Zurich Environmental Insurance. This coverage protects our business from claims arising from alleged losses caused by personal injury or property damage. Our limits of liability include the following: $2,000,000 General Aggregate $2,000,000 Products/Completed Operations $1,000,000 Personal & Advertising Injury $1,000,000 Each Occurrence $100,000 Fire Damage $10,000 Medical Expenses Automobile Coverage: Advanced Waste Services, Inc.’s automobile coverage is provided through Zurich Environmental Insurance. Our policy provides a combination of liability protection and physical damage coverage for loss due to damage to vehicles owned, maintained, or used. We carry a $1,000 comprehensive and collision deductible. Our limits of automobile coverage include the following: $1,000,000 Per Accident $1,000,000 Uninsured/Underinsured Motorist $5,000 Medical Payments Excess Liability Coverage: Advanced Waste Services, Inc.’s excess liability coverage is provided through Steadfast Insurance Company. Our policy provides protection against catastrophic liability claims. The limits apply in addition to that provided by the underlying coverage. The umbrella provides excess liability protection over our general liability, automobile and employer’s liability policy. Our limits of excess coverage include the following: $5000,000 Products & completed operations hazards combined $5000,000 All other coverages combined except auto liability which is not subject to any aggregate limit Professional Environmental Consultant’s Liability: Advanced Waste Services, Inc.’s professional environmental consultant’s liability coverage is provided through Steadfast Insurance Company. This coverage combines elements of errors and omissions coverage with contractor’s pollution liability, and therefore provides seamless coverage for liability arising out of acts, errors and omissions, as well as pollution events arising from our services or operations. Our limits of environmental consultant’s liability include the following: $5,000,000 Each Claim $25,000 Deductible

Environmental Impairment Liability: Advanced Waste Services, Inc.’s environmental impairment liability coverage is provided through Steadfast Insurance Company. This coverage provides protection against third-party liability for bodily injury, property damage and cleanup costs as a result of a pollution event that occurs on, at or coming from any of our locations. Our limits of environmental impairment liability include the following: $5,000,000 Each Claim $25,000 Deductible Workers’ Compensation: Advanced Waste Services, Inc.’s workers’ compensation coverage is provided through Zurich Environmental Insurance. This coverage provides coverage to employees injured while on the job. Directions to AWS of Pennsylvania

From the Pittsburgh Airport, follow I-60 North (it’s well marked). Proceed on I-60 North for about 45 minutes. You will need to be prepared for two automatic (unmanned) toll booths ($1.50 total, as of June 2008). Continue on 60 North after the toll road ends -- it’s a bit like an exit, but it’s still route 60 North (it’s also 422 West; the routes share the road there for a little while). After you pass a WalMart plaza on your left, take the next right-hand exit for Sampson Street. Once on the exit, stay to the right (it’s a Y of sorts to go either east or west), and that will put you on Sampson Street (422 Business) going towards New Castle. Proceed approximately 2 miles to Bailey Street (you will pass Valley Spring and Driveshaft just before Bailey Street). Turn left on Bailey Street; it’s very short, and you will come to a T. Castle is the building on the far right.

GENERAL WASTE TREATMENT PROCESS DESCRIPTION

FOR AWS FACILITIES

Bulk Waste Processing

1) Bulk Receiving – Tank trucks hauling pre-approved loads back into the unloading area. The contents of the truck are sampled, and the sample is taken to the laboratory. The lab tests the sample for pollutants and for treatability (how well the waste will treat in our system or what mixture of chemicals will need to be added to the waste to treat it successfully). When approved by the lab for receipt, the contents of the truck are dumped via gravity into the underground unloading pit where it is screened (to remove debris) and then pumped to primary treatment tanks. Free oil is pumped into oil treatment tanks.

2) Primary Treatment – Primary treatment tanks are all equipped with mixers and automated

chemical dispensing systems. To treat the waste, the mixers turn the waste and blend in the chemicals, which are required for treatment. The operator adds the chemicals in the proper ratio to generate a flocculation in the tank. The goal is to generate a flocculation (floc) that does two things. First, precipitate the pollutants present in the waste (mostly inorganic metal contamination. Second, create a floc that we can dewater easily. Once the floc is generated, the sludge in the tank settles by gravity so that we are left with a distinct water phase and a distinct sludge phase in the tank.

3) Oil Treatment – Free oil is treated by introducing acid, chemicals and compressed air into

the tank. This combination helps split the oil from the water. Once the split is complete, the water is drained from the bottom of the tank and transferred into the primary treatment tanks, where it is treated as described in #2 above. The oil phase from these tanks is then pumped through a filter and into a holding tank, where it is stored and subsequently hauled away for reuse as a supplemental fuel.

4) Secondary Treatment – After primary treatment, the distinct water phase is removed

(decanted) from the tank and pumped to the secondary treatment tanks. Here the water is tested in the lab to determine the level of pollutants that are still present. If the levels exceed the maximum levels prescribed in our sewer discharge permit, the water must be re-treated. When this is the case, a chemical formula is worked up that will achieve the desired result. To treat this water, the mixers turn the water and blend in the chemicals, which are required for treatment. The operator adds the chemicals in the proper ratio to generate a flocculation in the tank. Once the water is re-treated, it is again tested in the lab for permit compliance. If the water meets the discharge parameters, it is then discharged to the sewer. The sludge from the secondary treatment tanks is then pumped to sludge treatment.

5) Sludge Dewatering – Flocculated sludge from the primary and secondary treatment tanks

is pumped to the sludge holding tanks. Depending on the AWS facility, rotary vacuums or plate and frame filter presses dewater the sludge. The dried sludge is conveyed away. The water from dewatering is then pumped to the secondary treatment tanks, where it is combined with the decanted water from the primary treatment tanks.

Non-Bulk Waste Receipt and Processing

Non-Bulk Receiving – Pre-approved non-bulk containers, which include 55-gallon drums,

275-gallon totes, 5-gallon pails, etc. are unloaded on the west side of the plant by fork truck. All non-bulk containers are labeled non-hazardous and include the name and address of the generator, the name of the waste and the approval profile number.

Liquid Removal and Treatment – Non-bulk containers containing wastewaters and waste

oils that can be treated are pumped via a unique vacuum system at the plant. These liquids are then screened and pumped into the treatment plant for processing. Empty containers are crushed and landfilled.

Solids Removal and Processing – Non-bulk containers containing sludges, solids and

non-treatable liquid products are transitioned to the solidification unloading station. At this station, the drums are conveyed into a 17,000-gallon solidification pit. Here, a 60,000-pound excavator opens the drums. Solidification media is conveyed into the solidification pit. The excavator operator then solidifies all the waste from the non-bulk containers. The solidification sludge is then loaded into dump trailers for transport to the landfill.

SPECIAL CONDITION 1 :

In accordance with Section 260.395 of the "Missouri Hazardous Waste Management Law", the Missouri Department of Transportation approves the application of the above-named transporter. Beginnning on the effective date shown above, until the expiration date, this transporter may transport hazardous waste within this state. This permit is not transferable, and does not apply to other environmentally regulated areas.

All equipment used for the transport of hazardous waste shall meet and be operated in accordance with the provisions of the Missouri Hazardous Waste Management Law (Section 260.350 to 260.430, RSMo) and rules made under its authority. The Department does not inspect each vehicle to be used for hauling waste, and the issuance of this permit does not imply approval of that equipment.

The Department may suspend, revoke, or modify this permit if it finds that the hauler is in violation of the chapter, rules, or any terms or conditions thereof, or has created a public nuisance, or posed a threat to the health of humans or other living organisms.

AWS Handles the Difficult Jobs

Problem Faced with a crisis, Emmpak turned to AWS. The crawl space under their plant was flooded due to broken drains. In ad-dition, hydraulic lines under the floor were leaking, resulting in an expense of $16,000/month for new hydraulic oil.

“Yuck!” Crawl Space Creates Cramped Working Conditions

At only 3 ½ feet high, the work space was not only cramped, but wet from the flooding. The crawl space’s designation as a Permit Required Confined Space complicated both the clean-out and the plumbing work. Finding a plumber willing to do the work proved to be a significant challenge. Emmpak turned to AWS for help.

AWS Employs a Team Approach

Working with our entire Industrial Ser-vices team, Project Manager Chris Duba partnered with a plumbing firm capable of performing the necessary work. AWS trained the plumbers on confined space entry requirements and worked with the local sewer authority to secure a tempo-rary discharge approval for the crawl space water. After skimming oil and pumping water for two days, AWS’ crew then entered and cleaned the crawl space using high-powered vacuum trucks to make way for the plumbing crew to work.

Problem Assessed, Solution Created!

When the problem was located, the re-pair was more complicated than antici-pated. Working in conjunction with the plumbing crew, AWS fixed the faulty drains, discovered the source of the hy-draulic leaks and ran pipes to repair the leaks. After two days and exhausting weekend work, the situation was reme-died and our customer was back in busi-ness. AWS’ solution and hard work elimi-nated the crawl space flooding and the hydraulic leak.
