Contractor Connection

Over the past several weeks we have been reporting on the Contractors License Board’s 15-members who have been ‘ruminating’ over the selection of a new registrar. There were 7 candidates who submitted their resumes and 3 that were ultimately selected to be in the final running for the job. The board was meeting again last Thursday to make a final selec-tion (we were told); but alas, it is now April 5th and no one ex-cept the 15 board members and the Department of Consumer Affairs has a clue as to what’s going on? The unofficial ‘word’ now is that this Friday will be the day when the new registrar isannounced. Don’t be surprised if Friday comes and goes without a formal announcement??? In the meantime, we’ll be watching the ‘chimney’ at the CSLB to see if the smoke is white or black!

Subcontract AgreementsThe following article was written by Ken Grossbart of the law firm Abdulaziz, Grossbart and Rudman. We re-print pertinent articles from our friends in the legal community timeto time that are helpful to our clients.

Let us start off with once again reminding everyone how important a written construction contract is, regardless of the amount of the contract, or who the contract is with. Thewritten contract is the best tool in order to prove what was agreed upon, especially if a dispute does arise.

On construction projects, whether they are public or private works, the owner (or public entity) contracts with a contractor. This direct contractor may then contract with other contractors (known as subcontractors) to do portions of the work on the project.

The direct contractor can enter into a Subcontract Agreement with the subcontractor for the project. In some instances, the direct contractor will contract with the same subcontractor on many jobs. In this case, a Master Subcontract may be used as an agreement between the direct contractor and subcontract in order to avoid renegotiating all of the terms and conditions.

A Master Subcontract does not have specifics about eachindividual job but the specifics for each job are then agreed upon in a Work Authorization.

The Subcontract Agreement or Work Authorization will cover all of the pertinent information for said project to include, but not limited to:• The parties to the contract and their addresses;• The owner or public entity;• The jobsite address and description;• The contract price;• The scope of work to be performed;• The time and scheduling of work; and• The time for payment.

There are various clauses that make up the rest of the Subcon-tract and the terms and conditions of the contract. In the use of a Master Subcontract, these would normally be included in the Master Subcontract but not the Work Authorization.

Regardless of the type of job that you will be working on, utiliz-ing a verbal contract can be dangerous because in the event of a dispute it becomes a ‘he said - she said’ situation. If your con-tract is in writing then you have proof to back up that you did everything as required per your contract. We recommend that you speak with a knowledgeable and experienced construction attorney to make sure that you have the proper contract thatworks for you, your business and the jobs that you will be working on. At the least, contracts can be purchased from a professional and knowledgeable source such as trade associa-tions or builders’ exchanges.

PERSONAL SPENDING SLOWS Consumers apparently chose saving over spending in the second month of the year. Last week, a Department of Commerce report noted only a 0.1% gain for personal spending in February. That happened even with personal incomes rising 0.4%, nearly matching the 0.5% January advance. In other news concerning personal spending, the Bureau of Economic Analysis raised its estimate of fourth-quarter GDP to a final reading of 2.1% from the previous 1.9%.1

HOUSEHOLDS MAINTAIN THEIR OPTIMISM The Conference Board’s much-watched consumer confidence index came in at 125.6 for March, soaring 9.5 points to a level unseen since December 2000. Economists polled by Reuters expected the index to descend slightly to 114.0. Losing 0.7 points from its preliminary March result, the University of Michigan’s household sentiment index remained high at 96.9.1,2

A BOOST FOR PENDING HOME SALES Housing contract activity increased 5.5% in February by the estimate of the National Association of Realtors, more than reversing January’s 2.8% decline. The latest S&P/Case-Shiller 20-city home price index (January) showed a 0.2% seasonally adjusted monthly gain and a 5.7% year-over-year improvement.1

A GREAT QUARTER ENDS WITH GAINS The past five trading days left the three major indices higher: during March 27-31, the Nasdaq Composite advanced 1.42%; the S&P 500, 0.80%; and the Dow Jones Industrial Average, 0.32%. The quarter-ending settlements: Dow, 20,663.22; Nasdaq, 5,911.74; S&P, 2,362.72. Of the three, only the Nasdaq had a winning March, but the year-to-date column in the table below confirms the strength of the first quarter.3

THIS WEEK: Monday, the Institute for Supply Management releases its March manufacturing PMI. A report on February factory orders appears Tuesday. Wednesday, investors consider minutes from the March Federal Reserve policy meeting, the latest ISM service sector PMI, a fresh ADP payrolls report, and earnings from Bed Bath & Beyond, Monsanto, Rite Aid, and Walgreens Boots Alliance. The March Challenger job-cut report and new initial claims figures arrive Thursday, along with earnings from CarMax, Constellation Brands, Fred’s, Ruby Tuesday, and WD-40. The Department of Labor issues its March employment report on Friday.

There are a ‘number’ of things that just can’t be borrowed in life or contractor licensing. An out-of-state contractor must learn a new ‘dance’ in getting a license in Nevada ‘step by step’. Wrap up with a ‘salute’ to those Officers who are ‘responsible’ as license qualifiers…

Q: We are looking for guidance as we recently obtained a well drilling company that doesn’t have a Contractor’s License. I have been drilling wells for over 5 years but don’t have my own license. The company we purchased had a couple of unfinished wells that we need to complete. One of our customer’s needs his well completed right away and I’m worried that the process of obtaining the license will not meet his time frame. Can I hire someone who holds a “C-57” license and use their license to complete the project?

A: No, you cannot “use” someone else’s license for contracting work. The individual/entity signing the contract as well as the individual/entity doing the work need to have their own license. However, the good news for you is, due to the recent droughts California has been experiencing, the CSLB has been expediting “C-57” (Well Drilling) applications, so the licensing process may not take as long as you thought. Q: We are an industrial gas turbine maintenance, parts, repair and field service company out of Texas (Corporation) seeking a contractor license in NV. I have been communicating with another company similar to yours but I don’t feel like I’m receiv-ing the details that I need. First, they said I just need to submit an application with a $300 fee. When I download the applica-tion online, I come to find out we also need a business license in Nevada and it references a $600 fee. I just need someone to clarify this for me.

A: We can help you with the process if you’d like, but to clarify, yes you do need a business license in Nevada before you apply for the Contractor’s License. You obtain a business license by registering your company with the Nevada Secretary of State as a foreign Corporation. You also have the option of forming

a separate company. I recommend consulting a CPA or an At-torney to discuss these options. As far as fees, you are required to submit a $300 fee with your application, and then an additional $600 biannual license fee is due once your application is ap-proved.

Q: Can a Responsible Managing Officer (RMO) be an Officer other than President, Secretary, or Treasurer, such as Vice Presi-dent or Director? Also, does the Certification of Work Experience need to be filled out if the RMO already has an Inactive license with the same classification?

A: Yes, an Officer can have several titles other than President, Secretary, or Treasurer. Vice President and Director will both be acceptable. “Assistant” Secretary/Treasurer, etc. is usually also acceptable. Other acceptable titles are CEO and COO.

Jokes about nagging back pain get standup comedians a lot of laughs, but back strains and sprains are not at all funny, nor should they be an unavoidable curse to anyone.

Back injuries suffered in California’s workplaces last year ran up a bill of millions of dollars. Those disabling back injuries were no laughing matter for the workers who lost time from work or from their personal activities. The sad truth is that most of the pain and lost time could have been prevented if workers had been more aware of how their backs function and how to safely lift bulky or heavy loads.

The back is a network of fragile ligaments, discs, and muscles which can easily be thrown out of order. The back’s complex design breaks down when it is forced to perform activities it was not designed to do.

One sure way to risk injuring the back is to lift heavy or bulky loads improperly or unassisted. The unsupported back cannot operate like a derrick or a crane boom. Lifting with the back twisted or bent just begs for a pulled muscle or ruptured disc. The back can be damaged quickly but can take a long time to heal. So workers should be encouraged to do their lifting with good sense and a little extra help from a co-worker or mechanical aid.

Workers should learn to squat over the item to be lifted, and face it squarely. In this position, the back gets added lifting strength and power from the legs and arms. Teach workers to tilt the item on edge with its long axis straight up so the the center of the weight is as high as possible above the ground. Next, the worker should move up close to the item, because the backbone must act as a supporting column, and it takes the least strain close in. In this position, the worker is ready to lift. Still squatting, the feet should be set with legs pointed right at the load, with the back straightened, the worker may then grasp the load with both arms and slowly stand up with it.

A good way to help workers learn the right from the wrong way to lift, is to have them practice lifting correctly a few times. They will notice that the correct way to lift is the easiest way to lift the load, with the least strain and awkwardness. To lift the wrong way will, over time, cause injury and pain and then no one will be laughing.

En California, el año pasado las lesiones de la espalda sufridas en los sitios de trabajo representaron millones de dólares, una cantidad de dinero que no tiene nada de cómico. Ni tampoco lo tienen esas incapacitantes lesiones de la espalda para los trabajadores, quienes perdieron tiempo de trabajo o tiempo para sus actividades personales. La triste verdad es que la mayoría del dolor y el tiempo perdido pudo haberse prevenido si los trabajadores hubieran estado más conscientes de la forma en que funciona la espalda y de cómo levantar sin peligro cargas pesadas o voluminosas.

La espalda está formada por una red de frágiles ligamentos, discos y músculos que pueden lesionarse muy fácilmente. El complejo diseño de la espalda se lesiona cuando se le fuerza a realizar actividades para las que no ha sido diseñado.

Una forma en que con toda seguridad se expone a una lesión de la espalda consiste en levantar cargas pesadas o volumi-nosas de manera inadecuada o sin asistencia. La espalda, sin soporte, no puede trabajar como una grúa o brazo de izamiento. Al levantar algo con la espalda torcida o doblada, se expone a un desgarramiento muscular o a una hernia discal. La espalda

puede lesionarse rápidamente, pero demora mucho tiempo en sanarse. Por esto, debe estimularse a los trabajadores para que al levantar objetos lo hagan con sentido común y con la ayuda de un compañero de trabajo o de un dispositivo mecánico.

Los trabajadores deben aprender a ponerse completamente de frente y en cuclillas sobre el objeto que van a levantar. En esta posición, la espalda aprovecha la fuerza y resistencia adicionales de las piernas y los brazos. Enseñe a los trabajadores a inclinar el objeto sobre el borde con su eje más largo hacia arriba, de manera que el centro de gravedad se ubique lo más arriba posible sobre el suelo. A continuación, el trabajador debe colocarse cerca del objeto para hacer que la columna vertebral se comporte como una columna de apoyo y exija así el menor esfuerzo. En esta posición, el trabajador estará listo para levantar el objeto. Desde la posición en cuclillas, con los pies colocados de manera que las piernas apunten directamente hacia la carga, y con espalda derecha, el trabajador puede entonces sujetar la carga con ambos brazos y ponerse de pie lentamente.
