About Us

WBS Law Office or WBS has been established since 2007 by the association of three lawyers who have long legal experience and solid background in legal matters from various workplaces in order to provide legal services including counseling, litigation, registration and other miscellaneous works which are related to the laws and complicated official procedures for all types of our clients, both Thais and foreigners.

WBS serves a wide range of private and corporate clients and handles all types of legal services including commercial and criminal litigations. Throughout the relationship with the clients, our law office is ready to commit our time it takes to ensure it fully understands what the clients are trying to accomplish and the challenges they face. Dedication, ability and solid experience have been critical to the our success in each area of practice.

In addition to our service provision, we will emphasize and pay attention on our quality of works and effectiveness of services in all details and processes. Any documents in other languages will be translated into Thai and vice versa. We will take our clients’ interest as the highest importance. Mr. Somboon Washiraboonsook (B.A., M.A. (English), LL.B., LL.M.) Born in Chiang Rai, the most northern part of Thailand, Mr. Somboon Washiraboonsook completed his high school in Bangkok. He obtained his degrees, B.A. and M.A. in English, from Chiang Mai University and Thammasat University respectively. Subsequently, he earned law degrees, LL.B. and LL.M. from Law Faculty of Thammasat University. He started working as Tour Guide in Chiang Mai and when he moved to study in Bangkok, he joined the Singaporean company, IVM, in providing the fresh data of the listed companies in the SET for broker firms. Then, right after he earned his law degree, he changed his career path to be attorney-at-law by starting being practicing lawyers in various law firms including Interlex & Biz Counselor Co., Ltd. and L & B Law office before joining WBS Law Office.

Mr. Pornpoj Ngamviriyatham (BB.A., LL.B., MPA.) Born in Bangkok in 1966, Mr. Pornpoj Ngamviriyatham earned his first degree in Business Administration, BB.A, from Ramkhamhaeng University and second degree in law, LL.B, from Thammasat University. He also completed Master Degree in Public Administration, MPA, from Chulalongkorn University. He has been a member of Lawyers’ Council since 2003. He had experience in HR management in various organizations. His expertise is labour law, company law and mediation.

Mr. Yutthana Pankong (LL.B.) Born in Nakornsawan, Mr. Yutthan Pankong completed his high school in Bangkok and earned his LL.B. from Faculty of Law, Ramkhamhaeng University. He earned a lot of experience by being a practicing lawyer and litigator in various law offices. Then, he decided to join WBS Law Office. He had long experienced in litigation, negotiation, mediation etc.

1. Company Registration

Doing business in Thailand, you have the choice over what type of business organization to establish. There are 3 different types of businesses which can be registered. There is a Thai partnership, a Thai representative office, or a Thai limited company. More common than not, a Thai limited company is the most commonly used form of business setup chosen by foreigners doing business in Thailand. WBS Law Firm can help you to set up a Thai limited company. 3. Work Permit Applications

Before you can apply or be issued with a work permit you must have a non-immigrant visa. This is required in order to apply for a work permit in Thailand. Ideally, it should be acquired before you arrive in Thailand. We can assist you to convert a tourist visa to a non-immigrant visa without leaving Thailand. The time frame for this may be 1 or 2 months.

2. Association and Foundation Setup

Those who wish to formalize an association and legally register one will have to go through the requirements of the authorities. This should be done before proceeding to a stage where there is money circulating around the organization. The Thai Commercial and Civil Code defines a “foundation” as assets arranged only for the purpose of charity, religion, arts, science, literature, education, or any public interest that are duly registered under the regulations of the law. Furthermore, no trustee, director or any member may directly benefit from the profits earned by the foundation incidental to its operation.

2. Divorce and separation of assets in the case of divorce in Thailand

There are two ways to get divorced in Thailand:

a. Spouses can make an agreement. This could be about the custody of children, or the common property or even alimony, so called “Consent Divorce”;

b. When parties do not agree and one of them wishes to get divorced, he/she needs to go to the Court, so called “Statutory Divorce”.

Initially we will try to get an agreement between the couple. Going to the Court can be long, expensive and stressful. Nothing is certain when you go to the Court. If the parties can make an agreement, it is faster, more certain and less expensive. If they cannot agree, the party wishing to ask for a divorce must have grounds to obtain a divorce in Court. Grounds are, for example, adultery, separation of three years, desertion of one year, mental or physical abuse, etc. A divorce in Court may take between six to twelve months in Thailand.

Real Estate in Thailand Our Services

Most foreigners when considering real estate in Thailand look to purchase a condominium. It would be safe to say that most foreigners buy real estate in Thailand either for retirement or as an investment. When buying real estate in Thailand, there are a number of factors to take into account.

1. Purchasing Real Estate as a Foreigner in Thailand

As part of our service, we will carry out a title deed search and compare it with the certified copy. We will do due diligence search to ensure that the access ways and planning consent conform to the relevant laws. We will review the Contract of Sale to ensure that all clauses are reasonable to both parties. Finally we will register the ownership transfer of the property at the land office.

2. Lease Registration

Foreigners are normally not allowed to own land in Thailand. Therefore, those wishing to live in Thailand tend to decide to lease a property. Thai law allows any person to lease land for a maximum period of thirty years. This is basically a legal agreement between the lessor and lessee to have the rights of exclusive possession and some benefits on the property for a fixed period of time. Under Thai law any lease agreement of more than three years must be registered at the land department. A future renewal is allowed under Thai Law. Therefore, it is essential to draft a rental agreement with specific conditions in order to protect your rights. A professionally drafted lease agreement can survive the death of the lessee, so the lessee can transfer the lease to his/her heirs.

3. Usufructs & Superficies

Usufructs and superficies are alternatives to a lease with regard to the enjoyment and possession of land and buildings. We can provide you with the service you require. In Thailand, the usufruct and superficies can be granted for a period of time (Max 30 years) or for the rest of the life of a living person. It usually ends at the death of the usufructuary or superficarius but some contracts concluded by them can survive their death.

The firm’s litigation team has extensive experience in handling a wide range of litigation cases in both civil and criminal courts in Thailand. We are capable of supporting litigation services in other counties. We can represent cases which proceed from the Court of First Instance to the Court of Appeal, and to the Supreme Court.

There are a lot of things that can happen to your property if you are not aware of your legal rights in Thailand. The entire process can become complicated and costly if certain precautions are not taken. One of the most important concerns in a property acquisition is the minimization of risk and the security of your investment. This is even more important when you purchase properties outside of your own jurisdiction where communication is a problem. A valid Thai Will eliminates much of the risk. If property is held in different countries, it is paramount that a Will is drafted specifically so that there is no doubt as to the beneficiary or the property concerned. As with any legal proceeding, there are technical aspects to probate and trust administration: Creditors need to be notified and legal notices published. Trustees need to be guided in how and when to distribute assets and how to take creditors rights into account.

A Public Notary's main functions are to administer oaths affirmations, take affidavits, statutory declarations, witness and authenticate the execution of certain classes of documents, take acknowledgments of deeds and other conveyances. In Thailand, a lawyer can also be a 'Public Notary' if he/she has obtained a license from the Lawyers Council of Thailand. You may need the Notarial Services Attorney to notarize documents. We have a group of dedicated Notarial Services Attorneys within the firm.

The basic labour law of Thailand is found in the Thai Labour Protection Act of 1998. The Labour Protection Act establishes the minimum rights for employees working in Thailand, covering working hours, overtime, holidays, sick leave, maternity leave, severance and other basic employee rights. The Department of Labour Protection and Welfare under the Ministry of Labour and Social Welfare is charged with administration of these rights. The Department and Ministry issue regulations clarifying and sometimes modifying the rights under the Labour Protection Act. Thai law requires that companies pay employees compensation upon termination in the form of severance and payment in lieu of notice. Except in cases in which the termination is "for cause", a full-time employee who is terminated by an employer must be paid severance pay: more than 120 days but less than 1 year 30 days wages or salary; at least 1 year but less than 3 years 90 days wages or salary; at least 3 years but less than 6 years 180 days wages or salary; at least 6 years but less than 10 years 240 days wages or salary and at least 10 years 300 days wages or salary.
