VIRIDIAN’S HISTORY IN TEXASViridian began pre-launch in Texas in July 2015, and officially launched the market in November 2015. TriEagle Energy
is a Retail Energy Provider that has been operating in the Texas market for more than 12 years. TriEagle was acquired by
Viridian’s parent company, Crius Energy, in early 2015 and has enabled Viridian to enter the market with an experienced
operator who has an excellent customer satisfaction record.

TRANSMISSION/DISTRIBUTION SERVICE PROVIDERS (TDSPs) -The regulated entities that service and maintain
the customer’s electricity and handle service emergencies and outages.
ELECTRIC RELIABILITY COUNCIL OF TEXAS (ERCOT) –ERCOT manages the grid and the flow of electric power
in Texas. When a customer is switching REPs, ERCOT receives and sends the requests between TDSPs and REPs.

MARKET INFORMATIONBefore deregulation, Texans received all aspects of their electricity from a utility assigned to them. Now, with electric choice,
residents of most parts of the state can choose their electricity provider.
A PRIME MARKET FOR VIRIDIANViridian offers service in every region that has electric choice in Texas, representing a total market size of more than 7
million customers. However, not all areas of Texas have a choice of electric providers, particularly areas served by a city-
owned utility or those served by most electric cooperatives. The map above shows the areas within the ERCOT grid with
access to electric choice.
What’s more, Texas is considered an excellent market for retail choice as it is a truly competitive marketplace for consumers
to choose their best offer. Part of this is because there is no “Rate to Compare” in Texas, allowing all providers a level
playing field where all offers are on equal footing.
To determine a customer’s eligibility to select their electric provider, simply look at their current electricity invoice or direct
the customer to your Personal Website and they can enter their ZIP code.
ERCOTThe Electric Reliability Council of Texas (ERCOT) manages the grid and the flow of electric power to 24 million Texas
customers - representing about 90 percent of the state’s electric load. As the independent system operator for the region,
ERCOT schedules power on an electric grid that connects more than 43,000 miles of transmission lines and 550 generation
units. Essentially all the very large electric transmission towers are managed by ERCOT.
PUBLIC UTILITY COMMISSION The Public Utility Commission of Texas regulates the TDSPs and oversees the customer choice process within the Texas
market. The commission also runs a consumer choice website called Power to Choose (www.powertochoose.org), which
shows customers their REP options based on their location. When looking at the different options and comparing with other
REPs, it is always good to remind your customers of Viridian’s transparent bundled rate and to look at the fact sheet for all
the rate plan details.
UNIQUE ELEMENTS OF THE TEXAS ENROLLMENT PROCESS
CREDIT CHECK
All customers will be required to complete a credit check at the time of enrollment. Our credit check will be based on the customer’s FICO credit score. Customers who do not meet the credit check threshold will still be able to enroll simply by submitting a deposit before completing the enrollment.
DEPOSITS
Customers who need to submit a deposit in the amount of $225 will be able to do so online at the time of enrollment. Viridian will pay the customer interest on the deposit according to Texas market rules. The deposit and any interest earned will be applied to the customer’s account after 12 months of timely bill payment. Certain customers who qualify under market rules such as low income or one of the other qualifications may waive the deposit if they meet the requirements.
SWITCHING TIMES AND SMART METERS
Since virtually all Texas customers have smart meters, Viridian is able to switch your customers quickly, typically within 1-2 days. This also allows Retail Electric Providers like Viridian to disconnect service immediately after the proper notification and waiting period if a customer is delinquent in payment.
BILLINGCustomers in Texas will receive one simple bill from Viridian, not the service provider, and their Viridian bill will include the TDSP’s distribution transmission charges as well as Viridian Energy’s charges for the electricity supply. The customer will pay Viridian Energy directly.

THE ENROLLMENT PROCESS
Follow the steps in the Jump Start guide and use the STP when telling a friend or acquaintance about Viridian. If someone
isn’t interested in becoming an Associate, your next step is to tell them about the benefits of being a Viridian customer, and
to help them sign up! Remember, that monthly residual commissions are paid only on active customers in good standing
who pay their bills.
STEP ONE: KNOW OUR MARKET OFFERINGS Visit the VCenter or your Personal Website to review the current market information for Texas. In VCenter you will find
tools regarding customer enrollment and product offerings under Business Resources such as Product and Market
Training, Rate Resources and Enrollment Resources. On your personal website, simply click “Become a Customer” to
search by ZIP code and see all current offers.
STEP TWO: CONFIRM SERVICE AVAILABILITYTo confirm that your potential customer lives in an available service area, log on to your Personal Website and enter
your customer’s ZIP code. Next, confirm their availability by checking their energy provider on their bill.

THE ENROLLMENT PROCESS
STEP THREE: ENROLL ONLINE When someone agrees to be your customer, help them follow these online enrollment steps.
• Make sure your customer has a previous bill on hand for critical information regarding their current service and
account information.
• Based on availability, help your customer choose the product option that’s best for them.
• Thank them for being your customer. Reiterate that it means a lot to you. (Don’t promise savings.)
• Tell your customer to enroll on your Personal Website (Don’t enroll them on their behalf. )
• They will confirm the price they pay for each unit of energy.
• They’ll confirm the length of time that their contract will be in effect.
• Your customer will receive any special terms and conditions that are unique to their chosen market or service.
• They’ll receive customer service contact information.
• During the enrollment process your customer will be asked to confirm their identity with their driver’s license
or SSN
• Also during enrollment your customer will undergo a credit check and if for some reason their credit doesn’t
qualify they will be offered an option to place a deposit for service
• Once the enrollment process is complete, you can check your customer’s enrollment status in your VCenter.
Expect a business day until all the points show as expected – there are many steps behind the scenes that
need to complete and occasionally it takes a little extra time.
• It is very important that questions asked during the enrollment answered truthfully and by the person who is
authorized to make a decision regarding switching service. If this is not done properly, the customer’s switch
will be cancelled.
• Additionally, your customer will receive a switch notification postcard from ERCOT (Electric Reliability Council
of Texas) regarding their switch. This is simply a notification, requiring no further action on their part.
CUSTOMER STATUS
As your customers go through the enrollment process, you can watch their status change in your VCenter.
PENDING. This is a newly registered customer who has initiated the enrollment process.
QUALIFIED. This is a customer who has completed the enrollment process. A Welcome Packet will be sent electronically
or through the mail to allow the customer to see the terms of the agreement for their upcoming service.
ACTIVE. Customers that receive service are considered Active. Each active customer counts as a point for purposes of
commissions. Every customer who pays their bill counts towards your monthly residual income.
CANCELLED. These are customers that, for whatever reason, no longer have service. These customers no longer
contribute to your income. But, they may decide to return with a little help from you.

ENROLLMENT INFORMATION
ENROLLMENT RESTRICTIONS LITE-UP TEXAS The LITE-UP TEXAS program is designed to help qualified low-income individuals reduce the monthly cost of
electric service. The program will provide discounts to eligible customers in meeting their bills. Customers can visit
http://www.puc.texas.gov/ to find out more details.
An electric customer is qualified for this program if the customer is currently receiving Medicaid and/or food stamps.
If a customer is not in one of the qualified programs listed above, the customer can still qualify for LITE-UP TEXAS if
their household income is at or below 125 percent of the federal poverty guidelines. If the customer thinks they qualify
based on household income (see chart below), they may self-enroll by calling toll-free 1-866-454-8387 and requesting
an application.

CANCELLATION PARAMETERS
All customers who enroll with Viridian Energy will either receive a welcome email or welcome packet mailed to their
home. Customers will have three (3) federal business days from their enrollment date to cancel the agreement
without any penalties.

UNDERSTANDING YOUR ENERGY BILL: TEXAS
When customers choose a retail electric provider like Viridian Energy, the bill is split between electricity supply and
delivery. Where applicable, the delivery, or transmission and distribution (T&D), charges will be itemized on the customer’s
bill. Customers will pay Viridian Energy for delivery and taxes, but now there will be a separate line item on the bill
reflecting these charges.

MARKETING PRACTICES
ACCEPTABLE MARKETING PRACTICES AND CODE OF CONDUCT
Viridian values its reputation, which rides on the conduct of every Viridian Independent Associate. As an Independent
Associate, you must market in accordance with the legal and regulatory requirements set out in your Viridian Agreement.
Our Code of Conduct is as follows:
• Inform consumers of the price and term of the offer, truthfully and accurately.
• Identify yourself as an Independent Associate with Viridian, and that you are not affiliated with the utility, any government or consumer group. Refer all customers to your Viridian Personal Website to enroll.
• Only the account holder or a person who is legally authorized to sign on behalf of the account holder can sign the agreement.
• Use only timely, accurate comparisons.
• Allow the consumer sufficient time to read all documents, without harassment.
• Use only current and approved sales and marketing materials.
• Respect Do Not Solicit Signs.
• Do not speak negatively about competitors or the utility.
• Never make promises or predictions with respect to savings or changes in the energy marketplace.
• Be clear that energy rates vary and can go both up and down.
CORPORATE AND MARKET OVERSIGHT
The Viridian Compliance Department maintains high standards in the sale processes while ensuring compliance with
legislation and conditions of licensing. Compliance provides timely and objective resolution to allegations by both
customers and regulators.
In Texas, we are regulated by the Public Utilities Commission of Texas (PUCT), which oversees our marketing practices. In
addition, there are other avenues through which consumers may inquire about Viridian Energy or log their concerns. They
may contact the Better Business Bureau, the local utility, the Texas Attorney General or the Texas Consumers’ Counsel.
By providing objective resolutions to allegations, Compliance is able to maintain good working relationships with industry
partners, regulators, the government and you. They achieve this through the compliance process and system, which allows
them to identify areas requiring improvement.
For your part, prevent misunderstandings by being upfront with your customer about who you are, the terms of the
Agreement, the cancellation provisions, and the benefits of the program.
