TERMS OF REFERENCE FOR CONSULTANTS I. Individual Consultants A. International 1. FIDIC Tutor (Individual international consultant for 22-person days) Introduction. Asian Development Bank (ADB) proposes to recruit one FIDIC accredited trainer for conducting 2 training programs on International Federation of Consulting Engineers (FIDIC) conditions of contract. About 100 staff of government agencies implementing ADB funded projects in India are likely to attend these programs. Scope of the Services. The indicative list of topics to be covered during the training program include: (i) Introduction to FIDIC Documents: Introduction to the MDB version; (ii) Responsibilities of Main Parties: General provisions, responsibilities of the employer, contractor, engineer and nominated Sub-Contractor; (iii) Management of projects key areas- Workmanship and Time: Staff and labor, plant, materials and workmanship, commencement, delays and suspension, tests on completion, employer’s taking over & defects liability; (iv) Financial clauses and procedures: Measurement and evaluation, variation and adjustment, contract price and payment, guarantees, bonds; (v) Claims: causes and risks, inherent project risks, analysis of contractual risk, allocation of risks under FIDIC contracts, liability and insurance; (vi) Claims procedures: Clauses required notice by the contractor, clause 2.5 employer’s claims, clause 3.2 delegation by the engineer, MDB’s restriction on engineer’s authority; Clause 20.1 Contractor’s claims: Notification of claims, contemporary records, preparation of claims, engineer’s assessment and principles of claim, engineers valuation, engineer’s determination; Delay claims: Extension of time, Sub- Clause 8.4 & 8.5, terminology for program and delay analysis, prolongation and disruption costs; (vii) The Resolution of Disputes: Principles governing the Dispute Adjudication Board, DAB/DB workings, arbitration and; (viii) Contract Administration Clinic: Executing agencies will raise various issues faced during contract administration and FIDIC trainer will provide advice on how to resolve these issues; (ix) Sensitize the participants on various documentation requirements to prevent avoidable claims from the contractors; and (x) ADB proposes to utilize trainer’s time during 2019-20 for conducting one hour VC sessions with Government agencies spread across India. The FIDIC tutor will be informed 30 days in advance about these sessions. ADB will connect the FIDIC Tutor to the Government agency through ADB VC facility. ADB will pay the FIDIC tutor hourly fee and reimburse the cost incurred on booking/utilizing VC venue at his home office. During the VC, FIDIC tutor will suggest solutions to project specific contract management issues raised by Government agencies. No minimum guarantee hours are provided. Payment will be made as per actual usage.

I. Individual Consultants A. International

1. FIDIC Tutor (Individual international consultant for 22-person days)

Introduction. Asian Development Bank (ADB) proposes to recruit one FIDIC accredited trainer for conducting 2 training programs on International Federation of Consulting Engineers (FIDIC) conditions of contract. 2. Senior Project Evaluation Specialist (International Individual Consultant For 2-Person Months)

Objective and Purpose of the Assignment. To respond the comments described in the Country Assistance Program Evaluation (CAPE), including optimal performance of the MFF, analyze disbursement ratio and other data, and provide key write ups on comprehensive assessment of portfolio performance. To provide guidance and capacity building in project evaluation and lessons learned. Scope of Work. Review the bottlenecks to the optimal performance of the MFF programs and more generally review the disbursement ratios in recent years. Consider increasing decentralization of decision making process and resources to the resident mission and creating a regional hub. INRM-led comprehensive assessment of portfolio performance, its underlying factors (including lower disbursement ratio compared with late 2000s and (little) difference of MFFs and projects) and recommend actions to enhance its level. As needed, hold a knowledge sharing workshops and/or presentation. Detailed Tasks and/or Expected Output

(i) Determine approach of the comprehensive assessment (ii) Assess and address factors affecting the optimal performance of MFF, and

measures to enhance disbursement ratio for India operations (towards ADB’s corporate target), despite the fact that MFF subprojects potentially have more opportunities to improve readiness.

(iii) Closer review of the readiness status and applying higher readiness standards for MFF subprojects for second tranche and onwards. Comprehensively review the reasons and recommend actions.

(iv) Undertake a systematic analysis of the disbursement performance and measures to be taken for pipeline building, project preparation, appraisal, implementation, monitoring, and control.

(v) Consider feasibility of changes in procurement authority threshold, human resource (outpost international staff to resident mission) among others.

(vi) Conduct presentations and/or workshops for knowledge sharing and capacity building.

(vii) Conduct other tasks guided by supervising specialists and directors. This position report to Principal Portfolio Management Specialist and Country Director, INRM. Flexibility in responding changing data needs will be required.

B. National

3. Contract Management Specialist (Individual National Consultant For 9-Person Months)

Objective and Purpose of the Assignment. The consultant will assist in building capacities of various executing agencies in administration of both loan and technical assistance projects in the transport sector under supervision of ADB project officers. Scope of Work. The Consultant will undertake activities and prepare necessary documents and reports required in accordance with the scope of works.

Detailed Tasks and/or Expected Output. The specific responsibilities of the position are:

(i) Support executing agencies in project management of assigned projects by conducting periodic field visits, monitoring progress, actively identifying issues and corrective actions needed for satisfactory implementation; review of monthly progress reports, following up on contract awards and disbursement performance of projects;

(ii) Provide advice on implementation and supervision arrangement to ensure timely implementation of works and providing recommendations on corrective measures;

(iii) Training and capacity building of staff of executing agency and implementing agency on contract management and project management;

(iv) Support executing agency in quality monitoring and audit of works during the field visits;

(v) Providing advice to executing agencies on preparation of bid documents, evaluation of bids, procurement and contract documents;

(vi) Review of bid evaluation reports submitted by the implementing and executing agencies;

(vii) Support executing agency on technical matters such designs, specifications and cost estimates;

(viii) Support executing agencies in preparing for transport sector tripartite portfolio review meetings;

(ix) Support executing agencies in contract management including advise on contractual issues in accordance with the conditions of contract;

(x) Support implementing and executing agencies to expedite disbursements; (xi) Review of compliance with the covenants in the loan and project agreement; (xii) Administration of Technical Assistance (TA) activities by assisting start-up

operations; monitoring progress; and representing, where necessary, ADB in technical discussions; and

(xiii) Any other capacity development task related to project. 4. Procurement Specialist (Individual National Consultant For 24-Person Months)

Objective and Purpose of the Assignment. To provide capacity development support to executing agencies and support INRM PMU to efficiently and effectively handle procurement of goods and works, consultant recruitment, contract administration, project administration and portfolio management covering all the projects. Scope of Work. The Consultant will be responsible for assisting ADB and its executing agencies in procurement of goods and works, and consulting services under loan, grant, and technical assistance (TA) projects and in portfolio management. S/he will (i) assist executing agencies and ADB in conducting the tasks identified below by applying technical practices and methods, and collect and make use of available and necessary data in carrying out the assignment; (ii) work in close consultation with the executing agencies and ADB, and discuss issues that would affect efficient procurement management and contract management with executing agencies and ADB; (iii) provide advice on the ways to resolve them; and (iv) coordinate with other consultants appointed by ADB, and prepare reports as required. Detailed Tasks and/or Expected Output Procurement and Consulting Services

• Review of various procurement documents, for example, prequalification documents, bid documents, bid evaluation reports, contract awards-related documents/reports, prepare necessary internal procurement approval forms and fax letters to executing agencies, assists in drafting various other related documents (for example, procurement papers for award of contracts), and correspondences as required.

• Assists designated ADB/executing agency Staff in recruiting consultants, preparing shortlists and request for proposal, evaluation of technical and financial proposals, review of draft contracts, contract negotiations, and contract signing. Also assists in issuing contract variations for goods/civil works contracts and consulting services contracts.

• Provides necessary advice on complex procurement and contract administration issues to both executing agencies and ADB INRM project teams and suggest appropriate measures to resolve them quickly to ensure effective implementation of ADB projects.

• Assists in maintaining MIS on procurement, consultant recruitment, portfolio performance and maintain accurate data on current status of implementation progress of ongoing projects.

• Assists in updating the Consultant Recruitment Activity Monitoring System and the Procurement Contract Monitoring System to support monitoring of the progress of consultant recruitment and procurement.

• Assists in monitoring submission of TA consultants’ final billings and TA completion for timely closure of TA accounts.

Project Performance Monitoring

• Updates information and performance of assigned loan, grant and TA projects quarterly or as necessary, including project description and scope, status of implementation, developments, major problems, and actions taken/proposed.

• Assists designated national staff in administering assigned loans and in Energy, Transport, Urban, Human Development, Agriculture, Environmental and Natural Resources Sectors.

• Assists designated National Staff in applying rules and procedures, such as the Loan/Grant Regulations, Project Administration Instructions, loan/grant/TA disbursement handbooks and financial management handbook.

• Maintains records needed to monitor compliance with loan/grant covenants such as the submission of monthly and/or quarterly progress reports, safeguard compliance reports, and benefit monitoring and evaluation reports.

• Participate in procurement audits and project review missions; and assist ADB mission leaders to assess executing agencies procurement and contract award achievements and recommend measures for improving project implementation performance including preparing the related pre- and post-mission documentation.

• Assists in reviewing requests for changes and/or reallocation of loan, grant and TA proceeds, and in drafting requisite memos for approval.

• Reconciles project accounts and monitors disbursement status, imprest accounts as well as creation and closing of accounts.

• Updates project data and prepare various reports on projects’ financial status as required by the Department and Management.

Portfolio Management

• Compiles data and statistics on contract awards and disbursements for the assigned projects and assists in monitoring and analyzing the actual contract awards and

disbursements against targets to identify shortfalls and underlying causes and identifying needed actions to meet projections.

• Assists ADB to conduct Tripartite Portfolio Review Meetings (TPRM) to monitor portfolio performance and discuss procurement, consultant recruitment, contract management issues and project implementation activities in ADB-financed projects.

• Conduct detailed review of TPRM briefing sheets, background papers, action plans and review executing agencies’ submissions on procurement and project administration related matters such as contract variations, change in scope, implementation arrangements, procurement methods and thresholds, as per ADB guidelines, project administration instruction (PAI) procedures and Loan/Project Agreements.

Project Start-up Support

• Contributes to preparation of Project and/or Facility Administration Manuals and Grant Implementation Manuals by consolidating data and information for appendixes, drafting project description and scope, project cost and financing plan, procurement plan, selection procedures and terms of reference for the consulting services, design and monitoring framework, loan covenants, and others.

• Other project administration tasks that may be required. 5. Procurement Administrative Assistant (Individual National Consultant For 9-Person

Months)

Objective and Purpose of the Assignment. To provide capacity development support to executing agencies cutting across all projects in the Urban sector and support INRM Urban Sector project officers to efficiently and effectively handle project administration and portfolio management.

Scope of Work Mail/Written Communications/Follow-up

• Ensures that all correspondence and documents for supervisor are correctly typed and prepared in compliance with ADB's standards. Independently composes and sends out routine letters. Drafts more complex correspondence for signature of supervisor.

• Ensures that all incoming mail is logged, properly distributed, and promptly brought to the attention of concerned staff, and that outgoing mails/faxes are delivered on time.

Oral Communications/Internal & External Contacts

• Provides efficient reception services by screening incoming telephone calls, taking accurate messages, dealing with queries from callers and visitors, establishing the nature and priority of requirements of unexpected visitors to ensure that they are routed in a timely manner to the concerned staff.

Calendar/Travel

• Ensures the effective coordination of supervisor's schedule by maintaining diaries and arranging appointments, meetings, travel and accommodation as specified by the supervisor and in accordance with ADB procedures.

• Travel Requests (MA-BTRs), and Request for Reimbursement of Business Travel (RRBT) for India Resident Mission (INRM) staff.

Office Administration

• Ensures that office filing systems and records are properly maintained and updated in accordance with an existing framework for easy retrieval.

• Tracks the flow of documents with the use of database for effective monitoring to meet deadlines.

• Provides assistance as to the application/interpretation of work area procedures, guidelines and formats to junior administrative staff and administrative assistants.

• Assists in the preparation and circulation of Aide Memoirs, background papers, back-to-office reports (BTORs) and other reports pertaining to group assigned.

Coordination

• Coordinates the various activities such as meeting arrangements of a division/office/department to ensure that the supervisor's instructions are passed onto the concerned staff.

Data Analysis and Report Generation

• Collects, compiles and analyzes relevant information and data related to the division/office/department to produce routine and/or ad hoc statistics/reports as instructed.

Project Administration

• Assist designated National Staff in reviewing of various procurement documents, for example, prequalification documents, bid documents, bid evaluation reports, contract awards-related documents/reports, assist in preparing/ circulating necessary internal approval forms, assists in drafting various papers (for example, procurement papers for award of contracts), and correspondences as required.

• Assists designated National Staff in recruiting consultants, and assists in issuing contract variations for consultants’ contracts

• Performs project administration activities related to Technical Assistance consultant recruitment and consultant contract administration under the supervision of project officers.

Others

• Performs other duties as may be assigned. 6. Project Analyst – Urban (Individual National Consultant For 9-Person Months)

Objective and Purpose of the Assignment. To provide capacity development support to executing agencies and INRM Urban Sector to efficiently and effectively handle project administration and portfolio management of assigned projects. Scope of Work. Objective and Purpose of the Assignment. To produce ADB’s sovereign loan and grant portfolio performance analysis and reporting, to organize and maintain portfolio database in a systematic manner, and to share knowledge in Excel data analysis and management skills with INRM colleagues. Scope of Work. Produce various portfolio data analysis and reports, primarily on Microsoft Excel. Also, set-up internal MIS and produce high level management reports and presentation. Be open and flexible to opportunities of a new IT system/software and teaching advanced skills of Excel data analysis to INRM colleagues. Detailed Tasks and/or Expected Output

(i) MIS for effective portfolio reporting in Microsoft Excel, for DEA and ADB’s overall review of portfolio management: a. Quarterly reports on loans, grants and technical assistance (TA) grants b. Other reports on multi-tranche financing facilities (MFF), Public-private

Partnerships (PPP)

c. Compile data on contract awards and disbursements to monitor and analyze the actual achievements against targets and identify shortfalls and underlying causes.

d. State-wise summary of portfolio, sector-wise summary for high level missions/presentations

(ii) Develop excel workbook with logical and accurate formula and checking functions (iii) Organize and maintain portfolio related database in logical order (iv) Respond ad-hoc portfolio reporting requested by the government (v) Support the government’s portfolio data system data update and produce reports (vi) Conduct knowledge sharing session on Excel data analysis. Teach INRM colleagues

on advanced level skills in Excel data analysis. (vii) Consider opportunity of a new data system for portfolio/project management (viii) Support conducting Tripartite Portfolio Review Meetings (TPRM) including detailed

review of TPRM briefing sheets, background papers, action plans (ix) Support high level meetings by providing accurate portfolio data compilation (x) Conduct other tasks guided by supervising officers and specialists. This position

report to Principal Portfolio Management Specialist. Flexibility in responding changing data needs will be required.

9. Capacity Development Specialist (Individual National Consultant for 4 Person

Months)

Introduction. It is proposed to recruit one individual national consultant as a capacity development specialist. In close consultation with ADB, the consultant will undertake the following tasks: Scope of Work

(i) study and analyze ADB strategy and operations in India and identify capacity development needs;

(ii) study and analyze the current capacity development activities conducted by INRM, identify gaps and propose new initiatives;

(iii) suggest measures for effective structuring of capacity development programs; (iv) suggest measures for effective delivery of training programs including preferred

methods of instruction; (v) suggest effective evaluation techniques for the training programs.

10. Training Coordinator (Individual National Consultant for 24-Person Months)

Introduction: An individual national consultant for providing coordination for conducting about 50 training programs, Business Opportunity Seminars (BOS) and 6 Tripartite Portfolio Review Meetings (TPRMs) during the TA facility period. The objective of engaging the consultant is to provide support for coordination, documentation, financial management and reporting for smooth organization of the training programs. Scope of Work. The detailed tasks to be performed by the individual consultant are:

(i) Supervise Event Management Agency Staff who will provide complete logistic support for the training programs;

(ii) Preparation of draft contracts with hotels and institutes in ADB prescribed format under guidance from designated ADB staff;

(iii) Preparation of draft approval memos and cost estimates in ADB prescribed format;

(iv) Supervise receipt of nominations and follow up with projects which have not sent nominations. For this purpose, prepare a fortnightly status note on nominations received and identify projects which have not filed nominations;

(v) Accounting of training material; (vi) Prepare instruction to participants/welcome letter as per standardized form indicating

arrangements made for the conference, list of participants, among others and communicate the same to participants;

(vii) Prepare draft reports in ADB prescribed templates under guidance from designated ADB staff and submit to ADB within 3 days of completion of workshop;

(viii) Prepare detailed statement of expenditure and liquidation claims in a format prescribed by ADB for payment to various vendors within 10 days from completion of the workshop to facilitate smooth financial management;

(ix) Coordinate work related to Business Opportunities Seminars (BOS) and support PMU in conduct of Tripartite Portfolio Review Meetings (TPRMs);

(x) Any other workshop/training, BOS, TPRM and portfolio management work entrusted by designated ADB staff.

11. Advanced Training Needs Assessment Expert (Individual National Consultant for

One-Person Month through a firm)

Introduction. An individual national consultant will be engaged for one-person month to prepare a advanced training needs assessment for one ADB funded project. Scope of Work. The detailed tasks to be performed by the consultant include

(i) Study the project goals and objectives; (ii) Identify personnel working on the project; (iii) Identify job roles of personnel working on the project; (iv) skill set required for discharging functions under these job roles; (v) What is existing skill set; (vi) Identify gap in skill set; and (vii) Suggest measures for filling the gap in skill set.

12. Monitoring and Impact Evaluation Expert (Individual National Consultant For 6 Person

Months through a firm)

Objective and Purpose of the Assignment. To assess the impact of the training programs on portfolio performance. Scope of Work. The detailed tasks to be performed by the consultants include

(i) To prepare a framework for assessing the impact of training programs on portfolio performance in consultation with assigned ADB staff;

(ii) Study the training programs conducted by INRM; (iii) Evaluate the feedback received from trainees; (iv) Conduct telephonic interviews with trainees to obtain feedback on the impact

training programs have in day to day project administration; and (v) Study various reports of ADB to compile information on processing time of

procurement and consultation selection submissions, initial rejection rate of disbursement claims, timely submission of Audited Project Financial Statements, among others; and

(vi) Submit a report on the outcomes of the above activities 13. Information Technology Expert for TMIS and PPMS (Individual National Consultant

For 6-Person Months through a firm)

Introduction. The individual consultant will support DEA to develop web based Integrated Training Management Information System (TMIS) and augmentation of DEA website eapdea.gov.in. Scope of Work. The consultant will upgrade the existing training management module available in eapdea.gov.in website to cover various aspects like online communication with participants, provision of facility for online data entry of travel plans, information on local transport arrangements, trainee tracking, among others. In addition, the consultant will support National Informatics Center (NIC) to augment other modules in eapdea.gov.in website like mission clearance, document log, portfolio management, among others. modules. 14. Publication Expert (Individual National Consultant For 6-Person Months through a

firm)

Introduction. The publication expert will support in preparing a publication pertaining to various sectors in which ADB project are implemented. Scope of Work. The consultant will conduct research and prepare a publication listing out new technologies, construction methods, project management techniques, among others. for transport, urban, energy, agriculture and human development sector projects. The consultant would print 500 copies of the publication. 15. Financial Management and Accounting Expert (Individual National Consultant For 24-

Person Months)

Introduction. To undertake a variety of specialized duties relating to the function of loan disbursement and executing agency capacity development. Scope of Work Claim Processing

• Processing of claims for loan disbursement by examining/scrutinizing Withdrawal Applications (WAs) to ensure that applications duly comply with relevant ADB policies, guidelines and procedures.

• Keep updated records relating to applications processed and provide timely update to the reporting supervisor.

• Input relevant data into ADB LFIS for processing of withdrawal applications.

• Provide own technical inputs as necessary as per the job profile.

Support Function

• Contributes to efficient discharge of disbursement function, by (i) downloading data on contract awards, loan disbursement, among others. for analysis of supervisor; (ii) assisting in the analysis of disbursement trends on a national, provincial, sectoral and project basis; (ii) preparing reports for management review; and (iv) assisting in reconciling project financial statements of executing agencies with ADB disbursement records.

Capacity Building

• Assist in conducting disbursement seminars for staff in executing agencies, hand holding support to executing agencies . Provide trainings and workshops and knowledge dissemination to executing agencies.

• Assist in the processing and implementation of Capacity Building Technical Assistance (TA) for the Aid Accounts and Audit Division (AAAD) under Ministry of Finance by undertaking the following:

o Procurement of relevant consultants / vendors among others. o Preparation of TA Reports o Assist in Implementation of the TA

Others

• Liaise with government counterpart departments implementing ADB funded projects, on work relating to disbursements and financial management functions; draft routine correspondence, among others.

• Take part in Disbursement Missions as necessary to review SOEs and related supporting documents maintained by executing agency for ADB funded projects, assist the mission leader in review of Financial Management aspects, assist in compiling, drafting of observation findings, reports finalization of BTOR, Aide Memoires, among others.

16. Financial Management and Audit Specialist (Individual National Consultant Through a Firm For 9-Person Months)

Introduction. The objective of the assignment is to assist executing agencies and ADB Project Officers in monitoring of projects' compliance with ADB's financial management (FM) requirements in particular the review of audited project financial statements submitted by implementing agencies for ADB funded projects in India. SARD has over 80 ongoing and pipeline projects in India. Financial management aspects of the projects are required to be considered at many stages of the project life cycle. Most SARD projects are implemented by government ministries, departments or agencies. Scope of Work. To manage ADB's fiduciary risk, and ensure that loan proceeds are used for their intended purposes, ADB requires that borrowers submit audited project financial statements (APFS) at regular intervals as per section 2.09 of the Project Agreement during implementation of a project, and in the case of revenue-earning executing agencies , their audited agency financial statements (AFS), to enable assessment of compliance with loan covenants, quality of financial reporting as well as the executing agency's financial position. These Financial statements are required to be critically reviewed against ADB's guidelines and deficiencies, if any, communicated to the IA. The Financial Reporting and Auditing Specialist will also be required to provide hands-on support as well as monitoring of compliance with key requirements of ADB's Financial Management and Analysis of Projects – 2005. This includes:

(i) assistance in development of TORs for financial accountants at the Project Monitoring Units

(ii) assistance in drafting of financial management assessments (iii) assistance in developing detailed audit and financial reporting requirements for

communication to the implementing agency/executing agency (iv) development of financial statement templates for the Project Administration Manual

(PAM), and

(v) Review of APFS/AFS - This may also include providing trainings and workshops and knowledge dissemination both within ADB, and to ADB's borrowers in India. At a country level, it also includes working with government Agencies like Supreme Audit Institutions and Ministry of Finance to standardize and streamline financial management aspects. Travel or field visit to project management unit offices may be required

17. Project Evaluation Analyst (Individual National Consultant for 24 - Person Months)

Introduction. The objective of the assignment is (i) to provide guidance and detailed support for executing agencies to meet project evaluation criteria (e.g., relevance, effectiveness, efficiency, sustainability, impact, DMF achievements) which are important in preparing project completion reports (PCR); and (ii) to conduct knowledge sharing in lessons learnt from various project completion reports to facilitate improved project design, implementation and evaluation. Scope of Work. The detailed activities to be undertaken under the assignment include:

(i) Provide guidance and support for executing agencies, detailing various steps to be followed to meet project evaluation criteria;

(ii) Document and conduct knowledge sharing on lessons learnt from PCRs to facilitate incorporating these in to various capacity building programs for improved project design, implementation and evaluation; and

(iii) Provide hands-on support for preparing and facilitating PCR related data collections and narrative records, with a view to achieving program/project objectives and targets in Design and Monitoring Framework and successful project evaluation.

18. Finance cum Renewable Energy Expert (Individual National Consultant for 18 Person Months)

Objective and Purpose of the Assignment ADB is implementing various renewable energy sector projects in India including the Clean Energy Finance Investment Program, Demand Side Energy Efficiency Program and Solar Rooftop Investment Program as well as several technical assistance (TA) projects to develop pipeline of projects and build capacity of the executing and implementing agencies. The objective of this assignment is to provide the necessary advisory support for effective implementation and design of effective finance model. The consultant should be based at India Resident Mission (INRM). The initial duration of engagement is for period of 18 months starting from 1 December 2018 with possibility of extension. Scope of Work The objective and purpose of the assignment are to provide advisory services to the energy sector team in INRM, strengthen internal and operational capacity, including financial risk management, to undertake the ADB program. The scope of work is to provide management and operational advisory to better enable RE Sector development, to design effective finance model, TA Administration, Loan Processing and Administration. In addition, the consultant will assist the energy team in INRM in loan review missions and help in organizing workshops.

Detailed Tasks and/or Expected Outputs (i) Review ADB's processes and guidelines related to administering technical

assistance, loans and grants and status of ADB’s ongoing RE projects; (ii) Review status of ADB's projects under implementation through INRM in India,

maintain records of progress reports and other communications and make follow ups as needed with the Executing Agencies;

(iii) Keep track of government policies, plans related to development of renewable energy;

(iv) Attend loan and TA review and consultation meetings and follow up actions and monitor them closely;

(v) Identify project developers and help them develop and refine their business plans and facilitate interaction of project developers with executing agencies of ADB renewable energy projects;

(vi) Develop projects screening criteria and review project concepts and help conduct feasibility and detailed project reports for possible financing;

(vii) Lead finance and credit risk related discussions with RE projects developers and integrators, executing agencies and the relevant ministries;

(viii) Facilitate the organization of workshops and events related to development of projects for financing through ADB’s investment programs;

(ix) Assist in responding to any other requests by project officers in INRM for smooth implementation of the projects.

Minimum Qualification Requirements: The consultant is expected to have an advanced university degree in Engineering or economics/finance or other similar field of studies and experience in working with international organizations for at least 10 years. The consultant should have good overview of opportunities and challenges of promoting RE projects in India. Prior experience in finance and credit risk in RE Sector is desirable. The consultant should be fluent in English and have good writing and communications skills. 19. Financial Management and Review Specialist (Individual National/International

Consultant Through a Firm for 9-Person Months-Intermittent)

Financial Management is an integral component of ADB's duty to ensure that projects are financially viable, sustainable, to ensure funds are used for their intended purpose, and that borrowers have the

capacity to fulfill their obligations under legal agreements. The objective of the assignment is to assist ADB in the monitoring of projects compliance with ADB's financial management (FM) requirements for entire sovereign project portfolio. For sovereign loans or grants, majority of SARD projects are operating under back to back loans taken by Government of India (GOI), Ministry of Finance (acting as the borrower) from ADB. These are being implemented by various forms of state government entities. Other SARD projects are implemented through autonomous central sector entities. These entities directly enter into a loan or grant agreement with ADB for which GOI acts as a guarantor. Amongst the SARD portfolio, there are also some GOI borrowed loans that are implemented through central line ministries across various states government executing agency /implementing agencies (IA). To fulfill this objective, a professionally qualified financial management review support to the designated financial management official at ADB-INRM will be necessary, who in turn supports the project team leader for augmenting financial management function of the concerned executing agency. Scope of Work

To manage ADB's fiduciary risk, and ensure that ADB's loan proceeds are used for their intended purposes, it is pertinent that ADB’s project monitoring activity includes, much needed financial management function within each executing agency/implementing agency. This assignment envisages the need of a senior level financial expert who would accompany ADB mission team and be a part of ADB mission to conduct a broad level review and be able to diagnose for corrective actions for the ADB borrower/executing agency. Relevant inputs provided by the senior level expert would be considered for inclusions in mission aide memoire. Detailed Tasks and/or Expected Output In order to diagnose for corrective actions, the expert would typically require to review the existing financial management system of the executing agency who are currently administering one or many of the tranches of ADB Multi-tranche financing facility (MFF) projects or any ADB assisted projects. The outputs of the consultant would be considered towards capacity building of the executing agency on financial management systems. Typically, the expert would need to review the following in ADB’s project review missions or special project administration missions or midterm review missions undertaken by ADB staff led by a ADB mission team leader:

a) Review the accounting system, budgetary system, relevant internal controls, and audit aspects of the borrower and executing agencies, as well as the commercial banking system that handles import and export business through letters of credit or other valid instruments;

b) Advise executing agencies on their financial and accounting problems, assist them in providing recommendations as appropriate to install adequate measures to mitigate recurring problems.

c) Study the overall working environment to specifically identify challenges on existing book keeping process and recommend ways and solutions to improve the processes at executing agency / project implementation level. Solutions provided must be realistic and practical with proven demonstratable examples and should be directed in a manner, if applied, financial statements as per acceptable standards are drawn in a timely manner.

d) Review the existing financial management system by reviewing the audited project financial statements (APFS) or entity financial statements (AFS). May perform a high-level critical analysis of the APFS/AFS of the entity and provide suggestions for improvement if considered necessary on quality of external audits.

e) If necessary, accompany mission team for field visits at various locations of the project implementing units to identify bottlenecks if any on accounting processes and practices.

f) Identify cash flow difficulties if any, and provide recommendation solutions, so that sufficient funds are available in time for project implementation; and

g) Advise to executing agencies to ensure that the borrower complies with ADB’s procedures for withdrawal of loan proceeds. Assist the executing agency to Identify backlogs of disbursement claims and further help them to install a streamlined disbursement claim submission process to ADB in a timely and routine manner.

h) If requested, explain ADB’s procedures and policies on loan service payments and follow up repayment of principal and interest;

i) If necessary and requested upon, provide relevant inputs, presentations and trainings to improve financial management / accounting capability of the executing agency/implementing agency

j) Review project expenditures, and estimate whether the project can be completed within the original cost estimates (foreign and local currency);

k) Review and correlate executing agency’s financial records, quarterly progress reports with actual physical progress by corroborating with underlying documents records and explanations available at the executing agency/implementing agency to the extent possible.

l) Identify cost overruns or savings that may materialize under the project and the loan and ascertain the need to reallocate loan proceeds between categories or cancel surplus loan proceeds. Where a cost overrun (foreign and local currency) is anticipated, examine the arrangements made by the borrower to finance it; Review project progress and assess the need for reallocations if any.

m) Review progress with procurement and disbursement; and verify, based on a

comparison of ADB‘s and the executing agencie's records, the contracts awarded, and commitments and disbursements made;

n) Review, examine and verify documents pertaining to statement of expenditures (SOE) submitted under as per provisions of LDH; Any untoward observations may form the basis of suspending use of SOE procedure.

o) Review the borrower's compliance with particular loan covenants and, where there is any noncompliance or delay, discuss proposed remedial measures with the borrower (including discussions with the external auditor of the borrower or executing agency where relevant);

p) Assess the likelihood of attaining the project’s immediate development objectives as indicated in the assumptions and risks sections of the PPR;

q) Examine and assess the need to extend the loan closing date if requested upon by the executing agency during the mission. Where required, work out with the executing agency the most suitable loan closing date based on a revised implementation schedule, and advise the ADB mission team leader to form a valid decision for ADB’s basis of confirmation to the extension;

r) Immediately bring it to the attention of relevant ADB officials of significant instances of any irregularities in use of ADB funds that may come across during the ADB review missions and provide relevant inputs to assist the supervisor in drafting BTORs, Aide memoirs etc for timely reporting of mission findings.

s) Based on every review, prepare a road map document for strengthening existing financial accounting systems and on significant matters having financial implications

requiring attention of executing agency top management and ADB mission team member to be acted upon within an acceptable time frame.

t) Examine any other matter related to the project during review missions that requires ADB’s attention from FM perspective.

Minimum Qualification and Eligibility Requirements. The Consultant should have the following education and work experience:

a) Director / Associate Director level or above, associated with a reputed firm of national /international prominence.

b) Must be a Chartered Accountant (from a recognized regulatory body of having national/international prominence) or having an equivalent CPA.

c) Master / Bachelor's degree with honors in accounting or finance from a reputed university and undergraduate college will be a plus.

d) At least 13-15 years of experience in relevant auditing, financial reviews, financial accounting or management.

e) Must be familiar with proven records in Indian regulatory environment on accounting, auditing and overall governance at the Government sector including its functionality.

f) The relevant candidate having uninterrupted association with the professional firm having national/international reputed clientele from government Sector/agencies, development institutions, financial institutions carrying out large infrastructure projects financial reporting;

g) Familiarity with Externally Assisted Projects (EAP) being carried out by the Government of India and familiarity with demonstratable evidence on multilateral funding agencies like World Bank Group (WBG), Asian Development Bank (ADB), Asian Infrastructure Investment Bank (AIIB) etc., or with bilateral agencies like KfW etc - would be considered favorably.

h) Exposure into other SARD countries of ADB in the Government Sector and into the private sector in India would be an added advantage;

i) Sound and proven formal communication skills (Verbal and Written both) j) Fast learner, independent and self-motivated, also a team player

Minimum General Experience – 10 years Minimum Specific (relevant to assignment) - 7 years Regional / Country experience - Required. Deliverables:

a) Key findings to be discussed at the exit meeting with officials of executing agency and

ADB.

b) A draft high-level final report in bullet points with relevant short annexures where necessary to be incorporated in ADB’s review mission (aide memoire) document.

II. Non-Consulting Services

20. Anchor Institution to Host the Training Programs

Introduction. One anchor institution would be engaged during 2019-20 to conduct generic training programs like contract management, construction management, project management among others. Scope of Work. The anchor institution will provide the following services

(i) Provide complete logistics arrangements for the training programs which include training venue accommodating about 40 participants with audio visual equipment which would include a projector, screen, white board and flip chart, pick up and drop of participant from airport/railway station, lodging and boarding of the participants on single occupancy, trainers, lodging and boarding of the faculty, pick up and drop of faculty, co-ordination with participants for arrival and return, certificate of participation, mineral water for participants in the rooms and also conference venue, photographer who would take photos of the inaugural session (5x7size) and a group photo (8x12 size) and field visit. Accommodation and food would be provided from dinner of the day preceding the first day of the training program till breakfast on the day succeeding the last day of the training program. Furnish a report on the training program containing list of participants and feedback from the participants. ADB will pay a lump sum per person per day training fee for providing the above services.

(ii) In addition, the anchor institution will establish ADB Capacity Development Resource Center (CDRC) and staff it with personnel with initial ADB funding of $8,300 per month for 12 months. Once collaboration arrangements are stabilized, the anchor institution will make the ADB training calendar a part of their annual training calendar which will offer these programs to other agencies like state governments, Government of India and other agencies on a chargeable basis. The training fees generated from these programs would make the CDRC in the anchor institution sustainable after 12 months and ADB support would taper off by October 2019.

21. 5 National Training Institutes

Introduction. One institution per sector (transport, energy, urban, agriculture and human development) would be engaged. About 20 training programs will be conducted in these training institutions during 2019-20. About 35 staff of government agencies implementing ADB funded projects in India are likely to attend each of these programs. Scope of Work. The training institutions would provide the following services

(i) conduct 3 to 5 days training programs on topics identified by ADB; (ii) design the training modules for the program covering indicative topics

identified by ADB; (iii) submit to ADB a session plan with indicative list of resource persons; (iv) submit CVs of resource persons for conducting training programs in ADB

prescribed format; (v) provide resource persons, training material, training kit for the

participants. (vi) make all logistics arrangements for the training program including single

occupancy accommodation, food, conference room, airport/railway station transfers, among others;

(vii) ADB will pay the institution lumpsum per person per day fee for executing agency participants which will cover accommodation, food and airport transfers of executing agency participants, training material, payment to resource persons, audio-visual equipment, among others; and

(viii) Submit a report to ADB on the training programs which will include list of trainees, feedback from trainees, training material, suggestions for further improving the content and delivery of training programs, among others.

22. Event Management Agency Services

Introduction. India Resident Mission, Asian Development Bank proposes to conduct Capacity Development training programs/workshops for Government agency staff. Government agencies staff from all parts of the country would be participating in each of these programs. Conducting these programs involves arrangements which includes identifying hotels with conference room and accommodation for participants, on-site coordination, printing training material and couriering them to the venue, conference stationery, obtaining nominations from Project Directors (PDs), communication with participants, obtaining travel details and coordination, post event liquidation among others. It is proposed to engage an experienced Event Management Agency (EMA) with significant and demonstrated experience in organizing such training programs/workshops, willing to take complete responsibility for logistics and other arrangements for smooth organization of the programs. Objective. The objective of engaging an EMA is to provide professional logistics support for smooth conduct of training programs/workshops. Staffing Requirement. The EMA will depute two experienced staff for the assignment. They will be designated as Project Assistants. Both staff will work full time five days a week (Monday to Friday) from 9:00 am to 5:30 pm and will handle all the logistics support for organizing programs/workshops. Following tasks will be performed by EMA staff: Detailed Tasks:

(i) Obtaining quotations from hotels, preparing comparative statement of these quotations and cost estimates;

(ii) Preparing draft contracts with hotels in ADB prescribed format under guidance from designated ADB staff;

(iii) Arranging training stationery i.e. pen, folder, among others. (as per sample). The stationery will be provided as needed and on specific indent from ADB for each training program/workshop;

(iv) Printing of certificates (as per sample); (v) Printing and hosting of banner/standee and sign boards at the training venue; (vi) Contacting Project Directors’ Offices to obtain nominations and ensure

nominations are filed online in Department of Economic Affairs (DEA) website "eapdea.gov.in";

(vii) Preparing fortnightly status note on nominations received and identifying projects which have not filed their nominations and follow up for obtaining nominations from these projects;

(viii) Contacting participants and obtaining their travel plans; (ix) Providing rooming lists to hotels/institutes for accommodation of participants; (x) Preparing name plates and seating plan as needed;

(xi) Obtaining attendance and feedback from participants in forms prescribed by ADB;

(xii) Coordinating with hotels/institutes for airport/railway station transfers for participants as required by ADB;

(xiii) Sending training material to various locations by reliable courier having all India delivery network;

(xiv) Printing of training material and copying of training material on pen drives, organizing them in folders and transporting of training material to conference venue;

(xv) Accounting for the training material and return of unutilized training materials to ADB;

(xvi) Traveling to training venue and do complete onsite coordination during the training program as needed and advised by ADB;

(xvii) Preparing instruction to participants/welcome letter as per standardized form and communicate the same to participants, Project Directors, among others;

(xviii) Compiling list of participants and obtaining feedback from participants at the end of each program among others;

(xix) Providing detailed statement of expenditure and liquidation claims in a format prescribed by ADB for payment to various vendors within 10 days of completion of the training program;

(xx) Expenditure related to resource persons/speakers is sometimes met from ADB funds. In such cases, obtaining flight options, issue of air/ train tickets through INRM travel agency, booking of hotels for accommodation, distribution of honorarium, obtaining of receipts for allowances paid, boarding passes, among others should be done by EMA staff;

(xxi) Payment to resource persons based on invitation letters and obtain receipts among others; and

(xxii) Any other training program related work entrusted by designated ADB staff
