II. Please ensure that all documents are fully authenticated by the Authorized Signatory under his/her signature with office seal

III. Bid should be submitted in two parts in separate covers:-- PART-I TECHNICAL BID Containing the following

1. Certificate of Incorporation 2. Articles/Memorandum of Association or Partnership deed as the case may be 3. Current valid Registration Certificate of the firm from Department of Labour, ESIC, EPF, etc 4. Should possess valid registration/license from the appropriate labour authority 5. Proof of two years experience in supplying Semi /Unskilled services of temporary nature

from at least two reputed organizations along with a copy of the Satisfactory Performance certificate from the current employer not below the rank of DGM.

6. Bid Security in the form of DD for the amount specified. 7. Notarized Power of attorney for authorized signatory. The Power of Attorney should be

specific to this tender. 8. Bid document signed by the authorized signatory in all the pages for having read and

understood all the terms and conditions of the Tender document. 9. Annual Reports of past two years in the case of Limited Company and Profit and Loss

Account and Balance Sheet for three years in the case of partnership/proprietary firms. 10. Certificate of near relative in BSNL as per Section VII 11. A separate DD for Rs.1145/- towards cost of Tender document if the Tender document is

downloaded from the website. 12. Current Service Tax Registration certificate. If payment of service tax is exempted, copy of

the exemption certificate should be attached. 13. An undertaking to the effect that the bidder will comply with all statutory obligations like payment of

Minimum Wages, recovery and remittance of EPF, ESI, service tax promptly and any to indemnify BSNL against any loss.

14. Yearly EPF return for the previous years (Minimum two years) along with the remittance chalans duly sealed by the bank.

15. Half yearly ESI return for the previous year (Minimum one year) along with the remittance chalans.

16. All these returns should be duly acknowledged by the authorities concerned. Returns without due acknowledgement will not be considered. Similarly all remittance chalans should contain bank stamps.

17. Half yearly Service TAX return for the previous year (Minimum one year) along with the remittance chalans. Bid Security shall be in the form of a demand draft for an amount of Rs.63,500/- (Rupees Sixty three thousand Five hundred only) drawn in the name of AO, BSNL STP, Bangalore. The Bid Security will not carry any interest. Technical Bid

consisting of above documents and Bid security shall be put inside one larger cover duly Sealed and marked “Technical Bid”

PART – II FINANCIAL BID 1. Financial Bid containing the Price Schedule for the schedule of works has to be put into a separate

cover duly Sealed and marked “FINANCIAL BID” 2. Both the covers containing Technical & Financial bids should be put into a larger cloth pasted /

good quality cover properly wax sealed and addressed to Divisional Engineer Telecom, optical Fibre Project, M/W Station Compound, Vijaypur-586101 can be sent either by Regd. Post/Speed Post/Courier or dropped in the Tender Box kept in the above address well before the last date & time. BSNL will not take any responsibility towards delay in Postal/Courier service.

SECTION - II

INSTRUCTIONS TO BIDDERS

The Tenderer must carefully read all the terms, conditions and specifications before filling up the Tender schedule and quotation. The Tenderers are requested to get well acquainted with the Tender conditions and the Guidelines mentioned hereunder. Such of those Tenderers who cannot read English may get the Tender documents translated in the language known to them, at their own risk and understand the conditions.

1. Definitions:

„Purchaser means Bharat Sanchar Nigam Limited, H.C. Mathur Lane, Janpath, New Delhi – 110001 and its units functioning at all over India. „Bidder means the individual or companies who participate in this Tender and submits its bid. „Service Provider means the individual or company providing semiskilled & unskilled services. Goods means all items, equipments, machinery and/or materials/services which the Service Provider is required to supply to the purchaser under the contract. „Advance Work Order means the order placed by the purchaser on the service provider signed by BSNL intimating the intention of BSNL for placing the Work order on the service provider . This will contain the condition of the contract to be complied with by the service provider. „Work Order means the final work order placed on the Service Provider by BSNL which is equivalent to the contract executed between the Service Provider and BSNL containing all the conditions of the contract. „Contract Price means the price payable to the Service Provider under the work order by the BSNL for the full and proper performance of the contractual obligations between the supplier and the BSNL.

2. Eligible Bidders:

1. Eligible bidders should be Indian companies having two years experience in providing semiskilled and unskilled services. Proof for satisfactory performance of the above should be furnished from the current firms who are being provided with the semiskilled and unskilled services.

2. The bidder should have an annual turn over of Rs.5 Lakhs or above in the past two years.

3. None of the near relatives of the bidder should be working in any BSNL Unit. Certificate to that effect is required to be given by the bidder.

4. The prospective bidder should be currently executing at least two contracts of similar type of work on the date of Tender opening. The bidder shall submit proof for having satisfactorily executed similar work as above from the existing employer not below the rank of DGM.

5. The bidder should have registered himself/company from the appropriate authority for providing semi skilled and unskilled services of temporary nature and a copy of the current registration certificate shall be enclosed

6. The bidder should have registered with all statutory authorities like labour, EPF, service tax, ESI etc. and submit the proof for the same along with the bid.

3. Cost of Bidding

Bidders shall bear all costs associated with the preparation and submission of the bid. The Purchaser will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process.

4. The Bid Documents

Documents Required, Goods required to be supplied; bidding procedure and other terms and conditions are prescribed in the Bid Documents.

The Bid Documents include: Notice Inviting Tender

Instructions to Bidder General Conditions of Contract Special Conditions of Contract Scope of work for semiskilled and unskilled services Price Schedule for semiskilled and unskilled services Bid Security in the form of DD/Bankers pay order for the amount specified Performance Security Bond Form Letter of authorization to attend Bid opening

Bidders are expected to examine all instructions, forms, terms and conditions in the Bid documents. Failure to furnish all information required as per the Bid documents or submission of bids not substantially responsive to the Bid documents in every respect will be at the bidder‟ s risk and may result in rejection of the bid.

5. CLARIFICATION OF BID DOCUMENTS a. Bidders requiring any clarification on the Bid Documents shall notify the

Purchaser in writing or by FAX at the Purchasers mailing address indicated in the invitation of Bid. The Purchaser shall respond in writing to any request for the clarification of the Bid Documents which it receives not later than 7 days prior to the date of opening the Tenders. Copies of the clarification sought for by the bidders and clarifications by the Purchaser shall be sent to all the prospective bidders who have received the bid documents.

b. The clarifications made as above shall form part of the Bid document and will be treated as amendment to the Bid document. These clarifications will also be made available in the web site and bidders who have down loaded Bid document from internet are to submit the bid document accordingly after taking into account all the clarifications issued.

6. AMENDMENT OF BID DOCUMENTS 1. At any time prior to the date of submission of Bids, the Purchaser may, for any

reason, whether on his own initiative or in response to any clarification received from a bidder, modify bid documents by amendments.

2. The amendments made shall be notified in writing or by FAX to all prospective bidders at the address intimated at the time of purchase of Tender document and these amendments will be binding on them.

3. In order to afford prospective bidders a reasonable time to take the amendment into account in preparing their bids, the purchaser may, at his discretion, extend the deadline for the submission of bids suitably. Any amendment to the Bid document shall also be uploaded in the web site as and when it is made.

4. Bidders who download the Bid document through internet are to take care of these amendments while submitting their bids.

7. DOCUMENTS COMPRISING THE BID

The Bid prepared by the bidder shall comprise the following components : 1. Documentary evidences in accordance with Clause 2 and 9 that the bidder is

eligible and is qualified to perform the contract if his bid is accepted. 2. Bid Security furnished in accordance with Clause 10. 3. Bid Form and Price Schedule completed in accordance with Section-XI &

Section-VI. BID PRICES

8. 1. Basic Price to be quoted for semiskilled and unskilled services shall not be less than

the Minimum wages as per the Central Government Order No.1/17(3)/2014- LS-II Dated 29.09.2014.

Note :The rate should be quoted for Service Charges only whereas all rates will be applicable as per Government orders issued from time to time.

2. The Bidder will quote the rate only in English both in figures as well as in words,

in section-VI enclosed, and not in any other form. The rates quoted in words will have precedence over the rates quoted in figures. If the rates are not quoted in words, the tender is liable to be rejected. All over writings/ erasing should be duly attested otherwise the tender is liable for rejection.

3. In the case of illiterate agencies, witnesses should attest the rates tendered by agencies. The rates quoted in words will be taken as correct and not the rates shown in figures in case these two rates do not tally.

4. All the statutory obligations like payment of Minimum Wages, ESI, EPF ,service tax etc are to be complied with by the bidder and BSNL will not be responsible for any deviation and the vendor has to indemnify BSNL against any loss on account of such deviations.

5. The service tax will be paid at the existing prevailing rate if claimed by the bidder. If the bidder is exempted from levying service tax an undertaking is to be submitted to that effect at the time of submission of bid. Proof of Turnover is to be submitted for the exemption at the time of submission of the bid. It is the responsibility of the vendor to pay the service tax as and when he exceeds the ceiling limit. Vendor has to specifically give an undertaking for this. If the quoted rate is without service tax and service tax is payable later, the same will be paid by BSNL at the prevailing rate.

6. The agency should ensure deployment of services as per works order without fail. If the deployment of semiskilled and unskilled services is reduced on any day, the same will be treated as deficiency of duty and penal charges levied as per the contract or as may be decided by the DET. OFP. Vijaypur, which will be final and binding one. It is mandatory that the works carried out by semiskilled and unskilled services should confirm to the schedule of works and any deviation or failure to carry out any assigned works will lead to dereliction of duty and will be dealt accordingly.

7. Bidder, on successful award of contract, will be paid the total amount indicated in the price schedule plus service tax if applicable.

8. The bid evaluation will be made as per the price quoted by the bidder in the price schedule Section-VI.

9. DOCUMENTS ESTABLISHING BIDDER’S ELIGIBILITY AND QUALIFICATION

1. Certificate of Incorporation / Registration 2. Articles/Memorandum of Association or Partnership deed as the case may be 3. Current Registration Certificate from Department of Labour, ESIC, EPF,

Service Tax etc. 4. Proof of two years experience in providing semiskilled and unskilled services of

temporary nature in at least two reputed organizations along with a copy of the satisfactory Performance Certificate from the current employers not below the rank of DGM.

5. Bid Security in the form of DD / Banker s Pay order for the amount specified. 6. Notarized Power of attorney for authorized signatory. Power of Attorney shall be

specific to this tender. 7. Bid document signed by the authorized signatory in all the pages for having read

and understood all the terms and conditions of the Tender document. 8. Annual Reports of past three years in the case of Limited Company and Profit

and Loss Account and Balance Sheet for three years in the case of partnership/proprietary firms.

9. Certificate of near relative in BSNL as per Section-VII 10. A separate DD for Rs.1145/- towards cost of Tender document if the Tender

document is downloaded from the website. 11. A certificate from the current employer about the satisfactory performance by the

vendor. 12. Copy of the current Service Tax Registration Certificate. If the company is

13. The bidder shall submit copy of the Registration Certificate from appropriate authority for the Tendered item.

14. An undertaking regarding service tax as per clause 8.5 of Section II of the Tender document.

15. Proof of Turnover for the last year to be submitted. 16. An undertaking to the effect that the bidder will comply with all statutory

obligations like payment of minimum wages, recovery and remittance of EPF, ESI, service tax promptly and any to indemnify BSNL against any loss.

17. Yearly EPF return for the previous years (minimum two years) along with the remittance chalans duly sealed by the bank and acknowledged by the Govt. Agency concerned.

18. Half yearly ESI return for the previous year (minimum one year) along with the remittance chalans. All these returns should be duly acknowledged by the authorities concerned. 19. Half yearly Service TAX return for the previous year (minimum one year) along with the remittance chalans.

10. BID SECURITY

1. The Bidder shall furnish, as part of his bid, a Bid Security for an amount of Rs.63,500/- (Rupees Sixty three thousand Five hundred only) and should be enclosed along with the Bid document.

2. The Bid Security is required to protect the purchaser against the risk of bidders conduct, which would warrant forfeiture of Bid Security pursuant to Clause-10.7.

3. The Bid Security shall be in the form of Demand Draft / Bankers Pay order drawn in

favour of A.O, BSNL, STP, Bangalore and payable at Bangalore from any Nationalized Bank. Bid security will not carry any interest. The date of issue of the Bankers Pay Order/Demand Draft so deposited shall be a date on or after the date of issue of this tender notification

4. A Bid (Tender) not accompanied by the Bid Security shall be rejected by the Purchaser being non-responsive at the bid opening stage itself.

5. The Bid Security of the unsuccessful bidders will be discharged/returned as promptly as possible but not later than 30 days after expiry of the bid validity period prescribed by the purchaser pursuant to clause 11.1, on submission of separate pre receipt form prescribed on Section-VIII.

6. The successful bidder‟ s Bid Security will be discharged upon the bidder‟ s acceptance of the contract and furnishing of Performance Bank Guarantee.

7. Bid Security will be forfeited: a. If the bidder withdraws his bid after the bids have been opened. b. If the bidder fails to enter into a contract for the work after accepting the offer of work. c. If the bidder fails to furnish Performance Bank Guarantee in accordance with Clause

3 of section-III.

11. PERIOD OF VALIDITY OF BID

1. Bid shall remain valid for 150 days from the date of opening of bids prescribed by

the Purchaser pursuant to clause 14.1. A bid valid for a short period shall be rejected by the Purchaser being non-responsive.

2. In exceptional circumstances, the purchaser may request the consent of the bidder for an extension to the period of bid validity. The request and the response thereto shall be made in writing. The bid security provided shall also be suitably extended. The bidder may refuse the request without forfeiting his bid security. A bidder accepting the request and granting extension will not be permitted to modify his bid.

12. SUBMISSION OF BIDS

1. The Bid complete in all aspects should be submitted in a sealed cover. The Technical and Financial bids will be placed in this sealed cover along with the Bid Security.

2. The Bidder shall certify and affix his signature on each and every page of the tender document, and return it along with his tender offer, as a token of his acceptance of each condition specified on each page of the tender document. If the tender is not duly signed, or is deficient or is incomplete in any of the requisite matters or particulars or formalities, it will be rejected summarily.

3. Partnership firms shall furnish the full names and addresses of all the partners signed by the duly authorized representative followed by the name and designation of the person signing. In case authorized representative signs it, a duly certified copy of the “Power of Attorney“ on that behalf shall accompany the tender. In case of the partnership firm, attested true copy of the “Partnership deed” and NOC from partners must be submitted along with the tender.

4. All pages of all sections of the tender documents shall be signed wherever required in the Tender papers by the Tenderer or a person holding “Power of Attorney “ authorizing him to sign on behalf of the Tenderer, before submission of the Tender. 6. The Tender (Bid) shall bear the Tender reference number and inscription “TENDER FOR PROVIDING SEMI-SKILLED & UNSKILLED SERVICES OF TEMPORARY NATURE - DO NOT OPEN BEFORE “ DUE DATE AND TIME”.

7. Tender may be sent by Registered Post/Courier/Speed Post or in person at the address mentioned above. The responsibility for ensuring the timely delivery of Bids rests with the bidder.

8. If the Covers are not wax sealed as indicated above the bids shall be rejected. 9. Bids must be delivered at the purchaser address not later than 13:00 hrs on due date. 10. Purchaser may, at his discretion, extend the deadline for submission of Bids by

amending the Bid document. 11. Any bid received by the purchaser after the deadline for submission of bids

prescribed by the purchaser shall be rejected and returned unopened to the bidder. 12. In the event of tender document being downloaded from the web site a declaration in

the following proforma has to be submitted along with the Bid document: “ I (authorized signatory) hereby declare that the Tender document submitted has been downloaded from the web site http://.www.tender.bsnl.co.in and no addition/deletion/correction has been made in the proforma downloaded. I also declare that I have enclosed a DD for Rs.1145/-towards the cost of Tender document along with this bid.”

13. The Tenderers will be bound by all terms, conditions and specifications detailed in this tender document. No communication from the Tenderer in the form of any clarification or information or document lost sight of in the original tender etc. will be given any consideration unless any such clarification has been sought for by BSNL. The Tenderer shall not have any right to modify the conditions or specifications contained in the Tender document on any occasions. Any tender submitted with conditions other than those specified in the tender document will be summarily rejected.

14. Tenderer should not submit the tender document to the Divisional Engineer or to any other staff working in the office. Any Tenderer, who likes to deliver the tender in person shall deposit the tender in the prescribed tender box kept in the Office. If a Tenderer is not allowed to deliver his tender document by any agency, the tenderer shall lodge a Police complaint immediately, under intimation to the BSNL officer concerned.

15. The Slit of tender box will be sealed immediately after the specified time as per the timings of the office clock for receipt of tender. Any tender presented in person by any Tenderer or his representative after the tender box is sealed will not be received at all. Any attempt to forcibly deposit the tender after the sealing of the tender box will attract action as per the law.

13. MODIFICATION AND WITHDRAWAL OF BIDS

1. The Bidder may modify or withdraw his bid after submission provided that the written

notice of the modification or withdrawal is received by the purchaser prior to the deadline prescribed for submission of bid.

2. The Bidder‟ s modification or withdrawal notice shall be prepared, sealed, marked and dispatched as required in the case of submission of bids.

14. BID OPENING

1. Purchaser shall open bids in the presence of available bidders or their authorized

representatives who chose to attend at 14:30 hrs on 10.02.2015. Authority letter for attending the bid opening shall be produced by the biddes representatives or bidder before they are allowed to attend the bid opening. Bidders or their representatives who are present will sign an attendance register. Without authorization letter neither bidder s representatives nor bidders will be allowed for bid opening.

2. A maximum of two representatives of any bidder shall be authorized and permitted to attend the bid opening.

3. Bidders name, bid price, modifications, withdrawals and such other detail, as deemed fit by the Chairman of the Tender evaluation committee, will be notified.

4. The date for opening of bids, if subsequently declared as holiday by BSNL, the revised date will be notified separately. However, in the absence of such notification, the bids will be opened on the next working day, time and venue remaining unaltered.

5. BSNL is not bound to accept the lowest tender and reserves the right to reject any or all tenders without assigning any reason what so ever.

6. BSNL reserves the right to postpone the date of opening of tender or to cancel the tender notice in writing. Any request from tenderers to postpone or to change the date of opening of the tender due to any reason whatsoever shall not be considered.

15. BID EVALUATION

1. Prior to the detailed evaluation of Technical and Financial bids the purchaser will

determine the substantial responsiveness of each bid to the Bid document. Substantially responsive bid is one which conforms to all the terms and conditions of bid document without material deviation. The purchasers determination of bidders responsiveness shall be based on the contents of the bid itself without recourse to extrinsic evidence.

2. A bid determined as substantially non-responsive will be rejected by the

purchaser and shall not subsequent to the bid opening be made responsive by the bidder by correction of the non-conformity. However the purchaser may waive any minor infirmity or non-conformity or irregularity in a bid which does not constitute a material deviation, provided such waiver does not prejudice or effect the relative ranking of any bidder.

3. Arithmetic discrepancy in the Financial bid shall be rectified in the following

manner. If there is discrepancy between the unit price and total price that is obtained by multiplying the unit price and the quantity, the unit price shall prevail and the total price shall be corrected by the purchaser accordingly. If there is discrepancy between the words and figures, the amount in words shall prevail. The decision of BSNL is final in this regard and the bid will be rejected if the bidder does not agree to the decision in this regard. All corrections / over writings should be attested by the authorized signatory otherwise the bid is liable for rejection with out seeking any clarification in this regard.

4. While previous experience of doing similar works will be given due considerations in finalizing the tender, it will be the discretion of the BSNL to award the work to any Tenderer / Registered Agency who has only marginal experience during the previous years, if the BSNL is satisfied with the capacity and resources of such Tenderer / Registered Agency to execute such works. The decision of the BSNL in this regard will be final and the same will not be questionable.

16. CONTACTING THE PURCHASER

1. Subject to clause 5, no bidder shall try to influence the purchaser on any matter relating to his bid from the time of bid opening till the time of award of contract. Any effort by any bidder to modify his bid or influence the bid process shall result in rejection of his bid without any notice. The decision of BSNL will be final in this regard.

2. Any attempt for negotiation direct or indirect on the part of the Tenderer with the authority to whom he has submitted the tender or any other officer finally to accept it after he has submitted his tender or endeavors to secure interest for actual or prospective tender or to influence by any means the acceptance of the particular tender will render the tender liable to be excluded from consideration and the tenderer will be BLACK-LISTED and will not be allowed to participate in any tender for a period of two years.

17. PLACEMENT OF ORDER

1. Purchaser shall consider placement of orders on those bidder whose technical and financial bid has been successfully considered and decided as L1. However the purchaser reserves the right to call for the successful bidder for negotiation and counter offer price which he considers as reasonable and just.

18. PURCHASER’S RIGHT TO ACCEPT OR REJECT ANY BID 1. Purchaser reserves his right to accept or reject any bid and to annul the bidding process and reject all or any bid at any time prior to award of contract without assigning any reason whatsoever.

19. ADVANCE WORK ORDER

1. The BSNL will issue an Advance Work Order which constitutes the intention of the purchaser to enter into contract with the bidder. 2. The bidder shall within 7 days of issue of the Advance Work order, give his Acceptance along with Performance Bank Guarantee in conformity with Clause 3 of Section-III and also submit the Agreement form as per Section X duly completed in all aspects.

20. SIGNING OF CONTRACT

1. Issue of Firm Work Order by BSNL shall constitute the award of contract on the bidder. 21. ANNULMENT OF AWARD

1. Failure of the successful bidder to comply with the requirement of clause 20 shall constitute sufficient ground for the annulment of the contract and the forfeiture of the Bid Security in which event the BSNL may award the contract to any other bidder at his discretion or call for new Tender.

22. QUALITY ASSURANCE REQUIREMENTS

The Bidder shall have Quality Management System supported and evidenced by the following:

A quality policy. No compromise will be made on the quality of the work required to be carried out as per the schedule of works.

A Management representative/ Supervisor with authority and responsibility for fulfilling QA requirements and for interfacing with BSNL in the matters of quality of the work done under this contract.

23. SERVING OF NOTICE:

Any Notice, order or other communication sought to be served on the Tenderer with reference to the service shall be deemed to have been served if delivered by hand or sent by registered post to the office or Head-Office of the Tenderer, while any notice or order or communication by the Tenderer to be served on BSNL with reference to the agreements shall be valid, if delivered the same by hand under acknowledgement or through registered post to the respective office.

24. REJECTION OF BIDS

While all the conditions specified in the Bid Document are critical and are to be complied with, special attention of bidder is invited to the following clauses of the bid documents, the non-compliance of any one of which shall result in out right rejection of bid.

1. Clause-12 of Section-II : The Bids will be returned unopened if covers containing the Bid documents are not properly wax sealed with the personal seal of bidder.

2. Clause 10.4 of Section-II : Bids will be rejected at opening stage itself if Bid Security is not submitted along with the Bid document.

3. Clause 11.1 of Section-II : Bids will be rejected if the Bid Validity is less than the period prescribed.

4. Clause 9 of Section-II : if the eligibility condition is not met and/or if documents prescribed to establish the eligibility is not submitted while submitting the bid.

5. If prices are not filled properly in the Price Schedule Section VI. 6. If the Near relative certificate of BSNL is not submitted by the bidder. 7. If the corrections/over-writing/errors in the tender document/price schedule are

not attested by the authorized person, the tender will be rejected summarily. 8. Any or all the tenders received may be rejected without assigning any reason

thereof and BSNL will not be bound to accept the lowest tender. 9. Any tender/offer with changes/alternations in the terms or conditions or

instructions or specifications or time schedule other than contained in the tender document is liable for rejection.

10. Conditional Tender offers will be rejected.

11. Service Charges quoted should be reasonable and justifiable. Also, Service charges should NOT be quoted as Zero. Bids quoting Zero amount as service charge are liable for rejection.

SECTION III

GENERAL CONDITIONS OF CONTRACT 1. APPLICATION

1. The general conditions of this Section will supplement the Instructions to the Bidders, Terms and conditions in Section II and wherever there is a conflict of, the provisions herein shall prevail over those in Section II.

2. AGREEMENT 1. An Agreement as per Section X shall have to be executed by the bidder within 7 days

from the communication of the award of the contract on Rs.200/- non judicial stamp paper. The cost of the stamp paper shall be borne by the bidder.

2. Submission of the Tender document duly signed on all pages shall bind the bidder to all the terms and conditions of this Tender document and as well as the Agreement to be signed by him.

3. A copy of the complete set of this Tender document shall also become enclosure to the agreement as an annexure.

3. PERFORMANCE SECURITY 1. The Service Provider shall furnish Performance Security to the purchaser for an amount

equivalent to 5% of the total contractual amount for semiskilled and unskilled services within 7 days from the date of issue of Advance Work order.

2. The proceeds of the above Performance Security shall be payable to the BSNL as compensation for any loss resulting from the Service Providers failure to complete his obligation under the contract.

3. The Performance Security shall be in the form of Bank Guarantee issued by any Nationalized bank and in the form and style provided in Section-XII of this Bid document.

4. The Performance Security will be discharged by the BSNL after completion of the suppliers performance obligation including any warranty obligation under the contract.

5. The Validity of the Performance Security will be for a period of 18 months from the date of AWO.

6. The Performance Security paid either by cash or DD will not carry any interest and will be returned on satisfactory completion of the contracted work.

7. In case of breach of any terms and condition of this Tender conditions or failure to comply with the work order, the Performance Security is liable to be forfeited by the purchaser.

4. DURATION OF THE CONTRACT

1. The contract will be initially valid for a period of ONE year extendable for a further period not exceeding TWO years.

2. In order to evaluate performance and service, the contract will include a probationary period of THREE months. During these probationary period, if the performance is not satisfactory and also it has come to the knowledge of BSNL that the agency is not scrupulously following Minimum Wages act EPF, ESI acts and other statutory obligations, the contract will be terminated forthwith with out any prior notice apart from blacklisting the agency and forfeiting the performance security amount and the same will be communicated to the appropriate labour authority for further action. If the performance is found to be satisfactory the contract will continue for the remaining 9 months, otherwise the contract will be terminated.

3. The Contract may be extended for further two years after completion of the initial contract period of one year on mutual agreement based on the performance. The total charges per service (including the wages and cost margin quoted by contractor) will remain same throughout the contract period. . The extension of the contract for two years will be done on year to year basis purel based on the performance of the previous year.

4. When the contract period is over as per the clause above, the contractor is to extend

his period of contract up to a period of three months at the existing approved rate, if asked for by BSNL.

5 TIMINGS 1. The contractor has to arrange for carrying out semi skilled services of temporary nature

between 10:00Hrs and 18:00Hrs on all days except Sundays and Holidays. 2. The contract workers are to be instructed suitably to adhere to the above timings and if

there is any deviation in observing the timings, the same will be treated as dereliction of duty and will lead to levy of penalty.

3. The Daily Services as mentioned in the Schedule of Works should be completed before 9.30Hrs. on all days and if there is any delay in carrying out the service on more than two occasions in a week the same will be treated as deficiency in service and will be dealt accordingly. Toilets should be cleaned thrice daily, first before 10:00Hrs, second around 12:30Hrs and the third at 15:30Hrs. No daily service need be done on Sundays and Holidays.

4. All the Weekly Services mentioned in the Schedule of Works should be carried out on Sundays only.

5. All the Monthly services should be carried out between 10:00Hrs to 18:00Hrs on all days except Sundays and Holidays.

6. Quarterly services should be competed before the first fortnight of the first month of the quarter along with Monthly service day.

6 PAYMENT TERMS

1. Payment for providing semiskilled and unskilled services will be made monthly on the following month after due submission of claim bill from the Service Provider along with an advance stamped receipt.

2. The company should prepare separate monthly bills as per clause 4 and submit the claims separately to the concerned paying authority for effecting the payment.

3. Payment will be made by RTGS/NEFT after due deduction of statutory levies like income tax, service tax etc.

c) Amount of EPF/ESI contribution (both employee and employer) deducted and

remitted for the month for which the claim is made. d) Copies of authenticated documents of payments of such contribution to

EPF/ESIC etc. to enable this office to verify the same from the PF and ESI organizations.

e) A declaration from the company regarding compliance of the conditions of the EPF and Misc. Provisions Act 1952, Minimum Wages act and other statutory regulations.

f) Service Tax registration number.

g) Monthly Service Tax Payment Declaration, GPF & ESIC remittances.

h) Proof of payment of service tax, EPF & ESIC for the previous payment

raised from BSNL. If no proof is submitted, the payments made on these items on the previous claim will be withheld from the current payment and will be released on production of proof of payment.

i) Copy of the salary slips issued to the workers / acquaintance roll. j) Copy of the Wage register containing the payment details of the contract

workers with proper acquaintance by the workers for the payment received by them in respect of the works carried out by them in this office under the contract.

k) The payment to workers deployed for carrying out unskilled services in this office

will have to be made only in the presence of the authorized representative of BSNL who will certify at the end of entries of wage Register every month.

7. PRICES

1. Prices charged by the service provider for the services rendered under the contract

shall not be higher than the prices quoted by the Service Provider in his bid.

2. a) Prices will be fixed at the time of issue of Work order as per taxes and statutory

duties applicable at that time. b) In case of reduction of taxes and other statutory duties during the scheduled period, BSNL shall take the benefit of decrease in these taxes/duties for the services made from the date of enactment of revised duties/taxes. c) In case of increase in duties/taxes during the contract period by appropriate authority, BSNL shall revise the prices as per new duties/taxes during the remaining period as per terms and conditions of the Work Order. d) The bidder has to quote his price excluding service tax. Service tax prevailing on the date of Bid opening will be paid by BSNL if the same is claimed by the bidder in his invoice.

8. SUB-CONTRACT

1. The supplier shall not subcontract the work entrusted to him. 9. DELAY OR SHORTCOMINGS IN SUPPLIER’S PERFORMANCE

1. Supplier should perform the contracted work in accordance with the time schedule and the details as indicated in the Schedule of work to the purchaser satisfaction.

2. Deficiencies/ shortcomings in the execution of contracted work when pointed out should be

rectified immediately to the satisfaction of the purchaser and even after proper notice of such occurrences if the deficiencies are not rectified penalty will be levied by the BSNL The quantum of penalty will be decided by the BSNL and his decision will be final.

3. If the deficiencies continue to persist even after issue of two written notices, the contract will be closed without any prior notice and the contractor will be black-listed and he will not be permitted to participate in the tender of this office for a period of two years and the Performance security will be forfeited.

4. If at any time during the performance of the contract, the Service Provider encounters

conditions impeding the due performance of his contract, the same shall be brought to the notice of the BSNL immediately and the BSNL will rectify all impediments so that the performance of the supplier is not hindered.

5. If in view of the nominated officer of BSNL that the work carried out by the workers is

not satisfactory a fine equal to 1% of the monthly rate for each day of defective work shall be levied.

10. ARBITRATION 1. In the event of any dispute or differences arising under the agreement the

same shall be referred to the sole arbitration of the Dy.General Manager, Optical Fibre Project, BSNL, Hubli – 23.

2. The venue of the arbitration shall be the office of Divisional Engineer Telecom Optical Fibre Projects, Vijaypur or such other place as the arbitrator decides.

11. SET OFF

1. Any sum of money due and payable to the service provider under this contract

may be appropriated by the purchaser or BSNL or any other person(s) contracting through BSNL and set off the same against any claim of the Purchaser or BSNL or such other person or person(s) for payment of a sum of money arising out of this contract or under any other contract made by the Service Provider with the purchaser or BSNL or such other person(s) contracting through BSNL.

12 LEGAL JURISDICTION :

1. Dispute if any arising out of tender conditions shall “only” be referred to a

judicial court situated at Bangalore.

2. Dispute if any arising even after arbitration shall “only” be referred to a judicial

court situated at Hubli

SECTION – III A

SPECIAL CONDITIONS OF THE CONTRACT

1. Near relatives of employees of BSNL are not eligible to take part in the Tender. The bidder should give a certificate/undertaking in this regard that none of his/her near relative is working in any BSNL unit in which he has submitted bid. Proprietor should submit this declaration for proprietary firms, all partners should submit this declaration for partnership firms and all directors should submit a declaration in case of private or public limited company. 3. Near relative has been defined as:

Members of a Hindu Undivided Family

Spouses

The one related to the other in the manner of father, mother, sons, sons

wife, daughters, daughters husband, brother, brother s wife, sister, sisters

husband, etc.

The format of the certificate to be given is “ I son of

residing at hereby certify that none of my relatives as defined in the Tender document is/are employed in any

BSNL unit as per details given in the Tender document. In case at any stage, it is found that the information given by me is false/incorrect, BSNL shall have the absolute right to take any action as deemed fit without any prior intimation to me.”

4. No child labour will be engaged 5. The supplier should replace its staff when it is found by the nominated officer

that they are not discharging their duties well. The supplier shall be responsible for the discipline and decorum of the semiskilled and unskilled services being provided by him. He should ensure that the persons employed by them possess good character and do not indulge in wrongful practices.

6. The Supplier should provide uniforms and identity cards to its employees at his own cost. No person will be allowed to without proper uniform and identity card.

7. In case of additional requirement of semiskilled and unskilled services for shorter duration, the supplier should be in a position to supply at tendered rates. BSNL reserves the right to reduce or increase the requirement of semiskilled and unskilled services at any time during the contract period and no advance notice in this regard will be given.

8. In the event of any damage to BSNLs properties due to the negligence of the supplier or his employees, the supplier will be held responsible for the loss/damage and should reimburse the cost of loss/damage to the purchaser and recovered from the monthly claim. The decision of BSNL as to the quantum of loss/damage will be final and binding on the supplier.

9. The supplier should adequately insure against any injury/death or any eventuality for the staff to be employed by him for execution of this contract. In the event of any accident or injury or death to any of the employee of the supplier, BSNL will not be responsible for any claim, damage or compensation. The supplier should indemnify BSNL against such losses or damages.

10. The supplier shall comply with all notices required by any statute, statutory instruments, rule or order or any regulation or by a law applicable to the work and shall pay all the fees and charges in respect of the works legally recoverable from him.

11. The supplier shall comply with all the provisions of statute, laws, acts in force

which is applicable to the work to be executed through this Tender process and shall be liable to pay all sums that may become payable to their workers/employees under the minimum wages act, ESIC, EPF, service tax etc. The supplier should furnish the registration/enrollment certificate in respect of the above at the time of submission of the Tender document. If it comes to the knowledge of the BSNL that the contractor is not scrupulously adhering to the labour laws, Minimum Wages Act and other statutory regulations, his contract will be terminated forthwith with out assigning any reason apart from blacklisting the firm and forfeiting the performance security amount and other pending bills for payment of dues to the workers as well as to BSNL as per the terms and conditions of the Tender. He will not be allowed to participate in any future tenders of this office for a period of two years.

12. Copy of the written authorization of the semiskilled and unskilled services for the mode of payment to them whether by Cheque or crediting the wages in their bank account should be submitted along with the first claim bill of the contractor.

13. Copy of ESIC card issued to the contract workers and individual PF numbers allotted to them by Employees‟ Provident Fund Organization are also required to be submitted to BSNL within a period of one month from the date of awarding the contract.

14. The supplier should ensure that routine medical check ups are done for the workers in ESI dispensary and a certificate to that effect should be sent to this office periodically.

14. METHOD AND MANNER OF PERFORMANCE The registered agency shall throughout the stipulated period of the agreement execute the works in the best and most substantial workman like manner and strictly in accordance with the contract documents or such other additional particulars and instructions as may be found requisite to be given while carrying out the works, enforce order amongst his employees, shall not employ on the works any unfit person or any person not capable or not properly qualified to perform the works assigned to him. The registered agency shall also not employ in respect of the works or discontinue to employ in respect of the works any employee that the Officer-in-charge of BSNL may for any reason object to.

15. INSURANCE: Without limiting any of his other obligations or liabilities, the registered agency shall, at

his own expense take and keep comprehensive insurance for the semi skilled services

provided to BSNL. The registered agency shall arrange for workmens Compensation

Insurance as required by Law and undertake to indemnify and keep indemnified the

BSNL from against all manner of claims and demands and losses and damages and

cost (including between Attorney and Client) and charges and expenses that may be in

regard to the same or that the BSNL may suffer or incur with respect to and / or

incidental to the same. The registered agency shall have to furnish the officer in charge

of BSNL the originals/attested copies of the policies of the Insurance taken within 15

days of awarding the work order 16. LABOUR WELFARE:

In every case in which by virtue of the provision or the contract Labour (Regulation and abolition) Act 1970 and of the Contract Labour (Regulation and abolition) Central rules 1971 Govt. is obliged to pay any amount of the wages to a workman employed by the

Agency in execution of the works or to incur any expenditure in providing welfare and health

amenities required to be provided under the above said act and rules under clause 19 to 19J and PWD –8, or under the CPWD contractors Labour regulations or, the rules framed by the Government from time to time for the protection of health and sanitary arrangements for the workers employed by the CPWD agencies BSNL will recover from the agencies the amount of wages so paid or the amount of expenditure so incurred and without prejudice to the rights of the Govt. under section 20, sub-section (ii)and section 21, sub-section (4) of the said Act except on the written request of the Agency and upon his giving to the BSNL. Full security for all cost for which BSNL might become liable in contesting such claim.

The agency shall obtain a valid license under the Contract Labour (R&A)Act 1970 and the Contract Labour (R&A) Central Rules 1971 before the commencement of the work and continue to have a valid license until the completion of work. Any failure to fulfill this requirement shall attract the penal provisions of the service agreement arising out of the resultant non execution of the work. No labour below the age of eighteen years shall be employed on the work and an explicit certificate to that effect shall be provided.

17. PAYMENT OF MINIMUM RATES OF WAGES

1. The rates of wages payable to the workers by the contractor shall not be less than the rates prescribed under the minimum wages Act 1948 or any other latest act from BSNL in this regard for such employment where applicable and where the rates have been fixed by agreement settlement or award, not less than the rates so fixed.

2. Wages shall be paid without any deduction of any kind except those specified by the Central Government, by general or special order in this behalf permissible under the payment of wages Act 1936 (4 of 1936) at the rates prescribed for the place of service provided.

3. The rates of wages payable and classification of cities into areas should be fixed in accordance with the Government of India/Ministry of Labour or the modifications thereof or any other laws relating thereto and the rules made there under from time to time.

4. The contractor shall fix wage periods in respect of which wages shall be payable and should scrupulously adhere to all other labour welfare measures enunciated in various statutory acts and amendments thereof and BSNL at any point of time will not be responsible for any lapse in this regard.

18. Employer’s share of EPF / ESIC should not be deducted from the employee’s wages. 19. FORCE MAJEURE:

i. In the event of either party being rendered unable by FORCE MAJEURE to perform this service, then the obligations of the party affected by such FORCE MAJEURE shall be suspended for the whole period during which such cause lasts and until normal operations are resumed and when such cause ends, the execution of this service must be resumed with all reasonable dispatch. Should the execution of this service be suspended by FORCE MAJEURE, and then a corresponding extension of the completion date shall be automatically granted. The occurrence of a cause of force majeure, however, shall not relieve the BSNL and its obligations to make payments to the Service Agent for the work satisfactorily executed prior thereto.

ii. The term Force Majeure has employed herein shall be Act of God, war declared or undeclared, hostilities, enemy actions, revolts, riots, legal lockouts and illegal strikes, tidal waves, forest fires, major fires, explosions, earth quake, natural calamities, adverse weather, epidemics, sabotage, extra ordinary Acts and regulations of general or state Government or Municipal bodies. Upon the occurrence of such cause and its termination, the party rendered unable as aforesaid shall notify the other party in writing within 72 hours of the beginning and ending dates, giving full particulars and evidence. The Service Agent shall not be entitled to any compensation whatsoever by reason of suspension of the whole or any part of the work made necessary by the BSNL or deemed advisable on account of FORCE MAJEURE conditions.

20. EASEMENT, PERMITS, LICENCES AND OTHER FACILITIES:

i. The Awarded Agency shall obtain/provide at his own cost all

easement, permits and licenses necessary to do its work. 21. TERMINATION, OTHER THAN DUE TO THE DEFAULT OF THE SERVICE AGENT

i. The BSNL / Officer-in-charge may, at any time, at his option cancel and terminate

this service agreement by issuing one month notice stating reasons for such cancellation or termination to the service agent, in which event the service agent shall be entitled to payment for the work done up to the time of such cancellation. No compensation shall be payable to the service agent by BSNL towards hire of man-power for use in respect of the work for the remaining contract period.

ii. At any time, after the commencement of the work, if the BSNL shall not require

the whole work or part thereof to be carried out as specified in the service agreement, for any reasons whatsoever, the officer-in-charge shall give notice in writing of the facts to the service agent, who shall have no claim to any payment of compensation whatsoever on account of any profit or advantage which he might have derived from the execution of the work in full, but which he did not derive in consequence of the full amount of the work not having been carried out, neither shall he have any claim for compensation by reasons of any alterations having been made in the original specifications and instructions which shall involve any curtailment of the work as originally contemplated.

iii. In the event of the termination of the current service agreement, the service

agent shall forthwith clear the site and handover possession of the work/operation concerned to the BSNL or as the BSNL may direct, including the materials supplied by the BSNL vide relevant clause, contained in this section of the service agreement.

iv. The officer-in-charge may, at his option, cancel or omit the execution of one,

more or all items of work under this service agreement, and any part of such item(s) without any compensation whatsoever to the service agent by giving due notice in writing stating reasons therefore. The action of the officer-in-charge as per the aforesaid clauses, contained in this section of the service agreement shall not be construed as Breach of the service agreement.

22. DEMISE OF THE SERVICEAGENT BEFORE FULFILLING THE SERVICEAGREEMENT

i. Without prejudice to any of the rights or remedies under this service agreement,

if the service agent dies, the officer-in-charge on behalf of the BSNL shall have the option of terminating the service agreement without forfeiting the security deposit and without any compensation for the service agent, which does not amount to Breach of service agreement. Any amount payable to the BSNL under this service agreement shall be recoverable from any payment due to him or from the security deposit submitted by him.

ii. Service Agents legal heirs/representatives shall not without the consent in

writing of the Officer-in-Charge, have the right to continue to perform the duties or engagements of the Service Agent or under the service, in case of his death. In all cases proof of death and other relevant documents to this effect shall be submitted to the Officer-in-Charge.

23. BREACH OF SERVICE:

i. The breach of service is the failure or refusal to perform it. Any

breach of service attracts an immediate cause of action and a right to damages as compensation for loss follows from the breach of service. A breach occurs where a party to the service repudiates or fails to perform one or more of the obligations imposed upon by the service.

ii. The failure to perform may take place when the time for

performance has arrived or even before that. Thus, the “Breach of Service” mentioned above covers the Anticipatory Breach and the Present Breach.

iii. The Officer-in-Charge may without prejudice to his right against

the Service Agent in respect of any delay or inferior workmanship or otherwise or to any claims /damages in respect of the service and without prejudice to any rights or remedies under any of the provisions of this service or otherwise and whether the date for completion has or has not elapsed by notice in writing absolutely determine the service in any of the following cases:

a) If the Service Agent fails to commence the work as specified in the Letter of Intent or Work Order after entering into the Agreement for the work.

b) If the Service Agent having been given by the Officer-in-Charge a notice in writing to rectify, reconstruct or replace any defective work or that the work is being performed in any inefficient or otherwise improper or un-workman like manner shall omit to comply with the requirements of such notice immediately.

c) If the Service Agent shall delay or suspend the execution of the work so that either in the judgment of the Officer-in-Charge (which shall be final and binding) he will be unable to secure completion of the work by the date for completion or he has already failed to complete the work by that date.

d) If the Service Agent being adjudged insolvent, or going voluntarily into liquidation or having received order under insolvency act made against him, or in the case of company, shall pass a resolution, or the court shall make an order that the company shall be wound up, or if a receiver or a manager on behalf of a creditor shall be appointed, or if circumstances shall arise which entitle the court or creditor to appoint a receiver or a manager, or which entitle the court to make a winding up order.

e) If the Service Agent is a Retired Officer of Gazetted rank or other Gazetted Officer

employed in an Engineering Department of Government of India and entering as Service Agent within a period of TWO YEARS of his retirement from Government Service, such person should obtain prior permission from the Government of India.

f) The Service Agent should not be a near relative of an Officer or Employee of the BSNL of Telecom. By the terms NEAR RELATIVES is meant Wife, Husband, Parents and Grand Parental Children and Grand Children, Brothers and Sisters, Uncles, Aunts and Cousins and their corresponding in-laws.

g) If the Service Agent, or any of his supervisors or employees or agents promise or offer any bribe, gratuity, gift, loan, perquisite, reward or advantage pecuniary or otherwise, directly or indirectly to any of the officers or any employees of the BSNL or any person directly or indirectly relating to their offices or employment or any person, in any way, interested in the service, such act will be considered as breach of service and appropriate actions will be initiated by the Officer-in-Charge in accordance with the relevant Clauses, contained in this Section of the Tender Document.

24. PENALTY FOR BREACH OF SERVICE: i. When the Service Agent has made himself liable for action under any of the

aforesaid reasons, the Officer-in-Charge for and on behalf of the BSNL shall have powers:

a) To terminate or rescind the Service as aforesaid after proper notices (of which terminations or rescission order in writing to the Service Agent under the hand of the Officer-in-Charge shall be conclusive evidence). Upon such determination or rescission the Security Deposit remitted by or recovered from the Service Agent in connection with the work under service will be forfeited and shall be absolutely at the disposal of BSNL.

ii. The Service agent whose work has been terminated or rescinded due to Breach of Service and carried out through another Service Agent shall not have any right to initiate any legal proceedings to stall the work. Upon receiving the termination or rescission order in writing under the hand of the Officer-in-charge the Service Agent shall return the unused materials supplied by the BSNL within the date specified in the termination or rescission order, otherwise the cost of the materials supplied by the BSNL shall be recovered from the Service Agent as per the relevant, contained in this section of the Tender Document.

iii. In the event of anyone or more of the courses of action that may be adopted by the Officer-in-Charge in accordance with the aforesaid clauses contained in this section of the Tender Document, the Service Agent shall have no claim for compensation towards any loss sustained by him by reason of having purchased or procured any materials or entered into any engagement or made any advances on account of the execution of the work or performance of service. And in case action is taken under any of the provisions aforesaid, the Service Agent shall not be entitled to recover or be paid any sum for any work thereto or actually performed under this service unless and until the Officer-in-Charge has certified in writing the performance of such work and the value payable in respect thereof and he shall only be entitled to be paid the value so certified.

iv. Officer-in-Charge, after giving a notice in writing to the Service Agent, may order the Service Agent, or his supervisor or other authorized agent to remove all or any tools or stores from the premises (within and the time to be specified in such notice) and in the event of the Service Agents failing to comply with any such requisition, the Officer-in-Charge may remove them all at Service Agents expense or sell them by auction or private sale on account of the Service Agent and at his risk in all respects and the certificate of the Officer-in-Charge as to the expense of any such removal and the amount of the proceeds and expense of such sale shall be final and conclusive against the Service Agent.

25. INDEMNITIES: i. The Agency shall at all times hold the BSNL harmless and indemnify from against all actions suits, proceedings, works, cost, damages, charges, claims and demands of every nature and description brought or procured against the BSNL, its officers and employees forthwith upon demand and without protest or demur to pass to the BSNL any and all losses and damages and costs (inclusive between Attorney and Client) and all cost incurred in endorsing this or any other indemnity or security which the BSNL may now or at any time have relative to the work or the agencys obligations or in protecting or endorsing its right in any suit or other legal proceedings, charges and expenses and liabilities resulting from or incidental or in connection with the injury or disablement to or death of any person(s), including employees of the Agency or damage to properties resulting from or arising out of or incidental to the operations caused by the agreed works. ii. In addition the agency shall reimburse to the BSNL or pay to the BSNL forthwith, on demand, without protest or demur all costs, charges and expenses and losses and demands and actions which may be brought against the BSNL arising out of or incidental to or in connection with the operation covered by the Service agreement. iii. The Agency, shall, at his own cost, at the BSNLs request, defend any suit or other proceedings asserting claim covered by this indemnity but shall not settle, compound or compromise such suit or other findings without consulting the BSNL.

26. COMPLIANCE WITH LAWS AND REGULATIONS: i) During the performance of the works the Agency shall at his own cost and initiative fully comply with all applicable laws of the land and with any and all applicable By-laws, Rules, Regulations and orders and any other provisions having the force of law made or promulgated or deemed to be made or promulgated by any Government, Government-agency or Department Municipal Board Government or other regulatory or Authorized body of persons and shall provide all certificates of compliance therewith as may be required by such applicable Law, By-Laws, Rules, Regulations orders and/or provisions. The agency shall assume full responsibility for the payment of all contributions and pay roll taxes as to its employees, servants or agents engaged in the performance of the work specified in the service agreement.

ii) Subject to the provisions of the Contract Labour (Regulation and Abolition) Act, 1970 and Contract Labour (Regulation and Abolition) Central rules 1971, as amended from time to time, the Awardee/service agency shall register themselves with Assistant Labour commissioner (central). The Awardee/service agency may be allowed to commence the actual work on production of the receipt from the

licensing authority that he has applied for license from the prescribed licensing authority. However, the Awardee/service agency shall produce the necessary Labour License, which shall be valid until the completion of the work. Any failure to fulfill this requirement shall attract the penal provisions of this contract arising our of resultant non-execution of the work and liable for the termination of this agreement and forfeiture of the Security Deposit.

iii) The Awardee/ Service Agency shall maintain the Muster Roll cum Wages Register and other registers/ records as per the Contract Labour (Regulation and Abolition) Act, 1970 and Contract Labour (Regulation and Abolition) Central rules 1971 and the registers/ records shall be made available for inspection by the Officer-in-charge. Non-compliance of the legal provisions of the Contract Labour (Regulation and Abolition) Act and the Rules made there under will lead to the termination of the Contract.

27. TAXES AND DUTIES:

The Awardee Agency shall pay all rates, levies, fees, royalties, taxes and duties payable or arising from out of by virtue of or in connection with and / or incidental to the service agreement or any of the obligations of the parties in terms of the agreement and / or in respect of the works or operations.

28. WORKMEN’ S COMPENSATION:

In every case in which by virtue of the provision of section 12, sub -section (I) of the workmens compensation Act, 1923. BSNL will recover the amount of the compensation from the registered agency which is due, to a workman employed by the Registered Agency in execution of the works and pay the compensation without prejudice to the right of the BSNL under section 12, sub-section (ii) of the said Act. BSNL shall be at liberty to recover such amount or any part thereof by deducting it from the Security Deposit or from any sum due by the BSNL to the Agency whether under this contract or otherwise. BSNL shall not be bound to contest any claim made against it under section 12 sub- section (I) of the said Act except on the written request of the Agency and upon his giving to BSNL full security for all costs for which BSNL might become liable in consequence of contesting such claim.

PERFORMANCE SECURITY GUARANTEE BOND 1. In consideration of the DET. OFP. Vijaypur (hereinafter called 'BSNL')

having agreed to exempt ........ (hereinafter called 'the said contractor(s)') from the demand under the terms and conditions of an agreement/Advance Work Order No dated made between .................................................... and ...........for the supply of semiskilled and unskilled services (hereinafter called "the said agreement "), of security deposit for the due fulfillment by the said contractor (s) of the terms and conditions contained in the said Agreement, on production of the bank guarantee for we, ........... (contractor(s)) do hereby undertake to pay to the BSNL an amount not exceeding against any loss or damage caused to or suffered or would be caused to or suffered by BSNL by reason. 2. 3.We under take to pay to the BSNL any money so demanded notwithstanding any dispute or disputes raised by the contractor(s)/supplier(s) in any suit or proceeding pending before any court or tribunal relating thereto our liability under this present being absolute and unequivocal. The payment so made by us under this bond shall be valid discharge of our liability for payment there under and the contractor(s)/supplier(s) shall have no claim against us for making such payment. 4.
