1. General conditions

These conditions are valid when technical staff are sent to a customer to carry out their work.Technical staff will be sent when requested from the customer.All maintenance work is subject to the conditions for repair on machines (VDMA-Conditions for Re-pair).Our staff is instructed to execute all work carefully and to execute the wishes of the customer, if possible. Ifany customer wishes are left open for any reason then please inform us.

The customer must inform our staff of all the local safety regulations that have to be enforced during thework on site before our staff starts to work. The customer must ensure that these safety regulations areenforced and followed by our staff on site.

The customer supports our staff to enable them to carry out the work required by supplying qualified andunqualified workers especially machine operators free of charge.The customer will supply all auxiliary materials required on time and free of charge e.g. crane, lifting gearequipment, glass, electrical energy, and compressed air ( min 6 bar ).

Our liability for damages is limited, and only valid when these are caused as a result of carelessness orlack of thoroughness by our staff during the execution of the work. Our liability is not valid by damagescaused by down time, or profit and contract losses, indirect or consequential damages or every type ofeconomic forfeiture, when these have not resulted from gross carelessness by our staff.

2. Tariff for execution of services

2.1. Hourly rate.

The number of hours charged are calculated according to the length of absence of our staff, that means thetime starts when our staff departs our factory in Beverungen/Germany or any other HEGLA location andends on his or her return to that location. When tours are planed and carried out then the calculation iscorrespondingly proportional.

The basis for the calculation is the number of hours written on the service report which is signed by thecustomer.

2.2. Long distance diagnosis or help via telephone in clearing faults- and reducing down time.

Monday - Friday 7:00 - 17:00 h every hour 50,00 EUR

Monday - Friday 17:00 h more every hour 70,00 EUR

2.3. Allowance / Expenses

Expenses / Bonus per hour Germany: 3,00 EUR

European Community 6,00 EUR

Outside of the European Community the calculationis based on the daily travel allowance.

Travel Allowance : 101,00EUR

2.4. Travelling Expenses

2.4.1. For the distance travelled with a car / service van we charge EUR 0,70 per km.

2.4.2. Travelling expenses by train, plane, taxi, etc. will be charged according to the ticket price / receipt.

The distance travelled ( Km ) will be calculated using a route planner software.

2.5. Overnight Expenses

For necessary overnight stays we charge a flat-rate of EUR 80,00per person and night.

If the effective overnight expenses are higher than the flat-rate, we charge these additional costs.

2.6. Materials

The materials for the execution of work will be charged additionally according to the real expenditure pluseventual shipping costs.

3. Prices and Payment terms

All Prices are Net-Prices.The Invoice is payable within 10 days net cash.

4. Validity and Other Terms

These conditions are valid from 1stAugust 2008.

Additionally our General terms of business are valid.
