10 Method of Selection
The selection shall be based on two-stage
bidding process i.e., technical qualification
followed by evaluation of financial bids, on a
“Quality cum Cost Based Selection (QCBS)”
with weight of Technical Evaluation – 80% and
that of Financial Evaluation - 20%
Conditions :
i. The Applicants should meet the minimum
eligibility criteria for inclusion in technical
evaluation.
ii. Technical proposals of Applicants who
meet the minimum eligibility criteria shall
be evaluated. Applicants shall also have
to make a presentation during the
technical evaluation.
iii. The financial bids of only those firms
whose technical proposals are accepted
will be opened and the bid with the
highest combined- technical plus
commercial- score shall be awarded the
contract.

8. The issue of this RFP does not imply that Guidance Bureau is bound to

be, for the Consultancy.
9. Guidance Bureau reserves the right to reject all or any of the Proposals
without assigning any reasons whatsoever.
10. The Applicant shall bear all costs associated with or relating to the
preparation and submission of its Proposal. Guidance Bureau shall not be
liable in any manner whatsoever for the same or for any other costs or
other expenses incurred by an Applicant in preparation or in submission of
the Proposal, regardless of the conduct or outcome of the selection process.

2. INTRODUCTION
Tamil Nadu is one of the most advanced states in India. It is the second largest
state economy in the country, which contributes 8.4% of India’s GDP. It is
also an industrial powerhouse of the nation with a very strong and diverse
industrial base. Tamil Nadu is the state with the highest number of factories
and industrial workers in the country. It is also a leader in terms of industrial
output. Tamil Nadu has a highly developed industrial eco-system and is very
strong in sectors like automobiles and auto-components, textiles, leather
products, light and heavy engineering, pumps and motors, electronic software
and hardware. The state is one of Asia’s most preferred investment
destinations.
The Government of Tamil Nadu is determined to build up on its strengths and
further accelerate the industrialization of the State. It intends to build on
traditionally strong areas like automobiles to foray into more technologically
complex sectors like aerospace and defense manufacturing. The TN
manufacturing eco-system cannot miss the opportunity to transition into
Industry 4.0. The launch of the Defense Industrial Corridor Project in Tamil
Nadu has given the right fillip in this regard. The Government is pursuing
corridor-based development model to spatially converge investment growth
and infrastructure development. The Chennai-Bangalore Industrial Corridor
Project and the Chennai-Kanyakumari Industrial Corridor Project are expected
to transform the economic landscape of the state in the next few years. The
Government is steadfastly trying to achieve the primary goal of positioning
Tamil Nadu as the most preferred state for manufacturing, with a reputation
for efficiency and competitiveness and to attract incremental investments in
manufacturing.
2.1 Tamil Nadu Industrial Guidance & Export Promotion Bureau
Tamil Nadu Industrial Guidance and Export Promotion Bureau (Guidance
Bureau) was established as a non-profit registered Society and has
successfully handled 438 investment proposals with an aggregate investment
exceeding Rs.3.75 lakh crore since inception. As per the Tamil Nadu Business
Facilitation Act 2018, Guidance Bureau has been given the statutory
responsibility of functioning as the Nodal Agency for providing single window
clearances for large industries. Guidance Bureau has been mandated to give
a fillip to industrial development in the State by serving as a focal point for
dissemination of information to attract new investments, rendering facilitation
services to new investors, acting as a single window for industrial clearances

and acting as a sounding board for industry and industrial policy change.
2.2 Scope of Proposal
Guidance Bureau propose to select Consultancy Firms on retainer basis
for assisting in industrial development strategy formulation, investment
promotion, facilitation and other related activities at the offices of Guidance
Bureau. The period of contract for developing the industrial development
strategy and investment promotion action plan will be for a period of 6 months
from date of award and the period of contract for investment promotion,
facilitation and other related activities at the offices of the Guidance Bureau
will be for one year from the date of award, renewable every year for further
two subsequent years subject to continued satisfactory performance of the
selected firm each year. Accordingly, proposals are invited from the eligible
national and international firms for the same, hereinafter called “Applicant”.
i. Detailed description of the objectives, scope of services, Deliverables
and other requirements relating to this Consultancy are specified in this
RFP. In case an applicant firm possesses the requisite experience and
capabilities required for undertaking the Consultancy, it may
participate in the Selection Process either individually or as a
consortium in response to this invitation. The manner in which the
Proposal is required to be submitted, evaluated and accepted is
explained in this RFP.
ii. Applicants are advised that the selection of Consultant shall be
on the basis of an evaluation by the Guidance Bureau through the
selection process specified in this RFP. Applicants shall be deemed
to have understood and agreed that no explanation or justification for
any aspect of the Selection Process will be given and that the Guidance
Bureau’s decisions are without any right of appeal whatsoever.
iii. The Applicant shall submit its Proposal in the form and manner specified
in this Section of the RFP. Upon selection, the Applicant shall be
required to enter into an agreement with the Guidance Bureau and will
be referred to as the “Consultant” hereafter.

3. SCOPE OF WORK
The scope of work to be undertaken by the Applicant is given hereinafter and
the same is merely illustrative and not exhaustive. The Applicant shall thus
have to consider the required output and include all further incidental activities
that may be necessary for efficient and successful implementation and for
achieving the ultimate purpose of the assignment. The Scope of Work for the
proposed engagement will consist of two parts - for which two different teams
will have to be deployed. These two tasks are inter-related:
i) The first task is the formulation of an overall industrial development
strategy. The first task culminates with the submission of the “Industrial
Development Strategy Report” and “Investment Promotion Action Plan”.
This task shall be completed in 6 months.
ii) The second task is to provide continuous support in investment promotion,
facilitation and other related activities at the offices of Guidance Bureau
for a period of one year, extendable to two subsequent years.
The scope of work for each task is described in Sections 3.1 and 3.2
respectively and summarized in Figure 1 Tasks.

TASK - A
3.1 Industrial Development Strategy
The task is to formulate a five-year sustainable industrial development
strategy for the state in line with emerging developments in manufacturing
technology such as Industry 4.0, ensuring employment opportunities for the
workforce, ensuring a diverse and comprehensive industrial development in a
holistic manner. This shall entail:
I. Review of current industrial scenario in Tamil Nadu
A broad assessment of the industrial scenario of the state comprising of
but not limited to the following.
i. Assessment of the existing industrial production of the state comprising
but not limited to sector output – GSDP/GSVA for last 10 years; growth,
current breakup of GSDP/GSVA by various industry sectors and sub-
sectors and by various regions/districts and by size of firms;
ii. Identifying key factors, sectors and sub sectors that have contributed to
the growth in GSDP and enablers for various sectors/sub-sectors over
the past 10 years.
iii. Identifying existing strengths and resources of the Tamil Nadu (viz.
mineral /natural resources, agro production base, business resources)
iv. Profiling of the existing industrial clusters, hubs, industrial
parks/estates, across various sectors/sub-sectors of MSME and large
enterprises. This shall include types of industrial activities, trends in
industrial production, raw material sources, employment scenario, skill
gap (based on study already done by TNSDC) and markets including
exports and their inter linkages.
v. Benchmark past and current growth in various sectors and sub-sectors
with respect to various other states and comparable geographies of
prowess in manufacturing to assess the overall competitiveness, trade,
natural advantages of the state in specific sectors and infrastructural
advantages etc.
vi. Assessment of export scenario of the state across the sectors and
subsectors in both MSMEs and large enterprises, including current
export levels and trends, effective tariffs/tariff barriers, duty-free import
schemes to promote exports, export potential, key export partners, key
exporters in the state

vii. Identifying new/existing policy initiatives at State / Central level for
promoting investments, developing industry & infrastructure projects
and analyzing the effectiveness and impact of the current policy levers
in stimulating the industrial growth and employment.
viii. Study of existing and proposed developments for infrastructure,
transportation and logistics including roadways, railways, waterways,
ports and airports, power supply and distribution system, gas pipeline
network and major water resources highlighting the supply (existing and
pipeline) of and demand for infrastructure.
II. Identification of focus sectors and sunrise sectors for industrial development
i. Prioritise a list of focus sectors and sub-sectors, using SWOT, Ansoff matrix
and other relevant methodologies, that hold potential for further
sustainable growth and generation of new employment opportunities needs
to be prepared. The following shall be the key considerations for identifying
the focus sectors.
a) Employment generation potential based on the strengths of
available skill sets and employment aspirations in the State.
b) Growth rates and market potential in the state, national and global
economy and how their promotion can complement “Make in
India” initiatives by import substitution.
c) Potential to attract market oriented and export oriented FDI and
domestic investments.
d) Potential to enhance exports from the State
e) Potential to foster innovation (R&D)
ii. Identify sunrise sectors and sub-sectors for the State to focus on including
newly emerging sectors and technologies globally (with special focus on
India) that align with the aspiration set for Tamil Nadu and the national
aspiration of enhancing the share of manufacturing to 25% of GDP by 2022.
The sector selection must also consider services as a key driver of Tamil
Nadu’s growth and identify service sectors or sub-sectors aligned with
industrial development and Industry 4.0.
iii. Estimate potential for each of the focus/sunrise sectors and sub-sectors,
including but not limited to the overall investment potential,

employment/output elasticities and multipliers, domestic production and
capacity utilization, export potential, revealed comparative advantage,
economic and product complexity, labour and capital productivity, R&D
intensity, etc. at a sector and sub-sector level.
iv. Identifying benefits of development of the sectors in the state, including
estimation of economic growth targets, employment opportunities and
incoming investment till 2025 along with a baseline assessment.
v. The Consultant should suggest options for 2-3 broad geographical locations
(existing/potential) for each focus sector and sunrise sector to facilitate the
final selection of at least 10 sectors and 2-3 sub-sectors each, as
applicable, by the State Government based on locational/resource base
advantages.
III. Review on current sectoral policies and legislative
interventions and support from Government of Tamil Nadu
i. Conducting focus group discussions (FGDs) and in-depth interviews (IDIs)
with various stakeholders such as industry bodies, state departments and
other major private investors in the State and country to understand the
following:
a) Potential for sunrise sectors and sub-sectors as well as enablers to
be put in place by the Government to attract investments in these
sectors
b) Bottlenecks adversely impacting the business environment in the
state especially for sunrise/focus sectors
c) Impediments faced by large industries in prevailing sectoral policies
and suggest remedial measures in development of projects
d) Identifying critical demand-supply gaps and bottlenecks in each focus
and sunrise sector
e) Alignment or lack thereof between priority industrial, human resource
and infrastructure development programs of State and Central
Government
f) Factors affecting choice of investment destination for major
investors within India based on FGDs with investors who have
considered but not yet invested in Tamil Nadu with 5-10 specific case studies

g) Factors contributing to investment growth in high growth and low or negative growth sectors to identify areas of policy support and gaps
with 5-10 specific case studies, e.g. reasons for low growth of R&D in industries.
ii. Examining the current policy and regulatory framework impacting the focus/sunrise sectors in the state and benchmark it with those of other
states in India of comparable manufacturing prowess and similar top 3 investment destinations in the world.
iii. Examining the linkages with startup policy and eco-system that will spur
entrepreneurship in the state and provide model/specification for setting
up of common startup hubs across the state. This should include
analysis of new models being tried out such as the GOI, AGNII, SIPCOT
start up etc. and any other in-state initiatives such as IITM research
park, Forge etc.
iv. Identifying best practices and interventions in the policy/ legal/
regulatory framework for focus/sunrise sector development
v. Developing recommendations to draft, update or modify the policy
framework including incentives and other support from GoTN to enhance
Industrial development/new investments including improving the ease
of doing business in the state, as may be required.
IV. Preparation of Sector Landscape and Potential Assessment
For the sectors and sub-sectors so identified as above:
i. Reviewing the skill development plan, based on above and including
studies done by TNSDC, to make the state skilled manpower ready for
Industry 4.0 requirements and in focus/sunrise sectors. The plan should
take cognizance of existing training infrastructure such as it is, private
training schools, industry sponsored programs and
university/engineering colleges sponsored programs. TN Skill
Development Corporation should be consulted so that the plan can be
dovetailed with their APEX program/other initiatives.
ii. Identifying advanced technologies of Industry 4.0 in materials
(properties and function), machines (precision and capabilities),
methods (automation, efficiency and productivity), measurement
(connectivity, integration, sensing and improvement) and modelling
(prediction, optimization, prevention), etc., and study the impact of
these technological advances on current focus/sunrise sectors and sub-

sectors. For instance - a study on impact of EVs on the Automobile
manufacturing Eco systems in Tamil Nadu and the transformational shift
to be taken by the existing automobile industries
iii. Preparing a plan for the identified focus (current and new)/sunrise
sectors and sub-sectors to leverage these advanced technologies
including current strengths and support required from the State to
transition to Industry 4.0.
iv. Assessment of land and other infrastructure requirement for the sectors
and sub-sectors identified in coordination with the teams working on the
industrial corridor development. This shall be based on sustainable,
compact and smart city development principles, best practices and
water availability to minimize the land and water requirements as far as
possible.
v. Identifying approaches to encourage and endogenize environmental
sustainability (particularly water and pollution) and improve resource
efficiency along with industrial development (e.g. energy conservation,
water recycling and reuse, buffer zones etc.)
vi. Preparing a detailed sector strategy for each of these priority sectors
and sub-sectors including the sector profile, trends, potential FDI
markets/countries, current capacity in the sectoral and key sub-sectoral
value chains, with the scope and plan to transition to Industry 4.0 and
forecast of impact of sector development till 2025.
vii. Preparing a region focused strategy aligned with the sectors identified
to promote industrial dispersion and environmental sustainability. The
Applicant may consider using a blended categorization based on
geography (e.g. Northern Districts, Southern Districts, Western Districts
etc.), resource endowment or landscape (Port-led regions, Tourism
oriented regions etc.) while formulating the regional strategies.
viii. Identifying sector-wise optimal options based on risk sharing and risk-
reward etc. / benchmarking elsewhere for implementing the projects
such as joint ventures, subsidiaries, public-private partnership, turnkey
contracts, asset recycling, suitably dovetailed with revenue streams and
explore untapped funding sources such as institutional investors
(pension and insurance funds); infrastructure bonds, project bonds,
municipal bonds and impact bonds etc.

V. Formulation of Industrial Development Strategy for the State
i. Based on the above, come up with recommendations on the critical
issues / gaps in procedures and practices that need to be addressed to
become a truly world class industrial destination and enhance the
competitiveness of local manufacturers to global standards, and other
strategies for attracting private investment
ii. Based on the identified gaps in the policy framework, suggest measures
for revamping the existing industrial policy.
iii. Formulate a detailed export promotion strategy based on SWOT for each
sector including development of facilitating policy framework and
support systems for focus/sunrise sectors.
iv. Developing a plan to disperse industrial development to other parts of
the state which are not so developed based on their strengths and a
plan to address their infrastructure weaknesses.
v. Developing the action plan and strategy for Industrial Development for
the next five years. This should be a comprehensive and holistic strategy
promoting financial viability, environmental sustainability and social
inclusiveness to implement the proposed action plan including, but not
limited to, priority of projects within the action plan, action to be
initiated in each sector, policy reforms, clusters development approach,
driver and linkage projects, integration of various infrastructure projects
and potentials, suggestions on removing hindrances based on past
experience and identification of critical factors in successful
implementation of the Action Plan.
vi. Preparing an implementation roadmap with objectives, targets timelines
and milestones, key performance indicators, key result areas in a logical
framework to be broken up into Annual Action Plans assigned to
individual Departments / agencies.
vii. Preparing annual budget for the next five years for implementation of
the Industrial Development Strategy
VI. Formulation of Annual Investment Promotion Strategy for
Guidance Bureau
i. Formulating an “Annual Investment Promotion Strategy” and business
plan, including formulation of key result areas and key performance

indicators, for attracting investments from new geographies /key
partner countries to the state for next 5 years. As a part of this plan,
the Consultant shall devise a suitable marketing strategy to enhance
attractiveness, facilitate and promote economic growth of Tamil Nadu
and implement various projects through public private partnership /
private sector investments.
ii. Preparing a stakeholder engagement strategy to help ensure that all
important parties are properly consulted and have sufficient buy in,
including the State government, Indian government, Industry and the
local community etc.
iii. Preparing the annual budget for undertaking investment facilitation and
promotion activities.
TASK – B
3.2 Investment Promotion Strategy and Execution
I. Identifying investors for focus/sunrise sectors/sub-sectors
i. Identifying the basket of existing, upcoming and potentially investible
projects and opportunities across focus and sunrise sectors based on
market intelligence and leads.
ii. Identifying potential target companies who are looking to invest and
expand in the State.
iii. Identifying market leader firms who could potentially be investors for
focus/sunrise sectors and sub-sectors, and identify engagement
strategies.
iv. Identify target countries/region for FDI for focus/sunrise sectors and
sub-sectors and identify engagement strategies.
v. Identifying of possible sources of investments and devise marketing
strategy to attract investment in the region.
II. Lead Generation & Investment Grounding Support
a) Conducting research on a continual basis to identify and prepare a
database of potential target domestic and foreign companies across all
the focus/ sunrise sectors and sub-sectors who can be targeted to invest
in Tamil Nadu independent of recommendations arising out of Section
3.1 in first 6 months and thereafter in synchronization with the industrial

development plan delivered as per Section 3.1
b) Identifying sector-wise key trade bodies, business associations, trade
counsels in embassies and their key contact persons in the focus
countries like Korea, Japan, China, Taiwan, France, Germany, USA,
Israel and other focus countries for regular cooperation with Guidance
Bureau.
c) Assisting Guidance Bureau in maintaining a database of leads and
investment interests during the engagement. Assisting Guidance Bureau
in creating a mechanism to ensure Investment Tracking for monitoring
investments from lead generation to commencement of commercial
production in an online MIS dashboard that will be developed for this
purpose.
d) Assisting Guidance Bureau in organizing one-on-one meetings with new
investors every month (pro-rated) leading up to 200 Memoranda of
Understanding1 per annum with an average investment commitment of
Rs. 1000 crores per MoU.
e) Identifying select companies for systematic targeting and support the
department in facilitating dialogues with Investors, including
handholding of high value Investors from contact to conversion.
f) Arranging for one-to-one meetings of the officials of Government of
Tamil Nadu with the target companies/Trade & Commerce
officials/Trade & Industry associations in India and abroad.
g) Identifying the suitable land parcels with industrial parks or with the
proposed private land information portal for the potential investors and
assist Guidance Bureau in coordinating site–visits for interested
investors.
III. Investment Monitoring and Management
a) Assisting Guidance Bureau in identifying and assessing the
implementation issues for the projects during the establishment and
operation phase.

b) Assisting Guidance Bureau in organizing meetings between the investors
and Government officials (State/Central) to resolve such issues and in
tracking the same.
c) Assisting Guidance Bureau in creating a standard operating procedure
including the process flow for monitoring of projects through the various
MIS portals and co-ordination activities with other departments and
assist in monitoring and coordinating wherever necessary.
d) Assisting in addressing the investor’s grievances received through “TN
Biz Buddy” portal or other grievance redressal mechanisms of Guidance
Bureau.
IV. Investment Facilitation, Follow-up and After Care Strategy
a) Preparing strategy for follow-up and monitoring investment realization
b) Conducting an investor experience survey for a sample of 200 existing
and prospective investors
c) Preparing an after-care strategy and an implementation roadmap
including but not limited to support for operations and post-operations,
expansion, navigating regulatory and intermediary services, labour
welfare and training, guidelines for outreach and engagement
V. Knowledge Creation and Management
o Preparing and maintaining a database of all-important studies, reports,
etc., on the state rankings, investment climate, etc., relevant for the
investment promotion activities of Guidance Bureau.
o Preparing content for promotional and publicity material such as general
or sector / department-specific presentations, brochures, marketing
collaterals such as sector profiles, region profiles, man-power and other
costs, state competitiveness profile, investor guide, project profiles,
infographics, newsletters, etc.,
o Preparing content for digital and social media out-reach activities.
o Preparing and updating website content and support in website / mobile
app design.
o Preparing content for road shows, investor summits and other
promotional/outreach events
o Assisting the Guidance and / or its media and public relations partners

o Tracking investment trends and other development indicators and
update on regular basis the statistical information as collected and made
available by the various government or other agencies.
o Updating the investor guidebook/handbook to include the focus sectors
identified and provide an overview of the state, industrial structure,
industrial and sectoral policies, ease of doing business initiatives,
comparative cost and availability advantage nationally and
internationally, and a ready reckoner for process flows and checklist of
approvals required in pre-establishment, pre-operation and post-
operation phases with the stipulated time limits.
VI. Investment Promotion Events
a) Assisting Guidance Bureau in the planning, organizing and coordinating
various events, roadshows, conferences, investment promotion
summits, stakeholder consultations, aftercare events, etc., as per the
strategy document prepared and as and when required by the Guidance
Bureau during the course of engagement.
b) Undertaking activities for assisting the Department for the overall
coordination of the investment promotion campaign.
c) Designing the event flow, theme & topics, preparation of background
paper on each session, identification of speakers, etc.
d) Identification of invitees from the Government functionaries from India
and abroad, Captains of Industry, key decision makers, Diplomatic
Corps, Trade bodies, Industrialists, etc., for the events.
e) Prepare documentation/briefing notes for all investment meetings from
the preparation stage till the conclusion including minutes and follow-up
points, and follow-up for every meeting/event/summit in India and
abroad.
f) Preparing a post-event summary and follow up action plan.

The proposed deliverables timeframe and payment terms for the assignment

The deliverables based on the scope of work in Section 3.2 that are linked to
the deliverables based on the scope of work in Section 3.1 shall be prepared
based on inputs from the team on drafts of deliverables based on the scope
of work in Section 3.1. The deliverables based on the scope of work in Section
3.2 shall be revised/updated once the deliverables of Section 3.1 are finalized.
In particular, deliverable h) List of anchor investors, prospective investors,
market leader for focus/sunrise sectors/sub-sectors, and j) Final Investor
Handbook shall include focus sectors and based on deliverable b) Interim
Report including list of focus sectors and sunrise sectors, sector landscape,
policy review and gap analysis. Similarly, deliverables k) pertaining to the
continuous support for investment promotion, facilitation and related activities
shall be revised/updated based on deliverables b) Interim Report including list
of focus sectors and sunrise sectors, sector landscape, policy review and gap
analysis, and g) Final Report - Investment Promotion Action Plan.
The payment for Task A and Task B is provided as a percentage of the financial
bids for Task A and Task B respectively. Invoices for the payments under Task
A shall be raised for signing of the contract and subsequent delivery as per
the milestones. Invoices for Task B shall be raised for a retainer fee per
calendar month equivalent to one-twelfth of the (Annual) Financial Bid for
Task B, on a monthly basis till the end of contract period. Payment for all
milestone related deliverables will be made upon acceptance of the deliverable
by Guidance Bureau. The payment for Task B is performance-linked and will
be made after completion of every month on submission of a monthly report
of deliverables submitted to Guidance Bureau for that particular month, time
and attendance statement for that particular month and invoice (in duplicate),
by the Consultant. Guidance Bureau may conduct a bi-annual review of the
project activities and deliverables to gauge the quality of output and to
approve payments and activities for the forthcoming period.

5. ELIGIBILITY CRITERIA
5.1 Minimum Qualification Criteria for Evaluation
To be eligible for the qualification and short-listing, the Applicant must fulfill
the following conditions of eligibility:
a) All Applicants shall have a registered office in India. For proof of
registration the Applicant needs to submit a copy of the Certificate of
Incorporation as per the Companies Act 1956/2013 or other duly
registered documents indicating the incorporation/existence of the
said entity and a copy of the PAN card issued to them by Income Tax
Department, Government of India. The company should have been
operating in India for at least the last 5 (five) years.
b) The Applicant should have completed or should be working on
cumulatively at least 5 (five) Retainer Consultancy Assignments with
a Government Agency (Central/State/Public Sector Undertaking) in
the last 5 (five) years on or before the due date for submission of
proposals.
c) The Applicant should have completed or should be working on at-
least 3 (three) assigned sponsored by Development Finance
Institution/Multilateral Bank/Official Development Assistance funding
agencies as The World Bank, International Finance Corporation (IFC),
United Nations, Asian Development Bank (ADB), KfW, GIZ, JICA,
JBIC, Department of International Development (DFID), Asian
Infrastructure Investment Bank (AIIB) in India. Out of these, at least
1 (one) project should have been completed in the last 3 (three)
years on or before the due date for submission of proposals.
d) The Applicant should have executed at least one project on
investment promotion having worked with or providing consultancy
services as nodal agency or key knowledge partner for an investment
summit or support to the Industries Department (or equivalent
thereof) for any State in India or abroad or National Governments by
deploying a team of three or more members for at least one year.
e) The Applicant should have at least one office each in 10 countries
abroad.
f) The Applicant shall have minimum Annual Total Turnover of Rs.100
crore (Rupees One Hundred Crore only) or USD 14.5 million (United

States Dollar Fourteen Million Five Hundred Thousand only) from
Consultancy Services in each of the 3 (three) financial years
preceding the on or before the due date for submission of proposals.
5.2 Project Team
There shall be two project teams deployed simultaneously for the tasks
specified in Section 3.1 and 3.2 respectively based on the following guidelines:

• There shall be an overall Project Director responsible for the two projects
and respective deliverables who will be responsible for and coordinate
the efforts of the two teams – one each for Task A and Task B. The two
Project Teams shall be led by their respective Team Leaders.

• The Project Director shall continue at least for 12 months from the date
of contract looking after both the tasks and an additional 6 months,
subject to renewal of Task B. This shall consist of 6 months parallel
supervision of Task A (Section 3.1) and Task B (Section 3.2) and
followed by additional 12 months on Task B, subject to renewal of Task
B. The Project Director must dedicate at least 4 working day per month
to the project in Chennai and remotely otherwise. However, the Project
Director must make himself/herself available additionally as when and
required at Chennai to ensure quality deliverables by both teams.
• The Team Leader of Project Team A must be different from the Team
Leader of Project Team B for the entire course of the engagement and
be available full time in Chennai with Guidance Bureau.
• The Team Leader of Project Team A responsible for delivery of Task A
shall continue on the overall project for 9 months (i.e. 6 months on Task
A and 3 additional months on Task B). This is to ensure proper hand
over of deliverable A and to assist Team Leader of Project Team B with
assimilation of deliverables of Task A into Task B.
• The Team Leaders of Project Team A and Project Team B shall
synchronize the activities of Task B during the overlap periods with Task
A accordingly.
• Any dissonance between the deliverables of Task A and Task B arising
out of deliverables from Task A shall be the responsibility of Project
Director to resolve and effort required therefor shall be additionally
provided by the applicant free of any additional charge.
• The Project Teams must include Consultants who are full time
employees of the Applicant. The Applicant must provide detailed
credentials for the Consultants which are to be included in the technical
proposal with all details of work experience/educational qualifications as
required in this document.
• The Project Teams may include optional sector or domain experts for
consultations from time to time, as required. The Applicant must provide
credentials and per diem billable rates/charge-outs for the experts.
However, they are to be excluded from the financial bid.
• The “Project Team A”, “Project Team B” and the individual members of
the Project Team to be deployed by Selected Applicant may be required
to work at any of the offices of Guidance Bureau. The Project Teams

must be staffed from two or more different teams within the Applicant’s
organisation.
• The members of the Project Team shall be employees of the Applicant.
They shall not be changed during the contract period without prior
permission of Guidance Bureau.
• The timelines provided for the time-bound deliverables in Section 4 are
sacrosanct and it is the responsibility of Applicant to ensure timely
delivery of the deliverables. The Applicant shall propose the number of
personnel to be included in the team, wherever indicated. The number
suggested by the Applicant may be equal to or more than the number
indicated in Figure 2 Team Structure so that timelines and quality
requirements are met The Applicant shall offer and make available all
Project Team meeting the requirements specified above.
The minimum and preferred qualification details are mentioned in section 6.2
under Evaluation of Technical Proposal – Project Team.
5.3 Other conditions
1. The Applicant shall enclose with its Technical Proposal, certificate(s)
from its Statutory Auditors stating its Annual Total Turnover during each
of the last 3 (three) financial years up to FY 2018-19. In the event that
the Applicant does not have a Statutory Auditor, it shall provide the
requisite certificate(s) from the firm of Chartered Accountants that
ordinarily audits the annual accounts of the Applicant. In case the annual
accounts for the latest financial year are not audited and therefore the
Applicant cannot make the said certificate available, the Applicant shall
provide the Annual Total Turnover for the last 3 (Three) financial years
up to FY 2017-18.
2. Any entity which has been barred by the Central Government/ any State
Government/ a statutory authority / a public sector undertaking of
India, as the case may be, from participating in any project and the bar
subsists as on the date of Proposal, would not be eligible to submit a
Proposal either by itself or through its Associate or as part of consortium,
in which case the entire consortium becomes ineligible to bid.
3. An Applicant or its Associate should have, during the last three years,
neither failed to perform on any agreement, as evidenced by imposition
of a penalty by an arbitral or judicial authority or a judicial
pronouncement or arbitration award against the Applicant or its

Associate, nor been expelled from any project or agreement nor have
had any agreement terminated for breach by such Applicant or its
Associate and shall submit an undertaking to this effect.
4. While submitting a Proposal, the Applicant shall attach clearly marked
and referenced continuation sheets in the event that the space provided
in the specified forms in the Appendices is insufficient. Alternatively,
Applicants may format the specified forms making due provision for
incorporation of the requested information.
6. EVALUATION AND SELECTION PROCESS
6.1 Selection Process
i. The selection shall be based on two-stage bidding process i.e., technical
qualification followed by evaluation of financial bids, on a “Quality cum
Cost Based Selection (QCBS)” with Technical component and Financial
component in the ratio of 80:20
ii. A pre-bid meeting shall be held for raising queries with reference to the
RFP as indicated in the Section 1. RFP Data Sheet
iii. The proposal comprising technical and financial proposals to be
submitted in 2 (two) separate sealed envelopes. The financial proposal
must include separate bids for Task A and Task B. In the first stage, a
Technical Evaluation will be carried out as specified in this RFP.
iv. The list of supporting documents required for Technical Evaluation and
Financial Evaluation are mentioned in the Annexure.
v. Based on this Technical Evaluation, a list of short-listed Qualified
Applicants shall be prepared and published.
vi. In the second stage, a Financial Evaluation of the Proposal will be carried
out in line with the procedures established by the Tamil
Nadu Transparency in Tenders Act and Rules.
vii. Proposals will finally be ranked according to their combined technical
and financial scores.
viii. The “Selected Applicant” will be invited to enter into Agreement with
Guidance Bureau through issuance of Letter of Award (the “LoA”), while
the other ranked Applicants will be kept in “Reserve”.

6.2 Instructions for Technical Proposal
i. Applicants shall submit the Technical Proposal in the formats provided
under Annexures to this RFP (8A – 8H).
ii. While submitting the Technical Proposal, the Applicant shall, in
particular, ensure that it contains:
a. Copy of Certificate of Incorporation/related registered documents
of the Applicant
b. Copy of Applicant’s PAN card
c. All forms in the Annexure are in the prescribed formats and signed
by the prescribed signatories;
d. Power of Attorney for the Authorized Signatory is executed as per
Applicable Laws, if applicable or Board Resolution;
e. CVs of all Key Personnel have been included;
f. Key Personnel have been proposed only if they meet the
Conditions of Eligibility laid down in this RFP;
g. No alternative proposal for any Key Personnel is being made and
only one CV for each position has been furnished;
h. The CVs have been recently signed and dated by the respective
Key Personnel and countersigned by the Applicant’s Authorized
Signatory.
i. The CVs shall contain an undertaking from the respective Key
Personnel about his/her availability for the Period of Consultancy
specified in the RFP; Key Personnel proposed have good working
knowledge of English language; Key Personnel proposed would be
available for the Period of Consultancy indicated in the Terms of
Reference;
i. Failure to comply with the requirements spelt out in this RFP shall make
the Proposal liable to be rejected.
ii. If an individual Key Personnel makes a false averment regarding his/her
qualification, experience or other particulars, or his/her commitment
regarding availability for the Consultancy is not fulfilled at any stage
after signing of the Agreement, he/she shall be liable to be debarred for

any future assignment of the Guidance Bureau for a period of 5 (five)
years. The award of this Consultancy to the Applicant may also be liable
to cancellation in such an event.
iii. The Technical Proposal shall not include any financial information
relating to the Financial Proposal.
iv. The proposed team shall comprise Key Personnel specified in this RFP.
v. Other competent and experienced personnel in the relevant areas of
expertise and support personnel may be added as required for
successful completion of this Consultancy. The CV of each such Key
Personnel and additional personnel, if any, shall be submitted in the
format specified in the Annexure. In case of additional personnel, the
per diem billable rate shall be specified.
vi. Guidance Bureau reserves the right to verify all statements, information
and documents, submitted by the Applicant in response to the RFP. Any
such verification or the lack of such verification by the Guidance Bureau
to undertake such verification shall not relieve the Applicant of its
obligations or liabilities hereunder nor will it affect any rights of the
Authority thereunder.
vii. In case it is found during the evaluation or at any time before signing of
the Agreement or after its execution and during the period of
subsistence thereof, that one or more of the eligibility conditions as
mentioned this in this RFP have not been met by the Applicant or the
Applicant has made material misrepresentation or has given any
materially incorrect or false information, the Applicant shall be
disqualified forthwith, if not yet appointed as the Consultant Firm either
by issue of the LoA or entering into of the Agreement, and if the Selected
Applicant has already been issued the LoA or has entered into the
Agreement, as the case may be, the same shall, notwithstanding
anything to the contrary contained therein or in this RFP, be liable to be
terminated, by a communication in writing by Guidance Bureau without
the Guidance Bureau being liable in any manner whatsoever to the
Applicant as the case may be.
6.3 Instructions for Financial Proposal
i. Applicants shall submit separate financial proposal in the format at
Annexure (8I-8J) clearly indicating the total cost per month of the

Consultancy in both figures and words, in Indian Rupees (INR), and
signed by the Applicant’s Authorized Signatory. In the event of any
difference between figures and words, the amount indicated in words
shall prevail. In event of difference between the arithmetic total and the
total shown in the Financial Proposal, the lower of the two shall prevail.
ii. While submitting the Financial Proposal, the Applicant shall and account
for the following:
a. All the costs associated with the Consultancy shall be included in the
Financial Proposal. These shall normally cover remuneration for all the
Key Personnel and activities undertaken with respect to activities of
Guidance Bureau, equipment, printing of documents, etc. The total
amount indicated in the Financial Proposal shall be without any
condition attached or subject to any assumption and shall be final and
binding. In case any assumption or condition is indicated in the
Financial Proposal, it shall be considered nonresponsive and liable to
be rejected.
b. Expenses incurred for investment promotion activities other than the
days to day activities such as expenses related to national and
international road shows including expenses on economy class air
fare, boarding and lodging of the team travelling from India will be
reimbursed subject to the travel and daily allowances as per the
applicable rules of Government of Tamil Nadu. The Financial Proposal
shall exclude such expenses. Other related claims will be considered
after examination.
c. No escalation on the cost of Financial Bid for Task B will be provided
after the issue of the contract. The contract is renewable for 2 years
subject to the satisfactory performance of the selected firm, as
assessed by Guidance Bureau and on mutual agreement. The
Applicant shall provide an Annual Financial Bid cost that remains fixed
and unchanged, should the contract be renewed.
d. The Financial Proposal shall take into account all expenses and tax
liabilities (except Goods and Services Tax) as per Applicable Laws.
Further, all payments shall be subject to deduction of taxes at source
as per Applicable Laws. The applicable Goods and Services Tax Rate
shall be indicated separately.
e. Costs (including break down of costs) shall be expressed in INR.

6.5 Evaluation of Financial Proposal
i. In the second stage, the financial evaluation for Applicants who have
scored at least 75 Marks in the Technical Proposal will be opened. The
financial evaluation will be carried out by assigning a financial score
ii. Guidance Bureau will determine whether the Financial Proposals are
complete, unqualified or unconditional.
iii. The cost indicated in the Financial Proposal shall be deemed as final
and reflecting the total cost of services. Omissions, if any, in costing
any item shall not entitle the Applicant to be compensated and the
liability to fulfil its obligations as per the Terms of Reference within total
quoted price shall be that of the Applicant.
iv. The Applicant shall provide a joint financial proposal indicating
disaggregated financial bids (costs) for Task A and Task B. The cost for
Task A shall be indicated as the total cost for Task A and the cost Task
B shall be indicated as the cost per annum for the first year. The total
cost (F) shall be computed as follows:
F = FA + FB where FA is the cost as per the financial bid for Task A
and FB is the cost for the first year as per the financial bid for Task B.
For financial evaluation, the total weighted cost (FW) for Task A and
Task B indicated in the Financial Proposal shall be considered as
follows: FW = FA (1+TA) + 3 x FB X (1 + TB) where TA and TB are
applicable Goods and Services Tax rates for Task A and Task B
respectively. The lowest FW will be assigned as FP.
v. The lowest Financial Proposal (FP) will be given a financial score (FS)
of 100 points.
vi. The financial scores of other proposals (FS) will be computed as
follows: FS = 100 × FM /FW where FW = Amount of Financial
Proposal and FP is the amount of the lowest financial proposal.
The proposals must remain valid for a period of 120 days, as specified in this
RFP. During this period, the consultant is expected to keep available the
professional staff proposed for the Project. The Applicant will make its best

effort to complete negotiations, if any, within this period. If Guidance Bureau
wishes to extend the validify period of the proposals, it may ask the Applicants
to extend the validity of their proposals for a stated period. Applicants, who
do not agree, have the right not to extend the validity of their proposals.
6.6 Combined and Final Evaluation
i. Proposals will finally be ranked according to their combined technical
score (TS) and financial (FS) score as follows: S = TS x TW + FS x FW
Where TW and FW are weightage assigned to Technical and Financial
Score that shall be 0.8 and 0.2 respectively.
ii. The applicant has to score minimum 75 Marks in the Technical Proposal
Evaluation to be eligible for combined evaluation.
iii. The Applicants with top 3 (three) combined scores will be chosen as
Selected Applicants for the purpose of this RFP. The Selected Applicants
with higher financial bids will be asked to match the lowest financial bid.
In case the said Selected Applicants do not agree to match with the
lowest financial bid, the Authority can reject the said Selected Applicants
and proceed with the Applicants with next highest combined score.
iv. The Selected Applicants will be the first three ranked Applicants (having
the highest combined score). The other ranked Applicants shall be kept
in Reserve. In case the financial bid of the of highest Selected Applicant
exceeds the financial bid of the second highest Selected Applicant by
5% or more, the highest Selected Applicant will be asked to match the
mean of the financial bids of the highest and second highest Selected
Applicant.
v. The second highest Selected Applicant shall be invited to enter into an
Agreement with Guidance Bureau in case the highest Selected
Applicants withdraw(s), or fail(s) to match the lower financial bid as
mentioned in Clause above or fail(s) to comply with the requirements
specified in this RFP, as the case may be.
vi. The Applicants in Reserve shall be invited to enter into an Agreement
with Guidance Bureau in case one or more of the Selected Applicants

withdraw(s), or fail(s) to match the lower financial bid as mentioned in
Clause above or fail(s) to comply with the requirements specified in this
RFP, as the case may be.
vii. Guidance Bureau may select lesser than 3 (three) Selected Applicants,
if after due process, it is found that lesser than 3 (three) Applicants have
qualified the Selection Process as laid down in this RFP.
viii. Guidance Bureau reserves the right to cancel or reissue the tender if it
is found than only one Applicant has qualified the Selection Process as
laid down in this RFP.
7. GENERAL INFORMATION AND TERMS AND CONDITIONS
7.1 Number of Proposals
No Applicant shall submit more than one Proposal for the Consultancy. An
Applicant applying individually or as an Associate shall not be entitled to
submit another application either individually or as a member of any
consortium, as the case may be.
7.2 Language of the Proposal
All proposals and the supporting documents shall be in English language only.
7.3 Cost of Proposal
The Applicants shall be responsible for all of the costs associated with the
preparation of their Proposals and their participation in the Selection Process
including subsequent negotiations, visits to Guidance Bureau, if any, etc.
Guidance Bureau will not be responsible or in any way liable for such costs,
regardless of the conduct or outcome of the Selection Process.
7.4 Amendments
At any time prior to the deadline for submission of Proposal, Guidance Bureau
may, for any reason, whether at its own initiative or in response to
clarifications requested by an Applicant, modify the RFP document by the
issuance of Addendum/ Amendment and posting it on the official website. At

any time prior to the deadline for submission of Proposal, for any reason,
Guidance Bureau may, in its sole discretion, extend the due date of submission
on or before the due date for submission of proposals, by posting a notification
in this regard on the official website.
7.5 Currency conversion rate and payment
For the purposes of evaluation of Proposals, all payments to the Consultancy
Firm shall be made in Indian Rupee in accordance with the provisions of this
RFP and the Agreement. The Consultancy Firm may convert INR into any
foreign currency as per Applicable Laws and the exchange risk, if any, shall
be borne by the Consultancy Firm.
7.6 Conflict of Interest
Guidance Bureau requires that Consultant Firms and their Key Personnel
provide professional, objective, and impartial advice and at all times hold
Guidance Bureau’s interest’s paramount, strictly avoid conflicts with other
Projects or their own corporate interests and act without any consideration for
future work. Without limitation on the generality of the foregoing, the
Consultancy Firms and any of their affiliates, shall be considered to have a
conflict of interest and shall not be recruited
7.7 Acknowledgement by Applicant
It shall be deemed that by submitting the Proposal, the Applicant has:
a) made a complete and careful examination of the RFP;
b) received all relevant information requested from Guidance Bureau;
c) acknowledged that it does not have a Conflict of Interest; and
d) agreed to be bound by the undertaking provided by it under and in
terms hereof.
Guidance Bureau shall not be liable for any omission, mistake or error on
the part of the Applicant in respect of any of the above or on account of
any matter or thing arising out of or concerning or relating to RFP or the
Selection Process, including any error or mistake therein or in any information
or data given by Guidance Bureau.

7.8 Right to Reject any or all Proposals
Notwithstanding anything contained in this RFP, Guidance Bureau reserves the
right to accept or reject any Proposal and to annul the Selection Process and
reject all Proposals, at any time without any liability or any obligation for such
acceptance, rejection or annulment, and without assigning any reasons
thereof.
Without prejudice to the generality of the above clause, Guidance Bureau
reserves the right to reject any Proposal if:
i. at any time, a material misrepresentation is made or discovered, or
ii. the Applicant does not provide, within the time specified by Guidance
Bureau, the supplemental information sought by Guidance Bureau for
evaluation of the Proposal.
iii. Misrepresentation by/ improper response by/delay or non-
submission of supplemental information required from the Applicant
may lead to the disqualification of the Applicant. If the Applicant is
the Lead Member of a consortium, then the entire consortium may
be disqualified/rejected. If such disqualification / rejection occurs
after the Proposals have been opened and the Selected Applicants
get disqualified/rejected, then Guidance Bureau reserves the right to
consider the Applicant in Reserve, or take any other measure as may
be deemed fit in the sole discretion of Guidance Bureau, including
annulment of the Selection Process.
7.9 Earnest Money Deposit:
i. An Earnest Money Deposit (EMD) in the form of a Demand Draft, from
a scheduled Indian Bank in favour of “Tamil Nadu Industrial Guidance
and Export Promotion Guidance Bureau”, payable at Chennai, for the
sum of Rupees Five Lakhs only (Rs.5,00,000 only) will be required to
be submitted by each Applicant along with the technical proposal.
ii. Bids received without the specified Earnest Money Deposit shall be
summarily rejected.

iii. Earnest Money Deposits of unsuccessful applicants shall be returned,
without any interest, within three months after signing the contract
with successful applicant or when the selection process is cancelled
by the Client.
iv. For the successful applicant the Earnest Money Deposit will be
retained by the Client till the satisfactory achievement of all
milestones prescribed in the RFP and submission of the final report
complete in all respects.
7.10 Withdrawal of Proposals:
No modification or substitution of the submitted Proposal shall be allowed. A
consultant may withdraw its Proposal after submission, provided that the
written notice of the withdrawal is received by Guidance Bureau before the due date of submission of Proposals. The withdrawal notice shall be prepared
in original only and each page of the notice shall be signed and stamped by the Authorised Signatories. The copy of the notice shall be duly marked
“WITHDRAWAL”. No withdrawal will be permitted if the withdrawal request was received by Guidance Bureau after the last date of submission of proposal.
7.11 Performance Security:
The Successful consultant shall, before entering into contract, furnish a
performance guarantee for satisfactory execution of the consultancy in the form of a bank guarantee for an amount equivalent to 5% of the Agreement
Value (for Task A and Task B). The Bank Guarantee shall be valid till the close of the month in which Task B is concluded, inclusive of renewals, if any.
7.12 Forfeiture of EMD:
i. Failure by the Selected Consultant to accept the order issued by the
Client with respect to award of the Contract, within stipulated time
from the date of receipt of the order makes the EMD liable for
forfeiture at the discretion of Guidance Bureau. However Guidance
Bureau reserves its right to consider at its sole discretion the late
acceptance of the order by Selected Consultant.
ii. Failure to execute the Contract within stipulated time of acceptance
of the order by the Selected Consultant makes the EMD liable for

forfeiture at the discretion of Guidance Bureau. In such a case,
Guidance Bureau at its discretion, may cancel the order placed on the
Selected Consultant without giving any notice.
iii. Failure to submit the performance guarantee within stipulated period
from the date of execution makes the EMD liable for forfeiture. In
such instance, Guidance Bureau at its discretion may cancel the order
placed on the Selected Consultant without giving any notice.
7.13 Force Majeure
The failure of a Party to fulfill any of its obligations shall not be
considered to be a breach of, or default in so far so such inability arises from an event of Force Majeure, provided that the Party affected by such an event
has taken all reasonable precautions, due care and reasonable alternative
measures, all with the objective of carrying out the terms and conditions of the Contract. In the event of a Force Majeure event, the parties shall take the
following measures:
a) A Party affected by an event of Force Majeure shall take all reasonable
measures to remove such Party’s inability to fulfill its obligations
hereunder with a minimum of delay.
b) A Party affected by an event of Force Majeure shall notify the other
Party of such event as soon as possible, and in any event not later
than fourteen (14) days following the occurrence of such event,
providing evidence of the nature and cause of such event, and shall
similarly give notice of the restoration of normal conditions as soon
as possible.
c) The Parties shall take all reasonable measures to minimize the
consequences of any event of Force Majeure.
d) For the purposes of this RFP, “Force Majeure” means an event which
is beyond the reasonable control of a Party, and which makes a Party’s
performance of its obligations hereunder impossible or so impractical
as reasonably to be considered impossible in the circumstances by

acts of God and includes, but is not limited to, war, riots, civil disorder,
earthquake, fire, explosion, storm, flood or other adverse weather
conditions, strikes, lockouts or other industrial action are within the
power of the Party invoking Force Majeure to prevent), confiscation
or any other action by government agencies. Force Majeure shall not
include (i) any event which is caused by the negligence or intentional
action of a Party or agents employees thereof, nor (ii) any event which
a diligent Party could reasonably have been expected to both (A) take
into account at the time of conclusion of this Agreement and (B) avoid
or overcome in the carrying out of its obligations hereunder. Force
Majeure shall not include insufficiency of funds or failure to make any
payment required hereunder.
7.14 Termination for Default:
The Guidance Bureau may terminate the Contract if:
a) The Consultant fails to remedy any breach hereof or any failure in the
performance of its obligations hereunder, within fifteen (15) days of
receipt of notice of default or within such further period as the Guidance
Bureau may have subsequently granted in writing:
b) The Consultant becomes insolvent or bankrupt
c) If the Consultant fails to comply decisions / mandate of the Guidance
Bureau.
d) Any document, information, data or statement submitted by the
Consultant in its Proposals, based on which the Consultant was
considered eligible or successful, is found to be false, incorrect or
misleading; or
e) If the acts of Consultant are found to be unethical by Guidance Bureau.
The Consultant may also terminate the Contract for Default if the Guidance
Bureau is in material breach of its obligations pursuant to the Agreement and has not remedied the same within thirty (30) days (or such longer period as
the Consultant may have subsequently agreed in writing) following the receipt by the Guidance Bureau of the Consultant’s notice specifying such breach.

In the event of termination for default, the party at default shall be liable to pay damages to the party not at fault. In addition, Guidance Bureau shall
forfeit the Performance Security.
7.15 Termination without Default:
Guidance Bureau shall be at liberty to terminate the Agreement without
assigning any reason by giving 30 days written notice to the other party.
7.16 Penalty for Delay:
i. If progress of the assignment is not as per the agreed scope of work,
the Selected Bidder shall be liable to pay penalty to Guidance Bureau.
For delay a penalty up to 25% of payment for that deliverable will be
deducted from the next due payment. This provision will be without
prejudice to the right of Guidance Bureau to exercise its right to
terminate the contract and claim damages.
ii. For any delay or for poor quality of output of deliverables, 25% of
the monthly retainership for the month in which deliverables in
question is due will be deducted.
7.17 Discretionary Powers
Guidance Bureau, in its sole discretion and without incurring any obligation or
liability, reserves the right, at any time, to:
i. suspend and/or cancel the Selection Process and/or amend and/or
supplement the Selection Process or modify the dates or other
terms and conditions relating thereto;
ii. consult with any Applicant in order to receive clarification or
further information;
iii. retain any information and/or evidence submitted to Guidance
Bureau by, on behalf of and/or in relation to any Applicant; and/or
iv. independently verify, disqualify, reject and/or accept any and all
submissions or other information and/or evidence submitted by or
on behalf of any Applicant.

7.18 Indemnity
It shall be deemed that by submitting the Proposal, the Applicant agrees
and releases Guidance Bureau, its employees, Consultants and advisers,
irrevocably, unconditionally, fully and finally from any and all liability for
claims, losses, damages, costs, expenses or liabilities in any way related to
or arising from the exercise of any rights and/or performance of any
obligations hereunder, pursuant hereto and/or in connection herewith and
waives any and all rights and/or claims it may have in this respect, whether
actual or contingent, whether present or future.
7.19 Confidentiality
All documents and other information supplied by Guidance Bureau or
submitted by an Applicant shall remain or become, as the case may be, the
property of Guidance Bureau. Applicants are required to treat all such
documents and information as strictly confidential. Guidance Bureau reserves
the right to make inquiries with any of the clients listed by the Applicants in
their previous experience record.
7.20 Period of Consultancy
The period for contract for scope of work in Section 3.1 shall be 6 months and
for scope of work in Section 3.2 shall be one year from the date of
commencement of work. The scope of work for in Section 3.2 shall be
renewable annually for up to two subsequent years subject to the satisfactory
performance of the selected firm, as assessed by Guidance Bureau and on
mutual agreement. Confirmation regarding the same shall be given by both
the parties at least 15 days prior to the last date of engagement, every year.
7.21 Commencement of Work
The entire project team shall commence the work within 7 days from the issue
of letter of award of the contract.
7.22 Availability of Project Team
The Project Team shall be available at the offices of Guidance Bureau (as

required by Guidance Bureau) on all the working days of the Government of
Tamil Nadu, and on public holidays also as and when necessary as required
by Guidance Bureau. This is necessary since the Project Team needs to
support Guidance Bureau continuously throughout the period of the
consultancy. The attendance of the personnel will be monitored by Guidance
Bureau. All the personnel of the Project Team shall necessarily put in not less
than 22 working days in any calendar month.
7.23 Replacement of the personnel
Change of personnel shall not be permitted in the first year. The Guidance
Bureau may on specific application allow the Applicants to replace the
personnel deployed with prior notice of at least 15 (fifteen) days in the
subsequent years. It may be noted that Guidance Bureau may require the
Applicant to replace any of the personnel deployed by said Applicant prior to
relieving the personnel. The Consultancy Firm shall then have to propose 3
(three) names for replacement duly furnishing the qualifications and
experience of the said personnel meeting the criterion in this document. The
said qualifications and experience shall be as provided at the time of
submission of RFP. Guidance Bureau will have the option of choosing from
amongst them after due interaction, if considered necessary by Guidance
Bureau and at the cost of the Consultancy Firm. The personnel shall be only
relieved after due knowledge transfer to the new personnel with an overlap
period of 1 week.
7.24 Performance Reviews
Guidance Bureau shall review any or all the Key Personnel of the Consultancy
Firm, any or all of the documents, and advice forming part of the Consultancy,
in meetings and conferences which will be held by Guidance Bureau on a
quarterly basis. The Project Lead and/or respective personnel shall be
available as required by Guidance Bureau and make formal presentations to
Guidance Bureau on the work done. They shall be available for
periodic/regular review, as required by Guidance Bureau.

7.25 Payment Schedule
The payments will be made to the successful Consultant Firms after
completion of every month on submission of, a monthly report of deliverables
submitted to Guidance Bureau for that particular month, time and attendance
statement for that particular month and invoice (in duplicate), by the said
Consultant Firms.
7.26 Dispute Resolution
In case of any disputes, the Selected Applicant and Guidance Bureau
shall try to resolve it amicably. The Selection Process and the Agreement shall
be governed by, and construed in accordance with, the laws of India and the
Courts of Chennai shall have exclusive jurisdiction in respect of all disputes
arising under, pursuant to and/or in connection with the Selection Process and
the Agreement.

The score will be computed for each consultant along the following criteria, provided the minimum criteria is met and an average score
across all consultants will be taken as the score for this sub-section.
1 i. Experience in investment promotion assignment for at least 2
