John is a co-founder and Managing Director of Cardinal Equity Partners and has been involved with the purchase and management of middle market businesses since 1993. Today, John provides board-level oversight to seven businesses ranging in size from $15 million to over $200 million. John also serves as a board member of Hulman & Company (parent company of the Indianapolis Motor Speedway), Crew Carwash, Inc. and Walker Information, Inc.

Prior to John’s private equity experience, John was with the Quaker Oats Company where he managed a variety of the company’s brands, and he also served as a commercial lender for The National Bank of Detroit.John serves on the boards of The Children’s Museum of Indianapolis, Eskenazi Health Foundation, Avondale Meadows Academy Charter School and the Indianapolis 500 Festival Foundation. He also currently serves as chairman of the Indiana chapter of the World President’s Organization (WPO). In the past, John has served in board leadership roles for Conner Prairie Museum and Foundation, The Venture Club of Indiana and The Villages of Indiana, the state’s largest child welfare nonprofit organization.

He has a bachelor’s degree in business from The University of Michigan and a master’s in management from the J.L. Kellogg School of Business at Northwestern University. John, a native of Indianapolis, is married and has two children.

Devin is responsible for day-to-day oversight and management of E&A’s portfolio companies. He also leads the acquisition team. E&A portfolio companies have included diverse industries such as:

In 1997, Devin led the acquisition and served as CEO/President of Gilchrist & Soames, a purveyor of fine English toiletries in the North American independent luxury hotel market. Under his leadership, the company grew from a regional company with 10 employees and $6 million in revenue to a global platform business with 120 employees and $48 million in revenue. In October 2007, Devin led the sale of Gilchrist & Soames to Swander Pace Capital.

In March 2010, E&A acquired Udi’s Healthy Foods (d.b.a. Udi’s Gluten-Free Foods) located in Denver, Colorado. Devin led the acquisition and also served as CEO/President of Udi’s Healthy Foods while commuting to weekly to Denver. Under his leadership, Udi’s grew from a regional company with $5 million in revenue to a national platform business with over 250 employees and 2012 annualized revenue of $95 million. In July of 2012, Devin led the sale of Udi’s Healthy Foods to Smart Balance, Inc. (now Boulder Brands).

Prior to joining E&A Industries in 1997, Devin served in a number of political and government leadership positions including Chief of Staff to Indiana Congressman David McIntosh in Washington, D.C., U.S. Senator Dan Coats and the Indiana Republican Party.

Devin is a graduate of Franklin College. He is a member of the Young Presidents’ Organization (YPO); a trustee of Franklin College, serving on the Executive Committee and as Development Committee Chair; the Indianapolis Zoo Executive Committee and the Indiana Chamber of Commerce Board of Directors, serving as the Chairman of the Federal Affairs Committee.

Brian BakerExecutive Vice President of Corporate Finance | City Securities Corporation

Brian Baker has advised clients ranging from small, family-owned businesses to large, multinational, publicly-held corporations on accounting, financial, tax and legal aspects of corporate transactions since 1995. Brian has advised on cross-border transactions involving companies based in Canada, Europe, South America and Asia.

Prior to joining City Securities in 2004, and being appointed head of City Securities Corporate Finance in 2013, Brian practiced as a certified public accountant with the Indianapolis office of Deloitte & Touche LLP, an international public accounting firm, in the areas of business advisory and assurance services as well as tax compliance and consulting services. While at Deloitte & Touche, Brian served clients in the distribution, manufacturing and financial services sectors, and advised on several mergers, acquisitions and public offerings of securities. Brian then practiced as an attorney with the Indianapolis law firm of Krieg DeVault LLP in the areas of corporate transactional law, financial institutions law, tax law and securities law. Brian holds a law degree from the Indiana University School of Law, a Bachelor of Business Administration in accountancy from the University of Notre Dame, and FINRA Series 7, 24 and 63 securities registrations in Indiana. Brian has been active in many community and professional organizations throughout his career and is a frequent lecturer and speaker on corporate finance-related topics.

David Barrett’s mergers and acquisitions experience includes representing buyers, sellers and investment banks in the negotiation and consummation of transactions in manufacturing, chemicals, retail, service, logistics, financial institutions, life sciences, oil and gas, alcoholic beverages and other industries. He has created a subspecialty in the purchase and sale of convenience stores and retail fuel outlets, including representing one of the largest players in the industry.

David also represents companies headquartered in more than a dozen states, as well as several headquartered internationally. In addition to M&A, David has led multiple joint venture and other strategic transactions, including several public-private partnership transactions.

David’s clients range from very small businesses with single owners to multinational companies. He has handled transactions ranging from less than $1 million to $1.9 billion, with the majority of his practice involving middle market deals of less than $100 million.

David has acted as Indiana counsel on several large transactions involving out-of-state interests, many of which required opinion letters on specific Indiana corporate law issues.

David Becker

David Becker is the Chairman and Chief Executive Officer of First Internet Bancorp, where he has served as Chairman and CEO since the Bancorp became effective in 2006. David founded and today serves as President and CEO of the Bancorp’s subsidiary, First Internet Bank, which launched to the public in 1999.

David has a history of more than 30 years with successful entrepreneurial companies in financial services and technology, and is actively involved in several philanthropic organizations.

In 1981, he founded re:Member Data Services to provide electronic data processing services to credit unions throughout the United States. He served as CEO of re:Member Data Services until the company was acquired by Open Solutions Inc. in 2004. David founded and served as CEO at OneBridge, a credit and debit card processing firm, until it was acquired by Vantiv in 2014. In 1995, he founded VIFI, which provided Internet services to financial institutions and corporations until it was acquired by Digital Insight Corporation in 2002. David also founded and remains actively involved as CEO of two other Indianapolis-based companies: DyKnow, a company specializing in educational technology for interactive learning experiences; and RICS, a firm that provides inventory control and POS systems for retailers via the Web.

David was the first Chairman and remains on the board of TechPoint, a change agent for Indiana’s technology industry. He is a past Chairman and member of the board of the TechPoint Foundation for Youth, promoting STEM education programs for students in the state. David also served as Chairman of the Central Indiana Community Foundation (CICF), a public charity established to improve philanthropic services supporting the central Indiana region.

A firm believer in the value of higher education, David has supported a number of Indiana universities and educational organizations. He is currently a member of the Dean’s Advisory Council for the School of Informatics at Indiana University (IUPUI) and the advisory board for The Robert C. McDermond Center for Management and Entrepreneurship. He has previously served on an advisory board for the IT Associates Program at DePauw University as well as the board of trustees at Vincennes University. Mr. Becker also served on the board of the Central Indiana Corporate Partnership, an alliance of CEOs and university presidents working to promote economic growth.

David is a 2001 recipient of the Ernst & Young Entrepreneur of the Year award and a 2002 recipient of the TechPoint Trailblazer in Technology award. In 2004, he was named Sagamore of the Wabash by Indiana Governor Joe Kernan. In 2008, he was inducted into the Junior Achievement-sponsored Central Indiana Business Hall of Fame. In February 2015, he was granted the prestigious Lifetime Achievement Award in Mentoring by College Mentors for Kids.

David is a graduate of DePauw University.

Jeff Brown has a diverse legal practice that is principally devoted to financing and acquisition transactions. He commonly represents corporate issuers in connection with acquisitions, securities offerings and corporate governance matters. He also represents financial investors and management participants in private equity and venture capital transactions, leveraged buyouts, recapitalizations and other complex transactions. In addition, he represents a number of public and private companies on a day-to-day basis in all aspects of their business law needs.

Jeff is the 2015 M&A Lawyer of the Year in Indianapolis as named by The Best Lawyers in America. (He was also the 2014 Venture Capital Lawyer of the Year and 2012 Private Equity Lawyer of the Year.) He is ranked Band 1 in Indiana for Corporate/M&A by Chambers USA.

In addition to practicing law, Jeff is an active investor in the public and private equity markets. Jeff has an MBA and currently is a Level II candidate in the CFA (Chartered Financial Analyst) Program, a rigorous and comprehensive study program in the field of investment management and research analysis. Chris CaniffSenior Managing Director | Periculum Capital Company

Chris Caniff is a Senior Managing Director of Periculum Capital Company, a leading investment and merchant banking firm providing mergers and acquisitions advisory services, corporate finance and capital markets services, and merchant banking services. Chris heads the firm’s merger and acquisition practice and has completed over 55 transactions during his tenure with the firm.

Since 2001, Chris has been instrumental in expanding Periculum’s mergers and acquisitions practice and developing the firm’s debt capital markets practice. Notable recent transactions include the sale of Florida Chemical Company to Flotek (NYSE:FTK), the sale of Saran Industries to Titan Equity Partners, the sale of Corn Flour Producers to Bunge North America, Inc. and the sale of Petsuites to National Veterinary Associates.

Prior to joining Periculum, Chris was co-founder of the Indiana division of The Provident Bank, responsible for developing $100 million in outstanding loans in the first year and a half of operations. Prior to The Provident Bank, Chris spent time with both Bank One and First Chicago/NBD in their respective commercial banking groups.

Chris was selected to the Indianapolis Business Journal’s “40 under 40” list in 2005, and was a finalist for Indy’s Best and Brightest in the category of Banking and Financial Services in 2004. He previously served on the board of directors of the Indiana Chapter of the Association for Corporate Growth. Chris is a graduate of Indiana University with a B.A. in economics.

Dan is the Tax Leader for Ernst & Young’s Indiana practice and a partner in the Transaction Advisory Services practice.

Prior to returning to E&Y in 1999, Dan practiced tax law in the tax and mergers and acquisition areas as a partner with one of Indianapolis’ largest law firms.

Dan has assisted many firms in a variety of taxable asset acquisitions, taxable share acquisitions, tax-deferred asset acquisitions, tax-deferred share acquisitions, initial public offerings, management buyouts, leveraged buyouts, joint ventures, spin-offs, and other strategic alliances and financing transactions as well as internal restructurings.

Karen Dehaan-FullertonDivision General Counsel | Zimmer

Karen joined Zimmer in October 2007 as Associate Counsel. In 2011 she was appointed Division General Counsel for the Trauma and Surgical divisions of Zimmer and in 2013 was named Assistant General Counsel, Global Businesses and Americas. During her time at Zimmer, Karen has worked on numerous transaction including acquisitions, divestitures and licensing arrangements.

Prior to joining Zimmer, Karen was a partner at Sommer Barnard (now Taft Stettinius & Hollister) focusing primarily on M&A and tax law.

Brian E. EdelmanCFO and Treasurer | Purdue Research Foundation

Brian E. Edelman serves as the Chief Financial Officer and Treasurer for Purdue Research Foundation. Established in 1930, the foundation manages its nearly $3 billion endowment, accepts gifts, administers trusts, funds scholarships and grants, acquires property, protects Purdue University’s intellectual property, and promotes entrepreneurial activities on behalf of Purdue.

Brian is responsible for the areas of finance and investment, real estate transactions and information systems for the Foundation. He also oversees the operations of the Chao Center for Industrial Pharmacy & Contract Manufacturing, a pharmaceutical manufacturing facility based in the Purdue Research Park of West Lafayette that produces and distributes legacy and orphan drugs for niche markets.

Previously, Brian served as Vice President of Corporate Finance and Investment Banking for Eli Lilly and Co. where his responsibilities included the creation and execution of the company’s mergers and acquisitions strategy and the economic and financial analyses of licensing transactions. In fulfilling these responsibilities at Lilly, he gained 12 years of experience in the company’s financial component and 18 years of business development and strategy work during which he closed biotech, animal health, public, private, friendly and hostile transactions totaling approximately $20 billion.

Edelman earned a Bachelor of Science degree in economics from Wabash College and a Master of Science degree in finance from Purdue University’s Krannert School of Management. Edelman directly joined Eli Lilly and Co. after graduating from Purdue.

Beau GarverickVice President, Corporate and Business Development | Anthem, Inc.

Beau Garverick is currently Vice President, Corporate and Business Development at Anthem where he is responsible for the sourcing, diligence, valuation, strategic rationale and negotiation of mergers and acquisitions, joint ventures, partnerships and other corporate investments.

Prior to rejoining Anthem one year ago, he was Vice President, Corporate Finance at Coventry Healthcare where he had responsibility for corporate development, debt financing, share buybacks

and the dividend program. His four-year stay at Coventry resulted in a sale of the company to Aetna for $8.3 billion. Prior to joining Coventry, he worked at WellPoint in the Corporate Development group as well as the Chief of Staff for Comprehensive Health Solutions which was responsible for all provider contracting, medical management, pharmacy contract and informatics. While at WellPoint, he was instrumental in the sale of WellPoint’s Pharmacy Benefit Management Company to Express Scripts for $4.8 billion as well as the acquisitions of numerous health plan and cost containment companies ranging from $5 million to $500 million.

Before moving to Indianapolis, Mr. Garverick was also an investment banker in New York City for six years focusing on health care companies. Beau received his International MBA from the University of South Carolina’s Darla Moore School of Business and currently resides in Indianapolis with his wife and daughter.

Patrick Jensen currently serves as a Managing Director of Prairie Capital, and is responsible for sourcing and evaluating potential investments, structuring and negotiating transactions, and working with portfolio companies.

Prior to joining Prairie Capital in 2012, Patrick enjoyed a successful 15-year career in investment banking, most recently as a Managing Director in the Chicago office of Duff & Phelps, which he joined

in 2000. Patrick began his career at Vine Street Partners, Inc., a boutique investment bank focused on sellside, buy-side and capital raising transactions.

With over 15 years dedicated to the middle market, Patrick has closed more than 50 transactions, working predominately with entrepreneurs, families and privately held businesses.

Christine Long concentrates her practice in the areas of securities law, mergers and acquisitions, and general corporate law. She focuses primarily on counseling public companies with respect to ongoing disclosure and periodic reporting requirements under securities laws, including preparation of SEC reports and other disclosure documents. Christine also focuses on advising public companies on corporate governance matters, stock exchange requirements, executive compensation matters and disclosure issues.

Christine also has experience with public offerings, private placements and other securities transactions. She has advised companies in connection with mergers, acquisitions and dispositions. Christine also provides legal counsel with respect to general business matters and contract preparation.

Christine, who first joined the firm in 1995 as an associate, was a firm partner from 2005-07. Scott co-founded Centerfield with Tom Hiatt in 1998. He is responsible for sourcing investment opportunities, overseeing due diligence, structuring and negotiating transactions, portfolio management and investor relations.

Scott has nearly 40 years of experience in private equity, investment banking, international banking and corporate banking. Prior to forming Centerfield, Scott headed several middle market corporate

banking divisions for Indiana National Bank and also managed the bank’s London office for several years. Later, he established and led the Capital Markets Group for NBD Bank in Indiana. In this capacity, he and his team participated in a broad range of corporate finance transactions, including advising on merger and acquisitions, structuring mezzanine debt and equity placements, and completing corporate bond and note placements.

Randy Paine is the President of KeyBanc Capital Markets. Additionally, Randy is a member of KeyCorp’s Executive Council. Scot is the President and Managing Director at CID. For nearly 20 years he has energized management teams to challenge themselves to achieve goals they didn’t know were possible and then put in place the resources and the team to make it all happen.
