Welcome to Articulate Quizmaker 2 Documentation

Articulate Quizmaker 2 provides a comprehensive yet easy-to-use set of tools for creating highly customized Flash-based quizzes, assessments and surveys without the need for difficult programming.

Quizmaker lets you:

• Create Flash-based quizzes that stand alone on your Web site, integrate with Articulate Presenter courses and presentations or connect with your SCORM- or AICC-compliant learning management systems.

• Choose from 21 different graded and survey question types – including true/false, multiple choice, fill in the blank, matching, hotspot, Likert scale and more.

• Incorporate images and Flash movies to add interest and clarity to questions. • Provide feedback (or not) based on quiz-takers’ responses. • Display results and specify actions that quiz takers follow based on their scores. • Customize buttons and labels with your choice of text and language. • Brand your quizzes with custom colors and sounds. • Capture quiz results through e-mail, your LMS, Articulate Online or Articulate Knowledge

Launching the Program

Articulate Quizmaker 2.0 is a stand-alone desktop application. Launch it like you would any other Windows-based program.

To launch Articulate Quizmaker:

1. Double-click the Articulate Quizmaker shortcut icon your desktop, or go to Start -> All Programs -> Articulate -> Articulate Quizmaker 2.0 -> Articulate Quizmaker 2.0 (exact path may vary).

2. When the application launches, you will see the Welcome Screen.

3. Click the option of your choice on the Welcome Screen:

• Open a recent quiz: Click the name of the quiz you would like to open

• Create a new quiz: Click Create a new Articulate Quizmaker Quiz

• Resources: Choose from the following resources:

• Getting Started: Opens the Articulate Quizmaker Getting Started Guide

• Help Documentation: Launches this documentation.

• About Articulate Quizmaker 2.0: Opens the About box.

Creating Quizzes

Creating Quizzes

A Quiz can be stand-alone or integrated into your Articulate Presenter presentation or e-learning course. A quiz can contain any number and any combination of questions.

To create a Quiz:

1. There are four methods for creating a new quiz:

a. Click Create a new Articulate Quizmaker Quiz from the Welcome Screen.

b. Click the New Quiz button on the toolbar.

c. Select New Quiz from the File menu.

d. Press control-N on your keyboard.

2. Enter the Quiz Title, select whether your quiz will be graded or will not be graded and will contain only survey questions, and click Next.

Tip: Choose Graded Quiz if you want your quiz to be scored. Graded quizzes contain one or more graded questions and can also contain survey questions. Choose Survey if your quiz will contain only survey questions.

3. Review the 3-step process for creating a new quiz, then click Begin.

You can have only one quiz open at a time.

Tip: You can save an open quiz at any time by clicking Save Quiz (or by going to File -> Save or pressing control-S).

Once your new quiz is open, you can review or modify the Quiz Properties, or begin to add new questions to your quiz.

Editing Quizzes

Editing Quizzes

A saved quiz file will reside on your system with the file extension “.aqm” (Articulate Quizmaker). The default location for quizzes saved on your computer is here (exact path may vary depending on version of Windows):

C:\Documents and Settings\<username>\My Documents\My Articulate Quizmaker Quizzes

To edit a Quiz:

1. Open Articulate Quizmaker.

2. There are four methods for opening an existing quiz:

a. Click the name of one of your eight most recent quizzes on the Welcome Screen.

b. Click the Open Quiz button on the toolbar and navigate to your .aqm file.

c. Select Open Quiz from the File menu and navigate to your .aqm file.

d. Press control-O on your keyboard and navigate to your .aqm file.

2. Make desired changes or additions to your quiz.

Tip: You can edit an existing quiz question by double-clicking it.

Graded Questions

True/False Questions

A True/False Question is a question, usually a statement that is either true or false, followed by two choices, one of which is the correct answer. There is only one correct answer to this type of question.

To add a True/False Question to your Quiz:

1. Click the Add Graded Question button on the toolbar and select True/False (or press Ctrl+T)..

2. Enter your question.

3. Optionally, select an image to include with this question. Supported image types include .JPG, .JPEG, .GIF, .PNG, .SWF. If the image is wider than 200 pixels, Articulate Quizmaker will automatically size it to fit on the question screen and provide a “Zoom” feature for the user.

4. Enter two possible Choices for your question. Note that after you have clicked in the answer grid, you can navigate through your answers by using the Tab key to move forward and Shift-Tab to move backward.

5. Click the box in the Correct column next to the correct Choice for this question.

6. Set the Feedback Type for this question. You can choose None or Question Level.

a. None: No feedback will be provided to your users after answering the question.

b. Question Level: Feedback will be provided to your user after answering the question. This method allows you to provide different feedback depending on whether the answer provided by the user was correct or incorrect. Click the “…” box to enter correct and incorrect feedback.

7. Set the Number of Attempts Permitted. There is a range of 1 through 10 or unlimited attempts, which will allow a user to keep guessing until the correct choice is selected.

8. Set the Point value of this question. This should be a whole integer between 1 and 999.

9. Set Font size for Questions and Answers to any size between 10 and 24. Click Fonts to set the sizes.

Tip: You can set defaults for steps 6-9 above in Quiz Properties. See Question Defaults and Question Feedback for details.

You can preview your question by clicking the Preview button in the lower-right corner.

When you are satisfied with your question, click OK to save this question to your quiz.

Note: You can cancel your changes by clicking the Cancel button. This will revert your question to its last-saved state.

Multiple Choice Questions

A Multiple Choice Question is a question followed by a minimum of one and maximum of 10 possible answers. There is only one correct answer to this type of question.

To add a Multiple Choice Question to your Quiz:

1. Click the Add Graded Question button on the toolbar and select Multiple Choice (or press Ctrl+M)..

2. Enter your question.

1. Optionally, select an image to include with this question. Supported image types include .JPG, .JPEG, .GIF, .PNG, .SWF. If the image is wider than 200 pixels, Articulate Quizmaker will automatically size it to fit on the question screen and provide a “Zoom” feature for the user.

2. Enter all possible Choices for your question. Note that after you have clicked in the answer grid, you can navigate through your answers by using the Tab key to move forward and Shift-Tab to move backward.

3. Click the box in the Correct column next to the correct Choice for this question.

c. Answer Level: Feedback will be provided to your user after each attempt. This method allows you to provide different feedback based on the specific answer selected. A Feedback column will appear next to each Choice. Enter the Feedback you would like to display when a user picks the corresponding choice.

5. Set the Number of Attempts Permitted. There is a range of 1 through 10 or unlimited attempts, which will allow a user to keep guessing until the correct choice is selected.

6. Determine whether to Shuffle Answers. With this option selected, the choices will appear in a random order.

7. Set the Point value of this question. This should be a whole integer between 1 and 999.

8. Set Font size for Questions and Answers to any size between 10 and 24. Click Fonts to set the sizes.

Tip: You can set defaults for steps 6-10 above in Quiz Properties. See Question Defaults and Question Feedback for details.

You can preview your question by clicking the Preview button in the lower-right corner.

Multiple Response Questions

A Multiple Response Question is a question followed by a minimum of one and maximum of 10 possible answers. Any number of choices can be correct, but the user must select the right combination of choices for the question to be answered correctly.

Example: If you designate Choices A, C, and E as correct and a user selects only C and E, the question will be incorrect since Choice A was excluded from the user’s guess.

To add a Multiple Response Question to your Quiz:

1. Click the Add Graded Question button on the toolbar and select Multiple Response (or press Ctrl+R)..

Fill in the Blank Questions

A Fill in the Blank Question is a question followed by a blank field into which the user must type an answer. You can input a minimum of one and maximum of 10 acceptable answers. There is only one correct answer to this type of question, although you may want to account for variations in response.

Example: If your question is “Name the city where Articulate is located,” you may want to include all of the following as acceptable answers:

• New York City

• New York

• NYC

• NY

• N.Y.C.

• N.Y.

• Manhattan

• The Big Apple

Note: Case does not matter, but punctuation does.

To add a Fill in the Blank Question to your Quiz:

1. Click the Add Graded Question button on the toolbar and select Fill in the Blank (or press Ctrl+F).

2. Enter your question.

A Word Bank Question is a question that allows your users to drag-and-drop the correct word response into the empty text box. There can be only one correct answer. You can have a minimum of one and a maximum of 10 word choices.

To add a Word Bank Question to your Quiz:

1. Click the Add Graded Question button on the toolbar and select Word Bank.

2. Enter your question.

Matching Drag and Drop Questions

A Matching Drag and Drop Question is a question that allows your users to drag and drop items in the second column to match items in the first column. There is a minimum of one pair and maximum of 10 pairs for each Matching Question. There is only one correct answer to this type of question since all items in the matching column must correctly correspond to all items in the choice column.

To add a Matching Drag and Drop Question to your Quiz:

1. Click the Add Graded Question button on the toolbar and select Matching Drag and Drop.

Sequence Drag and Drop Questions

A Sequence Drag and Drop Question is a question that allows your users to drag and drop items to arrange in sequence. There is a minimum of one item and maximum of 10 items for each Sequence Question. There is only one correct answer to this type of question since all items must be correctly ordered.

Example 1: A sequential ranking question might ask your users to "Put the following steps for building a Quizmaker quiz in the correct order" (randomly shown here):

• Notify users

• Create your quiz

• Open Quizmaker

• Upload your quiz to LMS

• Publish your quiz

Example 2: A values-based ranking question might ask your users to "Rank these countries in order based on their population sizes" (randomly shown here):

• Canada

• United States

• Japan

• India

To add a Sequence Drag and Drop Question to your Quiz:

1. Click the Add Graded Question button on the toolbar and select Sequence Drag and Drop (or press Ctrl+K).

4. Click the Create Hotspot button again (or at any time later) to edit the hotspot for the image. You can have one hotspot area that you will define by using your mouse to create a box in the desired area of the image.

5. By default, the box Scale image to prevent scrolling is checked. If your image is larger than approximately 700 x 425, depending on the length of question text, this option will resize your hotspot image to fit within the quiz window without adding scrollbars. Uncheck the box if you do not want your image to be automatically resized.

Managing the Question List

The Question List is an overview of all questions in a quiz.

Creating a new question will add it to the end of the list. The Question List displays the following details:

• Total points possible for the quiz

• Number of attempts

A number of actions are available when viewing the Question List. Right-click on any question to access the following options:

• Preview: Shows a preview of the question

• Edit: Modify the question, answers, or attributes

• Duplicate: Make a copy of the question

• Add Label: Change the text that displays in the list to something other than the question text, which is the default

• Remove Label: Remove any custom text label you've added. Removing the label reverts to the default setting, which is to show a preview of the question text.

• Delete: Permanently remove the question

• Move to Top: Move the selected question to the beginning of your list

• Move Up: Move the selected question up one position in your list

• Move Down: Move the selected question down one position in your list

• Move To Bottom: Move the selected question to the end of your list

Additionally, certain question types allow conversion into a similar question type. If you have one of the questions types listed below in your quiz, you can convert it into the corresponding question type:

Articulate Quizmaker 2.0 allows you to customize quiz properties for each quiz you create.

There are 5 different areas of a quiz that can be modified:

Additionally, you can toggle between Quiz type: Graded Quiz or Survey.

To modify Quiz Properties:

1. Click the Quiz Properties button on the toolbar.

2. Select the Quiz type: Graded Quiz or Survey. This should already be selected based on your choice when you created your quiz. You need only change it if you’ve changed your mind.

3. Click the section whose properties you wish to modify.

4. When finished making changes, click OK.

Player Text Labels

Every text element of the quiz interface -- buttons and messages -- can be customized to display any text you'd like. This is particularly useful when targeting additional languages or cultures.

To modify Player Text Labels:

1. From the Edit menu, select Player Text Labels.

You can create your own color schemes for your quiz, as well as define quiz behavior and audio effects.

To modify Colors and Effects:

a. Full (default): For each question, the header graphics will be fully animated.

b. Subtle: The header graphics on the first question will be fully animated. All subsequent question headers will have a subtle animation.

c. Off: No header graphics will be animated.

7. If you wish to modify your quiz Question transition style, select from the drop-down one of the two options:

a. Fade (default): When your user navigates from question to question, there will be a fade effect.

b. Cut: When your user navigates from question to question, there will be a quicker, cut effect.

8. If you wish to modify your quiz Sound effects, select from the drop-down one of the two options:

a. Enable (default): Your quiz will include sound effects. (Advanced tip: You can replace the default sound effects with custom sounds by replacing the files in the "sounds" directory of your output folder. For example, if you don't want the default audio associated with submitting an answer, overwrite "snd_answer_submit.mp3" with your own sound file, using the same name.)

b. Disable: Your quiz will not include sound effects.

9. Click the Preview button if you wish to preview your changes. Keep the following pointers in mind:

• You must have at least one question in your quiz in order to Preview changes to colors and effects.

• If your quiz has two or more questions, the Preview will show only two questions.

10. Click OK to save your changes to this quiz.

You can close the Colors and Effects editor at any time without saving your changes by clicking the Cancel button.

Publish for Web

Articulate Quizmaker provides simple, 1-click publishing for generating your Flash-based quiz or survey. If you're creating a quiz or survey to view on your computer or share on a Web site, use the Publish for Web option.

To Publish for Web:

1. Click the Publish button on the toolbar (or from the Publish menu).

2. Select the Web publish option. This is the default selection.

Publish for Articulate Presenter

Articulate Quizmaker provides simple, 1-click publishing for generating your Flash-based quiz or survey. If you're creating a quiz to incorporate into an existing or new Articulate Presenter e-learning course or presentation, use the Publish for Articulate Presenter option.

Tip: If you want to publish directly to your PowerPoint presentation, begin by opening your PowerPoint file. Then select the slide after which you want the quiz inserted.

To Publish for Articulate Presenter:

1. Click the Publish button on the toolbar (or from the Publish menu).

2. Select the Articulate Presenter publish option.

2. Specify a Publish location for your Articulate Quizmaker Package (.AQP). This is the file you will insert via Articulate Presenter. 1. Make sure you're using Articulate Presenter 4.106 or later (Articulate -> About Articulate Presenter). To upgrade, use the link in your activation email.

2. Go to Articulate -> Quizzes and Learning Games -> Insert QuizMaker Quiz.

3. Select the option to Insert published QuizMaker quiz. (Note that you also have the option to Create new Articulate QuizMaker quiz.)

4. Click Browse to locate the .AQP file you published.

5. Specify whether to Require the user to complete the quiz or if User can leave quiz at any time.

6. In the final steps of the wizard, set up your branching, which determines where your user will go if she or he passes or fails (options include closing window, a specific URL, the next or previous slide (dynamic), or a specific slide number).

If you have an Articulate Online trial or paid account and wish to publish content directly to your account, then follow the Publish to Articulate Online instructions below.

Properties

In the Published title field, type the name for your published quiz or survey.

In the Description field, type a description for your published quiz or survey that will appear along with the quiz or survey in your Articulate Online account.

Optionally, set your Quiz Properties, Player Text Labels, and Color and Effects.

Click the Reporting and tracking... button to determine how your quiz or survey's status will be tracked and deemed complete by Articulate Online.

Select from the drop-down the option you would like Articulate Online to use in reporting the status of this quiz or survey. Options include the following:

Account Information

In order to Publish to Articulate Online, you must already have an existing account. You can learn more about Articulate Online, including how to create a free 30-day trial account or how to purchase a paid account, here:

Publish to Articulate Online – Finish

After you begin publishing to Articulate Online, Articulate Presenter will automatically upload your e-learning course or presentation to your account.

When the upload is complete, you will have the option to launch your Web browser to view or manage the content item in your Articulate Online account. The checkmark is selected by default, so click OK to view, or uncheck the box and click OK to complete the publishing/upload process. Your selection will be remembered the next time you publish.

Manually Publishing to Articulate Online

If you are unable to connect to Articulate Online because of a corporate or local firewall you can manually publish and upload your documents to Articulate Online.

1. To Publish from Quizmaker for manual uploading to Articulate Online you must first enable publish for manual uploading to Articulate Online in Articulate Presenter.

2. In PowerPoint, go to Articulate -> Library and Options -> Other. 3. Select the option to Enable publish for manual uploading to Articulate Online. 4. Click OK.

5. In Quizmaker, go to Publish -> LMS. 6. Under Output Options, select from the dropdown menu AO.

To Publish for Word:

1. Click the Publish button on the toolbar (or from the Publish menu).

2. Select the Word publish option.

2. Specify a Publish location for your quiz. The default location is in this directory: My Documents\My Articulate Quizmaker Quizzes. Use the Browse button or type a directory path if you want to pick a different location on your computer.

a. Full quiz details (default): Creates a Word document with all quiz details.

RETURN: IF YOU ARE NOT AUTHORIZED TO ENTER INTO THIS AGREEMENT, OR IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, THEN YOU MUST CLICK ON THE "CANCEL" BUTTON BELOW, AND YOU MUST NOT INSTALL, ACCESS, COPY OR USE THE SOFTWARE, AND YOU MUST, WITHIN 3 DAYS, DELETE AND PERMANENTLY ERASE FROM ALL COMPUTER MEMORIES AND STORAGE MEDIA ALL COPIES OF THE SOFTWARE AND DOCUMENTATION, AND TO OBTAIN A REFUND, YOU MUST NOTIFY LICENSOR IN WRITING THAT YOU HAVE COMPLIED WITH THE FOREGOING.

This End-User License Agreement (the Agreement), effective as of the date you accept the terms hereof (unless returned as specified above, the Effective Date), is entered into between Articulate Global, Inc., a Delaware corporation, with an address at 244 5th Avenue, Suite 2960, New York, NY 10001 USA (Licensor) and Licensee. The parties agree as follows:

1. DEFINITIONS.

Documentation means the user guide, help information and/or other documentation provided by Licensor with the Software.

Licensee means the User, together with the business or other entity for which the Software is obtained.

Software means any Licensor computer program (in object code) accompanying this Agreement.

Updates means, if applicable, any patch, update or new version of the Software delivered to Licensee pursuant to the Support Services.

User means you, the individual who accepts this Agreement, not any other person.

2. LICENSE.

2.1 Software. Subject to all terms and conditions in this Agreement, Licensor grants Licensee a nonexclusive, nontransferable, nonsublicenseable right and license to have the User use the Software and Documentation without modification.

2.2 Limitations. User may use 1 copy of the Software solely for Licensee's internal business purposes, and only on 1 computer. However, subject to the same use limitations and restrictions, User may make a second copy and install it either on a portable or on a home computer under his or her control, provided that: (a) both copies of the Software are not used at the same time, and the portable/home computer copy is used solely as allowed for such version or edition (e.g., educational use only); and (b) the second copy of the Software is not installed or used after the time such User is no longer the primary user of the computer on which the primary copy of Software is installed. To activate a second copy as provided in this Section 2.2, User must send an email request (including his/her product key) to [email protected].

2.3 License Control. Licensee acknowledges that the Software may contain code or require devices that detect or prevent unauthorized use of, or disable, the Software.

3. SUPPORT SERVICES.

3.1 Support. If and only if Licensee has ordered and paid for a Platinum Membership Plan or other support plan, Licensor will use commercially reasonable efforts to provide Licensee with

Software maintenance and support in accordance with its standard practices (as amended from time to time, Support Services). Licensor shall have no obligation to support any version other than the then current and immediate prior version. Licensee agrees that Licensor may charge in accordance with its then current policies for any support services resulting from (a) problems, errors or inquiries relating to any hardware, system, service or other software or (b) use of any unsupported version of the Software.

3.2 Updates. Licensor will provide Licensee with any Update that it makes generally available to its other licensees which have purchased the same level of support. Any Update delivered by Licensor shall be treated as Software for all purposes under this Agreement.

4. CONFIDENTIALITY.

4.1 Scope. The term Confidential Information means all trade secrets, know-how, software and other financial, business or technical information of Licensor or any of its suppliers that is disclosed by or for Licensor in relation to this Agreement, but not including any information Licensee can demonstrate is (a) rightfully furnished to it without restriction by a third party without breach of any obligation to the Licensor, (b) generally available to the public without breach of this Agreement or (c) independently developed by it without reliance on such information. All Software and Documentation is Confidential Information.

4.2 Confidentiality. Except for the specific rights granted by this Agreement, Licensee shall not possess, use or disclose any Confidential Information without Licensor's prior written consent, and shall use reasonable care to protect the Confidential Information. Licensee shall be responsible for any breach of confidentiality by its employees.

5. PROPRIETARY RIGHTS.

5.1 Restrictions. Licensee shall not (a) use any Confidential Information to create any software or documentation that is similar to any Software or Documentation, (b) disassemble, decompile, reverse engineer or otherwise try to discover any source code or underlying structures, ideas or algorithms of the Software (except and only to the extent these restrictions are expressly prohibited by applicable statutory law), (c) encumber, lease, rent, loan, sublicense, transfer or distribute any Software, (d) copy, adapt, merge, create derivative works of, translate, localize, port or otherwise modify any Software or Documentation, (e) use the Software in an automated process, (f) use the Software, or allow the transfer, transmission, export or re-export of all or any part of the Software or any product thereof, in violation of any export control laws or regulations of the United States or any other relevant jurisdiction or (g) permit any third party to engage in any of the foregoing proscribed acts. Licensee shall not use the Software for the benefit of any third party (e.g., time-share or service bureau arrangement) without Licensor's prior written consent, at its discretion.

5.2 No Implied License. Except for the limited rights and license expressly granted hereunder, no other license is granted, no other use is permitted and Licensor (and its suppliers) shall retain all right, title and interest in and to the Software and Documentation (and all patent rights, copyright rights, trade secret rights and all other intellectual property and proprietary rights embodied therein).

5.3 Markings. Licensee shall not alter, obscure or remove any trademark, patent notice or other proprietary or legal notice displayed by or contained in any Software, Documentation or packaging.

5.4 Third Party Software. The Software may operate or interface with software or other technology (In-Licensed Code) that is in-licensed from, and owned by, third parties (Third Party Licensors). Licensee agrees that (a) it will use In-Licensed Code in accordance with this Agreement and any other restrictions specified in the applicable license set forth or referenced in the Documentation, (b) no Third Party Licensor makes any representation or warranty to Licensee concerning the In-Licensed Code or Software and (c) no Third Party Licensor will have any obligation or liability to Licensee as a result of this Agreement or Licensee's use of the In-Licensed Code.

6. WARRANTY DISCLAIMERS.

THE SOFTWARE AND SUPPORT SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE OR SUPPORT SERVICES WILL MEET LICENSEE'S REQUIREMENTS OR THAT THEY WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE FULLEST EXTENT PERMITTED BY LAW, LICENSOR HEREBY DISCLAIMS (FOR ITSELF AND ITS SUPPLIERS) ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO THE SOFTWARE AND SUPPORT SERVICES INCLUDING, WITHOUT LIMITATION, ALL

IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, INTEGRATION, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE AND ALL WARRANTIES ARISING FROM ANY COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.

7. LIMITATION OF LIABILITY.

IN NO EVENT SHALL LICENSOR (OR ITS SUPPLIERS) BE LIABLE CONCERNING THE SUBJECT MATTER OF THIS AGREEMENT, REGARDLESS OF THE FORM OF ANY CLAIM OR ACTION (WHETHER IN CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), FOR ANY (A) MATTER BEYOND ITS REASONABLE CONTROL, (B) LOSS OR INACCURACY OF DATA, LOSS OR INTERRUPTION OF USE, OR COST OF PROCURING SUBSTITUTE TECHNOLOGY, GOODS OR SUPPORT SERVICES, (C) INDIRECT, PUNITIVE, INCIDENTAL, RELIANCE, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS, REVENUES, PROFITS OR GOODWILL, OR (D) AGGREGATE DAMAGES, IN EXCESS OF THE AMOUNT PAID TO LICENSOR FOR THE SOFTWARE OR SUPPORT SERVICE THAT GAVE RISE TO THE CLAIM DURING THE PRIOR 12-MONTH PERIOD, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS ARE INDEPENDENT FROM ALL OTHER PROVISIONS OF THIS AGREEMENT AND SHALL APPLY NOTWITHSTANDING THE FAILURE OF ANY REMEDY PROVIDED HEREIN.

8. TERM AND TERMINATION.

8.1 Term. This Agreement shall commence on the Effective Date and continue in effect until terminated as provided herein.

8.2 Termination. Licensee may terminate this Agreement at any time for its convenience upon written notice to Licensor. This Agreement shall automatically terminate without further action by any party, immediately upon any material breach by Licensee of any limitation or restriction set forth in Section 2.2 or 5.1.

8.3 Effects of Termination. Upon termination of this Agreement for any reason, all rights, obligations and licenses of the parties hereunder shall cease, except that (a) all obligations that accrued prior to the effective date of termination and any remedies for breach of this Agreement shall survive any termination, (b) Licensee shall promptly return or destroy all Software and other tangible Confidential Information, and permanently erase all Confidential Information from any computer and storage media and (c) the provisions of Sections 4 (Confidentiality), 5 (Proprietary Rights), 6 (Warranty Disclaimers), 7 (Limitation of Liability), 9 (General Provisions) and this Section 8 shall also survive.

9. GENERAL PROVISIONS.

9.1 Entire Agreement. This Agreement constitutes the entire agreement, and supersedes all prior negotiations, understandings or agreements (oral or written), between the parties about the subject matter of this Agreement. Terms set forth in Licensee's Purchase Order (or any similar document) that are in addition to or at variance with the terms of this Agreement are specifically waived by Licensee. All such terms are considered to be proposed material alternations of this Agreement and are hereby rejected. No waiver, consent or modification of this Agreement shall bind either party unless in writing and signed by the party against which enforcement is sought. The failure of either party to enforce its rights under this Agreement at any time for any period will not be construed as a waiver of such rights. If any provision of this Agreement is determined to be illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.

9.2 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of law provisions.

9.3 Remedies. Unless specifically provided otherwise, each right and remedy in this Agreement is in addition to any other right or remedy, at law or in equity. Licensee agrees that, in the event of any breach or threatened breach of Section 4 or 5, Licensor will suffer irreparable damage for which there is no adequate remedy at law. Accordingly, Licensor shall be entitled to injunctive and other equitable remedies to prevent or restrain such breach or threatened breach, without the necessity of posting any bond.

9.4 Notices. Any notice or communication hereunder shall be in writing and either personally delivered or sent via confirmed facsimile, recognized express delivery courier or certified or registered mail, prepaid and return receipt requested. Notices shall be delivered to the address specified by Licensee when the Software was ordered, or to the address above for Licensor, as the

case may be, or at such other address designated in a subsequent notice. All notices shall be in English, effective upon receipt.

9.5 Assignment. This Agreement and the rights and obligations hereunder are personal to Licensee, and may not be assigned or otherwise transferred, in whole or in part, without Licensor's prior written consent. Any attempt to do otherwise shall be void and of no effect. Without Licensee's consent, Licensor may assign this Agreement to any third party. This Agreement shall be binding upon, and inure to the benefit of, the successors, representatives and permitted assigns of the parties.

9.6 Independent Contractors. The parties shall be independent contractors under this Agreement, and nothing herein will constitute either party as the employer, employee, agent or representative of the other party, or both parties as joint venturers or partners for any purpose.

9.7 License to the Government. If any user of the Software or Documentation is a department, agency or other entity of the United States Government, the use, duplication, reproduction, modification, release, disclosure or transfer of the Software and Documentation is restricted in accordance with FAR 12.212 for civilian agencies and DFAR 227.7202 for military agencies. The Software is commercial computer software and the Documentation is commercial computer software documentation, and their use is further restricted in accordance with the terms of this Agreement.

9.8 Basis of Bargain. EACH PARTY RECOGNIZES AND AGREES THAT THE WARRANTY DISCLAIMERS AND LIABILITY AND REMEDY LIMITATIONS ARE MATERIAL BARGAINED-FOR BASES OF THIS AGREEMENT AND THAT THEY HAVE BEEN TAKEN INTO ACCOUNT BY EACH PARTY AND REFLECTED IN DETERMINING THE CONSIDERATION TO BE GIVEN BY EACH PARTY HEREUNDER AND IN THE DECISION TO ENTER INTO THIS AGREEMENT.

9.9 Acknowledgment. Licensee acknowledges that (a) it has read and understands this Agreement, (b) it has had an opportunity to have its legal counsel review this Agreement, (c) this Agreement has the same force and effect as a signed agreement, (d) Licensor requires identification of the User and Licensee before issuing this license and (e) issuance of this license does not constitute general publication of the Software or any other Confidential Information.
