LearningWorkscannot guarantee finished products to be exact matchesto finish samples due to the natural characteristicsof wood.

LearningWorks is supported through the Hedbergdata system. The company code is SLS. The electroniccatalog code is SPS. This system allows a dealer tospecify and quote their project through their ownbusiness system. LearningWorks has an electroniclinkage with the Hedberg business system, which allowsfor electronic transmission of orders, acknowledgmentsand invoices between the dealer and LearningWorks.This equates to efficiency, reduction or errors andaccelerated acknowledgments.

Shipping InformationAs a reminder, LearningWorks is a F.O.B. Factory. Morethan one item may be packed together for shipment andmay be noted in the price list. LearningWorks reservesthe right to change quantity packed without notice. Thequantity packed is independent from price.

We offer three easy ways to handle freight charges: 1. LearningWorks zone pricing2. LearningWorks freight quote 3. Customer Pickup: Normal delivery is on a dock to

dock basis. Guaranteed Freight ProgramThese freight rates are for a minimum order of $4000list. All others will be quoted on a per order basis. Anorder is defined as one shipment going to one place atone time.

Freight ClaimsAll of our shipments are F.O.B. factory. While we will doeverything possible to ensure your order arrives in goodcondition and on time, we cannot be held responsible forfreight damage or delays.

When you receive an order, please follow these fewsimple steps:1. Thoroughly inspect all incoming orders before

signing proof of delivery.2. If an item has been freight damaged, it is important

to note the damage on the delivery receipt.3. Call the carrier immediately to request an inspection

and freight claim instructions.4. Claims for concealed damage must be filed with the

carrier within 15 days of receipt.5. If a shipment is received undamaged but is not what

you ordered, call LearningWorks within five days of receipt.

Please note: Refusal to accept an order from the carrier does notrelieve you of responsibility for payment, and may incuradditional charges.

Terms and ConditionsNet 30 from date of shipment, subject to credit depart-ment approval. There will be a service charge of 11/2%per month on all invoices past due. In the eventLearningWorks must use any collection agency, attorneyor courts to effect collection, purchaser agrees to pay allreasonable and actual collection agency fees, attorneyfees and court costs.

TaxesLearningWorks requires a State Resale/ExemptionCertificate on file in our main office. Sales made withouta resale/exemption certificate will be charged the appro-priate sales tax as required by law.

Shipments on HoldAny shipment placed on hold, either by customer’srequest or due to balances owed, will be manufacturedper the originally scheduled ship date. Storage chargeswill begin to accrue 7 days from that date. Anymanufactured order held by our factory over 30 dayswill be billed and must be promptly paid even thoughshipment is held at factory at dealer’s request. Anycharges incurred by LearningWorks for C.O.D. fees,inside delivery, etc. will be invoiced to the customer.

Order Changes/ CancellationsAll changes to or cancellations of orders placed must bein writing and sent to LearningWorks. Orders may bechanged or cancelled without penalty if LearningWorks isnotified at least four weeks before the scheduled shipdate. All order changes or cancellations made less thanfour weeks before the scheduled ship date will incur aminimum change/cancellation fee of 15% of net.Irrespective of when notified,changes or cancellationsare not binding upon LearningWorks until LearningWorksissues a written acknowledgment of the change orcancellation. Order changes are defined as the deletionof line items or change in style, color, quantity, orship-to-address. Order changes that result in a quantityreduction maybe subject to an additional small orderhandling fee.

Cancellation & Changes to acknowledged orders aresubject to cancellation/change fees. Orders for “special”items are not subject to change or cancellation afteracknowledgment. Once production of a“special” itemhas begun, cancellation of order is subject toLearningWorks approval. A 15% surcharge will beassessed to approved cancelled items. All returned ship-ments are subject to a handling charge of 25% plus alltransportation charges. Delivery date could be impactedby order change.

Complete Purchase OrderPurchase orders must include the following informationSold to including:name/address/telephone/email/contact person/faxShip to including:name/address/telephone/email/contact person/fax• Order date• Delivery date• Purchase order number• Customer number• Special delivery instructions• Discount• Quantity• Full model numbers & finish• Total, either list or net• Specials; customer must sign off on purchase order.

StorageIf a customer is unable to accept a scheduled productdelivery, LearningWorks, if notified before the product isplaced with a carrier, shall store the product at thecustomer’s expense. LearningWorks shall invoice thecustomer for the product and monthly storage fees. Ifa customer is unable to accept a scheduled productupon delivery, customer shall be responsible for placingthe product in storage and bears the risk of loss.However, payment of the balance due is Net 30 fromdate of shipment.

Return Authorization for Unused ProductAll returns are subject to a thirty percent (30%) restockingfee. The customer must request a Return AuthorizationNumber through LearningWorks within 90 days ofproduct receipt to return any unused product. IfLearningWorks agrees to repurchase the product, thecustomer must return it freight prepaid to LearningWorks,F.O.B. the original shipping point or as otherwiseinstructed by LearningWorks. If product is returnedwithout a Return Authorization Number, LearningWorkswill notify the customer of the unauthorized return andthe customer must provide instructions for its dispositionwithin one week. Failure of the customer to respondwithin one week will result in LearningWorks’ right todispose of the product with no credit for the return. Thecustomer must promptly provide a purchase order orother acceptance of fees/credit reduction as required.

Reference PO# on all COMs• For all COMs, please attach a sample of the COM,

include all information and send it to LearningWorks for testing and approval. Please include all specifications regarding COM.

Upon COM approval, send purchase order toLearningWorks:1. Purchase orders must include clearly defined COM

information including name, color, description,and supplier company name.

2. Orders requesting COM will be placed on “Manufacturing Schedule hold” until the COM is received.

3. Upon receipt of COM, the order will be released intoproduction and given a normal lead time.

All COM received at LearningWorks must include thefollowing information:1. Customer’s name, address, and phone number2. Purchase order number3. LearningWorks number4. Any special instructions for application5. Any flaws in COM must be clearly indicated.

LearningWorks is not responsible for COM submitted tous beyond the required amount. Excess COM will beheld in house for 60 days and will be discarded afterthat time period. If a customer requires the COM excessyardage returned, they must contact Customer Service atLearningWorks to make arrangements. The customer willbe responsible for delivery charges.

InstallationWe have a professional team of product installersavailable upon request.

LearningWorks WarrantyLearningWorks extends to the original purchaser, fromthe date of purchase, a 15-year limited warranty againstmanufacturing defects in material and workmanship forLearningWorks products purchased from and installedexclusively by LearningWorks or a factory authorizedinstallation company. The warranty does not apply to anyproduct that is misused, neglected, modified or used in amanner other than its intent.Product purchased from LearningWorks and installed byother than the aforementioned will carry a 15-yearlimited warranty for materials only.

LearningWorks products with non-laminate finishes havea one year limited warranty. If these products areinstalled by other than the aforementioned, the one-yearlimited warranty applies to materials only.

LearningWorks will repair or replace, at its discretion,product found to be defective in workmanship ormaterials.

This warranty replaces all other warranties, expressed orimplied, and we neither assume nor authorize anyperson to assume for us any obligation of liability inconnection with our furniture.

No salesperson or representative has the authority tochange or alter any provisions or prices as noted onthese pages.
