IL&FSsubsidiarygets~1,804cr fromNHAIassettlementMEGHA MANCHANDANewDelhi,4April

Anarmof IL&FShas received~1,804 crore as claim settle-ment from the NationalHighways Authority of India(NHAI). This will help thesubsidiaryaddress its ~3,500-crore debt.

“The NHAI and ministryof road transport and high-ways have settled aggregateIL&FS claims of over ~1,804croreacross six roadprojects,”said an official statement.

IL&FS TransportationNetworks (ITNL), a sub-sidiaryof IL&FS, onMarch31,2021, received a settlementamount of ~673 crore forKiratpur Ner ChowkExpressway (KNCEL) andaround ~20 crore towardsclaims for Chenani NashriTunnelway (CNTL) fromNHAI. The KNCEL projectwas foreclosed under theministry of road transportand highways guidelines ofMarch2019 for incomplete orstalled projects.

Chenani Nashri is a com-pletedproject, earningannu-ities, and the ~19.6 crore is theclaim amount towardschange of scope.

Earlier, Fagne SongadhExpressway (FSEL), a 100percent subsidiaryof ITNL, com-pleted its settlement withNHAI under the new road

ministry policy on stuck upprojects, receivinganamountof ~707 crore.

Other IL&FS projects set-tled under claims and com-pensation by the NHAI tilldate include: JorabatShillongExpressway (JSEL) ~252crore;Baleshwar KharagpurExpressway (BKEL) (~8crore);and ITNLRoad InfrastructureDevelopment Company(IRIDCL) (~144crore) thatwassettled by the road ministry.

There is a pending settle-ment of ~902 crore for theKhed Sinnar Expresswayproject and ~171 crore forAmravati Chikli ExpresswayfromNHAI.

FSEL,KNCELand IRIDCLhavebeenhandedover to theauthorities after settlementofclaims.BaleshwarKharagpurwill form a part of theInfrastructure InvestmentTrust thatwill include 11 roadprojects in two phases.

The statement said,among FSEL, KNCEL andIRIDCL, IL&FS would beaddressing anaggregatedebtof ~3,500 crore through theNHAI and ministry of roadtransport and highways set-tlements.

According to the min-istry’s guidelines in March2019, for incompleteor stalledprojects, authoritieswouldbeable to foreclose the project’sconcession agreement.

ByteDance had, in January, reduced itsIndianworkforce after the governmentmain-tained a ban on its popular video app TikTok,imposed last year after aborder clashbetweenIndia and China. Beijing has repeatedly criti-

cised India over the ban, along with those onother Chinese apps.

A tax intelligence unit ordered HSBC andCitibank in Mumbai to freeze bank accountsofByteDance India inmid-March, as it probedsome of the unit’s financial dealings.

ByteDance has challenged the freeze onthe four accounts in aMumbai court.

ByteDance declined to comment on itscourt filing but had told Reuters on Tuesdaythat it disagreed with the decision of the taxauthority. HSBC declined to comment, whileCitibank did not respond.

S ince Ishwar Kewalramanibooked an apartment in aJaypee Infratech project in

August 2010, he has moved housefrom south Delhi to a rented apart-ment inGurgaon, turned60, and seenhis son grow from a student to a pro-fessional. Amid all this flux, only onething has remained constant: hisyearning for a home.

There are at least 20,000 otherKewalramanis out there. Bookedbetween2007and2011, out of the total32,700 residential units under variousJaypee Infratech (JIL) projects, at least20,000 homes are yet to be delivered.

Supreme Court documents showthat, till lastMarch, Jaypeehad issued7,997 offers of possession tohomebuy-ers while executing only 6,530 sub-lease deeds. These deeds offer home-buyers possession rights but, unlikeregistration, does not guaranteeabsolute ownership. With the pan-demic halting construction last year,the number of finished units hasremained the same.

Estimates by real estate analystfirm PropEquity suggest that thestalled Jaypee projects are one of thebiggest causes behind the huge pileupof inventory in theNationalCapitalRegion. Out of some 200,000 stalledunits, over 100,000 are in the Noida-GreaterNoidabelt andJaypeeprojectsconstitute 20 per cent of them.

In the mid-2000s, during a realestate boom in Noida, Jaypee, whichhasbuilt theYamunaExpresswayandthe Buddha International Circuit, betbig on the mid-segment real estatemarket and launched massive resi-dential projects.

By 2014, mounting debt and non-delivery of flats began to dent itsimage. Charges of violating environ-mental norms along the Noida-Greater Noida expressway furtherdelayed construction work.

Homebuyers likeKewalramani arelosing hope of an amicable solution.He recalls how the troubles all beganwith alleged misappropriation offunds by the Jaypee Group manage-ment in the early 2010s. According toa report by the Interim ResolutionProfessional and submitted to theSupremeCourt, Jaypee tookRs 13,364crore from homebuyers in bookingamounts andpart payments. Butwithdebtsmounting at the group level, themanagement began questionablefund transfers betweengroupentities.

In a petition, homebuyers allegethat the group management trans-ferred close to Rs 10,000 crore fromJIL to its promoter JaiprakashAssociates (JAL) to repay bank loansand bonds.

They also allege that the JaypeeGroup,whichheld over 5,000 acres ofland along the Noida-Greater Noidaand Yamuna Expressways, illegallytransferred land parcels from JIL toits parent JAL, projecting it as a finan-cial creditor.

While several such transactions are

yet tobeprobed, last year theSupremeCourtdirectedJAL to returna 758-acretract to JIL. According to theAllahabad bench of the NationalCompany Law Tribunal, the landtransfer was ‘fraudulent’ and ‘under-valued’. The Jaypee groupdenied anysiphoning off of funds from JIL.

Multiple layers of holding compa-nies made it difficult to track relatedparty transactions. JIL’spromoterenti-ty JAL holds 60.98 percent in the realestate arm. JAL itself is controlled by61 promoter entities, with an unlistedJaypee Infra Ventures holding thelargest chunk–28.3per cent— inJAL.Moreover, 51 individuals–mostlyGaurfamily members and friends – andover half a dozen trusts own the restof 38.66per cent promoter ownership.

By2015, JAL’s total debthad soaredto Rs 75,000 crore, making it one ofthe top 10 most indebted corporategroups in the country according toCredit Suisse.

For those who have followed thecompany’s fortunes, the exit of thegroup’s founder JaiprakashGaur coin-cided with Jaypee’s downfall. FromBulandshahr inWesternUP,Gaurwasranked among the top 50 richestIndians with a net worth exceeding$1.5 billion at the time of his retire-ment in 2010 from thehelmof affairs.

Since then, however, the group’sfortunes have dwindled and riftsbetween its key promoters have putquestions over its management.

The mounting debts pushed thegroup to sell off its assets. According

to Manoj Gaur, executive director,chairman and the CEO of JAL, thegroup’s asset selling spree began in2012. In 2015, it had to part ways withits two hydropower projects andcement units in six states.

While JSW Energy bought itshydropower assets at Rs 9,700 crore,UltraTech agreed to purchase itscement units at an enterprise valueof Rs 16,500 crore. According toGaur,it hadmanaged to bringdown its totaldebt to Rs 38,000 crore by early-2016.

However, family tensions contin-ued, with Samir Gaur, one ofJaiprakash’s three sons and the oneresponsible for running Jaypee Sportswhich conducted the country’s firstFormulaOne race in 2011, leaving thefamily empire a few years ago.

Last year, his brother Sunnyresigned as the director of JAL.According to sources, the brotherswere not satisfied with the way themanagement handled theEnforcement Directorate and theSerious Frauds Investigation Office.

Following their departures, theeldest sonManoj holds the fort whilethe founder, now 90, stays on as anon-executive non-independentdirector on its board.

According to homebuyers, theentry of financial creditors and man-agementand insolvencyprofessionalsin 2018 has made the road to resolu-tion bumpier. In the Committee ofCreditors (CoC) the group of 21,781homebuyers have 58 per cent votingrightsand the rest areheldby 13banks.

While IDBI Bank leads the pack offinancial creditorswith their claimof~9,783 crore, others such as the LifeInsurance Corporation of India andIndia Infrastructure FinanceCompany have been admitted as keystakeholders. To approve a bid, atleast 66 per cent of votes need to bepolled in favour, whichmeans home-buyers need other voters like banksto vote in their favour.

According to Ashis Gupta, whorepresents the homebuyers, consid-eringhomebuyers and financial cred-itors at par is amajor hindrance. Sincea section of financial creditors areinterested in recovering their dueseven through liquidation, their inter-ests directly collide with those of thehomebuyers. “We can’t afford to letthem liquidate. That is not an option.We want our homes,” said Gupta.

Kewalramani,who follows thepro-ceedings closely said that while ini-tially homebuyers hadvoted in favourof handing over charges to the state-owned realtor NBCC, they nowoppose it. “While with Jaypee, a 10per cent cost escalation clause wasput in the agreement, when NBCCcame in, it raised it to 30 per cent.That is unacceptable. We made mis-takes then as we did not read the fineprint,” he said.

NBCC’s decision to take thematterto the National Company LawTribunal has further angered manyhomebuyers as they fear it will delaythe resolution.

Lastweek, the SupremeCourt sentthe Jaypee case back to the CoC andallowed the previous two bidders –NBCC and Suraksha Realty – to fur-nish a revised resolution plan. Thishas stirredhope among thehomebuy-ers who believe that, though it maydelay the process again, it nonethe-less offers them a second chance torectify the past mistake of voting ona flawed proposal.

“Banks and the NBCC are biggerfish compared to us. The process hasalready got delayed and the 270 daysdeadline for theCorporate InsolvencyResolutionProcess has beenbreachedmany times over. But through the lat-est order, the Supreme Court hasshown its sympathy towards home-buyers. I hope we won’t repeat pastmistakes”, said Kewalramani.
