ExecutiveSummary

The ConceptApproval(MP10_0193)fortheintermodalterminalfacility,warehousingandafreightvillageat

Moorebank,theMoorebankPrecinctEast(MPE)Project,wasmodifiedinJanuary2018toenablethefuture

considerationandassessmentofsubdivisionoftheMPEsite.

TheMPEStage2SSD7628Applicationsoughtapprovalfor,amongotherprecinctcomponents,thesubdivision

oftheMPEsitecomprisingfourlots,separatetotheterminallot(Lot25),forwarehousingandthefreight

village.ThesubdivisionwassupportedbytheDepartmentofPlanningandEnvironment(DP&E)subjectto

conditionsinitsrecommendationtothePlanningAssessmentCommission(PAC).Onreviewofthe

assessment,andtakingintoconsiderationthefutureassessmentrequirementsforsubdivisionunderthe

modifiedConceptPlan(MP10_0193),thePACwasunabletoincludethesubdivisioncomponentofSSD7628in

itsfinalapproval.ThePACidentifiedthatthefindingwouldnotprecludeitsconsiderationoffurther

documentationaddressingthefutureassessmentrequirementsofthemodifiedConceptPlan(MP10_0193).

Thepurposeofthisreportistoprovidethesupportingdocumentationforsubdivision,beingthebalanceof

thedevelopmentinitiallyappliedforunderSSD7628,toenabletheIndependentPlanningCommission(IPC-

formerlythePAC)toconsideranddeterminethesubdivisioncomponentoftheSSD7628Application.

Thisreportidentifiestheexpecteddocumentationrequirementstosupporttheapplicationforsubdivisionas

drawnfrom:

• DP&EAssessmentReportandRecommendationsfortheConceptPlanModification2,including

recommendedconditions,dated20November2017

Section4ofthereportpresentstheupdatedsubdivisionplananddiscussesthevariouseasementsforthesite,

includingthoseforaccess,servicesanddrainageandfutureeasements.Aplanoftheproposedsubdivisionfor

MPEisprovided.Thesubdivisionplanidentifiesexistingeasements,easementsunderagreementnotyet

createdandproposedeasements.Adiscussionontheintendedsubdivisioninstrumentisalsoprovided.

Section5ofthereportidentifiesthemanagementresponsibilitiesforsiteoperationsandmaintenance.The

Sectionincludesconsiderationofthelegalframeworkthatbindstheintermodalcomponents,ietheterminal,

warehousesandfreightvillage,todeliverontheenvironmentalrequirementsoftheconsentinstrument,

includinggivingeffecttotheOperationEnvironmentalManagementPlan(OEMP).Thelegalframeworkis

establishedbyreferencetotheconsentinstrumentforSSD7628,theprovisionsofs4.2oftheEnvironmental

PlanningandAssessmentAct1979andtheregistrationoflong-termleasesthatreflectthesubdivision

objectivesoffacilitatingtheinterdependencyandco-dependencyoftheintermodalcomponents.

1. IntroductionSydneyIntermodalTerminalAlliance(SIMTA)soughtapprovalfortheconstructionandoperationofthe

MoorebankPrecinctEast(MPE)Stage2Proposal(theProposal)asStatesignificantdevelopmentapplication

(SSD)7628,whichwouldcomprisethesecondstageofdevelopmentundertheMPEConceptApproval

(MP10_0193).AtthesametimeapplicationwasmadetomodifytheConceptPlanApproval(MP10_0193)

unders75WoftheEnvironmentalPlanningandAssessmentAct1979(EP&AAct).

TheConceptPlanmodificationsought,amongstotheritems,theinclusionofsubdivisionofthesitefollowing

development.

Anenvironmentalimpactstatement(EIS)waspreparedfortheProposalunderPart4ofthe(EP&AAct).The

EISwaspreparedtoaddress,andbeconsistentwith,thefollowing:

• TheSecretary’sEnvironmentalAssessmentRequirements(SEARs)(SSD16-7628)for

theProposal,issuedbyNSWDP&Eon27May2016andamendedon24November

2016.

• TherelevantrequirementsoftheMPEConceptPlanApproval(MP10_0193)dated

29September2014(asmodified).

• TherelevantrequirementsoftheapprovalundertheEnvironmentProtectionand

BiodiversityConservationAct1999(EPBCAct)(No.2011/6229,grantedinMarch

2014bytheCommonwealthDepartmentoftheEnvironment(DoE)).

TheEISwaspubliclyexhibited,inaccordancewithSection89F(1)(a)(nowSchedule1,cl.9)ofthe

EnvironmentalPlanningandAssessmentAct1979(EP&AAct),between13December2016and24February

2017.Duringtheexhibitionperiod,submissionswerereceivedandrespondedto.

BoththeConceptPlanModificationandtheSSD7628applicationwerereferredbyDP&EtothePlanning

AssessmentCommission(PAC)on20November2017.ThePACcompletedtheirdeterminationofboththe

modificationandtheapplicationon31January2018.

IndeterminingtheConceptPlanModification,thePACincludedtheDepartment’srecommendedfuture

environmentalassessmentrequirements(FEARs)inrespectofsubdivision.

InthePAC’sconsiderationofsubdivisionundertheSSD7628Application,theConceptPlanModificationFEARs

werereviewedagainstthesuppliedassessmentcontentpertainingtosubdivisionandtosubsequent

supportinginformationprovidedbySIMTAon5January2018.ThePACfoundthatithadinsufficient

informationtoproperlyconsiderthesubdivisioncomponentoftheSSD7628developmentapplication.

SSD7628wassubsequentlyapprovedbythePACon31January2018,excludingthesubdivisioncomponent

andwithoutrefusingconsentfortheproposedsubdivision.ThesubdivisioncomponentofSSDapplication

7628remainsonfoot.

1.1. PurposeofthisreportThepurposeofthisreportistoprovidethesupportingdocumentationforsubdivision,beingthebalanceof

thedevelopmentinitiallyappliedforasSSD7628,toenabletheIPC(formerlythePAC)toconsiderand

determinethesubdivisioncomponentoftheSSD7628Application.

1.2. SitecontextTheMPEsiteislocatedapproximately2.5kmsouthoftheLiverpoolCityCentre,800msouthofthe

MoorebankAvenue/M5MotorwayinterchangeandonekilometretotheeastoftheSSFL.Landsurrounding

theProposalsitecomprises:

• TheMoorebankPrecinctWest(MPW)site,formerlytheSchoolofMilitaryEngineering

(SME),onthewesternsideofMoorebankAvenuedirectlyadjacenttotheMPEsite

(subjecttotheMPWConceptApproval).

• TheHolsworthyMilitaryReserve,tothesouthoftheMPEsiteonthesouthernsideof

theEastHillsRailCorridor,whichisownedandoperatedbySydneyTrains.

• ResidualCommonwealthLand(knownastheBootLand),totheeastoftheMPEsite

betweenthesiteboundaryandtheWattleGroveresidentialarea.

• TheDefenceJointLogisticsUnit(DJLU)directlytothenorthandnorth-eastoftheMPE

site.

TheMPEsitecomprisesaround67hectaresofland(Figure1-1)andislocatedmostly

withinLot1inDepositedPlan(DP)1048263andLot2inDP1197707.

TheMPEsiteislocatednearanumberofsignificantindustrialareas,including:

• YulongandABBsitesadjacenttoMoorebankAvenue,tothesouthoftheM5Motor-

way

• GoodmanMFiveIndustryParkandotherindustrialandcommercialdevelopmentto

thenorthoftheM5Motorway

• WarwickFarmtothenorth

• ChippingNortontothenorth-east

• Prestonstothewest

• GlenfieldandIngleburntothesouth-west.

TheindustrialareaatMoorebankisthelargestindustrialprecinctneartheMPESite,

comprisingaround200hectaresofindustrialdevelopment,themajorityofwhichis

locatedtothenorthoftheM5MotorwaybetweenNewbridgeRoad,theGeorgesRiver

andAnzacCreek.TheMoorebankIndustrialAreasupportsarangeofindustrialand

commercialuses,includingfreightandlogistics,heavyandlightmanufacturing,offices

andbusinessparkdevelopments.

TheMPEsitewasformerlyoperatingastheDefenceNationalStorageandDistribution

Centre(DNSDC),however,theDepartmentofDefencehasvacatedthesiteandrelocated

operationstotheDJLU,locatedimmediatelynorthoftheMPEsite.Thefollowing

infrastructureandfeaturesarepresentontheMPEsite:

• AnumberofexistingbuildingspreviouslyutilisedbytheDepartmentofDefence,com-

prisingamixtureofwarehouses,officesandadministrativefacilities

• Aninternalroadnetworkandareasoflargehardstand,typicallycomprisingasphalt

andconcrete

• Arelativelyflattopographywitharidgewhichrunsalongthecentralportionofthe

MPEsite,paralleltoMoorebankAvenue.Thisridgeresultsinsurfacewaterdrainage

flowingineitheraneasterlydirectiontowardsAnzacCreekorawesterlydirectionto

theGeorgesRiver

• Plantedvegetationalongsiteboundaries,walkways,internalroadsandareasofopen

space

• Aprimaryaccesspoint,about800msouthoftheintersectionofMoorebankAvenue

andAnzacRoadinstalledaspartoftheMPEStage1(SSD6766)constructionworks

andanumberofadditionalgeneralaccesspointsalongMoorebankAvenue.

ThelandformoftheMPEStage1site,locatedonthesouth-westernportionoftheMPE

site,hasbeenalteredaspartoftheStage1Project.Theconstructionfootprintofthe

Stage1ProjectpartiallyoverlapstheMPEStage2sitetotheimmediateeastandnorthof

theStage1site,andpotentiallyalongtheeasternboundaryoftheStage1sitewithinthe

OperationalareawhichhavepreviouslybeenidentifiedwithintheStage1ProjectEIS.

WithintheStage1Projectconstructionfootprint(includingtheareaofoverlapwiththe

MPEStage2project),allexistingvegetationandbuildingshavebeenclearedand

demolishedtofacilitateconstructionoftheIMTandRailLink,inaccordancewiththe

Stage1Projectconditionsofapproval.

2. Background

2.1 MPEConceptPlanModification2

SydneyIntermodalTerminalAlliance(SIMTA)soughttomodifytheConceptApproval(MP10_0193)foran

intermodalterminal(IMT)facility,warehousingandafreightvillageatMoorebank,NSW(theMoorebank

PrecinctEastProject(MPEProject)(formerlytheSIMTAProject).Therequestedmodificationincluded

provisionforsubdivisionoftheMPEsite.

TheModificationReportwasplacedonpublicexhibitionbetween14December2016and24February2017

andsubmissionswerereceivedbyDP&Eduringtheexhibitionperiod.

Nodirectissueswereraisedinrespectofthesubdivisionproposal.

2.1.1 DP&EAssessmentReportandRecommendations

TheDP&E,onbehalfoftheNSWMinisterforPlanning,consideredtheModificationReportandthe

subsequentresponsetosubmissions.AnAssessmentReportwascompletedbytheDP&Eon20November

2017and,togetherwiththerecommendedInstrumentofModification,wasprovidedtothePACfor

considerationanddeterminationoftheMPEConceptPlanModification2.

IntheAssessmentReport,theDP&Eidentifiedthelong-termongoingoperationalmanagementrequirements

ofthedevelopmenttomitigateandmanageimpactsfrombushfirerisk,andtobiodiversity,waterqualityand

waterquantity.DP&Efurtheridentifiedthattheseaspectswouldneedtobeincludedasrequirementsfor

futureapplicationswithrespecttoproposalsforsubdivisiontodemonstratethatthequalityandstandardof

themanagementoftheseissueswould“notbediminishedthroughthefragmentationoftheintermodal

developmentthroughsubdivision”.

TheDP&EAssessmentReportalsohighlightedtheimportanceoftheoperationalinter-relationshipandco-de-

pendencyofthefunctionalelementsoftheMPEprecinct,beingtheintermodalterminal,thefreightvillage

andtheintermodalwarehousing.Anyfutureapplicationforsubdivisionwouldneedtodemonstratehow

theserelationshipsaremaintained.Additionally,maintenanceofutilityservices,vehicleandpedestrianac-

cess,includingemergencyserviceaccess,acrosstheintermodalestateaftersubdivisionwouldalsoneedtobe

considered.

ItwasconcludedbytheDP&Ethatsubdivisionwouldbeacceptableasitwouldpermitandenablethesale/-

leaseofbuildingsandtheestablishmentofeasements.

TheDP&Erecommendedanewfutureenvironmentalassessmentrequirement(FEAR)beincludedat2.1inthe

instrumentofapprovalfortheConceptPlanMod2,requiringthesubmissionofdetailsofthesubdivision,

includingtheidentificationoftheentity(s)responsibleformaintenanceofsiteservicesandlandscapingforthe

subdividedestate.

TheDP&Erecommendedconditionforsubdivisionispresentedbelow:

AnyfutureDevelopmentApplicationshall:

a) provideasubdivisionplanandsupportingdocumentationdetailingallcommonland,accessroadsand

servicesincludingdrainageworksrequiredtomaintaininternalconnectionsandinterdependencies

betweentheindividualintermodalfunctionswithinthedevelopmentsite;

b) identifytheentity(s)responsibilityforthedeliveryandongoingmaintenancewithintheintermodal

estateofsiteservices,internalroads,pedestrianpaths,landscaping,lightingofcommonareas,

emergencyservicesincludingbushfiremitigation,OSDandWaterSensitiveUrbanDesignelements;

and

c) providedetailsoftheoverarchingoperationalmanagementofthesitefollowingsubdivision.

2.1.2 PACDeterminationandInstrumentofModification

ThePACissueditsdeterminationreportfortheMoorebankPrecinctEastConceptPlanMOD2(MP10_0193

MOD2)on31January2018.

TheCommissionnotedthattherequirementsoftheFutureEnvironmentalAssessmentRequirement2.1

Subdivisionareintendedtoensurethatanyproposedsubdivisionisappropriatetothepurposeandtothe

ongoingsustainablemanagementofthefacilityandsite.

TheCommissionalsonotedthatfuturedevelopmentapplicationstosubdividetheMoorebankPrecinctEast

siteneededtoensuretheintentoftheoriginalConceptPlanapproval,namelythatitbeanintegrated

intermodalfacility.

TheprincipleandlogicofsubdivisionoftheMoorebankPrecinctEastsite,subjecttodetailedassessmentof

anysubdivisionproposalsinfuturedevelopmentapplications,wassupportedbytheCommission.The

recommendedconditionaspresentedabovewasincludedinthePAC’sdeterminationandConceptPlanMod2

NoticeofModificationofMP10_0193issuedon31January2018underSchedule3,FutureAssessment

Requirements2.1.

2.2 MPEStage2SSD7628

SIMTAsoughtapprovalfortheconstructionandoperationoftheMoorebankPrecinctEast(MPE)Stage2Pro-

posal(SSD7628),whichisthesecondstageofdevelopmentundertheMPEConceptApproval(MP10_0913),

asmodified.

TheProposalinvolvestheconstructionandoperationofwarehousinganddistributionfacilitiesontheMPE

siteandupgradestoapproximately1.5kilometresofMoorebankAvenueandincludedsubdivisionoftheMPE

Stage2siteasoneofthekeycomponentsoftheproposal.Adescriptionoftheintendedsubdivisionwaspro-

videdinSection4.2.6oftheEIS,asfollows:

ItisintendedthattheMPEStage2sitewouldbesubdividedaspartofthisapplication.TheMPEStage

2sitewouldbesubdividedintoanumberoflotsforthepurposeofsegregatingtheIMTand

warehouseanddistributionfacilities,andalsoforthetenantingofindividualwarehouseswithinthe

MPESite.ADraftPlanofSubdivisionprovidedinAppendixIofthisEISandfurtherdetailisprovided

inTable4-6.

2.2.1 DPEAssessmentReportandRecommendations

TheDP&E,onbehalfoftheNSWMinisterforPlanning,reviewedtheSSDapplicationandEISandthe

subsequentresponsetosubmissions.AnAssessmentReportwascompletedbytheDP&Eon20November

2017and,togetherwiththerecommendedConditionsofConsent,wasprovidedtothePACforconsideration

anddeterminationoftheSSDProposal.

ThesubdivisionplanincludedwithintheEISandreferencedbytheDP&Eisprovidedbelow:

TheDP&EAssessmentReportconsideredthattheproposedsubdivisionofthesite,whilebeingakey

assessmentissue,wasacceptablesubjecttoappropriatelegal,managementandmaintenanceconditionsto

ensurethethattheintermodaloperationswerenotfragmentedandthedevelopmentcontinuedtofunction

asasingleoperation.InfluentialinthisviewwastheconsiderationoftheSSDcriteriaunderState

EnvironmentalPlanningPolicy(StateandRegionalDevelopment)2011(SRDSEPP)forwarehousesor

distributioncentres(Schedule1,clause12)being“forthepurposeofwarehousesordistributioncentres

(includingcontainerstoragefacilities)atonelocationandrelatedtothesameoperation.”.

IrrespectiveoftheapplicabilityofthereferencedSSDclassificationintheAssessmentReport,itisunderstood

thattheDP&Eisseekingconfidenceinasingularmanagementstructuretogiveeffecttodevelopment

approvalsflowingfromMP10_0193ConceptApprovalforthedevelopmentasawhole,andtosupportand

westaccesswayshownontheplantothenorthofLots1and4,identifiedasfutureaccess,didnotformpart

oftheStage2Applicationandshouldnotformpartoftheapprovedsubdivisionofthedevelopment.

SIMTAprovidedadditionalinformationon5January2018.Onreviewoftheadditionalinformation,thePAC

foundthattheproposedsubdivisionplanandsupportingdocumentationdidnotaddresstherequirementsof

FEAR2.1(a)tothedetailsoughtbytheCommission.

Consequently,thePACconsidereditdidnothavesufficientinformationbeforeittoenableittoproperly

4.2 EasementsforServicesandDrainage

Thesubdivisionplanidentifiesanexistingeasementforwatersupply(M)goingacrossthesitefromwesttoeastthroughintendedlots25,23and22.

Underagreement,additionaleasements(A1)and(C)aretobecreatedforservicesanddrainageforthewholesite.Proposedwholeofloteasements(E1)and(E2)areproposedtobecreatedtoprovideinternaldrainageandservicestotheMPEsiteacrossallfuturelots.Thetermsoftheeasementsforserviceswouldpermituseofserviceswithintheburdenedlandandtherighttoinstalladditionalservicesonparticularterms.

4.3 FutureEasementsUnderLeaseWherepremisestobeleasedtotenantsincludebothawarehouseandsomesurroundingareaPDCmaychoosetoprovidealeaseofthepremisesandopenspaceoroverpremisestogetherwithaneasementforwarehouseancillaryuses.Thisarrangementwouldprovideforparking,storage,hardstandactivities,carriageways,footways,lightandairandotherusesancillarytotheuseofthewarehousebuilding.

4.4 SubdivisionInstrument

Asidentifiedaboveandontheprovidedsubdivisionplan,itisintendedtoeffectthesubdivisionwithreferencetoexistingeasements,easementsrequiredunderagreementbutnotasyetcreated,andproposedeasements.Theseeasementswillprovideforaccess,services,drainage,maintenanceandanyotherencumbrancesandindemnitiesrequiredforjointorreciprocaluseofpartoralloftheproposedlotsresultingfromthesubdivisionofthesite.

AllproposedeasementswouldbecreatedinaccordancewiththerequirementsoftheConveyancingAct1919.Acopyoftheproposedinstrumentidentifyingthetermsoftheproposedeasementsinaccordancewiths88BoftheConveyancingAct1919hasbeenincludedasAppendixBtothisreport.

5 PrecinctManagementResponsibilitiesTheMoorebankPrecinctEastConceptPlanMOD2(MP10_0193MOD2)includedFutureEnvironmentalAssessmentRequirement(FEAR):

2.1Subdivision

(b)requiringidentificationoftheentity(s)responsibleforthedeliveryandongoingmaintenancewithintheintermodalestateof:siteservices,internalroads,pedestrianpaths,landscaping,lightingofcommonareas,emergencyservicesincludingbushfiremitigation,OSDandWaterSensitiveUrbanDesignelements;and

(c)providedetailsoftheoverarchingoperationalmanagementofthesitefollowingsubdivision.

Thissectionprovidesanoverviewoftheprecinct-widemanagementarrangementthataddressestheaboveFEARrequirements.

TherearethreecomponentstotheframeworkestablishedtodeliverandmanageenvironmentalcontrolsandresponsibilitiesfortheSite:

1. DevelopmentConsentSSD7628,conditionofconsentC3:OperationalEnvironmentalManagementPlan(OEMP)

2. DevelopmentConsentSSD7628,conditionofconsentC4:requirementtooperatethedevelopmentinaccordancewiththeOEMP

3. DevelopmentConsentSSD7628,conditionofconsentC5:theentityresponsibleforthePrecinctenvironmentalmanagementhasoverallresponsibilityforthedevelopmentenvironmentalmanagement.

Section4.2oftheEP&AActspecifiesthatapersonmustnotcarryoutdevelopmentonlandwhereaconsentisrequiredforthatdevelopment,andmustonlycarryoutthedevelopmentinaccordancewiththeconsentandtheinstrument.ThismeansthattheconditionsofconsentissuedinrespectofDevelopmentConsentSSD7628arebindingonboththeapplicantundertakingthedevelopment(Qube)andonalllesseesandtenantswhoundertakethesuiteofactivitiesthatcomprisethedevelopmentfortherespectiveterminal,warehouseandfreightvillageoperations.

5.1 OperationalEnvironmentalManagementPlan

ConditionC3ofSSD7628requiresaPrecinctOperationalEnvironmentalManagementPlantobepreparedpriortocommencementofoperations.TheOEMPisrequiredtoincludemanagementplansrequiredundertheinstrumentofconsent,including:

• WorkplaceTravelPlan

• StormwaterInfrastructureOperationandMaintenancePlan

• FloodEmergencyResponsePlan

ConditionC4requiresthattheApplicantmustoperatethedevelopmentinaccordancewiththemostrecentversionoftheOEMP.Unders4.2oftheEP&AActalllesseesandtenantsarelikewisecompelledtooperatetheirrespectivecomponentsinaccordancewiththeOEMP,anditsconstituentplans.

Inadditiontotheregulatoryobligationoflesseesandtenantsimposedbys4.2oftheEP&AAct,specificobligationsofpartieswillbedocumentedwithinrespectiveleaseagreementsasdiscussedbelow.

5.2 PrecinctEnvironmentalManagementConditionC5identifiesthattheentityresponsibleforthePrecinctenvironmentalmanagementhasoverallresponsibilityforthedevelopmentenvironmentalmanagement.Ashasbeenindicatedabove,responsibilityforcompliancewithconsentconditionsunderSSD7628restsnotonlywiththeApplicant,butalsowithanyoneundertakingactivitiescomprisingthedevelopmentonthelandsubjectoftheconsent.

On3June2015,MoorebankIntermodalCompanyLimited(MIC)andQubeHoldings(Qube)enteredintoanagreement,theDevelopmentandOperationsDeed(DOD),forthedevelopmentandoperationoftheMPEandMPWsitesonawholeofprecinctbasis.

On24January2017,financialcloseundertheagreementoccurred.EachofthelandownersofthelandcomprisingthePrecinctplacedtheirlandundera99-yearleasetoaLandTrustforthesolepurposeoffacilitatingthedevelopmentofthePrecinct.ResponsibilityforPrecinctenvironmentalmanagementsitswithQubeinitsfunctionastheProjectDeliveryCompany(PDC),establishedunderthistrustarrangementwiththeCommonwealthGovernment.

Underthearrangementdescribedabove,QubehasenteredintoagreementswiththeCommonwealthfor99-yearleasesforeachoftheIMEXterminal,interstateterminalandwarehouses.TheAgreementsforLease(AfLs)detailtherolesandresponsibilitiesofPDCfortheconstructionandoperationsofthePrecinctoverthe99-yearterm.PDCistheentityresponsiblefordeliveringthedevelopmentandisalsotaskedwiththeongoingmaintenanceofthePrecinctonceithasbeendeveloped.

TheAfLsincludeaprecinctmanagementagreement(PMA)fortheongoingoperationandmanagementofthePrecinct.TheAfLsalsoreferenceasetofmanagementprincipleswhichsetoutthemattersthataretobeaddressedintheprecinctmanagementagreement(PMAPrinciples).

ThePMAPrinciplesidentifythattheirobjectistoensurethatappropriatearrangementsaremadefor:

• ThemanagementandoperationofthePrecinct;and

• TheproperrepairandmaintenanceofthePrecinctfacilities;

• ThefairapportionmentofcostsofrepairandmaintenanceandupgradingofCommonFacilitiesonthePrecinct;and

• Thekeepingofcertaininsurances.

Astenanciesareestablishedforwarehousing,thePMAwouldbeextendedtoincludethosesub-lesseeswithtermsfromthePMAincludedwithinthesub-leasedocuments.ThisleasearrangementispresentedbelowinFigure5-1.

ThePMAistobeincorporatedinleasedocumentsandwouldgiveeffectwithintheleasearrangementtotherequirementsofconditionsofconsentC4andC5withrespecttotheprecinctcomponentsandtheirrespectiveinteractionandinterdependency.ThePMAdocumentscommonfacilitiesincludingrightsofaccesstoandfromanycommonfacilityaswellastheirmaintenance,repairandoperation(includingcleaningandreplacementoffixtures,fittingsandanyequipment,egfireextinguishers).ThePMAwouldalsodocumentanypositivecovenantsorrestrictionsastouser,forexamplerestrictionsonuseasahazardousoroffensivestorageestablishment.AManagementCommitteewouldbeestablishedunderthePMAtooverseethemanagementofcommonfacilitiesincludingthecostallocationforthemaintenance,repairandoperationofcommonfacilities.

BeyondenforceablerequirementsforcompliancewithconditionsofconsentforSSD7628,legaleffectisgiventothePMArequirementsasacomponentofanyregisteredleaseagreementregisteredagainstthetitle.ImplementationandmaintenanceofenvironmentalmanagementcontrolsandfunctionsacrosstheSitearethereforelegallyenforceableviacompliancewiththeconditionsofconsentand,specifically,theOEMPunders4.2oftheEP&AAct,andviathelegalobligationsattachedtoleaseagreementsbindingPDCandsubsequentlesseesandtenantsrespectively.

5.3 DeliveryandMaintenanceResponsibility

Qube,initscapacityasPDCundertheDOD,istheentityresponsibleforthedeliveryandongoingmaintenancewithintheintermodalestateof:

• siteservices • internalroads • pedestrianpaths

• landscaping,includingweedmanagement

• waterqualityandquantity • lightingofcommonareas

• OSDandWaterSensitiveUrbanDesignelements,includingrecycling

• emergencyservices,includingbushfiremitigationandfirehydrants

• lightspillfromcommonareasandindividualtenancies

• noise • airquality • sitevisualimpact

• ESD • fencing • commonsignage

Thisresponsibilityextendstoobligationsforfulfillingthedeliveryanddevelopment,constructionandoperationsenvironmentalmanagementandreportingobligationsunderMPEStage2SSD7628ConditionsofConsentissuedbythePACon31January2018.TheresponsibilitywouldinitiallybedocumentedintheOEMP,
