2. MANAGEMENT MANAGEMENT TEAM HAS EXTENSIVE EXPERIENCE…

Tim Monks - Middle East Director

Tim is a former Royal Navy and Commercial Diver and has worked extensively in the offshore diving industry before setting up and running his own marine and diving services contracting company in the United Kingdom in 1997. This company was relocated to Bahrain in 2004 and work was undertaken for companies including Saudi Aramco, KJO, Qatar Petroleum/Halul Offshore and SABIC. In 2008 the company was sold to a major UK Plc.

From 2009 until 2013, Tim worked as a consultant providing project management, QHSE auditing and technical advisory services. This has included work on the Costa Concordia Wreck Removal Project in Italy, work for Saudi Aramco Marine Contracting Department as a Third Party Diving Consultant, Project Management of a UXO Contract in Iraq and QHSE Auditing in India on a pipe lay project.

Tim is a practicing member of the prestigious Academy of Experts at Gray’s Inn, London and provides Expert Witness Services in the Commercial Diving and Confined Space Access fields.

T im’s cont inuous combined indust r y experience as a diver, contractor and consultant is 29 years.

Project Management

The company calls on Project Managers with vast experience of working in our fields of expertise. These highly specialist personnel are predominantly drawn from the Offshore Oil & Gas Industry with many having previously worked as Superintendents of construction projects.

Site Supervision

The company has detailed procedures regarding the qualification and experience of it’s site supervisors. Our Offshore Air Diving Supervisors for example must hold an International Marine Contractors Association (IMCA) Air Diving Supervisor Certificate and possess at least ten years experience as a diver.

Our Industrial Rope Access Supervisors all hold IRATA Level 3 Certificates and must have had at least five years experience before they are allowed to supervise.

Office Management

As one would expect from an established company, all the required personnel and systems are in place including accounting, QA/QC and document control and government relations personnel.

General Management

Subcon Middle East FZE’s senior management team all have vast experience in successfully undertaking projects in the UK, Europe, West Africa, Iraq, GCC region and South East Asia.

Contracts have been undertaken for many of the world’s largest companies including Oil and Gas companies and their subsidiaries, National Power Generation and Utilities companies and a major aircraft manufacturer.

The core of the company’s operations is centred on commercial diving operations and projects are undertaken both inshore and offshore.

Air and Saturation Diving Techniques are employed to provide a wide range of services working from quality vessels that are supplied through our network of brokers and operators. All diving operations are carried out in strict accordance with the United Kingdom Health and Safety Executive Diving at Work Regulations 1997 (amended 1998)

and the Approved Codes of Practice L104 and L103 respectively for inshore and offshore diving. The company has a comprehensive QHSE Management System complete with Procedures Manuals, Risk Management Documentation and a Planned Maintenance System for equipment.

Before any project is undertaken a full Diving Safety Plan is produced which includes as a minimum a method statement, job specific risk assessment and job safety analysis and detailed procedures to ensure that every applicable code of practice and client requirement is adhered to.

All personnel employed on company operations are qualified to at least UK HSE Part 1 Offshore Air Diver standard (or IMCA approved equivalent) with many holding the more advanced HSE Part 2 Mixed Gas Diver qualification. In addition, we supply inspection divers who possess CSWIP 3.1U or 3.2U Underwater Inspector qualifications and personnel with the IMCA Diver Medical Technician certificate are provided on all projects.

All supervisors have at least ten years offshore diving experience and hold the IMCA Air Diving or Bell Diving Supervisor Certificates.

Subcon Middle East FZE offers Industrial Rope Access as an alternative to scaffolding and traditional access methods.

All operations are carried out in accordance with IRATA (Industrial Rope Access Trade Association) Guidelines and the Statutory UK Work at Height Regulations with all technicians holding IRATA Level 1, 2 or 3 qualifications.

Industrial Rope Access technicians are employed with equal success in both inshore and

offshore applications. Many of the major oil companies have adopted the technique including Shell, Conoco Phillips and BP.

Subcon Middle East FZE inspection technicians hold either PCN and/or ASNT Level 2 certificates in a number of NDT disciplines including: UT, MPI, Dye Penetrant Testing and Eddy Current. ACFM Testing is also used for the detection of surface breaking cracks. detailed procedures to ensure that every applicable code of practice and client requirement is adhered to.

The main advantage of Industrial Rope Access is that it has the ability to solve awkward and troublesome access related problems that would otherwise absorb a disproportionate amount of time and money.

Industrial Rope Access techniques are quicker, cheaper and statistically proven safer than scaffolding operations. In the history of incident and accident reporting in the UK it is THE safest industry.

Subcon Middle East FZE management team has vast experience of providing quality confined space access services through working on long term contracts in the UK in the power generation industry as well as for highways departments and work carried out internationally in the petrochemical sector in Kingdom of Saudi Arabia.

All operations are carried out in accordance with the company’s Confined Space Access Procedures Manual and this is fully compliant with the requirements of the Statutory UK

Confined Space Regulations.

Most technicians working on Subcon Middle East FZE confined space projects are qualified commercial divers and thus meet the qualification requirements of the Confined Space Regulations. Some non-diving personnel are used as required such as for example coded welders. These personnel hold the UK “Simple Traverse Confined Space Access” qualification.

Subcon Middle East FZE owns a large amount of confined space safety equipment including gas detectors, self contained breathing apparatus sets, airline breathing sets, emergency escape sets and ventilation and extraction equipment to service its client’s requirements.

A complete range of services are provided including:

Health and Safety Policy Statement It is the policy of Subcon to do all that is necessary to observe and comply with the requirements of all Health & Safety Legislation as is relevant to our activities as laid down under the UK Health & Safety at Work etc Act 1974. By providing the resources we actively seek the co-operation of all employees to meet this commitment, thereby maintaining safe working practices and a safe working environment. This policy applies to all the employees of and our appointed sub-contractors and as such all employees have a legal duty to observe standards of reasonable care for the health and safety of themselves and their fellow employees. The broad policy aims of the Company are summarised below: - a. To continue to provide and maintain a working environment which, so far as is reasonably

practicable, is safe and without risk to Health and adequate as regards Welfare facilities and arrangements.

b. To continue to provide manufacturer’s / supplier’s advice or warnings to the workforce of

dangerous equipment and noxious substances in use as per the requirements of the COSHH Regulations.

c. To identify all significant hazards in the workplace in order to maintain the working

environment in a safe condition including any risks that might be posed to 3rd parties as a result of our activities.

d. To continue to provide and maintain such plant, tools and equipment as are necessary to

ensure as far as is reasonably practicable, that work can be carried out safely and without risk to Health.

e. To continue to provide such information, instruction, training and supervision as is necessary

for the implementation of Company Policy so as to ensure, as far as is reasonably practicable, the Health and Safety of its employees whilst at work.

f. Make arrangements for ensuring safety and absence of risk to health in connection with the

use, handling, storage and transport of articles and substances used at work. To continue to operate a pro-active stance towards Health & Safety matters and continue to maintain our liaison with the HSE and other relevant bodies.

g. Establish the cause of any accidents within the Company and to institute practicable remedial

measures to prevent recurrence

Company Safety Organisation The Safety Advisor and the Directors will disseminate Health and Safety information to all sites through the respective Contracts/Project Manager or Head of Department. This will include up to date information on statutory requirements and other matters applicable to Health and Safety requirements. It is the duty of the employee to see that all equipment used is in a safe working condition, that it is suitable and adequate for its purpose and to use personal protective equipment/clothing where required. This includes safety glasses, hard hats, overalls; equipment guards and any other provision for Health and Safety and to ensure fellow employees do likewise. All visitors to company places of work must comply with the Company Health, Safety & Environmental Policy. It is the duty of Management, Supervisors and employees to ensure visitors are aware of their responsibilities. Site Supervisor The Site Supervisor will be locally responsible for safety at each worksite. He is appointed by the company and is given responsibilities, which include the power to give reasonable directions to persons either directly or indirectly involved in the company’s operations. He will report to his respective Contracts / Project Manager. Employees All Personnel engaged by the Company (including self-employed operatives) shall take such steps as are reasonable to ensure that they understand the Health, Safety & Environmental Policy. Personnel are encouraged to consult with management concerning Health & Safety issues and we operate an ‘ open door ‘ policy by providing access to Senior Management, Safety Advisor and enforcing authorities. First Aiders / Appointed Persons The Company will nominate a sufficient number of qualified First Aiders or Appointed Persons as required by the Health & Safety (First Aid) Regulations 1981 and the Approved Code of Practice for the work being carried out. Alcohol Any employee reporting for work under the influence of alcohol will be subject to disciplinary action. It is the responsibility of all employees to present themselves at the work site fit in every respect to efficiently perform their duties. Consumption of alcohol during time-off periods should be discontinued in ample time prior to commencement of duties for any effects to have worn off. Drugs Drugs of any kind are prohibited on company operations unless specifically required for medical use. Indulgence in drug abuse of any kind will result in immediate dismissal. Employees whose faculties are dulled to any degree by the use of drugs or intoxicants constitute a serious safety threat to themselves and their fellow employees. Quality Policy Statement

The directors of Subcon are committed to: a) Meeting the needs and expectations of its customers. b) Provide the safest and healthiest possible working conditions for all employees and any other

interested party concerned with or affected by the company's activities. c) Recognising the importance of environmental protection and acting on matters that may have

significant environmental impact. d) Meeting he statutory and regulatory requirements and achieving continual improvement in all

aspects of the company's business. The directors are ultimately responsible for establishing, developing, providing the appropriate resources for meeting these objectives. However, the overall achievement of those objectives calls for a systematic and disciplined approach by all employees in all areas of the company's operations and activities. Environmental Policy Statement

Subcon headed by its directors, is ultimately responsible for limiting environmental impact. Subcon is committed to comply with relevant environmental legislation and regulations. The directors are responsible for coordinating all environmental activities both inside and outside the company. The company recognises that environmental objectives will only be achieved with total commitment and effort by all employees and will do everything possible to encourage them. The company will maintain environmental awareness and identify and provide suitable awareness training as required. Energy and Waste Management Subcon will continually strive to reduce energy consumption by processes through to the transport of its service to its customers. Subcon will strive to reduce waste from its processes, to promote recovery of waste where possible, and will be environmentally responsible for disposal of waste and the prevention of pollution. Suppliers Subcon will work with suppliers and contractors to encourage them to recognise their environmental responsibilities in supplying goods and services. Services All services provided by Subcon will be developed in accordance with the overriding company philosophy of maximising safety and quality while simultaneously limiting environmental impact. Communications All statements on the environment made by the company will emphasise its philosophy of limiting environmental impact. SAUDI ARAMCO RAS TANURA SEA ISLANDS SUBSEA NDT INSPECTION - 2008

A contract was completed for the full Subsea NDT Inspection of Ras Tanura Sea Islands 3 and 4.

All Berthing Dolphins, Breasting Dolphins, Piles, Lateral Pipelines and Fire Main were inspected.

Up to five subsea NDT techniques were carried out on the aforementioned structures including:

EQUIPMENT AND TECHNICIANS - 2008

A Three year contract was entered into for the supply of ACFM Crack Detection equipment and topside technicians in support of Halul Offshore’s QP Contract.

Two types of equipment were supplied on the contract - The AMIGO Set rated to 50 msw and the U31 rated to 200 msw.

SAUDI ARAMCO MANIFA FIELD - 36 No, AS-BUILT SURVEYS OF STRUCTURES - 2008

Subsea NDT Inspection was carried out as part of the refurbishment contract held by McDermott Saudi Arabia for Manifa Field.

Work included Ultrasonic Thickness Testing, CP Readings, Taut Wire Surveys, Anode Surveys, General Visual Inspection and Video Surveys.

All work was carried out using SRP techniques with an Air Diving System and DDC aboard a shall draft spud barge for emergency use. This was due to the unknown structural integrity of the structures and not having the ability to tie up directly to them.

AL-KHAFJI JOINT OPERATION (KJO) SUBSEA GROUTING OF 4 No. FLOW STATIONS - 2007

A short contract was successfully completed to provide subsea grouting services to KJO. Work was carried out to grout the annuli between the piles and the legs on four flow stations.

The work was carried out in conjunction with Densit D who provided the grout spread and the material.

Work was performed from a 50m workboat with an eight man team working on a 12-hour per day basis.

SAUDI ARAMCO SPECIALIZED DIVING SERVICES CONTRACT FOR PIPELINE FREESPAN CORRECTION - 2008/09

A contract was undertaken to correct pipeline freespans at 153 No. offshore locations in five fields.

The work was carried out on a 24-hour basis from a DP-ll DSV and Densit D were used for provision of the grout spread and material. ULO bags of various sizes were provided by Saudi Aramco.

Work was conducted to the maximum air range of 50 msw (165 msw) when working in Marjan and Zuluf Fields.

SAFCO IBB, AL-JUBAIL CONFINED SPACE ACCESS INSPECTION OF

53 No. COOLING WATER AND UTILITIES PIPELINES - 2007 TURNAROUND

Work was undertaken in 2007 on the Saudi Fertilizer Company - Ibn Baytar Maintenance Shutdown.

A confined space access team and safety equipment was provided to carry out full inspection by manned entry of the underground cooling water and utilities pipelines of 48” O.D. or larger. The largest pipeline was 84” O.D.

Inspection reports were provided to the site civil engineer and where directed, epoxy and lightweight mortar repairs were carried out to reinstate the cement lining.

The world was successfully carried out over a ten day period.

JAPANNESE GAS CORPORATION - PETRORABIGH

INDUSTRIAL ROPE ACCESS INSPECTION OF POST DRY-OUT REFRACTORY - 2008

A contract was completed using industrial rope access techniques to inspect a 39m high reactor at PetroRabigh in the Western Province of Saudi Arabia.

A three man team and all safety equipment was provided to carry out the workscope after the reactor had been fired up.

The inspection was completed in four days to the satisfaction of the client with detailed written reports submitted.

The work was completed without incident and provided a big cost and time saving when compared with the alternative use of scaffolding to carry out the inspection.

NON- GCC REGION PROJECTS

VESTAS/MAYFLOWER ENERGY - NORTH HOYLE OFFSHORE WINDFARM

CONSTRUCTION DIVING SUPPORT - 2003

Work was undertaken at the UK’s first Offshore Windfarm in support of the installation of two export cables and thirty “J” Tube installations.

The cable lay operation involved crossing a live 20” Gas Pipeline and two 3” Condensate Lines including the placement of high-tensile stone mattresses and bagworm. The cable was ploughed to within 100m either side of the Gas Line and the transitions were completed using airlifting and HP Water Jetting.

“J” Tubes were installed in readiness for the inter-turbine cable installations, and cable pulls were made for the two export cables at two turbines.

Work was carried out on a 24-hour basis using two eight man diving teams.

As well as diving operations on the project, a lot of work was carried out at height in respect of the cable pulls and rigging work.

CONSTRUCTION OF AIRBUS UK A380 WING LOAD-OUT FACILITY - CHESTER 2003/04

A contract was completed between November 2003 and April 2004 to construct a 65m length underwater grillage to facilitate the transportation of the giant Airbus A380 Wings by barge to the Port of Mostyn for onward sea transportation to France where final assembly takes place.

The work involved the cutting in black water of 24 No. 600mm O.D. Piles to 400mm above bed level to a tolerance of +/- 5mm. On completion the grillage was assembled in nine sections with 100 tonne S.W.L. crawler cranes used for placement. Finally, an air blast system was installed beneath the structure to keep it clear of silt.

The job was challenging due to the massive amount of silt and debris that was deposited on every tide. Tree trunks and other large items were required to be removed at the start of every shift just to gain access to perform construction work. This was in addition to the airlifting of up to 2m of silt.

The work was successfully carried out using a six man air diving team working on a 12-hour basis.

The project was high profile due to the nature of the new aircraft and UK government involvement, and was the subject of a Discovery Channel “Megastructures” documentary.

LONDON OFFSHORE CONSULTANTS LTD. COSTA CONCORDIA WRECK REMOVAL PROJECT MANAGEMENT TEAM - 2013

A contract was undertaken by Ruwailan Marine Contracting’s Director in 2013 on the Costa Concordia Wreck Removal Project, the largest project of it type to ever be attempted.

Services were provided as part of the Project Management Team working for the P and I Club (Client).

The workscope consisted of two phases as follows:

Phase 1

Full QHSE and Cost Control Auditing was undertaken of the commercial diving operations. The aim was for the client to get a better understanding of the enormous costs that were present and also for their representatives to suggest more efficient working practices for the installation of the 10,000 grout bags that were required as there was a considerable overrun on the project and this element of the construction work was critical path.

Phase 2

On completion of the auditing phase, work was undertaken onboard Micoperi 30 Heavy Lift Barge as a Client Representative. The barge was the platform for the drilling and pile installation for the large 1,400 tonne platforms that were installed, and that are currently supporting the wreck.

The drilling operation was challenging as we were required to drill vertically into a 65 degree slope of granite. Each template had nine piles and the platforms were installed on completion using a DP1 Heavy Lift Vessel.
