| SCHÖNOX® SDGSCHÖNOX® SDG is a rapid drying, ready mixed special dispersion based damp-proof membrane for interior use. It is

suitable for the fast pre-treatment of unheated cement based substrates with a residual moisture up to 90% RH as a

2 coat application and 93% RH as a 3 coat application. No additional primer is required prior to applying Schonox floor

levelling sreeds. It has high coverage and short waiting times: just 15 min for the 1st coat and approx. 45-90 min for the

2nd and 3rd coats.

A solvent-free, 1-component acrylate dispersion primer for interior applications. SCHÖNOX® SHP is a special primer for

sound, smooth and non-absorbent substrates. Especially suitable for application over old well bonded vinyl sheet, tiles,

steel access floors and all non porous substrates. With short waiting times, and easy roller application, this product

provides optimum adhesion. It has low consumption/high coverage rates, and can be used on both floors and walls. It has

low emissions, and is also odourless, making it pleasant to use.

A 2-part, solvent-free, low viscosity, epoxy resin primer suitable for use in conjunction with all SCHÖNOX® adhesives and

levelling compounds. Controls moisture on damp cementitious substrates with a moisture content up to 99% RH. Provides

substrate consolidation and adhesion promotion on weak or friable surfaces. Sikafloor®-156 is suitable for refurbishing

existing substrates against the egress of moisture which can damage floor finishes.

8 Gypsum Levelling Screeds

Levelling screeds today are far more technically advanced than they have ever

been. SCHÖNOX®, part of the Sika® Group of companies are at the forefront

of this development and bring to you not only products with exceptional

smoothing and levelling properties, but they are also fast drying which enables

final flooring finishes to be applied in as little as two hours after application.

9Gypsum Levelling Screeds

A synthetic gypsum self-levelling superflat screed for use from 1 to 45 mm. Especially suitable on all gypsum and cement

based substrates, as well as on cast asphalt screeds according to DIN 18 560. Suitable for use with underfloor heating

systems, and for castor wheel loading, Used in thicknesses of 1 to 30mm (without aggregate), or 10-45mm (when bulked

out with 3mm granite chippings). It boasts high strength values (40 N/mm2 compressive strength), is stress free, while

also being protein-free, and low in emissions (EC1). Used in conjunction with SCHÖNOX® SHP primer it can also be used to

overlay old, firmly bonded, resilient floor coverings. After adding of 6 litres of water to 25kg of powder, it is ready to use.

| SCHÖNOX® APFSynthetic gypsum fibre-reinforced, self-levelling screed for use from 3-15mm in internal areas.It is especially suited for

use with wooden floor boards, chipboard (V100), mastic asphalt screeds and other critical substrates in combination with

elastic and textile coverings. Ready for foot traffic after approx. 3 hours, it has a particularly high coverage rate, as well

as very low emissions. It boasts high flexural strength, and is particularly suited for use with electric underfloor heating

systems. It provides an extremely smooth and flat surface and easily achieves SR1 smooth surface which is ideal for use

with soft floor coverings where every defect in the substrate will reflect through to the finished floor. It is ready to use

with addition for 6.0 litres of water; can be poured or pumped.

Very low emission, calcium sulphate based superflat levelling screed especially suitable for all calcium sulphate based

subfloors as well as mastic asphalt screeds according to EN 13 813. Also for interior use on cementitious subfloors

| SCHÖNOX® XA

Synthetic gypsum based rapid drying, feather edge and patching compound suitable to provide a smooth finish on

calcium sulphate based substrates in interior areas. SCHÖNOX® AST can be installed as a true featheredge. It is fast drying

independent of the layer thickness and is ready for foot traffic after approx. 60 minutes. Suitable for underfloor heating

systems, as well as for castor wheels loadings according to DIN EN 12529.

High Performance two component latex levelling screed. A protein free, two-component self-levelling screed for interior

use that can be laid at a thickness of 3-40mm without aggregates, and 10-60mm with aggregates. 4.75 litres of SCHÖNOX®

LC LIQUID is applied to a 25kg bag of SCHÖNOX® LC POWDER to create a latex- and polymer- modified levelling screed that

is ideal for use below textile and other flexible floor coverings, as well as parquet flooring. It is ideal for use with underfloor

A self levelling moisture tollerant levelling screed for use from 3-50mm without aggregate and 10-60mm with aggregate.

Noted for its rapid hardening, high strength, and low shrinkage, SCHÖNOX® FPL PLUS can be used for both interior and

exterior applications, as it is both frost resistant and waterproof. Suitable for use with underfloor heating systems,

SCHÖNOX® FPL PLUS is both pourable and pumpable, and is ready for covering after approx. 4 hours, for ceramic tiles on

concrete floors. It has low VOC emissions, and is regulated under EMICODE EC1 Plus. After adding 4.5-5.0 litres of water to

25 kg of powder, SCHÖNOX® FPL PLUS is ready to use.

| SCHÖNOX® iFLOORA revolutionary new system for laying of all types of luxury vinyl tiling on levelled substrates by professional fitters.

Unique, dispersion based rollable adhesive provides an extremely clean and fast installation. No excessive adhesive

residues, and no residual adhesive moving up through the joints, leaves the vinyl surface and installer’s hands clean. By

forming a flat adhesive bed instead of adhesive notches, this product will not cause point load deformation. As only a thin

layer is required, it boasts particularly high coverage rates. It bonds the vinyl immediately, allowing for immediate foot

traffic, and therefore a very fast installation.

Roller applied anti-slip tackifier for fixing all types of carpet tiles. Used internally, this product is easily applied by roller

3.2 TheCompanymaymakeanychangetothespecification,design,materialsorfinishesoftheGoodswhichare:

4.1 ThepricefortheGoodsorServiceswillbethepricesetoutintheCompany’spublishedpricelistcurrentatthedateofdeliveryofGoodsorperformanceofServicesorasotherwisenotifiedbytheCompanytotheBuyerpriortotheContractbeingmade.OrdersforGoodsvaluedbelow£2000(beforeVAT)areexclusiveofanycostsofpackagingandcarriage,VATandanyotherapplicablesalestaxordutywhichwillbeaddedtothesuminquestion.OrdersforGoodsvaluedgreaterthan£2000(beforeVAT)andwhicharetobedispatchedfromtheCompany’swarehousewithintheUnitedKingdomareinclusiveofanycostsofpackagingandcarriagewithintheUnitedKingdombutexclusiveofVATandanyotherapplicablesalestaxordutywillbeaddedtothesuminquestion.

4.2 TheCompanymayinvoicetheBuyerfortheGoodsonoratanytimeafterdispatch,orfortheServicesonoratanytimeafterperformancecommencesandpaymentisdueinpoundssterlingbythelastdayofthenextcalendarmonthfollowingthedateofinvoice,oruponterminationoftheContract,whicheveroccursfirst.

TheCompanymaydelivertheGoods,orperformServices,byseparateinstalments.EachinstalmentwillbeaseparateContractandnocancellationorterminationofanyoneContractrelatingtoaninstalmentwillentitletheBuyertorepudiateorcancelanyotherContractorinstalmentunlessotherwisenotifiedbytheCompany.EachseparateinstalmentwillbeinvoicedandpaidforinaccordancewiththeprovisionsoftheContract.

6. DELIVERY OF GOODS

6.1 DeliveryoftheGoodswithintheUKmainlandwillbeCPTDeliveryPointINCOTERMS2010(savethatcarriagemaybechargedtotheBuyerinaccordancewithCondition6.4and/orCondition6.5).

6.2 DeliveryoftheGoodstoNorthernIreland,theScottishIsles,theChannelIslandsortheIsleofManwillbemadeFOBDeliveryPointINCOTERMS2010.

6.3 DeliveryoftheGoodsoutsidetheUKwillbemadeFASDeliveryPointINCOTERMS2010,exceptthatriskshallpasstotheBuyeratthetimethattheGoodsleavetheCompany’spremises.

6.4 DeliveryoftheGoodswillbeacceptedatanytimeofday.AtthesolediscretionoftheCompany,overnightdeliveriesordeliveriesatspecifiedtimesmaybeagreedincertaincircumstances.Notwithstandingcondition6.1,suchdeliveriesshallbesubjecttoanadditionalchargebeingraisedbytheCompany.IftheBuyerfailstotakedelivery,orprovideanynecessarydocuments,theGoodswillbedeemedtohavebeendeliveredandtheCompany,withoutprejudicetoitsotherrights,mayatitsoption:

6.4.1 storeorarrangeforstorageoftheGoodsuntilactualdeliveryorsaleandchargetheBuyerforallrelatedcostsandexpenses(including,withoutlimitation,storageandinsurance);and/or

6.4.2 followingwrittennoticetotheBuyer,sellanyoftheGoodsatthebestpricereasonablyobtainableinthecircumstancesandchargetheBuyerforanyshortfallbelowthepriceundertheContract.

ExcessivewaitingtimesmayalsobechargedtotheBuyerincertaincircumstances.

6.5 TheCompanywillusereasonableendeavourstodeliverGoods5(five)WorkingDaysafterthedateonwhichtheorderisconfirmedbytheCompany,butthetimeofdeliverywillnotbeoftheessenceofaContract.Notwithstandingcondition6.1,carriagewillbechargedondeliveriesrequiredwithin5(five)WorkingDays,ordeliverieswithspecifictimeorvehicletypestipulations.If,despitethoseendeavours,theCompanyisunableforanyreasontofulfilanydeliveryofGoodsonaspecifieddate,theCompanywillbedeemednottobeinbreachoftheContract,nor(fortheavoidanceofdoubt)willtheCompanyhaveanyliabilitytotheBuyerfordirect,indirectorconsequentialloss(allthreeofwhichtermsincludes,withoutlimitation,pureeconomicloss,lossofprofits,lossofbusiness,depletionofgoodwillandlikeloss)howsoevercaused(includingasaresultofnegligence)byanydelayorfailureindeliveryofGoodsexceptassetoutinthiscondition.AnydelayindeliveryofGoodswillnotentitletheBuyertocanceltheorder

unlessanduntiltheBuyerhasgiven10(ten)WorkingDays’writtennoticetotheCompanyrequiringthedeliveryoftheGoodsandtheCompanyhasnotfulfilledthedeliveryoftheGoodswithinthatperiod.IftheBuyercancelstheorderinaccordancewiththisCondition6.5then,saveasexcludedunderCondition6.6:

6.5.1 theCompanywillrefundtotheBuyeranysumswhichtheBuyerhaspaidtotheCompanyinrespectoftheGoodswhichhavebeencancelled;

6.5.2 andtheBuyerwillbeundernoliabilitytomakeanyfurtherpaymentsunderCondition4inrespectoftheGoodsthathavebeencancelled.

6.6 Notwithstanding,theprovisionsofCondition6.5,theCompanywillbeundernoobligationto:

6.6.1 torefundtheBuyeranysumswhichtheBuyerhaspaidtotheCompanyinrespectoftheBespokeGoodswhichhavebeencancelledunderCondition6.5;and

6.6.2 waiveanyoutstandingfurtherpaymentsduebytheBuyerinrespectofBespokeGoodswhichhavebeencancelledunderCondition6.5.

6.7 TheBuyerwillprovideatitsexpenseattheDeliveryPointadequateandappropriateequipmentandmanuallabourforoff-loadingtheGoods.

6.8 A£10.00handlingchargewillbemadeinadditiontothecarriagechargeforovernightdispatchofGoods.Thisserviceisofferedasresourcesallowandissubjecttoavailabletransport.

6.9 ThetypeofvehicleusedtodeliverGoodsandthemethodofpackagingoftheGoodsfordeliverywillbeatthediscretionoftheCompany.

6.10 AnychangerequiredbytheBuyertothedeliveryvehicleand/orthemethodofpackagingtheGoodsfordeliveryselectedbytheCompanywillconstituteaSpecificDeliveryRequirement.TheBuyerwillincuranyadditionalcostsforaSpecificDeliveryRequirement.

6.11 TheBuyerwillprovideafullandcorrectaddress,includingpostcode,forthedeliveryoftheGoods.

7. RISK/TITLE IN THE GOODS

7.1 RiskofdamagetoorlossoftheGoodswillpasstotheBuyerinaccordancewithCondition6.

7.2 OwnershipoftheGoodswillnotpasstotheBuyeruntiltheCompanyhasreceivedinfull(incashorclearedfunds)allsumsduetoitinrespectof:

7.2.1 theGoods;and

7.2.2 allothersumswhichareorwhichbecomeduetotheCompanyfromtheBuyeronanyaccount,whetherforGoodsorServices.

7.3 UntilownershipoftheGoodshaspassedtotheBuyer,theBuyermust:

7.3.1 holdtheGoodsonafiduciarybasisastheCompany’sbailee;

7.3.2 storetheGoods(atnocosttotheCompany)separatelyfromallotherGoodsoftheBuyeroranythirdpartyinsuchawaythattheyremainreadilyidentifiableastheCompany’sproperty;

7.3.3 notdestroy,defaceorobscureanyidentifyingmarkorpackagingonorrelatingtotheGoods;and

7.3.4 maintaintheGoodsinsatisfactoryconditioninsuredontheCompany’sbehalffortheirfullpriceagainstallriskstothereasonablesatisfactionoftheCompany,andwillwheneverrequestedbytheCompanyproduceacopyofthepolicyofinsurance.

7.4 TheBuyermayreselltheGoodsbeforeownershiphaspassedtoitsolelyonthefollowingconditions:

7.4.1 anysalewillbeeffectedintheordinarycourseoftheBuyer’sbusinessatfullmarketvalueandtheBuyerwillaccounttotheCompanyaccordingly;and

7.4.2 anysuchsalewillbeasaleoftheCompany’spropertyontheBuyer’sownbehalfandtheBuyerwilldealasprincipalwhenmakingsuchasale.

7.5 TheBuyer’srighttopossessionoftheGoodswillterminateimmediatelyifanyofthecircumstancessetoutinCondition11.1occur.

7.6 TheCompanywillbeentitledtorecoverpaymentfortheGoodsnotwithstandingthattitleinanyoftheGoodshasnotpassedfromtheCompany.

7.7 TheBuyergrantstheCompany,itsagentsandemployeesanirrevocablelicenceatanytimeto

enteranypremiseswheretheGoodsareormaybestoredinordertoinspectthem,or,wheretheBuyer’srighttopossessionhasterminated,torecoverthem.

7.8 WheretheCompanyisunabletodeterminewhetheranyGoodsarethegoodsinrespectofwhichtheBuyer’srighttopossessionhasterminated,theBuyerwillbedeemedtohavesoldallgoodsofthekindsoldbytheCompanytotheBuyerintheorderinwhichtheywereinvoicedtotheBuyer.

7.9 OnterminationoftheContract,howsoevercaused,theCompany’s(butnottheBuyer’s)rightscontainedinthisCondition7willremainineffect.

8. LIABILITY OF COMPANY

8.1 TheCompanywill,freeofcharge,withinaperiodof12monthsfromthedateofdeliveryofGoods,orwhereaGuaranteehasbeenissued,fortheGuaranteePeriod,whichareprovedtothereasonablesatisfactionoftheCompanytobemissing,damagedordefectiveduetodefectsinmaterialordesign(otherthanadesignmade,furnishedorspecifiedbytheBuyer),repair,oratitsoptionprovideorreplace,suchGoods.Thisobligationwillnotapplywhere:

8.1.1 theGoodshavebeenimproperlyalteredinanywaywhatsoever,orhavebeensubjecttomisuseorunauthorisedrepair;

8.1.2 theGoodshavebeenimproperlyinstalledorconnected;

8.1.3 anymaintenancerequirementsrelatingtotheGoodshavenotbeencompliedwith;

8.1.4 theBuyerhasfailedtonotifytheCompanyofanydefect(s)ormissingitem(s)fromtheorderacknowledgementwithin48hoursofdeliverywherethedefect(s)ormissingitem(s)shouldbeapparentonreasonableinspection,orwithin48hoursofthesamecomingtotheknowledgeoftheBuyerwherethedefect(s)ormissingitem(s)isnotthatwhichshouldbeapparentonreasonableinspection,andinanyeventnolaterthan12monthsfromthedateofdelivery;

8.1.5 whereaguaranteehasbeenissued,andhasbeenbreachedbythethirdpartybeneficiaryoftheGuaranteewithintheGuaranteePeriod

8.2 AnyGoodswhichhavebeenreplacedbytheCompanywillbelongtotheCompany.AnyrepairedorreplacementGoodswillbeliabletorepairorreplacementunderthetermsspecifiedinCondition8.1fortheunexpiredportionofthe12monthperiodfromtheoriginaldateofdeliveryofthereplacedGoodsorwhereaGuaranteehasbeenissued,fortheGuaranteePeriod.

8.3 IntheeventofanybreachoftheCompany’sexpressobligationsunderConditions6.5,8.1and8.2abovetheremediesoftheBuyerwillbelimitedtodamages.

8.4 TheCompanydoesnotexcludeitsliability(ifany)totheBuyer:

8.4.1 forbreachoftheCompany’sobligationsarisingundersection12SaleofGoodsAct1979orsection2SupplyofGoodsandServicesAct1982;

8.4.2 forpersonalinjuryordeathresultingfromtheCompany’snegligence;

8.4.3 undersection2(3)ConsumerProtectionAct1987;

8.4.4 foranymatterwhichitwouldbeillegalfortheCompanytoexclude(ortoattempttoexclude)itsliability;or

8.4.5 forfraud.

8.5 ExceptasprovidedinConditions6.5and8.1to8.4,theCompany’sliabilitytotheBuyer(whetherincontract,tort(includingnegligence),breachofstatutoryduty,restitutionorotherwise)foranyinjury,death,damageordirect,indirectorconsequentialloss(allthreeofwhichtermsinclude,withoutlimitation,pureeconomicloss,lossofprofits,lossofbusiness,depletionofgoodwillandlikeloss)howsoevercausedarisingoutoforinconnectionwith:

8.5.1 anyoftheGoods,orthemanufactureorsaleorsupply,orfailureordelayinsupply,oftheGoodsbytheCompanyoronthepartoftheCompany’semployees,agentsorsub-contractors;

8.5.2 anyoftheServices,ortheirperformance,orfailureordelayinperformance,oftheServices

bytheCompanyoronthepartoftheCompany’semployees,agentsorsub-contractors;

8.5.3 anybreachbytheCompanyofanyoftheexpressorimpliedtermsoftheContract;

8.5.4 anyusemadeorresalebytheBuyerofanyoftheGoods,orofanyproductincorporatinganyoftheGoods;

8.5.5 anyusemadebytheBuyerofanyoftheServices,orofanyproductincorporatinganyoftheServices;or

8.5.6 anystatementmadeornotmade,oradvicegivenornotgiven,byoronbehalfoftheCompanyorotherwiseundertheContract,

shallbelimitedtotheinvoicedvalueoftheGoods.

8.6 ExceptassetoutinConditions6.5and8.1to8.5,theCompanyherebyexcludestothefullestextentpermissibleinlaw,allconditions,warrantiesandstipulations,express(otherthanthosesetoutintheContract)orimplied,statutory,customaryorotherwisewhich,butforsuchexclusion,wouldormightsubsistinfavouroftheBuyer.

8.7 EachoftheCompany’semployees,agentsandsub-contractorsmayrelyuponandenforcetheexclusionsandrestrictionsofliabilityinConditions6.5and8.3to8.6inthatperson’sownnameandforthatperson’sownbenefit,asifthewords“itsemployees,agentsandsub-contractors”followedthewordCompanywhereveritappearsinthoseconditionssaveeachreferenceinCondition8.5.1.

8.8 TheBuyeragreestoindemnify,keepindemnifiedandholdharmlesstheCompanyfromandagainstallcosts(includingthecostsofenforcement),expenses,liabilities(includinganytaxliability),injuries,direct,indirectorconsequentialloss(allthreeofwhichtermsinclude,withoutlimitation,pureeconomicloss,lossofprofits,lossofbusiness,depletionofgoodwillandlikeloss),damages,claims,demands,proceedingsorlegalcosts(onafullindemnitybasis)andjudgmentswhichtheCompanyincursorsuffersasaconsequenceofadirectorindirectbreachornegligentperformanceorfailureordelayinperformancebytheBuyerofthetermsoftheContract.WhereaGuaranteehasbeenissued,suchindemnityshallcontinueuntiltheendoftheGuaranteePeriod.

9. GUARANTEE

9.1 WheretheCompanyprovidesaWarrantyadditionaltotheguaranteeinConditon8hereof,theBuyermayrequestthattheWarrantybeprovidedinfavourofaninterestedthirdpartynominatedbytheBuyer.

9.2 TheWarrantyshallbeonsuchtermsandinsuchformastheCompanyconsidersappropriate.

9.3 TheWarrantyshallonlybeprovidedwhenallpaymentsduefromtheBuyerhavebeenreceivedandifinassociationwithaFinalInspectionCerficate,whentheCompanyhasbeengivenallreasonableopportunitytocarryoutatechnicalaudit..

9.4 TheBuyeracknowledgesthatintheeventofaclaimbeingbroughtagainsttheCompanyunder,andinaccordancewiththetermsofaWarranty,whichissolelyorpartiallyduetotheinstallationoftheGoodsnothavingbeencarriedoutinaccordancewiththeCompany’srecommendationsorwiththeskillandcareexpectedofanexperiencedcontractor,theBuyershallindemnifytheCompanyandshall;

9.4.1 recognisethecontinuingobligationsoftheCompanyandtheBuyertoremedydefectsintheGoodsfortheGuaranteePeriod;and

9.4.2 notseektorelyonand,ifandtotheextentnecessary,expresslywaiveanyentitlementtorelyontheprovisionsoftheLimitationAct1980indefenceofsuchclaim.

10. FORCE MAJEURE

TheCompanywillnotbeliabletotheBuyerforanyfailureordelayorfortheconsequencesofanyfailureordelayinperformanceoftheContract,ifitisduetoanyeventbeyondthereasonablecontroloftheCompanyincluding,withoutlimitation,actsofGod,war,industrialdisputes,protests,fire,tempest,explosion,anactofterrorismandnationalemergenciesandtheCompanywillbeentitledtoareasonableextensionoftimeforperformingsuchobligationsinsuchcircumstances.

11. TERMINATION

11.1 TheCompanymaybywrittennoticeterminatetheContractimmediatelyiftheBuyer:

11.1.1 isinmaterialbreachofanyofthetermsoftheContract.FailuretopayanysumsdueinaccordancewithCondition4.2isamaterialbreachofthetermsoftheContractwhichisnotcapableofremedy.

11.1.2 becomesbankrupt,insolvent,makesanycompositionwithhiscreditors,hasareceiverappointedundertheMentalHealthAct1983ordies;

11.1.3 hasanydistraint,executionorotherprocessleviedorenforcedonanyofitsproperty;

11.1.4 ceasestotradeorappearsinthereasonableopinionoftheCompanylikelyoristhreateningtoceasetrade;

or

11.1.5 theequivalentofanyoftheaboveoccurstotheBuyerunderthejurisdictiontowhichtheBuyerissubject.

11.2 TheterminationoftheContracthowsoeverarisingiswithoutprejudicetotherights,dutiesandliabilityofeithertheBuyerortheCompanyaccruedpriortotermination.Theconditionswhichexpresslyorimpliedlyhaveeffectafterterminationwillcontinuetobeinforcenotwithstandingtermination,whichshallincludebutshallnotbelimitedto,theBuyer’sobligationsinrelationtoanyGuarantee.

12. INTELLECTUAL PROPERTY

12.1 NorightorlicenceisgrantedtotheBuyerinrespectoftheexistingIntellectualPropertyRightsoftheCompany,excepttherighttouse,orre-selltheGoodsintheBuyer’sordinarycourseofbusiness.

12.2 AllIntellectualPropertyRightsinorarisingoutoforinconnectionwiththeperformanceofServicesshallbeownedbytheCompany.

12.3 TheBuyerwillnotwithouttheCompany’spriorconsentallowtheTrademarkoranyothertrademarksoftheCompanyorotherwordsormarksappliedtotheGoodstobeobliterated,obscuredoromittednorwillheaddanyadditionalmarksorwords.

13. DISTRIBUTION

13.1 IftheBuyerpurchasestheGoodsandresellsthemthentheCompanyshallhavenoliabilityfornorshallanyindemnityfromtheCompanytotheBuyerinthesetermsapplytoanyliabilityoftheBuyertotheextentthatsuchliabilitywouldnothaveexistedhadtheBuyersoldthegoodsupontermsnolessfavourablethanthesetermsandconditions.

14. GENERAL

14.1 TimeforperformanceofallobligationsoftheBuyerisoftheessence.TimeforperformanceofallobligationsoftheCompanyisnotoftheessence.

14.2 EachrightorremedyoftheCompanyundertheContractiswithoutprejudicetoanyotherrightorremedyoftheCompanywhetherundertheContractornot.

14.3 IfanyconditionorpartoftheContractisfoundbyanycourt,tribunal,administrativebodyorauthorityofcompetentjurisdictiontobeillegal,invalidorunenforceablethenthatprovisionwill,totheextentrequired,beseveredfromtheContractandwillbeineffective,without,asfarasispossible,modifyinganyotherprovisionorpartoftheContractandthiswillnotaffectanyotherprovisionsoftheContractwhichwillremaininfullforceandeffect.

14.4 NofailureordelaybytheCompanytoexerciseanyright,powerorremedywilloperateasawaiverofit,norwillanypartialexerciseprecludeanyfurtherexerciseofthesame,orofanyotherright,powerorremedy.

14.5 SaveassetoutintheContractandCondition8.1.5,theseTermsandConditionsmayonlybevariedoramendedinwritingandsignedbyaseniormanageroftheCompany.

14.6 TheCompanymayassign,delegate,license,holdontrustorsub-contractalloranypartofitsrightsorobligationsundertheContract.

14.7 TheContractispersonaltotheBuyerwhomaynotassign,delegate,license,holdontrustorsub-

contractalloranyofitsrightsorobligationsundertheContractwithouttheCompany’spriorwrittenconsent.

14.8 TheContractcontainsallthetermswhichtheCompanyandtheBuyerhaveagreedinrelationtotheGoodsand/orServicesandsupersedesanypriorwrittenororalagreements,representationsorunderstandingsbetweenthepartiesrelatingtosuchGoodsand/orServices.TheBuyeracknowledgesthatithasnotreliedonanystatement,promiseorrepresentationmadeorgivenbyoronbehalfoftheCompanywhichisnotsetoutintheContract.NothinginthisCondition14.8willexcludeanyliabilitywhichonepartywouldotherwisehavetotheotherpartyinrespectofanystatementsmadefraudulently.

14.9 SaveassetoutinCondition8.7thepartiestotheContractdonotintendthatanyofitstermswillbeenforceablebyvirtueoftheContracts(RightsofThirdParties)Act1999byanypersonnotapartytoit.

14.10 AnynoticeinconnectionwiththeContractwillbeinwritingaddressedtotheotherpartyatitsregisteredoffice,orprincipalplaceofbusinessandwillbedeliveredbyhand,orfirstclassorspecialdeliverypostorAirmail.Thenoticewillbedeemedtohavebeendulyserved,ifdeliveredbyhand,whenleftattheproperaddressforserviceorifmadebypre-paid,firstclasspostorspecialdeliverypost,48hoursafterbeingpostedorinthecaseofAirmail,14daysafterbeingposted.

14.11 Theformation,existence,construction,performance,validityandallaspectswhatsoeveroftheContractorofanytermoftheContractwillbegovernedbyEnglishlaw.TheEnglishcourtswillhaveexclusivejurisdictiontosettleanydisputewhichmayariseoutof,orinconnectionwiththeContract.Thepartiesagreetosubmittothatjurisdiction.

14.12 WherePartIIoftheHousingGrants,ConstructionandRegenerationAct1996applies,eitherpartymayreferanydisputeordifferencearisingunderthisAgreementtoadjudication.TheadjudicationproceduresandtheagreementfortheappointmentofanadjudicatorshallbesetoutintheModelAdjudicationProcedurespublishedbytheConstructionIndustryCouncilcurrentatthedateofreference.ThenominatingbodyshallbetheTechnologyandConstructionSolicitors’Associationoranysuccessororganisation.

14.13 TheBuyerwillkeepconfidentialanyandallConfidentialInformationthatitmayacquire.TheBuyerwillnotusetheConfidentialInformationforanypurposeotherthantoperformitsobligationsundertheContract.TheBuyerwillensurethatitsofficersandemployeescomplywiththeprovisionsofthisCondition14.13.TheobligationsontheBuyersetoutinthisConditionwillnotapplytoanyinformationwhichispubliclyavailableorbecomespubliclyavailablethroughnoactoromissionoftheBuyeroriftheBuyerisrequiredtodisclosebyorderofacourtofcompetentjurisdiction.
