I rvine-based financial services firm First Foundation Inc. tapped Stradling Yocca Carl- son & Rauth PC to help guide its planned $58 million initial public offering. First Foundation registered the offering in a filing with the Secu- rities and Exchange Commission late Friday. Share volume and pricing details are still being de- termined. Newport Beach shareholders Ben A. Frydman and Ryan C. Wilkins are leading the Stradling team. Stradling shareholders cur- rently own 8,500 shares of First Foundation’s common stock, ac- cording to the company’s filing. Frydman said the firm has been advising First Foundation since 2006, the year the company was incorporated in California, but declined Monday to comment further on the offering. First Foundation provides in- vestment management, commer- cial banking wealth planning, consulting and other financial services to high net worth in- dividuals, whom the company defines as individuals with a per- sonal net worth of more than $1 million, excluding their primary residences. At the end of last month, First Foundation had a total of $2.8 billion under management, ac- cording to company’s filing. $1.09 billion of that came from assets, $949 million from loans and $855 million from deposits. First Foundation said it expect- ed to use $21.5 million from the proceeds from the offering to re- pay outstanding debt. Manatt, Phelps & Phillips LLP is advising the underwrit- ing syndicate in connection with the offering, for which Sandler O’Neill & Partners LP is repre- sentative. San Francisco partner Craig D. Miller and Los Angeles partner Jordan E. Hamburger are leading the Manatt team. Miller declined to comment.
