Preamble

Stillwater Firearms Association (SFA), is an incorporated non profit organization, inaccordance with (IAW) SFA Articles of Incorporation (AOI) filed in the office of the Secretary of State of the State of Nevada, September 12, 1979 (file number 5087-1979).

The principal office of this corporation shall be located in Churchill County, Nevada. The mailing address of this corporation shall be Post Office Box 665, Fallon Nevada 89407.

The purpose of this corporation is to:

Promote public interest and skill in the use of small guns and firearms.

To provide proper training and education in the use of firearms.

To promote public interest and skill in the sport of target shooting.

To promote healthy and social recreation for the members of the corporation as well as for the public at large.

Stillwater Firearms AssociationBylaws

ARTICLE One - Name, Authority, Purpose

1. This organization shall be known as Stillwater Firearms Association (SFA), an incorporated non profit organization, in accordance with (IAW) SFA Articles of Incorporation (AOI) filed in the office of the Secretary of State of the State of Nevada, September 12, 1979 (file number C5087-1979).

2. SFA bylaws shall be written/amended IAW and in the spirit of Nevada Revised Statute (NRS) Chapter 82. These bylaws shall be duly adopted by a majority vote of the SFA Board of Trustees, printed and retained by the Resident Agent or the Secretary at all times, readily available for inspection.

3. SFA shall be managed and governed by NRS Chapter 82, other applicable laws of the State of Nevada, and duly adopted Bylaws. In all instances, SFA AOI and/or the laws of the State of Nevada shall prevail when there is a conflict between these documents and SFA Bylaws.

4. Power to add/amend/repeal bylaws:

(A) Board of Trustees: A simple majority vote is required.

(B) Membership: A simple majority vote of all members in good standing is required.

5. IAW AOI Article Three, the purpose of this corporation is to promote public interest and skill in the use of small guns and firearms; to provide proper training and education in the use of firearms; to promote public interest and skill in the sport of target shooting; and to promote healthy and social recreation for the members of the corporation as well as for the public at large.

ARTICLE Two - Membership and Dues

1. Membership in this corporation shall be made available to all persons who have a strong and positive interest in the promotion and proper use of firearms.

2. Annual dues shall be set by a simple majority vote of the Board or a simple majority vote of the members in good standing, with the membership year commencing on 1 January and terminating on 31 December.

(A) Proration. Persons becoming new members at other times shall be prorated IAW the following schedule:

(1) Joining January 1 - May 31, dues are 100%(2) Joining Jun 1 - Dec 31, dues are 75%

(B) Junior Members: Minor dependants (under the age of 18) of adult members may join as nonvoting members at a rate of 50% of the dues that would be paid by an adult at the time of joining.

3. Life Membership dues shall be set at 10 times the annual dues.

4. There shall be no refund of membership dues.

5. Membership shall not be assignable/transferable.

6. A member may not be expelled or suspended, and a membership may not be terminated or suspended, except pursuant to a procedure that is fair and reasonable and is carried out in good faith, IAW NRS 82.251. This section does not apply to the termination of a membership at the end of a fixed term.

ARTICLE Three - Officers, Board of Trustees

1. Board of Trustees. IAW AOI, the affairs of this corporation shall be managed by a seven (7) member Board of Trustees whose terms shall be one (1) year. Trustees may be elected to subsequent terms of office. At a minimum, SFA shall convene an annual meeting in the month of August for the purpose of electing the Board of Trustees (see Article Three, Section 1.A. - Officers).

(A) The Board of Trustees (also referred to as Directors, Officers, Trustees, Board Members) shall be composed of the following:

(1) Board President, who shall attend and preside over the annual meeting, monthly meetings (as required), and be involved in conducting SFA business.

(2) Board Vice President, who shall assist the President, assume the duties of President (if/when required), and be involved in conducting SFA business.

(3) Board Secretary, who shall attend the meetings, record the minutes of said meetings, and publish a monthly newsletter (if feasible), and maintain an historical file containing, at a minimum, SFA AOI, Bylaws, pertinent insurance documents, meeting minutes, and any other documents deemed necessary. Will issue membership certificates/cards, and maintain an accurate list of current members. Documents may be electronically stored by a method currently in common use, capable of conversion into written form within a reasonable time.

(4) Board Treasurer, who shall maintain SFA financial account(s), receipt for members dues payments, and be involved in conducting SFA business. Documents may be electronically stored by a method currently in common use, capable of conversion into written form within a reasonable time.

(5) Three (3) Board Members, who shall attend the annual meeting, monthly meetings (as required), and be involved in conducting SFA business.

(B) Compensation. There shall be no compensation, except reimbursement of authorized expenses.

2. Terms of office shall begin at the election of officers on the date of the annual meeting.

3. Resignation, death, incapacitation, or removal from office of Trustee. In the event a Trustee resigns, dies or becomes incapacitated, or is removed from office (vote required) the membership shall be notified and a meeting shall be convened at the earliest opportunity to elect a successor.

4. Nomination and election of officers. Nominations may be made any time prior to the scheduled annual meeting. Nominees must accept their nominations and be members in good standing prior to the election.

ARTICLE Four - Committees

1. Committees shall be formed if/as necessary and solicited/appointed by the President or acting President.

Article Five - Meetings

1. At a minimum, SFA shall convene an annual meeting in the month of August for the purpose of electing the Board of Trustees (see Article Three - Officers), and appointment of Resident Agent (if required).

(A) Due in the month of September, a “Current List of Officers” shall be filed with the Secretary of State. Said list shall also be filed/updated as necessary.

2. Monthly meetings, while not required by the AOI, shall be held as required and are highly encouraged.

3. General membership notification of meetings. Membership notification of date, time and location shall be by any means practical, such as newsletter, telephone, local press release, standing practice, etc.

(A) This shall not preclude unannounced committee meetings, ad hoc committee meetings, nor individual members meeting for the purpose of discussing club business/functions and/or drafting proposals for Board of Trustees and/or general

membership consideration.

ARTICLE Six - Management

1. IAW AOI, SFA shall be managed by the Board of Trustees. Majority decisions of the Board shall prevail in all matters provided such decisions do not conflict with the AOI, laws of the State of Nevada, or SFA Bylaws.

2. Voting - A simple majority of a quorum is required in order to pass a motion or resolution.

(A) SFA Quorum defined by Nevada Revised Statutes as 10% of members in good standing. (B) Proxy vote. A member in good standing may vote by proxy. The proxy vote must be in writing, signed, and for a

specific proposal or election. No general proxies are allowed.

3. Officers’ powers. Officers shall have the authority to conduct all SFA business such as, but not limited to:

(A) payment of just bills/debts.

(B) payment of flowers/memorials to members in good standing (and their immediate family members), not to exceed $75 per instance.

4. The fiscal year of SFA shall be 1 January through 31 December.

ARTICLE Seven - Finances

1. Without prior authorization of the Board of Trustees, SFA funds can be used only for normal SFA operations. Those activities which fall outside of normal operations include, but are not limited to, donations, establishment of scholarship funds, and investment of funds. The Board of Trustees may authorize expenditures of funds as necessary to support the character and purpose of the organization. The Board shall present a report of actions taken at the next scheduled business meeting.

2. Routine expenditures of SFA funds and/or authorized expense reimbursements may be approved by the President or the Treasurer.

3. An audit of the SFA treasury shall be conducted as necessary/required.

4. Subject to any restrictions of the AOI or Bylaws, the President or Treasurer shall have authority to draw on all SFA bank accounts.

Safety Plan

Four Basic Firearm Safety Rules1. TREAT EVERY FIREARM AS IF IT WERE LOADED AND WOULD FIRE IF THE TRIGGER IS PULLED. Do

not take anyone's word that the firearm is unloaded - always check for yourself. Never pass your firearm to another person until the cylinder or action is open and you visually check that it is unloaded.

2. KEEP YOUR FIREARM POINTED IN A SAFE DIRECTION. Never point a firearm at anyone or anything you do not intend to shoot. This is particularly important when loading, unloading, or field stripping the gun. ALWAYS control the direction of the firearm’s muzzle.

3. KEEP YOUR FINGER OFF THE TRIGGER UNTIL READY TO SHOOT. Never place your finger inside the trigger guard unless you intend to fire. Ensure that other objects do not touch the trigger.

4. BE SURE OF YOUR TARGET AND WHAT IS BEYOND IT. Always be sure of where the bullet will strike and shoot only where there is a safe backstop free of obstructions, water or other surfaces which can cause ricochets.

Gun Safety and Operation1. SAFE GUN HANDLING IS YOUR PERSONAL RESPONSIBILITY AT ALL TIMES. Firearms are dangerous

and can cause serious injury and death if they are misused or used inappropriately. Safety must be the prime consideration of anyone who owns or handles firearms. You are responsible for the firearm at all times.

2. NEVER RELY ON MECHANICAL FEATURES ALONE. Only your safe gun-handling habits will ensure the safe use of your firearm. This is your responsibility.

3. BEFORE HANDLING ANY FIREARM, UNDERSTAND ITS OPERATION. Not all firearms are the same. Familiarize yourself with the mechanical features of any firearm you intend to use.

Additional Important Safety Rules Never carry or store a firearm with the hammer or striker in the cocked position.

Do not allow a firearm to be used by anyone who doesn’t understand its operation and the rules of safe gun handling.

Be sure all accessories, such as holsters and grips, are compatible with the firearm and that the accessories do not interfere with safe operation.

Use the correct ammunition for your particular firearm as indicated by the marking on the barrel.

Discharging firearms in poorly ventilated areas, cleaning firearms, or handling ammunition may result in exposure to lead and other substances known to cause birth defects, reproductive harm, and other serious physical injury. Have adequate ventilation at all times. Wash hands thoroughly

after exposure.

Never use alcohol or drugs before or while shooting. Do not use your firearm if you are on any medication, that impairs, even slightly, your mental or physical ability.

Wear eye and hearing protection appropriate for firearm use every time you discharge your firearm. Make sure others in the vicinity of where you will be shooting do so as well.

Accidents are the result of violating the rules of safe gun handling and common sense.

Range Operations

1. General Rules. The (SFA) Range Complex is designed to provide club members and their authorized guests access to a facility where they can become proficient with the use of firearms.

a. Firearms:(1) Rifles & Shotguns that are out of the case and not being fired must be

benched with muzzles pointing downrange. (Actions open, facing up and chambers empty.)

b. Pets:(1) Pet’s owner is responsible for their pet at all times.

c. Cleanliness:(1) Ensure you pick-up after yourself. Police your area for drink containers,

food wrappers, ammo boxes, etc.

(2) Place trash and unwanted brass in the marked containers provided or take with you for disposal.

2. Facilities for Use. The (SFA) Range Complex consists of:a. 200-yard High-Power Rifle range for rifles.

b. The range is open to all members for recreational shooting during daylight hours.

3. Range Limitations and Safety Requirements for club sponsored matches.a. Ear protection is HIGHLY recommended for all persons within close proximity of live

firing. Eye protection is required at all times.

b. Police all brass, paper, and other debris that accumulates on the range. Dispose of them in the containers provided.

c. Shooting at glass (bottles) or any other type of non-standard target is STRICTLY FORBIDDEN.

4. Authorized & Prohibited Firearms. Firearms designed to be fired from the shoulder or hand are authorized for use at the (SFA) range complex.

5. Authorized Personnel. The following persons are allowed to use the range complex:a. Current members of the Stillwater Firearms Association.

b. Invited guests of a member, provided the authorized member is present and assumes full responsibility for the conduct of his or her guest(s).

c. Personnel approved by the club officers on a case-by-case basis.

6. Personnel Responsibilities.a. Range Safety Officer (RSO)

(1) Ensure each RSO understands and can execute live-fire procedures.

(2) Ensure all projectiles impact within the established range safety limits.

(3) Call "Cease firing" and make safe all firearms when a shooter moves forward of the firing line or during any unsafe condition.

(4) Conduct range inspection using the checklist, Appendix (2).

(5) Conduct range safety briefing using Appendix (3).

(6) Check that all shooters have current club cards, and that all shooters and spectators fill out a "hold harmless" agreements.

(7) Make note of and correct any safety infractions.

(8) Conduct live fire in accordance with this SOP.

Note: Failure of shooters to abide by the procedures listed in this SOP mayresult in immediate eviction from the range and possible suspension of future shooting privileges. Report all incidents to the CRSO.

b. Shooting Club Members(1) All shooters must fill out "hold harmless" agreements.

(2) Shooters will conduct themselves in an orderly manner at all times and will be responsible for the conduct of any guests they bring.

(3) All shooters are responsible for their guns and ammunition while on the complex.

(4) Do not point firearms at anything other than authorized targets.

(5) Give the command "Cease firing" if an unsafe condition exists.

(6) Follow all instructions from the RSO.

7. Hours of Operation and Scheduling. SFA develops special event live-fire schedule based on requests received at the monthly business meetings. Schedules will be posted upon club approval. All other range requests will be considered based on range availability. RSOs desiring to open a range must notify the shooting club in order to be placed on the operations schedule.

8. Alcoholic Beverages and Drugs. Shooters may not consume alcoholic beverages or drugs (including prescription and over-the-counter medications) at any time on the range. The CRSO or RSO will deny range access to anyone in violation.

9. Medical Support. In the event of a medical emergency, call 911 and notify the CRSO immediately.

AS LAWFUL CONSIDERATION for having been permitted by SFA to participate in these activities and use of the facility, I HEREBY AGREE that I, my heirs, distributees, guardians, legal representatives and assigns WILL NOT SUE, make a claim against, attach property of, nor prosecute SFA, the range property owner, National Rifle Association, Nevada State Rifle and Pistol Association, and/or any of its/their officers, sponsors, owners, partners, employees, or affiliated organizations for injury or damage resulting from the negligence or other acts, whosoever caused by any officer, owner, partner, employee, agent, or contractor of SFA or the shooting range property owner AS A RESULT OF MY PARTICIPATION INSHOOTING ACTIVITIES. In addition, I HEREBY RELEASE AND DISCHARGE SFA and the range property owner and/or any of its/their owners, officers, partners, employees, sponsors, or affiliated organizations from all claims or demands I, my heirs, distributors, guardians, legal representatives, or assigns now have or may have hereafter have FOR INJURY OR DAMAGE resulting from MY PARTICIPATION IN SHOOTING ACTIVITIES.

I AM AWARE THAT SHOOTING SPORTS ARE INHERENTLY HAZARDOUS ACTIVITIES WITH KNOWLEDGE OF THE DANGER INVOLVED AND

HEREBY ACKNOWLEDGE AND AGREE TO ACCEPT ANY AND ALL RISKS OF INJURY OR DEATH.

I AGREE TO TREAT ALL GUNS AS ALWAYS LOADED AND WILL NEVER POINT THE MUZZLE OF ANY GUN AT ANY TIME, WHETHER LOADED OR NOT, AT MYSELF OR IN THE DIRECTION OF ANOTHER HUMAN BEING.

I acknowledge and agree that drawing and re-holstering a gun is a particularly dangerous activity, and one that must be self-monitored because of the fact that I could injure myself during a speed draw before a Range Officer could stop me. I therefore promise and agree that I have practiced drawing my gun before coming to this match and am competent to do so without causing myself injury, and that I WILL NOT TAKE THE SAFETY OFF OR PUT MY FINGER ON THE TRIGGER DURING THE DRAW, until the muzzle of the gun is fully downrange and completely clear of my body. Likewise, I promise and agree that I WILL UNLOAD/CLEAR/MAKE SAFE MY GUN BEFORE RE-HOLSTERING, while the muzzle of the gun is still fully downrange and totally clear of my body.

I acknowledge that the shooting sport, by its very nature, has the potential to be dangerous and a serious accident could occur. I assume full responsibility for my actions or that of the minor that I am signing for. I further agree to follow all posted rules and/or verbal range commands, especially those concerning safety and conduct. I further certify that I am over 21 years of age, that I have never been convicted of a felony (or my rights have been restored in accordance with Federal law), nor am I currently under indictment for a felony or crime that would prevent me from handling firearms.

I have carefully read this agreement, and agree to abide by the safety rules promulgated by SFA. I agree that my failure to abide by safety instructions will result in the immediate forfeiture of my match fee(s) and ejection from shooting activities.

Range Safety Briefing

1. Cold range - All firearms are unloaded except at the command of the Range Officer at the start of the course of fire.

2. From the command to load, and until the Range is called Clear, the Range is HOT and only participating Officers and shooters are allowed in it.

3. Anything dropped in a HOT Range will remain on the ground. If a gun is dropped the RO himself will pick it up, if it is unloaded the shooter will lose that bout, if it is loaded the shooter will be disqualified for the day in all classes.

4. Minimum skill required to compete is the ability to operate the firearm unassisted, if help is needed the gun will be cleared and holstered. Once a gun is cleared and holstered the bout is over for that shooter.

5. Control of firearms – WHETHER LOADED OR NOT, all firearms must be pointed downrange during the course of fire, following the 180 rule.

6. In the event of a firearm malfunction, the competitor may safely attempt to correct the problem and continue shooting. During such corrective action the gun’s muzzle must be kept pointed downrange at all times, and the finger OUTSIDE the trigger guard.

7. Ammunition – Any ammunition which in the opinion of the Match Director is deemed unsafe such as Magnum loads or a batch of ammo with more than one squib load in it shall be withdrawn from competition immediately.

8. Holster – A safe holster must be used that completely covers the trigger of the gun, except for revolvers. No Shoulder, Cross Draw, or Small of Back holsters are allowed.

9. Eye and Ear protection is mandatory for competitors. For spectators Eye protection is mandatory and Ear protection highly recommended.

10. Under no circumstances should guns be handled in the spectator area except to Bag or Holster.

11. Safety area – A safety area is provided to practice drawing, dry firing and inserting and removing EMPTYmagazines, and/or to cycle the action of a gun – to conduct inspections, stripping, cleaning, repairs and maintenance of firearms. NO AMMUNITION OR DUMMY ROUNDS WILL BE HANDLED IN THE AREA.

12. The Match Director reserves the right to change or alter the rules at any time.

13. Failure to comply with the Safety Rules, or engaging in unsportsmanlike conduct or being under the influence of alcohol or any drug that could impair coordination or judgment will result in disqualification.

agents, officers, employees, or volunteers on behalf of myself as parent or legal guardian, the

juvenile named above and our heirs and/or next of kin from all liability in consideration for

permitting their participation in said events.

Members agree to abide by all posted firearms safety guidelines and in their absence, to abide by accepted principles of safe firearms handling as published by the National Rifle Association (NRA).

As lawful consideration for having been admitted to SFA and permitted by SFA to use its facilities, I hereby agree that I, my heirs, distributes, guardians, legal representatives and assigns WILL NOT SUE, make a claim against, attach property of, nor prosecute SFA, the range property owner, or any of its/their officers, sponsors, owners, partners, employees, or affiliated organizations for injury or damage resulting from the negligence or other acts, whatever caused by any officer, owner, partner, employee, agent, or contractor of SFA, or the shooting range property owner.

I acknowledge understanding and accept the above principles and conditions as a prerequisite of membership in the SFA. I also acknowledge violation of these conditions and principles may result in revocation of membership in accordance with SFA bylaws.
