Kawamura, Secretary of the California Department of Food & Agriculture, whose office impacts nearly every facet of California agribusiness. And of course there’s the golf tournament at Napa’s beautiful Eagle Vines Golf Club, the educational program, the President’s Reception, our Annual Banquet, and more. Check out “Things to Do, Places to See” starting at page 4 of this newsletter. The conference will be held Wednesday through Friday, May 23 through 25, 2007, just before Labor Day for those who want a really long weekend. We will be at the Embassy Suites in Napa, of which you can take a virtual tour at http://www.embassynapa.com/ . Early reservation (at reduced rates) for the conference is by April 16; hotel reservations must be made by April 23. OK, it means other things too but this year’s conference is not to be missed. We have a great mix of technical and non-technical topics planned, including Fin 48 (Accounting for Tax Uncertainties), tax implications of the 2006 Pension Protection Act, an update on the 2007 Farm Bill, and a discussion of food safety issues. 2007 Annual Convention and Tax Seminar

August 6 – 8, 2007 This year’s mid-year

(January) Board meeting took place in Palm Desert, California. It was held in the beautiful Desert Springs, Resort and Spa. The location was an absolute dream. The gorgeous hotel had plenty of shops and restaurants. An added feature is that I didn’t even have to leave the place for my morning coffee as there was a Starbucks on the lobby floor.

The North Central Chapter is excited to welcome you to Minneapolis as it hosts this year’s 72nd Annual Convention and Tax Seminar. We are also host to the Electric Co-op Annual Chapter’s Finance, Accounting and Tax Seminar which is holding their chapter meeting in conjunction with the national convention. The Marriott City Center in downtown Minneapolis is the convention hotel where all sessions will be held. Should the need arise, there is a small block of rooms being held at the flagship Radisson Hotel, directly across the street.

The NSAC Board Meeting was held on Saturday, January 20, 2007. The meeting date was perfectly timed to follow behind the NCFC Annual Meeting which started on Wednesday, January 17

th and lasted

through Friday, January 19There are some changes in the air. In years past, the Past Presidents Dinner was held on Sunday evening. We will not be holding a dinner this year, but have opted for a Hospitality room from 4:30 pm – 8:30 pm for your convenience. Stop by for a pop or beer and some snacks. We may even have ice cream for the children (even those young at heart). Several North Central Chapter Host Committee members will be in the room to meet and greet you.

th. I attended the NCFC meeting and did a lot of networking. As Rich French mentioned in his November Newsletter, the most rewarding part of being a member of NSAC is the networking/sharing of ideas. On Monday night, everyone gathers for the Opening

Night Gala (formerly called the President’s Reception) where we will have a sit-down dinner beginning at 6:00 pm and entertainment provided by mentalist Christopher Carter.

NATIONAL BOARD UPDATE: ► Treasurer’s Report – December 2006 financials were reviewed and items of note were revenue being up mainly due to seminars, interest, dividends and dues. The bottom line is still very favorable.

An addition to this year’s activities is the Tuesday night networking opportunity at Brit’s Pub. This is an optional event, but attendees have mentioned in the past that they would like more networking time. Stop by the Pub’s veranda for a drink and some appetizers before joining up with friends or family for dinner.

► 2007 Budget - Discussed goal for budget. Since bottom line seems to continue to be very favorable, is goal to break even or make a profit? This will decide our approach on how much to charge on an on-going basis on dues, seminars, etc..

We have a full program on these two and a half days. We are excited you’re coming to town and wish to extend to you a warm and hospitable Minneapolis welcome! So please join us “Under the North Star – Shining on Opportunity.”

DIRECTOR’S REPORT continued ► Membership - NSAC’s We are at 88% retention level versus 86% last year. Goal is 90%. The member count is 1,485. National stated the individual chapters do a great job of following up with members who have dropped off and this makes things much easier for National.

Mission Statement

To be the acknowledged leader in:

► Providing accounting, tax and business education uniquely tailored to cooperatives;

► Dues Proposal - ► Providing networking and professional

development opportunities for our membership; and

Discussion focused on possibly reducing fees as financials are still strong. We will discuss with Chapters possibly either discounting dues or running some type of promotion when an existing member brings in a new member.

► Supporting cooperative business interests in standard setting processes enabling our membership to effectively serve cooperatives.

► Chapter Leadership Training- Goal is to get officers trained via webinar.

COMMITTEE REPORTS: ► Accounting and Auditing- Discussion centered on updating the AICPA Audit Guide and how difficult it has been to get someone to do this. This led to the discussion of possibly hiring a possible Education Officer that might have this as one of their primary responsibilities. ► Chapter Development- Silver Star program is being reviewed for possible changes. Only two chapters were eligible last year as it is very difficult to attain the number of points needed to qualify for the program. ► Other Business- Silver Bowl Nominee names were brought up for consideration. Thanks to all of you for allowing me to serve as one of your two National Directors. I am in very good company with Richard French. Membership Types

All memberships are individual memberships and are not transferable.

REGULAR: To be eligible for regular membership, an individual shall be employed by or affiliated with a cooperative association, be engaged in providing professional services for cooperatives, or shall otherwise be engaged in the furtherance of cooperative principles. The national annual membership service fee is $150.00 and covers 1 year of membership from the date enrolled. NSAC membership dues must include payment of national membership service fees plus applicable chapter dues (listed below).

RETIRED: To be eligible for retired membership, an individual must have a minimum of five years active membership in good standing, have reached age 55, and be retired from active business under provisions of a formal retirement plan or through amicable arrangement with his or her employer which results in a complete serverance or material reduction in compensation, or have retired because of permanent disability. The national membership service fee is $50; there are no chapter dues required.

CHAPTER MEMBERSHIP AND DUES Chapter membership is required as a condition of membership in NSAC. Twelve chapters have been organized using state boundaries as set forth below. Members usually affiliate with the chapter covering the state in which they live or work. However, NSAC recognizes that for professional, geographic or other reasons members may prefer to affiliate with a different chapter or with more than one chapter.

Dues are assessed on the basis of all chapters chosen. Please designate on page 1 the chapter(s) in which you want to hold membership. If no choice is made, a chapter assignment will be made based on address. If joining more than one chapter, the first chapter listed on page 1 will be considered your primary chapter for voting purposes.
