Note that mixing of different manufacturers’ products within a ceiling or wall system will void any warranty.

Faststud is the major NSW Distributor for Studco Building Systems.

As such the majority of steel products listed are supplied by Studco.

Studco is a Quality Assured Company.

Marketing & Pricing Policy

FREIGHT

Freight charges available on application.

BACK ORDERS

Sydney Metropolitan area

No delivery charge on backorders for standard stock items. Standard delivery charge will apply to non standard products and special orders.

Outside Sydney Metropolitan area

Delivery charges will apply on backorders for both standard and non standard products. Order early to avoid these charges.

RE-DELIVERIES

If goods have to be returned to store for re-delivery due to the customer not meeting delivery related obligations made at the time of order, the customer will be charged for:

the cartage of the original delivery,

the cartage for return to store

and the later re-delivery.

SPECIAL ORDERS

Special size products e.g. Studs, Furring Channels, etc. are available from FASTSTUD provided that the minimum quantity is a stock pack size for the product concerned.

A purchase order is required before manufacture will commence.

All special orders will be billed within 30 days of date ready for despatch. Storage fees may apply if goods are not picked up or delivered within the 30 day period.

Special orders will be billed if the order is cancelled. Restocking is not an option.

PACKAGING

With few exceptions, FASTSTUD products are packed in workable quantities of stock packs and sub packs.

In such cases, minimum quantities sold are limited to sub packs.

GOODS & SERVICES TAX

FASTSTUD is registered for GST. All prices in this book exclude GST.

TIMEFRAME AND CONDITION ON RETURNS

A handling, restocking and administration charge will apply to all returned items.

If goods are picked up by Faststud, return freight will be charged.

If returned items require cleaning when they reach the yard an additional charge will apply.

Scyon Axent trim - is a thick and versetile trim made from Scyon, an advanced cement composite. Scyon Axent trim is an easy way to add finishing touches that keep their finish Scyon Axon cladding is a vertically grooved cladding panel that looks sharp and uniform. Pre-primed and easy to install cladding system with a pristine look that lasts. Scyon Linea weatherboard - is a 16mm thick weatherboard with deep shadow lines. Scyon Matrix cladding - an exterior cladding system with a geometric, expressed-joint look. Scyon Secura interior & exterior flooring - structural flooring

substrate for tile finishes over timber or lightweight steel floor joists. Scyon Stria cladding - features horizontal ship-lapped joint. Pre-primed fast and easy to install for achieving a timeless and classic look.

ComTex facade panel - features pre-primed panel that's site-finished with a high-build acrylic texture system that incoporates reinforced jointing and texture coating. The finished system creates a rendered look without the need for masonry. ExoTec facade panel - is a compressed facade panel featuring expressed joints either site painted or pre-finished off-site. ExoTec facade panel is the most popular fibre cement commercial facade system on the market. HardieFlex sheet - is a smooth, flat sheet that is painted on site to create a flat panel look. HardiePlank weatherboard - is a site-painted weatherboard available in a range of different profiles, from traditional to contemporary. PLASTERBOARD USAGE

Regular Plasterboard10mm and 13mm regular plasterboard is used in typical internal wall and

ceiling lining situations.

SoundSTOP

SoundSTOP 10 and 13mm is a plasterboard with high density core

providing excellent sound insulation for residential and commercial

applications. Used in wall and ceiling systems, to provide superior levels

of sound resistance.

FlexiBOARDFlexiBoard is a 6mm flexible plasterboard that can be used to create

curved walls and ceilings.

UniSPANUniSPAN is a 10mm reinforced plasterboard for ceilings. It is designed to

span internal ceiling joists or furring channels up to 600mm without

sagging

Wet Area Plasterboard10mm, 13mm and 16mm water resistant plasterboard suitable for use in

internal wet areas and as a substrate for tiles.

Fibrerock Aqua-ToughFibreROCK Aqua-Tough 13mm and 16mm is an interior lining that resists

toxic mould and incorporates very high impact, sound, fire and water

resistance properties.

X-BlockX-Block 13mm achieves an effective radiation barrier without the use of

lead, unlike traditional x-ray lining systems.

FireSTOPFireSTOP 13mm and 16mm is a fire resistant plasterboard used in lining

applications where a Fire Resistance Level (FRL) is required.

MultiSTOPMultiSTOP 13mm is an all round plasterboard that incoporates impact,

water, fire resistance as well as sound insulating properties. Ideal

plasterboard for multi-purpose applications.

ShaftLinerShaftLiner is a 25mm fire resistant plasterboard designed for shafts and

ducts in multi-level constructions can also be used in Intertenancy wall

system such us partiwalls and common walls.

Permastop Building Blanket is a reflective insulation composite combining glasswool blanket substrate faced with high quality Sisilation/ reflective foil laminate. The reflective foil laminate enhances thermal performandce, acts as a vapour barrier and aids in minimising condensation that can form in metal clad roofs. The foil laminate also has a 150mm overlap along one side edge, this helps in proper install of adjacent rows of insulation. Permastop Building Blanket is suitable for use in residential and commercial metal clad roof applications as well as metal clad walls.

All Fire-Rated Insulation is made using mineral wool (Rockwool) Technology. The narrow width wall batts or strips are designed to provide fire protection in party or seperating wall constructions between adjacent tenancies . They are generally installed between the top of party wall and roofing membrane. The thinner Fire Damper strips are designed for installation between a fire damper and the fire rated building section in which the damper is mounted.

When placed between a concrete slab soffit and the top junction of a plasterboard partition wall, Polymax Easy Baffle can achieve a transmission reduction of 10 - 16 decibels across a range of frequencies and up to 9 decibels in speech range frequencies - the most common nuisance noise in commercial buildings.

TERMS AND CONDITIONS (Terms and Conditions: Version 6.0)

Payment terms

1. The terms of payment are strictly thirty (30) days from the end of month of invoicing (or such other period as nominated by the supplier herein). Specialised Stud Systems Pty Limited ABN 85 102 973 811 and its related bodies corporate (as that term is defined in the Corporations Act 2001) (Supplier) may, at any time, upon the provision of 48 hours’ written notice to the Applicant vary the terms and conditions of trade.

2. If the Applicant does not agree with the variations proposed by the Supplier, they must notify the Supplier in writing within fourteen (14) days from receipt of the written notice that the variations are not agreed to. The Supplier and/or the Applicant will then be at liberty to suspend/withdraw credit facilities if no agreement can be reached between the parties regarding the proposed variations. Absent notice from the Applicant, the varied terms and conditions of trade may be deemed accepted. Clerical errors (such as spelling mistakes or grammatical errors) may be subject to correction without notification.

3. The Applicant must check all invoices and advise the Supplier of any errors or omissions within seven (7) days of receipt. Failing advice from the Applicant that the invoice contains any errors or omissions, the invoice may be deemed accepted by the Supplier.

4. Should the Applicant not pay for the goods or services supplied by the Supplier in accordance with the credit terms as provided herein, or as agreed in writing by the Supplier and Applicant from time to time, after issuing a written demand to the Applicant demanding payment within fourteen (14) days, the Supplier will be entitled to charge an administration fee of 10 percent of the amount of the invoice payable.

Prices 5. Unless otherwise stated prices quoted are exclusive of GST and other duties and taxes

payable. 6. Prices quoted are firm for thirty (30) days from date of quotation. 7. The Applicant shall arrange and bear the costs of any delivery made ex Suppliers store,

including insurance and any other associated costs, unless otherwise agreed by the parties.

Delivery

8. Any date or time quoted for delivery is an estimate only and the Supplier shall endeavour to effect delivery at the time or times requested by the Applicant but failure to do so shall not confer any right of cancellation or refusal of delivery on the Applicant or render the Supplier liable for any loss or damages directly or indirectly sustained by the Applicant as a result thereof.

9. The Applicant shall not be relieved of any obligation to accept or pay for products by reason of any delay in delivery or any strike, lockout, unavailability of raw materials, accidents to machinery, differences with workman, breakdowns, shortages of supplier or labour, fires, floods, storms or tempest, transport delays, acts of God, restriction or interventions imposed by any laws, regulations, governments or agencies thereof and any other cause beyond the control of the Supplier or any other cause whatsoever.

10. The Supplier’s obligation to deliver, if any, shall be discharged on arrival of the products at the Applicant’s nominated delivery destination, nominated transport company, nominated agent or the address appearing on the invoice. The Applicant shall unload the products upon delivery, provided that if the Applicant is unable or unwilling to accept physical delivery of the products when the products are ready for delivery the Supplier shall be entitled to charge a fee for any delay experience or arrange for storage of the products at the risk and cost of the Applicant including all transportation, storage and other consequential costs.

11. In the event that there are any issues or allegations as to defects made by the Applicant in regard to the goods delivered, the Applicant must notify the within seven (7) days of delivery. Failing notification by the Applicant within seven (7) days, the goods are deemed accepted in the condition in which they were delivered.

12. The Supplier may at its discretion make and invoice partial deliveries and each partial delivery shall be a separate sale pursuant to these terms and conditions.

13. The Supplier reserves the right to charge a handling fee for orders less than $100.00 and if less than $500.00 for a reseller or where express freight or special packaging required.

Inspection and claims

14. The Applicant shall examine the products immediately after delivery and the Supplier shall not be liable for any claims for misdelivery, shortage, defect unless the Supplier receives details in writing within seven (7) days of the date of delivery of the products and services.

Warranty

15. Subject to payment in full being made as defined in clauses 39 and 40, the Supplier shall as a non-manufacturer use its endeavours to pass on to the Applicant the benefit of any warranties or guarantees it receives in respect of products or parts thereof supplied to the Applicant provided the products or parts thereof have been installed in accordance with the manufacturers’ recommendations or specifications or relevant Australian Standards. Such warranties or guarantees exclude liability for any special, consequential, direct or indirect loss, damage harm or injury suffered as a result of any product defect to the extent permitted by law and shall be restricted to any one or more of the following: a) repair the defective goods free of charge; b) replace the defective goods or part of those goods; c) supply equivalent replacement goods; or d) credit the Applicant such amount as the manufacturer in its sole

discretion considers reasonable having regard to the price paid for the goods and the use of the goods enjoyed by the Applicant.

Limitation of liability

16. These terms and conditions do not exclude, restrict or modify the application of any provisions of any Commonwealth, State or Territorial Law which by law cannot be excluded, restricted or modified.

17. In no circumstances will the Supplier incur any liability in respect of or arising out of or in connection with any special, consequential, direct or indirect loss, damage, harm or injury suffered or incurred by the Applicant.

a) Sale to Non-Consumers

i) In the case of products supplied by the Supplier to an Applicant who is not a “consumer” (as defined in the Competition Consumer Act 2010 as amended from time to time (CCA)), if the products do not correspond with the description of them on the invoice or are defective, then provided that the products are preserved intact and made available for inspection by a representative of the Supplier and are returned to the Supplier in the same order and condition as that in which they were delivered, the Supplier shall at its option:

(a) replace the goods or supply similar goods; (b) repair the goods; or (c) provide the cost for replacing the goods or for acquiring equivalent

goods. but any claim in this respect must be made in writing within seven (7) days of the date of delivery of those products.

ii) Should the Applicant seek indemnity from the Supplier in respect of any claim by a consumer on the warranty implied by the Act in a contract for the supply of products by the Applicant to that consumer, sub-paragraph (i) will not apply and in respect of products that are of a kind ordinarily acquired for personal, domestic or household use or consumption (Consumer Goods), the Supplier liability is limited to indemnifying the Applicant in accordance with the Act, limited to a liability to pay to the Applicant an amount equal to the cost of replacing the products or the cost of obtaining equivalent products or the cost of having the products repaired, whichever is the lesser amount.

b) Sales to Consumers

In the case of products supplied by the Supplier to an Applicant who is a consumer,

to the extent that the products are not Consumer Goods, the liability of the

Supplier to the Applicant for breach of any warranty or condition (other than a

warranty or condition implied by section 51-53 of the CCA) or for breach of any

duty of care shall in all cases be limited, at the option of the Supplier to any one

or more of:

i) the replacement of the products or the supply of equivalent products;

ii) the repair of the products;

iii) the payment of the cost of replacing the products; or

iv) acquiring equivalent products or the payment of the cost of having the product repaired.

c) Except for those conditions and warranties implied by the Act or other sale of products or consumer protection legislation which may not be excluded, the Applicant agrees that:

i) it has not relied on any inducement, representation or statement made by or on behalf of the Supplier in purchasing the products and there are no implied conditions or warranties herein and no collateral contracts in connection herewith (except such as may be in writing and signed by a duly authorised representative of the Supplier); and

ii) this clause sets out the entire liability of the Supplier in respect of its liability under the Act or otherwise in respect of liabilities to the consumer for a breach of a condition or warranty with respect to the sale of products or goods.

18. The Applicant releases and discharges the Supplier from any claim arising out of or in connection with the installation and/or finishing of the product supplied by the Supplier and indemnifies and holds harmless the Supplier in respect of any such claim.

19. Any claim in connection with any act, default or omission (including any breach of contract or breach of duty including, but not limited to, negligence) on the part of the Supplier must be notified to the Supplier in accordance with clause 14 otherwise: a) the Supplier shall not be liable on the claim; and b) the Applicant hereby releases and indemnifies the Supplier in respect of any

such claim. 20. The liability of the Supplier in respect of any claim notified under the preceding

clause shall be limited to the cost of the product supplied by the Supplier. 21. These terms do not exclude, restrict or modify the application of any provision of any

Commonwealth, State or Territorial law which, by law, cannot be excluded, restricted or modified.

Returns

22. Other than in respect of the Supplier’s obligations pursuant to c lause 17 hereof, the Suppl ier shall not be liable to accept any returned products but may accept the return of products provided that such products shall only be accepted for credit and with the prior written approval of a duly authorised representative of the Supplier Products returned for credit pursuant to this clause must be returned with packing slip and invoice and will be subject to a handling and administration charge equivalent to fifteen percent (15%) of the invoiced value of the returned products. Return freight and other expenses will be paid for by the Applicant and no returns of non-standard products will be accepted.

Supply

23. The Supplier reserves the right to decline any order for products when the size of the order or the requested delivery date inhibits or prejudices the Supplier’s ability to fulfil its contractual commitments to its franchisees, licensees or other Applicants. In the event that the Supplier declines an order, the Supplier will provide the Applicant with written reasons as to why the order has been declined.

Advertising

24. The Applicant shall not advertise in any media the sale or disposal of products and services purchased from the Supplier, without the written consent of a duly authorised Representative of the Supplier. The Applicant shall indemnify and hold indemnified the Supplier against any liability including any special, consequential, direct or indirect loss, damage harm or injury suffered as a result of false, misleading or deceptive advertising and untrue representation or statements made to any person by the Applicant in the course of advertising.


25. The Applicant further warrants and acknowledges that it will not use any existing logo or brand name of the Supplier or used by the Supplier or that similar to, or attempt to register a trade mark or trade name or that similar to those of the Supplier without the written consent of a duly authorised Representative of the Supplier.

Intellectual property

26. The Applicant shall indemnify and hold indemnified the Supplier against any claim, suit, proceedings or demand made by a third party for loss, damage, suffered whether directly or indirectly by infringement of its intellectual property rights.

Pallets and gluts

27. Unless otherwise stated or agreed between the parties, gluts, pallets and containers used to deliver products to the Applicant, will remain the exclusive property of the Supplier and shall be returned to the Supplier at the Applicant’s expense within thirty (30) days of the date of delivery. The Supplier reserves the right to invoice the Applicant for any glut, pallet or container not returned by the due date.

Jurisdiction

28. The Applicant acknowledges and agrees that this agreement will be governed by the laws of New South Wales, and the laws of the Commonwealth of Australia which are in force in New South Wales.

29. The Applicant acknowledges and agrees that any contract for the supply of goods or services between the Supplier and the Applicant is formed at the address of the Supplier.

30. The parties to this agreement submit to the non-exclusive jurisdiction of the courts of New South Wales and the relevant federal courts and courts competent to hear appeals from those courts.

Security/charges

31. The Applicant charges in favour of the Supplier all of its estate and interest in any real property that the Applicant owns at present and in the future with the amount of its indebtedness hereunder until discharged.

32. The Applicant charges in favour of the Supplier all of its estate and interest in any personal property that the Applicant owns at present and in the future with the amount of its indebtedness hereunder until discharged.

33. The Applicant appoints as its duly constituted attorney the Supplier's company secretary from time to time to execute in the Applicant's name and as the Applicant's act and deed any real property mortgage, bill of sale or consent to any caveat the Supplier may choose to lodge against real property that the Applicant may own in any Land Titles Office in any state or territory of Australia, even though the Applicant may not have defaulted in carrying out its obligations hereunder, upon written notice and demand to the Applicant (in the event that there is no default by the Applicant in carrying out its obligations hereunder).

34. Where the Applicant has previously entered into an agreement with the Supplier by which the Applicant has granted a charge, mortgage or other security interest (including a security interest as defined in the Personal Property Securities Act 2009 (PPSA)) over real or personal property, those charges, mortgages or other security interests will continue and co-exist with the obligations and security interests created in this agreement. The Supplier may, at its election and upon the provision of written notice, vary the terms of such previous charges, mortgages or other securities to reflect the terms herein.

Purpose of credit

35. The Applicant acknowledges and agrees that the credit to be provided to the Applicant by the Supplier is to be applied wholly or predominantly for commercial purposes.

Formation of contract

36. Quotations made by the Supplier will not be construed as an offer or obligation to supply in accordance with the quotation. The Supplier reserves the right to accept or reject, at its discretion, any offer to purchase received by it upon provision of written reasons to the Applicant. Only written acceptance by the Supplier of the Applicant’s offer will complete a contract.

37. Placement of an order, either verbally or in writing, will constitute an offer to purchase by the Applicant and will imply acceptance of these terms and conditions.

38. If the Applicant cancels or alters any order for products after the Supplier has received the order then the Supplier reserves the right to charge to the Applicant the additional costs incurred in cancelling or altering any order or part order together with the costs of any labour and handling to the date of such cancellation or alterations.

Retention of title

39. Whilst the Applicant has not paid for the goods supplied in full at any time, the Applicant agrees that property and title in the goods will not pass to the Applicant and the Supplier retains the legal and equitable title in those goods supplied and not yet sold.

40. Until payment in full has been made to the Supplier, the Applicant will hold the goods in a fiduciary capacity for the Supplier and agrees to store the goods in such a manner that they can be identified as the property of the Supplier, and will not mix the goods with other similar goods.

41. The Applicant will be entitled to sell the goods in the ordinary course of its business, but until full payment for the goods has been made to the Supplier, the Applicant will sell as agent and bailee for the Supplier and the proceeds of sale of the goods will be held by the Applicant on trust for the Supplier absolutely.

42. The right to on-sell, deal or otherwise disposed of the Supplier’s goods in the normal course of trade may be revoked at any time and shall automatically cease if a receiver is appointed over any of the assets or the undertaking of the Applicant or if a winding up order is made against the Applicant or if the Applicant goes into voluntary administration or liquidation (otherwise than for the purpose of reconstruction or amalgamation) or calls a meeting of creditors or makes any arrangements or composition or commits any act of bankruptcy or where the Applicant is in default of any of its obligations to the Supplier.

43. The Supplier licences the Applicant to sell goods and to sell goods manufactured using products of the Supplier. If the goods are affixed to other material, the totality thereof shall be the sole and exclusive property of the Supplier until payment has been made in full to the Supplier, unless the other material or part thereof are or is the property of a party or parties other than the Applicant in which case the totality thereof shall be deemed to be owned as tenants in common with such other party other than the Applicant in shares corresponding to the respective amounts paid or payable by the Applicant is respect of such other party or parties.

44. The Applicant’s indebtedness to the Supplier, whether in full or in part, will not be discharged by the operation of clause 41 hereof unless and until the funds held on trust are remitted to the Supplier.

45. The Applicant agrees that whilst property and title in the goods remains with the Supplier, the Supplier has the right, with prior notice to the Applicant, to enter upon any premises occupied by the Applicant (or any receiver, receiver and manager, administrator, liquidator or trustee in bankruptcy of the Applicant) to inspect the goods of the Supplier and to repossess the goods which may be in the Applicant’s possession, custody or control when payment is overdue.

46. The Applicant will be responsible for the Supplier’s reasonable costs and expenses in exercising its rights under clause 45. Where the Supplier exercises any power to enter the premises, that entry will not give rise to any action of trespass or similar action on the part of the Applicant against the Supplier, its employees, servants or agents.

47. The Applicant agrees that where the goods have been retaken into the possession of the Supplier, the Supplier has the absolute right to sell or deal with the goods upon reasonable notice to the Applicant, and if necessary, sell the goods with the trademark or name of the Applicant on those goods, and the Applicant hereby grants an irrevocable licence to the Supplier to do all things necessary to sell the goods bearing the name or trademark of the Applicant.

48. For the avoidance of doubt, the Supplier’s interest constitutes a ‘purchase money security interest’ pursuant to the PPSA.

Cancellation of terms of credit

49. The Supplier reserves the right to withdraw credit at any time upon the provision of 48 hours’ written notice.

50. Upon cancellation with notice all liabilities incurred by the Applicant become due and payable to the Supplier within seven (7) days.

Indemnity

51. The Applicant agrees to indemnify the Supplier and keep the Supplier indemnified against any claim that arises out of the goods and services supplied under this agreement. This indemnity includes any legal fees and expenses the Supplier incurs in order to enforce its rights, on an indemnity basis.

Provision of further information

52. The Applicant undertakes to comply with any reasonable written requests by the Supplier to provide further information for the purpose of assessing the Applicant’s creditworthiness, including an updated credit application.

53. If the Applicant is a corporation (with the exception of a public listed company), it must advise the Supplier of any alteration to its corporate structure (for example, by changing directors, shareholders, or its constitution). In the case of a change of directors or shareholders the Supplier may ask for new guarantors to sign a guarantee and indemnity.

Corporations

54. If the Applicant is a corporation, the Applicant warrants that all of its directors have signed this agreement and that all of its directors may be required to enter into a guarantee and indemnity with the Supplier in relation to the Applicant's obligations to the Supplier.

Trustee capacity

55. If the Applicant is the trustee of a trust (whether disclosed to the Supplier or not), the Applicant warrants to the Supplier that: a) the Applicant enters into this agreement in both its capacity as trustee and

in its personal capacity; b) the Applicant has the right to be indemnified out of trust assets; c) the Applicant has the power under the trust deed to sign this agreement;

and d) the Applicant will not retire as trustee of the trust or appoint any new or

additional trustee without advising the Supplier. 56. The Applicant must give the Supplier a copy of the trust deed upon request.

Partnership

57. If the Applicant enters into this agreement as partners, the Applicant warrants that all of the partners have signed this agreement and that all of the partners may be required to enter into a guarantee and indemnity with the Supplier in relation to the Applicant's obligations to the Supplier.

58. If the Applicant is a partnership, it must not alter its partnership (for example, adding or removing partners or altering its partnership agreement) without advising the Supplier. In the case of a change of partners, the Supplier may ask for new guarantors to sign a guarantee and indemnity.

Insolvency

59. If the Applicant becomes insolvent, the Applicant remains liable under this agreement for payment of all liabilities incurred hereunder. The Applicant remains liable under this agreement even if the Supplier receives a dividend or payment as a result of the Applicant being insolvent.

Waiver

60. A waiver of any provision or breach of this agreement by the Supplier must be made by an authorised officer of the Supplier in writing. A waiver of any provision or breach of this agreement by the Applicant must be made by the Applicant's authorised officer in writing.

61. Until ownership of the goods passes, the Applicant waives its rights it would otherwise have under the PPSA (unless otherwise agreed to in writing by the Supplier and the Applicant): a) under section 95 to receive notice of intention to remove an accession; b) under section 118 to receive notice that the Supplier intends to enforce its

security interest in accordance with land law; c) under section 121(4) to receive a notice of enforcement action against

liquid assets; d) under section 129 to receive a notice of disposal of goods by the Supplier

purchasing the goods; e) under section 130 to receive a not ice to dispose of goods; f) under section 132(2) to receive a statement of account following disposal

of goods;


g) under section 132(4) to receive a statement of account if no disposal of goods for each 6 month period;

h) under section 135 to receive notice of any proposal of the Supplier to retain goods;

i) under section 137(2) to object to any proposal of the Supplier to retain or dispose of goods;

j) under section 142 to redeem the goods; k) under section 143 to reinstate the security agreement; and l) under section 157(1) and 157(3) to receive a notice of any verification

statement.

Costs

62. The Applicant must pay for its own legal, accounting and business costs and all costs incurred by the Supplier relating to any default by the Applicant under this agreement. The Applicant must also pay for all stamp duty and other taxes payable on this agreement (if any).

63. The Applicant will pay the Supplier’s reasonable costs and disbursements incurred in pursuing any recovery action, or any other claim or remedy, against the Applicant, including debt recovery fees and legal costs on an indemnity basis as a result of any default under this agreement. Such costs and disbursements will be due and payable by the Applicant to the Supplier irrespective of whether pursuit of the recovery action, claim or remedy is successful.

64. The Applicant acknowledges and agrees that payments by the Applicant will be applied by the Supplier as follows. a) Firstly, in payment of any and all collection costs and legal costs in

accordance with clauses 46 and 63. b) Secondly, in payment of any interest incurred in accordance with clause

70. c) Thirdly, in payment of the outstanding invoice(s).

65. In circumstances where the Supplier seeks to enforce a purchase money security interest under the PPSA over collateral or proceeds (these terms being consistent with the terms defined in the PPSA), payments received from the Applicant will be allocated in a manner at the Suppliers absolute and unfettered discretion, so as to attribute, to the greatest extent possible, the unpaid balance of the debt to the purchase money obligation in respect of the collateral and/or proceeds over which the Supplier seeks to enforce its purchase money security interest.

66. To the extent that payments have been allocated to invoices by the Supplier in its business records, the Supplier may, at its sole and unfettered discretion, allocate and/or retrospectively reallocate payments in any manner whatsoever at the Supplier’s absolute discretion, including in a manner inconsistent with clause 65 herein.

67. Payments allocated (and/or reallocated) under clause 65 and/or 66 will be treated as though they were allocated (and/or reallocated) in the manner determined by the Supplier on the date of receipt of payment.

Taxes and duty

68. The Applicant must pay GST on any taxable supply made by the Supplier to the Applicant under this agreement. The payment of GST is in addition to any other consideration payable by the Applicant for a taxable supply.

69. If as a result of: a) any legislation becoming applicable to the subject matter of this

agreement; or b) any changes in legislation or its interpretation by a court of competent

jurisdiction; or c) by any authority charged with its administration;

the Supplier becomes liable to pay any tax, duty, excise or levy in respect of the amounts received from the Applicant, then the Applicant must pay the Supplier these additional amounts on 48 hours’ written demand.

Interest rates

70. The interest rate on any outstanding debts is a fixed rate of 15 percent per annum.

Set-off

71. All payments required to be made by the Applicant under this agreement will be made free of any set-off, or counterclaim and without deduction or withholding unless agreed to otherwise by the Supplier and the Applicant in writing. Any reasonable requests to set-off, deduct or withhold from amounts outstanding will be considered by the Supplier, provided that reasonable evidence is provided to the Supplier as to why the Applicant is entitled to the set-off, deduction or withhold from amounts outstanding.

72. Any amount due to the Supplier from time to time may be deducted from any monies which may be or may become payable to the Applicant by the Supplier, with the written agreement of the Supplier and the Applicant.

Electronic and other communications

73. The Applicant agrees: a) to accept service of notices, statutory notices and Court documents via

email in addition to any and all other valid forms of service; b) to have invoices sent by email in the alternative to delivery in person, via

post or via facsimile; c) that email communications from the Supplier to the Applicant constitute

an “electronic communication” within the meaning of the Electronic Transactions Act 2000 (NSW);

d) that in agreeing to receive invoices by email, and the service of notices, statutory notices and Court documents via email, the Applicant is in both instances designating “an information system for the purpose of receiving electronic communications” within the meaning of the Electronic Transactions Act 2000 (NSW); and

e) that evidence of the “despatch” (within the meaning of the Electronic Transactions Act 2000 (NSW)) by the Supplier of an email is also prima facie evidence of the “receipt” of the email by the Applicant within the meaning of the Act. Unless the contrary is proven the time of receipt will be deemed to be twenty (20) seconds after the time of the “despatch” of the email.

Miscellaneous

74. The Supplier is not liable for any loss caused to the Applicant by reason of strikes, lockouts, fires, riots, war, embargoes, civil commotions, acts of God or any other activity beyond the Supplier's control.

75. In relation to the supply of goods, the Supplier’s liability is limited to: a) replacing the goods or supplying similar goods; b) repairing the goods; c) providing the cost for replacing the goods or for acquiring equivalent

goods; and d) providing the cost for having the goods repaired.

76. In relation to the supply of services, the Supplier’s liability is limited to: a) supplying the service again; or b) providing for the cost of having the services supplied agai n.

77. The Supplier is not liable, for loss of profit, economic or financial loss, damages, consequential loss, loss of opportunity or benefit, loss of a right or any other indirect loss suffered by the Applicant as a result of the goods and/or services supplied under this agreement.

78. The Applicant will, at the request of the Supplier, execute documents and do such further acts as may be required for the Supplier to register the security interest granted by the Applicant under the PPSA.

79. The Applicant agrees to accept service of any document required to be served, including any notice under this agreement or the PPSA or any originating process, by prepaid post at any address nominated in this application or any other address later notified to the Supplier by the Applicant or the Applicant’s authorised representative.

80. The Applicant further agrees that where we have rights in addition to those under part 4 of the PPSA, those rights will continue to apply.

81. The Applicant irrevocably grants to the Supplier the right to enter upon the Applicant’s property or premises, with notice, and without being in any way liable to the Applicant or to any third party, of the Supplier has cause to exercise any of their rights under sections 123 and/or 128 of the PPSA, and the Applicant shall indemnify the Supplier from any claims made by any third party as a result of such exercise.

82. Nothing in this agreement shall be read or applied so as to purport to exclude, restrict or modify or have the effect of excluding, restricting or modifying the application in relation to the supply of any goods and/or services pursuant to this agreement of all or any of the provisions the Competition and Consumer Act 2010 or any relevant State or Federal Legislation which by law cannot be excluded, restricted or modified.

83. The Supplier shall not be liable for any failure or delay to supply or deliver the goods where such failure or delay is wholly or partly due to cause or circumstances whatsoever outside the reasonable control of the Supplier including, but not limited to, war, strikes, lockouts, industrial disputes or unrest, government restrictions or intervention, transport delays, fire, act of God, breakdown of plant, shortage of supplies or labour, storm or tempest, theft, vandalism, riots, civil commotions or accidents of any kind.

Severance

84. If any provision of this agreement is not enforceable in accordance with its terms, other provisions which are self-sustaining are, and continue to be, enforceable in accordance with their terms.

85. If any part of this agreement is invalid or unenforceable, that part is deleted and the remainder of the agreement remains effective.

Variation

86. The Applicant agrees that these terms and conditions may be varied, added to, or amended by an authorised officer of the Supplier at any time by written notice to the Applicant. The Applicant will be provided with fourteen (14) days to accept the variation/s, failing which the variations may be deemed accepted by the Supplier. Any reasonable requests to vary the terms by the Applicant will be considered by the Supplier.

87. Any proposed variation to these terms and conditions by the Applicant must be requested in writing. The Supplier may refuse any such request by provision of written reasons.

Consent to register

88. The Applicant hereby consents to the Supplier recording the details of this Agreement on the Personal Property Securities Register and agrees to do all things necessary and reasonably required by the Supplier to effect such registration.

89. The Applicant waives any right or entitlement to receive notice of the registration of any security interest(s) created by this instrument on the Personal Property Securities Register.

Entire agreement

90. This agreement constitutes the entire agreement between the parties relating in any way to its subject matter, unless agreed to otherwise in writing by the Supplier and the Applicant. Subject to clause 34 all previous negotiations, understandings, representations, warranties, memoranda or commitments about the subject matter of this agreement are merged in this agreement and are of no further effect. No oral explanation or information provided by a party to another affects the meaning or interpretation of this agreement or constitutes any collateral agreement, warranty or understanding.

91. In circumstances where there is a pre-existing written credit agreement (Original Agreement) between the Applicant and the Supplier, these terms and this agreement will constitute a variation of the Original Agreement whereby the terms of the Original Agreement are deleted and replaced with terms herein.

Privacy Act

92. The Applicant agrees to the terms of the Privacy Statement pursuant to the Privacy Act 1988 (as amended by the Privacy Amendment (Enhancing Privacy Protection) Act 2012) contained in this document.
