Itcanalsodamageacompany’sreputation,andthatdamagecanbehardtorepair.
Itiseveryone’sjobtokeepandsubmitaccuraterecords. Submittingfalse,alteredorinflatedreports,invoicesorcontractsisaserious
offense,withseriouspenalties. FairDealing TheCompanywillengageonlyreputable,qualifiedindividualsorfirmsasconsultants,agents,representativesordistributorsundercompensationarrangementsthatarereasonablefortheservicesperformed. ProtectingSnap‐onAssets ProtectionandProperUseofCompanyAssets YoushouldprotecttheCompany’sassetsandensuretheirefficientuseconsistentwiththeCompany’sRapidContinuousImprovement(RCI)initiatives. TheftandwastehaveadirectimpactontheCompany’sprofitability. AllCompanyassetsshouldthereforebeusedonlyforlegitimatebusinesspurposes. Bywayofexample:
DonotmakepersonaluseofCompanyassetsthatcreatesanyadditionalcostsfortheCompany,interfereswithworkdutiesorviolatesanyCompanypolicies.
DonotallowCompanypropertytobeusedtocarryoutillegalacts. WhatthismeanstomeIt’sagainstthisCode–andagainstthelaw–tosteal,tamperwithordestroyCompanyassets. It’slikewiseagainsttheCode–andthelaw–touseCompanypropertyforillegalpurposes. AvoidanceofConflictsofInterest YoumustavoidconflictsbetweenyourpersonalinterestsandtheinterestsoftheCompany. Youmustdiscloseanyactivities,financialinterestsorrelationshipsthatmaypresentanactualorpotentialconflictofinterest,includingbutnotlimitedtothoseinvolving(i)membersofSnap‐onmanagementandtheirfamilies;(ii)membersofSnap‐on’sBoardofDirectors,theirfamiliesand/oraffiliatedcompanies;and(iii)anySnap‐onaffiliates,thatmayormaynotoccurinthenormalcourseofbusiness. Youmustnotseekoraccept,orofferorgive,anypayments,fees,loans,servicesorgiftsfromortoanypersonorfirmasaconditionorresultofdoingbusinesswiththeCompany. TheCompany’spolicydoesnotprohibitgiftsofnominalvalue(under$50US). Normalbusinessmealsandentertainment(suchasattendanceatsportingorculturalevents),andsimilarcustomaryandreasonableexpenditurestopromotegeneralbusinessgoodwillarealsoacceptableeveniftheirvalueexceeds$50,solongastheassociateisaccompaniedbythehost.
Theexpenditurefor,orreceiptof,giftsandentertainmentthataremorethannominalinvaluemustbeauthorizedinwritingbyyoursupervisor. ThepoliciesregardinggiftsandentertainmentdonotapplytosalescontestsandincentivetripsforthebenefitoftheCompany. AnofficeroftheCompanymustauthorizesuchprogramsinwriting. AllsuchcontestsandincentivetripsaretobeconductedfairlyandinaccordancewithapplicablelawsandaresubjecttotheCompany’spoliciesrelatedtotheapprovalofbusiness‐relatedexpenses. Withrespecttogiftstoandentertainmentofgovernmentofficialsorassociates,thispolicyissubjecttotheprovisionsof“EthicsandComplianceintheInternationalCommunity”describedherein. TheCompany’sobjectiveistocompeteinthemarketplacebyprovidingsuperiorproductsandservicesatcompetitiveprices. Nopaymentoranythingofvalueinanyformshallbegivendirectlyorindirectlytoanyoneanywhereintheworldforthepurposeofobtainingorretainingbusiness,ortoobtainanyotherfavorableaction. withyourjoborwiththeCompany’sbusiness. Ifofferedgiftsorentertainmentbyavendor,checkwithyoursupervisortosee
ifit’sappropriatetoaccept. Avoideventheappearanceofconflictsofinterest. Ifyouhaveanyquestions,don’thesitatetoraisethem.
CorporateOpportunities YoumustnottakeforyourselfopportunitiesthatarediscoveredthroughtheuseofCompanyproperty,informationoryourposition,forpersonalgainortocompetewiththeCompany. ItisyourobligationtoadvancetheCompany’slegitimateinterestswhentheopportunitytodosoarisesandnottoparticipateinactivitiesadversetotheCompany’sinterests.
