WhatthismeanstomeGood,ethicalbusinesspracticesdictatethatourbooksandrecordscontainfactualandcorrectinformation–inshort,thattheinformationiswhatwesayitis. Weneedtofollowallgovernmentlawsandregulationsconcerningbooks,recordsandaccounts. Keepinmindthatincompleteormisleadingrecordscansubjectacompanytolawsuits,fines,orevenimprisonment. Itcanalsodamageacompany’sreputation,andthatdamagecanbehardtorepair. 

Itiseveryone’sjobtokeepandsubmitaccuraterecords. Submittingfalse,alteredorinflatedreports,invoicesorcontractsisaserious

offense,withseriouspenalties. FairDealing TheCompanywillengageonlyreputable,qualifiedindividualsorfirmsasconsultants,agents,representativesordistributorsundercompensationarrangementsthatarereasonablefortheservicesperformed. ProtectingSnap‐onAssets ProtectionandProperUseofCompanyAssets YoushouldprotecttheCompany’sassetsandensuretheirefficientuseconsistentwiththeCompany’sRapidContinuousImprovement(RCI)initiatives. TheftandwastehaveadirectimpactontheCompany’sprofitability. AllCompanyassetsshouldthereforebeusedonlyforlegitimatebusinesspurposes. Bywayofexample: 

DonotmakepersonaluseofCompanyassetsthatcreatesanyadditionalcostsfortheCompany,interfereswithworkdutiesorviolatesanyCompanypolicies.

DonotallowCompanypropertytobeusedtocarryoutillegalacts. WhatthismeanstomeIt’sagainstthisCode–andagainstthelaw–tosteal,tamperwithordestroyCompanyassets. It’slikewiseagainsttheCode–andthelaw–touseCompanypropertyforillegalpurposes. RememberthatthemisuseandtheftofCompanyassetsarenotvictimlessactions.Infact,everyonepays–notjusttheCompany,butalsofellowassociates,customersandothers. 

TreatCompanyassetsasyouwouldyourown. Protectthem,conservethemandmakethemostofthem.

Listentoyourinstincts. Ifyouhavedoubtsaboutwhatyou’retemptedtodoorwhatyou’vebeenaskedtodo,questiontheappropriateperson.

 AvoidanceofConflictsofInterest YoumustavoidconflictsbetweenyourpersonalinterestsandtheinterestsoftheCompany. Youmustdiscloseanyactivities,financialinterestsorrelationshipsthatmaypresentanactualorpotentialconflictofinterest,includingbutnotlimitedtothoseinvolving(i)membersofSnap‐onmanagementandtheirfamilies;(ii)membersofSnap‐on’sBoardofDirectors,theirfamiliesand/oraffiliatedcompanies;and(iii)anySnap‐onaffiliates,thatmayormaynotoccurinthenormalcourseofbusiness.
