BHARAT PETROLEUM CORPORATION LIMITED (BPCL) a public sector enterprise, invite sealed tenders under electronic Bidding method, from truck owners, having minimum annual turnover of ` 60 ( Rupees sixty) lakhs during any one of the 3 previous financial

years and owning minimum 2 (Two ) trucks, to carry packed bitumen drums or any other packages, for award of contracts for road transportation of Packed Bitumen for a period of 2( two ) year, with option for extension up to 1 ( One) year at the sole discretion of BPCL. In case any new locations are commissioned during the contract period, their rates shall be worked out by interpolating the finalized rate from the nearest en-route location on the basis of distance. This will be applicable for the new locations in the periphery of 200Kms. preferably to those successful tenderers who are qualified on the same route. 2. TENDER DOCUMENTS:

Only) per set, drawn on any scheduled bank, payable at Kolkotta in favor of BHARAT PETROLEUM CORPORATION LTD Tender documents not submitted with DD of Rs. 1,000/- (One Thousand Only) per set shall be rejected. 3. EARNEST MONEY DEPOSIT (EMD): Tenderer shall pay Rs. 1,00,000/- (One Lakh Only) as EMD per tender by D.D drawn on any scheduled Bank payable at Kolkotta in favor of BHARAT PETROLEUM CORPORATION LTD. 4. SUBMISSION OF CREDENTIAL BID: Credential Bid duly sealed by gum/ adhesive, in an envelope, and super scribed, “BPC/ER/PKD BIT/2010-2013”, and with clear marking of Name and Address of the Tenderer, is to be put in the Tender Box on before 1400 hrs on 10.01.2011 at the following address:

5. PRICE BID - ON LINE ELECTRONIC BIDDING :

Tenderers whose Credential Bid’s are found in order would be entitled to participate in the on-line electronic price bidding. For detailed procedure, please refer the tender document. The price bid will remain valid for 60 days from the day of bidding event unless extended by mutual consent in writing. 6. SIGNING OF AGREEMENT: Each successful tenderer will have to sign an agreement. The period of Agreement with successful tenderer would be 2 (two) years with an option on the part of the Company to extend the same by 1 (One) year on same rates, terms and conditions. Further, Agreement would, however, be subject to the right of Company to terminate it prematurely as per terms of the Agreement. Draft of the Agreement is available with Tender documents. 7. RESERVATION:

The provision of reservation will be 15% (fifteen percent) & 7 ½ % (seven and a half percent) for Scheduled Castes (SC) and Scheduled Tribes (ST) respectively on all India basis. The SC/ ST tenderers desirous of offering the Trucks will have to participate in the tender and should fulfill all tender conditions. The SC/ ST tenderers will not be eligible for any price preference or relaxation of standards. There is no difference in EMD or any other tender conditions for such tenderers. Details of eligibility of qualifying as SC/ST are given in tender document. 8. OPENING OF TENDER: After scrutiny of the ‘credential bids’ by BPCL, the eligible tenderers will be notified regarding date, time and venue for the online electronic bidding to be conducted by C1 INDIA for submission of the ‘price bids’. The tenderer will have to submit ‘attachment 11’ duly signed to C1 INDIA as a confirmation of having received training to participate in the on line electronic bidding . The Corporation reserves the right to accept or reject any or all the tenders in part or in totality, or to negotiate with any or all the tenderers, or to withdraw/ cancel/ modify this tender without assigning any reason whatsoever. 9. Credential bids received late for whatever reasons / without EMD / submitted at the wrong

address / in open or stapled condition / incomplete in any other respect will not be considered.

TENDER FOR PACKED BITUMEN TRANSPORTATION CONTRACT TENDER NO. BPC /ER/PKD BIT / 2010-2013.

GUIDELINES FOR TENDERERS

1. GENERAL: 1.1 This tender is being invited for transportation of PACKED BITUMEN ex BPC depots

at Sibpur(Howarh),Siliguri(W.B),Guwahati(Assam), Two sets of documents to be downloaded, one set duly filled is to be submitted and the other set duly filled to be retained by the tenderer. Each page of the Tender is to be signed by the legally authorized representative of the tenderer, over the official seal.

1.2 If additional information is required to be submitted, the same can be attached as extra page and should be indicated in the Covering letter (ref item 3.1 hereinafter).

1.3 All entries are to be made in ink. No over-writing/ erasing, whiting out is permitted. All corrections are to be made by scoring out incorrect entries, and these are to be signed by the legally authorized representative of the tenderer, over the official seal. Tenders deficient in this respect are liable to be rejected.

1.5 This tender is on line electronic bidding method comprising credential bid and on-line price bid.

2. CREDENTIAL BID:

Following papers are to be submitted in a closed and sealed envelope. Tenders received in open condition will be rejected.

2.1 Covering letters listing all enclosures.(Refer format of “TENDERER’S COVERING LETTER” given hereafter)

2.2 Particulars of tenderer. (Attachment- 1). 2.3 Particulars of owned/attached trucks offered. (Attachment – 2). 2.4 Tender conditions (Attachment- 3). 2.5 Packed Bitumen Road Transport Agreement (Attachment- 4). 2.6 Particulars of the firm’s constitution. 2.7 Details of the relationship with Directors of BPC (either of Part A, B or C)

(Attachment 9) 2.8 Declarations ‘A’, ‘B’ and ‘C’. (Attachment – 10) 2.9 Attested copies of last three years audited balance sheet certified by qualified

Chartered Accountant. 2.10 Attested copies of caste certificate wherever applicable (Attachment 7) 2.11 Enclose EMD Demand Draft, which should be drawn on a scheduled Bank payable

at Kolkata. If it is found that EMD paid through DD is not acceptable due to technical or any other reason, the tender will be rejected.

2.12 Attested copy (acknowledged copy) of the latest Income Tax return filed. 2.13 Attested copies of Trading License or Company Registration Certificate. 2.14 Attested copies of Partnership Deed or Certificate of Incorporation. 2.15 Attested copies of valid Registration Certificate, Certificate of Fitness, Insurance

Policy for each of the Trucks offered. 2.16 Power of Attorney (Attachment - 8) 2.17 Enclose receipt towards purchase of tender document from BPCL or enclose DD of

`1,000/- for tender documents downloaded from website. The DD should be drawn

on a scheduled Bank in favor of Bharat Petroleum Corporation Ltd. payable at Kolkata. If it is found that DD is not acceptable due to technical or any other reason, the tender will be rejected.

2.18 Copy of PAN Card to be enclosed. 2.19 In case of Partnership Firm, attested copy of Partnership Deed to be enclosed. 2.20 In case of Ltd / Pvt. Ltd. Company, attested copy of Certificate of Incorporation and

MOU to be enclosed. 2.21 Undertaking as per Attachment 13. All supporting papers of the credential bid are also to be submitted in the envelope, super scribed as “TENDER NO. BPC/ER/PKD BIT / 2010-2013 “, the envelope is to be closed and sealed. Tenders received open will be rejected. The sample cover of the Credential Bid should be pasted on the sealed envelope.

3. PRICE BID (Attachment 14):

The prices as per the bid basis described in the Attachment 14 are to be quoted directly on-line in the Electronic Bidding conducted by M/s C1 India Ltd.. Details of process is

given in subsequent paragraphs.

4. ONLINE ELECTRONIC BIDDING:

4.1 BPCL intends to finalise the transportation rates for Packed bitumen through the process of Electronic Bidding. The tendering procedure will be the same as is normally being done by BPCL. The Electronic Bidding will be done for determining the price bid.

4.2 BPCL has contracted to conduct an Online Bidding event for the finalization of Transportation rates for Packed Bitumen. C1 INDIA’s role in this engagement is to obtain the process compliance (Attachment 11), answer all questions relating to the process compliance, train all the bidders on the online bidding process, and conduct the online bidding event , to be followed by submission of the bidding report. Any

question relating to the above should be directed to M/s. C1 India Ltd. at the contact nos. given below.

4.3 Instructions to Bidders for participation in E-procurement

4.3.1. Introduction: - Bharat Petroleum Corporation Ltd. has gone for online submission of bid through e-procurement system on https://bpcl.eproc.in

4.3.2. Bidders are requested to read following conditions in conjunction with various conditions, wherever applicable appearing with this bid invitation for e-Tendering. The conditions mentioned here in under shall supersede and shall prevail over the conditions.

4.3.3. How to submit On-line Bids / Offers electronically against E-Procurement tenders?

(i) Vendors / Bidders are advised to read the following instructions for participating in the electronic tenders directly through internet. (ii) Late and delayed Bids / Offers after due date / time shall not be permitted in E-procurement system. No bid can be submitted after the last date and time of

submission has reached. (However if bidder intends to change the bid already entered may change / revise the same on or before the last date and time of submission deadline). The system time (IST) that will be displayed on e-Procurement web page shall be the time considered and no other time shall be taken into cognizance. (iii) Bidders are advised in their own interest to ensure that bids are uploaded in e-Procurement system well before the closing date and time of bid. (iv) No bid can be modified after the dead line for submission of bids. (v) No Manual Bids / Offers along with electronic Bids / Offers shall be permitted.

4.3.4 What is a Digital Signature?

This is a unique digital code which can be transmitted electronically and primarily identifies a unique sender. The objective of digital signature is to guarantee that the individual sending the message is who he or she really claims to be just like the written signature. The Controller of Certifying Authorities of India (CCA) has authorized certain trusted Certifying Authorities (CA) who in turn allot on a regular basis Digital Certificates, Documents which are signed digitally are legally valid documents as per the Indian IT Act (2000).

4.3.5 Why is a Digital Signature required?

In order to bid for BPCL e-tenders all the vendors are required to obtain a legally valid Digital Certificate as per Indian IT Act from the licensed Certifying Authorities (CA) operating under the Root Certifying Authority of India (RCAI), Controller of Certifying Authorities (CCA) of India.The Digital Certificate is issued by CA in the name of a person authorized for filing Bids / Offers on behalf of his Company. A Vendor / Bidder can submit their Bids / Offers on-line only after digitally signing the bid / documents with the above allotted Digital Signatures.

4.3.6 Steps for obtaining Digital Certificate.

Digital Certificate can be obtained by the following steps: (i) Visit the site of the licensed CA, http://www.ncodesolutions.com using internet browser. (ii) Apply online for a class 2 / 3 Digital Certificate for the designated individual with the name of Organization. Ensure the Digital Certificate is legally valid in India. (iii) For making payment and submission of documents required for issue of the Digital Certificate, follow the instructions on the CAs website. (iv) Use the class 2 / 3 Digital Certificate thus obtained for online bidding on BPCL e-Procurement site.

4.3.7 Pre-Bid Conference.

Any clarification with regard to tender shall be sorted out during the pre-bid conference. BPCL will also arrange demonstration of the e-Procurement system to the vendors who will be present during the pre-bid conference.

4.3.8 Submission of Documents:

(i) Vendor is required to save / store their bid documents for each item into their computers before submitting their bid into e-tender box. (ii) Bidders shall make their own arrangement for e-bidding. The Price Bid and Unpriced Technical Bids have to be submitted online only. However, documents which necessarily have to be submitted in originals like EMD and any other documents mentioned in the tender documents have to be submitted offline. Prices should not be submitted in a sealed envelope.BPCL shall not be responsible in any way for failure on the part of the bidder to follow the instructions. Further BPCL in any case will not be responsible for inability

of the bidder in participating in the event due to ignorance, failure in Internet connectivity or any other reason. (iii) It is advised that the bidder uploads small sized documents preferably (upto 5 MB) at a time to facilitate in easy uploading into e-Procurement site. BPCL does not take any responsibility in case of failure of the bidder to upload the documents within specified time of tender submission.

4.3.9 Submission and Opening of Bids:

(i) Bid along with all the copies of documents should be submitted in e-form only through BPCL e-Procurement system. (ii) Before the bid is uploaded, the bid comprising of all attached documents should be digitally signed using digital signatures issued by an acceptable Certifying Authority (CA) in accordance with the Indian IT Act 2000. If any modifications are required to be made to a document after attaching digital signatures, the digital signature shall again be attached to the modified documents before uploading the same. (iii) The authenticity of above digital signatures shall be verified through authorized CA after bid opening and in case the digital signature is not authorized / valid, the bid will be rejected. Bidder shall be responsible for ensuring the validity of digital signatures and proper usage of the same by responsible persons who can bid for the bidder. Power of attorney of the signatory, issued by the bidding company should be submitted along with other documents as per tender conditions in physical form.

4.3.10 Last Date for Submission of Bids:

(i) Bidders are advised in their own interest to ensure that bids are uploaded in E-Procurement system well before the closing date and time of bid. (ii) Vendors / Bidders must use any computer having Windows 2000 or Windows XP versions or higher of Window operating system and an internet web browser version internet explorer V 6.0 or higher recommended.

All tenderers have to quote their bids in Indian Rupees up to two decimals only per MT.

6. AWARD DECISIONS:

It may be noted that the lowest bidding tenderer during the electronic bidding need not automatically win the business and, if BPCL is not satisfied with the price achieved through the e-bidding process, BPCL reserves the right to negotiate further with the bidders to achieve a suitable price.

BHARAT PETROLEUM CORPORATION LTD. TENDER FOR PACKED BITUMEN TRANSPORTATION CONTRACT

TENDER NOS. BPC /ER/PKD BIT / 2010-2013

TENDER TERMS & CONDITIONS

THESE CONDITIONS ARE SET IN CONTINUATION OF THE TERMS & CONDITIONS SPECIFIED IN THE TENDER NOTICE AND THE GUIDELINES FOR THE TENDERERS

A. GENERAL GUIDELINES: 1. Relatives (as per list enclosed) of officer/s responsible for award and execution of this contract in the Corporation are not permitted to quote against this tender. The tenderer shall be obliged to report the name/s of person/s who are relatives of any officers of the Corporation, or any officer in the State or Central Government, and who are working with the tenderer in their employment or are subsequently employed by them. Any violation of this condition even if detected subsequent to the award of contract, would amount to breach of contract on tenderer’s part entitling the Corporation to all rights and remedies available thereof including termination of contract.

2. Rates finalized through e-bidding, would be valid and binding on the tenderer for 60 (sixty)

days from the date of opening of tender unless extended by mutual consent in writing. During the validity period, tenderer will not be allowed either to withdraw or revise his offer on his own. Breach of this provision will entail forfeiture of the Earnest Money Deposit. Once the tender is accepted and work awarded, the rates will be valid for the entire contractual period, subject to escalation/de-escalation formula given in Attachment 15.

3. The Corporation reserves the right, at their sole discretion, and without assigning any reason whatsoever, to: a) Negotiate with any OR all tenderers, b) Divide the work among contractor(s), c) Reject any OR all tenders either in full OR in part, d) Engage additional contractors / trucks at any time without giving any notice what so

ever to the contractor/s already appointed against this Tender. 4. The tenderer should study the safety and security requirements at the loading/

unloading point/s and route/s. Truck entering into BPCL locations for loading must have to comply all the standing instruction given by TM(I&C),Kolkotta time to time. It is also mandatory for all Transporters to comply the Police verification requirements of all their crew members.

5. Tenderer should deposit the sealed Technical BID well before the closing time and date

in the tender box earmarked for this purpose at the concerned office. No tender document shall be entertained after due date and time of submission of tender. BPCL will not be responsible for the delay under any circumstances whatsoever if the tender is not submitted before the closing date and time and in the correct tender box.

6. Tenders not meeting the tender terms & conditions or incomplete in any respect or with

any additions/ deletions or modifications are liable to be summarily rejected without any further communication to the tenderers and decision of BPCL in this respect will be final and binding.

7. Tenderers having minimum annual turnover of Rs. 60 lacs. ( sixty lacs), in any one of the previous 3 financial years, are only eligible to apply. 8 Tenderer must own at least 2 (two) Trucks (Container or Full Body) in their name i.e.

Firm or Partner or Director or Proprietor. Additional Trucks offered may be owned or attached. Age of vehicle offered should not exceed 15 years (8 years in case of

Mumbai) or as per the applicable to statutory law. Trucks operating under any other BPCL contracts, anywhere in India, are not eligible to quote and the Tender shall be rejected, if quoted with such trucks.

9 The Tenderer would be required to take fuel/lubes for the Trucks engaged by BPCL at the Smart Fleet Retail Outlets of BPCL. For this, the Tenderer would have to enroll under CMS Fleet Card scheme for his fuelling requirements. A minimum of 25% of the billing amount from the Carrier’s monthly transportation bill shall be deducted and the same shall be credited to his CMS Fleet Card account. The transporter can opt for such credit of higher amount in fleet card account also.

10 The estimated quantity for transportation of packed bitumen shown in the tender notice

is Indicative and is subject to change. BPCL reserves the right to contract additional trucks, if required.

11 Tenderer should submit all the details and enclosures as has been asked for in the tender form. In case any of the information is not applicable to the tenderer, "Not applicable" may be written against such item. Not submitting any information/ enclosure sought for may be a ground for rejecting the tender.

12. Evaluation Criteria:

12.1 This tender is floated in, on-line electronic bidding method. The credential bid will be

opened and scrutinized by BPCL, and after evaluation, the price bid of the successful

tenderers shall be finalized thru’ an online bidding process on a notified date.

12.2 For finalizing Transportation Tender following steps will be followed:

(i) Destination Location wise rates quoted in online price bid will be considered in

ascending order for finalizing the ranks i.e. lowest quoted rate by any

technically qualified tenderer will be treated as L-1 rate.

(ii) It is mandatory for the technically qualified Bidders to quote for all the 69

nos locations and from all the loading locations. Failure to do so shall

result in rejection of the entire Bid.

(iii) The Corporation may decide, at its sole discretion to distribute the quantities

amongst the technically and commercially acceptable tenderers. In such

situations the following distribution pattern will be adhered to :

“The Destination location-wise quantity / job will be distributed among 3 tenderers and

the percentage allocation among them would be L1: 70 %, L2: 20%, L3: 10%.”

(In the event of more than one bidder in L1 or any other ranks, further ranking will be

done based on the no. of owned trucks offered(Bids with more nos of owned trucks will

be ranked higher than bids with lesser no. of owned trucks and job distribution will be

done proportionately on the basis of the same)

13. On line bidding shall be conducted for the locations specified in the NIT.

14. Any additions/ deletions or changes in our format will not be accepted. These may be

ground for rejecting the Tender. 15. Over-writing should be avoided. Corrections, if any, should be initialed by the tenderer. 16. Tenderers would be presumed to have acquainted themselves with the working

conditions existing at the location, before submission of the tender. 17. Failure to submit the bid confirmation within stipulated time would liable for

rejection of the offer as well as forfeiture of EMD. B. EARNEST MONEY DEPOSIT (EMD):

1. Tenders not accompanied by EMD shall be rejected.

EMD of ` 1,00,000/- ( one lakh only ) to be paid by DD. A cash receipt will be issued

for the EMD, after the tenders are opened and scrutinized. The tenderer for obtaining subsequent refund should retain the cash receipt.

2. Cheques or request for adjustment against any previously deposited EMD/ pending dues/ bills/ security deposits for other contracts etc. will not be accepted as EMD, and any tender with such stipulation will be treated as without EMD and shall be rejected.

3. Interest is not payable on EMD. 4. EMD is liable to be forfeited, if the tenderer modifies/ withdraws the offer,

Noncompliance with any of the terms and conditions and / or refuses to accept the work order after acceptance of Corporation’s offer within the prescribed validity of the Tender, OR if the Tenderer does not furnish the required security deposit, OR if the tenderer is unable to position offered truck’s within the stipulated time after the award of contract.

5. EMD would be refunded only after finalization of the Tender. While claiming refund, the original Cash Receipt issued by the Corporations must be surrendered.

6. In case the Cash Receipt is lost / misplaced, an Indemnity Bond in specified proforma supplied by the corporations is to be submitted on non-judicial stamp paper of appropriate value (at tenderer’s cost), duly notarized.

C. NEGOTIATIONS: 1. The Corporation reserves the right to negotiate with any or all the Tenderers. 2. Tenderers may be required to visit BPC Regional office or any other place nominated by

the Corporation for negotiations / verification of documents, entirely at the cost of Tenderers.

3. Only the proprietor of the firm OR the legally authorized representative of the firm may personally attend such negotiations, as commitments made and / or clarifications given during the negotiations will be binding on the Tenderer/s. He / She should carry the necessary authorization to attend such negotiations and to hand over an authenticated copy of the same to the corporation’s representative/s participating in negotiations.

4. Originals of the documents submitted as copies along with the Tender Documents, as well as documentation to substantiate statements made in the Tender Document are to be produced for verification by the Corporations during negotiations OR at any other time.

D. SECURITY DEPOSIT (SD):

1. Successful tenderer’s will be required to furnish SD within 15 days of issuance of LOI / Work Order at the following rates:

2. The security deposit will be Rs. 5, 00,000/- (Rupees Five lakhs only). ` 1,00,000/-

( Rupees One lakh only) shall be paid in the form of Demand Draft drawn on any Scheduled Bank and balance in the form of Bank Guarantee strictly in specified proforma, valid for six months beyond the maximum possible tenure of the contract.

3. Adjustment of EMD towards SD is permissible for the portion of SD payable by DD. Cash receipts for SD paid by DD will be issued by BPCL.

4. Interest is not payable on SD. 5. Any loss/ claim and/ or damage arising out of the performance of the contract would be

adjustable against the SD. Any loss/ claims/ damages higher than SD will be recovered from payments due to the contractor under this contract or deposits made by or payments due to the contractor under any other contract with the Oil Companies.

6. Security deposit would be refunded after expiry of six months of completion of the contract on written request from the contractor and with surrender of the original cash receipt, subject to satisfactory performance. In the event of loss/ misplacement of the cash receipt of the SD, the refund would be made only after the contractor furnishes an Indemnity Bond in the prescribed proforma, on non-judicial stamp paper of appropriate value (at contractor’s cost), duly notarized.

7. Successful Tenderer will be entrusted with transportation work only after signing of Agreement and depositing of Security Deposit amount.

8. Failure to place Trucks, within 48 hrs of indent, BPCL shall hire trucks from the open market and the differential cost shall be debited to the Tenderer. In case of consecutive failures to place Trucks against indents on 3(Three) occasions, BPCL shall be at liberty to terminate the Contract without giving any notice and debar the Tendererer from participating in any future Tenders for 2 years.

E. CONTRACT PERIOD:

Unless otherwise specified OR agreed to, the contract is awarded for 2 (two) year with option for extension up to 1(one) year at the sole discretion of BPCL at the same rate, terms and conditions.

F. EXECUTION OF AGREEMENT :

1. Successful tenderer’s will be required, before undertaking the contract, to execute the agreement, within 15 days of the date of issue of the LOI.

2. Two specimen sets of Agreements Forms are enclosed along with the Tender

Documents, which is also available on our website. If downloading from website, 2 sets should be downloaded. Tenderers are advised to carefully scrutinize the same before submitting their Tender. One set should be submitted with the Tender, duly signed by the Tenderer on all pages over the official seal, in token of acceptance of the terms and conditions thereof, and other set be retained with the Tenderer.

3. When the person signing the Tender is not the authorized signatory, necessary power of

Attorney authorizing the signatory to act on behalf of the proprietor / firm should be produced before signing the agreement, and an authenticated copy of the power of Attorney should be submitted for the record of BPCL.

4. Failure to execute the agreement and / or furnish required security deposit within

15 days of issue of LOI may render the tenderer liable for forfeiture of earnest money deposit and termination of contract without prejudice to the rights of the corporation to recover the damages under law.

5. All terms & conditions stipulated in the Notice Inviting Tender Notice, Guidelines for

Tenderers, Tender Terms & Conditions, Declarations, Agreement and other documents furnished with the Tender and related correspondence shall form part of the contract.`

G. RESERVATION :

(a) The provision of reservation will be 15% (fifteen percent) & 7 ½ % (seven and a half

percent) for Schedule Caste (SC) and Scheduled Tribes (ST) respectively on all India basis.

(b) The members of SC/ ST desirous of offering the trucks will have to participate in the tenders floated by BPCL.

(c) The SC/ST members should fulfill all tender conditions, and will not be eligible for any price preference or relaxation of standards.

(d) If adequate numbers of Trucks offered by SC/ST tenderers are not available in any particular year, the unfilled quota may be allotted to the unreserved categories in that year. However the unfilled quota may be carried forward to the next Tender also and offered to SC/ST candidates. If the quota of the previous tender is not filled even in the next tender, the unfilled quota of the previous tender may be de-reserved and allotted to general categories.

NOTES:

(a) The SC/ ST tenderer/s desirous of operating under partnership firm, or Private Ltd. Co., or Public Ltd. Co. or a Cooperative Society, or any other, should have all the partners or members of private / Public / Cooperative firms belonging to the same category without exception, i.e. either SC OR ST as the case may be.

(b) Caste certificate for each individual member of a Partnership/ Public/ Private/ Cooperative Firm should be enclosed as proof along with the Technical bid.

(c) In the event of any of the members failing to submit the caste certificate as proof of belonging to SC/ ST category, the tender will be treated as a general category tender.

(d) The registered owner/s of the Trucks offered by the SC OR ST tenderer/s must also belong to the same category, either SC OR ST, as the case may be. In other words, if the tenderer is issued LOI/ Work Order under SC category, all the registered owners of the Trucks offered against the particular LOI/ Work Order must also belong to SC.

(e) If any of the Trucks offered do not belong to a member of the category concerned, i.e. SC or ST, as the case may be the tender will be treated as under general category.

H. MISCELLANEOUS: NOTES:

1. Trucks provided for transportation of PACKED BITUMEN should preferably be covered by National Permit / Zonal Permit at Contractor(s) cost. The contractor’s shall have to provide specified number of trucks for operation within the state where the loading / unloading locations are situated within the same state and sections where axle load restrictions are imposed, they shall supply trucks meeting axle load restrictions.

2. BPCL will have the right to assign the Truck’s offered in any one Tender to any contract in any other Region, on any route, temporarily OR permanently, and the decision of the corporations will be final and binding on the successful tenderers / contractors.

3. BPCL reserves the right to accept all or some of the Trucks offered by the successful tenderers, without assigning any reason whatsoever. The decision of the BPCL shall be final and binding.

4. The Trucks offered should comply at all times with valid permits, rules and regulations of Statutory/ Government authorities.

5. No unsolicited correspondence/ queries will be entertained while the award of the transport contract business is under review/ consideration. Corporation, regret their inability to answer individual queries.

6. If any of the information submitted by the tenderer is found to be incorrect at any time including the contract period, BPCL reserves the right to reject the tender/ terminate the transportation contract and reserves all rights and remedies available.

7. Each page of the tender document including notice inviting tender enclosed along with the tender document must be signed by the legally authorized representative of the tenderer, with over the official seal, for having fully read and understood the terms and conditions of this tender.

I. DUPLICATION OF CLAUSE:

Whenever there is duplication of clause either in the terms and conditions or in the agreement, the clause, which is beneficial to the contracting Corporation, will be considered applicable at the time of any dispute.

PACKED BITUMEN ROAD TRANSPORT AGREEMENT

THIS AGREEMENT made on ______________day of________2010 between BHARAT PETROLEUM CORPN. LTD., a Company registered under Indian Companies Act, 1913/1956 having registered office at 4 & 6 Currimbhoy Road , Ballard Estate , Mumbai 400 001 hereinafter called `THE COMPANY' (which term unless repugnant to the context shall include its successors and assigns) of the PART ONE and M/s._______________________________________a Proprietorship /Partnership Firm /Private Limited /Limited Company having registered office/place of business at ___________________________hereinafter called “THE CARRIER” (which expression shall be deemed to include legal heirs and executors of the present constituents in case of firm or official liquidator in case of Company) of the OTHER PART. WHEREAS the Company is engaged in refining Crude oil and storing, distributing and

selling of the petroleum products and for this purpose require trucks for transportation of packed bitumen from their various storage points to customers/other storage points in consideration of the remuneration and on the terms and conditions hereinafter contained. WHEREAS the Carrier is engaged in the business of operating trucks and is interested

in the above transportation job of the Company. Now therefore, it is agreed between the parties as follows:- 1 (a) The Carrier as Owner of minimum 2(Two) numbers of trucks will provide the Company

with sufficient specified number of trucks within 24 hours on demand to transport and deliver the packages as directed by the Company from the Company’s dispatching storage point to the Company’s receiving storage point/Company’s Customers from time to time. The Carrier is also required to produce a list of normal trucks either owned by the Carrier or attached giving details of engine no. / Chassis no. with registration no. of each such vehicle. Carrier has certified that it is the owner and / or sufficiently entitled to operate these trucks.

(b) In case any of the truck is not made available by the Carrier within 48 hrs, BPCL would

be free to use the services of any other truck and recover the difference in Transportation charges and additional expenses incurred by the Company for engaging

the other trucks from the Carrier. In case of consecutive failures to place Trucks against indents on 3(Three) occasions, BPCL shall be at liberty to terminate the Contract without giving any notice and debar the Tenderer from participating in any future

Tenders for 2 years. (c) Further in the event of break down or major repair of any of the truck, Company at its

sole discretion may accept any other truck of the Carrier for the period of break-down/major repair.

2. (a) The trucks would be required to carry packages from dispatching Locations as

instructed from time to time to Company’s customers / other storage points (Receiving location).

(b) In the event of re-sitement of such Dispatch Storage Point of the Company within 200

km. radius, trucks attached to the old Storage Point would get automatically attached to the new resited Storage Point and rate and other terms applicable to the old Storage Point shall apply to the new Storage Point.

(c) Company shall be free to engage one or more additional Carriers, either to run

concurrently or separately, for transportation jobs from the same Dispatch Storage Points.

3. Carrier will ensure that trucks provided to the Company are always:-

a. Maintained in sound mechanical conditions and having all the fittings upto the standards laid down by the Company from time to time.

b. Meeting requirements of the Company as regards safety and operational norms. The

trucks provided by the Carrier shall have wooden floorings and no angle should be protruding from the side of the truck body.

c. Conform to the statutory regulations of Motor Vehicle Act and other new acts/ rules

promulgated during the contract period. The trucks shall also be covered by valid registration certificate, road permits, etc.

d. The crew (Driver and Cleaner) should possess all valid documents as required by

Motor Vehicles Act and necessary clearance as stipulated by the Dispatching Location. The tenderer must comply to the mandatory requirement of Police verification for all the Crew members. The crew should also be experienced to handle packed drums for efficient operations.

e. Vehicle should have valid Comprehensive Insurance Policy.

f. The officials of the Company would be entitled to inspect at any time , the trucks and/or

the documents, the Carrier/its crew is liable to carry under any statute/ regulation. of this Agreement. Defects notified, if any, by the Company in the trucks will be rectified by the Carriers immediately in accordance with the directions of the Company. However, the Company reserves the right to reject a truck, if found, in unsatisfactory condition. Trucks so rejected will be treated as not supplied.

g. Safety Helmets/ safety shoes for crew members as specified by BPCL.

4 (a) Carrier will be responsible for all taxes, levies and other cost of running the

trucks/transportation business which shall also include-

I. Salary, wages and other benefits and claims of Crew of trucks and all members of Carrier's staff including labour used for loading / unloading / stacking;

II. Payment of road tax , insurance and any other fees like permit , route fee etc. levied by statutory authorities ;

III. Cost of fuel, lubricants, tyre’s, repair etc; IV. Compensation or any other benefit payable to truck Crew and it's other staff including

labour used for loading / unloading / stacking or third party under any statute or regulation both under regular working and arising from accident etc.;

V. Consequences arising out of their or their workmen’s or representatives’ defaults or negligence or violation or non-adherence to Municipal / State / Central acts relating to carriage of goods.

(b) Carrier shall keep Company indemnified in respect of above. In case, Company is

made liable to pay any part of above cost, the same shall be reimbursable by the Carrier. The Company shall not be obliged to contest any claim made upon it for payment.

(c) It is agreed that the trucks covered by this Agreement shall operate at the sole risk of

the Carrier. In no case, Company would be held responsible for any loss or damage done to the truck while on the Company's work or parked in their premises.

(d) Carrier shall make their own arrangement for parking of their vehicle overnight and /or

during holidays. 5 (a) The Company will pay to the Carrier, at the all inclusive rate, detailed in work order.

This rate shall be valid for all roads and weather conditions, and are calculated from dispatching locations..

(b) The above rates are subject to escalation / de-escalation as per formula given in

ATTACHMENT 15. (c) (i) Octroi charges levied on the product would be reimbursed by the Company against

production of original receipts, wherever applicable. (ii) Entry/Transit/Bridge/Toll (Pathkar) taxes paid by the Carrier for their trucks while

transporting products under this Contract would be reimbursed by the Company. Company's decision whether any charge is reimbursable or not would be binding on the Carrier.

(d) The transport charges payable under this Agreement are based on shortest route

approved by the Company one-way trip basis. Company would be entitled to revise these distances from time to time, including retrospectively, which would be binding on the Carrier. Difference in transportation charges arising out of this revision will be recoverable/payable from the date of Agreement or effective date of such revision, whichever is later. Freight charges shall be calculated on gross weight basis for bitumen drums , polyethylene packets / any other packages.

(e) The procedure for payment of transport bills and reimbursement of octroi charges

prevalent in the Company from time to time would be binding on the Carrier. (f) The Company has not guaranteed any minimum billings/mileage or loads for any period

whatsoever. Hence, Company will not be responsible for their inability in offering any load on any day or during any particular period and no idle charges etc. would be payable.

The Company shall provide the carrier with transport work hereunder as and when considered necessary and shall not be bound to give or entrust all the transport work to the carrier. Nothing herein contained shall prevent the company from engaging any other carrier to carry our transportation work similar to the work entrusted to the carrier. The Company reserves the right to appoint two or more carriers as it deems necessary towards achievement of efficient, timely and effective supplies.

(g) The Company will endeavor to arrange unloading of the Trucks at the earliest.

However, Detention charges @ ` 1000/ day at the unloading location if the truck is not

unloaded for more than 48Hrs. after the reporting. (h) The Carrier would provide consignment notes for each consignment loaded on a daily

basis to the loading location. (i) The Carrier would provide transportation bill to the base location for the consignment

carried during the month, by 10th of the following month. (j) The carrier agrees to enroll himself under the BPCL CMS FLEET CARD scheme for his

fuelling requirements and authorizes BPCL to deduct minimum 25 % of the billing amount from his monthly transportation bill and the same shall be credited to its CMS fleet Card account.

6(a) The Carrier shall deposit a sum of ` 1, 00,000/- (Rupees One Lakh only) by way of DD

drawn in the scheduled bank payable at kolkata in favor of the Company as Security Deposit and Bank Guarantee for Rs. 5, 00,000 (Rupees Five Lakh Only) for a period of 2 ½ years which includes, inter alia, the full period of the contract including the option period and additional six months for due fulfillment of terms of this Agreement. This sum shall not bear any interest.

(b) Company shall be entitled to adjust any sum due to it from the Security Deposit/Bank

Guarantee amount and/or any transport charges/dues pending for payment to the Carrier.

7. (a) The Carriers will be responsible, amongst other things, for loading of packages from any location in the Company’s dispatching storage point and unloading at destinations at their cost.

(b) The Carrier shall satisfy themselves as to the condition of the packages to be

transported before loading into trucks. Once loaded, they will be deemed to have been collected in sound and unleaky conditions.

(c) Special care must be exercised by the carriers while handling the packages for

loading / unloading and stacking. It is essential that all the packages and barrels are handled in such a manner that no damage is caused to them even during transit. Throwing or dropping of packages and stacking of packages beyond limits specified by the Company are not permitted at any time. In the event of any damage to packages and / or loss of content due to improper handling of the packages of which the company will be the sole judge, the cost of packages damaged and / or product lost will be recovered from the carrier’s bills at destination retail selling price ruling on the date of such loss.

(d) While loading the packages in the trucks, proper care is required to be taken as

specified by the company so that friction between the packages does not occur while in transit.

(e) The carriers will arrange to protect and cover the packages entrusted to them

for transportation, with tarpaulins and / or any other appropriate protection whenever such protection is necessary against weather, etc. and will take all possible care to ensure safe delivery of package in good and marketable condition at the Company’s specified receiving storage points.

(f) Only the Crew of the truck and authorised representative of the Carrier shall be

allowed entry inside the Company’s Storage Points. 8. (a) The Carrier shall be responsible for quantity and quality of the products received by him

for transportation. Acknowledgement by any member of Crew of the truck or by any other authorized person of the Carrier by way of signing on the Challan or any other Dispatch Document would be sufficient proof of acceptance of product quantity and quality by the Carrier .

(b) The packages shall be deemed to be in the possession of the carriers from the time they

commence handling the packages for the purpose of loading and transportation, upto the time the packages are safely unloaded and stacked.

(c) If any shortage in quantity and /or variation in quality of product is found at any stage

after truck leaves the Despatch Storage Point upto Receiving location, the Carrier would be responsible for the same irrespective of reason and Company would be entitled to following -

(i) In case of shortage or loss of product due to whatever reason, recovery will be

at Retail selling price at despatch location or receiving location , whichever is higher and transport charges for the shortage quantity ruling on the date of such loss.

(ii) in case of variation in quality , Company at its' discretion may dispose off the

contaminated product. All expenses/losses and cost of product in this connection as determined by the Company shall be recoverable from Carrier.

(iii) Above would be in addition and without prejudice to Company's right of

termination of this Agreement as per clause 15. (d) The carriers shall ensure that the packages are delivered at the destination promptly

within the delivery period. The Company reserve the right to impose a penalty on the

carrier ` Rs. 1000/- per day of delay and such penalty shall be recovered from the

Carrier’s bills unless satisfactory explanation is given by the carrier for the delay. The carriers, if called upon, undertake to load the packages from more than one storage point and deliver the same at the destination station at more than one location within the Municipal limits of the destination city / town. The number of days allowed for each location will be advised to the carriers in advance.

9. Carrier will be responsible for ensuring that - (a) Working rules and regulations of the Company in force are followed by him / his

representatives and Crew of his truck; (b) Truck delivers the product to the consignee specified; (c) The Crew has the correct delivery documents and trem-card; (d) Truck follows the normal/approved route from Dispatch Storage Point to receiving

location (e) Average trip-times are maintained; (f) Signature along with rubber stamp of recipient are obtained on the delivery documents;

Wherever required by Company, collect cheques/draft/bank-slips from the recipient after ensuring that remittances are correctly drawn;

(g) Handover receipted delivery documents and remittances pertaining to deliveries made , to the Company on the same day and before accepting next load . In case, return of truck is delayed for any reason whatsoever, such documents and remittance are reached to the Despatch Storage Point within 7 days of completing the delivery.

10. In case of any of the trucks meet with an accident while it is loaded with Company’s

product the carrier shall be responsible for informing TM(I&C),Kolkotta /Mgr.Trpt(ER)./Despatch location/Receiving location immediately and making necessary arrangements at their own cost to salvage the packages / product from the truck which has met with the accident and to arrange for delivery of the packages in good and marketable condition containing originally packed grades to the location as directed by the Company at Carrier’s cost. Any expenses on this account as well as the cost of damages / missing packages / product short delivered due to the accident will be on carrier’s account.

11. The consignment should be delivered by the carriers in the same truck or container in

which it was loaded at the dispatch location. No transshipment of consignment from, the original truck which took the load from the dispatching location into another is allowed except with the prior permission of the Company. The transshipment done after the accident should be reported to the Company in writing immediately after the accident.

12. Carrier shall be responsible for any damage or loss caused to the Company’s product

or property by negligence or default of it’s Crew, authorized representative or truck. This will also include confiscation of Company's product delivered to the Carriers by any statutory authorities.

13.(a) The Carrier shall not be entitled to assign, subrogate, sublet or part with it's right, title

and interest under this Agreement for any reason whatsoever , or change the ownership of/their right on the trucks .

(b) The Carrier shall not cause or allow any change in the constitution of its firm

without obtaining the previous written consent of the Company. 14. Neither party to this Agreement shall be liable for the non performance of any of its

obligations under this Agreement so far as such non performance is occasioned by conditions of the force majeure. The Force Majeure means natural calamities like floods, earthquake and other acts of God and riots, etc. The notice of occurrence of any such calamities shall be given by the affected party within a period of 24 hours of occurrence of such calamities. The performance of the respective obligations of the

parties under this Agreement shall be resumed as soon such calamities which have resulted in the non performance cease to occur.

15. This Agreement would be valid for period of Two (2) years w.e.f. dt --- /----/201- with

option of Company to extend the same by one year on same terms and conditions. However, Company reserves the right to terminate this Agreement by giving two months advance notice without being liable to give any reason or pay any compensation.

Notwithstanding anything to the contrary contained herein above, Company reserves

the right to terminate this Agreement forthwith upon or at any time after happening of any of the following -

(a) If the Carrier, its' proprietor or any partner is adjudicated insolvent or become bankrupt

or goes into liquidation whether voluntary or otherwise. (b) If attachment in execution of a decree is passed against the Carrier, its proprietor or

any of its' partners. (c) If road permits or statutory licenses/permissions granted to Carrier / it's trucks by

transport or any statutory authorities is cancelled or revoked. (d) If any of the statement made by the Carrier in the tender is found incorrect at any time. (e) If the Carrier is guilty of breach of any of the terms or conditions of this Agreement (f) If the Carrier commits or suffers to be committed any act which in the opinion of the

Company whose decision shall be final, is prejudicial to the good name of the Company or its’ product.

(g) On the death or retirement of proprietor or any of the partners of the Carrier firm, the

Agreement shall continue as between the Company and surviving / continuing partners of the Carrier. The legal heir/representatives of the deceased partner or the retiring partner himself shall be liable for all the obligation of the carrier incurred up to the date of death or retirement but shall not be entitled to claim from the company any portion of Security Deposit. Company shall account for Security Deposit to the surviving or continuing partners. The death or retirement of any partners shall be notified by the Carriers to the Company in writing within 24 hours of such death or retirement.

(h) If the crew of the carrier, commits any unsafe act such as rash driving, accident, non

adherence to safety guidelines, and not using safety / protective equipment etc. within or outside BPCL premises.

(i) If the carrier, its proprietor or any partners or trucks crew misbehaves (abuse or threats

or assaults or manhandles) with the consumers/dealers /or with the employees of BPCL.

16. All questions, disputes and differences arising under or in relation to this Agreement

shall be referred to the sole arbitration of the Director (Marketing) of the Company. If such Director (Marketing) is unable or unwilling to act as the sole arbitrator, the matter shall be referred to the sole arbitration of some other officer of the Company by such Director (Marketing) in his place, who is willing to act as such sole arbitrator. It is known to the parties herein that the Arbitrator appointed hereunder is an employee of the Company and may be Shareholder of the Company. The arbitrator to whom the matter is originally referred, whether the Director (Marketing) or officer, as the case may be, on his being transferred or vacating his office or being unable to act, for any reason, the Director (Marketing) shall designate any other person to act as arbitrator in accordance with the terms of the Agreement and such person shall be entitled to proceed with the reference from the stage at which it was left by his predecessor. It is also the term of

this Agreement that no person other than the Director (Marketing) or the person designated by the Director (Marketing) as aforesaid shall act as arbitrator. The award of the Arbitrator so appointed shall be final, conclusive and binding on all the parties to the Agreement and provisions of the Arbitration & Conciliation Act 1996 or any statutory modification or re-enactment thereof and the Rules made there under and for the time being in force shall apply to the arbitration proceedings under this clause.

17. The parties hereby agree that the Courts in the city of Mumbai/New

Delhi/kolkata/Chennai alone shall have jurisdiction to entertain any application or any awards made by the sole arbitrator or other proceedings in respect of anything arising under this Agreement.

18. This Agreement covers entire understanding between the parties. No alteration /

variation of any of the terms of this Agreement shall be valid unless made with the consent of both the parties and evidenced in writing duly signed by authorized representatives of both the parties.

19. All notices and other communications to be given under this Agreement by either

party to the other shall unless otherwise specifically agreed be given in writing by Registered Post or hand delivery against acknowledgement to the following addresses of the respective parties.

Any such demand on the Bank shall be conclusive as regards the amount due and payable by the bank under this guarantee. 3. We undertake to pay to the Company any money so demanded notwithstanding any

dispute or disputes raised by the Carrier(s) in any suit or proceeding pending before any Court or Tribunal or Arbitrator relating thereto our liability under this present being absolute and unequivocal. The payment so made by us under this guarantee shall be a valid discharge of our liability under this guarantee for payment there under and the Carrier(s) shall have no claim against us for making such payment.

matter or thing whatsoever which under the law relating to sureties would but for this provisions have effect of so relieving us.

6. This guarantee will not be discharged due to the change in the constitution of the Bank

bid process, bid technology, bid documentation and bid details. 6. Inability to bid due to telephone line glitch, Internet response issues, software or hardware

hangs will not be the responsibility of M/s. C1 INDIA Ltd. or BPCL. 7. M/s. C1 INDIA Ltd.does not take responsibility beyond the bid event. Order finalization and

post order activities such as shipment, payment, warranty etc. would be transacted directly between us and BPCL.

8. Our participation in a bid event is by invitation from BPCL, BPCL is not obliged to place the

contract if the expected price of the lots or event is not met. BPCL will be at liberty to cancel the bid event and initiate a fresh one, if necessary.

9. Bids once made cannot be withdrawn under any circumstances. 10. BPCL along with M/s. C1 INDIA Ltd. can decide to extend, reschedule the event . 11. We shall indemnify and hold BPCL / M/s. C1 INDIA Ltd., its subsidiaries, its and their

12. M/s. C1 INDIA Ltd., nor any related company, nor any of its owners, employees or other

representatives will not be liable for damages arising out of or in connection with the use of this site. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages and claims of third parties.

13. M/s. C1 INDIA Ltd. does not guarantee continuous, uninterrupted or secure access to its

services, and operation of the site may be interfered with by numerous factors outside of its control.

We declare as under: 1. That the trucks offered under contract to BPCL ----- has not been withdrawn from any

contract of any other Region of BPCL. 2. That the vehicles under reference are not attached with any other Contractor/Distributor and have not been withdrawn without their prior consent. 3. That the subject vehicles are not involved in any litigation other than routine cases of road accident or any violation of Motor Vehicles Act. 4. That we have not been blacklisted so far by any of the Oil Company. 5. We further confirm that the details as furnished by us have been verified and found correct.

We undertake to place the trucks at the disposal of BPCL in case the contract is awarded in our favor. If any information is found to be incorrect, the contract, if awarded to us shall be liable to be cancelled and we shall be liable to pay to the Corporation such damages as the Corporation may put to due to termination of the contract. We also undertake that should there be any action against Corporation resulting in damages of whatsoever nature to Corporation on account of award of contract in our favor on the basis misrepresentations. FORMULA: Increase / Decrease in 1 liter of HSD / PGHSD RSP ex-State Capital cities (within municipal limits) of the supply point concerned inclusive of taxes (with following clarifications) ------------------------------------------------------------------------------------------------------- Q x 4 Where Q represents notional capacity of a truck and it is taken as 10 MT and 4 represent distance (4kms), which a truck can run with 1 lit of HSD / PGHSD (loaded or otherwise) for the purpose of calculations.
