Dear Mr. Curtis:

This letter and its attachments constitute the initial response of Shell Oil Company (Shell) to the above captioned Information Request dated April 13, 1992 and received by Shell on April 20, 1992.

Il appears that any connection between Shell and the Site is associated with activities of the former Shell Agricultural Chemical Company, a business unit which sold most of its assets to the E.I. DuPont de Nemours & Company headquartered in Wilmington, Delaware on October 1, 1986. Since the majority of Shell Agricultural Cheinicai Company employees were offered positions with Dupont and many of those employees may still be employed with that organization, conceivably some of those employees, or perhaps Dupont, raay have additional information responsive to this Request.

Shell's search for responsive information involves an extensive identification and inquiry into relevant documents and contacting those persons, including current and former employees, who may have knowledge of the Site. Thus far in its search efforts. Shell has be unable to locate any persons with knowledge of Shell's business activities with DiChem. Should Shell locate any persons with such knowledge. Shell will provide in its supplemental response the names of any persons discovered to have relevant information. Questions answered below are based on the documents provided with this reponse.

Question 1 Exhibits A and B indicate that Shell sent aldrin to DiChem. Attachments referred to in Exhibit B have not been located.

Question 2a Exhibit A indicates that Shell sold Aldrin 95 to DiChem. Exhibit B indicates that Shell sent technical aldrin to DiChem for formulation.

However, Exhibit D indicates that DiChem did not have time to process aldrin for Shell until January 1969 and according to Exhibit E, bags for finished product were not shipped to DiChem until January 9, 1969.

ALDRDT EBECTICIDE PORMULATIOKS

THIS AGREEMENT, dated this day of" 'v^O^ ^ ^^ ^ "betveen Shell Chemicil Coanpany, a division of Shell Oil Company, vith offices at 110 Vest 5l8t Street in Ifev Tork, Kev York (herein called "Shell") and DI^CHg-t, 1SC» , with offices at 200 S»V. l6th Street in Dae l l o l n s a , lova , (herein called "Formulator");

In consideration of the Butual convenants and allegations hereinafter set forth. Shell and Fomulator agree as follows:

1. FCSIMULATION. Shell shall furnish Fonmilator with such amountB of technical aldrin as Shell desires to have fomulated. Formulator shaill furnish all necessary inert ingredients and shall formulate the same in such amounts and over such a period of time ("Fonailation Period") as requested hy Shell, in accord with Shell's Manufacturing Fonnula and Purchasing Specifications ("Specifications") set out in Exhibit "A" attached hereto as part of this Agreement, into the following ("Product").

Aldrin 20% Granules AC- 526M Aldrin h lb. per gallon Emulsible Concentrate AC- 2'^M Aldrin k lb. per gallon Emulsible Concentrate -

Liquid Fertilizer Grade AC- 2UCM Aldrin k lb. per gallon Oil Solution AC- 113M

Any change in such Specifications must be approved in writing by Shell prior to manufacture. All Product shall be pacl^Lged in labeled containers as required by Shell and furnished by Formulator.• Shell shall supply necessary Shell labels for use on cans for Shell Brand liquid Products and printed bags for Shell Brand 20j Aldrin Granules. All other labels are to be supplied by Formulator. Formulator shEill provide reasonable warehouse facilities as may be required for the storage of all raw materials and Product until released or withdrawn.

2. FORMULATION FEES - QUAJTriTIES. As full compensation for all service performed, hereunder, Shell shall pay Formulator, within 30 days after receipt of Formulator'8 invoice, formulation fees as set out in Porchase Orders issued here­under by Shell to Formulator froa time to time. The payment by Shell shall be in an amount equal to the total number of pounds or gallons of Product formulated since the date of the last invoice. The Purchase Order or Releases thereunder shall specify quantities of Product to be formulated hereunder.

Formulator vill be allowed a miTlmmn of 0.5^ yield loss based on the amount of technicaJ. Aldrin so formulated. Losses of technical, aldrin for any reason above 0.5'3fc calculated during the Formulation Period shall be billed to Formulator at the end of each Formulation Period at the price of technical aldrin in effect at the end of such Formulation Period.

3. ACC0UHTIW3 - RISK OF LD6S. Formulator vill account to Shell for all of Shell's technical aUrln, Product and property, and will pay Shell upon demand for all such materials lost, destroyed, contaminated or damaged, except those excused under Article 5, at the price specified (for property) by Shell or in effect (for technical aldrin or Product) on that date, plus any applicable taxes. However, Formulator shall have no liability to Shell for any loss, destruction, or damage to such materials caused by any peril covered by standard fire and extended coverage insurance. Formulator vlll submit to Shell the Stock Movement Statement as set out in Exhibit "B" attached hereto as part of the Agreement, cover­ing the previous month's activities, by the third working day of each calendar month. Invoices for formulating fees shall be submitted along with the Stock Movenent Statement. The quantities on which such formulation fees are based nuBt agree with production as recorded in the Stock Movement Statement.

Formulator vill also submit to Shell a Summary of Shipment Report and Delivery Receipts (also set out in Exhibit "B") covering all movements of Shell's Product, including withdrawal of Product for Formulator's own account. This Report is to be mailed to Shell by 12:00 noon following the day of movement. Shell shall have the right during reasonable times to inspect Formulator'a records, plant premises and all inventory of material of Shell in Formvilator'a possession.

U. RESPONSIBILITY FOR BUSINESS. Formulator vill have full charge of and responsibility for the management and operation of the formulation business contemplated, and will pay all expenses including those vith respect to storage, handling, obtaining and maintaining all licenses and permits necessary to the operation of such business paying all taxes thereon, and hiring and paying wages to all employees required. Shell will be responsible for and pay all personal property taxes on materials in formulation until title passes to Shell's customer. Formulator will have full direction and control in the performance of .''ormiilator' s obligations hereunder. Formulator shall indemnify Shell against all claims, liability and expense on account of injury or death of persons or damage to property caused by or resulting from any acts or ommisslons of Formulator or Formulator's agents or employees. Shell will hold Formulator harmless from any liability of damage due to Shell's failure to comply with the Federal Food, Drug and Cosmetic Act or any similar applicable state laws.

5. EXCUSES FOR NON-reRFORMANCE. BKMKDIES, In the event of any breach of any of the provisions of the Agreement or auiy voluntary or involuntary bankruptcy, receivership, Insolvency or reorganization proceedings Shell shall have the right to suspend deliveries, retake poesession of any or all Shell matertals In Formulator's custody, require such security as Shell may daam satisfactory, and/or terminate this Agreement.

7. ENTIRETY-EXECUTION. This Agreement comprises the entire understanding between Shell and Formulator, and there are no agreements that are not merged herein or superseded hereby.

8. TERM. This Agreement shall be in effect from Septceiber 1 ^ 19 ^ to Au^^uat 31 , 19 09 , and from year to year thereafter; but either Shell or Formulator nay terminate this Agreement at any time by giving the other at least 90 days prior vritten notice.

9. ASSIGNABILITY. Neither this Agreement nor any claim against Shell arising directly or indirectly out of, or in connection vith this Agreement shall be assignable by Formulator without the vritten consent of Shell.

5. ACCOUI'iTIITG - RISK OF LOSS. Foru^ulator v/ill account to Shell for all cf S:-.eli's technical aldrin, Product and property, and will pay Shell upon dc-rr.and f:M- all such r.- .terials lost, destroyed, contaminated or da v-aGed, except thocc e.\cv.sci under Article 5, at the price specified (for property) by Shell or in effect (for technical aldrin or Product) on that date, plus any applicable t.axes. HD'.r ver, P^iT.ulator shall have no liability to Shell for any loss, destruction, or da.-a:30 to such naterials caused by any peril covered by standard fire and e.\-endci covora^^e insurance. This report ii to be mailed to Shell by 12:00 noon following the day of r.over.ent. Shell sh.all have the right during reasonable times to inspect Forr.ulator' s records, plant prem.ises and all inventory of material of Shell in Form.ulator's possession.

'-r. RSSPCNSI3ILITY FOR BUSttTSS. Formulator will have full charge cf and responsibility for the manageme.TC and operation of the formulation business contemplated, and v/ill pay all expenses including those with respect to storage, handling, obtaining and maintaining all licenses and permits necessary to the operation of such business paying all ta>'.es thereon, and hiring and paying •./ages to all employees required. Shell will be responsible for and pay all personal property taxes on materials in formulation until title passes to Shell's customer. Formulator v.'ill have full direction and control in the performance of Formulator's obligations hereunder. Formulator shall indemnify Shell against all ciai.ms, liability and expense on accou.nt of injury or death of persons or da.mage-to property caused by or resulting from any acts or onaissions of Formulator or Formulator's agents or employees. Shell will hold Formulator harmless from any liability of damage due to Shell's failure to comply v/ith the Federal Food, Drug and Cosmetic Act or any similar applicable state laws.

Further to your memo of November 8, I968, concerning nev varehouse facilities for Aldrin 20/j Granules, this Department vill require the information requested belov as soon as you obtain it.• As you knov, many new problems are being encountered vith the Aldrin program this year. The sooner we obtain the requested information, the more economically ve can perform the distribution function of this program. The information we require is:

1. Pounds of thru-put of liquid and dry formulations at each Shell varehouse location, including existing facilities such as

., and £iny other facilities you hope to use in the Aldrin program.

2. Where and vhen the product for each Shell varehouse location will be formulated..

3. The Technical Aldrin requirement for each location, including private label formulators, and the approximate date the product vill be required.

k. The type of formulation that vill be performed at each location, (liquid or dry), the information is required to distribute the Technical Aldrin th&t is restricted to dry formulations. This information is crucial due to the fact that we have over 3.5MM pounds of restricted Teclinical Aldrin inventory.

5. .If the formulator has rail receiving/shipping facilities, and if so, the cost involved if rail receiving/shipping is not covered in the formulator's contract.

6. There is presently 3> +00 x 55 gal. drvims of imported Technical Aldrin (flake). This material is also restricted to dry formulations only. Please advise if any formulator vould be able to use this material in lieu of domestic production.

Upon receipt of the above information, we will coordinate our activities vith your department and the District involved. Such a procedure can help to realize a considerable saving on freight and warehousing costs for this product.

We are presently attempting to find warehovise facilities in the three geographic locations you stipulated in your raemcyV/e will advise as soon as the facilities are established.
