    TheDistrictCouncil'smanagerial and professionalpersonnelnamely,ChiefComplianceOfficerJoshLeicht, Director ofOperationsMatthew Walker, Assistant totheDirectorofOperationsYariela Carvajal,Assistant Communications DirectorJulieEastandmyselfwere alsopresent at themeeting.Thoseindividuals arenotthird parties suchthattheattorney-client privilege hasbeenwaived. The privilege extends to cover theseemployees andagentsofthe client whoare directly involvedwith the matters discussedbyoutsidecounsel. SeeUpjohn,449U.S. t 389,391-92;see also InreCopperMkt.Antitrust Litiq. 200 F.R.D.213,217S.D.N.Y. 2001). Additionally,for Josh Leicht andmyself,alsoattorneys to theCouncil, the privilege encompasses communicationsbetween attorneysthat aredesignedto facili tatetherendition oflegaladvice tothe client,aswasthe advice giving session atissuehere.Martinv. Kovel,296F.2dat922.UnitedStatesv.Ackert, 169.3d 136 2d Cir.1999),whichyoualso citeforamuchbroaderprinciplethan it stands for, clearlysetsforththesameimited principle, notingthat Kovelrecognizedthattheinclusionofahirdparty in attorney-clientcommunicationsdoesnotdestroythe privilegeifthepurposeofhethirdparty'sparticipationis toimprove thecomprehensionofhecommunicationsbetweenattorney andclient. Ackert,169.3d at 139.Notably, heSecondCircuitrejected theapplication ofovelo thesituationbeforeitinAckert, where aparty arguedthattheprivilege applied to usefulcommunicationsbetweenanattorneyandaninvestmentbankerrelativetoprovidingadvicetoitsclient.Id.

    Simply put, thesecases do notstand for thebroad, untetheredpropositionthatpresenceofnecessarythirdparties doesnotdefeatthe privilege. Moreover hethird partieswhowerepresentduring thepertinent part of hedelegatebodymeetingdonotsatisfy theexceptiontowaiverofhe attorney-clientprivilege set forthinKovel,sthey werenot necessarytoimprovethe comprehension ofommunicationsbetweenJudge Jonesandthe delegates.

    Our nterest,however s not to accesscommunicationsbetween the DistrictCouncilandts attorneysthatthe Council wishestobeprivileged.     Fo rexample,Walshtoppedworking inApril 201 2, and has workedonly sporadicallysince thattime,Walsh unde rwe ntkneereplacementsurgery inMay, 012. Walsh has beencollectingaisability pension sinceNovember2012from the NewYork City DistrictCouncil ofCarpenters Pension Pl an Plan). Duringthe investigationof heProtest,Walsh explained thathe expects to undergo knee surgery again soon,but eventuallyexpects to return to work ull-time. Walsh lsoworked or three different companies in2013. Asof une 9, 013, 112workhours were reportedto the NewYork City District CouncilBenefit Fundsbymployers ofWalsh.

    Based upon the informationprovided,andthe factsandcircumstances ofhis case, havedetermined that Walsh does not meet any of he requirementsunder Section31D describedabove. Furthermore, findthat the votescastforWalsh, whoshouldnothavebeen a andidate,affected theoutcome of he LocalUnion157elegate election. Accordingly,the Protest sgrantedwith respect toWalsh. Therefore, I shall informtheLocal Union thattheelectionconductedfordelegatesfromLocal Union157 o theDistrict Councilis null and void.

    The investigation established thatKelly has been receiving a monthly pension benefitfrom the Plan since 2012. (There s no allegation that Kelty is receiving a ension benefit underthe United Brotherhood of arpenters Pension Plan.) Kelly also works for a company alled Al-Lee nstallation,Inc. ( ALIF') ALII s signatory to collective bargaining agreements with theDistrict Council, he Northeast Regional Council of arpenters,and the UBC From January 1,2013 hrough June 28, 013, elly worked 618.5 total hours with ALE Of hatamount, tappears 147.5 work hours were reported by ALII o the District CouncilBenefit Funds. At eastin the irst five or six monthsof 013, elly has earned morefrom his ALIIIemployment hanhe doesfrom the pension benefit.I have determined that,based on he faots and circumstances ofthis case only, Kelty meets he requirements of ection 31D escribed herein. Accordingly, heProtest is denied with respect TO Kelly.

    You aised several other grounds n your Protest. You rotested that, [Local Union]157Election Committee Chairman Guy Giordano hadremovedfrom the offices of ocal 157 heprinted copies of oter Eligibility Lists. Based on he results of he investigation, t appearsthat the lists were used to help run he election.I find that this did not affectthe outcome of heelection,and his aspect of he Protest is hereby denied.

    The emaining protest grounds hat you raised were imilarto those raised in a rotest byanother member, artin Maguire Maguire ).
