    AGREEMENT

    This deed of agreement made on the -------- day of -------- 2002 between M/s. Best

    Cross, K.T.J. Nagar, Davangere- 577002, Karnatakaregistered security agency with Director General Resettlement, Ministry of Defence,

    Government of India, New Delhi hereinafter called the LICENCEE which expressionshall include its successors executors, administrators and assignees on the one part and

    BHARAT SANCHAR NIGAM LIMITED, Office of the General Manager Telecom,

    M.C.Road, Mandya 571401

    1.That for and on behalf of Government of India where expression shall include its

    successors hereinafter called the LICENSOR on the other part.

    2.Whereas the Licencee has agreed to provide the security service to the

    Exchange/Offices/Customer Customer Service Center and Stores of Mandya TelecomDistrict.

    3.The Licencee has accepted to provide the security service of the rate as per the

    Guidelines for sponsorship of security agencies of the Directorate GeneralResettlement, New Delhi and his acceptance Letter No. ------------------------------.

    4.The Licencee shall be responsible for the discipline, good conduct and behaviour

    while discharging the security services.

    5.The Licencee should furnish a list of employees who will be deployed at the

    premises as mentioned above prior to their deployment at the premises.

    6.The Licencee should be responsible for supply of uniforms, name bagges, identity

    card, disbursement of salaries etc., to the security personnel.

    7.The Licencee should be responsible to provide immediate replacement of absentee

    consequent sickness or absence for any other reason.

    8.The License will be responsible for providing the following services.

    a) He should regulate the points of exit and entry of road gates to ensure the

    movement of persons, vehicles and materials and should maintain staff

    register.

    b) He should see to it that unauthorized materials are not carried inside the

    premises.

    c) Should ensure that tall the rooms in the premises are locked up after the

    office hours/officers concerned have left the office along with patrolling in

    the concerned premises.

    d) He should provide escort for cash as and when necessary.

    e) Full protection is to be provided to the asset and personnel of the B.S.N.L.

    and will be responsible for regulating the visitors.

    f) In case of fire break out, he should inform the Fire Brigade immediately.The security personnel will be responsible for fire safety and Fire fighting

    if fire breaks out in the premises. The Licencee will maintain liaison with

    the local authorities like Police, Fire Brigade etc.

    g) Their duties also will include analysis of threat perception and protection

    from threat from terrorists/outsiders etc.

    h) The Licencee will deploy only ex-servicemen who have been duly

    discharged from their defence services after checking their antecedents.

    i) That the employees engaged by the Licencee will be in the employment of

    the Licencee only and not of the Bharat Sanchar Nigam Limited.

    j) The Licencee should ensure effective supervision of duties andresponsibility of personnel employed at various locations. He should also

    ensure that none of its employees indulge in disorderly manner and

    behavior or consume alcoholic /intoxicating drinks while on duty.

    k) The Licencee is responsible for due compensation for any injury and

    accident to persons employed by it. He should make good the

    loss/damage to the office property arising due to negligence on the part ofits personnel.

    l) The Licencee should ensure that the Gunman deployed by them are inpossession of (provide sufficient) guns and arms with ammunition under

    valid licenses as required. The personnel must be provided with torches

    with cells and other equipment as required for duty at its own expense.

    m) The Licencee should comply with all statutory obligations submit the PF

    and ESI paid challans every month.

    2. The Licencee shall abide by the rules and regulations of BSNL. O/o GMT.

    Mandya and instructions issued from time to time during period of sponsorship.

    3. The Bill should be submitted in duplicate, one copy duly stamped and signed by

    the Licencee.

    4. The security services provided should be upto the satisfaction of the officer-in-

    charge of unit concerned.

    5. The sponsorship is valid for a period of 2 years with effect from the dated of

    commencements of work as per the work order to be issued by the Licensor.

    Extension of agreement for further period if required may be considered as permutual agreement.

    6. Description of the service and related terms in respect of working hours and rates

    are at Annexure-I.

    7. General terms and conditions are at Annexure-II. Failure to enforce any of theterms and conditions contained in the contract shall not be a waiver of the terms

    and conditions.

    ANNEXURE-I

    DESCRIPTION OF WORKING HOURS, RATES AND TERMS AND CONDITIONS

    1. In consideration of the payments to be made, the Agency will provide securityservices for our premises at the locations detailed below.

    LIST ENCLOSED

    Consequent upon closing down of the offices identified, the services to that office

    may be terminated with due notice.

    2. The agency will be responsible for providing the following services:-

    a) The Agency will regulate the points of exit and entry of road gates and railgates to ensure that movement of persons, vehicles and material into and

    out of the premises are controlled, screened and guarded against

    unauthorized entries/removals of any material from the premises of theoffice. The Agency will be responsible for maintaining rail/road gate

    registers for keeping a record of the goods/materials entering/leaving the

    premises.

    b) The Agency will inspect the incoming vehicles to see that unauthorized

    extraneous material are not carried inside so as to give a wrong reading of

    weighment when carrying the office material outside thewarehouse/stockyard with proper documents.

    c) The Agency will also ensure that all the rooms in the premises are lockedup after the officer/s concerned have let the office. Round the clock

    surveillance will be maintained covering all the premises of the B.S.N.L.,

    including patrolling in the stockyard.

    d) The agency will provide escort for cash as and when necessary.

    e) Full protection is to be provided to the cash and personnel of the B.S.N.L.The agency will be responsible for regulating the visitors.

    f) In case of fire breaking out, the Agency will inform the fire Brigadeimmediately. The personnel employed by the Agency will be well trained

    in the use of fire detection and alarm systems and fire extinguishers

    installed in the office premises. They will be responsible for fire safetyand fire fighting if fire breaks out in the premises.

    g) The agency will conduct periodical surveys to check the effectiveness of

    the fire fighting equipment and fire extinguishers and also the fire

    detection and alarm systems installed in the premises and will immediately

    bring to the notice of the authorities, if any of the installation are notworking properly or have crosses the effective date limit.

    h) The agency will maintain liaison with the local authorities like Police, FireBrigade etc.

    i) The agency will deploy only ex-servicemen who have been duly

    discharged from their defence services after checking their antecedents.

    3. The agency will ensure effective supervision for due performance of duties and

    responsibilities deployed at various locations. The agency will at no point of

    surveillance is ignored. The agency shall ensure that none of its employeesdeployed in the premises alcoholic/intoxicating is in disorderly behavior or

    consume alcoholic/intoxicating while in duty.

    4. For carrying out the work, the Agency at its own cost provide all necessary safety

    aids, equipment and clothing ensure the safety of the personnel deployed.

    5. The agency will be responsible for due compensation any injury and accident to

    persons employed by it. They will be liable to make good for nay loss/damage to

    the fire and fittings, office equipment and furniture, materials of the company

    arising due to negligence on the parts of personnel.

    6. The agency will ensure that personnel at the surveillance points are in proper

    uniforms to be provided by the agency identification. The Agency would providesufficient gun arms with ammunition under valid licences as required. Personnel

    must be provided with torches with cells and equipment as required for duty by

    the agency at its own expenses.

    7. The agency will issue identity cards with photographs all employees within one

    month from the date of signing agreement. The identity cards must be displayed

    by the respective employees while on duty and no employee of the agency will

    allowed to enter the premises without such card. The agency will keep the

    B.S.N.L. informed of any new deployment replacement of its personnel who will

    also be issued an identity card within 15 days of deployment.

    8. The agency will furnish a list of its employees who be deployed at B.S.N.L.s

    premises, prior to their deployment. The agency will also issue name badges totheir employee within one month of the signing of the agreement, which must be

    by the employees while on duty. Any subsequent deployment a replacement will

    also be issued a name badge within 15 days of deployment.

    9. Payment of wages, service charges etc would be as per GUIDELINES FOR

    SPONSORSHIP OF SECURITY AGENCIES of the DIRECTOR GENERAL

    RESETTLEMENT.

    ANNEXURE II

    GENERAL TERMS AND CONDITIONS

    1. The agency will comply with all statutory obligations as per various acts or

    notifications or rules or statutory applicable, including security guardsRegulations Act 1981. The agency will keep B.S.N.L. indemnified from all acts

    omission or commission, faults, braches and/or any claims/demands or loss,

    injury and expenses to which B.S.N.L. may be put, or involved in as a result ofthe agencys failure to fulfill any of the statutory obligations. B.S.N.L. will be

    entitled to recover any of such losses or expresses which it may have to suffer or

    incur on account of such claims, demands, loss or injury from the agencys

    monthly remuneration or from any other sums available with the B.S.N.L. underthis agreement or any other agreement without prejudice to its any other rights

    under law.

    2. All documentary records will be maintained by the Agency as per statutoryrequirements and produced whenever required for inspection. The agency must

    also submit all reports/returns as required under the Acts, Notifications, Rulesand/or Statutus as applicable.

    3. The agency will furnish all requisite registration certificates and licenses under

    the statutory provisions, which are required and necessary to take up such jobsand complete the same within the stipulated time, including a valid licence under

    Contract Labour (R & A) Act 1970 before work is starter as per the work order.

    The Agreement will be liable to be terminated on failure to produce any suchcertificates/licenses.

    4. The Agency will disburse wages to their personnel before the 7th of thesucceeding month in the presence of the authorized nominee of the B.S.N.L.. An

    attested copy of the wage disbursement sheet is to be submitted by the Agency to

    the B.S.N.L. by the 10th of each month. The agency will by 15th of succeedingmonth submit a copy of each of challans shoeing remittance to PF & ESI along

    with a covering letter with a list of employees for whom remittances have been

    made. Non-submission will entitle the B.S.N.L. to deduct 10% of the bill as a

    penal measure. This will be released without interest, on submission ofdocuments evidencing the remittances. Continuous failure to submit such

    challans for 3 months may lead to termination of agreement.

    5. The agency may at its own expense take necessary insurance cover in respect of

    the staff and other personnel deployed by the Agency for rendering of the

    aforesaid services. The B.S.N.L. will not reimburse/pay any sum to the Agencyon this account.

    6. The agency shall not appoint any sub-agency/sub-contractor to carry out any

    obligation under this agreement.

    7. The agreement shall be valid for a period of two years with effect from the date ofcommencement of work as per the work orders to be issue by the B.S.N.L.

    Extension of agreement for a further period if required may be considered at the

    desecration of the B.S.N.L., subject to the satisfactory performance of the agencyand sponsorship of the Agency by DGR.

    8. Either party can terminate the agreement by giving 15 days notice. In case of anyserious misconduct on the part of the agency, including their employee, affecting

    the work and interest and reputation of the B.S.N. or whenever the services of the

    agency are not found satisfaction or in case the agency calls to perform the job as

    per the requirements and / or to complete the job satisfactory, the B.S.N.L.reserves the right to summarily terminate the services.

    9. The agency will submit the bills in duplicate to the authorized representative of

    the B.S.N.L. for the services rendered in the previous month. After properscrutiny and authentication the B.S.N.L. will make efforts to release the payment

    within 20 days of receipt of bill. However, non-payment/delay in payment o billsshall not be the reason to withhold payment of wages to the personnel deployed

    by the agency in B.S.N.L. s premises. On non-submission of documents as

    listed above, the B.S.N.L. will reserve the right to deduct 10% of the monthly

    bills form the running bills. This shall be released on a month-to-month basis onsubmission of documents as listed above.

    ARBITRATION

    1. All question, claims disputes or differences of any kind whatsoever arising out of

    or in connection with or concerning this agreement at any time whether before orafter determination of this agreement shall be referred by the parties hereto for the

    decision by a Sole Arbitrator to be appointed by B.S.N.L. Head Quarter and

    Jurisdiction will be Mandya Telecom District.

    2. The Arbitrator shall adjudicate upon all the disputes between the parties hereto.

    3. The arbitrator shall hear the cases independently and impartially and shall notrepresent the interest of any party.

    4. Work under the agreement shall be continues by the agency during the arbitration

    proceedings and recourse to arbitration shall not be a bar to continuance of thework.
