SETTLEMENT OFFERS OF RICHARD ACOSTA AND MARK GOLDMAN
ACCEPTED
On August 22 the Commission by consent entered separate Orders Making Findings
and Imposing Remedial Sanctions and Cease andDesist Orders as to Richard Acosta and
Mark Goldman both former registered representatives of the defunctbroker-dealer A.R
Baron Co Inc These Orders settle as to these respondents the administrative
proceedings instituted on October 171996 Adm Proc 3-9168 against A.R Baron
Co Inc Baron Andrew Bressman Roman 0km Richard Acosta Richard Simone
Burton Blank Mark Goldman and Jack Wolynez pursuant toSection 8A of the
Securities Act of 1933 Securities Act and Sections 15b6 19h and 21C of the
Securities Exchange Act of 1934 Exchange Act On October 17 1996Baron was
dismissed from this proceeding and an earlier related proceeding Adm Proc 3-9010
pursuant to an offer of settlement accepted bythe Commission On December 1996
the Commission postponed these proceedings at the request ofthe District Attorney for
New York County Since that time respondents Andrew BressmanRoman 0km
Richard Acosta Richard Simone Mark Goldman and Jack Wolynez havebeen indicted
and criminally convicted in connection with their activities at A.R Baron Co Incand respondents Andrew Bressman Roman 0km and Richard Simone have since
settled
proceedings against them pursuant to offers of settlement accepted bythe Commission
on November 1999
The Order as to Richard Acosta states that Acosta engaged in market manipulationand
repeated abusive sales practicesand that he willfully violated Section 17a of the
Securities Act Sections 9a2 9a4 and 10b of the Exchange Act and Rule Ob-5thereunder and that he willfully aided abetted and caused
violations of Section 7c and
15c1 of the Exchange Act and Rule 15c1-2 thereunder and Regulation promulgated
by the Federal Reserve Board TheOrder barred Acosta from association with any
broker or dealer and ordered him to cease and desist from committing or causing any
violation or future violation of Section 17a of the Securities Act and Sections 7c9a2 9a4 10b and 15c1 of the Exchange Act and Rules lOb-S and lScl-2
thereunder and Regulation promulgated by the Federal Reserve Board Acosta was
found unable to pay disgorgement or civil penalty based of his present financial
condition
The Order as to Mark Goldman states that Goldman participated in the market
manipulation of security and in furtherance of the manipulation willfully violated
Sections 9a2 and 10b of the Exchange Act and Rule lOb-5 thereunder and willfullyaided abetted and caused violations of Section 5c of the Exchange Act and Rule15c1-2 thereunder In addition the Orders states that Goldman failed reasonably to
supervise registered representatives under his supervision with view to preventing their
violations of Section 17a of the Securities Act and Section 10b of the Exchange Actand Rule lOb-.5 thereunder and their aiding abetting and causing violations of Section
7c of the Exchange Act and Regulation promulgated by the Federal Reserve BoardThe Order barred Goldman from association with any broker or dealer and ordered that
he cease and desist from committing or causing any violation and any future violation of
Section 9a2 10b and 15c1 of the Exchange Act and Rules lOb-5 and 15c-2thereunder Goldman was found unable to pay civil penalty based on his presentfinancial condition and commitment to pay $120000 in satisfaction of claims againsthim by the Trustee in the Goldman bankruptcy proceeding and the Trustee in the
