TEMPORARY SUSPENSION OF REGULATION A EXEMPTION FOR WESTAR FINANCIAL, INC.

The Commission ordered that the conditional exemption from registration provided byRegulation A claimed by Westar Financial, Inc. be temporarily suspended under Rule 261(a) of Regulation A. Westar had claimed the Regulation A exemption in a filingfor the sale of its common stock beginning August 18, 1982 under Section 3(b) of the Securities Act of 1933.

The Order temporarily suspending the conditional exemption provides that the suspen-sion is based upon alleged: false, misleading or inaccurate statements in a Form 2-A (Report Pursuant to Rule 260 of Regulation A) filed with the Commission on June 7,1983 as the final report regarding sales under the Regulation A offering; inaccuracies in the "Plan of Distribution" set forth in the Regulation A offering circular1 :and,failure by the president of Westar to cooperate with the Commission's inquiry regard-ing this matter.

CIVIL PROCEEDINGS

COMPLAINT NAMES SOUTHERN RESERVE, INC.

The Commission filed a civil injunctive action on May 16 in the U.S. District Court for the District of Columbia against Southern Reserve, Inc. of Springfield, New Jersey. The complaint alleges violations of the reporting provisions of the securi-ties laws and seeks a Judgment of Permanent Injunction and Other Equitable Relief.

The Commission alleges that Southern,as part of a continuing course of violative conduct extending over several years, failed to file: its Annual Reports on Form 10-K for its fiscal years ended December 31, 1982 and 1983, required to have been filed by March 31, 1983 and March 30,1984, respectively: various periodic reportson time: and required Notifications of Late Filing on Form l2b-25. The Commission requests that the Court order Southern to file its delinquent Annual and Quarterlyreports and enjoin it from further violations of the reporting provisions of the securities laws. DAVID A. HUNT AND RONALD G. VOGELTANZ ENJOINED

The Seattle Regional Office and Charles Turner, U.S. Attorney for Oregon, announced that on April 18, as the result of an agreed settlement, Judge James A. Redden' signed an order enjoining: David A. Hunt of Vancouver, Washington, Ronald G. Voge1tanzof Oregon, and Orchards Accounting and Tax Service (Orchards), Hunt's sole proprietor-ship, from further violations of the registration and antifraud provisions of the securities laws: Hunt and Orchards from acting as unregistered broker-dealers and investments advisers and from violating the antifraud provisions of the Advisers Act;and Hunt, Vogeltanz and Orchards Accounting and Tax Service, Inc., a Washington cor-poration, from making any untrue statements of material fact or omitting to state a required material fact in an application to the Commission to become registered as an investment adviser.

The law suit stemmed from an investigation of the sale of notes of Huni:'and Orchards to public investors in Oregon and Washington. (SEC v. Orchards Accounting & Tax Service, et a1., District of Oregon). (LR-10383)

PETER N. BRANT, OTHERS ENJOINED

The Commission filed a complaint on May 17 in the U.S. District Court for the Southern District of New York against Peter N. Brant, Kenneth P. Felis, R. Foster Winans, Jr.,David W.C. Clark and David J. Carpenter. The complaint seeks a temporary restrainingorder and preliminary and permanent injunctions restraining and enjoining Brant,Felis, Winans and Clark from violations of the antifraud provisions 6f the Securities Exchange Act of 1934 and the Securities Act of 1933, and restraining and enjoiningCarpenter from further violations of the antifraud provisions of the Exchange Act. The complaint also requests an accounting for, and disgorgement of, all monies obtained as a result of the alleged violative conduct, a temporary order freezingthe assets of the defendants, and a temporary restraining order and preliminaryinjunction prohibiting Brant and Felis from tampering with evidence.

The complaint alleges that: beginning about October 1983 the defendants, directly and indirectly, effected transactions in the securities of c,ertain issuers while in possession of material, nonpublic information improperly disclosed by Winans, a reporter for the Wall Street Journal, to Brant, a broker for Kidder, Peabody & Co.,concerning the imminent publication of articles in the Journal's "Heard on the Street" column: and Winans disclosed this information and misappropriated it for his own benefit or indirect personal benefit in breach of a duty to the Journal, and its parent company, Dow Jones & Co.
