The Commission issued a Formal Order of Investigation In the Matter of Transactions in Washington Public Power Supply Systems Securities.

In light of recent Ninth Circuit decisions, the Commission has ordered that this Formal Order of Investigation be made public and that all subpoenas issued in this investigation be made available to the public for review. The Commission, however,has further ordered that it will not attempt to identify "targets" in this investiga-tion and will not give individual personal notice of the issuance of subpoenas to anyone other than the recipient of the subpoena. In view of the special circum-stances of this case, the Commission believes that these procedures comply with applicable law.

CIVIL PROCEEDINGS

CIVIL ACTION FILED AGAINST MAJOR EXPLORATION, INC.

The Commission filed a civil action on January 11 against Major Exploration, Inc.,Robert J. Tonachio, both of San Antonio, Texas, Thomas F. Murphy of Jersey City, New Jersey, and Lanny R. Freeman of Corpus Christi, Texas, alleging violations of the antifraud provisions of the securities laws.

The Commission's complaint alleges that: starting on July 16, 1981, the defendants engaged in a course of conduct to induce persons to purchase securities of Major and affiliated limited partnerships and to enhance the market value of Major's securities by creating a false impression of the value of Major's oil and gas leases and the identity of its management; from about July 1981 to August 1982, the defendants caused the value of Major's common stock and the common stock of its principal shareholder,United American Energy, Inc., to be artificially increased by the dissemination of materially false and misleading information concerning Major's properties in Texas;and from about September 1, 1981 to the present, Tonachio profited from this increase in the market value of United's common stock by trading in that common stock.

Without admitting or denying the allegations in the complaint, all of the defendants consented to the Final Judgments restraining and enjoining them from violating the antifraud provisions. Further, Tonachio has undertaken to pay $25,000 in cash and 50,000 shares of common stock of Major representing the profits from the sale of the common stock of United to be distributed as set forth in Tonachio's Consent. CIVIL ACTION FILED AGAINST FREDERICK G. GAHAGAN

The Commission filed a civil action on January 11 against Frederick G. Gahagan of Locust Valley, New York, alleging violations of the antifraud provisions of the securities laws.

The Complaint alleges that: Gahagan was recruited in September 1981 to prepare a report concerning Major Exploration, Inc. of San Antonio, Texas; starting on October 26, 1981, Gahagan engaged in a course of conduct to induce persons to purchasesecurities of Major and to enhance the market value of Major's securities and,thereby the securities of its principal shareholder, United American Energy, Inc. bydrafting a report concerning Major and its properties in Texas that was distributed by Major which created a false impression of the value of Major's oil and gas leases;and Gahagan profited from the artificial increase in the value of Major's and United's common stock and warrants that was caused, in part, by his drafting a report contain-ing materially false and misleading information concerning Major's properties in Texas, by trading in the common stock and warrants of United while disseminating such false information. -

Gahagan consented to a Final Judgment restraining and enjoining him from violatingthe antifraud provisions. Further, Gahagan has undertaken to pay to the U.S. Treasury$21,120.02 in cash representing the profits from the sale of the common stock and warrants of United. (SEC v. Frederick G. SETTLEMENT OF CIVIL INJUNCTIVE ACTION RE ShMUEL NISSIM

The Commission today settled a civil injunctive action filed on September 29 1983 against Samuel Nissim, the former chief executive officer of Nitron, Inc., l~cated in Cupertino, California [see LR-10147, September 30, 1983). Nissim, without adffiittingor denying any of the allegations in the co~plaint, consented to an order pernanentlyenjoining him from violating certain report~ng and antifraud provisions of the Securi-ties Exchange Act of 1934.

The complaint charged that Nitron and Nissim, a director of Nitron who served as Nitron's president and chairman until 1983, filed or caused to be filed with the Commission and released or caused to be released to the public, materially false and misleading statements concerning the revenues to be derived bv Nitron under a contract to manufacture video game arcades and cassettes for Astrocade~ Inc., a privately-heldseller of home video games, concerning the substance and purpose of certain agreementsbetween Nitron and Astrocade, and concerning the financial condition of Nitron and Astrocade. Nitron was also charged with failing to timely file an annual report and several periodic reports with the Commission during 1982 and 1983.

The action respecting Nitron was settled on November 17, 1983 with the entry of an order permanently enjoining it from violations of certain antifraud and reportingprovisions of the Exchange Act. (SEC v. Nitron, Inc. and Samuel Nissim, USDC DC,Civil Action No. 83-2872). (LR-10259)

RICHARD I. ROSENKRANZ ENJOINED

The Commission today announced the entry by Judge Charles Haight, U.S. District Judgein the Southern District of New York, of a permanent injunction against Richard I. Rosenkranz, an attorney with offices in Brooklyn, enjoining him from further viola-tions of certain antifraud provisions of the Securities Exchange Act of 1934. Rosen-kranz consented to the permanent injunction without admitting or denying the Commis-sion's allegations. The Commission's case is proceeding against the remaining defen-dants. (SEC v. Dominick Musella, et al., Civil Action No. 83-0342, S.D.N.Y., filed January 11, 1983). (LR-l0260)
