Two (02) Industrial Plots as per the following details are being offered for allotment under General Scheme @ Rs 16,500/- per sq. yard

Terms and Condi�ons of Allotment

1. The tenta�ve price of the plot has been calculated at the rate of Rs. 16,500/- per sq.yd. Allo�ee will be required to deposit ini�al down payment being 30% of the above tenta�ve price (to make up 40% of the above tenta�ve price including amount of earnest money already deposited) of the plot within 30 days from the issuance of allotment le�er.

2. The balance 60% of the total tenta�ve price of the plot shall be payable either in lump sum within 60 days from the date of issue of this le�er without interest or in 6 equated half yearly installments alongwith normal interest @ 11% per annum with half yearly compounding effect. Interest shall be charged from the date of issue of this le�er and will be compounded on 31st March and 30th September. In case lump sum payment of the balance 60% tenta�ve price is made within the s�pulated period of 60 days, Allo�ee shall be en�tled to a rebate of 10% thereon, i.e. 10% of the balance 60% of the tenta�ve cost.

3. The schedule of payment of balance 60% of the tenta�ve price in 6 half yearly equated installments as well as due interest thereon and due dates of payment will be in�mated in Le�er of Allotment.

4. The above price of the plot is subject to varia�on with reference to actual measurement of the plot and the cost of acquisi�on of land. In case of any enhancement of compensa�on on account of acquisi�on of land of this focal point by the court or otherwise, Allo�ee shall have to pay the addi�onal price of the plot, if any, as may be determined by the Corpora�on, within 30 days from the date of demand.

5. In the event of non-payment or delayed payment of ini�al down payment referred to in condi�on No.1 above, addi�onal price referred to in condi�on No.4 above or any of the installment(s) by the due date(s), referred to in condi�on No.2 & 3 above or maintenance charges referred to in condi�on No.28 below, Allo�ee shall be required to pay penal interest @ 3% p.a in addi�on to normal interest of 11% with six monthly compounding effect, on the defaulted amount for the defaulted period.

6. Allo�ee shall be required to get the project appraised regarding techno-economic feasibility from a financial ins�tu�on or scheduled commercial bank or public sector consultant and submit their appraisal report so as to reach the Corpora�on within three months of issue of allotment le�er.

7. The possession of the plot will be offered to Allo�ee by the Corpora�on, on allo�ee’s submission of the appraisal report referred to in condi�on No.6 above and Allo�ee would be required to take possession within 30 days of offer.

8. Allo�ee will be required to complete the following addi�onal formali�es within a period of 12 months from the date of offer of possession:-

(i) Obtain provisional registra�on of the unit from the concerned General Manager, District Industries Centre or SIA registra�on as applicable.

(ii) Submit Building Plans/Drawings for scru�ny. (iii) Obtain consent of financial ins�tu�on/bank to advance loan for the proposed

project. or In case of self-financing, submit proof of own sources. (iv) Obtain NOC/Consent to establish from PPCB. (v) Make applica�on for power/electric connec�on.

9. In case Allo�ee fails to complete all the required formali�es, despite expiry of s�pulated period, under condi�on No.8 above special extension for further six months can be considered by the Corpora�on, upon payment of extension fee @ 2.5% of the cost of plot in excep�onal cases. No further extension beyond the expiry of above extension, if allowed, as the case may be, shall be admissible under any circumstances.

10. In the event of allo�ee’s failure to complete all the required formali�es as men�oned in condi�on No.8 above, or payment of dues/installment(s) within s�pulated period, this le�er of allotment shall be deemed to have been withdrawn/lapsed. In such an eventuality, an amount equivalent to the earnest money deposited and extension fee, if any, paid/payable shall be forfeited and the amount over and above thereof shall be refunded to Allo�ee without any interest.

11. The plot has been offered for allotment on lease hold basis for 99 years in the first instance. As such Allo�ee shall pay annual lease rent @ Rs.1/- per 1000 sq.yd. in advance for 99 years at the �me of execu�on of lease deed agreement.

12. Allo�ee shall arrange to have the lease deed executed and registered, original delivered to the Corpora�on within 90 days from the date of comple�on & formali�es as per Clause 8 above. The Stamp Papers and Registra�on charges for the same shall have to be borne by Allo�ee.

13. Allo�ee shall ensure to commence commercial produc�on a�er comple�ng construc�on of factory building within an overall period of 3 years from the date of allotment.

14. That, the Corpora�on, may allow Allo�ee extension not exceeding two years beyond the s�pulated period of three years upon payment of extension fee @ 1% p.a. of the current reserve price of the plot fixed by the Corpora�on, opera�ve at the �me of making payment. Such extension shall, however, be granted only on allo�ees’ request giving valid reasons for inability to bring the unit into produc�on.

15. Allo�ee shall produce permanent SSI Registra�on Cer�ficate of the unit on the allo�ed plot, issued by General Manager, District Industries Centre or any other document as approved by the Corpora�on from �me to �me, as a proof of having brought the unit into produc�on within the s�pulated/extended period.

16. In the event of failure to achieve commercial produc�on within admissible/extended period as the case may be, the allotment of plot shall be cancelled/resumed. Upon cancella�on/ resump�on, earnest money, extension fee paid/ payable shall be forfeited and the amount over and above thereof shall refunded without any interest.

17. In case Allo�ees’ unit is having fixed capital investment of Rs. One Hundred Crore or more, extension period of commencement of commercial produc�on can be considered on merit by the Secretary to Government, Punjab, Department of Industries and Commerce.

18. The payment of ini�al down payment, lease rent, addi�onal liabili�es arising out of varia�on in cost, enhancement of compensa�on, if any, each installment, extension fee and maintenance charges etc. shall be remi�ed to the Punjab Informa�on & Communica�on Technology Corpora�on Limited in the form of a Bank Dra� Payable at Chandigarh and every such remi�ance shall be accompanied by a le�er showing full par�culars of the plot to which the payment pertains and a statement giving reference number and date of the allotment le�er.

19. A�er taking over the possession of the plot, as indicated above, Allo�ee shall get building plan prepared from a registered Architect approved by the Architect Council of India, strictly conforming to the Zoning Plan and Building Bye- Laws of the corpora�on/ Dep�. Of Housing & Urban Development, Punjab. Three copies of the plan so prepared, duly signed by Allo�ee and approved Architect will be submi�ed to the Corpora�on for its approval before undertaking any construc�on. Upon comple�on of construc�on, Allo�ee will obtain Comple�on Cer�ficate from the Corpora�on.

20. In case any addi�on/altera�on over the construc�on of building is needed subsequently, drawings for the same conforming to the Zoning Plan and Building Bye-laws of the Corpora�on shall also be got prepared from the registered Architect referred to above and submi�ed to the Corpora�on, duly signed by Allo�ee and the approved Architect for its approval before undertaking the required addi�ons/ altera�ons over the construc�ons of building on the plot.

21. In case any devia�on from the Zonal Plan/Building Bye-laws of the Corpora�on is noted in the plan or at site, the offending por�on(S) of the building(s) shall be demolished under the orders of the competent Authority of PICTC and demoli�on charges, as may be incurred, shall be recovered from Allo�ee.

22. Allo�ee shall enjoy the right of possession so long as Allo�ee con�nue paying due installments and interest on due dates and abide by other terms and condi�ons of this le�er of allotment.

23. Allo�ee shall have to accept and abide by the rules and orders made or issued by the competent authority of PICTC from �me to �me.

24. Allo�ee Shall not carry on without the wri�en consent of the Corpora�on or permit to be carried on in the plot or use the same or permit the same to be used for any purpose other than that for which it has been offered. Allo�ee shall also not do or allow to be done therein anything what so ever, which in the opinion of the Corpora�on may be nuisance, annoyance or disturbance to the neighbours.

25. As the land has been offered on lease hold basis the ownership of the plot will vest in the PICTC.

26. Allo�ee shall not deviate in any manner from the layout plan or alter the plot whether by Sub- Division, amalgama�on or other wise.

27. Allo�ee shall take water for the factory and other area of the plot from the Government/Corpora�on water supply scheme on the charges to be fixed by the Government/ Corpora�on.

28. Allo�ee shall from �me to �me and at all �mes pay and discharge all rates, taxes charges and assessment of every descrip�on, which may, at any �me, herea�er be assessed/ charged or imposed upon the plot. Allo�ee shall be liable to pay maintenance charges of the Focal point, as may be fixed by the Corpora�on from �me to �me, a�er 3 years from the date of allotment and within 30 days of demand.

29. Allo�ee shall at all reasonable �me grant access to the allo�ed property to the official(s) of the Corpora�on for sa�sfying that the condi�on(s) here have been and are being complied with properly.

30. The Corpora�on shall have the first and paramount charge over the plot and without prior consent of the Corpora�on, Allo�ee shall have no right to transfer lessee rights by way of sale or otherwise of the plot or any right , �tle or interest.

31 In the event of Allotment Le�er being lapsed/ withdrawn, Allo�ee shall have to remove the structure at Allo�ees’ own expenses within such reasonable �me not exceeding one month or as may be prescribed by the Competent Authority of the Corpora�on and restore the possession of the plot in the condi�on, in which Allo�ee took the possession or otherwise the structure will become the property of the Corpora�on.

32. No effluent or industrial waste shall be permi�ed to be discharged in Public/ Corpora�on sewer or disposal of the same into a stream, well or into land unless consent of the PICTC and Punjab State Sewerage Board for the preven�on and control of water pollu�on is obtained in regard to treatment works prescribed by the Board.

33. Allo�ee shall be responsible to be obtain various clearances, permits and licenses etc. from various Government Departments/ Agencies/Corpora�on/Local Bodies etc. required, if any to set up the project. The Corpora�on will not, in any way, be responsible or accept any delay either in payment of dues or in comple�on of required formali�es or implementa�on of schedule of construc�on/produc�on of the unit on any account whatsoever.

34. Change in cons�tu�on of allo�ee into proprietorship/partnership firms or into a Company etc. can be considered only on the specific condi�on that the original allo�ee of the plot retains at least 51% of the shares at all �mes in the newly cons�tuted firm/company.

35. In the event of breach of any terms and condi�ons of this le�er of allotment, the Corpora�on shall have right to cancel the allotment and take back possession of plot/building.

36. Notwithstanding the provision of applicability of penal interest on defaulted amount for defaulted period, the Corpora�on can resort to withdrawal of allotment/Cancella�on/resump�on of the plot. The withdrawal of allotment /Cancella�on/resump�on of the plot shall be made a�er giving show-cause no�ce of 30 days on account of the following grounds of default:

i. Non Payment of 30% ini�al down payment of tenta�ve price within 30 days from

the date of allotment le�er. ii. Non-receipt of addi�onal cost if any payable within 30 days of demand. iii. Non-Payment of installment(s) and due interest there on by due dates. iv. Non payment of maintenance charges within 30days from the date of demand. v. Failure to take possession within 30 days from the date of offer of possession. vi. Failure to complete required formali�es as described in clause 8 within

s�pulated/extended period as the case may be. vii. Viola�on of Zoning Plan / building Bye-Laws or devia�on from the approved

plans. viii. Failure to commence produc�on within three years from the date of allotment

or within the allowed extended period, if any. ix. Non payment of extension charges/fee in terms of condi�ons No 9 and 14. x. Failure to comply with any of the terms and condi�ons of this le�er of allotment. xi Use of plot for any purpose other than that for which it has been allo�ed.

37. In the event of any difference or dispute arising between Allo�ee and the Corpora�on in connec�on with or concerning the observance of the terms and condi�ons of this allotment le�er or interpreta�on thereof, the same shall be referred to the sole arbitra�on of the Principal Secretary Industries and Commerce, Govt. of Punjab, who may decide the dispute himself or nominate some other Officer to do so. The decision of the Arbitrator or his Nominee for the purpose shall be final and binding on both the par�es.

Notes :

1. The area dimensions as given in the respec�ve layout are subject to varia�on at the �me of actual possession.

2. The Corpora�on shall not be responsible for leveling the uneven sites.

3. Allo�ee shall have to pay separately for any construc�on, material, trees, structures and compound wall exis�ng at site for which compensa�on has been assessed and paid by the Govt./Corpora�on if Allo�ee want to make use of the same.

4. The Collec�on Charges, if any, charged by the Bank on Dra� will be payable by Allo�ee.

5. Copy of Zoning Plan/Building Bye-laws can be had on request from the Corpora�on.

6. 10% of the cost of plot shall be charged extra for corner/preferen�al plot.
